GENERAL CONDITIONS OF SALE
1. Definitions
In these Conditions of Sale:
(a) Seller means GSA Industries (Aust.) Pty Ltd ACN 004 784 301 trading as Reliance Worldwide & Tubefit Industrial Products
(b) Buyer means any person or company who:(i) is the other party to a contract for the manufacture, sale or supply of goods;
(ii) is named in or receives a quotation or sales invoice for the manufacture or sale of goods or the provision of services by the Seller.
2. Preliminary
(a) These Conditions of Sale apply in respect of all offers to sell, quotations, contracts and other commercial transactions for the supply of goods and
services by the Seller.
(b) These Conditions of Sale shall be coexistent with and be read in conjunction with any Special Conditions of Sale except where the latter specifically
vary or override these General Conditions or any of them.
(c) Except as otherwise expressly agreed upon in writing between the parties, the terms and conditions contained herein shall apply notwithstanding any
provisions to the contrary which may appear on the order form or other documents issued by the Buyer.
3. Quotations
(a) Unless previously withdrawn a quotation is valid for thirty (30) days or such other period as is stated therein and is subject to withdrawal or change at
any time until the Buyer’s Order has been treated by the Seller as an obligation to sell, otherwise no contractual relationship shall arise therefrom until
the Buyer’s order has been accepted by the Seller in writing.
(b) The Seller shall not be bound by any conditions attaching to the Buyer’s order or acceptance of the quotation, unless such conditions are accepted
by the Seller in writing. If the Buyer accepts the quotation by delivery of an order form or document which stipulates or purports to impose conditions,
such conditions shall not be applicable to the contract resulting from the quotation without such written acceptance.
(c) Every quotation shall be subject to and conditional upon any necessary import or export or other Licence being obtained.
4. Offer and Acceptance
(a) The request by the Buyer to the Seller for the Seller to supply it with goods shall constitute only an invitation by the Buyer to treat with the Seller, and
shall not constitute an offer capable of acceptance.
(b) The delivery of goods by the Seller to the Buyer shall constitute an offer by the Seller to the Buyer for the Buyer to purchase the goods so delivered
for the price stipulated on the invoices relating to the same (whether accompanying the said goods or not) and subject at all times to these Conditions of
Sale.
(c) The acceptance of any goods delivered by the Seller to the Buyer in accordance with the Buyer’s invitation shall constitute acceptance by the Buyer
of the Seller’s offer.
5. Permits and Approvals
Unless otherwise stated it shall be the Buyer’s responsibility to obtain and provide any access, services, facilities, permits, approvals or licences as may
be necessary or required for the performance of any work required to be carried out outside the Sellers premises.
6. Publications
Unless otherwise stated all specifications, drawings and particulars or weights, dimensions and performance characteristics submitted by the Seller are
approximate only and descriptions and illustrations contained in catalogues, price lists and other written material are intended merely to present a
general idea of the goods described therein and none of these shall form part of the contract.
7. Manufacturing Delay
Any delivery dates and or times quoted are given in good faith but unless otherwise stated the Seller will not be held responsible for any delay arising
from causes beyond its reasonable control. The Buyer’s receipt of goods shall constitute a waiver of any claim for delay.
8. Other Suppliers
It is contemplated by both the Seller and the Buyer that to satisfy a contract in whole or part the Seller may manufacture the goods or may purchase
them outright or may order their manufacture or may purchase the rights of a third party who has contracted for the supply of goods of similar
description or who may have already placed such an order so purchased.
9. Delivery Delays
Subject as hereinafter provided the Seller shall have no liability whatsoever for any direct, indirect or consequential damage or loss arising from nondelivery or any delays in delivery including off loading or misdirection in transit.
10. Warranty
(a) All goods supplied are covered by such warranty as is specified by the manufacturer and supplied subject to the product standards detailed by the
manufacturer and shall apply to the sale of the goods.
(b) The Buyer shall immediately notify the Seller in writing upon discovery of any defect in the goods. The Buyer shall not carry out any remedial work to
alleged defective goods without first obtaining the written consent of the Seller so to do.
(c) The only conditions and warranties which are binding on the Seller in respect of the state, quality or condition of the goods supplied by it to the Buyer
are those imposed and required to be binding by statute (including the Trade Practices Act 1974 and any relevant Fair Trading Act and any amendment
or re-enactment thereof) and to the extent permitted thereby, the liability, if any, of the Seller arising from the breach of such conditions or warranties
shall at the Seller’s option be limited to and completely discharged by –
(i) any remedy provided by such statute; or
(ii) the replacement of the goods or resupply of same by the Seller; or
(iii) the repair of the goods; or
(iv) the payment of the cost of replacement of the goods, or
(v) the payment of the cost of repair of the goods at the election of the Seller and otherwise all other conditions and warranties whether express or
implied by law in respect of the state, quality or condition of the said goods which may apart from this clause be binding upon the Seller are hereby
expressly excluded and negated.

(d) The Buyer expressly acknowledges and agrees that the Seller is not liable for any advice given by its agents or employees in relation to the
suitability for any purpose of goods or materials supplied by the Seller and all such advice relied upon is at the Buyer’s risk.
11. Acceptance and Return of Goods
(a) the Buyer will be responsible for immediate examination of the goods after arrival at the place of delivery and the Seller shall accept or may
otherwise be required by law not be liable for any claim for which it would otherwise be liable in respect of damaged goods including goods damaged in
the course of transit unless particulars of such claim are notified to the Seller in writing within three working days after arrival of the goods at the place of
delivery.
(b) The Buyer shall be deemed to have accepted the goods to be of the description, quality and quantity ordered unless particulars of any claim are
notified to the Seller in writing within forty-eight (48) hours after arrival of goods at the place of delivery.
(c) The Seller will not accept return of goods unless such return is authorised by the Seller. A restocking fee may be charged to the Buyer where
applicable.
(d) Products specially purchased, manufactured, machined or cut to size or to Buyer’s specifications, are not returnable.
12. Liability
(a) Except as provided in the preceding clauses the Seller shall not be under any liability, whether in contract, tort or otherwise in respect of defects in
goods delivered or for any injury, damage or loss resulting from such defect or from any work done in connection therewith except to the extent that any
statute applicable to these conditions prevents the exclusion, restriction or modification of such conditions or warranties.
(b) Notwithstanding any other provisions of the contract the Seller shall not be liable to the buyer for any loss of profit or of contract howsoever arising
nor shall the Seller be under any liability whether in contract, tort or otherwise nor for any injury, damage or loss whether consequential or otherwise
save as is expressly provided in these conditions.
(c) Where goods are manufactured to the Buyer’s specification the Buyer indemnifies the Seller against any liability to or action by a third party for
infringement or alleged infringement of a patent, registered design, trademark or copyright.
(d) All goods are supplied in accordance with the normal industry standards applicable to them and Seller will not be liable to the Buyer for the condition
or quality of goods which comply with these standards.
13. Sales Tax
Unless otherwise specified no sales tax or any other tax on goods or services is included in the price and any applicable tax is additional to the quoted
price.
14. Extra Charges
Unless agreed to the contrary in writing, if the Seller prepays freight, insurance, custom and import duties (if any), landing and delivery charges and all
other charges in connection with shipment and delivery of the goods, then any such charges shall be to the Buyer’s account. The Seller shall have the
right to nominate the means of delivery, unless agreed otherwise.
15. Transit Insurance
The Seller will insure goods in transit where transport is arranged by Seller. Where transport is arranged by the Buyer, the Buyer shall insure the goods
at its own cost in the names of the Seller and Buyer for their respective rights and interests.
16. Termination of Quotation
Should any order resulting from the quotation be terminated for any just cause without prejudice to any other rights the Seller may have the Buyer shall
pay the Seller for all costs and expenses incurred and commitments made in connection with the performance of the order plus a reasonable profit
thereon.
17. Exchange
For goods sourced from any overseas supplier the quoted price shall be adjusted for any exchange variation occurring between date of quotation and
date of the Seller’s remittance to the supplier.
18. Interest
The granting of credit to the Buyer shall be at the absolute discretion of the Seller. If payment is not made strictly within the terms attaching to the
quotation interest may be charged from either date that goods are available for despatch, equipment is commissioned or date of invoice whichever
occurs first and until all unpaid monies are received. Payment will be credited first against interest accrued. The rate of interest applicable shall be the
rate as set from time to time by the Reserve Bank of Australia for overdrafts of $100,000.00 or less plus two (2) per cen-tum per annum or if there be no
such rate at the rate of fifteen (15) per centum per annum and such interest shall accrue and be calculated on a daily basis.
19. Delay by Buyer
When any payment is due upon delivery installation commission or test, which is delayed by the Buyer, such payment shall be made as though such
delivery installation commissioning or test had been completed. Any extra costs thereby incurred by the Seller shall be to the Buyer’s account.
20. Progressive Delivery
The Seller may deliver any of the goods progressively and shall then be entitled to payment progressively for the items of goods delivered in such
amounts as the Seller shall reasonably determine. If the Buyer fails to make a progress payment within thirty (30) days of end of month of delivery then
the Seller shall be entitled to withhold construction or delivery of the remainder of the goods without incurring liability for such delay.
21. Cancellation After Default
In case of death, incapacity, bankruptcy, liquidation, suspension of payment or the entering into any arrangement with its Creditors on the part of the
Buyer or of any failure to make any payment or to meet any draft under this or any other contract or obligation to the Seller or should a Receiver be
appointed in respect of the Buyer’s business or affairs, the Seller may without prejudice to any other rights or remedies open to it cancel this contract or
suspend or continue delivery hereunder at the Seller’s option always reserving to the Seller all rights to recover any loss con sequent upon any such loss
cancellation or suspension.
22. Intellectual Property

(a) All drawings, illustrations, specifications and other literature and materials for or relating to the goods and whether or not supplied by or on behalf of
the Seller to the Buyer shall remain the exclusive property of the Seller and shall not be transferred to any other party without the previous written
consent of the Seller. The Buyer shall not use, reproduce or impart any information contained therein to any third party without the previous written
consent of the Seller except for the purpose of implementing the contract in respect of which they are supplied and except in the case of standard
descriptive illustrations, drawings or specifications, they are to be returned to the Seller either on completion of the contract or earlier, at the Seller’s
request.
(b) Where the Seller has followed a design, sample or instruction furnished or given by the Buyer, the Buyer shall indemnify the Seller against all
damages, penalties, costs and expenses to which it may become liable through any work required to be done in accordance with those instructions
involving an infringement of a patent, trademark, registered design, copyright or common law right.
23. Property, Risk and Insurance
Buyer shall, at its cost, insure the goods, in Seller’s name, against such risks (other than transit subject to clause 15) as a prudent owner of the goods
would insure for at their full insurable value. The risk in the goods sold shall pass to Buyer when the goods are loaded for consignment at Seller’s
warehouse, whether by Carrier employed or engaged by Seller or Buyer. This shall also apply to any partial delivery of goods. If delivery of goods is
delayed due to any circumstances beyond the control of Seller the risk passes to Buyer on the day when the goods were first ready for consignment
from Seller’s warehouse. Notwithstanding anything herein contained, property in and legal title to the goods shall not pass to Buyer until payment for all
debts owing to Seller by Buyer has been received by Seller. Until such payment has been received by Seller, Buyer will store the goods separately, and
apart from its own goods and those of any other person or company. Seller shall be entitled to retake possession of all goods delivered until all debts
owing to Seller by Buyer have been paid in full. Seller shall not exercise such right unless any such payment is overdue. Buyer may resell any of the
goods on normal commercial terms before Seller is paid in full provided that:
(a) Buyer resells as principal. Buyer has no right to commit Seller to any contractual relationship or liability to the third party to whom such sale is made,
or any other third party.
(b) As between Seller and Buyer, Buyer resells as fiduciary agent and bailee of Seller.
(c) Buyer holds all rights in respect of the resale price on behalf of Seller and shall on request of Seller assign any claim against any such third party for
unpaid debt. Buyer hereby irrevocably appoints the Directors of Seller for the time being, as joint and several attorneys for Buyer to sign any documents
to give effect to such assignment.
(d) Buyer holds the proceeds of any resale or insurance claim on trust for Seller until Seller has been paid in full for those goods which are the subject of
resale or insured loss. Until payment of all debts owing to Seller by Buyer, Seller may, at its discretion, without further notice and without prejudice to
any other of its rights, either;
(1) retake possession of the goods and resell the same, or any of them, and may enter upon Buyer’s premises, by its servants or agents, for that
purpose, without any liability on the part of Seller for any loss or damage suffered as a consequence of such entry or retaking of possession; or
(2) recover the purchase price of the goods by action, and may file an application for the appointment of a liquidator to Buyer notwithstanding that
property in the goods has not passed to Buyer if:
(i) payment of the purchase price or debt due to Seller is overdue in whole or in part; or
(ii) there is a breach of any term of contract between Seller and Buyer; or
(iii) Buyer commences to be wound up or is placed under official management, or a receiver, or a receiver and manager or voluntary administrator is
appointed in respect of Buyer, its undertaking or property or any part thereof, or an encumbrancer, by itself or by an agent, takes or purports to take
possession of Buyer’s undertaking or property or any part thereof; or
(iv) Buyer parts with possession of the goods or any of them otherwise than by way of sale to its customer(s) in the ordinary course of its business.
These provisions apply notwithstanding any arrangement under which Seller provides credit to Buyer and to the extent of any inconsistency, these
provisions prevail.
24. Right of Removal
The Buyer irrevocably grants to the Seller its agents and servants an unrestricted right and licence, without notice, to enter premises occupied by the
Buyer to identify and remove any of the goods the property of the Seller in terms of these conditions as aforesaid without in any way being liable to the
Buyer or any person claiming through the Buyer. The Seller shall have the right to sell or dispose of any of such goods so removed or otherwise in its
sole discretion and shall not be responsible for any loss occasioned thereby.
25. Change in Shareholding of Buyer
It is the buyer’s responsibility to notify the Seller of any change in the Buyer’s structure or shareholding by notice in writing and that, until such time as
such notice has been given, the Buyer shall be liable to the Seller pursuant to the obligations hereunto entered into by the Buyer, as if such alteration to
the Buyer’s structure or shareholding had not taken place.
26. Payment
Unless otherwise agreed by the Seller in writing, payment for all goods will be net within thirty (30) days from the last day of the month in which each
delivery was made. Payment for any goods sold shall become immediately due upon default by the Buyer in payment for any of the goods which the
Seller has sold to the Buyer and the Seller shall be entitled to suspend the supply of further goods to the Buyer.
27. Rise and Fall
Any quotation for the manufacture by the Seller is made on the basis of costs existing as at the date of the quotation of materials, parts, equipment
required to be purchased as component parts, goods transport and labour and any increase incurred by the Seller in any such item after the date of
quotation and before delivery will be added to the price and any and every contract is entered into subject to such condition. Without limiting the
generality of the term “cost of labour” includes any increase in any statute, regulation, award, or determination by which rate s of pay are increased or by
which hours of work are reduced for holidays, sick leave or any benefit or amenity is increased and in any such case there shall be deemed to be an
increase in the cost of labour.
28 Guarantee
Where the Buyer is a company each and every director of the Buyer from time to time shall sign the Credit Application Form and every person who
signs the same is in this clause called “the Guarantor”.
(a) The Guarantor hereby guarantees to the Seller the payment (when demanded in writing) from the Guarantor of all monies owing at that time on any
account whatsoever by the Buyer to the Seller together with interest thereon at the rate aforesaid calculated in the first instance from the Thirty-First day
after such monies shall have first become owing until the date of payment.
(b) This guarantee shall be a continuing guarantee and shall not be considered as wholly or partly discharged by the payment at any time hereinafter by
the Buyer or by the Guarantor of any of the monies hereby secured or by any settlement of account or by the death or notice of death of the Guarantor

or by any other matter or thing whatsoever and shall be enforceable notwithstanding that any negotiable or other instruments, security or contract shall
still be in circulation or outstanding.
(c) In case the Guarantor shall give to the Seller written notice of the desire of the Guarantor to discontinue any further liability under this guarantee then
provided that there are then no monies owing by the Buyer to the Seller and immediately after the said notice shall have been so given the liability under
this guarantee of the person giving such notice shall cease and determine so far as respects any liability which shall be incurred after the receipt of such
notice except so far as any future liability shall arise out of some letter of credit bill, promissory note, cheque, draft order or other negotiable instrument,
engagement or transaction at that time current or outstanding.
(d) Any notice or demand to be made upon the Guarantor shall be sufficiently given if posted to the Guarantor at this or her last known address and the
same shall be deemed to have been received if posted on the date on which the same would ordinarily have been received in the ordinary course of the
post.
29. Credit Enquiries
The Buyer hereby gives the Seller the authority to make inquiries from credit reporting agencies as to the credit and financial responsibility of the Buyer
and or its Partners or Directors as required by the Seller from time to time.
30. Submission to Jurisdiction
The Contract shall in all respects to construed to operate as an Australian contract and in conformity with State and or Federal laws applicable to the
contract. Any clause headings hereto shall not affect the construction hereof. If any of the provisions of the contract are unlawful or invalid under any
applicable statute or rule of law, they are to that extent to be deemed omitted.
