A
ccording to the Bahamas Bar Association,
there are more than 1,100 lawyers qualified
to practice in the Commonwealth of The
Bahamas. The countryís cadre of attorneys practising
in small, medium and large-scale firms provides a
significant resource to complement the financial
services sector of the Bahamian economy.
The effectiveness of wealth and asset
management in the island nation is tied closely to a
modern legislative system. Investor confidence in
the jurisdiction is dependent on local professionals
and their ability to make it easier to conduct
business in the country. Practicing attorneys offer a
range of specialties covering the gamut from real
estate to managing security and investment funds,
corporate finance to trust and estate planning.
Legal basis
With an overall structure based on English common
law, the framework of the Bahamian legal system is
a unique blend of a colonial past and New World
influences. The common law system of legal
governance, patterned after the judicial processes in
England and Wales, is found primarily in countries
that once formed the British Colonial Empire.
The Bahamas is among 80 countries continuing
the traditional law built on a stare decisis legal
framework. English common law is based on the
fundamental foundation that legal precedent is the
true mitigating factor in determining judgments and
outcomes. Decisions are based primarily on standing
by things that were previously decided. Court
judgments are decided on precedents set by previous
cases. The law, thereby, is based on the premise that
judgments are bound, in part, by rules and doctrines
established by judges in earlier English courts.
Ironically, the first records of established law and
order in The Bahamas are associated with a former
pirate. Historians trace the official recognition of a
legal system in the country back to Woodes Rogers,
the first Royal Governor and privateer. In 1718, the
principles of piracy dominated the economic and
social landscape of The Bahamas. In a bold move,
Rogers expelled the buccaneers in an attempt to

bring order to a country used as a
playground by the unscrupulous during
the heyday of piracy.
Constitutional law
Today, the common law structure of
governance has not changed in The
Bahamas even in a post-independent
democracy. Traces of a colonial past can
be seen throughout the legal profession.
Judges and attorneys pay homage to the
pomp and pageantry of a British past by
adorning wigs and gowns in the Supreme
Court and Court of Appeal. The countryís
highest legal authority in the jurisdiction,
the Privy Council, is still based in London.
Although British influence is strong,
elements of US constitutionalism can
also be found in modern day Bahamian

law. Article 15 of The Bahamas
Constitution shows how the
countryís closest neighbour to the
north has had an impact on the
day-to-day governance in the
islands. The Article states:
ìWhereas every person in The
Bahamas is entitled to the
fundamental rights and freedom Sir Michael Barnett,
of the individual, that is to say, has Chief Justice of The Bahamas
the right, whatever his race, place
of origin, political opinions,
(2) freedom of conscience, of
colour, creed or sex, but subject to
expression and of assembly and
respect for the rights and freedoms of
association; and
others and for the protection of the

public interest, to each and all of the

This combination of favourable asset
protection legislation and a diverse group of
highly skilled legal professionals Ö builds a
case for the jurisdiction as an ideal offshore
environment for asset management.
Called to the Bar
Lawyers who are entitled to practice
law in The Bahamas are considered
officers of the Supreme Court. Every
attorney permitted to practice is a part of
the Bahamas Bar Association (BBA).
The executive body of the BBA is the
Bahamas Bar Council and this entity
evaluates an applicantís right to practice
law in the country.
All applicants meeting the councilís
requirements must serve a year-long
tutelage within an actual practice under
the direct supervision of a practicing
attorney prior to being allowed to
officially serve as a lawyer in The
Bahamas. Applicants considered for
admission into the association must be
Bahamian, and must not have been
disqualified or suspended from practice
in the courts of any other country
outside of the jurisdiction.
In special cases, t he Bar Council
allows for qualified persons who are not
Bahamian to conduct particular
proceedings within the country. Provisions
are also made for non-Bahamians who
are qualified to practice before a court of
unlimited jurisdiction in any country to
become registered associates and agents
of a counsel and attorney.
(COB) also offers a Bachelor of Laws
degree in conjunction with UWI. An
examination is administered in order to
determine eligibility. A Certificate of
Legal Education (CLE) is awarded on
completion of a two-year programme or
a six-month conversion programme for
those in possession of a law degree
from another jurisdiction.
Key legislation
From as far back as 1936, when the first
trust company was established in The
Bahamas, to the modern Trustee Act of
1998, the premier trust legislative agenda
has differentiated The Bahamas from its
competitors. A modern legislative system
is critical to the continued growth of the
financial services industry. With around
20 per cent of the island nationís gross
domestic product (GDP) dependant on
financial services development, key
legislation works to make the country not
only relevant but also extremely
competitive. Monitoring is critical to the
success of the legislative environment and
factors in the decision for those seeking a
location for personal financial services.
A highlight of the Trustee Act is the
discretionary powers held by the settlor of
a trust. The act gives them the power to
revoke the trust or the trust instrument,
or any powers granted by the trust or
trust instrument; to withdraw property
from the trust; to add or remove trustees,
protectors and beneficiaries; and to give
directions to trustees. This allows the
settlor to determine if the trust is being
properly administered.
The Trustee Act is built on a foundation
set up by the Fraudulent Dispositions Act,
1991. The preceding act provides
protection for settlorsí assets from the
possibility of future claims. Assets are
protected from any claim immediately
upon being placed in the trust.
In addition to specific legislation,
other laws prove advantageous to
wealth management including funds
and foundations, flexible corporate
structures favourable to international
business transactions, estate planning
and asset management. The Segregated
Accounts Company (SAC) and the
International Business Company (IBC)
structures are all a part of the current
legal framework that contributes to a
successful financial services product.
This combination of favourable asset
protection legislation and a diverse
group of highly skilled legal
professionals to conduct business on
behalf of personal clients builds a case
for the jurisdiction as an ideal offshore
environment for asset management.

Legal learning
In 1998, the Eugene Dupuch Law School
opened in Nassau. The legal educational
facility is a part of the regional body
known as the Council of Legal Education
of the West Indies. The body operates two
additional institutesñthe Norman Manley
Law School in Jamaica and the Hugh
Wooding Law School in Trinidad and
Tobago. Most of the English-speaking
Caribbean subscribes to the council.
Applicants seeking admission to any
of the regional law schools must possess
a University of the West Indies (UWI)
law degree or an equivalent law degree
from a university recognized by the

arbitration in shipping and trade for
the Americas

A
ttorney Bertha Cooper-Rousseau has spent the
greater part of the last five years lobbying for
the implementation of comprehensive
arbitration laws in The Bahamas. One of two partners
in the boutique firm Rousseau & Cooper, attorney
Cooper-Rousseau specializes in corporate commercial
law, with a specific focus on arbitration and
alternative dispute resolution. She has worked with
successive government administrations to push for
the legislative change that culminated in the
enactment of the Arbitration Act, 2009.
Now that the jurisdiction has the proper legal
framework in place, and is a leading ship registry,
Cooper-Rousseau believes The Bahamas is poised to
become a premier centre for maritime arbitration in
the Americas.

matters and disputes resolved here in this jurisdiction,
as it would be more cost-effective and efficient.î
Given The Bahamasí role in the global shipping
industry, maritime arbitration is a natural fit. The
country is heavily reliant on imports and has a robust
shipping and transshipment industry. ìWith trade
come disputes and the majority of those disputes
ought not to be played out in the Supreme Court, but
in arbitral hearings. Itís cost efficient and expeditious.î
Institutional infrastructure
For Cooper-Rousseau, however, the legislation is just
the beginning of what is required for The Bahamas
to become an international maritime arbitral center.
ìOne now has to move forward in implementing the
institutional infrastructure to put the
legislation in action,î she says.
This would require the establishment of
The Bahamas International Arbitration Rules.
Presently, arbitration clauses, detailing the
manner in which a dispute arising out of a
contract should be decided, would stipulate
The Bahamas as the seat of arbitration. This
means the laws of The Bahamas would apply to
the procedural aspects of the arbitration.
However, because The Bahamas has yet to
establish an arbitral institute with its own
rules, for the regulation of arbitrations, parties are
left to choose from other international institutions
in which their matter can be heard. The se
international institutions include the International
Chamber of Commerce, London International Court
of Arbitration, the American Arbitration Association,
the London Maritime Arbitrators Association and
the Society of Maritime Arbitrators.
Cooper-Rousseau doesnít believe that there is
any immediate need for The Bahamas to create
international arbitration rules. ìThe Bahamas, being
geographically and strategically positioned in
relation to North, Central and South America, with
direct connections to Europe and beyond, could
serve as a platform for the various international

ìWith trade come disputes and the

but in arbitral hearings. Itís cost

The Bahamas took a ground-breaking step in
implementing the Arbitration Act, 2009,
acknowledged to be cutting-edge legislation, as
well as the Foreign Arbitral Awards Act, 2009,
which ratifies the provisions of the New York
Convention in The Bahamas.
The latter legislation allows for awards granted in
The Bahamas to be recognized internationally in
countries that are signatory to the New York
Convention. It also makes it possible for awards
granted in member states of the convention to be
recognized in this jurisdiction.
According to Cooper-Rousseau, the initial push for
arbitration legislation came directly from The Bahamas
Shipowners Association. ìThe owners saw a direct

seats, whether itís Mauritius, Singapore, Hong
Kong, Brazil or New York. Because arbitration
is global, it is not our unique commodity.î
institutions to conduct arbitrations here.
This means, therefore, that rather than
being a competitor to New York, London,
or Singapore, The Bahamas could
complement these countries, and its
strategic location and time zone would
enable it to benefit from the resolution of
trade matters between The Americas,
Europe, Africa and Asia; The Bahamas
can serve as a platform for all of the
institutions to come here and operate.î
Professional skills
A similar model exists in Mauritiusñan
island nation just off the southeast coast
of Africa. The French-speaking seaport is
now a hub for maritime arbitration in that
region. For The Bahamas to follow suit, it
has to have a cadre of professionals with
the right skills.
In 2010, the Bahamas Chapter of The
Caribbean Branch of the Chartered
Institute of Arbitrators was launched. The
group, chaired by Cooper-Rousseau,
made history when it became the first
and only independent country in the
region to have its own branch in 2011. It
is now directly linked with London. This is
a key step in the education and training
of Bahamians in maritime arbitration.
Cooper-Rousseau also chairs The
Bahamas Bar Associationís Arbitration
Committee, which invites various
institutions including The Honourable
Society of the Middle Temple to come
to The Bahamas to provide training to
the legal and other professions.
While clients have the freedom to hire
arbitrators from other jurisdictions, there
will always be a need for local counsel
and experts from the marketplace.
ìThatís where the Chartered Institute of
Arbitrators comes in, by qualifying
Bahamians that will be internationally
recognized as competent in this area,î
she says.
Legal professionals with an interest in
maritime arbitration, must be prepared
to routinely upgrade their skills and stay
on top of industry trends.
ìIf we say we are open for business,
it means that our services and our

qualifications must be beyond excellent.
This requires that we respond to the
array of demands required for
international arbitration, including
multilingual requirements, whether itís
in Portuguese, Spanish, Mandarin,
French or German,î says CooperRousseau, who studied in France and is
fluent in the language. ìIf we are
talking about being an international
arbitration hub, we would have to offer
multilingual services or have the
necessary translators to provide those
services. The creation of an international
arbitration centre that can not only
meet the demands of international
arbitration but also excel in doing so in
this highly competitive industry, is the
order of the day and that requires the
retooling of legal professionals.î
Maritime opportunities
Opportunities abound for The Bahamas
as maritime trade and routes expand,
including trade between South America
and India. ìIndia is a common law
jurisdiction. They speak English. I believe
they would like for their matters to be
heard here eventually and not in London
or New York.î
Moreover, it makes business sense for
shipowners to seek resolution of their
disputes in The Bahamas. CooperRousseau sees the countryís second city,
Freeport on Grand Bahama, as a possible
centre for local maritime arbitration.
ìSeeing that it is already moving and well
developed in maritime matters, it would
make sense for it to be set up there."
The next three to four years will be
the true test for The Bahamas to create
a specific space in international
maritime arbitration. ìWe are
capitalizing on where we are and what
we have already in hand. So, itís a
question of moving expeditiously. We
have to send a clear message to the
international arbitral community,î she
explains. ìIn order to attract business to
The Bahamas, we have to equip the
judiciary with the right tools by creating
a commercial court and appointing
knowledgeable judges experienced in
international arbitration and maritime
matters, as well as other methods of
alternative dispute resolution.
ìWe have to look at ourselves as
complementing other international
arbitration seats, whether itís Mauritius,
Singapore, Hong Kong, Brazil or New
York. Because arbitration is global, it is
not our unique commodity.î
Work to be done
There is still some work to be done in
order for the country to take full
advantage of the financial benefits from
becoming a hub for maritime arbitration
in the region.
On March 30, 2012, The Bahamas
government approved the appointment of
three Bahamians to the International
Centre for Settlement of Investment
Disputes (ICSID)ñan arbitration and
conciliation institution attached to the
World Bank. Cooper-Rousseau joined
attorney Caryl Lashley of Dupuch &
Turnquest and Justice Ruby Nottage in this
historic move. The appointments show the
commitment policy makers have to the
future of arbitration in the jurisdiction.
According to Cooper-Rousseau, the
next steps should focus primarily on
implementing a strategic plan to set up
the institutional infrastructure, meeting
with The Bahamas Shipowners
Association to discuss immediate needs,
and eventually amending the present
legislation, so that it takes into
consideration the economic aspects of
maritime arbitration.
ìThe approach to arbitration and
maritime matters has to be holistic.
Maritime matters are a priority on the
national agenda. We have to move with
haste,î she adds. ìThat is where I
would like to see The Bahamas going
over the next three yearsñnot getting
bogged down, but moving on, setting
the pace and really announcing to The
Americas including Brazil, USA and
Canada, as well as Asia, Europe and the
rest of the world that we are here to
provide an international arbitral seat
during Eastern Standard Time.î

Island, Giselle Pyfrom, talks hospitality law

A
ny day in the life of Giselle Pyfrom, senior vice
president and general counsel at Kerzner
Internationalís Atlantis mega-resort on
Paradise Island, can hardly be described as ìtypical.î
From early morning conference calls with Dubai or
Cape Town to combing through a myriad of
contracts, or documenting development deals with
the global Kerzner team, her days are fast-paced and
richly varied from start to finish.
Since 1997, Pyfrom has performed in a dual capacity
as the chief legal mind at Kerznerís Bahamas operations
and as an important member of the companyís global
legal team. In April 2012, Canadian company
Brookfield Asset Management took over ownership of
Kerznerís two properties in The BahamasñAtlantis
Paradise Island and the One&Only Ocean Club.
The city of Atlantis
Atlantis Paradise Island is the premier resort in The
Bahamas, home to an extensive waterpark system
with the worldís largest open-air marine habitat. It
boasts 40 restaurants, 3,500 rooms, a 63-slip marina
and extensive convention facilities. Despite the size,
Pyfrom makes it a point to walk around the massive
141-acre property regularly.
ìIn my view, walking the property and seeing the
operations first hand is an important part of
becoming truly integrated into the business and
operation,î she says.
Functioning in the role of general counsel in such
a large and diverse hospitality environment requires
a comprehensive outlook, managing the needs of
the business within the constraints of legal
compliance. The Casino also adds a further layer of
regulation and compliance requirements.
ìLawyers in traditional private practice are more
inclined to specialize in a particular field,î Pyfrom
explains. ìBy contrast, working as general counsel
for this type of resort, requires a more broad-based
expertise, and the ability to apply that expertise in a

wide variety of situations. It is important
to have an understanding of the
business as a whole, in order to provide
effective and appropriate legal advice
and guidance.î
According to Pyfrom, the Atlantis
Paradise Island property is not unlike a
small city. ìIt has a network of roads,
utilities, car parks, extensive landscaping,
both a water treatment and a laundry
facility, as well as a sophisticated
warehouse and distribution system, all of
which are centrally administered. All of
these characteristics distinguish it from a
typical hotel.î
Peripheral knowledge
Problem solving and risk management in
such a dynamic environment has to be
approached holistically. ìI cannot afford
to address a problem in a vacuum. To
remain as an effective partner in the
business, it is important for me to
approach each issue against a broader
background knowledge of the business as
a whole. My job is not to just provide
technical legal advice, but to offer the kind
of professional guidance that also works
towards a solution that fits with the
underlying business needs and purpose.î
One of the primary roles that Pyfrom
plays in the position of in-house counsel
is to avoid or minimize legal risks. A
certain amount o f time each day is
spent reviewing logs created by security
and resort management to check for
incidents that might give rise to a legal
claim. It is also important to have good
communications and working relationships
with other executives, so that legal
problems can be evaluated or better
anticipated and avoided altogether.
In addition to support from the legal
teams at Kerznerís New York and Florida
offices, she relies on the services of
external counsel. ìAs general counsel, it is
my job to decide how best to service the
legal needs of the business, and given our
relatively small in-house legal team, use of
outside counsel is a necessary and
strategic supplementary resource. For
example, we will make use of outside
counsel when we require very specialized
advice, or expertise in a jurisdiction that
we may not have in-house.ì
In fact, it was while working as the
external counsel for Atlantis that Pyfrom
made her first impression on the resortís
executive management team and began

her transition from private practice into
hospitality law.
Legal background
As with the majority of Bahamian legal
professionals, Pyfromís training began in
the United Kingdom. She graduated with
an LLB from the University of Bristol and
opted to work for two years in a Bristol
law firm before returning home. In 1986,
she was called to the Bahamas Bar and
began practicing in her late uncleís, the
Hon Eugene Dupuch, QC, law firm
Dupuch & Turnquest.
In the early 1990s, she joined Harry B
Sands and Company (now Harry B Sands,
Lobosky & Company) as a partner. One
of her major clients was the Paradise
Island Resort and Casino. In 1994, South
African-based developer Sir Sol Kerzner
expanded his resort management
company, Sun International, by
acquiring Resorts International on
Paradise Island from American
entertainer and entrepreneur Merv
Griffin. The developers were poised to
transform the island into the Atlantis
mega-resort and redefine the Bahamian
tourism product.
Working closely with the propertyís
then general counsel, Pyfrom provided
legal support to the growing resort. The
Kerzner group approached her to join
their in-house legal team and, in 1997,
she made the transition from private
practice to corporate lawyer.
Pyfrom became the first Bahamian to
serve as general counsel to the countryís
second largest employer after the
government. The property has a staff of
more than 8,000 employees.
She admits to not being immediately
sold on the idea of leaving private
practice. ìQuite frankly, the offer took
me by surprise, and, at first, it didnít
feel like something that I wanted to
doñgive up my business and go to work
for someone else. However, that
ësomeone elseí being Sir Sol, it did not
take too much thought to realize what
an amazing opportunity this could be,
and I have never looked back.î
Some 15 years later, she is still growing
and learning in the position and enjoying
being part of a diverse and evolving
business operation. ìOne of the things
that drew me to this job was the potential
for variety of experience and to be able to
learn something new every day.î
The resortís executive management
team, past and present, have
contributed greatly to her success. ìI
have had the good fortune to work with
a talented executive team at Kerzner
over the years, most especially Sir Sol.î
She includes among her mentors
Keith Duncombe, QC (from the days of
private practice) and Sir Solís deceased
son, Howard ìButchî Kerzner.
ìButch taught me many things, not
least of which is the importance of
leading a balanced life,î she explains.
Global reach
For Pyfrom, the beauty of her job is that it
is not just about the hotel business. ìEvery
project that we work on is a combination
of different teams within our organization,
working together towards a common goal.
There is a great deal of communication and
collaboration across the properties and
around the world.î
Being a part of a team with properties in
Dubai, Cape Town, Mexico, the Maldives
and Mauritius and offices in major business
hubs such as New York and Dubai, allows
for movement and growth within the
organization. Beyond her Bahamas role,
Pyfrom works with each property helping
to satisfy their various legal needs during
the course of a year.
When Kerzner expanded its operations
to include Atlantis The Palm in Dubai in
2008, Pyfrom spent time working there
to put in place the legal framework.
One of the main challenges in a global
operation is to guard against being
spread too thin. ìIt is very easy to be
inundated by the minutiae of the job. So
it is important to prioritize and always
remain responsive, so that advice is given
in an efficient and timely manner.î
Pyfrom says the new ownership by
Toronto-based Brookfield Asset
Managementña 100-year-old company
that manages $150 billion in global
assetsñchanges her role only in a
technical sense.
Kerznerís continuing role as the manager
of the Atlantis Paradise Island and
One&Only Ocean Club is coupled with
newly invigorated growth and development
plans, including a recently announced
proposed development in China.
ìI have great optimism for the future,
as we navigate the ever-changing
landscape of both local and global
operations,î she adds.
