Introduction The Stavros Niarchos Foundation Cultural Center (SNFCC) is at the start of the journey to select the right Restaurant, Café and Bar operators for the most exciting development in Athens for several years. Foodservice will be a key part of the SNFCC’s day to day activity and will be part of the ‘social glue’ that will bind together and support the different activities at the SNFCC. This document provides an initial overview of the SNFCC and the foodservice offers proposed within it as well as an invitation to express interest and an outline program for securing the most suitable operators. You are invited to express interest in operating elements of the foodservice provision by completing the Prequalification Questionnaire (PQQ) which accompanies this document. ItP 3 2. SNFCC Vision The Stavros Niarchos Foundation Cultural Center (SNFCC) aspires to add a vibrant and treasured source of enjoyment, education and conviviality to the life of the Greece’s capital. It will be the home of the National Library of Greece and Greek National Opera; and produce and present a wide range of cultural, social and educational programs and popular entertainment. Its 42-acre (170,000 sqm) Stavros Niarchos Park will provide a compelling green space in which the citizens of Athens and visitors from all over Greece can gather, stroll and relax, as well as serving as an attractive venue for open-air events and concerts. ItP 4 3. SNFCC Values The SNFCC is committed to the highest international standards and seeks to embody the following core values: Wide social access: the SNFCC is a gift to the people of Greece. Its architecture and design, its programming philosophy, its opening hours, its pricing policies and its promotional activities are informed by a desire to foster a community of all ages and backgrounds, and to create a welcoming, comfortable and accessible environment for both regular and occasional visitors. Its architecture and landscape draw their inspiration from the Greek traditions of great public buildings and public spaces. Environmental sustainability: the location, design, construction, choice of materials and maintenance systems of the SNFCC have all been conceived to foster urban renewal and to minimize adverse environmental impact over the lifetime of the building. This is recognized in the LEED Platinum designation that is being sought for the SNFCC. Operational efficiency and effectiveness: just as the building aspires to be a model of intelligent, environmental sensitive design, it is the ambition of the SNFCC to embrace the highest international standards of professionalism, financial prudence, transparency and ethical conduct in the execution of its responsibilities for the management and operation of the buildings and the park, in partnering with the resident companies and other organizations and in the programming and marketing of the events for which it is responsible. Programmatic excellence: the SNFCC aspires to the highest standards of quality in all programming and approaches and in its support of its partners from this perspective. It sees broad social access and high artistic standards as mutually reinforcing, making the SNFCC a place to which members of the public, artists, educators and scholars wish to come and to return. ItP 5 4. SNFCC Overview In 2006, the Stavros Niarchos Foundation (SNF) announced plans to fund the development of the Stavros Niarchos Foundation Cultural Center (SNFCC), a project that includes the construction and complete outfitting of new facilities for the National Library of Greece (NLG) and the Greek National Opera (GNO), as well as the creation of the 42-acre (170,000 sqm) Stavros Niarchos Park. Education, culture and sustainability, the SNFCC’s three main elements, are essential requirements in enhancing the potential of the city and its people and placing them within a twenty first century global context. In February 2008, following a closed international design competition, the Foundation’s Board of Directors unanimously selected the Renzo Piano Building Workshop as the project’s design architect. Through this selection, the Foundation has chosen an architect at the forefront of the architectural profession, who possesses vision, intellectual curiosity and a historical and geographical understanding of the project’s location and significance. The project site is located 4.5 km south of the center of Athens, on the edge of Faliro Bay, within the boundaries of the municipality of Kallithea. The SNFCC is designed as a multifunctional arts, education and entertainment complex. The SNFCC is expected to be handed over as a grant to the Greek state in mid 2016 and it is expected to open to the public in the first half of 2017. Consequently all F&B spaces should be completed with fittings and internal design by the date the project will be handed to the Greek State and it should be operable for the general public in the first half of 2017. However, there will be certain F&B spaces that will be operating only for servicing the staff as of mid 2016. The above dates are indicative, based on current time schedule, and may be subject to change. ItP 6 5. The SNFCC A.E. The SNFCC is the first project of its kind in Greece which is funded exclusively by a private entity, a grantmaking foundation (SNF). In 2009 an agreement was entered between the SNF and the Greek State in relation to the implementation of the SNFCC and was ratified by virtue of Law 3785/2009 (Government Gazette Issue 138A/09) which can be found at http://www.snfcc.org/about-the-snfcc/contract-with-thestate/. The Stavros Niarchos Foundation Cultural Center Societe Anonyme (SNFCC A.E.) is an independent nonprofit special purpose legal entity responsible for the realization of the SNFCC during the construction period and for the operation and management of the SNFCC during the operation period. Pursuant to the provisions of Law 3785/09 the SNFCC A.E. is a private law entity and does not fall under the wider public sector. During the construction phase, the SNFCC A.E. is controlled and funded by the SNF. Upon completion of the construction phase, the SNF will transfer full ownership of the SNFCC A.E. to the Greek State and will not be involved in any way in the management of the SNFCC. As a result, the Greek State will assume its full control, operation and management. SNFCC A.E., supervised by the Ministry of Finance, will be responsible for the supervision, maintenance, security and operation of the SNFCC. It will also be responsible for all common areas of the SNFCC, as well as the planning of events for the Stavros Niarchos Park. This Invitation to Participate is made by the SNFCC A.E. through Faithful + Gould. For the avoidance of any doubt, the SNF is not involved in any way whatsoever in this F&B Operators Selection Process, which is the sole responsibility of the SNFCC A.E. ItP 7 6. The Development The SNFCC will consist of the following: 6.1 The Greek National Opera The building will be a multi-use venue hosting a variety of performances and events. Its 2 stages will accommodate opera, ballet, children’s opera, musicals, concerts, plays, and multi media art programs. 1 The 1,400 seat auditorium is part of a 28,000 sqm state-of-the-art facility including a school of dance, rehearsal rooms, admin areas and other supporting facilities. First class equipment, excellent acoustics, and high aesthetics will designate the GNO as one of the leading opera houses of the world and define its place within the international opera landscape of the 21st century. The second, flexible experimental theater with a capacity of 450 people will function as an ideal platform for modern and youthful creation. It will host experimental, alternative and educational lyrical theater, music and dance performances. ItP 8 6.2 The National Library of Greece The new Library building, with an area of 22,000 sqm will transform the current institution founded in 1832. It will comprise three floors and an iconic ‘tower of books’, expanding its current focus as an exclusive research facility to an allinclusive public resource. A guardian of the past and at the same time a source of accumulated energy for the future, the NLG, realizing the needs of contemporary reality, for the first time since its inception, will operate on two levels: as a National Research Library, but also as an Open Public Library. 2 The ground floor and part of the first floor will include an Entrepreneurship Center, a Recording Studio for new musicians, reading rooms, specially designed areas for children and teenagers, as well as areas for young people and adults. Visitors will be able to borrow material, find answers to their questions, broaden their horizons and experiment within the technologically innovative spaces of the NLG. ItP 9 6.3 The Stavros Niarchos Park The Stavros Niarchos Park covers an area of 42 acres (170,000 sqm) — 85% of the SNFCC’s total area. It is a universe of shadow play, created by 1,400 trees and 280,000 shrubs, open to all kinds of exploration by visitors walking through the Park, athletes, families, young people and groups of friends. The SNFCC also includes a 33,000 sqm car parking building, a restaurant and 3 cafes/kiosks. 3 Guests will be able to enjoy and educate themselves in the Mediterranean Garden, the Vegetable Garden and the circular Labyrinth. They will also have the opportunity to attend concerts, movies, shows and cultural events in specially designed open spaces, but also to exercise using outdoor fitness equipment, at the four 300-meter tracks and the six straight tracks of 100 and 200-meters as well as at the cycling route. ItP 10 7. The Foodservice Offer The SNFCC incorporates a variety of confectionary areas which (a) present a potential revenue stream for the SNFCC and (b) will be integral to the experience of the SNFCC visitor. Foodservice will be dispersed across the SNFCC, providing a breadth of menu choice, price points and service styles across the morning, through the day and evening. We have provided an overview of each over the following pages. G B D A C E F A. Park Café: A Café Kiosk located in the heart of the Park, close to the playground - a place Detailed information will be provided during the Request for Proposal (RfP) Process (Phase 2). where families gather for a treat whilst taking a break from playing and exploring. H. In addition, there can be a few mobile foodservice carts dispersed through the Park to meet demand. It is expected that Renzo Piano Building Workshop will play an active role in the interior design of the areas which will be used for F&B purposes. ItP 11 The different components of the foodservice offer across the SNFCC will be tendered in different Lots as follows: Foodservice unit A. Fine Dining F&B Space – Level 5 Lot 2: Lot 1: Cafes, Opera Bars, Staff Canteen, Level 5 Fine Dining F&B Space Lighthouse & Mobile Food carts B. Staff Canteen – Level 5 C. The Lighthouse D. Opera Bars (7 Bars) *Includes E. Librarymobile Café food carts in the Park F. Canal Café *Includes mobile food carts in the Park G. Park Kiosk The different Lots reflect the specialist operator requirements for each. • Lot 1 will require a quality restaurant operator. • Lot 2 will require a focus on Cafes, bars and mobile carts in the gardens. • Bidders, interested in both lots, should declare through the Prequalification Questionnaire (PQQ) whether they are interested to be evaluated for one tender or both tenders. Note: Event Foodservice is not included in this Tender process. A separate Event Operator list will be used for all SNFCC Events and the selected F&B operators will be provided with the opportunity to participate in the selection process. ItP 12 8. The F&B Operators Selection Process The key objective the SNFCC A.E. wishes to realize through this Invitation to Participate is to inform the F&B market of its intention to select suitable F&B operators, who will undertake to design, fit – out (with the involvement of Renzo Piano Building Workshop) and operate the abovementioned foodservice areas after signing the relevant agreements with the SNFCC A.E. The selection process is arranged by the SNFCC A.E. and all the announcements related with this selection process can be found on the SNFCC website. The SNFCC A.E. will be assisted during the whole selection process by its specialized Advisors (“the Advisors”), namely: •Coverpoint Consultancy (“Coverpoint”), part of the JLL Group, who are specialists in providing F&B advice to developers and landlords of commercial and heritage properties across the world. The role of Coverpoint in the SNFCC project is to provide advice on the F&B offering throughout the F&B Operators Selection Process. •Faithful + Gould (“Faithful + Gould”), a member of the Atkins group which is an international Project Management service provider. The role of Faithful + Gould in the SNFCC project is to manage the tender and negotiation process and operate as the primary point of contact for tendering parties throughout. Faithful + Gould is the team producing the documentation and managing all the tender and negotiation processes with the full involvement of the SNFCC team, and •Zepos & Yannopoulos Law Firm (“Zepos & Yannopoulos”), a reputable law firm which is responsible for the legal aspects of the process. The F&B Operators Selection Process comprises two phases: •the Prequalification Phase (Phase 1); and •the Request for Proposal (RfP) process (Phase 2). During this Phase 2, the SNFCC A.E. intends to follow two separate and parallel processes, namely a selection process for (a) The Fine Dining F&B space (Level 5 – Opera Building) and (b) the Staff Canteen, the Opera Bars, the Cafes, the Lighthouse and the Mobile Food Carts. For this purpose, the interested parties of Phase 1 should declare through the Prequalification Questionnaire (PQQ) whether they are interested to be evaluated for one tender or both tenders. Throughout the F&B Operators Selection Process, the SNFCC A.E. reserves the right, at its absolute judgment, to modify at any time the process and terms for the selection of the F&B operators, including the respective time schedules, and/or to postpone, cancel or not award a contract, and/or to repeat the procedure, and the participants and interested parties will not be eligible for any compensation whatsoever against the SNFCC A.E. and / or its Advisors. ItP 13 8.1 Prequalification Process (Phase 1) 8.1.1 Expression of Interest This Invitation to Participate marks the start of the Prequalification Process (Phase 1). During this Phase 1 and by way of invitation Interested Parties (the “Interested Parties” and each an “Interested Party”) willing and able to undertake the design, fit-out and operation of the SNFCC’s F&B spaces are invited to participate in the F&B Operator Selection Process. During this Phase 1, Interested Parties, will be expected to submit their expression of interest by filling in and submitting to Faithful + Gould the Prequalification Questionnaire (the “PQQ”) which accompanies this document and the required supporting documents (the “Expression of Interest”). Where indicated in the PQQ, specific supporting documents (the “Supporting Documents”) will have to be submitted as attachments to the PQQ. The submission of the PQQ, will not be considered as complete unless answers have been provided for all sections of the PQQ and Supporting Documents, where required by specific sections of the PQQ have been submitted as attachment to the PQQ. The Expressions of Interest must be submitted to Faithful + Gould in soft copies (via email) directly and exclusively at the following email address [email protected] no later than 24th August 2015 at 17:00pm GMT+2 (the “Submission Deadline”), or at such other later date and time that may be decided by the SNFCC A.E. at its absolute discretion. Submission by other means will not be accepted for evaluation. Confirmation of Receipt will be sent by Faithful + Gould via email to all candidates, in the email address provided in the PQQ (Respondent Details - Section 2.0). Submissions made beyond the Submission Deadline will not be considered for evaluation. All Interested Parties can log their queries regarding Phase 1 of the process up to 14th August 2015 at 17:00 pm GMT+2 or at such other later date and time that may be decided by the SNFCC A.E. The queries should be sent to the following email address: [email protected] . The answers of the Q&A session will be sent by Faithful + Gould via email to all candidates. The queries and answers will be publicly available until the Submission Deadline. It is clarified that all queries and answers will be strictly anonymous and no mention will be made to the name of the Interested Party which submitted the query published. Faithful + Gould reserves the right to request clarifications, verification or other information or written proof relating to the Expression of Interest, the PQQ and the Supporting Documents and in general with respect to the compliance of the Interested Parties during this Phase 1 and at any stage of the F&B Operators Selection Process. In case of extension of the Submission Deadline, such extension will be made public prior to expiry of the Submission Deadline through the SNFCC website. Interested Parties are encouraged to check regularly the SNFCC website for any announcements relating to this Invitation to Participate. ItP 14 8.1.2 Right to Participate This Invitation to Participate is addressed to natural persons, legal entities, consortia / joint ventures that meet the Prequalification Criteria as set out below in paragraph 8.1.3 of the Invitation to Participate. By submitting their Expression of Interest, the Interested Parties, unreservedly acknowledge and agree (i) with the terms and conditions of this Invitation to Participate and (ii) that the rejection of a submission does not create any claim or right of compensation for the Interested Party whose Expression of Interest has been rejected or for any other party directly or indirectly affected by this rejection. 8.1.3 Eligible Operators After having received the Expressions of Interest, the SNFCC A.E. with the assistance of the Advisors shall proceed to the first step of the selection process, which will consist in the identification of operators (the “Eligible Operators”) who meet the prequalification criteria (the “Prequalification Criteria”). The Prequalification Criteria consist in the personal situation criteria as set out in the PQQ (section 23.0 - Professional and Business Standing). In case of a consortium / joint venture, the Prequalification Criteria must be met by all members of said consortium / joint venture. In addition, in order for Interested Parties to be considered Eligible Operators the documents required by Section 8.0 – Audited Accounts and section 11.0 – Bank Documents of the PQQ must be submitted along with the PQQ. The Eligible Operators will be organized in two groups: (a) Group A involving operators eligible to follow the Phase 2 process for the Fine Dining F&B Space and (b) Group B with operators eligible to follow the Phase 2 process for all the other F&B areas. 8.1.4 Shortlisted Operators Following the identification of the Eligible Operators, the SNFCC A.E. with the assistance of the Advisors will proceed to the selection of those Eligible Operators who will be invited to participate in Phase 2 of the F&B Operators’ Selection Process (the “Shortlisted Operators”). Such selection will take place on the basis of the information provided through the Expression of Interest (PQQ & Supporting Documents) and at full discretion of the SNFCC A.E. Interested Parties are informed that the PQQ shall be treated as a solemn declaration of the Interested Party confirming the accuracy of the information included therein in the sense of Article 8 of Law 1599/1986. All Interested Parties (whether Shortlisted Operators or not) will be notified on the outcome of the selection process by email on 2nd October 2015 at the email address provided by them in the PQQ (Respondent Details - Section 2.0). ItP 15 Faithful + Gould reserves the right to invite additional Shortlisted Operators to participate in Phase 2, even after the official completion of Phase 1. The dispatch of a notification that a specific Interested Party has not qualified as a Shortlisted Operator does not preclude Faithful + Gould from selecting such Party as Shortlisted Operator at a posterior stage of the procedure. Shortlisted Operators will be required during Phase 2 to submit a full set of certificates of proof (in original or duly certified form) from the relevant competent authorities evidencing the accuracy of the information provided in Section 23.0 - Professional and Business Standing of the PQQ or in any other section of the PQQ. Relevant details will be provided to Shortlisted Operators upon entering Phase 2 through the invitation that will be sent to Faithful + Gould to Shortlisted Operators. Changes to Shortlisted Operators (whether in the form of changes in the members of a consortium / joint venture or in the form of changes in the ownership of an Interested Party) after the Expression of Interest will be subject to the prior written approval of the SNFCC A.E., to be granted at its absolute discretion and on condition that the terms and conditions of this Invitation to Participate shall continue to be fulfilled and that all Supporting Documents will be submitted, otherwise the new member will be disqualified. 8.1.5 General Guidelines relating to Phase 1 I. Answers provided in the PQQ by Interested Parties must be provided in English language only. II. Supporting Documents submitted with the PQQ must be in English language or translated into English (except for Supporting Documents issued by Greek authorities which can be submitted in Greek language). III. Supporting Documents issued by foreign authorities must be apostilled and translated into English. Supporting Documents by Greek or foreign authorities must be issued and (where appropriate) certified within not more than 30 days prior to the date of the submission of the PQQ. In the event any of the Supporting Documents cannot be issued by the competent authorities or do not exist in the relevant jurisdiction, they may be replaced by a solemn declaration issued by the Interested Party in this respect. Said declaration must verify the inability to issue the Supporting Document in question and confirm the facts that would have been certified by such Supporting Document. IV. All translations of the Supporting Documents must be duly certified. V. All sections of the PQQ must be fully answered by Interested Parties with clear, accurate and detailed answers and data and Supporting Documents. Further details on the correct submission of the PQQ may be obtained, if required, from Faithful + Gould at the following e-mail address: [email protected]. VI. The PQQ must be duly signed and dated by the Interested Party. In case the Interested Party is a legal entity, the PQQ must be signed in the name and on behalf of the Interested Party by its legal representative or by other lawfully authorized person. By signing the PQQ such person shall declare in the sense of Article 8 of Law 1599/1986 that it has full power and authority to sign the PQQ in the name and on behalf of the Interested Party. ItP 16 VI. By signing the PQQ the Interested Parties shall declare in the sense of Article 8 of Law 1599/1986 that in case they qualify as Shortlisted Operators, they will submit during Phase 2 a full set of certificates of proof (in original or duly certified form) from the relevant competent authorities evidencing the accuracy of the information provided in Section 23.0 - Professional and Business Standing of the PQQ or in any other section of the PQQ. VII. Any declarations which are submitted by the Interested Parties during Phase 1 or by Shortlisted Operators during Phase 2 must be issued by one or more individuals, who must be identified by full name and position/title or other capacity in which the relevant individual is acting. Each declaration must include confirmation that the signatories identified have sufficient power to execute it and be certified for the originality of the signature. VIII. In case of Interested Parties that participate in the Prequalification Process (Phase 1) in the form of a consortium / joint venture, the PQQ must be answered and submitted by all their members. The same applies for the Supporting Documents which must also be submitted for each member of the consortium / joint venture. The members of the consortium / joint venture must appoint, by virtue of a joint declaration signed by the legal representatives of all its members, one person that will be responsible for all communications with the SNFCC A.E and such declaration shall be submitted along with the PQQ. IX. Interested Parties that participate in Phase 1 in the form of a consortium/joint venture are not required to assume a specific legal form in order to submit an Expression of Interest. However, if the consortium/ joint venture qualifies as a Preferred Operator during Phase 2 it may be required to assume a specific legal form to the extent that such form is necessary, in the absolute judgment of the SNFCC A.E., for the satisfactory performance of the agreement for the F&B areas. The members of a consortium/ joint venture shall be jointly and severally liable vis-à-vis the SNFCC A.E. X. Faithful + Gould has the right to request originals, official extracts and any kind of additional documents, information or clarifications from the Interested Parties regarding the answers provided in the PQQ, the Supporting Documents and/or any other matter at any time of the procedure and until final selection of the F&B Operators. XI. If an Interested Party (or in the case of a consortium / joint venture, a member thereof), fails to submit any of the Supporting Documents or makes a false or inaccurate statement in this respect it shall be disqualified from the selection process. In general Faithful + Gould reserves the right to disqualify at their discretion Interested Parties submitting Supporting Documents, declarations or other information that they have reason to believe is false or fraudulent or Interested Parties which do not cooperate for the provision of additional information and satisfying clarifications. ItP 17 8.2. Request for Proposal (RfP) Process (Phase 2) In order to participate in Phase 2 which is expected to commence by 2nd October 2015, Shortlisted Operators will be required to sign a Confidentiality Agreement, following which Shortlisted Operators will receive in writing a Request for Proposal (“RfP”), which will, inter alia, include instructions on the content and submission of their Proposal and the required Supporting Documents. Supporting Documents will include official certificates (in original or duly certified form) evidencing the accuracy of the answers provided by the Shortlisted Operators under section 23.0 - Professional and Business Standing of the PQQ or under any other section of the PQQ. Together with the RfP, Shortlisted Operators will also receive the key terms of the agreement for the F&B areas. Shortlisted Operators failing to produce the relevant certificates will be disqualified. Shortlisted Operators will be able to collect detailed information regarding the SNFCC’s F&B spaces through access to a physical or virtual data room (VDR). Upon relevant invitation they will be offered the opportunity to visit the SNFCC and will thereafter be requested to submit in writing, at the end of Phase 2, a binding Proposal (“the Proposal”) consisting of a Technical Offer (Concept, Design, Fit-out and Operational Details) and a Business Plan and Financial Offer for the operation of the F&B space for which they will be selected. After the submission of the Proposals, the SNFCC A.E. along with its Advisors will review them and may subsequently enter into negotiations with Shortlisted Operators in order to select the Operators that will enter into an agreement for the F&B areas of the SNFCC (“the Preferred Operators”). The selection of the Preferred Operators will take place on the basis of the criteria mentioned above, namely Concept, Design, Fit-Out and Operational Details, Business Plan and Financial Offer. Details of the process to be followed during Phase 2 will be included in the RfP.
