Grandall
Grandall Law Firm, previously known as “Grandall Legal Group” (hereinafter referred to as “Grandall”) was founded
in June 1998. As approved by the Ministry of Justice of the People’s Republic of China, Grandall is the first law firm
authorized to use the name of “Legal Group”.

Establishment
Grandall Law Firm was initially formed upon the amalgamation of Beijing Zhang Yongtao Law Firm, Shanghai
Wanguo Law Firm and Shenzhen Tangren Law Firm, and it was then registered with the Ministry of Justice of the
People’s Republic of China. The aforesaid three law firms were set up during 1992 to 1993 and they all have been in
operation for over 20 years.

Cooperation with Woo Kwan Lee & Lo
After the publication of Closer Economic Partnership Arrangement (CEPA), and upon approval by the PRC Ministry
of Justice, Grandall and Woo Kwan Lee & Lo, a famous leading Hong Kong law firm, entered into a Cooperation

website of CSRC, during the period from 1 January 2010 to 31
December 2010:
(a) 198 companies successfully launched their IPOs on the
Mainboard and SME board, among which 30 companies
(accounting for 15.15%) were represented by Grandall. In terms of
IPOs on the Mainboard and SME board in 2010, Grandall’s market
share ranked the first;
(b) 137 companies launched their IPOs on the GEM, among which
19 companies (accounting for 13.87%) were represented by

China Securities Journal reported on 6 December 2010 that:

“Recently, the Report on the Development of the PRC Capital
Market’s Legal System (2009) was officially released by the Legal
Affairs Department of China Securities Regulatory Commission
(CSRC). According to the Report, the business volume of securitiesrelated legal services has been increased year by year, and the
concentration degree of the industry was further enhanced.
According to the statistics of the Legal Affairs Department of CSRC,
in 2009, law firms issued 1,060 legal opinions in total, which was
17.8% above the figure in 2008. Among that, 225 legal opinions
were relating to refinancing of listed companies, which was
increased by 52% over the figure in 2008. However, the number of
legal opinions issued by the top 10 law firms in respect of IPO,
refinancing, M&A and restructuring represented nearly half of the
total number of legal opinions in respect of the same. Among that,
Grandall Legal Group (after being ranked the first in 2008) again is
ranked in the first place in terms of overall securities practice --- its
total business volume reaches 88 deals in the year.”

Grandall has been well recognized for its services relating to
capital market
In the Report on the Development of the PRC Capital Market’s Legal System (2009) issued by the Legal Affairs
Department of CSRC, six law firms were mentioned and praised therein. Among these six law firms, two law firms were
from Grandall. The relevant part of the foresaid Report is reproduced for information as follows: “With solid expertise and
extensive experiences, law firms and lawyers participated in the whole process of M&A and restructuring activities of
listed companies, including formulation of new mode of M&A or restructuring plans, internal review and discussion,
administrative approval and detailed implementation. During these stages, the lawyers well performed their functions as
professional consultant and compliance controller in the course of providing high-quality legal services. (…) For example,
as Northeast Expressway’s legal counsel, Grandall Legal Group (Shanghai) issued significant legal documents (such
as the plan for separated listing, internal decision-making documents, legal opinions, etc.), and, in order to assure the
compliance and feasibility of such plan and legal opinions, Grandall not only understood and applied the laws
appropriately, but also communicated with the regulatory authorities in respect of those issues that were not clearly
specified by the laws. Grandall offered great support to facilitate the stable implementation of the separated listing
project.”
