1.Delivery
1.1 The buyer is responsible for excess costs for express and urgent deliveries. We will attempt to select the least expensive delivery
method.
1.2 The minimum order value per order is € 75. If this is not met, a minimum quantity fee of € 5 per order will be charged.

We provide a 2% discount on the merchandise value for payment
within 10 days.

General Terms and Conditions
General Terms and Conditions for Delivery and Payment/Valid as at September 2004
I. Scope
1. Our Terms and Conditions of Business as set out below apply exclusively. We do not recognise any conditions
on the part of our contractual partners that contradict, or that deviate from, our Terms and Conditions of Business,
unless we have explicitly approved their validity in writing. Our Terms and Conditions of Business also apply in
cases where we have accepted a service with no reservations, or provided a service ourselves with no reservations, while at the same time being aware of conditions on the part of the service provider that contradict, or that
deviate from, our own Terms and Conditions of Business. .
2. If the customer is already familiar with our terms and conditions for delivery and payment, these also apply for
future transactions without the need for renewed notification. Acceptance of our goods and services is taken as
recognition of our terms and conditions.
3. Number 2 above does not apply for nonmerchants.
II. Prices
1. The prices agreed are plus the current rate of VAT on the delivery day.
2. The weights, number of items and quantities calculated by us form the basis for price calculations, unless the
consignee should immediately dispute these.
3. If substantial changes in costs relating to the order occur after the agreement has been concluded, the parties
to the agreement are obliged to undertake to reach an agreement on adjusting the prices.
4. Number 3 above does not apply for nonmerchants.
III. Application advice
We provide advice on application based on our knowledge and experience. However, all specifications and information regarding the suitability and application of our products do not free the customer from the obligation to
conduct tests and experiments itself to ensure that the products are suitable for the intended processes and uses.
IV. Subject of the agreement
Specifications on the part of the vendor regarding the spreading rate, quantities, properties or materials are given
with all due care and attention, but are not binding unless explicitly specified as such. Even in the latter case, they
are to be understood as quality descriptions within the meaning of Art. 434 Paragraph 1 Sentence 1 of the German
Civil Code (BGB). The vendor is entitled to make changes to the delivery items up to the date of delivery that
constitute an improvement to the product or incorporate state-of-the-art technology. Drawings, photos, sample
items and documents supplied by the vendor remain its property. Third parties may not be allowed access to these
without the vendor’s permission.
The vendor hereby asserts its copyright in this regard. The nature of the object of purchase under the terms of the
agreement is based exclusively on our product descriptions and written agreements. No account shall be taken
of expectations expressed unilaterally by the customer or of advertising statements or other utterances by the
vendor or its agents, provided the delivery does not entail purchase of consumer goods.
V. Delivery
1. A customer’s order represents a legally binding offer that we may accept within 10 days by sending an order
confirmation or supplying the goods. In the absence of any other explicit arrangements, delivery will be made
from our plant or delivery warehouse.
2. If collection is agreed, the risk of accidental loss or accidental deterioration of the delivery items passes to the
customer when the latter is notified that the goods are available. In other cases, the risk transfers to the customer
at the point when the goods are delivered to the carrier. We shall choose the mode of dispatch and shipping route.
Additional expenses as the result of different wishes on the part of the customer shall be borne by the latter.
3. Reasonable part deliveries to the customer are permitted.
4. In the event of substantial, unforeseeable stoppages, provided these are not our fault, failure to meet delivery
deadlines or delivery breakdowns from our suppliers, interruption of business resulting from a shortage of raw
materials, energy or personnel, strikes, lockouts, problems procuring means of transport, traffic disruption, orders
from authorities and cases of force majeure at our premises or at our subcontractors, the delivery period shall be
extended for the duration of the impediment to performance, provided these circumstance are pertinent to the
delivery and the delivery capability of the goods. We shall inform the customer immediately when hindrances of
this kind begin and end. If delivery is delayed by more than three months as a result, both we and the customer
are entitled to withdraw from the agreement in respect of the quantity affected by the delivery disruption, with all
claims for compensation being excluded.
5. If delivery is effected in loan containers, these must be returned carriage paid and emptied of all remnants
within 90 days of receipt of delivery. Costs for loss or damage to a loan container before it has been returned to
the supplier shall be borne by the customer, provided the latter is responsible. Loan containers may not be used
for other purposes or to store other products. They are intended only for the transport of the delivery goods.
Markings may not be removed.
6. We do not accept return of one-way packages. In such cases, we shall give the customer the name of a third
party, who will arrange for the package to be recycled in accordance with the Packaging Regulation (Verpackungsverordnung).
VI. Payment
1. The invoice amount must be paid in full by the due date. Prompt payment shall be deemed to have been
made only if we can dispose of the money with the value date on the due date on the accounts specified by us.
Discounts and rebates shall be granted only in the case of special arrangements. Any discount deduction on new
invoices is excluded in cases where older invoices due have not yet been paid.
2. In the case of default in payment, penalty interest shall be payable at the rate of 8% above the current base interest rate at the time the default commenced (Art. 247 German Civil Code - BGB). For legal transactions involving
a consumer, the penalty interest rate shall be 5% above the current base interest rate.
3. Offers of bills of exchange do not constitute cash payment and is permitted only for payment purposes with our
prior agreement. Discount rates and bill of exchange fees are at the expense of the customer.
4. Retention or offsetting owing to customer claims disputed by us is excluded.
5. No right of retention may be claimed, and no sums may be offset against our claims unless the customer’s
claim is uncontested or has been legally established.
6. Non-payment of invoices due, or other circumstances indicating a substantial deterioration in the customer’s
financial circumstances after the agreement has been concluded entitle us to assert immediately all claims emanating from the same legal relationship.
VII. Reservation of ownership
1. We retain ownership of the delivery item until the purchase price has been paid in full. The goods supplied
remain the property of the vendor until all claims from the business relationship have been satisfactorily met.
Reservation of title also applies if individual claims are included in current invoices and a balance is struck and duly
acknowledged. Claims for payment of the purchase price shall be deemed not
to have been met for as long as any liability assumed by us in this context in the form of a bill of exchange should
persist – for example, the payment process required for a cheque or bill of exchange. If the customer defaults on
payment, it is obliged, at the vendor’s request, to surrender the goods delivered without any requirement on the
vendor’s part to declare its withdrawal from the agreement.
2. No liability on our part is created by any application or mixing performed by the customer on our behalf. In
the case of application or mixing with other items that do not belong to us, the customer shall transfer to us in
advance co-ownership of the new item as security for our claim, in the same ratio as the value of the reserved
goods to the other application items, with the proviso that the customer shall hold the new item on our behalf.
3. The customer is entitled to dispose of the products in the ordinary course of business, provided that it meets
its obligations from the business relationship with us promptly.
4. As a security, the customer shall assign in advance all claims from the sale of goods to which we have ownership rights in the proportion of our shared ownership of the goods sold. If the customer combines or mixes the
goods on behalf of a third party for a charge, it shall assign in advance its claim for payment from the third party
to us as security, to the amount of the invoice value of the goods delivered. We duly accept such assignment.
5. At our request, the customer must provide all information relating to the stock of goods owned by us and on
the claims assigned to us, and must inform its customers of the assignment.
6. The customer is obliged to keep the reserved goods carefully and to insure them against loss or damage at its
own expense. It hereby assigns its claims under any insurance policies to us. We duly accept the said assignment.
7. If the value of the securities exceeds that of our claims by more than 20 per cent, we shall release the securities
we choose at the customer’s request.
8. The right of the customer to dispose of the products covered by our reservation of ownership and the right to
recover the debts assigned to us expires as soon as it ceases payment and/or experiences financial difficulties.
Should such circumstances arise, we are entitled to demand the immediate, temporary surrender of all goods
covered by our reservation of ownership, to the exclusion of the right of retention, of a period of grace and of the
exercise of the right of withdrawal.
9. Should the reservation of ownership be illegal under the laws of the country in which the delivered goods are
currently held, the customer is obliged to provide a security of equal value at our request. If it does not accede to
this request, we may demand immediate payment of all outstanding invoices, irrespective of the agreed terms
for payment.
10. The customer must notify us immediately in the event of compulsory enforcement measures by third parties
with respect to goods to which title has been retained, passing on to us the documentation needed to intervene.
This also applies in the event of any other kind of interference. In addition, and independently thereof, the customer is required to notify the third party in advance of the legal rights situation with respect to the goods. If the
customer is a business, it must bear the intervention costs incurred by us unless the third party is in a position
to reimburse us
VIII. Warranty and liability
1. The vendor concedes the rights described in the next paragraph for defects in delivery, provided the defects are
relevant ones. All other claims for defects in delivery are hereby excluded.
3. Commercial purchasers are required to inspect the supplied goods completely, thoroughly and carefully, immediately after receipt. Should this inspection reveal any defects, we must be notified immediately in writing
(the authoritative time period specifies receipt by us within three days of the inspection). If there is no defect
notification of this kind, the statutory warranty claim for commercial customers will lapse. Complaints relating to
delivery amounts will be considered only if they are made in writing immediately after receipt of the delivery. The
obligation to inspect and report defects also extends to instructions for use.
4. Where necessary, the customer must carry out a test application to check that the product supplied is suitable
for the intended use. This applies in particular if thinners, hardeners, catalysts or other components that were not
obtained from us are added to the product. If the abovementioned third-party substances are used in conjunction
with the substances supplied, or mixed with them, the vendor shall be liable for defects only if such components
themselves were free from defects and suitable for the purpose. The onus of proof that a test application was
conducted and of the suitability and perfect condition of the third-party products lies with the customer.
5. Return shipments require the prior consent of the vendor. When purchase entails purchase of used goods,
Clauses 1 and 2 do not apply. Compensation claims, in particular claims for reparation of damage not caused to the
delivery item itself, are also excluded in this case, except for the circumstances described in Clause 6.
6. The vendor’s liability is based exclusively on the provisions agreed in the preceding clauses. All other rights not
explicitly accorded therein, e.g. the right to delivery of an item free from defects, withdrawal from the agreement
or reduction in the invoice amount, or to reparation of damage of any kind, including damage to items other than
the delivery item itself, irrespective of the legal grounds, are hereby excluded. This exclusion of liability does not
apply for cases of intent or gross negligence by legal representative or vicarious agents, or in the case of culpable
violation of cardinal duties. Furthermore, the exclusion of liability does not apply where qualities or properties
are absent which have been explicitly guaranteed, or if damage stems from a situation for which the vendor had
assumed a guarantee. The same shall apply if a procurement risk should arise which the vendor has explicitly
assumed. The exclusion of liability does not apply in cases where there is a duty of compensation that cannot be
excluded contractually, in particular in cases of product liability. Finally, the exclusion of liability also does not apply
for loss affecting life, body or health. With the exception of loss affecting life, body or health, intent and gross
negligence on the part of legal representatives and vicarious agents, the scope of the loss to be compensated
shall be restricted to foreseeable losses.
7. Our liability for infringement of contractual obligations, tort or misdemeanour is restricted to deliberate and
gross negligence. This does not apply where there is injury to life, body or health of a customer, in the case of
claims based on infringements against cardinal obligations and compensation for delays (see Art. 286 BGB). In these areas, we accept liability for all degrees of fault. Exclusion of liability also applies to contractual infringements
by auxiliary persons who are guilty of only minor negligence.
Where liability for damage resulting from minor negligence is not excluded, in cases unrelated to injury to the life,
body or health of a customer, such claims will lapse under the statute of limitations within one year, commencing
at the time the claim comes into being; and where compensation liability is excluded or restricted with respect
to us, this also applies to personal compensation liability on the part of our staff, employees, workers, representations and auxiliary persons.
IX. Statute of limitations
Contrary to the provisions of Art. 195 BGB, our claims to payment will lapse under the statute of limitations after
five years. Art. 199 BGB will apply with respect to the commencement of this period.
X. Form required for declarations
Declarations and notifications with legal implications that the customer is required to make to us or to a third
party must be made in writing.
XI. Jurisdiction and place of performance
1. The place of performance for all obligations arising out of the business relationship or the individual contract is
the registered office in Ludwigsburg.
2. Jurisdiction is, at our discretion, either our company headquarters or the general jurisdiction for the customer.
This also applies for disputes relating to processes involving documents, bills of exchange or cheques.
3. Numbers 1 and 2 apply only for merchants, legal persons under public law, or public law special funds.
4. Only the laws of the Federal Republic of Germany apply for the contractual relationships with our customers.
Application of the United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980
(CISG – Vienna Convention) is hereby excluded.
