The President's Message Dear Members, Happy New Year! I hope your holiday season was joyous and restful. It’s a time of rejuvenation and reflection on the year that has just passed. As I was thinking of 2014, I became aware of the great changes and improvements that our Association has experienced. Our members have asked to get more involved, so we’ve created new committees such as the Finance, Past Presidents, Young Funeral Director and Vendor committees. They have been instrumental in the restructuring of our administrative practices and the planning for our 2015 convention. I’m so proud of all of the hard work that they have voluntarily given. Cathleen Blanchard NCFDA President we are moving towards that goal. Our Association is developing into an innovative platform of change and our collective collaborations are the catalyst in this process. We believe a move toward greater transparency is necessary and We have come a long way, and we’re not done yet! The 2015 convention will highlight the newest advances in our industry to include speakers and exhibitors from across the country. It’s an event we’ve put a lot of time into so I can’t wait to see you in Raleigh. According to Title 40 of the U.S. Federal Code, if you run a crematory, you could be held liable for every piece of post-cremation precious metal that leaves your retort. And that means all the way to the point at which it’s processed into something else, regardless that you’re not the one processing it. Because as far as the government’s concerned, it’s “hazardous waste.” So isn’t it good to know that one company not only processes and refines these metals according to code, but is EPA licensed and can produce a manifest that protects you if you’re ever contacted by the EPA? Recycling is a global responsibilty, but it’s also a challenge. With our more than 38 years refining precious metals to the highest U.S. environmental standards, let us help you do the right thing the right way. The graduation speaker was Mr. Daniel E. Buchanan of Anderson, South Carolina. Mr. Buchanan was the President of Gupton-Jones College from 1982-2000, and is now associated with McDougald Funeral Home in Anderson, South Carolina. His energizing speech was titled, “Funeral Service: A New Day-New Challenges.” Gupton-Jones President, Patty S. Hutcheson, presented awards to the students having the top two scholastic averages during their quarters of funeral service study. The Valedictorian Award was presented to Mr. Michael A. D. Canestrari from Roanoke, Virginia. The Salutatorian Award went to Ms. Tamela Mychele Thomas of Athens, Georgia. The Bill Pierce Award was presented by the Board of Trustees Consultant, Mrs. Nancy Pierce Barber, to that graduate who, by vote of the members of the graduating class, best represents the funeral service profession in terms of professionalism. Putting Your 'Financial House' In Order While your competitors’ call volumes may be unknown, be ready to discuss the similarities and differences among the firms in your immediate market. Submitted by: Michelle Canerot, Live Oak Bank Lending Have costs been recorded consistently? Lenders look at both Cost of Goods Sold and Administrative Expenses as a percentage of revenues. Identify any unusual trends and be prepared to provide explanations. There are many reasons why an owner or operator decides it is the right time to sell his or her small business, whether it be retirement, relocation or many other personal or financial reasons. And once that decision is made, there is often an expectation of what the purchase price should be – based on any number of sources, but in fact, the ultimate sale price will be based on a combination of asset values, annual revenues, multiples of earnings and/ or other possible intangible considerations. In order to maximize the company’s value and therefore achieve the highest possible sale price, a seller should begin planning long before going to market. An owner should be prepared to deliver the types of information and analyses needed for a potential buyer and his or her financial advisors to assess and validate the true economic results of the business. A broker or consultant with industry and financial experience can help set realistic expectations about the true value of the business and assist with financial statement preparation and analysis. The following is a list of things a seller should review and consider: Financial Statements Buyers and their lenders will often ask for up to three (3) years of prior tax returns and/or audited financial statements, as well as interim statements from the beginning of the current fiscal year. Therefore, as a seller, you should assess what prior information is available and begin compiling copies. In addition, you should be prepared to produce interim statements if necessary, either internally or with an outside resource such as an accounting firm. Typically, the financial statements needed will include both a profit and loss statement and a balance sheet. Trends Buyers are obviously looking for stable and/or improving profits. Lenders are looking for the same in order to be assured that debt can be repaid. A seller should review his or her own historical statements and consider the following questions: What are the trends in call volumes and revenues? You should have information readily available on historical call volumes and cremation rates by fiscal periods, and be able to explain fluctuations in sales and revenues. Death rates have an impact of course from one year to the next, but lenders will look at the trend line over the last 5-10 years. Page 12 The Tarheel Director The Tarheel Director Is your net operating margin increasing or decreasing? If it is decreasing, are there changes that can be made in advance of the sales process that will result in more positive trends? Unusual or Non-recurring Expenses Buyers will want to understand the cost structure of the business post-closing. Be prepared to provide documentation as to owner related expenses such as salaries, pension and life insurance or other expenses that will not be inherited by the buyer. If possible, keep track of unusual or one-time expenses that can be validated. This will give the buyer a better understanding of the funeral home’s overall expenses. Asset Values Sellers should assess the value of the inventory, furniture, equipment, automobiles and other business assets that will be transferred with the business. Furthermore, identify those assets that will not be sold. Lenders will want to know the value of all available collateral when underwriting the buyer’s loan. The time between signing a Letter of Intent and Closing can take several months with real estate appraisals, environmental reports, surveys and title work. Page 13 Davidson Funeral Home Installs Solar Panels Davidson Funeral Home the wholesale price of the energy it produces. One of the reasons the funeral home owners decided to install the panels was to reduce their monthly utility bill, which is approximately $3,000. Briggs said it is also environmentally responsible. The future is so bright at Davidson Funeral Home on North Main Street, Lexington, the business uses solar panels. The funeral home recently added a 39-kilowatt solar power system that will significantly reduce its utility bills and carbon footprint in the years to come. Dan Briggs, treasurer at Davidson Funeral Home and the son of co-owner Jack Briggs, said the idea of installing solar panels began several years ago during a major renovation. In 2006, Davidson Funeral Home added 12,000 square feet of heated space, a 3,000-square-foot, four-bay garage and 3,000 square feet of porticoes on the North Main and East Fourth street sides. “It was something I had thought about really since we completed this building,” Dan Briggs said. “We had all this roof space over the old chapel and the garage, and we thought solar might be an option for us. We really got serious about it when I was in California over the summer and saw a lot of use of solar. It got me thinking about it a little bit more. I got connected with a solar company, and they came and gave us a proposal.” The system, which employees of North Carolina Solar, located in Raleigh, installed, consists of 130 solar panels and is capable of producing 60,000 kilowatts a year. Briggs said the solar panels will actually add electricity to the citywide system, and in return the utility department will reimburse Page 14 “We've tried to do things that are more environmentally friendly; of course this is a big one for us,” Briggs said. “We will be able to reduce our utility costs. It just seemed like the right thing to do to reduce our carbon footprint. We've been here 150 years, and I hope we will be here another 150 years.” “We will be able to cut our utility costs, especially in the future because of course we will still have to pay for the system,” Briggs said. “There are tax credits available at least through the end of this year that offsets some of that up-front cost for purchase of the system and installation. It was just as important for me that we do it just because we should.” With the advancement in technology, Briggs said he believes many people could benefit from exploring renewable energy for their businesses and homes. He said in the future, maybe the business can have its own sustainable energy system, but for now he is happy with the newest addition. Briggs said the business is taking advantage of federal and state tax credits for using renewable energy systems.
