Dumhart, Community Development Director Subject: Assignment of Hogle-Ireland, Inc. Contract for Planning Services to Moore Iacofano Goltsman, Inc. RECOMMENDATION: It is recommended that the City Council approve and authorize the Mayor to execute the assignment of Agreement for Consultant Services with Hogle-Ireland, Inc. to Moore Iacofano Goltsman, Inc. SUMMARY: On October 18, 2011, the City and Hogle-Ireland, Inc., entered into a contract to provide planning services in connection with the update of the General Plan. In January of 2013, Hogle-Ireland, Inc., which was an employee-owned company, elected to be purchased by Moore Iacofano Goltsman, Inc., (MIG) to strengthen and expand the services both firms offered clients. The former employees of Hogle-Ireland, Inc. are now doing business as MIG | Hogle-Ireland, although the legal name of the expanded firm is Moore Iacofano Goltsman, Inc. Because of this change in corporate structure, MIG is now requesting written assignment of the Hogle-Ireland contract to MIG pursuant to Section 4.4 of the City’s standard form Consultant Services Agreement. The Assignment is provided as Attachment 1 to this agenda report. The merger will not change the project manager assigned to the La Palma project or any of the sub consultant team members, nor will it change the City Council approved scope of work and fees. BACKGROUND: Founded by Larry Hogle and Paul Ireland, Hogle-Ireland, Inc. was in business for more than 25 years, providing industry recognized services in all aspects of urban and environmental planning, development and entitlement services, and contract planning services for cities, counties, and public agencies. Among its many areas of special expertise, Hogle-Ireland is HI Contract Assignment February 19, 2013 Page 2 of 3 well known for work on general plans, specific plans, housing elements, California Environmental Quality Act (CEQA) compliance documents, and land use and zoning codes. Since it was founded in 1982, Moore Iacofano Goltsman, Inc., (MIG) has focused on planning, designing, and sustaining environments that support human development. The firm promotes inclusivity and encourages community and stakeholder interaction in all projects. For each endeavor — in planning, design, management, communications or technology — MIG’s approach is strategic, context-driven, and holistic, addressing social, political, economic and physical factors1. MIG’s headquarters is based in Berkeley, California, with offices throughout California and several other States. Their branch offices closest to La Palma include Pasadena and Fullerton. ANALYSIS: On April 19, 2011, the value and benefits of a General Plan Update and related Environmental Impact Report were discussed with the City Council. Direction was given by the City Council for Community Development to circulate a Request for Proposal (RFP) to obtain a detailed proposal and costs associated with preparing a General Plan Update. Proposals were circulated to 17 firms for a period of 43 days. Responses were due on June 3, 2011. The City received four (4) responses by the following firms: RBF, Hogle-Ireland, Mintier Harnish, and Rincon. Hogle-Ireland was selected because their proposal was sensitive to the budget challenges of the City and they had structured their work program to address the issues that La Palma has defined as most critical: providing sound technical background reports for long-term use, establishing pragmatic economic strategies for the nonresidential areas of the City, checking in with the community to confirm direction, and coordinating transportation planning with regional efforts. Section 3.10 of the Consultant Services Agreement requires City Council consent to any assignment of the contract. The last sentence of Paragraph 2 of the Assignment, states that MIG does not assume responsibility for any liabilities of Hogle-Ireland prior to January 1, 2013. Hogle-Ireland has purchased insurance to cover their obligations prior to MIG’s acquisition date and has provided that documentation to the City. CONCLUSIONS: Preparation of a Comprehensive General Plan Update and related Environmental Impact Report was anticipated to be phased over two fiscal years and addresses land use, infrastructure and environmental issues, which would prepare the City to better implement future in-fill development and programs. 1 http://www.migcom.com/pages/aboutus HI Contract Assignment February 19, 2013 Page 3 of 3 A major advantage to undertaking a comprehensive update and accompanying environmental impact report is streamlining benefits. Lead governmental agencies may analyze and mitigate the significant effects of greenhouse gas emissions at a programmatic level, such as in a general plan. Later project-specific environmental documents may tier from and/or incorporate by reference that existing programmatic review, thereby streamlining the review and approval process for future redevelopment opportunities. FISCAL IMPACT: The approved contract amount for the General Plan Update was $271,887. As of January 15, 2013, the project has expended $132,709, of which $60,185 is towards preparation of technical reports necessary for establishing benchmarks for analysis and environmental review. The assignment has no fiscal impact, the personnel and hourly rates as well as the scope of work remain unchanged. Attachments: 1. Assignment Attachment 1 Exhibit A
