Project Development / Project Management / Business Consulting DUE DILIGENCE LOGIX GLOBAL, INC. Mi-8MSB REMANUFACTURE & SALES PROGRAM Prepared by Aposse Project Development April 2013 MI-8 MSB Logix Global seeks cash and/or credit facilities $7.5M to execute a three year aircraft refurbishment and retail sales program whereby 133 ea decommissioned MI-8T helicopters will be overhauled for international sale. Aposse Project Development / PO Box 820159, Dallas, Texas 75382 / (516) 448-3965 / [email protected] Project Development / Project Management / Business Consulting Project Summary Logix Global (The Company) seeks $7.5M to initiate production cycle with premiere factory on first two helicopters in revolving-door refurbishment program called the MI-8 MSB program. Cash flow back to the project starts with the sale of first two unit, projected to be 3-6 months from funding. Additional funds might be needed to fulfill purchase orders with 20% down. PO’s go to the head of the production line. The venture will refurbish decommissioned and surplus MI-8T helicopters in a full-upgrade and overhaul program at the renowned facility, Motor Sich. Within 90 days, the “base-model” is finished and ready for sale. Refurbished aircraft receive an enviable new 2013 production year status, tail numbers and certification. End user upgrades take an additional 60 days. A variety of end-user configurations are available, at extra cost. Some include executive transport, air ambulance, and search and rescue versions. Subsequently, aircraft will be resold at market; a market which seems to bear markup at 40% or greater. Finished aircraft will be sold internationally as a Mi-8MSB variant. Usual and customary manufacturer warranties apply. Demand seems robust for the finished Mi-8MSB’s. The aircraft’s flight and heavy lift attributes make it highly marketable. The market includes countries, corporations and high profile, high net-worth individuals. Gross mark up per helicopter projected to be, at least, $4M per unit or $8M gross profit on the turnaround of the first two. No barriers to entry. Principals in LG have secured necessary licenses to allow it to perform and execute its business model. Principals include former U.S. and Russian military officers (now US citizens) as well as seasoned international businessman. Direct sales, brokers and tradeshows are preliminary methods to achieve sales traction. Use of funds of $6M: Six million produces the first two units for sale. 1. 2. $5M will be paid directly to Motor Sich, a known and respected manufacturer of heavy lift helicopters. 50% down x 2. $1M or $250K per quarter to provide for trade shows, marketing and travel. Sales Strategy : The investment produces two finished units in 90-150 days, and the means to sell them. The Logix Global principals of Hodges and Glovatski will sell direct to their military network of officials, and the Aposse team of four would like the assignment of selling the units through the trade show circuit (4 shows per year). Units will retail for 9.75M on costs of 4.7M each. Add 300K per unit all in for marketing, sales and carrying costs. At least a 44% markup is expected. Program is projected to be three to four years to turnaround on 133 units. Proof of concept should lead to direct sales within 90 days. Price points will be reevaluated 90 days after completion if units are slow to sell at retail. Credit line or Loan: 1. 2. 3. 4. 5. Funder puts up $12M, and holds The Company and LTV assets as security for credit line or loan. Collateral assets valued at 14.4M retail, 8.28M wholesale and 7.2M salvage. Appraised values @ 1.8M each. Holiday or Interest only first 6 months requested to enable sales traction. Balloon in month 24 P&I. Amortized payments 60 months @ 10%. Soft costs 5% or equity swap. Aposse Project Development / PO Box 820159, Dallas, Texas 75382 / (516) 448-3965 / [email protected] Project Development / Project Management / Business Consulting Sales Strategy Success Factors: The success of the program rests firmly upon the shoulders of principals Lieutenant Colonel Dan Hodges and Alex Glovatski’s and their ability to identify and secure buyers for the aircraft in production. Aposse Development’s John Lage, William Homeier and Thom Macnamara will also participate in sales and marketing of the finished aircraft, by attending at least four industry trade shows. Presales: Because the program is new, presales are not an option at this time. However, with successful production of two aircraft and successful sale of, at least one, the team of Hodges and Glovatski will have a demo model from which to obtain future orders, accompanied by down payments of 25% or more when individual aircraft are brought to previously mentioned “green status”. Once “buyer-upgrades are chosen, it is expected that buyer will pay an additional 25% until delivery. Future down payments will offset the need for additional capital. First Production Run: Initially, LG intends to induct the first two (2) airframes into overhaul; all with upgraded glass cockpits. Once they are committed to a buyer; LG will start another production run. Capital Requirements: Two units in overhaul + marketing & sales= 7.5M. Balance due at delivery; "Delivery" is defined as receipt and acceptance by end-Buyer, which would include release of the 20%-25% deposit and payment of balance in full to complete the transaction. Marketing: It is their intent to market aircraft both through a series of broker networks, like: 1. Kazi IG (http://www.kaziig.com/partners.html) 2. Global Plane Search http://www.globalplanesearch.com/search?gpsq=mil+8 3. Air Controller http://www.controller.com/ f) Trade Shows: Principals have delineated soft costs of $62.5K per quarter for 12 consecutive quarters of the three-year program for marketing, T&E and tradeshows. Specifically, they have targeted the four most visible tradeshows in the industry. 1. Dubai Air Show 17-21 November, 2013, Dubai World Central http://www.dubaiairshow.aero/. The Dubai Air show is firmly established as a key event on the international aerospace calendar consistently delivering key buyers and decision makers - offering you unrivalled access to the Middle East aerospace market in a highly focused environment. In spite of declining markets and economies in recent years the Middle East is still investing, buying and improving. Aviation’s importance to Dubai is expected to grow further over the next decade. The economic contribution of the aviation sector is set to rise to US$44.5 billion or 32% of Dubai’s GDP and 372,900 jobs representing approximately 22 % of its employment by 2020. (Source: Oxford Economies report, July 2011). In the wider region Saudi Arabia has the largest defense budget with many RFPs awaiting final decisions. The regional military air market is set to generate revenues of US$62.9 billion, between 2010 and 2020. Farnborough Air Show 14-20 July 2014, Hampshire UK. http://www.farnborough.com/public-welcome. Orders and commitments announced at Farnborough totaled US$72 billion for 758 aircraft, a 53% increase on order figures in 2010. To add further weight to the show’s success, 1506 Exhibitors from 39 countries took part. The first five days of the show attracted just over 109,000 trade visitors, 80 military delegations from 46 countries attended and a further 13 delegations from the civil sector. 3. Heli-Expo 4-7, March 2014, Las Vegas Nevada. http://www.rotor.com. More than 20,000 helicopter industry professionals will be in Las Vegas March 4–7, 2013, for the world's largest helicopter exposition and trade show. 4. Paris Air Show 17-23 June, 2014, Paris France. http://www.paris-air-show.com/. The last show saw the involvement of over 2,100 exhibiting companies, almost 300 high-level official delegations and some 151,000 professional visitors from around the globe. g) Articles of Battle (AOB) The AOB http://www.globalsecurity.org/military/world/index.html is a comprehensive listing, country by country, of aviation needs for the upcoming budget year. h) PLANAF Plan AF is source book dedicated to current inventory of select countries participating. Aircraft Inventory is updated annually. I) Direct Solicitation With access to senior level, longtime contacts at embassies, the Department of Defense, and various departments of state around the world, Lieutenant Colonel Hodges, Lieutenant General Knutson and Captain Glovatski believe they can move aircraft within 90 days of completion. j) The 1% Solution A pricing strategy, exit strategy and risk strategy being considered whereby a finished aircraft is discounted 1% per month until it meets market equilibrium. This would begin 120 days after factory delivery.
