Allgemeines - Geltungsbereich Die nachfolgenden Bedingungen gelten für alle Verträge, die wir mit unseren Kunden abschließen. Sie gelten gegenüber juristischen Personen des öffentlichen Rechts, öffentlich-rechtlichen Sondervermögen oder Unternehmern, die bei Abschluss des Vertrages in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handeln, auch für zukünftige Verträge, selbst wenn dabei ein ausdrücklicher Hinweis auf diese Bedingungen nicht mehr erfolgt. Abweichende Geschäftsbedingungen unserer Kunden werden nicht akzeptiert. Das gilt insbesondere für Bedingungen auf Auftragsbestätigungen, Rechnungen und im allgemeinen Schriftverkehr, auch wenn wir nicht ausdrücklich widersprechen. Die Annahme oder Ausführung von Leistungen bedeutet kein Anerkenntnis von Vertragsbedingungen unseres Kunden. Unsere Mitarbeiter sind nicht berechtigt, mündliche Abweichungen von den nachfolgenden Vertragsbedingungen zu vereinbaren. 2. Angebote - Bestellungen 2.1 Ist die Bestellung des Kunden als Angebot nach § 145 BGB zu qualifizieren, so sind wir berechtigt, dieses Angebot innerhalb von drei Wochen anzunehmen. Lieferbestellungen, die wir sofort ausführen, bedürfen keiner schriftlichen Annahme. Ansonsten werden Aufträge und Bestellungen für uns erst dann verbindlich, wenn wir sie schriftlich bestätigt haben. 2.2 Unsere eigenen Angebote erfolgen zunächst freibleibend und unverbindlich. 2.3 Bestellungen werden nur zu den im Katalog genannten Standardpackungen und Mengen ausgeführt. Bei hiervon abweichenden Bestellmengen halten wir uns vor, diese entsprechend zu erhöhen bzw. einen Zuschlag für Sonderpackungen zu vereinbaren. Für Kleinaufträge unter 100,00 € behalten wir uns vor, einen Bearbeitungszuschlag von 10,00 €, für Export-Aufträge unter 150,00 € einen Bearbeitungszuschlag von 15,00 € zu vereinbaren. 2.4 Wir behalten uns die technische Veränderung unserer Produkte vor, soweit damit keine technische Verschlechterung verbunden ist. Alle Maße und Gewichte sind als annähernd zu betrachten. 3. Abschlussaufträge (Abrufaufträge) Wenn zwischen dem Kunden und uns nichts anderes schriftlich vereinbart wurde, dann gelten Abschlussaufträge längstens für den Zeitraum eines Jahres. Innerhalb dieser Zeit muss der Auftrag insgesamt abgerufen werden. Geschieht dies nicht, sind wir zur Auslieferung und Berechnung ohne vorliegende Abrufe berechtigt. 4. Preise – Zahlungsbedingungen, Aufrechnung und Zurückbehaltung 4.1 Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, gelten unsere Preise ”ab Werk”, einschließlich Verladung im Werk, jedoch ausschließlich Verpackung, Versand, Versicherung und Mehrwertsteuer. 4.2 Der Abzug von Skonto bedarf besonderer schriftlicher Vereinbarung. 4.3 Unsere Rechnungen sind bei Lieferung gemäß den gesondert vereinbarten Zahlungsbedingungen, ansonsten sofort ab Rechnungsdatum ohne Abzug fällig. Kommt der Kunde in Zahlungsverzug, sind wir berechtigt, - - - - alle Ansprüche aus diesem oder anderen Geschäften, auch soweit einzelne Raten noch nicht fällig sind, gegenüber dem Kunden sofort geltend zu machen, Lieferungen oder sonstigen Leistungen aus diesem oder anderen Geschäften bis zur vollständigen Erfüllung sämtlicher uns zustehender Ansprüche aus diesem oder anderen Aufträgen durch den Besteller zurückzubehalten, angemessene Sicherheitsleistung zu verlangen, Verzugszinsen in gesetzlicher Höhe zu fordern. Sind wir aber in der Lage, einen höheren Verzugsschaden nachzuwei sen, so sind wir berechtigt, diesen geltend zu machen. Der Kunde kann mit Gegenansprüchen nur aufrechnen, wenn diese rechtskräftig festgestellt, unbestritten oder von uns anerkannt sind. Wegen bestrittener, nicht rechtskräftig festgestellter Gegenansprüche steht dem Besteller auch kein Zurückbehaltungsrecht zu. 4.4 Bei der elektronisch übermittelten Rechnung bedarf die Zustimmung des Empfängers keiner besonderen Form. Es muss lediglich ein Einvernehmen zwischen Rechnungsaussteller und Rechnungsempfänger darüber bestehen, dass die Rechnung elektronisch übermittelt werden soll. Diese Zustimmung kann in Form einer Rahmenvereinbarung oder nachträglich erklärt werden. Es genügt aber auch, dass die beteiligten Parteien diese Verfahrensweise tatsächlich praktizieren und damit stillschweigend billigen. 4.5 Für den Fall, dass der Kunde einem elektronischen Rechnungsversand zustimmt, wird er Rechnungen der J.D. Geck GmbH ausschließlich in elektronischer Form erhalten. In diesem Fall nennt der Kunde der J.D. Geck GmbH eine E-Mail-Adresse zum Zwecke des Erhalts elektronischer Rechnungen. Der Kunde verpflichtet sich, die technischen Voraussetzungen dafür zu schaffen, dass er die Rechnung vereinbarungsgemäß abrufen kann. Eine Änderung der für den elektronischen Rechnungsversand benannten E-Mail-Adresse wird der Kunde der J.D. Geck unverzüglich mitteilen. Im Falle einer schuldhaft unterbliebenen oder fehlerhaften Mitteilung über die Änderung der für die elektronische Rechnung benannten E-MailAdresse erstattet der Kunde der J.D. Geck den durch die Adressermittlung entstandenen Schaden. 4.6 Die elektronische Rechnung gilt mit dem Eingang der E-Mail, der die elektronische Rechnung beigefügt ist, als zugegangen. 4.7 Der Kunde kann die Zustimmung zu dem elektronischen Rechnungsversand jederzeit schriftlich widerrufen und den Widerruf schriftlich an folgende Adresse richten: J.D. Geck GmbH, Grünewiese 28, 58762 Altena. 5. Lieferung 5.1 Lieferfristen, die verbindlich oder unverbindlich vereinbart sein können, beginnen mit Absendung der Auftragsbestätigung, nicht jedoch vor der Vorlage aller vom Kunden beizubringenden Daten und Unterlagen, der Abklärung aller technischen Fragen sowie vor Eingang einer evtl. vereinbarten Anzahlung. 5.2 Lieferfristen gelten als eingehalten, wenn bis zu ihrem Ablauf der Liefergegenstand unser Werk verlassen hat oder die Versandbereitschaft mitgeteilt ist. 5.3 Liefer- und Ausführungsfristen verlängern sich angemessen bei Maßnahmen im Rahmen von Arbeitskämpfen, insbesondere Streik und Aussperrung sowie beim Eintritt unvorhergesehener, nicht von uns oder unseren Erfüllungsgehilfen zu vertretener Hindernisse, wenn solche Hindernisse bei uns oder unseren Lieferanten oder Subunternehmern zu Leistungsverzögerungen führen. 18 5.4 Gerät der Kunde mit der Abnahme der Leistung in Verzug, sind wir unbeschadet weitergehender gesetzlicher Ansprüche berechtigt, für die Kosten der Einlagerung 0,5 % des Rechnungswertes monatlich zu berechnen, es sei denn der Besteller weist einen geringeren Schaden nach. 6. Teillieferungen Wir sind zu Teillieferungen und vorzeitigen Lieferungen in einem für den Kunden zumutbaren Umfang berechtigt. 7. Gewährleistung 7.1 Vertragsgegenstand ist ausschließlich das von uns gelieferte Produkt mit den Eigenschaften und Merkmalen sowie dem Verwendungszweck gemäß der den Produkten beiliegenden oder vorab zur Verfügung gestellten Produktbeschreibung. Andere oder weitergehende Eigenschaften und/oder Merkmale oder ein darüber hinausgehender Verwendungszweck gelten nur dann als vereinbart, wenn sie von uns ausdrücklich schriftlich bestätigt werden. 7.2 Ist der Kunde eine juristische Person des öffentlichen Rechts, ein öffentlich-rechtliches Sondervermögen oder ein Unternehmer, der bei Abschluss des Vertrages in Ausübung seiner gewerblichen oder selbständigen beruflichen Tätigkeit handelt, gelten folgende Besonderheiten: Die Gewährleistungsfrist für die von uns gelieferten Produkte beträgt ein Jahr ab dem gesetzlichen Gewährleistungsbeginn. Festgestellte Mängel sind uns unverzüglich schriftlich mitzuteilen. Das gilt auch für Mängel, die nach einem Nachbesserungsversuch festgestellt werden. Mängel, die nicht als verdeckte Mängel anzusehen sind, sind uns binnen einer Frist von 5 Tagen seit Übergabe anzuzeigen. Verdeckte Mängel sind binnen 5 Tagen nach Entdeckung des Mangels anzuzeigen. Ist bis zum Ablauf der Frist die Anzeige nicht an uns abgesandt worden, gilt die Ware als mängelfrei genehmigt. 7.3 Hat der Kunde seine Zahlungspflichten nicht oder nicht rechtzeitig erfüllt, ruhen bis dahin unsere Gewährleistungspflichten. 7.4 Werden Erzeugnisse nach von Kunden enthaltenen Konstruktionsunterlagen hergestellt, haften wir nur für fachgerechte Fertigungen. Werden wir für solche Erzeugnisse von Dritten in Anspruch genommen aufgrund von Ursachen, die nicht in unserem Fertigungsbereich liegen, hat uns unser Kunde von solchen Ansprüchen freizustellen. 8. Haftung 8.1 Etwaige Schadensersatzansprüche des Kunden – gleich aus welchem Rechtsgrund, also zum Beispiel auch im Rahmen der Gewährleistung oder bei Verzug - sind ausgeschlossen. Dies gilt nicht bei arglistigem Verschweigen eines Mangels, bei Nichteinhaltung einer Beschaffenheitsgarantie, bei der Verletzung des Lebens, des Körpers oder der Gesundheit oder bei einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung durch uns oder bei der Verletzung wesentlicher Vertragspflichten (Kardinalpflichten). Auch Ansprüche nach dem Produkthaftungsgesetz sind von dieser Haftungsbeschränkung nicht berührt. 8.2 Der Schadensersatzanspruch für die Verletzung wesentlicher Vertragspflichten ist jedoch auf den vertragstypischen, vorhersehbaren Schaden begrenzt, soweit nicht Vorsatz oder grobe Fahrlässigkeit vorliegt oder wegen der Verletzung des Lebens, des Körpers oder der Gesundheit gehaftet wird. 8.3 Die vorstehenden Haftungseinschränkungen gelten gleichermaßen für Ansprüche gegen unsere gesetzlichen Vertreter, Erfüllungsgehilfen und Betriebsangehörige und auch für Ansprüche auf Ersatz vergeblicher Aufwendungen (§ 284 BGB). Eine Änderung der Beweislast zum Nachteil des Kunden ist mit den vorstehenden Regelungen nicht verbunden. 9. Eigentumsvorbehalt 9.1 Wir behalten uns das Eigentum an der Kaufsache bis zum Ausgleich der uns aufgrund des Vertrages zustehenden Forderungen vor. 9.2 Ist der Kunde eine juristische Person des öffentlichen Rechts, ein öffentlich-rechtliches Sondervermögen oder ein Unternehmer, der in Ausübung seiner gewerblichen oder selbständigen beruflichen Tätigkeit handelt, bleibt der Eigentumsvorbehalt bestehen für alle unsere Forderungen gegen den Kunden aus der laufenden oder durch den Vertrag begründeten Geschäftsbeziehung bis zum Ausgleich von im Zusammenhang mit dem Kauf zustehenden Forderungen. Auf Verlangen des Kunden sind wir zum Verzicht auf den Eigentumsvorbehalt verpflichtet, wenn der Kunde sämtliche mit dem Kaufgegenstand im Zusammenhang stehende Forderungen unanfechtbar erfüllt hat und für die übrigen Forderungen aus der laufenden Geschäftsbeziehung eine angemessene Sicherung besteht. Wir verpflichten uns, die uns zustehenden Sicherheiten auf Verlangen des Bestellers insoweit freizugeben, als der Wert unserer Sicherheiten die zu sichernden Forderungen um mehr als 20 % übersteigt. 9.3 Bei Zahlungsverzug des Kunden können wir vom Vertrag zurücktreten. In der Zurücknahme der Kaufsache durch uns liegt kein Rücktritt vom Vertrag, es sei denn, wir hätten dies ausdrücklich schriftlich erklärt. 9.4 Bei Pfändungen oder sonstigen Eingriffen Dritter hat uns der Kunde unverzüglich schriftlich zu benachrichtigen, damit wir Klage gemäß § 771 ZPO erheben können. Ist der Dritte nicht in der Lage, uns die gerichtlichen und außergerichtlichen Kosten einer Klage gemäß § 771 ZPO zu erstatten, haftet der Kunde für den uns entstandenen Ausfall. 9.5 Die Verarbeitung oder Umbildung der Ware durch den Kunden wird stets für uns vorgenommen. Bei Verbindung oder Vermischung von uns gelieferter Ware mit anderem beweglichen Eigentum erwerben wir Miteigentum an der neuen Sache im Verhältnis des Rechnungswertes unseres Eigentums zum Wert der anderen Gegenstände. Erlischt unser Eigentum durch Verbindung mit einem Grundstück oder Gebäude, stehen uns sämtliche daraus unserem Kunden entstehenden Ansprüche zu. Dasselbe gilt, wenn unser Kunde gelieferte oder verbundene Ware an Dritte weiterveräußert. Alle unserem Kunden aus Weitergabe oder Verbindung zustehenden Forderungen gegen seine Abnehmer tritt er bereits jetzt an uns ab und zahlt uns einen Teilbetrag, der unserer jeweils offenen Forderung entspricht. 10. Anwendbares Recht Für alle Rechtsbeziehungen zwischen uns und unseren Kunden gilt ausschließlich Deutsches Recht unter Ausschluss des UN-Kaufrechtes und der Kollisionsnormen des internationalen Privatrechtes, insbesondre der Rom-I-Verordnung 11. Gerichtsstand Gerichtsstand für alle Vereinbarungen mit Vollkaufleuten ist unser Geschäftssitz. Wir sind jedoch berechtigt, unseren Kunden an seinem allgemeinen Gerichtsstand oder an dem Ort, an dem wir unsere Leistungen erbracht haben, zu verklagen. They shall be applicable to legal entities under public law, special funds under public law or businessmen, who on conclusion of the contract are acting in the exercise of their trade or profession, also to future contracts, even if reference is no longer made expressly to these terms and conditions. Deviating terms and conditions of business of our customers shall not be recognised. This shall apply in particular to conditions for confirmations of orders, invoices and in general correspondence, even if we do not object to them specifically. The acceptance or execution of performances shall not constitute recognition of our customer’s contract conditions. Our staff are not authorised to enter into verbal agreements differing from the contract conditions hereunder. 2. Offers – orders 2.1 If the customer’s order qualifies as an offer pursuant to Art. 145 of the German Civil Code (BGB), we are entitled to accept this offer within three weeks. Delivery orders, which we carry out immediately, shall not require acceptance in writing. Otherwise jobs and orders shall only be deemed to be binding, when we have confirmed them in writing. 2.2 Our own offers are made without obligation initially and shall not be binding. 2.3 Orders shall only be carried out for the standard packs and quantities stated in the catalogue. In the case of order quantities deviating therefrom, we reserve the right to increase them accordingly or to agree a surcharge for special packs. For small orders below 100.00 € we reserve the right to agree upon a handling surcharge of 10.00 € and for export orders below 150.00 € a handling surcharge of 15.00 €. 2.4 We reserve the right to make technical modifications to our products, provided this does not involve any deterioration in the technical standard. All measurements and weights are to be regarded as approximate. 3. Final orders (Call-off orders) Unless otherwise agreed in writing between the customer and us, the call-off orders apply maximally for a period no longer than one year. The entire order has to be retrieved within this period. If this does not occur, we are entitled to supply and invoice the goods without existing retrieval orders. 4. Prices – terms of payment, off-setting and retention 4.1 Except as otherwise shown in the order confirmation, our prices are ex works including loading at the works, but exclusive of packaging, transportation, insurance and value added tax. 4.2 The deduction of a discount shall require a special written agreement. 4.3 Our invoices shall be due and payable without deduction on delivery in accordance with the separately agreed terms of payment, otherwise immediately from the date of the invoice. Should the customer default in payment, we shall be entitled - to assert all claims arising from this or other transactions against the customer immediately, even if individual installments are not yet due, - to withhold deliveries or other performances arising from this or other transactions until all the claims due to us as a result of this or other orders have been met in full by the buyer, - to demand appropriate security, - to charge interest for default at the rate of 5% above the base rate per annum – in the case of customers, who are legal entities under public law, special fund under public law or businessmen, who are acting in the exercise of their trade or profession on conclusion of the contract, 8% above the base rate. If we are in a position however to prove a higher loss caused by default, we shall be entitled to assert this. The customer may only offset counterclaims, if these counterclaims have been declared final and absolute, are undisputed or are recognised by us. The buyer shall also not have any right of retention on account of disputed counterclaims, which have not been declared final and absolute. 4.4 There is no required approval in kind from the recipient for transmitting invoices electronically. Merely there must exist an amicable adjustment between the issuer of the invoice and the recipient of the invoice that the invoice itself should be transmitted electronically. This amicable adjustment can subsequently be declared in terms of a general agreement. The involved parties also comply with requirements by effectively practicing this procedure and thereby allow it implicitly. 4.5 In the event that the customer agrees to an electronic invoicing, he will receive invoices of J.D. Geck GmbH only in electronic form. In this case the customer specifies J.D. Geck GmbH an email address for the purpose of receiving electronic invoices. The customer undertakes to lay the technical foundation to retrieve the invoices as agreed. A change of the designated email address for electronic invoicing will immediately be notified by the customer to the J.D. Geck GmbH. In case of a culpable failure or faulty communication on the change of the designated email address for the electronic invoice, the customer will reimburse J.D. Geck GmbH the damage caused by the address determination. 4.6 The electronic invoice shall be deemed received upon receipt of the email, which is attached to the electronic invoice. 4.7 The customer may revoke the acceptance of the electronic billing in writing at any time and address the written revocation to the following address: J.D. Geck GmbH, Gruenewiese 28, 58762 Altena, Germany. 5. Delivery 5.1 Delivery times, which may be agreed as being binding or non-binding, shall commence with the sending of the order confirmation, but not before the production of all the information and documents to be furnished by the customer, the clarification of all technical matters and not before the receipt of any down payment agreed upon. 5.2 Delivery times shall be deemed to be observed, if on expiry the goods to be delivered have left our works or their readiness for dispatch has been notified. 5.3 Delivery and performance periods shall be reasonably extended in the case of action in connection with labour disputes, in particular strike and lock-out, and also in the event of unforeseen hindrances for which we or our vicarious agents cannot be held responsible, if these hindrances result in delays in performance by us or our suppliers or sub-contractors. 5.4 If the customer delays in accepting the performance, notwithstanding further statutory claims we shall be entitled to charge 0.5% of the invoice value each month for the costs of storage, unless the buyer produces evidence of a smaller loss. 6. Partial deliveries We are entitled to execute partial and premature deliveries at an extent reasonable for the customer. 7. Warranty 7.1 The subject matter of the contract is solely the product supplied by us with the properties and characteristics as well as the intended purpose in accordance with the product specification enclosed with the products or provided in advance. Any other, further properties and/or characteristics or an intended purpose beyond this shall only be deemed to be agreed, if they are confirmed expressly by us in writing. 7.2 If the customer is a legal entity under public law, a special fund under public law or a businessman, who is acting in the exercise of his trade or profession on conclusion of the contract, the following special provisions shall apply: - The warranty period for the products supplied by us amounts to one year as at the commencement of the statutory warranty. - Any defects discovered are to be reported to us in writing without undue delay. This shall also apply to defects, which are discovered after an attempt at rectification. - Defects, which are not to be regarded as hidden defects, are to be notified to us within a period of 5 days after handover. Hidden defects are to be notified within 5 days of discovery of the defect. If notification has not been sent to us by the expiry of this period, the goods shall be deemed to be approved free from defects. 7.3 Claims of the customer on the grounds of physical injury as well as fraudulent concealment of a defect, wilful or grossly negligent damage and assuming an obligation as regards quality or giving a quality guarantee shall remain unaffected in any case. If we negligently breach a major obligation or a material contractual obligation, our liability for damages shall be limited to the foreseeable loss typical for this type of contract. 7.4 If the customer has failed to meet his payment obligations or meet them in due time, our warranty obligations shall be suspended until such time. 7.5 If products are made according to design documents received from customers, we shall only be liable for production in the correct manner. Should a claim be made against us by third parties for such products for reasons, which do not lie within our production area, our customer has to indemnify us against such claims. 8. Liability 8.1 Any compensation claims of the customer - regardless of the legal reason (e.g. also in the context of the warranty or in case of default) - are excluded. This does not apply in case of malicious concealment of a defect, non-compliance with a quality guarantee, violation of life, limb or health or the intentional or gross negligent breach of duty by us or the violation of essential contractual duties (cardinal obligations). Claims according to the Product Liability Act are also not affected by this liability limitation. 8.2 However, the compensation claim for the violation of essential contractual obligations is limited to the predictable damage typical to the agreement unless in the event of intent or gross negligence or the violation of life, body or health. 8.3 The above mentioned liability restrictions apply equally for claims against our legal representatives, vicarious agents and members of our company as well as compensation claims for futile expenditures (§ 284 BGB (German Civil Code)). A change of the onus of proof to the disadvantage of the customer is not associated with the above regulations. 9. Retention of title 9.1 We shall retain title to the object purchased until the settlement of the claims due to us under the contract. 9.2 If the customer is a legal entity under public law, a special fund under public law or an businessman, who is acting in the exercise of his trade or profession, the retention of title shall remain for all our claims against the customer arising from the current business relationship or the business relationship established by the contract until the settlement of claims due in connection with the purchase. At the request of the customer we shall be obliged to waive the retention of title, if the customer has incontestably met all the claims connected with the object purchased and adequate security exists for the other claims resulting from the current business relationship. We undertake to release the securities to which we are entitled at the request of the buyer, when the value of our securities exceeds the claims to be secured by more than 20%. 9.3 Should the customer be in default of payment, we may withdraw from the contact. Taking back the object of purchase by us shall not constitute rescission of the contract, unless this was expressly stated by us in writing. 9.4 The customer has to notify us in writing without undue delay in the event of attachments or other encroachments by third parties, in order to enable us to bring an action pursuant to Art. 771 of the German Code of Civil Procedure (ZPO). If the third party is not in the position to refund to us the court and out-of-court costs of an action pursuant to Art. 771 of the German Code of Civil Procedure, the customer shall be liable for the loss incurred by us. 9.5 The processing or transformation of the goods by the customer will always be carried out for us. If the goods supplied by us are combined or mixed with other movable property, we shall acquire co-ownership of the new item in proportion to the invoice value of our property to the value of the other items. Should our title expire through combination with land or a building, we shall be entitled to all claims arising therefrom for our customer. The same shall apply, should our customer resell to third parties goods which have been delivered or combined. Our customer already at this point in time assigns to us all the claims due to him against his purchasers arising from transfer and combination and shall pay us a partial amount, which corresponds to our outstanding claim. 10. Applicable law The laws of the Federal Republic of Germany apply exclusively for all legal relationships between us and our customers, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the rules on conflict of law of the Private International Law, particularly the Rome-I-Regulation. 11. Place of jurisdiction The place of jurisdiction for all agreements with full merchants is our registered office. We shall be entitled however to bring an action against our customer in his general place of jurisdiction or in the place, where we have rendered our performances.
