2015 BOOKING CONDITIONS
PLEASE READ THESE BOOKING CONDITIONS AND THE TERMS AND CONDITIONS OF TRAVEL CAREFULLY BEFORE ENROLLING IN PEOPLE TO PEOPLE AMBASSADOR
PROGRAMS®. Your participation in this program is accepted only in accordance with, and expressly conditioned upon, your (and your parent’s or legal guardian’s if you
are a minor) acceptance of these Booking Conditions and the Terms and Conditions of Travel as evidenced by your electronic acceptance via click and accept and/or some
other similar mode/manner or your participation in this program. If you do not agree to these Booking Conditions and the Terms and Conditions of Travel, you may not
enroll or participate in the program. We reserve the right, at our discretion, without notice to you, to change, modify, add, or remove portions of these Booking Conditions
or the Terms and Conditions of Travel at any time. Please check these Booking Conditions periodically for any changes. These Booking Conditions supersede any other
warranties, representations, and terms or conditions, unless they are expressly stated in these Booking Conditions.
INCLUDED IN PROGRAM TUITION
Program Tuition: Program tuition is based on agreements, foreign currency rates, tariffs, and taxes in effect prior to the program departure date. The
program tuition rates are in U.S. dollars.
TRANSPORTATION: Program tuition includes all scheduled program activities using rail, ship, and motor coach. Transportation to the program is NOT
included in the tuition as noted under the section Not Included in Program Tuition below.
ACCOMMODATIONS: Carefully selected hotel, university, and/or conference center accommodations will be used.
MEALS: Three meals per day are included throughout the program.
TIPS AND TAXES: All tips and taxes levied by hotels, restaurants, and local governments, where such tips and taxes are the same for all delegates of the
group, are included in the program tuition. Additionally, tips to guides and drivers are included in the program tuition.
NOT INCLUDED IN PROGRAM TUITION
TRAVEL PROTECTION PLAN (optional insurance): Before and during your travels, the Travel Protection Plan provides benefits for
accidents and illness, medical and related expenses, emergency evacuation and repatriation expenses, trip cancellation or interruption, trip delays, baggage or travel
document loss, or baggage delays. This is only a brief description of the program. For a summary of the terms, conditions, and exclusions, please refer to the Travel
Protection Plan at www.peopletopeople.com/insurance for additional details. The Travel Protection Plan cost is $159, which is not included in the program
tuition and may be purchased up to 150 days prior to the scheduled departure date or with your initial deposit payment if you are first registering less than 150 days prior
to departure. Delegates understand that they have been offered a travel protection plan through the application process and that People to People Ambassador Programs
strongly recommends the purchase of travel insurance to have coverage for losses that could occur before and during their travels. Delegates electing not to purchase the
Travel Protection Plan will be subject to cancellation charges pursuant to the below Refund and Cancellation policy.
The Travel Protection Plan covers delegates on all People to People Ambassador Programs in the event of unforeseen loss of employment. The delegate or the delegate’s
parent/legal guardian if he/she is under 23 years of age must have been continuously employed with the same employer for one year prior to termination or layoff.
The delegate must purchase the Travel Protection Plan, and must be enrolled and have paid, at minimum, the enrollment deposit. For more information, visit:

CANCEL FOR ANY REASON BENEFIT UPGRADE (optional add-on to the Travel Protection Plan):
Delegates who are purchasing the Travel Protection Plan may also wish to consider the purchase of the Cancel For Any Reason Benefit Upgrade ($99 extra). The Cancel
For Any Reason Benefit Upgrade provides reimbursement of 75% of the non-refundable program costs incurred (as per the cancellation fee policy) for cancellations
not covered under the Travel Protection Plan provided: 1) payment for the Travel Protection Plan and the Cancel For Any Reason Upgrade is received prior to the
commencement of cancellation fees or with your initial deposit payment if the delegate first registers less than 150 days prior to departure; and 2) the delegate cancels
more than 2 days prior to the scheduled program date.

Travel Insurance is underwritten by Stonebridge Casualty Insurance Company, a Transamerica company, Columbus, Ohio; NAIC # 10952 (all states except as otherwise
noted) under Policy/Certificate Form series TAHC5000. In CA, HI, NE, NH, PA, TN, and TX Policy/Certificate Form series TAHC5100 and TAHC5200. In IL, IN, KS, LA, OH,
OR, VT, WA, and WY Policy Form #s TAHC5100IPS and TAHC5200IPS. Certain coverages are under series TAHC6000 and TAHC7000.
This plan provides cancellation coverage for your trip and other insurance coverages that apply only during the covered trip. You may have coverage from other sources that
provides you with similar benefits but may be subject to different restrictions depending upon your other coverages. You may wish to compare the terms of this policy with
your existing life, health, home, and automobile policies. If you have any questions about your current coverage, call your insurer, insurance agent, or broker.
Note: People to People purchases a Medical Protection Plan on behalf of all delegates which contains coverage for accident and sickness medical expenses, as well
as emergency medical transportation expenses. Certain terms, conditions, and exclusions apply. For more information, please refer to the Medical Protection Plan on

TRANSPORTATION: Transportation to and from the destination city is NOT included in the program tuition and shall be the sole responsibility of
the delegate.
PASSPORTS AND VISAS: Each delegate is solely responsible for applying for and securing a passport where necessary for international travel. All
associated costs to obtain a passport are not included in the program tuition. Delegates are solely responsible for applying and securing all visas (including any connection
countries due to flight routings), unless otherwise noted in these Booking Conditions. Costs associated with obtaining visas are not included in the program tuition.
All delegates are solely responsible for obtaining re-entry documentation required for their country of residence. If, for any reason, a delegate is unable to obtain the
necessary passport, visas, and/or re-entry documentation necessary for travel and cancels enrollment in the program as a result, standard cancellation fees shall apply.
Due to potential delays in obtaining travel documentation, delegates are encouraged to obtain any necessary passports, visas, and/or applicable re-entry documentation
as soon as they have enrolled in the program.
UNACCOMPANIED MINOR FEES: Any applicable airline unaccompanied minor fees are not included in the program tuition and shall be the sole
responsibility of the delegate. Please check with your airline regarding unaccompanied minor regulations, charges, or any restrictions that may apply.
BAGGAGE: Airline baggage charges as well as charges for overweight baggage and additional checked or carry-on bags may apply and are the sole responsibility
of the delegate. Information on specific airline baggage allowances and fees is available at www.peopletopeople.com/baggage. All personal belongings are the
responsibility of the delegate. API will not be responsible for lost baggage, or the cost to replace items contained in such baggage.
PERSONAL EXPENSES: Items of a personal nature such as laundry, fax, and telephone expenses, as well as meals not specified in the itinerary, are not
included in the program tuition.
PROGRAM UPGRADES (optional): Delegates may elect to purchase program upgrades as may be offered, from time to time, by the program
office. Program upgrades include, but are not limited to, program extensions and transportation deviations. Program Upgrades are subject to space availability and a
minimum number of participating delegates as determined by the program office. Please contact the program office for Program Upgrades that are available for your
program. Registration for offered Program Upgrades must be in writing and shall be received by the program office at least 90 days prior to the program departure date.
Program Upgrade charges and fees are not included in the program tuition, and payment shall be due and payable at the time of purchase. Program extensions are also
subject to additional Program Extension Service Charges and Program Extension Air/Land Costs for deviations. We are not responsible for program changes resulting from
airline or ground transportation delays and cancellations. In the event of airline or ground transportation changes, all efforts will be made to maintain the integrity of the
program’s content. Cancellation of any purchased Programs Upgrades shall be subject to the cancellation fee policy as noted.
TOUR OPERATIONS: Ambassador Programs, Inc., d/b/a People to People Ambassador Programs, is a Delaware corporation, qualified to do business in the
state of Washington, with its corporate headquarters located in Spokane, Washington. Ambassador Programs, Inc., is in the business of arranging and operating group
student, athlete, and professional educational and exchange travel programs. Ambassador Programs, Inc., is a licensee of People to People International (PTPI), a notfor-profit Missouri corporation with its corporate headquarters located in Kansas City, Missouri. Ambassador Programs, Inc., has the right to develop, promote, market,
and expand the “People to People” mission as envisioned by President Dwight D. Eisenhower to create peace through understanding through educational travel and
exchange programs to connect people around the world. Ambassador Programs, Inc., is registered or is registering as a “seller of travel” in California (Reg. No. 203972920), Florida (Reg. No. ST36276), Hawaii (Reg. No. 0032984F1), Iowa (Reg. No. 798), Nevada (Reg. No. 2005-0051), and Washington (Reg. No. 601648165).
Ambassador Programs, Inc. is a registered seller of travel providing programs to PTPI exclusively; its Student Ambassadors are not “members” of Ambassadors Group,
Inc.; and Ambassador Programs, Inc., is not government affiliated or under the auspices of any of the current or prior United States presidents’ honorary chairmanships.
Registration as a seller of travel does not constitute approval by that state.
DEPOSITS AND TUITION PAYMENTS
DEPOSITS AND TUITION PAYMENTS: For an application to be considered, it must include a deposit of $300, of which $95 is a non-refundable
application fee. Registrations received 90 to 60 days prior to departure will require a late registration deposit of $1,000 due at submission of application. (Non-accepted
applicants or applications cancelled within three days of our receipt of application will receive a full refund. Standard cancellation fees shall apply thereafter.) Convenient
program tuition payment alternatives include making payments online by credit card or debit card. When you send us a check as payment, you authorize us to clear your
check electronically. If your payment is being cleared electronically, you will not receive your original check back in your bank statement. Electronic payments generally
clear faster than regular checks.
Delegates must select one of the following tuition payment options:
Option #1: Full payment at time of application.
Option #2 Monthly credit/debit card installment payments. (Charged on the first business day of each month until 30 days prior to departure. Your estimated
monthly installment payments are determined by your total program costs divided by the number of months between your enrollment date and the date which is 30
days prior to your departure date. Please note that any past due monthly credit/debit card installment payments will be charged at the time of the next installment
payment due date.)
Option #3: Payment schedule. If you select the Monthly Payment Schedule, you will be responsible for initiating each scheduled monthly payment online with
your credit/debit card or by sending a check to our lockbox prior to the scheduled payment due date.

LATE REGISTRATION: Registrations made less than 60 days prior to departure will be treated on an individual, space-available basis and must be
submitted with full payment. Additional fees may apply to late registrations. Payment must be made by credit/debit card, certified check, money order, or wire
transfer. (Nonaccepted applicants or applications cancelled within three days of our receipt of the application will receive a full refund. Standard cancellation fees shall
apply thereafter.) The program office reserves the right to place the delegate on standby status or to cancel the delegate and withhold from any refund the applicable
administrative and cancellation fees as noted.
REFUNDS AND CANCELLATION FEES: Written notice of cancellation from the program or cancellation of any optional Program Upgrades must
be delivered to the program office and will be accepted only from the “Bill To” person designated on the delegate’s account. Refunds due to the delegate are computed
from the date notice is received by the program office. Because the organization of programs requires extensive planning, costs are incurred long before departure.
Keeping this in mind, and in the interest of our delegates, the refund and cancellation fee policy will apply as noted. If a delegate cancels enrollment in the program,
the refund and cancellation fee policy will apply as noted. For applicants applying for scholarships and not selected for the scholarship, the refund and cancellation fee
policy will apply as noted.
The program office reserves the right to remove a delegate from the program for any reason whatsoever, with or without cause. If the program office refuses acceptance of
an applicant or removes a delegate prior to departure, the sole liability of the program office is to refund any monies paid to the program. If the program office removes
a delegate for, but not limited to, nonpayment of scheduled installments, failure to return health forms and/or physician’s authorization forms, or any other required
documentation reasonably requested by the program office, the refund and cancellation fee policy will apply as noted. If a delegate is removed or cancels participation
after departure, no refund will be made, and the delegate will be liable for all additional travel expenses incurred.
In the event a refund is due to the delegate and only one credit card was used to make payments on the account, the refund will be issued to that credit card. If the
payments on the account were made with multiple credit cards and/or checks, the entire refund due will be made by check and payable to the “Bill To” person as
designated by the delegate in the application process. In the event the delegate cancels enrollment in the program, the delegate shall be solely responsible for returning
any funds raised through any fundraising efforts, sponsorships, or scholarships, and in no event shall the program office be liable or responsible for the return of any such
funds, or for any acts or omissions of the delegate or any third party.
Upon receipt of your cancellation notification, refunds will be processed according to this Refund and Cancellation Fees policy.

Program costs includes program tuition, pre-program and post-program extensions including additional land costs, accommodation upgrades, and any additional
services or costs requested by the delegate. Non-refundable fees also include Late Payment Fees, Returned Payment Processing Fees, Reinstatement Fees, Transfer
Fees, and visa fees (also non-transferable).

REINSTATEMENT FEES: If a delegate cancelled from the program, or the program office cancelled the delegate for nonpayment or for any other reason,
and the delegate desires to be reinstated in the program, the delegate shall send to the program office a written request to be reinstated. Requests for reinstatement
shall be submitted with full payment. Payment must be by credit/debit card, certified check, money order, or wire transfer, and shall include a Reinstatement Fee.
Reinstatements will be treated on an individual, space-available basis and on the basis of accommodation availability and shall be subject to acceptance by the program
office. The program office reserves the right to place the delegate on standby status or to cancel the delegate and withhold from any refund the applicable administrative
and cancellation fees as noted.
TRANSFER FEES: If a delegate desires to transfer to another program as offered by the program office, the delegate shall send a written request to the program
office requesting to be transferred to another program o. Requests for transfer shall be subject to a Transfer Fee and change in program tuition, as well as any other air/
land and accommodation costs applicable at the time of transfer. Transfers will be treated on an individual, space-available basis and on the basis of accommodation
availability and shall be subject to acceptance by the program office. The program office reserves the right to place the delegate on standby status, to cancel the delegate,
or, if the delegate cancels, to withhold from any refund the applicable administrative and cancellation fees as noted. Requests for transfers to a program in a year other
than the currently enrolled travel year shall be subject to the Booking Conditions and the Terms and Conditions of Travel that are in effect for that program year, including,
but not limited to, program tuition, refund and cancellation fees, Medical Protection Plan, Travel Protection Plan, Cancel for Any Reason Benefit Upgrade, or any other
offered travel insurance plans, and administrative fees. Should the delegate cancel from participation in next year’s transferred to program, the cancellation fees assessed
shall include the greater of (i) the cancellation fees for next year’s transferred to program, or (ii) the cancellation fees assessed for the prior year’s travel program.
LATE PAYMENT AND OTHER FEES: Program tuition and any other charges or fees are due on the scheduled payment due date. A non-refundable
Late Payment Fee will be assessed for each payment not received by the program office by the scheduled due date. Any payment that is returned or dishonored for
nonsufficient funds (NSF), a stop payment order, credit card expiration, closure of account, or for any other reason will be subject to a non-refundable Returned Payment
Processing Fee.
If a credit card is used as the payment method, the delegate should be aware of the credit card expiration date. It is the delegate’s responsibility to notify the program
office and to update his/her account. If the credit card expires, a Returned Payment Processing Fee will be charged to the delegate’s account. When monthly credit/
debit card installment payments are selected, any past due monthly credit/debit card installment payments will be charged on the next installment payment. Monthly
credit/debit card installment payments are charged on the first business day of each month until 30 days prior to departure. When you utilize electronic wire funds
transfer service as a method of payment, banks may charge you a transaction or processing fees for the origination and receipt of electronic wire funds transfers on your
behalf. You agree to pay our bank’s standard domestic and/or international wire transfer fees for origination or receiving your wire funds transfer request. Our bank’s
wire transfer origination or receipt transaction fee or processing fees will be deducted from the funds transfer initiated by you. Please contact the program office for the
transaction or processing fees charged by our bank for wire fund transfers. You should also contact your banking institution for applicable fees for origination or receipt
of wire funds transfers on your behalf.

LIMITED PROGRAM AVAILABILITY: The number of spaces on any delegation is limited. At the time of enrollment, if space in the requested
delegation is unavailable, the delegate will be notified and made aware of other program options that may be available, including, but not limited to, alternate
program dates and/or itineraries. Should the delegate elect to be enrolled in the originally requested delegation, it is understood the enrollment will be processed
without guarantee of travel. The program office will notify the delegate of any change in program availability. If space does not become available on the program
in which the delegate has enrolled, the delegate can elect to travel on an available delegation or receive a refund of all monies paid by the delegate, less nonrefundable fees. Delegates who have completed all the required travel documents and are paid in full by the final payment deadline may be given priority as space
becomes available.
PEOPLE TO PEOPLE INTERNATIONAL MEMBERSHIP: Each People to People Leadership Ambassador Program is approved by People
to People International. Through their participation in the program, all delegates become full members of People to People International for a term of one year from their
date of departure.

PROGRAMS®. Your participation in this program is accepted only in accordance with, and expressly conditioned upon, your (and your parent’s or legal guardian’s if
you are a minor) acceptance of these Terms and Conditions of Travel and the Booking Conditions as evidenced by your electronic acceptance via click and accept and/or
some other similar mode/manner or your participation in this program. If you do not agree to these Terms and Conditions of Travel or the Booking Conditions, you may
not enroll or participate in the program. We reserve the right, at our discretion, without notice to you, to change, modify, add, or remove portions of these Terms and
Conditions of Travel or the Booking Conditions at any time. Please check these Terms and Conditions of Travel periodically for any changes. These Terms and Conditions
of Travel supersede any other warranties, representations, terms, or conditions, unless they are expressly stated in these Terms and Conditions of Travel.
RESPONSIBILITY: A delegate’s membership and participation in this program is accepted by Ambassador Programs, Inc., d/b/a People to People Ambassador
Programs (“API”), only in accordance with, and expressly conditioned upon, these Terms and Conditions of Travel and the following statement of conditions and
responsibilities:
API acts only as an agent in securing accommodations, transportation, sightseeing, home stay, and other travel services, and in no event shall API be liable or responsible
in connection with or in respect ot any acts or omissions of any third party, including, but not limited to, third-party contractors, suppliers, and vendors who render
services in connection with the program. All accommodations, transportation, sightseeing, and other travel services are provided to delegates subject to all the terms
and conditions under which they are offered to the public generally. Neither API nor its agents shall be liable for any loss, injury, or damage to person or property
resulting from, but not limited to, government actions or restraints, disturbances, hostilities, war, epidemics, breakout of disease, quarantines, labor disputes, machinery
breakdown, weather conditions, natural disaster, delays, accidents, personal injuries, annoyance or inconvenience, or any other cause beyond its control. API shall not
be liable for any additional expense incurred by a delegate as a result of any of the foregoing causes. If, as a result of any of the foregoing causes, a program must be
canceled less than 60 days prior to departure or during the operation of a program, API will refund any monies paid to it by the delegate less non-refundable application
fees, non-recoverable deposits, and reasonable expenses incurred by API in respect to such program cancellation. In the event a program must be canceled 60 days
or more prior to departure, API will refund all monies received by API or its agents for registered delegates. API and its agents reserve the right to decline to accept or
retain any person as a delegate. API does not discriminate based on race, national origin, age, disability, gender, sexual orientation, or any other category protected
by applicable law. Should a delegate have a health or mobility limitation, allergy, severe sight or hearing limitation, or any other medical condition that could restrict
or substantially interfere with the delegate’s ability to participate in the program, an aide will be required to accompany the delegate. All travel and hiring expenses
for the aide may be the responsibility of the delegate, including a single-room charge, if needed, unless otherwise dictated by applicable law. The delegate shall be
solely responsible for monitoring and shall be able to self-administer, without supervision, any required and recurring medications, injections, or any other treatments.
Program staff, delegation leaders, or any other third party will not hold or administer any medication or treatment that may be required for a delegate. The contents
of food products cannot be controlled or guaranteed during travel. All special dietary needs or monitoring of the contents of food products are the responsibility of the
delegate. Should a delegate’s health, physical infirmity, or general deportment, in the sole judgment of API and its agents, impede the operation of the program or the
rights, welfare, or enjoyment of other delegates, API and its agents have the right to terminate the delegate’s participation, unless otherwise dictated by applicable law.
In such instances a refund of unused services, where such refund can be obtained from land and/or air operators, is the limit of API’s responsibility should the delegate
be required to cancel enrollment in the program. API and its agents reserve the right, in their sole discretion, to cancel the program or to make such alterations in the
schedules as they may deem necessary or desirable and to pass on to the delegate any expenditures or losses caused by delays or events beyond API or its agents’
control. In particular, where special visits and/or meetings are scheduled to be arranged, API and its agents cannot be held responsible for changes, substitutions,
or alternate arrangements that may be necessary should the appointment for such special visits and/or meetings be changed or canceled for any reason. Alternate
arrangements or substitute programs will be arranged where possible in such instances. No refund shall be made for services not taken in case of sickness, accident, or
emergency during the program. API recommends the purchase of the optional Travel Protection Plan insurance to cover sickness, accident, emergency, or loss or damage
to delegates’ baggage or personal effects. The delegate (and parent or legal guardian if the delegate is a minor) expressly authorizes and full consent is hereby given for
(i) the delegate’s participation in all activities provided and/or organized by API or its agents, (ii) API, and its employees, representatives, and agents in any emergency
situation, illness, or accident to secure prompt medical care and attention, and the delegate (or parent or legal guardian if the delegate is a minor) understands and
assumes the financial responsibility for any such medical services and treatment, and (iii) API, and its parents, subsidiaries, or affiliates and their respective employees,
agents, and representatives, and any medical provider or facility to receive, use, and/or release any health information of the delegate and/or his/her parent or legal
guardian. The delegate (and parent or legal guardian if the delegate is a minor) (i) expressly acknowledges risks and dangers exist while participating in the program,
including, but not limited to, risk of loss, personal injury, and property damage, (ii) hereby accepts and assumes these risks and dangers, whether or not specifically
discussed, (iii) hereby waives and releases API, its parents, subsidiaries, and affiliates and their respective shareholders, directors, officers, employees, licensors, licensees,
agents, and representatives from all claims arising from, but not limited to, personal injury, loss, damage, accident, delay, or expense resulting from his/her participation
in the program. Unless a delegate (or parent or legal guardian if the delegate is a minor) files a claim within 30 days from the end of the program, API shall be relieved
of all liability to such delegate. The delegate acknowledges and agrees that API and its agents shall have the right to contact the delegate by means of telephone, cellular
telephone, email, or other correspondence.
USE OF NAME AND LIKENESS: The delegate (and parent or legal guardian if the delegate is a minor) hereby consents and irrevocably grants
to API (and its parent, subsidiary, associated, and affiliated companies, including each of their respective officers, directors, agents, and employees), as well as
certain third parties who we feel would be interested in recognizing your achievements, a royalty-free, worldwide right and license to use, incorporate, broadcast,
distribute, photograph, film, videotape, record, reuse, publish, republish, exploit, adapt, modify, alter and/or edit, reproduce, publicly perform, and display his/her
name, photograph, and photographic likeness, including still, moving and voice, image, comments, submitted documentation, written papers, biographical material,
artwork, music, writing, endorsement, portrayal, and/or other visual or physical likeness, in all poses, acts, plays, and appearances, in whole or in part or composite or
reproduction thereof, in any and all media now or hereafter devised (the “Materials”), in perpetuity by incorporating, without restrictions or limitation, the Materials
into any product or service, whether electronically or in print, including, but not limited to, any marketing and advertising materials, publications, catalogues, brochures,
books, magazines, photo exhibits, correspondence, motion picture films, videotapes, commercials, informational or educational materials, and/or any other media, now
known or later devised or developed.
Use of Personal Information: To register for a program, you (or your parent or legal guardian on your behalf) will be required to
share personal information with us, including, but not limited to, first and last name, home or physical address, telephone number, email address, school, grade
in school, occupation, job title, and information about your job/occupation (“Personal Information”). We may retain and use that information for several purposes.
For example, the uses may include, but are not limited to, sending you information about other programs, scheduling travel related to the program for you, or
creating a directory of participants in your program. We may share Personal Information collected with certain third parties, including, but not limited to, our parent
companies, subsidiaries, affiliates and strategic partners, third-party service providers, third parties who we feel would be interested in recognizing your achievements,
and other participants in your program. For a more complete description of the Personal Information collected and how it is used, please see our Privacy Policy at
www.peopletopeople.com/privacy-policy, which is incorporated into this Terms and Conditions of Travel by reference.
APPLICABLE LAW/JURISDICTION: Any dispute, claim, disagreement, or controversy, in law or equity, arising out of or relating to: (1) the Terms
and Conditions of Travel; (2) the Booking Conditions; (3) the invitation, application, and registration processes; (4) the delegate’s participation in all activities provided
and/or organized by API or its agents; (5) the acts or omissions of API, its parent, subsidiaries, affiliates, employees, agents, and representatives; (6) the acts or omissions
of participants or third parties; (7) the organization and delivery of the program; or (8) any other agreement, document, or provision of services, shall be governed by
and construed in accordance with the internal laws of the state of Washington (without reference to its choice of law rules). Each of the parties hereto understand and
agree that Washington law shall apply to any and all claims, disputes, and controversies, of any kind, arising between the parties, as well as between API and any
nonparty that claims rights through any party, on behalf of any party, or in relation to any party. In addition, each of the parties hereto hereby irrevocably waives, to
the fullest extent permitted by law, any objection that it may now or hereafter have to the application of Washington law to any action, suit, claim, or proceeding. Each
of the parties hereto hereby irrevocably and unconditionally agrees that any action, suit, or proceeding shall only be brought in any federal and state courts located
in Spokane County, Washington, and each party hereby irrevocably and unconditionally expressly submits to the personal jurisdiction and venue of such courts for the
purposes thereof and hereby irrevocably and unconditionally waives (by way of motion, as a defense or otherwise) any and all jurisdictional, venue, and convenience
objections or defenses that such party may have in such action, suit, or proceeding. Each party hereby irrevocably and unconditionally consents to the service of process
of any of the aforementioned courts.
