NOTICE OF BOND ELECTION TO THE RESIDENT QUALIFIED VOTERS OF NORTHWEST DALLAS COUNT"1O#iJjtBu9 CONTROL DISTRICT: cau" NOTICE IS HEREBY GIVEN THAT an election will be held within the NCJJilIif':l1f~S Dallas County Flood Control District, on Saturday, May 9, 2015, as ordered by the Board of Directors of Northwest Dallas County Flood Control District, a substantial copy of which order is printed below: I \/ ORDER CALLING A BOND ELECTION; PROVIDING FOR THE CONDUCT AND THE GIVING OF NOTICE OF SAID ELECTION; AND ENACTING OTHER PROVISIONS RELATING TO THE SUBJECT WHEREAS, Northwest Dallas County Flood Control District (the "District") issued its Limited Tax Modified Capital Appreciation Bonds, Series 1992 (the "1992 Bonds"), currently outstanding in the aggregate principal amount of $8,424,000, with $7,229,632 of compounded and accrued interest outstanding and unpaid as of May I, 20 15; WHEREAS, this Board of Directors finds and detennines that it is necessary and in the best interests of the District to call and hold an election for Northwest Dallas County Flood Control District on the proposition hereinafter set forth to anthorize the issuance of refunding bonds to refinance and provide for the orderly payment of the debt evidenced by the 1992 Bonds; and WHEREAS, it is further found and detennined that the meeting at which this order was adopted was open to the pnblic, and public notice of the time, place, and purpose of said meeting was given, all as required by the Texas Goverrnnent Code, Chapter 551; Now, Therefore BE IT ORDERED BY THE BOARD OF DIRECTORS OF NORTHWEST DALLAS COUNTY FLOOD CONIROL DISTRICT: Section I. Findings. The statements contained in the preamble of this Order are true and correct and adopted as findings of fact and operative provisions hereof. Section 2. Election Ordered; Date: Propositions. An election shall be held for and within the District on May 9, 2015, at which election the following proposition shall be submitted in accordance with law: PROPOSITION Shall the Board of Directors of Northwest Dallas County Flood Control District be authorized to issne the bonds of the District, in one or more series, in the aggregate principal amount of $16,335,000, maturing serially or otherwise in such installments as are fixed by said Board over a period or periods not exceeding thirty-one (31) years from their date or dates, bearing interest at any rate or rates and to sell said bonds at any price or prices, provided that the net effective interest rate, on any issne or series shall not exceed the maximum legal limit in effect at the time of the issuance of each such issues or series of said bonds, all as may be detennined by the Board of Directors of said District, for the purpose or purposes of refunding by any means now or hereafter authorized by law, all or any portion of the District's outstanding Limited Tax Modified Capital Appreciation Bonds, Series 1992, and to provide for the payment of principal of and accrued and unpaid iuterest on such bonds by the levy and collection of a sufficient tax upon all taxable property within said District, without limit as to rate or amount, all as now or hereafter authorized by the constitution and laws of the state of Texas" A/,IO: 26 C' ""K COLIJ"N'TY · .. .f~~ j t~~ f":, L) Section 3. Official Ballots. Precincts and Polling Places. The election precincts for said election, the polling places for such precincts on election day and the date and hours for voting at said election are hereby established mId designated in Exhibit A attached hereto, which is incorporated herein by reference and made a pmi hereof for all purposes. Exhibit A shall be modified to include additional or different election day polling places designated by the Elections Administrator and to conform to the Election Services Agreement. Section 5. Early Voting. The Main Early Voting Polling Place, the Temporm)' Branch Early Voting Polling Place for conducting early voting by personal appearance, the dates and hours for early voting by personal appearance and the address for early voting by mail for said election are hereby designated as set forth in Exhibit A attached hereto. Exhibit A shall be modified to include additional or different early voting locations designated by the Elections Administrator and to conform to the Election Services Agreement. Section 6. Election Officers. The persons to serve as officers to conduct said election shall be appointed in accordance with the Texas Election Code. The early voting clerk for said election shall be Toni Pippins-Poole, Dallas Count Elections Administrator. Section 7. Bilingual Election Materials. The election materials enumerated in Tex. Elec. Code Ann. §§ 272.001, et seq., shall be printed and furnished in both English and Spanish for use at the polling place and for early voting. Section 8. Conduct of Election. Said election shall be conducted in all respects in accordance with the Texas Election Code, and all resident qualified electors of the District shall be entitled to vote at said election. Pursuant to the federal Help America Vote Act and the Texas Election Code, each polling place shall be provided at least one voting system equipped for individuals with disabilities. Section 9. Notice of Election. Proper notice of the election shall be given in accordance with the Texas Election Code. Section 10. Additional Information. In accordance with the provisions of Section 3.009(b), Texas Election Code, it is hereby found and determined that: (a) The proposition language that will appear on the ballot is set forth in Section 3 hereof. (b) The purpose for which the bonds are to be anthorized is set forth in Section 2 hereof. (c) The principal amount of the bonds to be authorized is set forth in Sections 2 and 3 hereof. 26 (i i (d) As set forth in Sections 2 and 3 hereof, if the bonds are approved by the voters, the Board of Directors will be authorized to impose and levy annual ad valorem taxes, ol\il¥!: tiiwPl~,?roRmtli~e District, sufficient, without limit as to rate or amount, to pay the principal of anttJMt&bH on the bonds. (e) Based upon the bond market conditions at the date of adoP~it:tLqii,tlfit t?t~ the maximum interest rate for any series of the bonds is estimated to be 5% as calcul jI.,'l.~'PSCOO~f'!Vith applicable law. Such estimate is based on advice received from the District's mancial advisor, which advice takes into account a number of factors, including the issuance schedule, maturity schedule and the expected bond ratings of the proposed bonds. Such estimated maximum interest rate is provided as a matter of information, but is not a limitation on the interest rate at which the bonds, or any series thereof, maybe sold. (1) As set forth in Section 2 hereof, if the bonds are approved, they may be issued in one or more series, to mature over a period not to exceed 40 years. (g) The aggregate amount of the outstanding principal of the District's bonds, as of the beginning of the District's 2014-15 fiscal year, was $8,424,000. (h) The aggregate amount of the outstanding interest on the District's bonds as of the beginning of the District's 2014-15 fiscal year, including compounded and accrued interest estimated as of May I, 2025, was $18,319,328. (i) The ad valorem debt service tax rate for the District for the 2014-15 fiscal year is $0.250 per $100 of taxable assessed valuation.
