NOTICE OF MATERIAL FACT
São Paulo, March 30, 2015 – MARFRIG GLOBAL FOODS S.A. (“Company or Marfrig” –
BM&FBOVESPA: MRFG3; Level 1 ADRs: MRTTY), acting herein for compliance with
paragraph 4 of article 157 of Brazilian Corporate Law (Law No. 6,404 dated December 15,
1976, as amended) and with Brazilian Securities Commission (“CVM”) Ruling No. 358 dated
January 3, 2002, as amended, today announces to shareholders and the market at large that
the Chief Financial Officer will no longer be accumulating functions as IRO.
Thus, the role of Investor Relations Officer will be performed by Mr. Marcelo Di Lorenzo, who
will also lead our strategic planning department. Mr. Di Lorenzo holds a degree in mechanical
engineering from the Aeronautics Technology Institute (Instituto Tecnológico de
Aeronáutica), known as ITA, and a MBA with concentration in Finance and Accounting from
the University of Chicago (U.S.). He is highly experienced in strategic consulting and private
equity affairs, having worked for firms as McKinsey & Company, Merrill Lynch, Morgan
Stanley, Standard Bank, DLJ and 3i.
Mr. Di Lorenzo is set to gradually take over the functions of investor relations officer and head
of strategic planning from the current heads of these departments, Messrs. Ricardo Florence
and Jaime Singer, respectively.
This transition process will assure the execution of all strategic events contemplated in the
agenda of our Focus to Win project.
Mr. Ricardo Florence will be continuing with us in the role of Chief Financial Officer, while Mr.
Jaime Singer plans to leave the Company after a three-month transition period.
We welcome Marcelo Di Lorenzo on board and wish him lots of success in his new role.
