FRANCHISEE REBATES, IF ANY, AND HOW THEY ARE PAID
Uni-Select will pay a five percent (5%) quarterly rebate to the Midas Dealer on:
 Net USI Distribution Center purchases
 Net Reported USI Member sales for Uni-Select Product lines
Rebate payments are made on a quarterly basis and are paid as a credit note to the Midas
Dealers Uni-Select warehouse accounts or by cheque (if you do not have a USI Account
opened) within 45 calendar days after the end of the quarter.
Some products are not eligible for rebate payment, see Schedule C for details.
Additional rebates
Midas Dealers are eligible for the Uni-Select programs.
The USI Members may, at their sole discretion, offer to the Midas Dealers Uni-Select Canada’s
SAX Program and/or Build Your Own Program (without identification), which are loyalty and
marketing programs for the sale and installation of automotive parts. In order to participate in
the SAX Program and/or the Build Your Own Program, the Midas Dealer shall agree to the
terms and conditions of the respective program.

annual purchases of the Midas Dealer and the rebate plateau is as follows:

WARRANTY AND LABOR CLAIMS






Standards warranties from the suppliers offered
Assurance Quality program is available for Midas dealers who has joined Uni-Select SAX
program.
The parts and labor warranty from Uni-Select Assurance Quality programs ensure you a
reimbursement on the labor and cost of a part when the latter proves defective. The labor
portion is refunded if the defect occurred within 90 days following its installation, all depending
on the chosen program or option. The cost of the part is refunded in all cases, provided the
defect occurred within 365 days of its installation
Midas Lifetime Warranties
Uni-Select will cover for 1 year (365 days), from the date of purchase, the Midas Lifetime
approved product lines in Schedule A.
After one year, from purchase date, the Midas Corporate program will apply for these
products lines listed in Schedule A.

HOW TO PLACE ORDERS
1. DC STOCK ORDERS PROCEDURES**

your USI Account, please contact your local administration manager (see contact person in

Orders will be processed and shipped within two business days from your regional Uni-Select
Distribution Center.
2. STOCK ORDER REQUIREMENTS

** A Midas Shop that is currently a customer of an Approved USI Member, from whom the Midas Shop purchases 70%
of his Product, shall be entitled under the Stocking Program (where geographically possible) In order for a Midas
Dealer to have access to the DC Stock Order, the Midas Dealer must purchase 70% of its volume from the USI Member
it signed a Dealer Registration Form with, unless otherwise specified by Uni-Select due to geographically reasons.

3. ORDERS THROUGH USI MEMBERS
 Midas Dealers must sign a Dealer Registration Form with the USI Member(s) they choose to
deal with.
 Midas Dealers that wish to participate in the Uni-Select SAX or BYOP programs will need
to sign an Installer Agreement and registration form with their designated USI Member.
 For the nearest USI Member, please refer to the National Member List.
 The USI Member will not sell any Product at the price which exceeds the maximum price
structure listed in Schedule “E” of the Manual. USI Member can decide to sell the Products for
a lesser price at its discretion.
Note: If you own multiple locations and are buying from the same USI Member, please speak
to your USI Member in order to combine your purchases to increase your rebate plateau, and
earn higher rebates.
RETURNS PROCEDURE
The Reason Codes listed beside each subject, below, is to be written on the credit request (see
Schedule B) note in the proper column.
1. ANNUAL RETURNS - Reason Code #65
Midas Shops are permitted to make (2) pre-authorized returns per calendar year in based
on the following criteria:
 100% is eligible on all product categories with an offsetting order of 1.5 times the value of the
return
 No handling charges
 Freight will be arranged with the carrier of Uni-Select’s choice by the Dealers and Paid by UniSelect
Procedure for annual return
 Contact your USI Distribution Center for your authorization of return, Credit Request forms
and to coordinate the return.
 The USI Distribution Center will confirm allowance and Midas Dealer should then submit the
Credit Request form. (Electronic version available upon request).
 Ship the products to be returned using the ‘’authorized’’ Credit Request form as a packing slip.
Retain a copy of the form for your own records (USI Distribution Center choice of carrier).
 Your offsetting order must be sent at the same time as your annual return.
 All products must be in good packaging, re-saleable condition, and still listed on the applicable
supplier’s then current price lists or catalogues.
2. NEW GOODS RETURN (other than annual return) - Reason Code #40
 Used for inventory caused by parts ordered/picked/shipped or packaged in error.
 Midas Dealers may return new goods purchased from the USI Distribution Center within 10
working days of purchase without penalty and freight collect.
 A copy of the original packing slip is required.
 Freight collect (USI Distribution Center choice of carrier) (Return once a week when receiving
your stock order)
 No handling fees

3. CORE RETURN - Reason Code #30
 All cores must be returned to the Uni-Select Servicing Jobber Network regardless of where
the original unit was purchased (USI Distribution Center or USI Member).
 If you don’t have a business relationship with a USI Member, please call your Uni-Select DC
Customer Service desk for assistance.
4. DEFECTIVE/WARRANTY RETURNS - Reason Code #20
 Defective merchandise must be returned to where it was purchased (USI Member Network or
the USI Distribution Center), accompanied by proof of purchase
 All defectives will be handled according to manufacturers or Uni-Select warranty.
 All Midas Lifetime approved products will be covered for the one year or if greater; the
manufacturer warranty (see Schedule A).
 Midas Dealers can use the carrier they want (freight fees are at the USI Dealer cost).
Note: All merchandise must be returned in its original packaging, in saleable condition and still listed
on the applicable supplier’s then current price lists or catalogues (excluding defectives), otherwise
they will not be accepted.
PAYMENT TERMS
1. INVOICING FOR DC STOCK ORDERS
 Uni-Select invoices are mailed weekly.
 Uni-Select statements reflecting all purchases for the month are processed on the last day of
each month and will be mailed within the first week of the following month.
 You will receive at least a 1% discount off your monthly statement if payment received on or
before the 15th of the following month (payment terms are 1/15 net/30).
 Products purchased in a USI Distribution Center should be invoiced according to USI Supply
Program.
Credit card payment
 Midas Dealers may choose to pay by Visa or Mastercard.
 No cash discount offered when payment is made with a credit card.
Please call your local administrative manager to complete all proper steps needed to
make a payment.
2. INVOICING ORDERS FROM USI MEMBERS
 The USI Member will send the Midas Dealer an invoice, and/or a packing slip and a monthly
statement of account detailing the amount due and any credits issued for purchases made.
 Any errors or claims on any invoice and/or statement must be settled directly with the USI
Member.
 Payment is due according to the terms set by the USI Member.
 USI Members can charge interest on all overdue accounts and either close the delinquent
accounts or put such accounts on a C.O.D. basis only.
