Alliance Agreement Fact Sheet
Provides overview of the Alliance formation rationale, benefits and competitive advantages. Describes
how the Alliance will work, what is included, and next steps.
Joint Commission vote in early June will approve the following for transmittal to the FMC:

FMC Discussion Agreement and Draft Transmittal Letter to FMC
These documents will be filed with the Federal Maritime Commission (FMC) to describe the intent of
the two Ports to create a Port Development Authority (PDA) to jointly operate certain marine facilities
as The Northwest Seaport Alliance. Describes the scope of authority the PDA will have over the Ports’
maritime operations and how the PDA will be governed by the Ports. Note, draft copies of the other
documents listed below will be submitted for FMC information.
Homeport Action Items in late July, forming the Alliance – each Port Commission will separately approve:

Interlocal Agreement (ILA) Creating the Alliance
Agreement between the two Ports, to create the PDA to operate certain marine facilities jointly as The
Northwest Seaport Alliance. This document will be executed following completion of the FMC review
period.

Port Resolutions Creating Alliance
Separate Resolutions by each Port, to establish the PDA and approve the PDA Charter, pursuant to the
terms of the FMC Discussion agreement and ILA Creating the Alliance. These resolutions will be
executed following completion of the FMC review period.
o PDA Charter (Exhibit A to Resolutions)
The document that defines the Alliance organization – its purpose, authority, ownership,
governance, financial structure, operations and management requirements.

Delegation of Authority Master Policy (Exhibit A to PDA Charter)
Defines delegation of administrative authority from the Managing Members (both Ports) to
the Chief Executive Officer of the Alliance.
Informational Items

Transition Plan
Provides an informal summary of Alliance management structure and organizational development,
including plans for start-up and staff assignment. Additionally provides an overview of Alliance
financial framework, Strategic Business Plan, Communications Strategy and Public Records
Management.

Strategic Business Plan Presentation
Provides a presentation of the strategic vision for the Puget Sound gateway for the period 2015-2025.
The plan will be used as a framework to guide individual future down-line build-out decisions which
will be based on market demand, capital capacity, speed to market, and Alliance decision criteria.

Property maps – properties that will be licensed to the Alliance for operation, management and use.
