A quorum was present.
At 2:10 PM, President Angie Brown called the board meeting to order and introduced Troy Robinson, the
new Advisory Member to the board. August board minutes were approved with amendment showing Ricky
Leal was in attendance for the August board meeting.
Leadership Conference Report
Julie Courtney provided the board with a tentative agenda for the 2012 Conference at the Woodlands.
Informed the board that the conference budget had been approved and she asked for input from the board for
a conference theme.
CEO Report
IBAT President & CEO Chris Williston provided an overview of federal legislative issues. He explained
that while there was an effort to delay Reg Q, regulators refused because in their opinion the changes were
mandated by Dodd-Frank. The patent reform bill passed and was signed. IBAT met with officials at the
Consumer Financial Protection Bureau on overdraft and fair lending. He explained that lending and job
creation are at the forefront of congress at his time.
HR 1697 is the Communities First Act. Current Texas co-sponsors include Congressmen Randy
Neugebauer, Mac Thornberry and Kevin Brady.
On the state level, the Supreme Court is debating the constitutionality of the margins tax, which replaced the
franchise tax. Court has 130 days to rule. If ruled unconstitutional, this issue will return to the legislature.
Argument is that there is not enough revenue being raised by the margins tax.
Membership
Membership Chairman Justin Steinbach suggested that we become more diligent in following up with
attendees from the regional meetings with personal letters, emails and phone calls. In January, the
Leadership Division membership was 521 and had dropped to 509 in November 2011. Membership
renewals will be going out in January-February 2012.
CEO Legislative and PAC Update
Chris Williston presented the regulatory, federal and state updates. IBAT Regional Meetings begin in
January. There will be an aggressive IBAT membership campaign in 2012 with a goal of recruiting 50 new
members. 200 banks have been identified a not having much involvement with IBAT over the past several
years.
It was a great year for the IBAT PACs. Mr. Williston thanked everyone for contributing to Chairman
Spencer Bacchus during the IBAT Convention. Want to push Subchapter S threshold from 500 to 2000
shareholders. On the regulatory side, there has been a 40% increase in referrals to the Department of justice
on fair lending issues. Troy Robinson said IBAT representatives are working with regulators to explain the
process to the examiners.
On the state front, it continues to be a busy period for candidates filing for office. Mr. Williston encouraged
the board to request PAC checks to deliver to local fundraisers.
Convention PAC Activities
Kevin Monk thanked everyone for their help with this year’s PAC Auction and other PAC fundraising
activities. We tagged 28 of 117 silent auction items as “Buy Now” items. 11 sold for the “Buy now” price.
Next year IBAT will send letter to all bank CEOs requesting auction items. Sales of Dream Vacation tickets
were low this year. Tim Teske suggested we send letters to all bank CEOs next year informing them of the
Dream Vacation. Darlene Revers informed the board that the Associate Member Advisory Council will
encourage Associate Members to become more active in raising funds for the PAC and participating in PAC
activities.
Communications and Regional Meetings
Craig Roberts asked for follow-up reports on the October Leadership Area Meetings in Dallas, Longview
and Mount Pleasant. All reported good attendance and attendees liked the format of the programs.
Doak Crabtree said he and Kerry Hall are continuing to work on ideas to encourage Leadership members to
use the website.
Strategic Plan 2014
Chris Williston presented the proposed 2014 Strategic Plan to the full board. (see attachment). IBAT
staff will work on implementation of the plan and report back to the full board at the March board meeting.
Mark Sheffield made a motion that the board approve the “community” concept as presented by Mr.
Williston. Brandon Bartek seconded and motion passed.

February 1, 2012
Members of the Leadership Division Nominating Committee met via conference call on
Wednesday, February 1 at 10:00 AM. Members in attendance included:

President Angie Brown called the meeting to order. The explained that the purpose of the
committee meeting was to nominate a new Secretary-Treasurer for the board and to nominate
a new board member from Region 6. Current member Lawson Allen completes his second term
in June and will be leaving the board.
The committee moved to nominate Mark Sheffield of Roscoe State Bank in Bastrop as
Secretary-Treasurer and Zach Dean from Fort Davis State Bank as the board member from
Region 6.
In other business, there was discussion on the current board members whose first terms expire
in June. Since the new Strategic Plan evolved before the end of their first term and they would
not have the opportunity to be nominated for a second term, the committee voted to
“invite all current board members whose first terms will expire in June 2012 to remain on the
board until June 2013 when all board members will transition to the regional concept.”
There being no further business, the committee adjourned at 10:40 am.

Where Do We Go From Here
Regional Structure
In order to create a board structure that better reflects a traditional association
Parent/Chapter model, the current 18 regions of the Division will be combined into 11
regions, which will be known as Leadership Division Region 1, Leadership Division Region 2,
etc. These regions will be governed by Regional Presidents.
The regional president will then recruit 3 Leadership Division members in their region to serve
as chairmen of the three local committees:

Membership Committee
Events Committee
Committee chairmen shall be selected throughout all counties of the region, rather than a
particular bank in the region, in order to provide more member value to the entire
membership in that region.
The minimum standard for regional meetings will be 3 meetings per year:
1. 1 networking event (which could be an educational event)
2. 1 PAC fundraising event
3. 1 membership event
The regional presidents would oversee all activity in their region and be accountable to the
Leadership Division Board of Directors. The local committee chairmen would make up the
committees for the Division, but the regional president is the only one who would serve
on the board of directors.
Correspondent bankers and associate members may select the region in which they would
like to be placed according to their customer base.
PAC Committee
The president of each region will appoint a PAC Committee Chairman. The chairman, in
consultation with the regional president, will appoint a maximum of four Leadership Division
members in the region to serve on the committee. This committee will be responsible to plan
at least one PAC fundraising activity throughout the year. Examples include mini-auctions,
selling Dream Vacation tickets, encouraging PAC drives in the banks in the region, securing
auction items for the IBAT Convention. The committee also would be encouraged to create
new fundraising opportunities/events for their region.
Membership Committee
The president of each region will appoint a Membership Committee Chairman. The chairman,
in consultation with the regional president, will appoint a maximum of four Leadership
Division members in the region to serve on the committee. The committee will be
encouraged to develop innovative ways to recruit new members and retain current members
by bringing value to all members. Examples would include receptions, lunches or dinners with
guest speakers focusing on enhancing leadership skills or other topics to help attendees in
their careers.
Networking Events Committee
The president of each region will appoint a Networking Committee Chairman. The chairman,
in consultation with the regional president, will appoint a maximum of four Leadership
Division members in the region to serve on the committee. This committee will be responsible
for scheduling at least one event per year to encourage Leadership Division members to
become better acquainted. Suggestions include after-hours reception, sporting event or new
opportunities to develop camaraderie within the region.
All committee chairmen will be invited to attend 2 Leadership Division Board of Directors
meeting each year. For example:
June—All committee chairs would be invited to take part in the leadership training offered
during the Leadership Conference
August—PAC Committee chairs
December—Events Committee chairs
March—Membership Committee chairs
The committees will meet prior to the board meeting and be facilitated by one of the Board’s
Executive Committee members, who would then bring a report to the full board.
Each regional committee chair, along with each regional president in the region, will meet via
conference call twice a year with their counterparts in other parts of the state to discuss ideas
and suggestions from each committee. For example, All PAC chairs will participate in a
conference call; all Membership chairs will participate in conference call, etc. Conference
calls will be facilitated by member of the Leadership Executive Committee and IBAT staff.
To help the local regions with funding for events, IBAT will share a portion of membership
dues with each region. IBAT will provide $50 from the $125 membership dues to each region
based on the amount of Leadership Division members in that region. Regions will be
encouraged to seek sponsorships from local vendors or IBAT providers with whom they have
a special relationship. IBAT will keep a “budget” for each region to pay expenses. At the end
of the year, unused funds will be returned to the Leadership Division.
For purposes of beta testing, we will institute this new regional program with Regions
1 and 10 for 2012-2013.
Board Composition
The 20-member board of directors would include:

Immediate Past Chairman (formerly Immediate Past President)

2 At Large Members (1-year appointments by Chairman)
On issues requiring a majority vote of the board, the Chairman would vote only in the case of
a tie.
In order to maintain continuity on the Board of Directors, regional presidents will be eligible to
serve two consecutive two-year terms. However, this would not preclude regional presidents
from vying for the position again at some point in the future.
At the regional level, associate members may serve as presidents and thus members of
the Leadership Division Board of Directors. However, only bankers can serve on the
Executive Committee.
As we move forward with the transition, all Leadership Division board members in their 2nd
term will complete their term of office. All first term members are eligible for one additional
year on the board.
Process to Select Regional Presidents and Board of Directors
The Leadership Division Nominating Committee will consist of:
(5) members of the Executive Committee
(1) at-large board member (appointed by chairman)
(1) associate member (appointed by chairman)
Where possible, the at-large member and the associate member will be those members
whose board terms are expiring.
Each year, the Nominating Committee will recommend one of the 11 regional presidents for
election to the Executive Committee.
There are several anticipated changes to the Division’s bylaws, which will take place after
approval of the strategic plan by the full board.

Legislative and Political Update
STATE LEGISLATIVE/REGULATORY
Thankfully the Texas Legislature is not in session until January, 2013. We are
periodically meeting with various groups and lawmakers regarding upcoming issues.
Included among this list are franchise/margin tax, construction lien issues and tax lien
lender initiatives.
We have an open records request pending with the Comptroller to gather some
comparative data on the amount of margin tax paid by community (or at least those
chartered in Texas) banks vs. the out of state banks. In a similar analysis done in
2006, it was clear that the Texas domiciled banks were paying a disproportionately
higher share of state franchise tax. I am hopeful that the new numbers will reflect a
similar result.
There is an interim hearing tentatively scheduled for early April in the Pensions,
Investments and Financial Services Committee (PIFS) to explore the impact of the
Dodd Frank Act on Texas banks. We will obviously be in attendance and will provide
testimony.
FEDERAL LEGISLATIVE/REGULATORY
Cliff McCauley will be testifying before the Financial Institutions Subcommittee in D.C.
on March 1. The title of the hearing is “Understanding the Effects of the Repeal of
Regulation Q on Financial Institutions and Small Businesses”. As you will recall, Cliff
has a particular passion for this issue, and much effort was expended last year prior to
the implementation of this Dodd Frank amendment in July, 2011. We are optimistic yet
realistic in our expectations, but are most pleased that Congressman Canseco
continued to push for this hearing. It will provide a terrific forum for a discussion not
only of the deleterious impact of this significant change in statute, but also to continue
to hammer away on the hurdles facing community banks.
We also have been asked to participate in a field hearing in San Antonio on March 12
on the challenges facing community banks. This is another initiative by Congressman
Canseco. In addition to Mr. McCauley, Les Parker has also been asked to testify.
Scott Heitkamp, Cindy Blankenship, Chris Williston and I attended an invitation only
FDIC conference in Arlington, VA on February 16 on the future of community banking.
This was the first in a series of forums around the country . . . the next “invitation only”
event is in Dallas on March 7. The attendees included community bankers,
consultants, attorneys, regulators and an array of press representatives. We are
pleased that the FDIC is taking a hard look at our sector of the industry, and I was
personally impressed with the preliminary research done by the agency. We will
continue to be engaged as this process moves forward.
Work continues on the fair lending project. We are at this juncture close to finalizing a
contract with a statistician to explore flaws in the regulatory analysis, and to make
recommendations for improvement. I will hopefully have an update for you at the
meeting.
The SEC registration threshold bill that passed the House 420 – 2, has run into a
political buzzsaw in the Senate. Some 6 recalcitrant Democratic Senators have
decided they don’t like this, or are using it for “tradebait”. Dana Barbieri in Kay Bailey
Hutchison’s office has been dogged in her determination to move this bill forward, and
we continue to explore various options. A very frustrating situation at the moment.
Finally, our friends at the CFPB this week have chosen “overdraft protection” as their
new “issue du jour”. We will obviously be monitoring this very closely, and will strongly
intercede as necessary as this moves forward.
POLITICS
The redistricting saga moves on . . . and at this writing, we still are unsure of primary
election dates. If all falls into place over the next few days, we’re looking at a May 29
election. If not, the next opportunity is June 26. The Texas Senate map has been
agreed to by the parties in litigation. It is anticipated that the San Antonio court will
accept that agreement. There are still several problematic districts in both the State
House and Congressional maps. There will be a solution/settlement by March 3, or the
May date won’t happen. Add to this a possible curveball from the District Court in D.C.
looking at Voting Rights Act issues, and it is clear that things continue to be in a state of
high disarray.
Your GR staff at IBAT continues to meet with candidates, attend fundraisers and
prepare for polling of district bankers once there is some finality in the various district
lines, as well as knowing for sure who’s running where. You will recall that once the
lines are set, the filing period will reopen for a few days to allow for additional filing,
changes in districts or withdrawal.
The survey requesting an endorsement for David Dewhurst was sent out earlier this
week. I will have the results of said survey at the meeting for discussion.
