AVAILABILITY:
Simms is focused on delivering orders on time and complete. When a product is oversold, available inventory will be allocated to
accounts in good credit standing on a First-In-First-Out basis with priority awarded to orders with the earliest receipt date.
Simms cannot guarantee product availability for ASAP orders.
PROGRAM TERMS & CONDITIONS:
• Past Due Balances may result in cancellation of Preseason Orders and Benefits.
• All backorders will be canceled 45 Days after start ship date.
• Credit Card payments will not receive the Early Payment Discount.
PRICING:
• Orders meeting the terms, conditions and timelines of the Spring 2015 Program will qualify for the margins per the
Spring 2015 Category Margin Details table. • Pricing and terms are valid from November 15, 2014 until June 30, 2015.
• Preseason terms will be calculated per the Spring 2015 Preseason Terms table.
• Logo Order volumes are applicable to overall order volume.
ORDER ADJUSTMENTS:
• Preseason shipments may be delayed, at the Dealer’s request, up to 30 days, once per order. After this extension period, if the order is not accepted by the dealer, Simms reserves the right to cancel the preseason order.
• Reductions to preseason orders may be made once per order, 30 days prior to start ship date. Reductions of 15% or more will result in entire order shipping at Everyday Margin and Net 30 Day terms.
• Additions may be placed as new orders with Everyday Margin and Net 30 Day terms.
• Changes to orders, including cancellations must be emailed or faxed to Simms no less than 30 days prior to the original
Requested Ship Date. Changes to orders received within 30 days of start ship date will not be accepted.
REQUIREMENTS:
•Preseason orders must be placed by Deadline. Preseason orders placed after the deadline will ship at Base Pricing and
Net 30 Day terms.
• Preseason orders must show year-over-year growth. If preseason orders do not show growth, all orders will ship at Net 30 Day terms.
FREIGHT & SHIPPING POLICY:
• To meet the Delivery Date requested for all of our Dealers, Simms reserves the right to assess transit time, factor in the
packing & shipping time and will release the preseason order using our best judgment to meet your request.

DEALER POLICIES
A. APPOINTMENT OF DEALERSHIP
For over a quarter of a century, Simms Fishing Products has devoted itself to making the highest quality fishing gear, apparel and products in the world
to allow its customers to fish in any weather, any time, and in any place. We are passionate about fishing and the gear used to pursue this great sport.
We want our Dealers to share that passion. Simms therefore reserves the right as an on–going part of the management of its business to appoint and
designate, in its sole and exclusive discretion, Dealers to sell Simms fishing waders, apparel, bags, equipment and other fishing products (“Products”).
For Simms Dealers to maintain a high level of quality, service, and professionalism, Simms has determined that Dealers should devote their full energies
and best practices to retail selling at their authorized locations. Dealers should always sell Simms Products at Simms’ Suggested Retail Prices (“SRP”).
Simms expects that its Dealers portray Simms Products, as well as the Simms brand and image, in a positive and professional manner.
Except for discontinued merchandise, it is Simms’ policy that our Products should not be placed on sale, discounted or included in any promotion without the express written authorization of Simms. From time to time, discontinued and seasonal Products will be identified by Simms and published with
an effective discontinued date for markdowns.
Simms Dealers are authorized to sell Simms Products per individual store location. A Dealer’s website is considered a unique location. Any Dealer
website which sells Simms Products must follow the “Simms Internet Sales Policy” set forth below. Simms Products cannot be resold or transshipped
to other retailers or wholesalers, either domestically or internationally, without the express written authorization of Simms.
B. DEALER ADVERTISING AND SUPPORT
It is Simms’ policy to:
1. Make available at no cost to Dealer reasonable quantities of promotional and advertising material to aid in the sales, merchandising, promotion,
and enhancement of Simms Products. Freight may be charged to Dealer at Simms’ discretion. All instore merchandising assets are the
property of Simms.
2. Make available to Dealer toll–free telephone access to Simms’ Customer Service Department.
3. Provide an opportunity to receive a sales and product clinic at each authorized Dealer Location.
4. Provide warranty product service and after–sale support.
5. Make commercially reasonable efforts to eliminate unauthorized sales of Products.
C. DEALER PRODUCT SUPPORT
Simms expects its Dealers to:
1. Use commercially reasonable efforts to promote Products and the Simms Brand.
2. Maintain a retail place of business, product displays, and product service department reasonably satisfactory to Simms. Permit Simms
during regular business hours to inspect the place of business and sales floor.
3. All Dealers’ employees who will sell Products shall attend the annual sales/product clinic hosted by a Simms Sales Representatives
at each authorized Dealer Location.
4. Carry a fair representation of the Simms Product lines as determined by Simms.
5. Purchase at least $10,000 of Simms Products per annum.
D. DEALER BUSINESS PRACTICES
Simms expects that its Dealers will not:
1. Sell any Products at any locations – “brick and mortar” or Internet – than those listed on the Simms “Credit Application and Agreement” without Simms’ prior written authorization.
2. Sell any Products to individuals or entities that are likely to engage in transshipping, gray marketing, or re–wholesaling. Merchandise purchased under this Policy may not be trans–shipped to a non–authorized Dealer or branch location of Dealer, person or entity not approved by Simms.
3. Remove any warning labels, info tags, hang tags, or any other warning, educational, or instructional materials attached to or shipped with
Products prior to sale.
4. Bundle or use other forms of discounting to sell Simms products at less than Simms’ Suggested Retail Price. An example of bundling is selling a combination of Simms products for less than the individual SRP.
E. INTERNET SALES POLICY
Simms considers the Internet/World Wide Web (“Internet”) as a separate new and ever changing/evolving channel for distribution and sales for its
Products, and therefore has adopted specific policy requirements for maintaining and enhancing the reputation of Simms and its Products through
Internet sales.
In order to maintain and enhance policies consistent with this Dealer Policy, Simms believes that it is essential that its Products be promoted and sold
to the public on the Internet in the same professional manner that they are sold by physical store locations as described above. Simms therefore has
adopted the policy set forth below for Internet sales. A Dealer who elects to sell Simms Products over the Internet is expected to follow these policies:
Sell Products at manufacturer suggested retail price to consumers and end users solely at an approved site. A Dealer shall obtain separate approval
for any additional website that sells any Simms’ Products. Dealers shall not sell the Products (except for discontinued Products) through any other
means or method of distribution including utilizing third party sites such as Amazon or eBay.
Dealers shall provide to Simms all graphics and text representations of Simms Products prior to placing or posting such material on the Internet.
Such graphics, texts, and photos shall contain current Simms technical information and such other information as Simms may from time to time require.
No Simms copyrighted images may be included in a website without prior written authorization.

INTERNET SALES POLICY (CONTINUED)
Dealer shall not use or display any Simms name or trademark or any derivation thereof in any of its domain names. Dealers may use Simms following the .com URL. By way of example, XYZ dealer could display the following: BozemanFlyshop.com/Simms ; Dealer may not display or use names
such as Simmsoutletstore.com or Simmsflyfishingstore.com. The SIMMS mark is a registered trademark owned by Simms, and use of this mark in
connection with Dealer’s domain name(s) except as allowed above constitutes trademark infringement in violation of state and federal law.
Dealer shall deliver to its customers all Product warranties, specifications, instructions, warnings and performance information that Simms specifies,
including those supplied with the Products. Dealer shall not make any representations or warranties about Simms or the Products other than as
stated in Simms–supplied documents.
Dealer will use its best efforts to monitor and update its website to promote the demand for and sale of the Products. Dealer will promote, maintain and enhance the image of Simms and the Products to the satisfaction of Simms. In order to assure the highest level of customer service for
purchasers of the Products, Dealer will assure that the presentation of the Products is seasonally correct, current and that a full line of Products are
displayed. Any Product from previous seasons should be clearly identified as discontinued merchandise or closeouts.
Dealer is solely responsible for any sales, excise, use, property or other tax, tariff, duty, V.A.T. or assessment levied by the United States or any other
domestic or foreign governmental authority, arising out of or relating to any transactions under this Dealer Policy. Dealer will pay to reimburse Simms
for any such sums and related interest or penalties that Simms is obligated at any time to pay or collect. Dealer is responsible for providing Simms
with copies of resale certificates or other documents evidencing to Simms’s reasonable satisfaction any exemption which Dealer claims from any tax,
tariff, duty or assessment which Simms reasonably determines it would have to pay or collect and which arises out of or relates to any of the transactions contemplated under this Policy in the absence of such an exemption.
F. ORDERING, SHIPPING, AND RETURNS
All shipments are per Simms’ terms and conditions, contained in the then current “Price List and Sales Programs.” Simms will use commercially
reasonable efforts to fill all orders from Dealer accepted by Simms as promptly as reasonably practicable. Simms may make partial shipments of
any order as Products become available for shipment. Payment will be due from Dealer with respect to such partial shipment according to payment
terms set forth in the “Credit Application and Agreement.” Partial shipment of an order will not relieve Dealer from its obligations to accept future
shipments in satisfaction of such order. All orders are non–cancelable except as provided in Simms’ then current “Price List and Sales Programs.”
Drop shipments will be subject to a 15% up–charge or $15.00, whichever is less.
Unless Simms has given prior authorization for the return of Products via issuance of a return authorization number, Simms will not be obligated to
accept returned Products, exchange returned Products, or credit Dealer for returned Products. Dealer shall not make any claim against Simms for
damaged or defective Products except in the case where damage or defect is attributable to Simms. All such claims must be in accordance with the
then current “Price List and Sales Programs.” Approved returns will be assessed a 15% restock fee, unless otherwise agreed to by Simms. Discontinued or shop–worn product is not returnable.
ALL ORDERS RECEIVED ARE SUBJECT TO APPROVAL BY SIMMS. ORDERS WILL NOT BE HONORED BY SIMMS UNLESS AND UNTIL
ACCEPTED. ORDERS WILL BE DEEMED ACCEPTED WHEN DEALER RECEIVES CONFIRMATON WITH AN ORDER NUMBER FROM
SIMMS. EVEN IF A CONFIRMATION IS GIVEN, SIMMS RESERVES THE RIGHT TO CANCEL OR DELAY SHIPMENT IF THE DEALER DOES
NOT COMPLY WITH ITS OBLIGATIONS IN ACCORDANCE WITH THE “CREDIT APPLICATION AND AGREEMENT.”
G. USE OF SIMMS TRADEMARKS AND TRADE NAMES
Simms encourages its Dealers to utilize our trademarks and trade names set forth below, but requires that all such use receive prior written approval
from Simms for correct and appropriate use. Such uses would include, but are not limited to, advertising, catalogs, and authorized web pages.

H. WARRANTY
1. Simms stands behind everything we make. If a Simms product sold by a Dealer fails due to workmanship or material defect during the life of the
product, Dealer should return it for repair or replacement. This warranty does not cover damages caused by improper care, accidents, or the natural
breakdown of materials over extended use of time. Dealer should return all defective or damaged Products to Simms for evaluation and Products will
be repaired or replaced at the discretion of Simms.
2. If a customer accidentally damages a Simms wader during the first year of ownership, the first repair is on Simms. Simply ship Simms the wader,
along with a copy of the customer’s receipt, and Simms will repair it and ship it back to the Dealer.
I. TERMINATION
Simms reserves the right in its sole and exclusive discretion to discontinue supplying products to a Dealer that that does not follow the policies
contained herein.
