GRANT OF LICENSE; DESCRIPTION OF PREMISES L i c e n s o r grants t o licensee a L i c e n c e t o occupy and use, subject t o a l l o f the t e r m s and conditions o f this agreement, the f o l l o w i n g described property located i n A u s t r a l i a i n the S t a t e o f N S W k n o w n as, L i v e r p o o l M a r k e t s , O r a n g e G r o v e R o a d , C u m b e r l a n d H i g h w a y , Liverpool, N S W 2170. SECTION T W d LIMITATION TO DESCRIBED PURPOSE The above described property m a y be occupied and used by the designated licensee solely for the purpose o f p r o v i d i n g c h i l d r e n ' s e n t e r t a i n m e n t , eg: j u m p i n g castle/slides c o m b o s , obstacles etc a n d m a y p r o v i d e o t h e r related services f o r the m u t u a l benefit o f a l l parties t o such purpose d u r i n g the period b e g i i m i n g 9 A p r i l 2010, and c o n t i n u i n g until this agreement is t e r m i n a t e d as p r o v i d e d i n t h i s a g r e e m e n t . T h e a b o v e d e s c r i b e d p r o p e r t y w i l l h a v e o n s i t e a m i n i m u m o f t w o i n f l a t a b l e i t e m s , from t i m e to t i m e w i t h m a n a g e m e n t approval other recreational/sports and f u n activities w i l l be required a n d such activities are to be m o n i t o r e d and m a n a g e d b y y o u , a d d i t i o n a l costs f o r stock i t e m s a n d rental w i l l apply, such activities t o be a p p r o v e d b y b o t h L i c e n c e operator and v e n u e management. R P I f r o m t i m e to t i m e w i l l h o l d display items for the purpose o f display o n l y and not for p u b l i c use unless p r i o r a p p r o v a l is gained b y R P I and the operator o f that site is t o ensure the i t e m s a r e f u l l y m a i n t a i n e d a n d e r e c t e d a n d b r o k e n d o w n at t h e d i s p l a y p e r i o d s . A s part o f this agreement and f r o m the c o m m e n c e m e n t date and during the t e r m o f this agreement R P I w i l l m a k e available for h i r e b y the licensee the fiill range o f Inflatables and other lines R P I has sourced f o r the benefit o f the licensees a n d its locations. R P I w i l l use its best endeavours t o expedite and m a i n t a i n the supply o f Inflatables t o a l l licensees p r o v i d e d h o w e v e r that due a l l o w a n c e is made i n respect o f causes and reasons beyond the control o f R P I . The Licensee shall provide to R P I their floor stock w h e n and i f required for the purpose o f external hire and R P I w i l l endeavour to replace floor stock w i t h s i m i l a r items to m i n i m i s e Licensor business interruption. PEGTION THREE OBLIGATIONS OF THE LICENSEE D u r i n g this a g r e e m e n t t h e licensee w i l l at a l l t i m e s : Pay rent and insurance i n a timely m a i m e r P a y water, p o w e r , rates and a n y increases d u r i n g the t e r m o f the contract w h e r e applicable D i s p l a y for hire and actively p r o m o t e and advertise our product line and service and licensed operators services pursuant to this agreement and to the satisfaction o f this agreement. U t i l i z e the R P I banner, corporate colors, signage, stationery and any other material f o r m i n g the part o f the service to the satisfaction o f R P I , hire or purchase a l l Inflatables, stationery, u n i f o r m s and p r o m o t i o n a l material f r o m R P I head office N o t h i r e or purchase f r o m a n y other sources, stock, goods or services, w h i c h R o l y P o l y Inflatables P t y L t d , is able t o s u p p l y w h e t h e r d i r e c t l y o r i n d i r e c t l y f r o m o t h e r suppliers or manufacturer. C o m m u n i c a t e w i t h R P I regarding the location arrangements and not v ^ t h location management, (any attempt to negotiate or m a k e alternative arrangements outside the R P I agreement w i l l result i n immediate t e r m i n a t i o n o f this Licence agreement and all operators w i l l be escorted f r o m t h e site) Licensor shall arrange t h r o u g h R P I , public liability insurance, product liability i n s u r a n c e w h i c h w i l l b e i n v o i c e d t o t h e o p e r a t o r s , p r e m i u m w i l l be p a i d i n w e e k l y i n c r e m e n t s . A l l o t h e r i n s u r a n c e t o be arranged b y L i c e n s e e C o m p l y w i t h all administration. Income T a x , G S T , P A Y G and government legislation o b l i g a t i o n s as t h e y a r e t h e s o l e r e s p o n s i b i l i t y o f t h e o p e r a t o r s . R P I r e c o m m e n d y o u seek professional advice o n h o w t o meet those obligations. PERIODIC PAYMENTS Licensee shall pay licensor for this Licence the rate o f $325 including G S T per day for every d a y o p e n f o r b u s i n e s s , p a y a b l e i n a d v a n c e . T h e first p a y m e n t s h a l l b e m a d e o n t h e d a t e o f t h e b e g i n n i n g o f the p e r i o d specified above. Subsequent p a y m e n t s shall be m a d e i n advance p r o m p t l y w e e k l y thereafter during the continuation o f this agreement. A n y unpaid rentals w i l l incur a penalty o f 1 0 % per m o n t h o n the a m o u n t outstanding u n t i l paid i n full. INSURANCE PAYMENTS Licensor shall arrange t h r o u g h R P I , public liability insurance, product liability insurance to t h e v a l u e o f $ 1 5 0 0 per year, w h i c h w i l l be i n v o i c e d t o the operators o n a w e e k l y basis.. A l l o t h e r business i n s u r a n c e is t o be arranged b y L i c e n s e e . RENT REVIEWS R e n t a l s w i l l be r e v i e w e d o n a 12 m o n t h l y c y c l e i n a c c o r d a n c e w i t h i n f l a t i o n , i n s u r a n c e requirements, and cost o f goods and w i l l be adjusted a u t o m a t i c a l l y . In the event a breach o f contract i n the terms and conditions o f the Licence agreement o n b e h a l f o f the licensee, such breach o f one agreement constitutes an automatic breach o f a l l and or any other agreements, the licensor shall terminate the agreements and reoccupy the sites f o r t h w i t h . I n t h e e v e n t t h a t t h e p r o p e r t y m a n a g e m e n t k n o w n as L i v e r p o o l M a r k e t s r a i s e r e n t a l s a n d / o r impose additional terms and conditions, the Licensor shall give ten ( 1 0 ) days w r i t t e n notice o f their intentions to amend the Licence agreement i n accordance w i t h the n e w terms and conditions. I n t h e e v e n t t h e p r o p e r t y m a n a g e m e n t k n o w n as L i v e r p o o l M a r k e t s i m p o s e s r e l o c a t i o n / r e m o v a l / a d d i t i o n a l site occupation, the L i c e n s o r shall g i v e t e n ( 1 0 ) days w r i t t e n notice o f their intentions to amend the Licence agreement i n accordance w i t h the n e w terms and conditions. EMPLOYEE/SHARE HOLDERS/PARTNERS A n y e m p l o y e e or additional shareholders/partners w i t h i n y o u r organization m u s t gain consent fi-om R P I a n d m e e t t h e p o l i c e a n d c h i l d p r o t e c t i o n / s a f e t y r e q u i r e m e n t s . ( E . g . W W C c h e c k ) UTILITIES L i c e n s e e s h a l l p a y at a l l times, w a t e r , p o w e r , r a t e s , i n c i d e n t a l s a n d a n y i n c r e a s e s d u r i n g t h e t e r m o f the contract w h e r e applicable. VARIABLE PAYMENTS I n addition t o m a k i n g the payments provided for i n Section three o f this agreement, licensee shall m a k e further payments i f required based o n the extent o f utilisation o f the abovedescribed p r o p e r t y . S u c h p a y m e n t s s h a l l be at the n e w rate calculated a n d agreed b e t w e e n t h e parties. TERMINATION L i c e n c e e m a y t e r m i n a t e t h i s a g r e e m e n t at a n y t i m e , w i t h o u t r e g a r d t o p a y m e n t a n d p a y m e n t periods b y g i v i n g w r i t t e n notice to the Licensor, specifying the date o f t e r m i n a t i o n , such n o t i c e t o be g i v e n n o t less t h a n 6 0 days p r i o r t o t h e date specified i n s u c h n o t i c e f o r t h e date o f t e r m i n a t i o n , a l l accounts a n d o r o u t s t a n d i n g fees m u s t be paid u p i n f i i l l before the t e r m i n a t i o n is v a l i d . I n the event the Licensee breaches the contract, such breach o f one agreement constitutes an automatic breach o f all other agreements, the licensor shall terminate this agreement and reoccupy the site f o r t h w i t h . I n t h e e v e n t t h a t t h e p r o p e r t y m a n a g e m e n t k n o w n as L i v e r p o o l M a r k e t s r a i s e r e n t a l s a n d / o r impose unreasonable conditions, w h i c h renders the venue c o m m e r c i a l l y u n v i a b l e for the Lessor, the Lessor m u s t w i t h i n ten (10) days give w r i t t e n notice o f their intentions regarding t e r m i n a t i o n . L e s s o r m u s t h a v e the r i g h t at a l l t i m e s t o t e r m i n a t e the L i c e n c e a g r e e m e n t w i t h o u t fiirther notice. S h o u l d the above-described property, or any essential part o f such property, be t o t a l l y d e s t r o y e d b y fire o r o t h e r c a s u a l t y , t h i s a g r e e m e n t s h a l l i m m e d i a t e l y t e r m i n a t e ; a n d , i n t h e case o f p a r t i a l d e s t r u c t i o n , t h i s a g r e e m e n t m a y be t e r m i n a t e d b y either p a r t y b y g i v i n g w r i t t e n n o t i c e t o the other, s p e c i f y i n g the date o f t e r m i n a t i o n , s u c h n o t i c e t o be g i v e n w i t h i n 10 days f o l l o w i n g s u c h p a r t i a l d e s t r u c t i o n a n d n o t less t h a n 2 0 d a y s p r i o r to t h e t e r m i n a t i o n date specified i n such notice. I f licensee shall m a k e a n assignment f o r the benefit o f creditors, o r be placed i n receivership or adjudicated a bankrupt, or take advantage o f any bankruptcy o r insolvency l a w , licensor m a y terminate this agreement by g i v i n g w r i t t e n notice to the licensee, specifying the date o f t e r m i n a t i o n , s u c h n o t i c e t o be g i v e n n o t less t h a n 10 days p r i o r t o t h e date specified i n s u c h notice for the date o f termination. APPORTIONMENT OF PAYMENTS ON TERMINATION O n a n y t e r m i n a t i o n o f t h i s agreement, licensor shall a p p o r t i o n , o n a day t o day basis, the w e e k l y f e e p a i d i n a d v a n c e f r o m a n d i n c l u d i n g t h e first d a y o f t h e w e e k d u r i n g w h i c h t h e agreement is t e r m i n a t e d t o and i n c l u d i n g the d a y o n w h i c h the agreement is t e r m i n a t e d , a n d the licensor shall r e f u n d t o the licensee a n y unearned p o r t i o n o f such fee; p r o v i d e d . L i c e n s e e s h a l l p a y a l l o u t s t a n d i n g accounts, u n p a i d fees, insurance and/or prior t o licensee departure. finance ( i f any) O n a n y t e r m i n a t i o n o f this agreement, licensee shall quit the above-described property and shall r e m o v e f r o m such property all property installed i n , on, or attached to the abovedescribed property not belonging to and not part and parcel o f the terms and conditions o f the licence agreement. A n y t e r m i n a t i o n o f this agreement, h o w s o e v e r caused, shall be e n t i r e l y w i t h o u t prejudice to the rights o f Licensor that have accrued under this agreement p r i o r to the date o f such termination. SECtlpJSlEVEN GOVERNING L A W It is agreed that t h i s a g r e e m e n t s h a l l be g o v e r n e d b y , construed, a n d e n f o r c e d i n accordance w i t h the l a w s o f the State o f N S W . RESTRAINT OF TRADE Licensee w i l l exercise restraint o f trade outside the terms, d u r i n g and outside the t e r m and conditions o f the Licence agreement and i n the event the licensee has terminated the Licence agreement the licensee agrees to exercise restraint o f trade w i t h i n a 5 0 k m radius f o r a p e r i o d o f 3 years. SECTION EIGHl ENTIRE AGREEMENT T h i s A g r e e m e n t constitutes t h e e n t i r e A g r e e m e n t b e t w e e n the parties a n d m a y be a m e n d e d o n l y i n w r i t i n g executed b y b o t h parties and a n y p r i o r understanding or representation o f a n y k i n d preceding the date o f this agreement shall n o t be b i n d i n g o n either party except t o the extent incorporated i n this agreement. Non-Waiver F a i l u r e o r delay b y a n y party to this A g r e e m e n t to exercise its rights o r r e m e d i e s i n respect o f a n y b r e a c h o f t h i s a g r e e m e n t s h a l l n o t b e c o n s t r u e d as a w a i v e r o f t h o s e r i g h t s o r r e m e d i e s i n respect o f that or a n y subsequent breach o f this agreement. Indemnity T h e L i c e n s e e shall save h a r m l e s s and keep i n d e m n i f i e d R P I against a l l losses, costs, c l a i m s , d e m a n d s o r d a m a g e s w h a t s o e v e r n a t u r e o c c u r r i n g as a r e s u l t o f t h e L i c e n s e e ' s a c t s o m i s s i o n s or breaches o f the A g r e e m e n t . Immunity The Licensee waives any i m m u n i t y (including f r o m any proceedings and enforcement process) i t m a y h a v e i n a n y j u r i s d i c t i o n i n respect o f this contract. Dispute Resolution Procedure A l l disputes w h i c h m a y arise b e t w e e n the parties i n respect o f this contract w h e r e a r e s o l u t i o n cannot be reached, the dispute is first t o be s u b m i t t e d t o m e d i a t i o n , a n d i f the parties cannot reach a settlement w i t h i n 2 8 days o f the appointment b y the mediator, t h e n the dispute is to be r e s o l v e d b y arbitration. Relationship between the Parties N o t h i n g i n t h i s A g r e e m e n t s h a l l c o n s t i t u t e o r be d e e m e d t o c o n s t i t u t e a p a r t n e r s h i p , a g e n c y or a n e m p l o y m e n t contract. SALE/ASSIGNMENT The licensee m a y sell and or assign its right and obligations under this agreement w i t h the p r i o r w r i t t e n notice o f R P I w h i c h s h a l l be g i v e n i f the f o l l o w i n g c o n d i t i o n s are c o m p l i e d with. T h e i n c o m i n g Licensee proves t o the satisfaction o f R P I that the proposed assignee is a suitable candidate, respectable/ responsible and meets a l l the required credit criteria/child p r o t e c t i o n a n d h a s t h e financial r e s o u r c e s t o m e e t t h e L i c e n s e e o b l i g a t i o n s u n d e r t h e agreement. T h e o u t g o i n g Licensee s h a l l p a y a 1 0 % fee o f the sale proceeds o r a m i n i m u m assignment fee o f $ 1 , 0 0 0 t o R P I t o c o v e r l i c e n c e f e e s , a d m i n i s t r a t i o n , set u p c o s t s , l e g a l a n d a c c o u n t i n g f e e s . CONFIDENTIALITY The terms o f this agreement shall r e m a i n strictly confidential to the parties hereto. T h e licensee shall procure that their employees, servants, f a m i l y m e m b e r s and agents keep confidential a n y i n f o r m a t i o n c o n c e r n i n g a l l aspects o f the business a n d service i n c l u d i n g w i t h o u t l i m i t a t i o n a n y trade secrets w h i c h m a y h a v e been disclosed t o the licensee, u p o n request by R o l y P o l y Inflatables P t y L t d , the Licensee shall f o r t h w i t h r e t u r n t o R P I a n y w r i t t e n and printed matter pertaining to the business. NOTICES A n y notice p r o v i d e d f o r or c o n c e r n i n g tliis agreement shall be i n w r i t i n g and shall be d e e m e d sufficiently g i v e n w h e n sent b y certified o r registered m a i l , e m a i l , post o r d e l i v e r e d i f sent t o t h e r e s p e c t i v e a d d r e s s o f e a c h p a r t y as set f o r t h a t t h e b e g i n n i n g o f t h i s a g r e e m e n t . NOTICES A l l notices, notifications, requests, d e m a n d , consents, approvals and other c o m m u n i c a t i o n s t o o r b y a p a r t y t o t h i s a g r e e m e n t s h a l l b e i n w r i t i n g a d d r e s s e d t o t h e r e c i p i e n t as f o l l o w s o r as o t h e r w i s e be n o t i f i e d t o t h e sender b y s u c h r e c i p i e n t i n a c c o r d a n c e w i t h t h i s p r o v i s i o n .
