Minimum Advertised Price Policy
In order to protect Spenco Medical Corporation’s reputation for exceptional
products and technology, Spenco Medical Corporation has adopted a Minimum Advertised Price Policy (“MAP Policy” or “Policy”) for all our products.
The Policy states as follows:
Spenco Medical Corporation (SMC) has unilaterally established a Minimum
Advertised Price for all our products. SMC will provide to you its Minimum
Advertised Prices. All Clients must advertise prices for these products at or
above the Minimum Advertised Prices for Clients established by SMC. It is
SMC’s unilateral Policy to immediately cease supplying all products to any
Client whose advertising of any one product (i) fails to display a price equal to
or greater than the Minimum Advertised Price, or (ii) contains an advertised
price lower than the Minimum Advertised Price set forth in the current SMC
Minimum Advertised Price list provided to our Clients.
Spenco Medical Corporation’s unilateral Policy is to cease supplying all products indefinitely until the Client corrects their advertising practice. This Policy
applies to all advertising for those particular products for which the Minimum Advertised Price, or a higher advertised price set by the Client, is not
used. This Policy applies to all forms of Client advertising including mailings,
catalogs, displays at consumer exhibitions and shows, and any and all other
forms of advertising media, including, without limitation, the Internet and
any other electronic network. Any advertised price information relating to
SMC products on an Internet website which can be accessed directly through
any hypertext link or by any other method which uses the hypertext transfer
protocol (http) is considered to be advertising for purposes of this Policy.
Electronic mail sent in direct response to a customer inquiry is not considered
to be advertising. Clients with existing advertising programs in place must
correct their pricing immediately for supply to be renewed. This Policy only
concerns advertised prices and does not relate to actual sales prices of any
item. Further, this Policy applies equally to all SMC Clients.
Spenco Medical Corporation desires to promote our brands in the manner
which will best allow us to compete against other companies. By establishing
minimum advertised prices, we hope to encourage all Clients of our products
to have sufficient margins to service the ultimate consumer.

The foregoing is a statement of Spenco Medical Corporation’s unilateral
Policy and expresses the terms upon which we will deal with our Clients. This
Policy may be modified by SMC from time to time. SMC does not seek, nor
will it accept, any agreement or understanding with you with respect to the
prices you may advertise or charge at any time, and we are imposing this
Policy unilaterally.
By signing this MAP Policy, the Client hereby acknowledges its understanding
of the MAP Policy and further expresses the Client’s willingness to abide by the
Policy’s terms and conditions. The Client must sign and return this Policy to
Spenco Medical Coporation within 30 days of initial receipt. If a signed Policy is
not returned to Spenco Medical Corporation within 30 days of its initial receipt,
shipment of all Spenco products will cease to said Client.
By signing this Agreement, the client hereby agrees to abide by the
terms and conditions of Spenco Medical Corporation’s Minimum
Advertised Price Policy.

of our company. They are a guarantee to our customers of consistent
quality and, through advertising and promotion, they help create and
maintain a demand for our products. To ensure that Spenco Medical
Corporation does not lose rights to its valuable trademarks and the
goodwill connected with such marks, these legal guidelines must be
followed when promoting our products:
a) The generic name of a product and the trademark or ™ must accompany the first and most noticeable use of the trademark in advertising and promotional materials. Examples: Spenco® Insoles, Spenco®
2nd Skin® Moist Burn Pads.
b) The trademark must be shown in all caps, the generic name in initial
caps and lower case.
c) The appropriate trademark line must appear on the promotional

Reasons for return
Authorization for merchandise return will be given at Spenco’s
discretion. Authorization for return will be considered under the
following circumstances:
a) Product or shipment error by Spenco.
b) Warranty claims based upon
defective products supplied by Spenco.
General conditions
a) All products must be returned to ensure proper credit.
b) If Spenco authorizes a return for other reasons than the two
above, the return will be subject to a reasonable restocking charge
set by Spenco of not less than fifteen (15) percent. Return must be
prepaid by customer.
Authorization procedure
To request authorization to return a Spenco® Product, call the
Customer Service Department at 1-800-877-3626 and provide the
information requested by the representative. If return is authorized,
Spenco will issue a Return Authorization number. Spenco’s shipping address must be written on each shipping carton along with
the Return Authorization number.
