1. Call to Order. Meeting called to order at 8:07 a.m. Directors present

3. Consent Agenda
A. Minutes of March 20, 2012 Meeting
Action: Approve March Minutes. Motion by Chadwick, second by
Platt, to approve; motion carried unanimously.
B. Financial Statements for April 2012
Action: Approve April Financials. Motion by Platt, second by
Chadwick, to approve: motion carried unanimously.
C. Annual Review of Administrative Policies
Action: Endorse update to Admin. Policies for Board approval.
Motion by Chadwick, second by Platt, to recommend Policies for
Board approval; motion carried unanimously.
D. Bylaws Amendment
Action: Endorse proposed Bylaws amendment to Board,
removing voting status from Emeritus membership. Motion by
Chadwick, second by Platt, to recommend Bylaws amendment to
Board; motion carried unanimously.
4. BID Development – Discussion. Kinney presented ideas for alternative
funding mechanisms for EDCO in the next year. Executive Committee
favored re-examining the PBID concept in the industrial parks.
5. Nominating Committee Activity.
Action: Nominate Directors and Officers for 2012 Board Seats and
Terms of Office, for presentation to Board at Annual Meeting in June.
After discussion, consensus was to recommend no changes in Board
membership or Officers at this year’s Annual Meeting.
