CHIMCOMPLEX S.A. is a part of SCR Group one of the strongest
industrial groups from Romania.
The Romanian Commercial Services, company known under the name
SCR Group, is an industrial strong financial group having integral Romanian
capital and has in its portfolio 17 companies, 8 of them being production units.
SCR Group founded in 1993 and its first activities were in the domain
of real estate and commerce. In its 16 years of activity, the group increased
constantly, beginning with two employees and a 3 mil. Lei turnover. In 1993 and
reaching to over 4035 employees and about 89 millions EUR turnover in 2009.
The diversification of the activities allowed the orientation of the strategical
interest of SCR Group to the industry, for the moment this one is active in five
industrial sectors:
- special equipments;
- construction of machines and apparatus;
- textiles;
- chemical industry;
- pulp and paper.
In the portfolio of SCR Group there are the following companies: Contactoare Buzãu, bought in
1998, Sinterom Cluj-Napoca - 1999, Uzuc Ploieºti - 2000, Iaºitex Iaºi and Chimcomplex Borzeºti, bought in
2003, Someº Dej, Caromet Caransebeº and Novatexile Piteºti, which were bought in 2004. In 2007 SCR
Group took also INAV Bucuresti.
Through the simple enumeration results the variety of products from the commercial offer of SCR
Group and regarding this with more attention it can be noticed that every industrial unit is a leader in its
domain of activity.

BRIEF HISTORY
To use the rich deposits of salt from Targu Ocna, in 1954 was
established Chemical Combine Borzesti , which would become the
core of the chemical platform developed in the years 1960-1970
under the name of the Petrochemical Industrial Group and later
Borzesti Petrochemical Factory.
In 1990 Chemical Factory Borzesti was organized as limited
company under the name of CHIMCOMPLEX SA BORZESTI.
In June 2003 was signed the contract of privatisation of the
company and CHIMCOMPLEX SA BORZESTI became a part of
SCR group.
The historical route of Chimcomplex has been marked by several significant steps:

in 1954 : was founded the electrolytic caustic soda plant, who became later Chemical
Combine Borzesti

in 1969 : was founded the Petrochemical Industries Group (GIP) Borzesti by the fusion of
synthetic rubber company Onesti, Onesti Refinery and Chemical Combine Borzesti

1973 : from GIP Borzesti who becomes Petrochemical Combine Borzesti it was separate
Chemical Factory Borzesti which will operate under the name of Chemical Plants Borzesti;
»
March 1990 : Petrochemical Factory Borzesti split and the Chemical Plants Borzesti was
formed as an independent unit under the name of Chemical Company Borzesti;
»
November 1990: Chemical Company Borzesti was transformed into joint stock company
under the name Chimcomplex SA Borzesti;
»
in 1994 : started the modernization of caustic soda plant, and in 1996 was put in place a
modern complex of chlor-alkali manufacturing using the ion exchange membrane electrolysis. The
complex was accomplished in collaboration with KRUPP UHDE, Germany and increased the
economic efficiency of the products manufactured througt the complex integrated production flows;

in 2003 : following the privatization process, Chimcomplex enter in the SCR Group, one of
the most powerful industrial groups from Romania;

in 2004 - Chimcomplex SA Borzesti obtain ISO 9001 certification for manufacture and sale
of chemical products;

in 2007- Chimcomplex SA Borzesti obtain environmental management system certification
ISO 14001: 2004;
»
in 2008 – were started the following new plants investments as a result of an established
plan: the incineration plant, the sulfuric acid reconcentration, calcium chloride flakes plant,
cogeneration plant.

CHIMCOMPLEX S.A. Borzeºti has the
headquarters in Onesti, Bacau County and is one of the
most famous manufacturers of chemical products in
Romania and South-East of Europe.
Onesti is an important economical center from
Moldavia and is situated in the depression Tazlau Caºin, at the crossing point of the Caºin, Oituz and
Tazlau with Trotus Valleys. Its situation in an important
crossroads and the natural richness of the area went to
the economical development of this area.
Oneºti is the most important town from the
Trotus Valley and the second industrial center of Bacau
county.
It is situated at 280 km from Bucharest, 380 km
from Constanþa, 130 km from Brasov and 180 km from
Iasi.

The area of land owned by Chimcomplex is about 1,850,429,386 square meters, of which
397,459.65 square is covered with different assets.

Chimcomplex SA Borzesti has immediate access to the national highways and routes and detain:
1. A waggon parks of over 300 wagons and 52 vehicles and equipments used for deliveries of
products on domestic and foreign markets. Railway transport activity is carried in the permit for the
operation of the railroad industry, the Authorization provider Railway, and other specific technical
agreements.
The handling activity on industrial rail lines and sending convoys in Bacau Borzesti train station
covers a length of 23,318 meters and is supported by three railway engines of 1250 HP and two
engines of 2100 HP each, authorized by Romanian Railway Authority.
2. Stainless steel tanks with a capacity of 1000 cubic meters each of them and storage stations in
Constanta Port for caustic soda and trichlorethylene, which ensures fast loading of ships.
3. A double saleduct with a length of 21.4 kilometers used for the supply of brine from Salina Targu
Ocna, to the electrolysis plant.
UTILITIES
Chimcomplex SA Borzesti has the possibility to produce in their plants and to distribute
via pipeline, the following types of utilities:
- steam at 13 and 15 bar pressure produced in cogeneration plant and in steam boilers;
- dry compressed air - 6 bar pressure
- compressed nitrogen - 2 bar pressure
- natural gas
- industrial water and drinking water
- low electrical power (0.4 kV) and medium voltage (6 kV) produced with lowest cost in cogeneration
palnt.

The organizational structure of the Chimcomplex SA Borzesti includes 4 departments: Production,
Trade, Financial, Investment - Business Development. Operational departments of production,
compartments that provides manufacturing and distribution utilities and electricity supply, transport
and disposal of products as well as departments that ensures the necessary information
management process, are structured in relation to the specificity of their designed carry on the
scale of these activities.
STAFF STRUCTURE
Chimcomplex SA Borzesti has about 650 employees, of which: 30% technical-economicadministrative staff and 70% worker staff. The share of specialists in all technical-economicadministrative staff is 57%, they are people with higher education who perform activities that requires
highly specialized professional training (technology, process engineers, system engineers, designers,
analysts, referents, economists).In the category of workers - the highest percent is represented by
chemists operators (53%) which ensure the plant operation, 25% of staff is represented by the
workers which ensure maintenance of electrical equipment, automation and technical quality control
and 22% o the staff is represented by the maintenance workers (CF transportation, fire, security
agents).

ENVIRONMENTAL ASPECTS
Chimcomplex SA Borzesti works in the following licenses issued by the regulatory authorities:
Integrated Environmental Authorization nr.1/2007 including measures plan for the
compliance with environmental legislation in force, issued by the Regional Environmental Protection
Agency Bacau on January 12, 2007, valid until December 31, 2012;
Water management authorization nr.8/2006 (updated in 2009), issued by Romanian
National Agency - Apele Romane - Siret Directorate Bacau, with stages program approved by the
Ministry of Environment, valid until December 31, 2012.
Authorization of emissions of greenhouse gases (EGES) nr.15/2008 (revised in 2008)
issued by the Regional Environmental Protection Agency Bacau, valid for the period 2008-2012,
including a plan of measures for monitoring and reporting gas emissions greenhouse /2009 approved
by the National Agency for Environmental Protection, with requirement of annual updating in
September.
The notice of the environmental waste disposal nr.14/21.12.2006 issued by the Regional
Environmental Protection Agency Bacau.
The measures plan included in Integrated Environmental Authorization (which includes both
full environmental obligations for restoration and monitoring quality deposit area, and program
coordination of the timing of water management Authorization) consists in measures to protect the
environmental factors (soil and groundwater water, air, waste management) and their estimated value
is about. 150,000 Euro / year for 2009-2012 period. Chimcomplex have obligations to carry out the
compliance with legal requirements.
Action plan for monitoring and reporting emissions of greenhouse gases include requirements
on determination and report emissions of greenhouse gases from activities of producing heat and
electricity necessary to carry out production processes.
Until now, environment investments, derived largely from environmental obligations assumed
by Chimcomplex with licences that we have, were focused to:
-the modernization of equipment which meet the requirements of BAT (the replacing of the old
refrigeration unit with a new unit using ecological freons) or environmental legislation in force
(modernization of final water treatment station;
- new investments / works that allows the management of waste safely for humans and the
environment (achievement of a proper incinerator for chlorinated organic residues, a storage building
for environmentally-non-hazardous wastes;
- the use of new technologies with low environmental impact, which solve both issues - the
energy supply (achievement of a cogeneration plant) and also the environmental protection.For
diversification of the range of products we make investments in a sulfuric acid reconcentration plant, a
calcium chloride flakes installation).
In the future environmental investments will be focused to complete the works to closing the
waste wharehouse whose authorisation ended in 2006, respective in 2009 and for modernize the
final neutralization waste water station.

The globally Krupp-UHDE licence (Germany) of the 90s is based on
Caustic soda 50% solution electrolysis of salt solution in the ion-exchange membrane cells.
Technology Modules adjacent electrolysis units: brine purification, water
generation half (Rauma license - Finland), hydrochloric acid synthesis
(Sigri license - Germany), lye evaporating (Bertrams license Switzerland), drying - compression - liquefying chlorine, hydrogen

Besides the electrolysis unit, the adjacent hydrogen chloride plant uses
classical technology based on the reaction between hydrogen and
chlorine, followed by the absorption in water of the gas product in a
graphite equipment.
The product is manufactured by a classical technology perfected by our
specialists. The technology is based on the chlorination of caustic soda
solution in a titanium equipment. The level of raw materials consum and
quality of the product are the bests.

Primer technology (of the '60s) was improved over the years. It is based on
the reaction between limestone and hydrochloric acid solution followed by
purification of the final product. A part of the obtained solution is subject to
evaporation in a plant where, based on technology Bertrams, is formed
calcium chloride flakes.
Lime chloride
Primer technology (of the '60s) has been improved over by our own
efforts. The process is based on hydration of calcium oxide (lime) followed
by chlorination of lime hydrate.
Ferric chloride
Technology is made in the 90s on our own concept (patent). Ferric
chloride is obtained by dissolving iron waste in a hydrochloric acid
solution, followed by chlorination of ferrous chloride solution resulted with
chlorine gas.

Trichloroethylene
Licence dates from the '70s and belongs to Dainippon - Japan. It was
perfected by the contribution of our specialists. The process is based on
catalytic hydrogenation of maleic anhydride to gamma-butyrolactone,
followed by condensation with monometilamina and final purification by of
the finished product..
Original technology was licensed in the '70s and then was developed and
perfected in several installments through our own efforts. Flow technology
involves the generation of acetylene, chlorination, followed by
saponification of tetrachloroethane with lime and separation by
rectification of the finished product.

Original licence (Leonard - USA) dating from the 70s and further
developed by our specialists. The technology is based on the reaction of
catalitic amination of acetone followed by the rectification of the obtained
product.
The manufacturing process based on a Leonard technology is based on
the reaction of ammonia and methanol at high temperature and pressure
in the presence of a specific catalyst, followed by separation by
rectification of the three products: monomethylamine, dimethylamine,
trimethylamine

MARKET
Through the offered products, our company is involved in the most of the national
economy sectors, having over 1000 clients. The internal market clients are activating in
agriculture and in the following national economy branches: energetics, chemistry and
petrochemistry, cellulose and paper industry , pharmaceutics, rubber and plastics
processing, metallurgy, engineering, food industry, wood and furniture industry, extractive
industry.
Regarding the company productive potential, the internal demand for the products
manufactured by Chimcomplex was and still remains reduced, reason for which the
company has directed its sales strategy towards export by developing its business
relationships with the external partners. The main group of exported products is
chlorosodics which covers around 75% of turnover and over 80% of export. The main
external markets for these company products are: Turkey, Hungary, Bulgaria, Ukraine
which hold together around 75% from the exports volume.
Market share
Chimcomplex SA Borzeºti share on the interval market is around 26% for the
chlorosodics, 66% for the inorganic chlorides, 81% for the organic solvents and 15% for
the alkylamines.

STRATEGICAL DEVELOPMENT DIRECTIONS
Strategical objectives of the company for decreassing the effects of the crisis and for
future development are based on:
- The obtained results consolidation by completion and utilization of now being accomplished
investements;
- The organization stability, which will be ensured by vertical integration of the technological
flows;this objective will be achieved through the investements in new chlorine consumers
technologies;
- The long term development will be achieved through diversification of the production;
For a more clear presentation of these directions we developed these ideas:
I. In the last years Chimcomplex S.A.Borzesti achieved many investements for
revamping of the infrastructure and the technologies.

a) Calcium chloride flakes / pellets plant
The calcium chloride flakes/pellets plant, having
a designed capacity of 12 000 tonnes/year flakes and
10 400 tonnes/year pellets, uses a modern technology
based on Bertrams Salt Plant Ltd. licence Switzerland
( at the present SEP Salt & Evaporation Plant Ltd.)
b) Residual sulphuric acid reconcentration plant
The residual sulfuric acid 76-78% reconcentration plant, having a processing capacity
of 3000 tonnes/year is accomplished according with the licence acquired from Bertrams
Chemical Plant -Switzerland.
c) Cogeneration plant
The cogeneration plant is a high technological
level investment being completed under
TURBOMACH - Switzerland licence. The plant is
simultaneously producing electrical and thermic
energy and ensures the energetics efficiency
increase through the outputs improvement and the
fuel power potential revaluation.
The cogeneration plant is designed to
produce 7,5 MWh electrical power and 25,3 t/hsteam using as fuel methane gas (taken from the
SNT) and the hydrogen resulted from the
electrolysis plant.
d) The incineration plant
The organochlorinated residues incineration plant has been
achieved according with a licence acquired from Michelin GmbH &
Co Germany and has a processing/incineration residues capacity of
85 kg/h (~680 t/an). According with this technology, the
organochlorinated liquid residues incineration, is performed in
specialized equipments and makes available the chlorine under the
hydrochloric acid form and the thermic energy, resulted following the
combustion under the 15 bars steam form.
Modernizations/Retechnologizations
A) Retechnologization of the electrolysers
of the electrolysis plant and the replacement of the
ion exchanger membranes with new generation ones,
have contributed to the increase of the energetic
output, of operating life of electrolysers, of the running
fiability and the power consumption with 0,05
MWh/tonne finite product;
B) Chlorine liquefying plant modernization in order
to reduce the power consumptions, exploitation safety
increase, the reducing of losses at the consumers in the
transport system of the refrigerating agent, the use of the
ecological refrigerating agents and the elimination of the
substances which affect the ozone layer. Thus there are
obtained savings of 135.000 euro/year.
C) Methylamines plant modernization
Chimcomplex is a sole manufacturer of this product range in
the South-Eastern part of Europe. The main effects of the
Plant modernization are: the outputs integration range
increase, the diversification and the production volume
increase, the creation of the ulterior company development
opportunities.
D) The nitrogen production plant modernization contributes to the production costs decrease, the
safety running increase, clients demand satisfaction and gives the possibility to fabricate and
capitalize liquide oxygen and nitrogen gas.
E) The optimization of the compressed air unit
in order to reduce the power and the maintenance
costs and to increase the equipments reliability.
The obtained savings are over 100.000 euro/year.
F) The modernization of the freeze plant for the
chlorosodics fabrication, having an effect on the
power consumption reduction, on the losses
elimination of the users transport system, the
safety exploitation increase, the use of the
ecological refrigerating agents and the elimination
of the substances which affect the ozone layer.
The savings are going over 275.000 euro/year.
G) The coupling to the national system of
natural gases transport in order to ensure the
qualitative and the technical parameters enforced
by the cogeneration station. The investment
contributed to the reduction of acquisition cost of
methane gas with savings of over 500.000
euro/year.
H) The industrial wastes warehouse improvement in order to ecologize the existing warehouse and
its giving back to the natural circuit, the compliance with the European Directives stipulations in the
wastes storage and administration domain., through the assumption of a responsible attitude
regarding the environment, according with the environmental policy relative to the durable
development.
II. The stability of the company will be achieved by capacities development for chlorine
processing plant. In this case we planned to increase the production capacity of following plants:
- hydrochloric acid plant;
- ferric chloride plant;
- calcium chloride plant;
and to build new plants for production of polyaluminium chloride and propylenoxyde;
These investments will allow us to process 80% of chlorine production .
III. Our last target referring to the diversification of production takes into consideration the
construction a new maleic anhydride plant.
In same time we must revamp the electrolysis plant for caustic soda and chlorine production, in
order to change the old generation of ion exchange membranes with the new ones.
For the accomplishment of these investements we need 50 mil EUR.
Chimcomplex S.A.Borzesti’s targets for 2013 year are:
- an annual turnover estimated to more than 100 mil.EUR.
- minimum 10% rate of profit.
- maximization of share’s value on the stock market.
The planned investements for 2010-2012 period and their advantages are presented below:
1. Hydrochloric acid plant - the increase of the capacity with 20.000 to/year will have the below
advantages:
- processing of 7.000 to/year chlorine;
- our experience in operation of this plant;
- not necessary additional staff for plant operation;
- the raw material are available;
2. Ferric chloride plant - the increase of the capacity to 10.000 to/year will have the below
advantages:
- processing of 3.000 to/year chlorine;
- the product market is in expansion in Romania;
- the plant can be built using the existing equipments, having low investment costs;
3. Calcium chloride plant - the increase of the capacity to 24.000 to/year due to:
- processing of 7.000 to/year chlorine
- the plant extension can be achieved on the existing plant;
- the raw material are available in the Romanian market;
- the Romanian and the external market are growing;
4. Polyaluminium chloride plant - the capacity will be of 20.000 to/year and will allow us to :
- process around 5.000 to/year chlorine;
- low investement cost;
- sell the product, consequently the market will grow ;
5. Propyleneoxyde plant - production capacity will be 20.000 to/year and will allow us to:
- consume an important part of the chlorine production;
- increase the sales on the growing market for propyleneoxyde and derivatives (propylene
glychol/ethers);
- facilitate the supply of the raw material- propylene,due to the closeness towards Rafo
Onesti;
6. Up-grade electrolysis plant - will confer us the following advantages:
- improving the technical performances of the Electrolysis plant;
- decreasing with 10% the energetical consumption;
7. Maleic Anhydride plant - the production capacity will be 20.000 to/year and will have the following
advantages:
- integration production flow with N-methylpyrolidone fabrication;
- signifiant energetical contribution due to the exothermic technological process used;
- position of unique Romanian producer;
- facilitate the supply of the raw material- n-butane, due to the closeness towards Rafo Onesti;
To achieve these planned objectives we benefit of the following resources and strategical

1. Logistics and existing facilities for chemical plants: natural gas pipelines, electric energy
network, railway transport, conection road to main national network for transport, liquid products
terminal in the sea port Constanta.
2. The closeness to the Salt Mine Tg Ocna, (20 km) and a modern principle of transport of salt
solution based on pipelines network.
3. The neighbouring of Rafo Onesti, an extreme attractive potential supplier of propylene, nbutane and eventually, ethylene.
4. The closeness towards a part of our domestic big clients like Mittal Steel Galati,
thermoelectric power station, Iasi, Bacau, Galati, Braila, Suceava etc. represents also an advantage,
knowing the influence of the transport cost in the final price of the chemical products.
5. The position of unique producer in Romania for a number of products, which allows us a fine
capitalization of these goods like ferric chloride, lime chloride, calcium chloride, chlorinated solvents,
methyl amines etc.
