This exploration of the 10 Policy Governance principles is a perfect primer for conference attendees not very experienced with the Policy Governance framework. Attendees will gain conceptual and practical understanding of how Policy Governance enhances role clarity, accountability and focus on purpose. Board Officers’ Forum – Presenter tba A great opportunity for Chairs, Vice-Chairs and other Board Officers to come together and explore what it means to be the servant-leaders of board teams using Policy Governance. This session will be facilitated by an experienced Policy Governance practitioner and coach. CONFERENCE WORKSHOP DESCRIPTIONS - FRIDAY OR SATURDAY, JUNE 21-22, 2013 POLICY GOVERNANCE - THE FUNDAMENTALS TRACK Board Meeting Planning and Dynamics – Presenter Catherine Raso In this highly practical, interactive and fun session you will learn how to plan board meetings based on the board’s annual calendar and how to run individual board meetings to maximize board member participation and satisfaction. Board Monitoring And Evaluation: The Fundamentals – Presenter Susan Rogers John Carver has said that “Self-evaluation is the handiest and most powerful tool available to maintain and continually improve the excellence of governing. But like all tools, it must be employed carefully.”* Fundamental to a board’s growth and development is the need for continual and honest feedback on its collective performance and that of its individual members. The board needs to ask itself whether it is getting its job done and whether it is behaving the way it said it would. Further, the board needs to hold itself and its own board members accountable for performance excellence in perpetuity. This interactive session will deliver: increased knowledge about the purpose and ‘fit’ of monitoring and evaluation in the context of the board’s job, its development cycle and perpetual agenda increased knowledge of the principles and methods of board monitoring and evaluation, and experience reviewing a variety of tools for board monitoring and evaluation. *John Carver, Board Leadership Number 10, Nov-Dec 1993 2013 IPGA Conference • June 20-22, 2013 T O R O N T O SPEAKING THE LANGUAGE OF BOARD LEADERSHIP CONFERENCE WORKSHOP DESCRIPTIONS - FRIDAY OR SATURDAY, JUNE 21-22, 2013 POLICY GOVERNANCE - THE FUNDAMENTALS TRACK continued CEO Monitoring and Evaluation: The Fundamentals – Presenter Richard Stringham What should the board look for in Ends and Executive Limitations monitoring reports? What does an operational interpretation look like and how does it enable board members to assess policy compliance? How should the board appropriately record compliance and non-compliance? How is the CEO evaluation conducted in a manner consistent with Policy Governance? Come to this session for the answers to these questions, plus some tools and tips for monitoring. Ownership Linkage: The Fundamentals - Presenter Susan Mogensen Let’s Make a Plan! After putting ownership linkage into the overall Policy Governance context, this workshop will outline a process participants can use to answer the question, “Who are our owners?” and engage them in an exercise of developing key elements of an ownership linkage plan. Participants will leave this workshop with tools for applying these processes with their boards, and with creative ideas on how to engage with their owners for maximum effect. Policy Development: The Fundamentals – Workshop Session Two presenter: Rose Mercier. Workshop Session Six presenter: Bill Charney This workshop will provide attendees with experience in and understanding of the policy development process. While many boards develop their initial policies using “templates” from various sources, sustained governance effectiveness relies in part on board members knowing how to create and revise policies to reflect their organization’s values and concerns. Policy Governance principles related to policy development will be reviewed, helping participants discern appropriate policy categories, how to articulate expectations, and how to know when adequate specificity is achieved. Policy Governance and the Fulfillment of the Board’s Legal Duties - Presenter Jim Hyatt Board members recognize they have legal and fiduciary duties but rarely do they have a clear understanding of what these responsibilities are. Such a lack of understanding in today’s highly charged environment places greater risk on the board as a whole as well as its individual members. This presentation will review these duties and their associated rules - Duty of Care, Duty of Loyalty, Business Judgment Rule, etc. - to give attendees a firm grasp of what they are and how Policy Governance helps board members fulfill them while performing their board role. Sustainable Governance; Protecting Your Investment in the Future - Presenter Eric Craymer If you are on a board or supporting one that is using Policy Governance you have likely experienced the benefit of being an accountable leader. It probably took a lot of learning about what it meant, many meetings to implement it and all kinds of time actually learning how to actually do it. What if the next board or the one after that has different people? How will they learn? What will cause them to want to maintain what your board has created? You know how much it can take in terms of understanding and discipline, is it realistic to believe others will sustain it? This workshop will focus on strategies and tactics for building a sustainable governance and increasing the odds that your system will be a legacy for many years to come. 2013 IPGA Conference • June 20-22, 2013 T O R O N T O SPEAKING THE LANGUAGE OF BOARD LEADERSHIP CONFERENCE WORKSHOP DESCRIPTIONS - FRIDAY OR SATURDAY, JUNE 21-22, 2013 PEERLESS PEERS TRACK Credit Unions’ Forum - Coordinator Steve Winninger This panel discussion will feature CEOs and board members from credit unions sharing their Policy Governance experiences including challenges, successes and learned “best practices”. Faith Based Organizations’ Forum: Applying Policy Governance in Faith Based Organizations as Platform to Enable Mission - Coordinator Jannice Moore Share your experience with other faith-based organizations as we discuss how applying the principles of Policy Governance can set the stage for your board to truly focus on “mission” instead of “maintenance.” In this session two experienced Policy Governance consultants who also serve as Board Chair in international faith-based organizations share their experience. Jannice Moore is Chair of Wycliffe Bible Translators Canada, and Dick Biery is Chair of Avant Ministries International. We will also be sharing some policies and experience from Grace International School, where Jurrian van der Straaten is CGO. Here are some of the questions we will explore: • What does ownership linkage look like when, in addition to the usual human owners, an organization considers God as an owner? • How do you incorporate the values of servant-leadership into policies? • What kinds of measures can be used to gauge success in accomplishing Ends in faith-based organizations? • What about board succession planning in multinational situations? • What kind of board education is most helpful? • How can a board be intentional about including faith-based values in its policies and its governance practices? Healthcare Care Service Organizations’ Forum – Coordinator- Karen Fryday-Field with Harvey Thomson and Paul Shay This panel presentation/discussion is designed for board members and CEOs of health care service organizations. Harvey Thomson and Paul Shay of The Kidney Foundation of Canada along with Karen Fryday-Field of Meridian Edge, will share their Policy Governance implementation experiences including successes, challenges, and learned “best practices.” In particular, The Kidney Foundation of Canada will share its process for building its Ends (Public Benefit) Policy across a national, multi-branched organization. Further, it will share the process for delegation of the implementation of board policies within a dual-delegation structure. Lastly, the session will explore the board policy interpretation process within this complex environment. This health care service organization forum will offer practical experiences and lessons learned relevant for all health care organizations, their boards and their senior leadership. Higher Education Organizations’ Forum – Coordinators Jannice Moore with Vince Vravek Using the experience of Grande Prairie Regional College as an example, in this session we will explore the application of Policy Governance principles in a higher education setting. How does a college who has a portion of the general public as owners approach ownership linkage? What about strategic thinking? Some organizations whose boards are appointed by government feel powerless to influence governance succession. How has this college approached the issue? These are a few of the items that we will explore. We invite other higher education organizations to share their experiences with us in this forum. Membership Associations’ Forum – Moderator Bill Charney This panel discussion will feature CEOs and board members from membership/trade associations sharing their Policy Governance experiences including challenges, successes and learned “best practices.” 2013 IPGA Conference • June 20-22, 2013 T O R O N T O SPEAKING THE LANGUAGE OF BOARD LEADERSHIP CONFERENCE WORKSHOP DESCRIPTIONS - FRIDAY OR SATURDAY, JUNE 21-22, 2013 PEERLESS PEERS TRACK continued Policy Governance Certification Forum – Coordinators Susan Mogensen and Alan Yue In this interactive forum, participants will explore key issues, opportunities and challenges associated with designing a certification program of particular value to boards and consultants using Policy Governance principles. Questions to be explored include: - what other certification programs are there, and how do they work? - who would be certified, for what? - what competencies or criteria should be included in the creation of a valuable Policy Governance certification? - what are the challenges and opportunities associated with such a program? - what are the next steps for putting such a program into place? Policy Governance Research Forum – Coordinator, Kathy Wiener with expert input from Dr Richard Biery and Karen Fryday-Field One of the three key themes in IPGA’s new strategic plan is “demonstrated impact” - a crucial role of research . Building on last year’s well received workshop lead by Karen Fryday-Field, this forum will review the learnings in terms of research on governance and Policy Governance, what has happened since and what our next steps should be. A great opportunity to get involved in shaping a solid evidence base for Policy Governance practice. Regulatory Bodies’ Forum – Coordinators Susan Rogers and Doris Lavoie The impact of government legislation is keenly felt by most regulatory bodies and can often be quite challenging – limiting a profession’s scope of practice, restricting the composition of a board and prescribing methods for hearings and appeals that exacerbate costs. Needing to protect the public in an increasingly complex and rapidly changing environment requires a special set of leadership practices. And for regulatory bodies who also wear the association hat, ensuring positive outcomes on behalf of both sets of moral owners - the public and the members – is a perpetual balancing act. This interactive session will explore issues and solutions to: External trends and issues, the winds of change, of particular import to regulators Relationships with government-whose job and how? Competing demands from and accountabilities to moral owners and recipients Managing growth and change in a sometimes restrictive environment School Boards’ Forum – Coordinator Susan Rogers This discussion will feature school board members and principals sharing their Policy Governance experiences including challenges, successes and learned “best practices”. NEW FRONTIERS TRACK Advanced Monitoring for CEOs – Presenter Catherine Raso This workshop is designed for CEOs and other senior staff who prepare monitoring reports. Participants will work through a newly developed step-by-step framework that takes the board’s policies (both Ends and Executive Limitations) through creating interpretations as metrics, development of rationale, planning and providing evidence. 2013 IPGA Conference • June 20-22, 2013 T O R O N T O SPEAKING THE LANGUAGE OF BOARD LEADERSHIP CONFERENCE WORKSHOP DESCRIPTIONS - FRIDAY OR SATURDAY, JUNE 21-22, 2013 NEW FRONTIERS TRACK continued A Workshop with Ruben Nelson – Presenter Ruben Nelson A chance to spend more time in a workshop setting with our keynote speaker Ruben Nelson, Futurist and Strategic Thinker, Foresight Canada and gain more insights and practical tips to help guide your organization’s future. CASCADING ENDS (The Focus and Impact) THROUGHOUT THE ORGANIZATION (How Can Ends Policies Have Traction in the Organizations Such That They Impact the Beneficiaries?) – Presenter Karen Fryday-Field The Cascading Links: Ends < >CEO Ends Interpretation < >Strategic Planning and Operational Execution As a principles based systematic approach to governance, Policy Governance has the potential to radically enhance the effectiveness of governance. The impact however should not/does not stop with the governance process. The meaningful direction provided by governance, partially through focused, ownerinformed Ends Policies, is designed to empower the operating organization. This workshop will explore the cascading links between Ends policy direction from the board through the CEO Ends interpretation process to the alignment of the Strategic Plan and operating results. This workshop will also address a variety of strategies, options, and tools for CEOs working within a Policy Governance approach to help them align Ends policy interpretation, strategic and operating planning, organizational measurements and monitoring results thereby using this governance approach to create a results-based culture. Compensation Controversies – Presenter Richard Stringham Incentive pay in the corporate world have long been common place for CEOs and other upper management. Similar incentives, with some limitations on what can be offered, have also appeared for CEOs in non-profit organizations. How are non-profits approaching performance rewards and how does that compare to the for-profit sector? What are CEO’s saying about what works for them? And what have we learned about what works and what doesn’t work? Dealing with Sticky Issues – Facilitators Susan Mogensen and Athens Kolias While it is true, to quote Kurt Lewin, that “there is nothing so practical as good theory,” it is also true that the practical application of Policy Governance principles takes practice! Using an engaging roleplaying process in small groups, this workshop gives participants a safe and unique opportunity to test their ability to use Policy Governance principles in multiple realistic scenarios. Participants will leave this workshop with a set of “lessons learned” and ideas on how to address challenges around the board table of particular relevance to them. Dialogue: The Art of Thinking Together – Presenter Susan Radwan Using the writings of William Isaac which emphasize the importance of successful dialogue to successful organizations and how how the “art of thinking together” can be used to connect organizations and communities, this workshop will explore: • Elements of dialogue • Moving from debate to generative dialogue • Applications to board work 2013 IPGA Conference • June 20-22, 2013 T O R O N T O SPEAKING THE LANGUAGE OF BOARD LEADERSHIP CONFERENCE WORKSHOP DESCRIPTIONS - FRIDAY OR SATURDAY, JUNE 21-22, 2013 NEW FRONTIERS TRACK continued Governing in a Highly Complex System – Presenter Susan Radwan Organizations are highly complex systems. In this workshop you will be engaged in looking at • Characteristics of systems • Role of governance in a complex system • Interdependence between board work and operational work • Policy Governance: a systems approach to governance for a complex system Governing the Unknown – Facilitator Ray Tooley When uncertainty is the norm, how do boards of all descriptions respond? In this session you will explore the world of risk and engage in a lively discussion about different approaches including Policy Governance as it is today and how it might be developed in the future. New Dimensions in College Governance – Facilitators - Pat McCarver, Ray Sigafoos and Karen Jones The role of higher education colleges has changed significantly in recent times. In this workshop, Yavapai College will share their journey and how Policy Governance has helped them clarify their future. “In particular, the presenters will share their Ends Statements, which are not typical for Higher Education Institutions, and focus on economic development and community support. The discussion will focus on how the Board arrived at those Ends, and how they drive the work of the board. The Yavapai College District Governing Board is an elected board, and the presenters will also share how they address the challenges of state mandated responsibilities within a Policy Governance framework.” Speaking “Owner-Ese”: Practical Approaches to Connecting with Owners – Presenter Jannice Moore Owners are not likely to understand the language of Policy Governance – or in some cases, even to know that they are owners. How does the board make a meaningful connection with owners, thus enabling it to gather the perspectives necessary to provide effective leadership? In this advanced session we will explore various options for ownership linkage. We will consider how to design an ownership linkage plan, what kinds of questions are most useful and the pros and cons of alternative methods of linkage. Finally, we will look at how to use the information gathered in connection the board’s Ends work. The Learning/Policy Development Cycle; Hands On Workshop – Facilitator Eric Craymer Ever wonder what to do after you have adopted your policy manual following a blitz policy development session? Have a unique or unusual need within your governance and not quite sure how to address it in the manual? In real life boards run up against unexpected situations and need to know how to address them while staying true to the principles they govern by. This workshop will help build your policy development “chops”, allowing you to effectively deal with new issues in your policies. After a brief overview of concepts and strategies, we will launch into a full blown policy development mode. Using examples provided by you, the participants, the participants will act as a “board” using a sample policy manual to determine how to craft a policy that is both principles consistent and that addresses the issue. 2013 IPGA Conference • June 20-22, 2013 T O R O N T O SPEAKING THE LANGUAGE OF BOARD LEADERSHIP CONFERENCE SPEAKER/COORDINATOR DESCRIPTIONS PLENARY SPEAKERS Kathy Wilkie - Conference Chair Kathy is the Registrar and Executive Director of the College of Medical Laboratory Technologists of Ontario (CMLTO).
