Canadel already offers over 1 million custom dining options, but sometimes that’s just not enough. Now, you
can design a table with no extensions. Create a sideboard with a granite top. Use two or more fabrics on a chair.

Yes, you have added options with the Signature price list, but is that not enough for you? Need more? Get more,
because your custom dining choices just became — ENDLESS.
Canadel is available in custom sizes to fit any space. Choose four colors, or more. Tailor your dining set by
completing the Request Form. Get what you really want. And for just a little extra, you are elevated to what
Canadel customizing is, dining furniture you can’t get anywhere else.
The Canadel Signature Request Form on page 16 is provided for modifications to our products. No cancellations,
changes or holds can be allowed for an order for which materials have been specially ordered. Our ability to
honor your Signature Request is based on the extent of the modifications you desire. For these reasons, complete
and accurate information is required on ALL requests. A minimum of 2 to 3 weeks additional delivery time is
necessary based on the current production workload.

The Signature Limitations
The Signature program allows you to create custom, custom dining.
Although most requests are granted we WILL NOT :
- Rescale a chair
- Design a new item
- Rescale a storage piece
- Make a stool higher than 30”
- Make a non-existing stool to match a chair
- Make a 3, 4 or 5 leaf table with a base

Canadel is a “Custom with Options” company, Color and Finish Options, Table Leg and Base Options,
Table Shape and Size Options, etc. In addition to these Standard Custom Options, Canadel has created
the Canadel Signature Program which is essentially a “Custom, Custom” Program.

Custom with Options
The thought behind this program is to try and not say “NO” to any request provided it can be done for a
reasonable charge. Since the Signature Program is a “Custom, Custom” Program each request must be
submitted to Canadel on The Signature Request Form to determine if the specific request is possible and
to obtain the appropriate charge.
The Canadel Signature Program is designed to allow customers that may have not been able to find exactly
what they wanted in the past to satisfy their home furnishings needs with Canadel products.

COMPANY HISTORY
Founded in 1982 in Louiseville, Québec, Canadel is a family-owned company specializing in the design,
assembly, finishing, and marketing of dining room and kitchen furniture. Today, Canadel employs over 700
highly skilled professionals who work with solid wood, a noble material, to provide the consumer with the
best quality and construction available in the industry. All our products are assembled, treated, painted,
finished, and packaged by hand, with painstaking care and under scrutinizing quality control. And for your
further satisfaction, all our manufacturing processes are designed to be environmentally friendly.
FACTS ABOUT WOOD
Our craftsmen take great professional care in selecting the materials used in manufacturing our furniture.
Surrounded by vast forestlands, Canadel products are made from solid North American white birch, a
mature fiber species that is sustainably managed with the greatest respect for the environment. Forests
are government and privately owned and regulated--trees must be fifty years old to harvest; for each tree
cut, two are planted. Close proximity to materials makes Canadel furniture ecologically friendly to ship and
deliver; supporting North American craftsmen makes Canadel responsible to our economy; use of recycled
fibers for all cardboard packaging whenever possible and 75% re-use in residual paint makes Canadel
kind to the environment. Because this is our home, we at Canadel believe that it is our responsibility to
invest in tomorrow, today.
HARDNESS AND DURABILITY
Although resembling maple, cherry, and mahogany, North American white birch is actually much harder
than these woods, providing a strength and durability that is more similar to oak. Over time, your furniture
will endure, maintaining the solid beauty that makes it Canadel.

CONSTRUCTION
What makes Canadel different? Mortise and tenon joints make tables, chairs, and barstools strong and
sturdy. Triple “finger” grooved corner blocks hold and lock the leg and aprons in place. Up to eleven-step
finishing and ten-step inspection ensure that the quality of your piece is protected during shipping with
three-layer packaging and humidity-seal. Hand-assembled and hand-finished, with a vast array of colors
and styles, Canadel makes every order one-of-a-kind.
Because solid wood table tops expand and contract with changes in temperature and humidity, Canadel
will not replace as defective a table top that has a slight gap in the center or at the edges where two table
halves meet. This separation is normal and will occur on all solid table tops.
Extra care should be taken to control the temperature and humidity in the home, in order to minimize the
normal expansion and contraction that the changing seasons can cause. Do not expose the product to
direct sunlight, as the sun’s ultraviolet rays will cause any solid wood product to change over the course
of time.

Baked-On Catalyzed Lacquer is applied to all tables, chairs, barstools, and storage items.

All Canadel surfaces are covered with a bakedon Catalyzed Lacquer protection. This Lacquer is
highly resistant to marking, scratching and staining.
It combines the transparency of lacquer with the
stability and the durability of a catalyzed varnish,
and is applied to every surface your customer will
use. Rule of thumb: If the customer can eat, drink
or digest a food product, it may safely be left on a
Canadel product for up to 24 hours! This BENEFIT

How to Use the Canadel Website
A key component of the success of Canadel has been a quality presentation of our products and a
corresponding sales approach that provides the consumer with all the information necessary to make a
truly informed purchase decision. This includes an explanation of the variety of colors and wood types
available, which not only affects the actual retail price of our products, but can also affect Canadel’s ability
to satisfy each consumer’s unique expectations.
We have always believed that an essential ingredient of our success is the personal interaction between
well-trained sales personnel and the retail consumer. We continually strive to improve the quality of
that interaction to the benefit of our company and our dealers. It has come to our attention that Canadel
products have been offered for sale on the Internet.
While we recognize that the Internet may be suitable to many forms of communication, we believe it is an
extremely poor medium for promoting and selling our products since it does not allow for the personal
interaction we consider so vital to the successful marketing and promotion of Canadel products.
This form of promotion also raises a number of related potential problems that could adversely affect the
image and degree of consumer satisfaction associated with our products. For example, an integral part
of ensuring consumer satisfaction is prompt and responsible warranty service. If the product was sold
through the Internet to a location remote from that of the actual dealer, the quality of such follow-up
service would undoubtedly be inadequate and our image with the consumer could be damaged. In addition,
further shipping and handling of our product greatly increases the risk of mistreatment and damage
by common carriers. It would undoubtedly lead to increased consumer complaints and, in many cases,
void the Canadel product warranty, leading to further consumer dissatisfaction. In light of these factors,
Canadel has decided that dealers advertising its products for sale on the Internet will risk termination of
their dealer authorization.
Canadel dealers may promote the fact that they offer Canadel products in their retail locations, but no
specific offer to sell or advertising of specific models or prices will be allowed. We know you will join us
in appreciating the long-term, mutually beneficial implications of this policy decision, which is effective
immediately.

How to Know what we Expect from our Dealers
Our reputation for quality has been an important part of our success, and our commitment to standing behind
our products is unsurpassed. Canadel warrants its materials and workmanship for a period of one year
following the date of delivery to the retailer. If a defect appears within this time, we will take the following
steps to correct it.
Repairs or replacements under this warranty will be made through an authorized Canadel retailer, preferably
the same retailer from whom the product was originally purchased. Once the retailer is notified of the problem,
it may be necessary for Canadel or the retailer where the product was purchased from to arrange an inspection
to determine whether or not the defect in question is a result of workmanship. If a manufacturer’s defect does
exist, it will be repaired. If repair is impracticable, Canadel will replace the product with merchandise of equal
type and quality. You will not be charged for any repair or replacement of furniture due to a manufacturer’s
defect.
LIMITATIONS
FRIENDLY SERVICE
This warranty applies only to furniture used for
normal household purposes and not in commercial
establishments. It is also valid only on furniture
purchased from an authorized Canadel retailer.
Excluded are any consequential or incidental
damages, meaning any loss, expense or damage
other than a factory defect.
All contact with the consumer shall be conducted
by the dealer. The dealer is expected to provide
service directly to the consumer for the Canadel
products it sells and to take action on bona fide
complaints from its customers. The dealer is
expected to assume responsibility for the followup on service issues presented to him.
IMPROPER CARE AND USE
Furniture from Canadel requires some routine
maintenance. We will not repair or replace
f u r n i t u re t h a t h a s b e e n a b u s e d , n e g le c te d ,
exposed to extreme humidity or temperature,
or altered, or that has received unauthorized
repairs. Nor will we cover damages resulting
from normal wear and tear or accidents including
scratches, burns, watermarks or indentations.
To avoid damage due to excessive heat, never
place directly on the surface anything that is
too hot to hold in your hands. This warranty gives
you specific legal rights; rights may vary from state
to state and from country to country.
All Canadel product defect issues must be treated
through our service department. Depending on the
information and the depth of an existing problem,
Canadel’s customer service will provide the best
possible service solution in regards to these
issues.
If a consumer contacts Canadel directly, he will
need to provide a proof of purchase for us to open
a service file and he will be referred to the store
where he purchased his furniture because it is the
store’s responsibility to resolve customer service
issues with consumers.

DIFFERENCE IN COLOR AND GRAIN
Because of the workmanship and the natural
materials used in each item made by Canadel,
minor variations can occur from one piece to the
next. This warranty does not cover such minor
differences between your furniture and floor

How to Know what we Expect from our Dealers
BASIC POLICY
This statement has been prepared to inform
dealers of the policies of Canadel, applicable
to the sale of Canadel products manufactured
and distributed under the Canadel trademark
(hereafter “Canadel products”). It is Canadel’s
policy to distribute products on a selective
basis to those dealers who, based on our
experience and judgment, will preserve and
e n h a n ce t h e p re st i g e a n d re p u ta t i o n t h a t
Canadel has built over many years, and who
will contribute to our long-term sales growth.
It is also our policy to avoid overrepresentation
of the product lines within a given market
area, which could damage our reputation and
the image of Canadel products and reduce
the incentive for dealers to devote resources to
stock, display and promote Canadel products.
It is our policy not to sell to any dealer who
adopts distribution or sales methods that will
have an adverse effect on our sales and ability
to compete.
SPECIFIC POLICIES
We expect the following from our dealers:
A. Sales Volume:
We expect the dealer to do its utmost to promote
the sale of Canadel products and maintain a
sufficient level of ongoing business with us to
enable the dealer to properly market Canadel
products, meet its sales potential, and justify
Canadel’s continuing servicing of the account.
C. Advertising, Promotion and Solicitation:
Canadel expects the advertising and promotional
activities of its dealer to reflect the image of
quality associated with the name Canadel. We also
expect proper trademark usage in all advertising
in such a way as to ensure that these trademarks
are never compromised. All such advertising
should only appear in local media where the
dealer’s retail facility is located, not nationally. To
do otherwise is in violation of these policies. It is
also contrary to our policies for a dealer to solicit
or promote the sale of the product outside the
local marketing area in which the dealer’s retail
facility is located. Advertising and promotion
shall be done in a tasteful and non-misleading
manner and shall present the Canadel name in
a way that preserves and enhances its reputation
as a premier company in the furniture industry.
D. Display:
We expect our dealers to maintain a representative
and complete display of Canadel products to give
consumers the opportunity to see and inspect
Canadel products. When a dealer does not have
a display of Canadel products in a location where
the dealer is attempting to sell the products, it
is considered inappropriate and a violation of
this policy to direct potential purchasers to view
Canadel products at another retail location where
Canadel products are properly displayed.
E. Sales Personnel:
The dealer is expected to be adequately staffed
with trained and competent sales personnel able
to present Canadel products to consumers in the
most effective manner.
B. Dealer Locations and Changes:
Canadel markets Canadel products only to
authorized retail dealers. It is contrary to
this policy for a dealer to sell to retailers,
wholesalers, buying services or cooperatives.

is not a violation of our policy if the dealer
operates a bona fide showroom for the design
and decorator trade. Nothing herein shall restrict
a dealer’s method of doing business for goods
and services not manufactured or supplied by
Canadel.

F. Wholesaling:
A dealer is expected to maintain a showroom
facility where it is authorized to receive Canadel
products for resale. The approval of any one
showroom facility does not authorize a dealer
to offer Canadel products for resale at any
other facility, including any it may add or move
to in the future. In the event that ownership,
control, management or location of the dealer’s
showroom changes or the dealer opens facilities
in addition to those approved at the time the
relationship was established, Canadel reserves
the right to terminate the dealer’s authorization
or refuse to accept orders from or ship orders to
said facilities.

How to Place an Order
PLACING AN ORDER
G. Ordering:

The dealer is responsible for providing accurate
information, including item numbers, colors, and
quantities. Canadel is not liable for any loss or
incidental or consequential damage due to delays
in delivery of Canadel products.
For administrative convenience, some dealers
occasionally make reference on their purchase
order to the name of the end purchaser of the
goods. Although Canadel will “tag” these orders
as requested, it should be understood that the only
sale and purchase relationship Canadel establishes
is between itself and its dealers. Canadel does not,
and will not, accept any orders for its products for
the benefit of any third party, including the end
purchaser whose name appears on a purchase
order submitted by a dealer. Canadel reserves the
right to alter or amend this policy at any time by
written notice to the dealers.
H. Acceptance, Shipment and Cancellation of
Orders:
All orders are subject to acceptance by Canadel at
its head office. Orders that have been accepted are
subject to withdrawal or cancellation by Canadel
prior to shipment if, in Canadel’s judgment,
manufacturing or business conditions make
shipment unfeasible or if Canadel deems that the
dealer’s credit status makes such action necessary.
All cancellations and changes are subject to
Canadel’s approval. Cancellation, if accepted, is
subjected to a cancellation charge of 15%. Orders
cannot be cancelled by the dealer after production
has begun.
I. Terms and Pricing:
All prices are prepaid and charge from Louiseville
according to the transportation chart effective in
the USA. For Canada, these terms will be effective
as of January 2010. Invoices will be based on
prices in effect on the date the order is accepted,
with the following execptions: future delivery is
requested by the dealer and the prices change
during the interim period or the dealer refuses a
product ready for shipment. In both such cases,
invoices will reflect the prices in effect at the time
the shipment is made.
J. Credit Standing:

The dealer is expected to maintain a satisfactory
credit standing with Canadel and with the business
community in general. The aggregate amount
of unpaid invoices may not exceed the dealer’s
authorized credit limit, established and periodically
reviewed by Canadel. Canadel shall have the right
to require immediate cash payment at any time it
deems necessary for its protection. All payments
shall be made to Canadel as called for in the terms
of sale. Invoices are due net 30 days from the
invoice date. Shipment of orders may be delayed
until past due accounts are current.
SHIPMENTS & FREIGHT DAMAGES
L. Truck Shipments:
Canadel has developed a preferred carrier program
which can differ by territory and by country.
The name of the carrier is indicated on the bill
of lading. No freight claims are required as we
have a freeastray agreement with our authorized
carriers.

How to Submit a Return

GENERAL
M. Return of Merchandise:
N. Termination of Relationship:
Merchandise must be inspected immediately
upon receipt and any claims should be made at
that time. Canadel cannot be held responsible
for warehousing conditions and for the dealer’s
decisions to exchange merchandise without
discussing the reason of the exchange with our
service department.
The dealer has the right to determine its own
business policies as it sees fit and to decide how
and with whom it conducts business. We have
the same right. If the dealer believes that the
policies set forth in this document are unsuited to
its business, the dealer may, for any reason and
with or without cause, terminate its relationship
with Canadel. Likewise, Canadel reserves the
right, for any reason and with or without cause,
to decide to accept or fill any order submitted to
it. In no way does this policy statement requires
Canadel to establish that any policies have been
violated or restricts Canadel’s absolute right to
terminate the dealer relationship at any time and
discontinues sales and shipment of its products
to the dealer at any time Canadel believes such
action to be in its best interest.
If the product is defective, the dealer must notify
Canadel immediately, complete and send the
service form (FRS) with digital picture.
Canadel may refuse merchandise returned
without proper packing or authorization. If
the merchandise is not returned by the proper
carrier, Canadel is not responsible for the freight
charges or damages that may occur. Total freight
charges are the responsibility of the store who
returned the merchandise by the wrong carrier.
Canadel may elect to authorize repair or make
other adjustments in lieu of an exchange. This
policy has been developed to assure we maintain
a good understanding and a good relationship
with all parties. Our goal is to achieve the best
possible solutions for customer service issues.
All decisions related to withdrawing products
or terminating relationships are made at the
company’s head office. Since the selection and
termination of authorized dealers is at the
Company’s sole discretion, dealer complaints
concerning such matters or concerning the
compliance of other dealers to any of the policies
set forth herein will not be entertained by the
Company, and neither the Company nor its sales
representatives will discuss such matters with
dealers.
O. Acceptance:
By placing orders for Canadel products after
receipt of this policy statement included with the
Canadel catalog, the dealer accepts the policies
set forth herein. The dealer also agrees that
disputes arising in relations between Canadel and
the dealer shall be governed by the laws of the
district of Trois-Rivières, Quebec, Canada, and
submits itself to the jurisdiction of the Provincial
Court in the Province of Quebec for resolution
of any disputes arising from or related to this
statement of Sales and Distribution Policies or
transactions between the dealer and Canadel. If
you do not agree to such dealer policies, please
advise us promptly so that we may remove your
name from our authorized dealer list. Unless we
hear from you to the contrary in writing within
the next thirty days, it will be understood that you
accept these policies.

Returns will not be accepted without Canadel’s
written authorization. Once authorization is
granted, the dealer has to take an appointment
and return the defective goods immediately by the
carrier mentionned on the return authorization
form. If not returned within the 6 months (180
days) period, it will be treated as follows: 6 months
and up to one year after the RA# was issued,
partial credit only will be issued as specified on
our RA forms. No credit will be issued for items
returned after the one year is over.
