ARTICLES OF INCORPORATION
OF
INTERNATIONAL BIOMETRIC SOCIETY

We, the undersigned natural persons of age 21 years or more, acting as incorporators of a
corporation under the Nonprofit Corporation Act (D.C. Code, 1981 edition. Title 29. Chapter 5), adopt
the following Articles of Incorporation.
FIRST:
The name of the corporation is International Biometric Society (hereinafter
referred to as the "Society").
SECOND:
The period of duration is perpetual.
THIRD:
The purposes for which the Society is organized are:
1) To support the advancement of biological science through the development of quantitative
theories and mathematical and statistical techniques;
(2) To provide a forum for the scientific community to exchange ideas, information and research
results related to quantitative theories and statistical applications in biological science;
(3) To collect, publish, and disseminate scientific information in the field of quantitative theories and
statistical applications in biological science;
(4) To do other things necessary or appropriate to the accomplishment of any of the objects or
purposes for which this Society is formed and generally to exercise all of its powers as are now or may
hereafter be conferred by law upon nonprofit corporations under the laws of the District of Columbia.
Notwithstanding any other provisions of these Articles, the Society shall not carry on any other
activities not permitted to be carried on by: (a) a corporation exempt from federal income tax under Section
501(c)(3) of the Internal Revenue Code of 1954, as amended (or any corresponding prevision of any future
United States Internal Revenue Code), or (b) a corporation to which contributions are deductible under
Section l7Q(c)(2) of the Internal Revenue Code of 1954, as amended (or the corresponding provision of any
future United States Internal Revenue Code).
FOURTH: The Society shall have members who shall have the right to vote. The classes and
requirements for membership shall be provided in the bylaws of the Society.
FIFTH:
There shall be a Board of Directors which shall be called the Council composed of no
less than 15 nor more than 80 members. The manner of the appointment and removal of Council members
shall be provided in the Bylaws of the Society.
SIXTH:
The Council shall have supervision, control, and direction of the affairs of the Society;
determine its policies within the Unit of these Articles and the Constitution and Bylaws of the Society;
prosecute actively its objectives; and have discretion in the distribution of its funds. It may adopt such rules
and regulations for the conduct of its business as shall be deemed advisable and may, in the execution of its
powers, appoint such agents as it may consider necessary.
All of the property of the Society, and accumulations thereof, shall be held and administered to
effectuate its nonprofit purposes. Upon the dissolution of the Society, the Council shall, after paying or
making provision for the payment of all the liabilities of the Society, dispose of all of the assets of the Society
to such organization or organizations as the Council shall select, which are organized and operated
exclusively for charitable, scientific, or educational purposes as shall, at the time, qualify as an exempt
organization or organizations under Section 501(c) of the Internal Revenue Code of 1954, as amended (or
the corresponding provision of any future United States Internal Revenue Code).
SEVENTH:
The address, including street, number and zip code, of the initial registered office of
the Society is 808 17th Street, N.W., Suite 200. Washington, D.C. 20006. The name of the registered agent
at such address is Charles McGrath.
EIGHTH:
The number of members constituting the initial Council is fifty-seven (57). The names
and addresses, including street, number and zip code, of the persons who are to serve on the Council until
