Die Vestamatic GmbH ist ein unabhängiger
familiengeführter deutscher Hersteller von
Steuerungen und Motoren zur Automatisierung
von Rolladen und Sonnenschutz.
As an independent family run company,
Vestamatic GmbH is supplying automation
products for shutters and sunshade applications.
Bereits seit 1978 entwickeln und fertigen wir
am Firmensitz in Mönchengladbach. Von
2009 an und nach diversen Erweiterungen in
2013 / 2014 produzieren und assemblieren auf
rd. 5.000 qm, teils vollautomatisch Produkte
unter dem Markennamen Vestamatic sowie
Produkte anderer Unternehmen unter der
Markenbezeichnung der Hersteller.
We are developing and manufacturing in
Mönchengladbach, Germany. Since 2009, when
we opened a brand new factory and extensions in
2013 / 2014, we are manufacturing on 5.000 sqm.
Products are branded with the Vestamatic
trademark, or the brand our industrial customers
require.
Im 2014 aufgebauten Innovationszentrum
entwickeln und testen wir gemeinsam mit
Partnern neue Produkte. Die Erfahrungen aus
mittlerweile mehr als 35 Jahren fließen dann
wieder in die Entwicklung neuer Produkte
mit ein.
In 2014 we opened an innovation centre to
design and test products in partnership with other
manufacturers. In conjunction with the more than
35 years of experience in this industry, we are
using this, to improve and innovate our products.
Am Standort in Mönchengladbach beschäftigen
wir im Verbund mit der Helmut Beyers GmbH
mittlerweile mehr als 200 Mitarbeiter.
In Mönchengladbach, we are proud to employ
about 200 people together with the Helmut
Beyers GmbH, our production entity.

Hardwareplattformen, wie sie bereits aus der
Autombilindustrie bekannt sind, reduziert die
Komplexität in der Fertigung und erlaubt uns auch
weiterhin in Deutschland zu fertigen.

are already known from the automotive industry,
reduce the complexity in manufacturing and
allows us to produce in Germany.
Der Auswahl, Qualifizierung und Pflege unserer
Lieferanten kommt daher eine besondere
Bedeutung zu. Die entsprechenden Prozesse und
Beziehungen haben sich z. T. über Jahrzehnte
bewährt. Als deutscher Hersteller verarbeiten wir
auch weiterhin ausschließlich Qualitätsprodukte.

und unter Einsatz der neuesten SMT-Maschinen

automation machnies for automatic pick and
place, soldering, testing and analysis. The
handling and processing in Germany allows us
to react quickly to demand changes and realize
batches of small and big volumes simultaneously
on different productin lines.
Wir prüfen die von uns gefertigten Produkte zu
100 % vor dem Warenausgang. Die Entwicklung
der Prüfeinrichtung erfolgt durch unser Personal
und ist gezielt auf die industrielle Fertigung in
unserem Hause abgestimmt.

whatever problem, we can also check and
analyse internally or together with our suppliers

Straddling brackets lock the power supply
securely in the in wall socket. The firm metal
frame allows a safe installation without
deformation, rust or sharp edges.
For full functionality and best performance
the headpieces are always delivered with a
power supply. In general, all headpieces are
compatible with the supplies though.
The new generation of power supplies are
designed to reduce energy consumption up
to 70 %. This can save a mentionable amount
of money and amortises the purchase price
after a short while.

Die Luxsensoren kommen gemeinsam mit den
Rolladensteuerungen zum Einsatz. Sie ermöglichen Automatikfahrten eines Rolladens abhängig von der Sonneneinstrahlung. Die Sensoren
werden auf der Innenseite der Fensterscheibe
befestigt – mittels Saugknopf oder Klebefolie
(bei VRS).
The lux sensors are applied together with the
roller shutter controls. The sensor allows automatic movements of shutters due to the incoming
light on the window.
The sensors are positioned on the inside of the
window with suction cup or bonding sheet (VRS).

Die Sonnenschutzsteuerungen WISO Control

oder Screens automatisch oder manuell. Ein
Motor kann direkt angeschlossen werden; alternativ werden Motorsteuerungen angeschlossen
und ermöglichen die Bedienung einer Gruppe von
Sonnenschutzanlagen zentral (und lokal je nach
eingesetzter Motorsteuerungslösung).
The sunshade controls WISO Control and
WISO Quattro always move one single or a group
of awnings, sun blinds or screens automatically or
manually. One motor can be connected directly;
alternatively motor controls can be connected
and allow group settings for the connected
shades (and local according to the chosen
motor control solution).

Die VRS WISO Crystal Control ist Sensorik und Steuerung in
einem Gehäuse. Sie erfasst Lux- und Windgrenzwerte und
steuert den Sonnenschutz, z. B. Markise oder Jalousie in die
gewünschte Position. Sie ist der erste Funksensor mit frei
einstellbaren Verzögerungszeiten.
Ein weiteres innovatives Feature ist, dass das Windrad
beim Einstellen wie ein Drehregler benutzt wird. Das
Gehäuse muss nicht geöffnet werden und hat auch keinen
Schalterausgang – es bleibt wasserdicht.
Der Sensor verfügt über einen eingebauten Demo/TestModus und es werden sowohl Fahrtbefehle als auch
Wetterdaten zur freien Auswertung gesendet. Detaillierte

VRS WISO Crystal Control is a sensor and controller in one
housing. It detects lux and wind and drives the sunshade,
i. e. awnings or venetian blinds into the desired position.
This is the first radio sensor where delay times are fully
adjustable.
Another nice and innovative features is that the “wind
propeller” is used to make the settings and a magnet is
used while programming, so the sensor doesn’t need to
be opened and will remain water resistant.
The sensor has also a built- in demo/test mode. The sensor
sends both actual commands and actual weather data.

wall transmitter allows manual operation of sunshade systems with VRS receiver.

Die Windsensoren (WS) dienen der Messung der
Windgeschwindigkeit und sind kombinierbar mit
den Vestamatic Sonnenschutzsteuerungen. Sie
ermöglichen das automatische Einfahren zum
Schutz der Sonnenschutzanlagen bei Wind.
Wind sensors measure the wind speed and
can be combined with all Vestamatic sunshade
controls. In combination with a control the sensor
ensures automatic “in” commands to protect the
shades from damage.

The WISO Crystal Station is a combined
wind / lux sensor to measure wind speed and
light intensity. Delivered with a mounting bracket
and 5 m cable.
Alle Einstellungen der Grenzwerte erfolgen an
der Steuerung.
All threshold settings are adjusted on the
control.
In Kombination mit Sonnenschutzsteuerungen
wird der Luxsensor LS 30 zur Messung der
Lichtintensität nicht im Innenraum, sondern
außen montiert.
In combination with sunshade controls the
lux sensor LS 30 is installed outside to measure
light intensity. All thresholds are adjusted in the
control.
Üblicherweise wird der Sensor, kombiniert mit
Windsensoren, auf einem Montagebügel montiert.
Bei hohen Gebäuden ist auch eine Montage auf
der Fassade möglich (Montagebügel ist im Lieferumfang enthalten).
Typically, the sensor is combined with a wind
sensor on a mounting bracket. An installation on
the façade is also possible for high rise buildings
(the needed mounting bracket is included in
delivery).
Der Sensor wird mit 5 m Kabel geliefert.

a choice to be made.
Die Luxsensoren kommen gemeinsam mit den
Rolladensteuerungen zum Einsatz. Sie ermöglichen Automatikfahrten eines Rolladens abhängig von der Sonneneinstrahlung. Die Sensoren
werden auf der Innenseite der Fensterscheibe
befestigt – mittels Saugknopf oder Klebefolie
(bei VRS).
The lux sensors are applied together with the
roller shutter controls. The sensor allows automatic movements of shutters due to the incoming
light on the window.
The sensors are positioned on the inside of the
window with suction cup or bonding sheet (VRS).
Bei allen Typen von Luxsensoren werden die
Schwellwerteinstellungen (bei denen eine Abfahrt
oder Einfahrt ausgelöst wird) sowie mögliche
Verzögerungszeiten (außer VRS Luxsensor) an
der Rolladensteuerung eingestellt.
With all types of lux sensors the threshold settings
(up / down commands) as well as possible delay
times (except VRS lux sensor) are set on the
control.
Die Sensoren unterscheiden sich für die verschiedenen Rolladensteuerungen im Anschluss sowie
in der Kabellänge, im Falle von VRS durch den

Allgemeine Bedingungen für Lieferungen und Leistungen (AGB)
I.
Geltung der Bedingungen
6.
Mängelansprüche bestehen nicht bei nur unerheblicher Abweichung von der vereinbarten Beschaffenheit, bei
nur unerheblicher Minderung der Brauchbarkeit, bei natürlicher Abnutzung oder Schäden die nach Gefahrübergang infolge fehlerhafter oder nachlässiger Behandlung, übermäßiger Beanspruchung, ungeeigneter
Betriebsmittel, mangelhafter Bauarbeiten, oder die aufgrund besonderer äußerer Einflüsse entstehen, die nach
dem Vertrag nicht vorausgesetzt sind, sowie bei behaupteten nicht reproduzierbaren Softwarefehlern. Werden vom
Besteller oder von Dritten unsachgemäße Änderungen oder Instandsetzungen vorgenommen, bestehen für diese
und die daraus entstehenden Folgen ebenfalls keine Mängelansprüche.
7.
Die zum Zwecke einer Nacherfüllung erforderlichen Aufwendungen, insbesondere Transport-, Wege-, Arbeits- und
Materialkosten trägt der Lieferer nur bis zu der Höhe, die bei einer Nacherfüllung am Sitz des Bestellers entstehen
würden.
8.
Rückgriffsansprüche des Bestellers gegen den Lieferer bestehen nur insoweit, als der Besteller mit seinem
Abnehmer keine über die gesetzlichen Mängelansprüche hinausgehenden Vereinbarungen getroffen hat.
9.
Für Schadenersatzansprüche gilt im übrigen Ziff. XI (Sonstige Schadenersatzansprüche). Weitergehende oder
andere als die vorstehend geregelten Ansprüche des Bestellers gegen den Lieferer und dessen Erfüllungsgehilfen
wegen eines Sachmangels sind ausgeschlossen.
10.
Fordert der Besteller zur Beseitigung eines Mangels während der Sachmängelhaftungsfrist auf, stellt sich jedoch
heraus, dass kein Sachmangel vorliegt, so ist der Besteller verpflichtet, dem Lieferer die entstandenen Kosten und
Aufwendungen zu vergüten.
Die Lieferungen, Leistungen und Angebote des Lieferers erfolgen ausschließlich aufgrund dieser Geschäftsbedingungen. Diese gelten somit auch für alle künftigen Geschäftsbeziehungen, auch wenn sie nicht nochmals
ausdrücklich vereinbart werden. Spätestens mit der Entgegennahme der Ware oder der Leistung gelten diese
Bedingungen als angenommen. Gegenbestätigungen des Bestellers unter Hinweis auf seine Geschäfts- bzw.
Einkaufsbedingungen wird hiermit widersprochen.
II.
Angebot, Vertragsschluss und technische Beschaffenheit
1.
Angebote des Lieferers sind freibleibend. Bindend sind nur unsere schriftlichen Auftragsbestätigungen.
2.
Prospektangaben, Zeichnungen, Abbildungen, Maße, insbesondere Einbaumaße und Gewichte sind nur verbindlich, wenn dies ausdrücklich schriftlich vereinbart wird.
3.
Die technischen Eigenschaften der Liefergegenstände bestimmen sich nach den vom Lieferer herausgegebenen Produktinformationen und den darin in Bezug genommenen technischen Normen. Der Lieferer stellt die
Produktinformationen dem Besteller auf Anforderung kostenfrei zur Verfügung. Über die vorgenannten Produkteigenschaften hinausgehende Eigenschaften der Liefergegenstände gelten nur als vereinbart, wenn dies durch
den Lieferer gesondert schriftlich bestätigt wird.
4.
Der Lieferer haftet nicht dafür, dass die Liefergegenstände mit Regel-, Steuerungs-, EDV-Systemen oder Gebäudemanagementsystemen kompatibel sind, sofern diese nicht von dem Lieferer angeboten oder freigegeben sind.
Freigabeerklärungen bedürfen der Schriftform.
5.
Bedingt die Produktion von Sonderanfertigungen die Herstellung von mehr oder weniger als der bestellten Menge,
so kann der Lieferer die produktionsbedingte Menge liefern und berechnen, sofern sie die bestellte Menge um nicht
mehr als 10 % über- oder unterschreitet.

Eigentumsvorbehalt
1.
Die Gegenstände der Lieferungen (Vorbehaltsware) bleiben Eigentum des Lieferers bis zur Erfüllung sämtlicher
ihm gegen den Besteller aus der Geschäftsbeziehung zustehenden Ansprüche. Soweit der Wert aller Sicherungsrechte, die dem Lieferer zustehen, die Höhe aller gesicherten Ansprüche um mehr als 20 % übersteigt, wird
der Lieferer auf Wunsch des Bestellers einen entsprechenden Teil der Sicherungsrechte freigeben.
Fristen für Lieferung, Verzug
1.
Die Einhaltung von vereinbarten Terminen für Lieferungen setzt die Einhaltung der vereinbarten Zahlungsbedingungen durch den Besteller sowie den rechtzeitigen Eingang sämtlicher vom Besteller zu liefernder Unterlagen,
Pläne, erforderlichen Genehmigungen und Freigaben voraus. Werden diese Voraussetzungen nicht rechtzeitig erfüllt,
so verschieben sich die Termine angemessen; dies gilt nicht, wenn der Lieferer die Verzögerung zu vertreten hat.

Während des Bestehens des Eigentumsvorbehalts ist dem Besteller eine Verpfändung oder Sicherungsübereignung untersagt und die Weiterveräußerung nur Wiederverkäufern im gewöhnlichen Geschäftsgang und nur
unter der Bedingung gestattet, dass der Wiederverkäufer von seinem Kunden Bezahlung erhält oder den Vorbehalt
macht, dass das Eigentum auf den Kunden erst übergeht, wenn dieser seine Zahlungsverpflichtung erfüllt hat.
2.
Der Liefertermin verschiebt sich angemessen, wenn die Nichteinhaltung des Termins auf höhere Gewalt, z. B.
Mobilmachung, Krieg, Aufruhr oder ähnliche Ereignisse, z. B. Streik oder Aussperrung, zurückzuführen ist. Die
vorbezeichneten Umstände sind auch dann vom Lieferer nicht zu vertreten, wenn sie während eines bereits
vorliegenden Verzuges entstehen.
3.
Bei Pfändungen, Beschlagnahmungen oder sonstigen Verfügungen oder Eingriffen Dritter hat der Besteller den
Lieferer unverzüglich zu benachrichtigen.
4.
Bei Pflichtverletzungen des Bestellers, insbesondere bei Zahlungsverzug, ist der Lieferer zum Rücktritt und zur Rücknahme berechtigt, der Besteller ist zur Herausgabe verpflichtet. Die Rücknahme bzw. die Geltendmachung des Eigentumsvorbehalts erfordert keinen Rücktritt des Bestellers. In diesen Handlungen oder der Pfändung der Vorbehaltsware durch den Lieferer liegt kein Rücktritt vom Vertrag, es sei denn, der Lieferer hätte dies ausdrücklich erklärt.
5.
Soweit der Besteller die Vorbehaltsware weiterveräußert, tritt er dem Lieferer jedoch bereits jetzt alle Forderungen
in Höhe des zwischen dem Lieferer und dem Besteller vereinbarten Preises (einschließlich Mehrwertsteuer) ab,
die dem Besteller aus der Weiterveräußerung erwachsen, und zwar unabhängig davon, ob die Liefergegenstände
ohne oder nach Bearbeitung weiterverkauft werden. Zur Einziehung dieser Forderungen ist der Lieferer ermächtigt.
Die Befugnis des Bestellers, die Forderungen selbst einzuziehen, bleibt davon unberührt; jedoch verpflichtet sich
der Lieferer, die Forderungen nicht einzuziehen, solange der Besteller seinen Zahlungsverpflichtungen ordnungsgemäß nachkommt und nicht im Zahlungsverzug ist. Ist dies jedoch der Fall, kann der Lieferer verlangen, dass
der Besteller die abgetretenen Forderungen und deren Schuldner bekannt gibt, alle zum Einzug erforderlichen
Angaben macht, die dazugehörigen Unterlagen aushändigt und den Schuldnern (Dritten) die Abtretung mitteilt.

Teillieferungen sind zulässig.
4.
Der Lieferer kommt nur dann in Verzug, wenn die Leistung fällig ist und eine ausdrückliche schriftliche Mahnung erfolgt ist, es sei denn, es ist für die Leistung eine kalendermäßig bestimmte Zeit vereinbart. Entschädigungsansprüche des Bestellers sind in allen Fällen verspäteter Lieferung, auch nach Ablauf einer dem Besteller
gesetzten Nachfrist, ausgeschlossen. Dies gilt nicht, sofern in Fällen des Vorsatzes oder der groben Fahrlässigkeit
oder wegen Verletzung des Lebens, des Körpers oder der Gesundheit zwingend gehaftet wird. Eine Änderung der
Beweislast zum Nachteil des Bestellers ist damit nicht verbunden. Das gesetzliche Rücktrittsrecht des Bestellers
bleibt unberührt.
5.
Vom Vertrag kann der Besteller im Rahmen der gesetzlichen Bestimmungen nur zurücktreten, wenn die Verzögerung von dem Lieferer zu vertreten ist.
6.
Der Besteller ist verpflichtet, auf Verlangen des Lieferers binnen angemessener Frist zu erklären, ob er vom Vertrag
zurücktritt, Schadenersatz statt der Leistung verlangt oder am Vertrag festhält.
IV.
Lieferumfang
1.
Erstellt der Lieferer eine schriftliche Auftragsbestätigung, so bestimmt sich der Lieferumfang ausschließlich nach
deren Inhalt.
2.
Technische Änderungen, die auf einer Verbesserung der Technik bzw. auf Forderungen des Gesetzgebers zurückzuführen sind, bleiben während der Lieferzeit vorbehalten, sofern der Liefergegenstand nicht erheblich geändert
wird und die Änderungen für den Besteller zumutbar sind.
V.
1.
Annullierungskosten
Tritt der Besteller unberechtigt von einem erteilten Auftrag zurück, kann der Lieferer unbeschadet der Möglichkeit,
einen höheren tatsächlichen Schaden geltend zu machen, 10% des Verkaufspreises für die durch die Bearbeitung
des Auftrages entstandenen Kosten und für entgangenen Gewinn fordern. Dem Besteller bleibt der Nachweis
vorbehalten, dass ein Schaden nicht oder in geringerer Höhe eingetreten ist.

Verpackung und Versand
Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist Lieferung ab Lager des Lieferers vereinbart.
Versendet der Lieferer auf Wunsch des Bestellers, erfolgt der Versand stets auf Gefahr des Bestellers. In diesem
Fall stellt der Lieferer übliche Fracht- und Verpackungskosten in Rechnung. Die Wahl der Versandart erfolgt nach
bestem Ermessen. Der Abschluss einer Transportversicherung erfolgt auf Wunsch des Bestellers und auf dessen
Kosten.
VII. Gefahrenübergang
Die Gefahr geht auch bei frachtfreier Lieferung mit der Übergabe an den Frachtführer oder Abholer. Auf Wunsch
und Kosten des Bestellers werden Lieferungen vom Lieferer gegen die üblichen Transportrisiken versichert. Dies
gilt auch, wenn eine Implementierung der vom Besteller montierten Liefergegenstände durch den Lieferer erfolgt.
VIII. Sachmängelhaftung (Gewährleistung)
Für Sachmängel haftet der Lieferer wie folgt:

Teile oder Leistungen, die innerhalb der Verjährungsfrist einen Sachmangel aufweisen, sind nach Wahl des
Lieferers unentgeltlich nachzubessern, neu zu liefern oder neu zu erbringen, sofern die Ursache des Sachmangels
bereits im Zeitpunkt des Gefahrübergangs vorlag (Nacherfüllung).

Zunächst ist dem Lieferer stets Gelegenheit zur Nacherfüllung innerhalb angemessener Frist zu gewähren. Wird
ihm dies verweigert, ist er insoweit von der Sachmängelhaftung befreit. Schlägt die Nacherfüllung fehl, kann der
Besteller – unbeschadet etwaiger Schadenersatzansprüche – vom Vertrag zurücktreten oder die Vergütung mindern.

Sachmängelansprüche verjähren in zwölf Monaten. Die Frist beginnt mit dem Gefahrübergang. Vorstehende
Bestimmungen gelten nicht, sofern das Gesetz gemäß §§ 438 Abs. 1 Nr. 2 (Sachen für Bauwerke), 479 Abs. 1
(Rückgriffsanspruch) und 634a (Baumängel) BGB längere Fristen zwingend vorschreibt.
4.
Der Besteller hat Sachmängel gegenüber dem Lieferer unverzüglich schriftlich zu rügen. Äußerlich erkennbare
Beschädigungen der Verpackung sind unmittelbar gegenüber dem abliefernden Transporteur geltend zu machen;
Fehlmengen sind binnen vier Werktagen zu rügen.
5.
Bei Mängelrügen darf der Besteller Zahlungen nur zurückhalten, wenn eine Mängelrüge geltend gemacht wird, über
deren Berechtigung kein Zweifel besteht, oder wenn die Mängelrüge unstreitig oder ihre Berechtigung rechtskräftig
festgestellt ist. Der Besteller darf die Entgegennahme von Lieferungen bei unerheblichen Mängeln nicht verweigern.

Unmöglichkeit, Vertragsanpassung
Bei Unmöglichkeit der Lieferung, ist der Besteller berechtigt, Schadenersatz zu verlangen, es sei denn, dass der
Lieferer die Unmöglichkeit nicht zu vertreten hat. Jedoch beschränkt sich der Schadenersatzanspruch des Bestellers
auf 10 % des Wertes desjenigen Teils der Lieferung, der wegen der Unmöglichkeit nicht in zweckdienlichen
Betrieb genommen werden kann. Diese Beschränkung gilt nicht soweit in Fällen des Vorsatzes oder der groben
Fahrlässigkeit oder wegen Körperschäden gehaftet wird. Eine Änderung der Beweislast zum Nachteil des Bestellers ist mit dieser Regelung nicht verbunden. Das Recht des Bestellers zum Rücktritt vom Vertrag bleibt unberührt,
und zwar auch dann, wenn mit dem Besteller zunächst eine Verlängerung der Lieferzeit vereinbart war. Bei nur
vorübergehender Unmöglichkeit kommt Ziff. III (Fristen für Lieferung, Verzug) zur Anwendung.
Sofern unvorhersehbare Ereignisse im Sinne von Ziff. III. 2 die wirtschaftliche Bedeutung oder den Inhalt der
Lieferung erheblich verändern oder auf den Betrieb des Lieferers erheblich einwirken, wird der Vertrag unter
Beachtung von Treu und Glauben angemessen angepasst. Soweit dies wirtschaftlich nicht vertretbar ist, steht dem
Lieferer das Recht zu, vom Vertrage zurückzutreten. Will er von diesem Recht Gebrauch machen, so hat er dies
nach Erkenntnis der Tragweite des Ereignisses unverzüglich dem Besteller mitzuteilen.
Sonstige Schadenersatzansprüche
Schadenersatzansprüche des Bestellers, gleich aus welchem Rechtsgrund, insbesondere wegen Verletzung
von Pflichten aus dem Schuldverhältnis und aus unerlaubter Handlung, sind ausgeschlossen. Dies gilt nicht,
soweit zwingend gehaftet wird, z. B. nach dem Produkthaftungsgesetz, in Fällen des Vorsatzes oder der groben
Fahrlässigkeit oder der vorsätzlichen Beeinträchtigung des Lebens, des Körpers oder der Gesundheit oder der
Verletzung wesentlicher Vertragspflichten.
Der Schadenersatz für die Verletzung wesentlicher Vertragspflichten ist jedoch auf den vertragstypischen,
vorhersehbaren Schaden begrenzt, soweit nicht Vorsatz oder grobe Fahrlässigkeit vorliegt oder für Körperschäden
oder wegen der Übernahme einer Garantie für das Vorhandensein von Eigenschaften gehaftet wird.
Eine Änderung der Beweislast zum Nachteil des Bestellers ist mit den vorstehenden Regelungen nicht verbunden.
XII. Zahlungsbedingungen, Aufrechnung

Rechnungen sind ohne Abzug sofort zur Zahlung fällig. Ein Skontoabzug ist nur zulässig, sofern dies in der
Auftragsbestätigung enthalten ist. Ein Skontoabzug auf neue Rechnungen wird nicht gewährt, soweit ältere fällige
Rechnungen noch zur Zahlung offen stehen.
Der Besteller gerät mit der Zahlung 30 Tage nach Rechnungseingang in Verzug.
Die Wechselentgegennahme bedarf immer einer vorhergehenden schriftlichen Vereinbarung. Bei Hereinnahme
von Wechseln werden die bankmäßigen Zinsen und Spesen berechnet. Sie sind sofort in bar zu zahlen.
Aufrechnungsrechte stehen dem Besteller nur zu, wenn seine Gegenansprüche rechtskräftig festgestellt,
unbestritten oder vom Lieferer anerkannt sind. Wegen bestrittener Gegenansprüche steht dem Besteller auch kein
Zurückbehaltungsrecht zu.

Erfüllungsort und Gerichtsstand ist Mönchengladbach.
Es gilt ausschließlich deutsches Recht unter Ausschluss des Gesetzes über den internationalen Kauf beweglicher
Sachen, auch wenn der Besteller seinen Firmensitz im Ausland hat.
Sollte eine Bestimmung nichtig sein oder werden, so bleibt die Gültigkeit der anderen Bestimmungen hiervon unberührt.

All supplies, services and offers by the vendor shall be based exclusively on these general terms and
conditions. These shall therefore also apply to all future business relations, even in the absence of any
specific additional agreements. These conditions shall be considered as having been accepted not later than
the date on which the goods or services are accepted. Buyer’s terms and conditions shall not apply. Any
counter-confirmation by the purchaser, making reference to his terms and conditions are hereby precluded.

Vendor’s offers are subject to confirmation. Legally binding are only the vendor’s order confirmations.
Any data in brochures, drawings, illustrations, measurements, specifically assembly dimensions and weights
are firm only if explicitly agreed to in writing.
The technical properties of the supply items are described in the product information of the vendor and are in
accordance with the technical standards referred to therein. Any product information provided by the vendor
to the purchaser shall be free of charge. Any features of the supply items in addition to the above-mentioned
product properties shall be deemed as agreed only, if separately recorded by the vendor.
The vendor shall not be liable for the compatibility of the supply items with control units or equipments, data
processing systems or building management systems, unless specifically offered or approved by the vendor.
Clearance certificates must be issued in writing.
In the case of custom manufacture, the vendor shall be entitled to supply up to 10 % more or 10 % less than
the agreed quantities.

Delivery periods, delay
Compliance with the agreed delivery dates shall be subject to the purchaser’s compliance with the agreed
payment terms, including the timely delivery of all documentation, plans, necessary permits and approvals
by the purchaser. If these conditions are not complied within due time, the delivery dates are appropriately
extended; however, this shall not be applicable, if the vendor is responsible for the delay.
The delivery date is extended appropriately, if the non-compliance with the delivery date is due to force
majeure, such as mobilization, war, riots or similar events, e.g. strike or lockout. The vendor shall also not be
responsible for delays due to the above-mentioned circumstances if they occur during an existing delay.
Part shipments are permissible.
The vendor shall be deemed to be in default, if the delivery is due and after a formal written reminder has
been issued, except when a specific delivery date was agreed. In all cases of late delivery, the purchaser
shall not be entitled to any compensation; this shall also be applicable, where an extension that was granted
by the purchaser has been exceeded. This shall not apply, where mandatory liability exists in cases of
willful misconduct or gross negligence as a result of personal injuries, health detriment, or death. This is not
related to a change in the burden of proof to the detriment of the purchaser. The purchaser’s statutory right
to withdraw from the agreement shall remain unaffected.
The purchaser is permitted to withdraw from the agreement within the limits imposed by law only if the vendor
is responsible for the delay.
If so requested by the vendor, the purchaser is obligated to declare within a reasonable period whether
he intends to withdraw from the agreements or whether he demands compensatory damage in place of
performance, or whether he abides by the agreement.

Packaging and shipping
Shipment shall be ex the vendor’s works, otherwise unless specified in the order confirmation. If the
purchaser requests shipment by the vendor, the transport shall always be at the purchaser’s risk. In this
case, the vendor invoices the usual freight and packaging costs. The choice of shipping method shall be at
the vendor’s discretion. Transport insurance is available on request and at the purchaser’s expense.

Retention of title
The supply items (goods subject to the retention of title) shall remain the property of the vendor until such
time that any claims by him against the purchaser in terms of the business relationship have been satisfied. If
the value of all security interests to which the vendor is entitled exceeds the amount of all secured claims by
more than 20%, the vendor shall release an appropriate percentage of the security interests if so requested
by the purchaser.
During the existence of a retention of title, the purchaser shall not be permitted to pledge or transfer
ownership by way of security and may permit resale by resellers only in the normal course of business and
on condition that the reseller is paid by his customer or reserves the right that ownership will be transferred
to the customer only after he has fulfilled his payment obligations.
In the event of an attachment of property, confiscation, or other decrees or through the intervention of third
parties, the purchaser must notify the vendor immediately.
If the purchaser fails to comply with his duty, specifically, the failure to pay on due date, the vendor is entitled
to cancel the agreement and take back the goods, while the purchaser is obligated to surrender the goods.
Taking back the goods and/or enforcing the retention of title does not require the purchaser to withdraw.
These actions by the vendor or the attachment of the goods subject to the retention of title does not imply a
withdrawal from the agreement, unless specifically stated by the vendor.
With respect to the resale of the goods subject to the retention of title by the purchaser, the purchaser hereby
agrees to assign all receivables which accrue to the purchaser from the resale, equal to the price (including
VAT) agreed between the vendor and the purchaser; this shall occur irrespective of whether the supply
items were resold prior or subsequent to any subsequent fabrication. The vendor shall be entitled to collect
these receivables. However, the right of the purchaser to collect these receivables directly shall remain
unaffected; the vendor, however, shall be obligated to refrain from collecting these receivables, provided that
the purchaser meets his obligation to pay appropriately and is not in default in payment. However, should
the purchaser be in default, the vendor may demand the purchaser to disclose all details of the assigned
receivables and the debtors, provide all necessary information for the collection of receivables, hand over all
relevant documentation and notify the debtors (third parties) of the assignment.
Scope of supply
The scope of supply shall be specified in the vendor’s written order confirmation.
The right to make technical modifications due to technical improvements and/or as a result of legislative
requirements which occur during the delivery period shall be reserved, provided that no major change of the
supply item results and that such changes can be reasonably accepted by the purchaser.
If the purchaser cancels the order without justification, the vendor may demand 10% of the sales price as
compensation for order processing costs and possible loss of earnings, without prejudice to the option of
claiming higher than actual damage. The purchaser shall retain the right to provide documentation to the
extent that the damage is lower or that no damage has occurred.

result of any special external influences not provided for in the agreement, including any non-reproducible
software defects claimed. Warranty claims shall not be recognized in the event of improper modifications or
installation by the purchaser or third parties and through any consequences resulting therefrom.
Claims by the purchaser because of necessary expenses for the purpose of remediating the defects in
performance, specifically costs in respect of transport, infrastructure, labor and materials, shall be excluded
if the additional costs were caused because the supply item was transferred to a different location from the
place of delivery, unless the transfer has been agreed upon between the parties.
The purchaser shall have recourse claims against the vendor only in so far that the purchaser has not agreed
any additional conditions beyond the statutory warranty claims with his customer.
In all other respects, compensatory damages shall be subject to Section XI (other compensatory claims).
Any additional or different claims other than the claims agreed to above by the purchaser against the vendor
or persons employed by him in the performance of his obligation as a result of material defects shall be
excluded.
The purchaser is obligated to pay to the vendor the costs and expenses arising where the purchaser
demands the remediation of a defect during the defects liability period and it however transpires that no
material defect exists.
The vendor or shall be liable for material defects as follows:
Parts or services which exhibit material defects within the period of limitation shall, at the option of the vendor
be repaired, newly supplied or newly created, provided that the cause of the material defects already existed
at the time of the passing of risk (supplementary performance).
The vendor must always first be given an extension to fulfill his obligation within a reasonable time. Should
this be refused, he shall be exempted with respect to any liability for material defects. If the vendor fails to
fulfill his obligation within the extension period, the purchaser may withdraw from the contract or reduce the
compensatory damage without prejudice to any potential claims for damages.
Claims for compensation of material defects are subject to a limitation period of 12 months. The term starts
at the time of passing the risk. The above provisions shall not be applicable, if the law obligatorily provides
longer terms pursuant to §§ 438, paragraph 1, No. 2 (construc-tion projects), 479, paragraph 1 (right of
recourse) and 634a (structural defects) of the BGB [BGB = German Civil Code].
The purchaser shall notify the vendor immediately with respect to any material defects. Any visible damage
to the outside packaging must be reported to the freight forwarder immediately; shortages shall be reported
within four business days.
With respect to the notification of defects, the purchaser may only withhold payments if a defect notification
has been asserted beyond legitimate doubt, or if the defect notification has been indisputably determined by
a legal decision. Deliveries with minor defects cannot be rejected by the purchaser.
After the risk has passed, warranty claims shall not be recognized in the event of insignificant deviations from
the agreed quality, minor reduction in usability, normal wear and tear or damage as a result of incorrect or
negligent handling, excessive loading, use of unsuitable equipment, inadequate construction work or as a

Impossibility of performance, adaptation of contract
If delivery is impossible, the purchaser is entitled to claim compensatory damages, unless the inability to
supply is beyond the vendor’s control. Any compensatory claims by the purchaser shall however be limited to
10% of the value of the respective part of the supply that cannot be utilized because of the inability to supply.
This limitation shall not apply, if liability exists due to willful misconduct, gross negligence, or physical injuries.
This provision does not require amending the burden of proof to the purchaser’s disadvantage. The right of
the purchaser to withdraw from the agreement remains unaffected, even in the event that an extension of the
delivery period had been previously agreed with the purchaser. In the event of a temporary impossibility of
performance, the provisions under paragraph III (delivery periods, delay) shall apply.
In the event that unforeseen circumstances in terms of paragraph III, No. 2 have a material impact upon
the economic consequences or on the scope of supply or if they significantly affect the vendor’s operations,
this agreement shall be appropriately adapted in good faith. Should this not be tenable from a business
perspective, the vendor shall have the right to withdraw from the agreement. If he intends to invoke this right,
he must inform the purchaser immediately after realizing the implications of this action.
Other compensatory claims
Compensatory claims by the purchaser, irrespective of their legal basis, particularly if due to a violation of the
relationship under the law obligations and tortious acts, are excluded.
This shall not apply where mandatory liability exists, e.g. pursuant to the Product Liability Act, in cases
of willful misconduct or gross negligence or as a result of personal injuries, health detriment, or death, or
because of the violation of significant obligations in terms of the agreement.
However, compensatory damages for the violation of significant obligations under the agreement shall
be limited to foreseeable, typical contractual damages, except for cases of willful misconduct or gross
negligence, or because of warrantied characteristics.
The foregoing arrangements shall not affect the burden of proof to the detriment of the purchaser.

Invoices must be paid for immediately and without deductions. Discounts are applicable only, if stated in the
order confirmation. Discounts may not be taken on new invoices, as long as older invoices that are due for
payment are still outstanding.
The purchaser shall be deemed to be in default with respect to payment if he has not paid within 30 days of
receipt of invoice.
The acceptance of drafts is subject to previous written agreement. The acceptance of drafts shall be subject
to standard bank interest rates and fees, payable immediately in cash.
The purchaser shall be entitled to the right of setting off on the condition that his counterclaims are termined
to be legitimate and uncontested and are acknowledged by the vendor. The purchaser shall have no right of
retention with respect to any contested counterclaims.

The place of performance and jurisdiction is Mönchengladbach.
German law shall apply exclusively, subject to the exclusion of the law governing the international sale of
movable property, even if the purchaser’s corporate domicile is located in a foreign country.
If a provision of this agreement shall be or become invalid, then this shall not affect the validity of the other
provisions.
