ABOUT AACM
The Arizona Association of Community Managers (AACM) is a statewide
professional Association created by Management Company Members to
provide professional standards for the community management industry.
The AACM Code of Ethics and Certified Arizona Association Manager
(CAAM) Certification Program has set the standards of practice for
professionals. Additional programs include the Homeowners Outreach
Program Enterprise (HOPE) Grant, which aids homeowners in need,
and the Affiliate Partner program, which creates a partnership with
professional vendors in the community management industry.
MISSION STATEMENT
The Arizona Association of Community Managers promotes a positive
perception of professional community association management firms
and raises the standard of care in Arizona’s managed communities. It
does this through its professional certifications of community managers
(CAAM) and other industry professionals, proactive outreach to Arizona
homeowners and by being the “voice of reason” to the state’s legislature.

To achieve the highest level of professionalism in the care of Arizona’s
managed communities.
HOW IS AACM THE HOA RESOURCE?
AACM, as an organization, is dedicated to proactively sharing its
membership’s expertise at the state legislative level.
Our lobbyist and Board members work directly with legislators to provide
timely and accurate information to educate them about the effects of
proposed bills that could have unfair consequences for the majority of
homeowners and their associations’ ability to properly function.
As a result of AACM’s ceaseless efforts, AACM has become a wellrespected and invaluable resource to legislators in their deliberations on
community association issues.

The AACM committee year runs from January to December with new
Chairs and Co-Chairs selected by the incoming Board of Directors.
Serving on a committee is a great way to get involved with the special
programs that promote the Association and the professionalism of

LEGISLATIVE ONLINE INFORMATION
Go to AACM’s website at www.aacm.com and click on the Legislation tab
or follow these instructions:
1. Access the website www.azleg.gov.
2. Under the heading “FAQ” on the left side of the page, click on “How
Do I find My Legislators”.
3. On this screen, you will go to number “2” if you do not know your
legislators/district. Choose “Click here to find the legislative district
you live in by entering your address and zip code located at the
lower left corner”. You will be taken to the Arizona Independent
Redistricting Commission’s website.
4. On this screen, enter your address into the yellow box at the top of
the page and then click “Find”. The next screen will show your district
number.
5. Now that you have your legislative district number, you can click the
back button of your browser until you are back at the “How Do I Find
My Legislators” screen.
6. Now you can choose number “1” to choose “If you know your
Legislators, click here”.
7. In order to sort by district, simply click on the down arrow next to
the “District” heading and find your legislators and their contact
information.

The program consists of three separate levels of marketing opportunities.
The Affiliate Partnership allows for networking and educational involvement
with the management company members and their managers.
The Partnership creates two major opportunities each year: the Annual Trade
Show held in the Fall and the HOPE Grant Golf Tournament in the Spring.
Monthly luncheons and mixers alternate between Phoenix and Tucson for
additional networking.

MEMBER COSTS AND VOTING
Support for all participating companies includes a financial
contribution and, for some, an additional donation of their
time and energy. Membership in AACM and the related
membership fee is structured on five different company sizes.
All fees are based on the number of units currently managed
and billed as of the beginning of the AACM membership year.

(CAAM) CERTIFICATION PROGRAM
Certified Arizona Association Manager (CAAM)
Certified Arizona Association Support Professional (CAASP)
Professionalism, accountability, and education are of utmost importance
to credibly and capably represent the tens of millions of dollars of real
estate throughout Arizona. To that end, AACM developed its Certified
Arizona Association Manager (CAAM) Certification Program.
CAAM and CAASP are Arizona-specific designations signifying that a
manager or community management industry professional is trained to
address maintenance issues specific to our climate and laws particular
to our state. Additional course completion and testing requirements
in the areas of essential management principles and ethical business
practices round out the CAAM Certification Program curriculum, ensuring
that community management professionals are comprehensively
prepared to represent the values of Arizona’s communities and homes.
Continuing Education Units, or CEUs, support the CAAM and CAASP
designations by enhancing the professional education of those
professionals who have completed a designation under the CAAM
Certification Program through elective courses developed by AACM and
approved by our Professional Standards Committee.
CAAM CERTIFICATION AND DESIGNATION
In order to obtain the prestigious CAAM designation, an individual must
meet at least one of the following qualifications:
• Member company employees who are community managers actively
engaged in community management.
• Member company employees who are executives and are actively
engaged in community management.

• Non-member management company employees who are AACM
Individual Members and are community managers actively engaged in
community management.
• Non-member management company employee executives who are
AACM Individual Members, and are actively engaged in the executive
functions of community management.
• Community managers who are AACM Individual Members and are
employed directly by a community association.
• Employees of a developer or builder who are AACM Individual
Members and are employed as the HOA Coordinator for that
company.
A person who has earned CAAM certification may continue to use the
CAAM or CAASP designation as long as they maintain their required
Continuing Education Unit requirements and remain in good standing
with AACM as a Management Company Member employee or an
Individual Member, regardless of a career change after earning their
CAAM certification. A person who has earned CAAM certification but
is temporarily unemployed may continue to use the CAAM/CAASP
designation and take continuing education courses under their
former Membership affiliation for up to six months from their last day
of employment in the community association industry, after which
time they must apply for Individual Membership with AACM in order to
maintain their CAAM/CAASP designation.
CAAM certification requirements include:
• An application and 3 CAAM Recommendation Forms, as the caliber
of Certified Arizona Association Managers is of utmost importance to
AACM and its Members.
• All membership dues and fees (if applicable), a registration fee, course
fees, continuing education credits and fees, and any other applicable
fees must be current at the time of CAAM certification and subsequent
renewal.
• Six months of direct experience performing all daily functions of a
community manager (CAAM designation only).
• Completion of the CAAM core course curriculum within three years from
the date of initial CAAM Program Application, and

• CAAM Continuing Education Units (CEUs):
° First three-year certification period: 27 CEUs beginning the
January 1 after initial certification date, including:
• 3 CEUs each year of mandatory Annual Law Update credits
• 3 CEUs of mandatory Effective Communication Tools for
Community Managers (only required one time in first certification
period)*
Subsequent
three-year re-certification periods: 27 CEUs
°
consisting of at least 18 Education CEUs including 3 CEUs
each year of mandatory Annual Law Update credits, and up
to 9 Participation CEUs (PCEUs) for participation in AACM
committees, activities and events.
*Exception: CAAM certified individuals with a certification date prior
to January 1, 2007 may take their 3 required CEUs of Effective
Communication Tools for Community Managers within their second
three-year CAAM certification period.
The courses required to receive CAAM certification may be taken in any
order. One or more tests are taken during each course, and each course
must be passed with an average of at least 70%. The Ethics course also
requires a signed AACM Code of Ethics to pass.
CAASP DESIGNATION
The CAASP designation is available to those community management industry
professionals who are employed by a Management Company Member and are
employed in a support role such as community management administrative
assistants, community management accountants, compliance managers,
and others who perform roles vital to the support of community managers
but do not directly perform community management duties in their day-to-day
activities or meet the CAAM designation requirements as stated above.
A person who has earned the CAASP designation may apply to AACM to
convert their designation to a CAAM designation after directly performing the
duties of a community manager for at least six (6) months.
A person who has earned the CAASP designation but is temporarily

unemployed may continue to use the CAASP designation and take continuing
education courses under their former Membership affiliation for up to six
months from their last day of employment in the community association
industry.
CAASP designation requirements include:

To visit the CERTS website, go to www.aacm.com and click on the orange
button that says, “CERTS”. From there, a person may complete the online
CAAM Program application. Once approved, a CERTS user ID and password
will be sent to the new CAAM participant, who may then log in to the CERTS
website to take advantage of all that CERTS has to offer.
CAAM CERTIFICATION PROGRAM - REQUIRED COURSES
Basics of Association Management (BAM)*
BAM is a 2-day course covering a comprehensive spectrum of topics vital
to effective community management. This course is taught by seasoned
community managers as well as legal and financial professionals.
Legal aspects of HOAs, understanding association insurance, budgets,
financial statements, reserves, industry terminology, annual board
meetings, and member communication are all topics included in BAM.
AACM Ethics
This is a full-day course written by members of the AACM Board of
Directors and Professional Standards Committee. It is designed to help
community management professionals and associates understand the
high ethical standards held by AACM Members and their associates, and
employ said standards in their daily business. AACM’s organizational
structure is explained, along with the Code of Ethics and Professional

attendees at the end of this course, indicating the individual’s agreement
to also commit to the ethics detailed in class.
Arizona Association Law
Navigating and understanding community association law and the
legal issues that affect HOAs and community managers can be quite a
challenge. Some of AACM’s Affiliate Partners who are legal professionals
specializing in the HOA industry instruct this full-day course. Topics
include community association documents, condominiums vs. planned
communities, roles of the Board and the Manager, developer transitions,
reserves, collections, restriction enforcement, board meetings, and
insurance.
Arizona Association Finance*
Financial management is an integral part of the community manager’s
duties. This course is designed to set forth minimum standards and
recommended procedures for financial management of a community
association. Financial experts and seasoned community managers
instruct this course, including topics such as record keeping, accounting
methods, financial statements, budget preparation, reserve studies, and
taxes in the course curriculum.
*The BAM and Finance courses may be waived upon proof of current
CAMICB CMCA Certification.
AACM - CAMICB RECIPROCITY POLICIES
CMCA-Designated Individual Receiving CAAM Certification:
A community manager with a current CMCA designation and current
AACM Membership status through either a Management Company
Member or an Individual Membership may apply for the CAAM
Certification Program.

Upon providing proof of current CMCA designation, the following course
requirements for CAAM Certification may be waived:
• Basics of Association Management
• Arizona Association Finance
The following requirements must be met to receive CAAM Certification
with a CMCA designation:
• Attend and pass AACM Ethics course (in-class test and Code of
Ethics Agreement)
• Attend and pass Arizona Association Law (in-class test)
• Current CAAM Program Registration Fee
Once CAAM Certification has been awarded, all CAAM graduates will be
required to earn CEU credits per current AACM policy.
Effective January 1, 2011, these policies must be followed or CAAM
certification may be subject to suspension or revocation.
Maintaining CAAM Designation While Working Out-of-State as a
Community Manager:
CAAM certified managers who have relocated out of state may maintain
active CAAM certification with the following requirements:
• Notify AACM of out-of-state relocation to request CAAM certification
“hold” status
• Provide AACM all updated contact information including office
address, email addresses, home address, and phone numbers
• Membership in AACM must be maintained either through
employment with an AACM Member company or as an Individual Member
in good standing
• Provide proof of current CMCA designation within six months if
individual does not hold CMCA designation upon leaving Arizona.
Once the above requirements have been met, the CAAM-CMCA certified
individual may maintain certification “hold” status as long as they
continue to provide proof of active or renewed CMCA designation while

out of state. The individual’s current CAAM certification period will be
placed on “hold” status beginning the first January 1 after notification
of out-of-state move. Mandatory CEU requirements will be immediately
placed on “hold” status.
Resuming Active CAAM Status upon Return to Arizona as a Community
Manager:
If a CAAM-CMCA certified individual relocates back to Arizona, the
following requirements must be met to maintain CAAM certification:
• Notify AACM of the individual’s return to Arizona within 30 days of return
• Provide AACM all updated contact information including
management company (if applicable), office address, email,
addresses, home address, and phone numbers
• Maintain membership in AACM either through employment with an
AACM Member company or as an Individual Member in good standing
After AACM has been notified of the CAAM-CMCA certified individual’s
return to Arizona:
• The individual’s certification period and CEU requirements will
resume beginning the January 1 after notification of their return to Arizona.
• Individuals may continue to earn CEU credits after notification of
return to Arizona and prior to resuming their certification period on
the following January 1.
CAAM CERTIFICATION CHANGES AND EXPIRATION/RENEWAL
AACM will maintain records for each individual in the CAAM Certification
Program. The AACM Member of record associated with the certified
individual (either Management Company Member or Individual Member)
will be notified approximately three months prior to a certification
renewal date (3 calendar years from the January 1 following the original
certification date, and January 1 every three calendar years thereafter).
However, it is strongly recommended that each certified individual also
maintain his or her own records. Records on certification requirements

including paperwork and Continuing Education Units are available on the
CERTS website (go to www.aacm.com and click the orange tab that says
“C.E.R.T.S. Website”).
The AACM Member of record as described above must notify the AACM
office of any name changes or employment changes by completing a
CAAM Records Change Form as soon as possible after a change (either
termination or hire) occurs. Please contact the Education Manager or the
AACM Office at 602-685-1111 to obtain a CAAM Records Change Form.
There may be a re-certification fee charged at the time of re-certification
(amount to be determined).
PENALTY POLICY FOR NOT MEETING CONTINUING
EDUCATION AND ACTIVE STATUS REQUIREMENTS
Effective January 1, 2011
Mandatory course missed (i.e., Law Update or Effective
Communication):
• CAAM Certification suspended immediately following the last offering
of the mandatory course that year.
• Reinstatement application and $325 reinstatement fee.
• Publication of name and suspension date on AACM website.
Total CEU requirements not met:
• CAAM Certification suspended January 1 of the following year.
• Approved reinstatement application and $325 reinstatement fee
required in time to complete the equivalent missed credits by June
30 (six months from suspension date).
• Following reinstatement, Participant must complete the equivalent
missed credits by June 30; failure to reinstate certification
and complete missed credits will result in revocation of CAAM
certification.

• Equivalent missed credits from prior certification period will be
required in addition to the three-year certification period CEU credit
requirement.
• Publication of name and suspension date on AACM website.
Any CAAM Certification remaining inactive or suspended for
more than 6 months will be revoked and required to complete
CAAM certification requirements again at regular cost to regain
active CAAM status.
A letter explaining extenuating circumstances may be written prior
to the end of the current certification period. AACM will make a
determination on a case-by-case basis regarding possible exceptions
and reinstatement conditions.
During any period of suspension or inactive CAAM status including
revocation, any CAAM Certification Program designation (CAAM,
CAASP, etc.) may not be used in any form of business marketing or
correspondence, including but not limited to business cards, signatures,
brochures, marketing materials, resumes, etc.
If any CAAM Certification Program designation is used during any period
of suspended, inactive, or revoked CAAM status, the Member Company
and/or Participant may be subject to any/all of the following:
• If inactive/suspended, revoke Participant’s certification and all
associated credits.
• Code of Ethics Complaint filed.
• Publication of Member Company’s and/or Participant’s name and
improper use of the CAAM Program designation on the Disciplinary
Page of the AACM website.

CONTINUING EDUCATION UNITS (CEUs) FOR THE CAAM AND CAASP
DESIGNATIONS UNDER THE CAAM CERTIFICATION PROGRAM
The role of a community manager is constantly evolving. In order to
remain proficient, a CAAM certified individual, whether CAAM or CAASP
designated, must continue his or her education by participating in
elective courses presented as the continuing education arm of the CAAM
Certification Program. CEU course requirements are based on a calendar
year beginning the January 1 following a person’s initial certification date.
For example, if CAAM certification was received in May, the three-year
CEU requirements would begin the following January 1.
CONTINUING EDUCATION UNIT POLICIES
• A set number of Continuing Education Units (CEUs) must be earned
during each three-year certification period – see details below under
CEU Requirements.
• Only AACM courses and activities will be accepted toward CAAM
continuing education requirements.
• CEUs may be earned after the initial certification date and prior to
the January 1 beginning of the first certification period, but are not
required during this period. This is considered a “bonus period”.
• CEUs do not carry forward from one certification period to the next.
• CEU courses offered will change each year, and may not be available
every year.
• Education CEU credits are available the first time a CAAM certified
individual participates in a specific class (either attending or
instructing), but are only available one time.
• CEU courses may be re-taken for no Education credit, with priority
registration given to those individuals taking the course for credit.
For example, a CAAM may take the Annual Meetings class for 3
Education credits, but that CAAM may not receive 3 additional
Education credits if he or she takes the Annual Meetings class again,
or instructs the class after previously taking or instructing the course
for credit.
• An individual must complete either the CAAM Certification
Program with a CAAM or CAASP designation in order to
attend any CAAM Continuing Education course, as our

core certification classes are the foundation upon which
our continuing education is built. An individual must be an
AACM Member to hold either designation; therefore, CEUs are only
available to AACM Members.
CEU REQUIREMENTS
First certification period: 27 CEUs must be completed within three (3)
years from the January 1 following a person’s original CAAM certification date,
including:
• 3 CEUs each year of mandatory Annual Law Update course
• 3 CEUs of mandatory Effective Communication Tools for Community
Managers (only required one time during the first three-year
certification period)
•AACM strongly recommends that each CAAM certified individual in
their first certification period obtain 6 units of elective courses
for a total of 9 CEUs per year.
Subsequent certification periods: 27 CEUs must be completed
within three (3) years from the person’s certification renewal date.
These CEUs must consist of at least 18 Education CEUs and up to 9
Participation CEUs (PCEUs) for participation in AACM committees,
activities, and events.
• 3 CEUs each year of mandatory Annual Law Update course
•AACM strongly recommends that each CAAM certified individual
in their second or later certification periods obtain at least 3 units
of elective courses for a total of 6 Education CEUs per year.

1. Register on CERTS: This registration is separate from any class registration
or “RSVP”/event registration—it is only for receiving Participation CEU
credit.

Advanced Condominiums: Special Issues - Elective
3 credits
This is Part 3 of our Condo Series, building on the concepts learned
in Condo Basics and Condo Maintenance. Topics for this course
include specialty types of condos, including high-rise, conversions,
and leaseholds; Federal regulations including FHA, OSHA & FCC; and
case studies in this interactive class addressing more advanced condo
issues. AACM recommends completing Condominium Basics and Condo
Maintenance prior to taking this class.
Advanced Legal Issues - Elective
3 credits
This advanced course is recommended for community managers with
at least three years of community management experience. Records
requests, Alternative Dispute Resolution, the Nonprofit Corporation
Act, Restatement of the Law of Servitudes, Amendment Procedures
and Developer Issues in a stressed economy are all components of this
course. Several interactive case studies are used throughout the course
to help attendees apply the curriculum as it is learned.
Annual Law Update & Ethics Review - MANDATORY
3 credits
Per Year
New legislation passed that will affect community management
and homeowner associations. This course is instructed by legal
professionals in the HOA industry. Paired with the legal aspects of this
course is an annual review of the AACM Code of Ethics.
** This course is mandatory for all CAAM certified individuals (CAAM
and CAASP designations) to attend annually. Failure to attend any
year will result in suspension of CAAM certification along with all
rights and privileges. It is the certified individual’s obligation to
register for this class in order to maintain active certification.**

Most community associations require an annual meeting. This basic
course helps managers to make their annual meetings run smoothly
and follow legal and community document requirements. Topics
include notice, voting, quorum, agendas, nominations, elections, board
members and terms, and practical annual meeting tips. This course is
instructed by experienced community managers and legal professionals
experienced in HOA law.
Board Meetings - Elective
3 credits
This basic course is designed to educate community managers regarding
how to properly guide a board of directors in calling and holding regular
board meetings. Managers will learn the statutory requirements
regarding board meetings, and where to look within the community
documents to determine the mandatory procedures and policies that
must be following in holding and conducting board meetings. Also
included are suggestions for dealing with issues commonly faced in
association board meetings. This course is instructed by experienced
community managers and legal professionals experienced in community
association law.
Cash Management for Community Associations - Elective 3 credits
Financial statements, accounting methods, foreclosures, insurance
bonds, bad debt, and collections are topics included in this in-depth
elective course instructed by financial professionals and experienced
community managers.
Collection Issues - Elective
3 credits
In the current economy, collections have come to the forefront of
managers’ attention. This course will address collection laws and
processes including foreclosure, liens, personal judgments, short sales,
bankruptcies, and the Fair Debt Collection Practices Act.
Community Security - Elective
3 credits
This important topic covers methods and techniques to keep
communities safe and secure while being aware of potential liabilities for
the manager, the management company, the board, and the association.
Instructors for this course include experienced community managers,
security industry professionals, and insurance professionals.

The Arizona real estate market has seen a surge in condominiums in
recent years. As these types of communities increase, so does the
need for community managers to be educated in learning to manage
these communities differently from single-family communities. Taught by

affiliate partner industries including restoration, attorneys, and insurance
professionals, this course covers legal and insurance issues, physical
components of condominiums, rules and policies, and other issues
specific to condos.
Condo Maintenance & Planning - Elective
3 credits
This course covers the “nuts and bolts” of issues specific to
condominium maintenance, including utility infrastructure, exterior
surfaces, roofs, parking lots, and hazardous materials common to
condos. What is the association’s responsibility to maintain, and what
is the owner’s? These and a host of other topics will be explored in
this detailed explanation of condominium maintenance and proactive
planning.
Construction Defects - Elective
3 credits
Construction defects are frequently the most significant operational
difficulty facing a community association. Education regarding
construction defects is critical to the long term financial stability of a
community and the fulfillment of the manager’s duties to the association.
Contracts & RFP’s - Elective
3 credits
Review and establish best practices on, analyzed business requirements,
vendor selection and writing an RFP, providing a better understanding of
Contracts.
Data Retention for Community Managers - Elective
3 credits
This course will present information on: Who owns the data, Satutes to
consider regarding data retention, Owner records requests and Litigation
hold policies.

Mediation & Conflict Resolution - Elective

Conflict is surrounded by negative connotations. This course challenges
you in a workshop atmosphere: whenever you find yourself faced with
conflicts - be they in the form of neighborhood complaints, unhappy
co-workers, or unsettled family members - remind yourself that conflict
is part of life that naturally arises from a difference in needs, wishes or
demands. Rather than immediately assigning a negative skew to conflict,
try to view it as an opportunity for change.
Navigating an Insurance Claim - Elective
3 credits
Taught by experienced community managers and HOA insurance
professionals, this course explores various insurance loss scenarios
that community managers may encounter, and covers the steps that
managers should take when dealing with these situations.
Organizational Skills - Elective
3 credits
Developing good organizational skills is an investment that will provide
benefits for years. To be successful means to be organized. These
skills will filter through all aspects of your professional and personal
life. Throughout this course, you will be given the tools necessary in
developing better organizational skills.
Preventative Maintenance - Elective 3 credits
The best way to manage the costs of maintaining an association’s
common elements is to consistently perform preventative maintenance.
This course makes managers aware of the needs of various elements and
their recommended maintenance methods and schedules. Reserves, the
bid process, project supervision, board education, and current vs. future
cost are all visited in this course instructed by experienced community
managers and preventative maintenance professionals.

The initial class of a 10-part series covering a range of topics. The first
being Asphalt and Roofing, a round table setting promoting guidance
and leadership from all Managers, a sharing of knowledge and best
practices.
Selecting a Vendor - Elective - NEW
3 credits
This course will guide you through the process of selecting a qualified
and licensed service provider for all of your community association
management needs.
Special Circumstances - Elective
3 credits
This course addresses situations that come up less frequently but need
to be understood when they do arise, such as benefited parcels and subassociations, committees & volunteers, discrimination, self-help, party
walls, bulk contracts, and a host of other important topics.
Strategic Planning - Elective

Strategic Planning is an organizational management activity that is used
to set priorities, focus energy and resources, strengthen operations,
ensure that employees and other stakeholders are working toward
common goals, establish agreement around intended outcomes/

This class is designed to teach you the skills for defining priorities (even

and allow you to handle all your responsibilities. Learn how to handle
interruptions and become better organized, less stressed and get more
out of your day.
Water Use, Maintenance, and Conservation - Elective
3 credits
Water is a precious commodity in the desert climate of Arizona. This
course, taught by experienced community managers and landscape
professionals, makes managers aware of how water is measured
and used, the water requirements of various plants, and provides an
introduction to irrigation systems. Other topics include effluent water,
groundwater replenishment districts, and Water Management Plans.

Amended and Restated Bylaws
of the Arizona Association of Community Managers
As Amended by the Board, March 20, 2013
1
Name.
The name of the Association is the Arizona Association of
Community Managers.
2Purpose.
The primary purpose of the Association is to serve as a business
organization for community management companies and others
who share similar interests.
3
Members and Affiliates.
3.1
Classes of Members and Affiliates. Members and affiliates of
the Association are divided into the following classes:
The Association will have members and affiliates in the following
classes and with the following rights:
(a)Management Company. Any community management
company that has at least one service contract with an
Arizona community association. The board of directors may,
from time to time establish levels of Management Company
membership, with Management Company members places
in levels based on the aggregate number of dwelling units
contained in Arizona community associations for which each
Management Company has service contracts or on other
objective measurements of size established by the board of
directors;
(b)Individual Members. Individuals who (1) serve as an onsite
Community Association Manager, (2) are employed as the
HOA coordinator by a community association, builder or
developer in Arizona, (3) are an employee of a non-member
community management company, or (4) earned CAAM
certification as a community manager but are no longer
practicing community managment; and

(c)Affiliates. Individuals and business entities that do not
qualify under any of the member categories above may apply
and be approved for affiliate status in the manner provided
for in these bylaws. Affiliates are not members, but may be
divided into further sub-classifications using procedures
established by the board of directors.
3.2
Membership Standards; Application and Approval of
Members. The board of directors will establish membership
standards and affiliate standards, which may be embodied in
policies of the Association. The board of directors will establish
an application and approval process for applicants under which:
(a)an applicant must demonstrate that the applicant meets the
Association’s standards for membership or affiliate status,
certify the classification for which the applicant qualifies and
agrees to conform to the Association’s policies applicable to
such status; and
(b)the board of directors or a committee authorized by the
board of directors will approve the application.
Applicants will become members or affiliates only upon approval in
accordance with the process the board of directors establishes.
3.3

Annual Census; Changes in Membership Class or Level.
Continuing members must annually certify the class of
membership for which they qualify and provide to the
Association annual census information requested by the
Association. The information requested in the census will
include information the Association determines is necessary to
establish the class and level of membership for which a member
qualifies but will not include confidential business information
(such as the identity of community associations served by the
member). The Association will move each member to the class
or level of membership for which the member qualifies at the
time of each census. Members will remain in the class and level
for which they qualified at the time of their most recent census
until the next census is due, and will not move to a different
class or level of membership even if they qualify for a different
class or level in the interim.
Bylaws
A member who fails to provide the required census information by the
due date the Association establishes may be suspended by the board
of directors from the due date until the date the member provides the
census information.
3.4
Member Discipline. The board of directors may establish
policies and procedures for member and affiliate discipline.
Such policies and procedures may establish sanctions for
members and affiliates who fail to comply with the Association’s
policies and procedures as well as the processes for
determining such sanctions. Sanctions may include expulsion,
suspension, fines, and other consequences appropriate under
the circumstances.
(a)Violations permitting sanctions. The board of directors
may establish categories of violations for which members or
affiliates may be sanctioned, including but not limited to:
(1)Failure to comply with the Association’s policies applicable
to such member or affiliate, including its standards for
member and affiliate behavior;
(2)A member’s or affiliate’s, or its senior management’s,
conviction of, or plea of guilty or “no contest” with
respect to, charges of serious criminal conduct related
to the member’s or affiliate’s business. The board or a
committee authorized by the board is responsible for
determining whether a matter involves serious criminal
conduct; or
(3)Failure to pay dues or special assessments, or to make
any certification required by these bylaws, within the
times (including grace periods) established by the board
of directors.
(b)Procedure. The board of directors will establish procedures
under which the board of directors, or a committee
authorized by the board of directors, may decide the
sanctions the Association will impose on a member or
affiliate who commits a violation permitting sanctions.

(c)Interim Sanctions. The board of directors, or a committee
authorized by the board of directors, may suspend a member
or affiliate until completion of sanction proceedings. Upon
such suspension the member will not be permitted to
exercise voting rights or and the member or affiliate will not
be permitted to otherwise participate in the Association’s
activities until completion of the proceedings.
3.5Voting. On any matter for which the members have voting rights,
the members will vote as a whole. No class of membership will
have separate voting rights on any matter, unless required by
applicable law. The members will have the number of votes set
forth below:
(a)Each Management Company Member will have the number
of votes established by the board of directors based on
the membership level in which the Management Company
Member is placed pursuant to Section 3.1(a) of these bylaws;
(b)Individual Members do not have voting rights on any matter;
and
(c)Affiliates do not have voting rights on any matter.
3.6
Dues and Special Assessments. The board of directors may
set dues and make special assessments of the members and
affiliates, based on the Association’s budget and financial
needs. For Management Company members, dues and special
assessments will be proportional to the number of votes for
such members under these bylaws. For Individual Members
and Affiliates, the board of directors may set dues and special
assessments as it deems appropriate in its sole discretion.
3.7
No Transfer of Membership. A Member may transfer a
membership in the Association only with the Association’s prior
written consent.

3.8
Designation of Representative. Each member must designate
a single person to represent the member. If the member does
not designate another person, the Association will treat the chief
executive officer or other person responsible for managing the
member’s day to day operations in Arizona as the designated
representative.
The designated representative will be the only person authorized on
behalf of the member:
(a)to receive notices from the Association;
(b)to cast the member’s vote at membership meetings; and
(c)to serve on the board of directors.
Either the designated representative or other persons a member
designates may serve on other committees.
4
Meetings of Members.
4.1
Annual Meeting. The Association will hold an annual meeting
of the members at least once every 15 months. The board of
directors will establish the date and time of the meeting. At the
annual meeting the members will:
(a)elect (or announce the results of the written balloting for
election of) directors; and
(b)transact any other business properly brought before the
meeting.
4.2
Special Meetings. The President or the board of directors may
call special meetings of the Members. The President is required
to call a meeting within 60 days after the President receives a
written request for a meeting signed by members having 25% or
more of the total authorized member votes.

4.3
Record Date. The board of directors may fix a date not more
than 50 nor less than 10 days before the date of a member’s
meeting as the record date for the determination of the
Members entitled to vote at the meeting. If the board of
directors does not fix a record date, the record date will be the
date 10 days before the meeting.
4.4
Place of Meeting. The person giving notice of a meeting will
designate a suitable place for the meeting.
4.5
Notice of Meetings. The person giving notice of the meeting
must send the written notice of the meeting not less than 10
nor more than 50 days before the date of the meeting. The
notice must state the place, day and hour of the meeting.
The Secretary is responsible for delivering the notice to each
member who is entitled to vote by hand delivery or by first class
U.S. Mail.
4.6Proxies. Members may not vote by proxy. Only a designated
representative may cast a member’s vote.
4.7Minutes. The Association will record minutes at all meetings of
Members.
4.8Quorum. A quorum is present at a properly noticed meeting if
members are present who hold at least 25% of the voting power
of the members.
4.9

Voting by Mail or other Voting System. The Association may
hold director elections and other member votes using mail
ballots or electronic voting. The board of directors, or other
committee authorized by the board of directors, will establish
the procedures for voting. If a vote is taken by mail or electronic
voting, the Association must give written notice of the voting to
all members entitled to vote and the vote of 25% of the voting
power of members entitled to vote is required to establish a
quorum for the vote.

4.10
Vote Required. Unless a greater vote is required by these
bylaws or applicable law, and if a quorum is established, matters
presented to the members at a meeting, by mail ballots, or by
electronic voting will be approved only if a majority of the votes
cast on the matter are voted in favor.
4.11
No Cumulative Voting for Directors. Members may not
cumulate their votes in the election of directors or any other
matter presented to the members.
5
Board of Directors
5.1Powers. The board of directors will manage the business of the
Association and may exercise all powers of the Association.
(a)Budgets. The board of directors will approve the operating
budgets of the Association.
(b)Policies. The board of directors may adopt policies for the
functioning of the Association and its programs.
5.2
Number and Qualification of Directors. (a)The board of directors will consists of the number of persons
designated from time to time by the board of directors, but
not more than 12 or less than 3 directors. If the board of
directors reduces the number of directors all directors whose
terms have not yet expired and who are in good standing will
be allowed to serve the balance of their terms even though
the resulting number of directors exceeds the number set by
the board of directors.
(b)Only persons who are designated representatives of
Management Company members are eligible to serve
as directors. A person who ceases to be a designated
representative of a Management Company member will be
deemed to have resigned. Vacancies resulting from such
a resignation will be filled in the manner provided in these
bylaws.

5.3
Terms of Directors. Directors’ terms will be two years. The
terms of one-half of the directors will expire each year, except
that one extra director’s term will expire every other year if there
are an odd number of directors. All elections and appointments
of directors under these bylaws will be made in a manner that
preserves the staggering of terms.
5.4
Election of Directors. The members will elect the directors at
the annual meeting (or by mail ballot or electronic voting before
the annual meeting), using procedures established by the board
of directors.
5.5
Filling Vacancies. If a director’s position becomes vacant
other than under Section 5.9, the board of directors will select
a replacement to serve the remainder of the vacant term. The
director who fills a vacancy will serve for the unexpired term to
which he or she is elected.
5.6
Director Meetings.
(a)Regular Meetings. A regular meeting of the board of
directors will be held immediately after, and at the same
place as, the annual meeting of members. The board of
directors may establish by resolution the time and place for
additional regular meetings of the board.
(b)Special Meetings. The President may, and on written
request of two directors must, call special meetings of the
board of directors.
5.7
Notice of Meetings. The President will notify all directors of
regular and special meetings. Meetings may be held on not less
than:
(a)two days’ notice to each director personally, by telephone, by
facsimile, or by electronic mail; or
(b)five days’ notice to each director by mail.

5.8
Absence as Resignation. Absence from three consecutive
meetings, or from four out of six successive meetings,
constitutes an irrevocable offer by a director to resign from
the board. A resignation becomes effective, and the position
is vacated, upon vote of the board of directors to accept the
resignation with a two-thirds vote required for acceptance.
5.9
Removal by the Members. The members may remove a
director with or without cause. In order to remove a director,
two-thirds of the votes cast by the Members must be voted for
removal at a duly noticed meeting where a quorum is present.
If a director is removed by vote of the members, then the
members may at the same meeting elect a successor to fill the
vacancy and the successor will fill the unexpired term of the
director removed.
6
Meetings and Procedures for the Board and Committees.
6.1
Quorum for the Board of Directors and Committees. Except
as otherwise specifically provided by law, by the articles of
incorporation, or by the resolution establishing a committee:
(a)a majority of the directors then in office constitutes a quorum
of the board of directors; and
(b)a majority of the members of a committee constitutes a
quorum of the committee.
If a meeting is commenced with a quorum, business may continue until
adjournment of the meeting notwithstanding the withdrawal or temporary
absence of sufficient persons to reduce the number present to less than
a quorum.
6.2
Vote Required. If a quorum is present, the vote of a majority of
those present and voting is sufficient to conduct the business of
the board or committee.

6.3
Participation in Meetings. At the discretion of the board of
directors or committee, the board of directors or committee
may allow members to participate in meetings using conference
telephone or similar communications equipment that permits all
persons participating in the meeting to hear each other.
6.4
Attendance of Guests. The board of directors or a committee
may invite any person who is not a director or a committee
member to attend a meeting of the board of directors or
committee. The chair of the board or committee may exclude
persons who are not directors or committee members from all or
part of any meeting.
6.5Adjournment. If a quorum is not established for a meeting,
the directors or committee members present may adjourn
the meeting from time to time, without notice other than
announcement at the meeting, until a quorum is present.
6.6
Action by Consent. The board of directors or a committee
may take action without a meeting if all directors or committee
members consent in writing. The Association will file the
writing or writings with the minutes of the board of directors or
committee. A consent may be signed in counterpart.
6.7
Waiver of Notice. Any director or committee member may waive
notice of a meeting by executing a written waiver of notice. A
director or committee member who attends a meeting waives
notice unless the director or committee member (a) attends
the meeting for the express purpose of objecting to the notice
or call of the meeting and (b) announces this purpose at the
commencement of the meeting.
6.8
Minutes of Meetings. The Chair will keep, or have kept,
minutes of meetings of the board of directors. The chair of each
committee designated by the board of directors will determine
whether to keep minutes for meetings of the committee and, if
they are kept, will keep them or have them kept. The President
will file the minutes as part of the Association’s records.

7
Officers of the Board
7.1
Designation of Board Officers and Executive Committee. The
officers of the board include the Chair, Chair-Elect, one or more
Vice-Chair(s), Immediate Past Chair, Secretary, and Treasurer.
7.2
Appointment and Term of Office. The board of directors will
appoint the officers of the board for one-year terms. Officers of
the board serve at the pleasure of (and may be removed by) the
board of directors.
7.3
Qualification for Officers of the Board. Only persons who are
directors are qualified to serve as an officer of the board, except
that an individual may serve as Immediate Past Chair even if he
or she is not a director. If an officer of the board ceases to be a
director he or she will automatically also cease to be an officer
of the board.
7.4Vacancies. The board of directors may fill a vacancy in any
board office.
7.5
Duties of Officers of the Board.
(a)Chair. The Chair is the presiding officer of the board of
directors. The Chair will:
(1)preside at member, board of directors and executive
committee meetings;
(2)officially represent the Association as requested by the
board of directors and as is otherwise appropriate;
(3)appoint the chair of committees established by the board
of directors after consultation with the President; and
(4)perform other duties as requested by the board of
directors or executive committee.

(b)Chair-Elect. The Chair-Elect will:
(1)serve as chair of the Nominating Committee;
(2)serve as acting chair if the Chair is unable to perform his
or her duties due to an absence or temporary disability;
and
(3)perform other duties as requested by the board of
directors or executive committee.
(c)Immediate Past Chair. The Immediate Past Chair will
perform duties as requested by the board of directors or
executive committee. If the Immediate Past Chair is a
director then he or she is entitled to notice of, and to vote at,
meetings of the board of directors and executive committee.
If the Immediate Past Chair is not a director then:
(1)he or she will be given courtesy notice of meetings of the
board of directors and executive committee; however, a
failure to give such notice will not affect the validity of the
meeting; and
(2)he or she will not vote at meetings of the board of
directors and executive committee.
(d)Vice-Chair. The Vice-Chair will:
(1)perform the duties of the Chair if both the Chair and ChairElect are absent or disabled; and
(2)perform other duties as requested by the board of
directors or executive committee.
(e)Secretary. The Secretary will:
(1)keep, or arrange to have others keep the minutes of
meetings of the members, the board of directors, and
committees of the Association;

(2)see that all notices are duly given in accordance with the
provisions of these bylaws or as required by law;
(3)be, or supervise, the custodian of the Association’s
records;
(4)keep, or arrange to have others keep, a register of the
addresses of each member;
(5)perform duties incident to the office of Secretary; and
(6)Perform other duties as requested by the board of
directors or executive committee.
(f)Treasurer. The Treasurer will:
(1)maintain or supervise custody of the funds and securities
of the Association and the books of account;
(2)provide oversight for the deposits of the funds of the
Association in the bank or banks the board of directors
designates;
(3)have the books of account monitored on a current basis;
(4)see that financial statements and other reports are
provided to the officers, board of directors, and executive
committee at proper times; and
(5)see that adequate and correct accounts of the financial
transactions of the Association are kept, using accepted
accounting and bookkeeping methods.
8
President and Other Officers
8.1Status. The board of directors may appoint a President and
other officers for the Association who may be employees of the
Association and need not be directors.

8.2
Appointment and Removal. The President and other officers
serve at the pleasure of, and may be removed by, a vote of a
majority of the entire board of directors.
8.3
President’s Duties. The President will:
(a)serve as the chief executive officer of the Association and
may use the title of CEO as well as President;
(b)serve as the general business agent of the Association;
(c)manage the employees and facilities of the Association
under the policies and direction of the board of directors and
executive committee;
(d)promote the organization and development of the
Association; and
(e)serve as the corporate officer in filing any official reports
or forms required by local, state or federal agencies or
governments.
8.4
Other Officers. The board of directors may appoint other
officers and, when appointing them, will establish their duties
and authority.
9Committees
9.1
Executive Committee. The officers of the board, collectively,
constitute the executive committee.
(a)Powers of Executive Committee. The executive committee
has the powers of the board of directors between meetings
of the board of directors, and the powers specified in the
articles of incorporation, but do not possess any authority of
the board of directors prohibited to it by law or by the articles
of incorporation. The board of directors may further restrict
the power and authority of the executive committee.

(b)Duties. The executive committee will advise, counsel
with, and make recommendations to, the Chair, the
board of directors, and the President regarding finances,
management, policy, and other business coming before the
Association.
(c)Required Meetings. The executive committee will meet on
dates selected by the Chair or the President.
9.2
Other Committees. The board of directors may establish other
regular, special, or advisory committees. These may include a
nominating committee and a professional standards committee.
The resolution establishing a committee will establish its powers
and duties. At the discretion of the board of directors, persons
serving on a committee need not be directors.
9.3
Notice of Committee Meetings. Committees will meet at
times and places determined by the Chair, by the chair of the
committee, or by the President after consultation with the Chair.
Committees must provide the same notice as is required for
special meetings of the board of directors. Committees may
establish regular meeting dates.
9.4
Service on Committee. Committee members serve at the
pleasure of the board of directors.
10
Indemnification of Directors and Officers
10.1
Indemnification. The Association will hold harmless and
indemnify each of its directors, officers and committee
members (“indemnitee”) against all liability and expense
incurred by indemnitee in connection with any threatened or
actual proceeding resulting from indemnitee’s service to the
Association or to another entity at the Association’s request.
The Association will provide indemnity under the procedure set
forth in these bylaws and to the fullest extent allowable under
the Arizona Nonprofit Corporation Act.

10.2Exclusions. Except as permitted by law the Association will not
indemnify indemnitee for conduct listed in A.R.S. Section 10
3202.B.1.
10.3Procedure.
(a)Indemnitee must notify Association promptly of the threat
or commencement of any proceeding for which indemnitee
intends to seek indemnification.
(b)Association is entitled to assume indemnitee’s defense
with counsel reasonably satisfactory to indemnitee, unless
indemnitee provides Association with an opinion of counsel
reasonably concluding that there may be a conflict of interest
between indemnitee and Association in the defense of the
proceeding or legal action.
(c)If Association assumes the defense, Association is not liable
to indemnitee for legal or other expenses subsequently
incurred by indemnitee.
10.4
Expense Advances. Association will advance expenses incurred
or to be incurred by indemnitee in defending a proceeding
subject to the following requirements:
(a)the Association must receive notice of the expenses;
(b)indemnitee must furnish the Association with a written
affirmation of the indemnitee’s good faith belief that the
indemnitee has met the proper standard of conduct;
(c)indemnitee or a representative must furnish the Association
with a written undertaking to repay the advance if it is
ultimately determined (after expiration or exhaustion of any
appeal rights) that the indemnitee did not meet the standard
of conduct; and
(d)the Association must determine that the facts then known to
it would not preclude indemnification.

10.5
Settlement of Claims. The Association is not obligated to
indemnify indemnitee for any amounts incurred in settlement if
settlement is made without Association’s prior written consent.
Association will not enter into any settlement that would impose
any penalty or limitation on indemnitee without indemnitee’s
prior written consent. Neither Association nor indemnitee will
unreasonably withhold consent to any proposed settlement.
10.6
Effect of Repeal. In order that indemnitee may rely on the
indemnification promised by this bylaw, no repeal or amendment
of this bylaw may reduce the right of indemnitee to payment of
expenses or indemnification for acts of indemnitee taken before
the date of repeal or amendment.

Fiscal Year.
The Association’s fiscal year is a calendar year from January 1st through
December 31st.
12
Budget and Annual Dues.
12.1
Annual Budget. No later than 30 days before each fiscal year,
the board of directors will approve an estimated annual budget
for the upcoming fiscal year. The budget will take into account
the estimated expenses and cash requirements for the year.
12.2Dues. The estimated net expenses (after expected
sponsorships and other revenues) of operating the Association
will be assessed to the members and affiliates as dues. Dues
of Management Company members will be allocated as
provided in Section 3.6 and dues of other classes of members
and of affiliates will be established by the board of directors.
The Association will invoice members and affiliates dues in
accordance with this allocation. Members and affiliates are
responsible to pay dues to the Association in accordance with
the invoices.

12.3
Special Assessments. If the board of directors determines
during any year that the funds budgeted for that year are, or
will become, inadequate to pay the Association’s net expenses
for any reason, including but not limited to, nonpayment of
dues by other members or affiliates, the board of directors may
make a special assessment to the members and affiliates to
make up the deficit. The special assessment will be allocated
to the members in the same proportions as dues under
Section 12.2 and to the affiliates as the board of directors
determines. Members and affiliates are responsible to pay their
assessments when invoiced by the Association.
12.4Refunds. If the board of directors determines that the amount
collected or to be collected through dues is in excess of the
Association’s needs for the current year (including appropriate
reserves for the current and future years), the Board in its
discretion may refund to the members or affiliates all or a
portion of the excess, may reduce the amount of the dues, or
may abate collection of dues as it deems appropriate.
12.5
Collection of Dues and Other Charges. The Association will
collect dues, fees, charges, fines and penalties, together with
interest, late charges and all costs, including but not limited
to reasonable attorneys’ fees, incurred by the Association
in collecting or attempting to collect delinquent dues, fees,
charges, fines or penalties, whether or not suit is filed.
13Amendment.
The board of directors may amend these bylaws by a two-thirds
vote of the directors. The members have no right to vote on any
amendment to these bylaws.

Repeal of Previous Bylaws.
These bylaws replace and supersede all previous bylaws of the
Association. All previous bylaws are repealed and will have no
further effect after the date of these bylaws.

CODE OF PROFESSIONAL ETHICS AND
STANDARDS OF PRACTICE
BACKGROUND
A.
In order to promote and enhance a high level of professional
conduct among its membership and individual participants
in the CAAM Certification Program, the Arizona Association of
Community Managers Inc. (“AACM”), hereby adopts the following
Code of Professional Ethics and Standards of Practice (the
“Code”). The terms used in this Code have the meaning given in
the Glossary of Terms included at the end of this Code.
B.
The Code was adopted by the Board of Directors of AACM as
AACM’s official rules of conduct for its Members. The Code
applies to all Members, including all Management Company
Members, Individual Members and certain individuals holding or
seeking AACM credentials, each as defined in the Glossary.
C.
Members engaged in the practice of community association
management must comply with all provisions of the Code.
D. A Member is responsible to assure that all Associates comply
with the Code and do not violate the Code. Where an Associate
violates the Code, the Member is accountable for the Associate’s
violation.
E.
All provisions of the Code are subject to all governmental
regulations and are intended to be implemented in a manner
that is consistent with applicable laws and regulations. Nothing
in the Code requires or encourages any violation of applicable
laws or regulations.

CODE
1.00
General Standards.
Loyalty, Fidelity and Integrity. Members shall act with loyalty,
fidelity and integrity in all aspects of their relationships with
Clients and in all aspects of representing Clients to third parties.
Honesty. Members shall be honest and forthright in all
professional dealings. Members shall not misrepresent, either
by affirmative statement or material omission, their professional
qualifications, experience or capabilities.
Client Confidences. Members shall honor Client confidences,
and shall treat the business affairs and records of Clients as
confidential, unless disclosure is required by law or is directed or
authorized by a competent authority.
Professional Competence. Members with the authority to
directly contract for management services with Clients shall only
accept engagements where the Member has, or can reasonably
expect to secure, the resources necessary to perform the
services with professional competence.
Due Professional Care. Members shall exercise due
professional care in the performance of their duties.
• Standard of Practice 1-01: Education.
a. Each Member shall strive to keep informed of best
practices and new developments in community
association management, including but not limited to,
legal and accounting principles applicable to community
associations and their management.

b. Each Management Company Member shall require
appropriate continuing education for AACM certified
Associates. Members may satisfy this obligation by
requiring attendance at professional courses of the
CAAM Certification Program.
c. Each Member shall seek appropriate continuing
education in community association management by
attending professional courses of the CAAM Certification
Program.
d. Each Member shall encourage officers, Board
members and committee chairs of Clients (“Client
Representatives”) to participate in courses and
seminars designed to improve the ability of the Client
Representatives to serve community association
members.
• Standard of Practice 1-02: Use of CAAM Program
Designation(s).
Only an individual may be a Certified Arizona Association
Manager (CAAM) or hold any other designation or certificate
offered under the CAAM Certification Program. No individual,
company or organization (including but not limited to any
Member or representative of a Member) may represent
that any person is a Certified Arizona Association Manager
(CAAM) or holds any other designation or certificate offered
by AACM at any time before certification is granted or after
certification expires, is suspended or is terminated.
• Standard of Practice 1-03: Member Staff Support.
Each Member shall have sufficient qualified staff and
administrative personnel, or a formal arrangement with
necessary third parties, so that the Member is capable
of providing the services necessary to protect its Client’s
interests.

a. Each Member shall comply with the Code.
b. Each Member shall comply with the requirements of law
applicable to the Member or to the Client.
c. Each Member shall comply with all lawful provisions of
the Client’s governing documents.

written Client contracts to which the Member is a party.
2.00
Integrity and Objectivity
No Member shall knowingly misrepresent, or permit its
Associates or Related Parties to misrepresent, any facts in order
to benefit the Member, the Member’s company or organization,
or any Associate or Related Party.
All representations made to a Client must be made with the best
interest of the Client in mind.
3.00
Technical Standards
Each Member shall comply with all standards that are currently
in force or may from time to time be adopted and promulgated
by AACM.

• Standard of Practice 3-01: Inspection.
In accordance with each management agreement with its
Clients, each Member shall make, or cause to be made,
regular physical inspections of the common property and
assets of its Clients. Such inspections shall be “reasonable
inspections” made in the manner that a reasonably prudent
person exercising ordinary care would make with respect to
the person’s property. Members are not required to make
an “expert inspection” of a Client’s property, such as would
be made by a licensed architect, engineer, construction
specialist, or building inspector unless specifically agreed
with the Client.
• Standard of Practice 3-02: Reserve Study and
Maintenance of Reserves.
a. Each Member shall recommend that its Clients have a
reserve study prepared in a professional manner and
that the study be reviewed and updated no less than
every three years.
b. The Member’s recommendations to the Client shall be
written and appropriately Documented.
• Standard of Practice 3-03: Legal.
a. No Member shall engage, or allow its employees or
subordinates to engage, in the unauthorized practice
of law. This provision, however, does not prevent a
Member from giving Clients a business recommendation
nor does this provision prevent a Member from
appearing on behalf of a Client when legally permissible.
b. Each Member shall advise a Client if the Member
believes the Client should retain legal counsel.
Members may assist the Client in retaining qualified
counsel if the Client requests. The Member shall
Document the recommendation.

c. Each Member shall recommend that its Clients
complete an appropriate legal review, by an attorney
knowledgeable in community association law, for
all significant legal issues and shall Document the
recommendation. Ordinarily such issues would include
(but are not limited to) major contracts, changes to
association rules, enforcement procedures, changes to
other association documents, and material third party
claims.
d. Each Member and each Associate involved in the
management of the Client shall become familiar with
and develop a working knowledge of the Client’s
governing documents applicable to the area for which
the Member or Associate is responsible. For example, a
staff accountant assigned to a Client should know any
limitations on annual increases that apply to the Client
pursuant to the Client’s governing documents.
e. Each Member shall recommend that its Clients:
1. adopt and publish to the Client’s membership
written rules governing the Client and its members;
and
2. implement a consistent enforcement policy for the
rules.

• Standard of Practice 3-04: Accurate Financial Records.
Each Member shall, at all times, cause to be kept and
maintained current and accurate records of all financial
transactions, properly marked for identification, concerning
the business and assets managed for a Client. Each
Member shall cause to be prepared financial statements
in sufficient detail to allow a Client’s Board and auditor to
determine the status of the Client’s accounts and financial
operations. Each Member shall make such records available
for inspection in accordance with the Client’s governing
documents and applicable law.
• Standard of Practice 3-05: Expenditure of Funds.
A Member shall, when authorized, endeavor to expend its
Client’s funds to achieve the greatest benefit for the Client.
• Standard of Practice 3-06: Commingling and Security of
Funds; Use of Client Funds.
A Member shall not commingle the Member’s, any
Associate’s, or any Related Party’s funds with any other
Client’s funds. A Member shall deposit all funds of Clients in
an FDIC-insured financial institution or as otherwise directed
by the Client’s Board of Directors. A Member shall not
knowingly deposit funds in a manner that is not permitted by
a Client’s governing documents and applicable law.
A Member may not misuse any funds held for a Client.
• Standard of Practice 3-07: Budgetary & Finance.
a. A Member shall act as a fiduciary on behalf of the Client
in handling the Client’s financial affairs. In handling
the Client’s financial affairs, each Member shall put
the Client’s interests above the Member’s (or any
Associate’s or Related Party’s) interest.

b. Each Member shall recommend that Clients comply
with the fiscal requirements of Arizona laws and of the
Client’s governing documents.
c. Each Member shall advise Clients when the Member
believes the Client should retain the services of a
Certified Public Accountant. Members should assist
Clients in retaining qualified accounting, investment,
and tax advice unless the Client refuses to accept
such assistance. The Member shall Document this
recommendation.
d. Each Member shall recommend that Clients file, in a
timely manner, applicable quarterly and fiscal year-end
tax returns and reports and make required periodic
deposits with the IRS, and with other applicable federal,
state, and local agencies.
e. Each Member shall make financial records of a Client
available for inspection and copying by an authorized
representative of the Client upon reasonable notice
during regular business hours.
• Standard of Practice 3-08: Reserve Investment.
a. Each Member shall recommend that its Clients invest
funds in accordance with the Client’s governing
documents and recommend that the primary objectives
in investing should be safety first, liquidity second, then
yield, and then other considerations.
b. Members shall refrain from giving investment advice
to Clients unless qualified to do so by education or
professional experience and, if required, properly
licensed. If a Client requests investment advice,
a Member shall recommend that the Client retain
qualified investment professionals. The Member shall
Document this recommendation.

• Standard of Practice 3-09: Insurance.
a. Each Member shall advise Clients of the need to obtain
insurance.
b. Each Member shall recommend that Clients obtain
qualified professional advice on insurance coverage
consistent with applicable law and the requirements
established in the Client’s governing documents. The
Member shall recommend an annual review of all
insurance requirements and coverages.
c. If a Member is an independent agent, or an employee
of a management entity, rather than an employee of a
Client, the Member shall recommend that:
• the Member, if an independent agent, or
• the management entity, if the Member is an
employee of a management entity,
be named as an additional insured under the Client’s
insurance contracts.
d. Each Member shall recommend that its Clients have
a risk assessment completed by a qualified insurance
professional on an annual basis.
e. The Member shall Document its advice with respect to
insurance.
• Standard of Practice 3-10: Communications.
a. The Member shall maintain a Record of Membership for
each Client, including the names and addresses of the
Client’s members as provided by the Client’s members.
b. Each Member shall recommend that its Clients have
regular communications with the Client’s members.

c. Each Member shall help Clients disseminate
information as required by the Client’s governing
documents and Arizona law.
• Standard of Practice 3-11: Transfer of Property to Client.
a. Upon written receipt of termination of any management
or accounting contract, and upon request, the Member
shall produce to the person designated by the Client:
• Client’s homeowner roster to include current
contact and mailing information
• Client’s tax identification number and startup funds
• Client’s governing documents
• Client’s assessment amount and frequency, grace
period, amounts of late fees and interest
• Client’s resale and disclosure information
• Member’s rental tracking registration relating to the
Client, if applicable
within ten (10) business days, regardless of any dispute
over termination or fees.
b. Within thirty (30) days of the termination date, unless
otherwise provided in the applicable contract, all
remaining Client Records, funds, and property shall be
provided to the person designated by the Client.

c. The Member shall produce Client Records in the form in
which they have been kept by the Member or in a form
which the Member reasonably believes will be usable
by the Client. The Member shall produce Client Records
in a manner which is convenient, not burdensome, and
not unreasonably expensive to the Member or Client.
The Member need not produce Client Records which are
not reasonably available because of undue burden or
expense, unless the Client agrees to reimburse for the
expense (including for the time required to produce the
Client Records). The Member need not produce Client
Records in more than one form unless the Client agrees
to pay for the expense of producing the Client Records
in more than one form. The Member need not produce
records which have been lost, damaged, altered or
overwritten as the result of routine good faith operation
of an electronic information system.The Member need
not produce records of telephone conversations or
emails, unless they previously have been printed or
saved and included in a board packet or vendor/project
file.
d. The Member’s obligation to honor all Client confidences
and to treat the business affairs and records of the
Client as confidential continues after the conclusion of
the engagement for a Client.
4.00
Professional Courtesy.
Each Member shall exhibit professional courtesy to all
community association management professionals and Clients.
Each Member shall be fair in making representations and
shall refrain from making defamatory comments about others
involved in the community association management profession
and about Clients.
Each Member shall assist other Members in compliance with
this Code.

No Member shall make false, fraudulent, misleading or
deceptive statements in the marketing of community
management services or the solicitation of business.
All Members are encouraged to promote fair and open
competition and shall avoid unlawful restraints of trade.
5.00 Conflicts of Interest; Disclosure.
Members shall disclose real or potential conflicts of interest
with a Client or employer. Members should disclose conflicts
whenever a reasonable third party examining a situation would
conclude that the situation creates the appearance that there
may be an actual or potential conflict.
If there is a real or potential conflict of interest, the Member shall
promptly disclose all pertinent information regarding the conflict
to the Client and allow the Client to make an informed decision
as to whether to continue, change, or terminate the relationship.
The decision about how to deal with a conflict of interest shall
rest with the Client and not with the Member. The Member shall
Document the disclosure to the Client.
A Member may recommend or retain a Vendor to provide
services to a Client if the Vendor:
(a) is a Related Party or Associate of the Member,
(b) has agreed to pay the Member a fee, a percentage of
the payments to the Vendor, or any other compensation or
remuneration, or
(c) has any other financial or other than independent
relationship to the Member

only if the Member discloses the Vendor relationship, and any
payment the Vendor has agreed to make to the Member, to
the Client at or before the time the recommendation is made
or the Vendor is retained. The Client’s board of directors must
consent to do business with the Vendor after the disclosure. The
Member shall Document the disclosure to the Client.
• Standard of Practice 5-01: Disclosure of Potential
Conflicts of Interest and Remuneration.
A Member may provide or contract for goods or services to
Clients, other than community association management
services, only if the Member makes a full written disclosure
no less than annually, of all aspects and relationships
that may influence the Client’s use of these services or
the Member’s recommendation of these services. The
disclosure shall specifically include any compensation or
remuneration the Member will receive (directly or indirectly)
as a result of contracting for or providing any services to a
Client. The Member must make the disclosure before the
award of any contract to provide such goods or services. The
Member shall Document the disclosure to the Client.
a. Where the management contract provides for specific
charges or a specific mark-up for goods or services, the
requirement for disclosure is met.
b. Where a contract for goods or services is to be
competitively bid and the Member or Related Party of
the Member is a bidder, the bid may only be based on
precise written specifications provided to each bidder.
c. Where a Member is to receive any remuneration in
connection with the award or delivery of services under
a contract, the Member shall disclose any and all
remuneration paid or to be paid to the Member as a
result of the contractual relationship with a Client and
resulting directly or indirectly from any services provided
to said Client.

6.00 Gifts, Gratuities and Events.
AACM discourages the receipt or distribution by Members of
gifts, entertainment, or other favors from existing or prospective
Clients, vendors or suppliers because such receipt or distribution
can create the appearance of undue influence on or by the
Member.
No Member may accept any unearned fees or other forms of
remuneration that may actually be, or appear to be, a conflict of
interest.
• Standard of Practice 6-01: Fees, Commissions, Gifts and
Gratuities.
No Member may accept undisclosed fees, deferred
compensation, commissions or gratuities, in cash or in
kind, for recommending any third party to a Client or for
purchasing goods or services on behalf of a Client.
a. The acceptance of any gratuity in cash is prohibited.
b. The acceptance by any Member (or any Associate or
Related Party) of any gratuity by gift certificate, or in
kind, including but not limited to meals, entertainment,
housing, transportation, professional services, or in
any other form, having a cumulative value in excess of
three hundred dollars ($300.00) from any Vendor in
any twelve (12)-month period, shall be fully disclosed to
all Clients who have procured services from the Vendor
and to all Clients who accept bids or proposals from the
Vendor.
c. Under no circumstances shall a Member, Associate or
Related Party solicit any gratuity, in cash or in kind, on
their own behalf or on behalf of another, regardless of
value or type, from any person or business.

d. A Member may not request a Vendor to provide, or
accept from a Vendor, any support for a Member’s
corporate event.
e. Notwithstanding the forgoing limitations, a Member
may permit a Vendor to supply food for a “lunch and
learn” or similar program at which the Vendor makes an
educational presentation to the Member’s employees
or to Clients. The food provided by the Vendor must
be reasonable for an educational presentation and the
Vendor may provide food at no more than two events
per year.
7.00
Limitations of Practice.
A Member who, by means of contract with a Client, performs
community association management services and who is also
engaged in the practice of another profession, may perform
other professional services only if there is full disclosure to all
parties to the contract before the services are provided.
8.00
Antitrust Compliance Policy.
AACM is subject to the antitrust laws. Unlike most private
businesses, however, the very nature of a professional
organization like AACM fulfills the first requirement of an
antitrust violation under Section 1 of the Sherman Act, that of a
“combination” or “agreement.”
AACM, therefore, recognizes the need to be constantly vigilant to
prevent fulfillment of the second requirement relating to actions
that could result in an illegal “restraint of trade or commerce.”
Any failure on the part of AACM or its Members to comply
strictly with the antitrust laws could result in severe penalties.
Treble damages for successful litigants, fines and possible
jail terms for individuals involved in any illegal activities, and
even disestablishment of AACM itself are all potentially harsh
remedies. These penalties manifest the law’s strong public policy
in favor of free and unfettered competition as the rule of trade.

AACM subscribes to the basic philosophy that free trade and
the interaction of competitive forces yield the best allocation
of economic resources, the lowest cost to Clients, the highest
quality and the greatest progress. Members are required to
comply with this philosophy in connection with all activities
relating to AACM. AACM’s policy on antitrust reaffirms its
commitment to conduct AACM’s affairs in a manner conducive
to the attainment of AACM’s professional objectives while fully
complying with the antitrust laws.
• Standard of Practice 8-01: Antitrust Compliance.
Inasmuch as it is the policy of AACM to comply fully and
in all respects with the antitrust laws, the following basic
principles are endorsed as a guide for all Members:
a. AACM, and its Members, shall make every effort to
comply with both the letter and spirit of the antitrust
laws.
b. AACM shall not indulge in, or sanction, any discussion of
current or future fees or prices for services to Clients of
Members.
c. AACM meetings and publications will never be a forum
for the exchange of information that could lead to the
establishment of cooperative arrangements or activities
in violation of the antitrust laws.
d. AACM shall never enter into or sanction any agreement
that tends to restrict competition between Members or
in the practice of community association management.
e. Professional standards established by AACM shall be
formulated so that there is no anti-competitive effect
on the Members, on Clients, or on the practice of
community association management.

9.00Enforcement.
Each Member, as a condition of AACM Membership and
participation in the CAAM Certification Program both during and
after certification:
a. agrees to be bound by and to abide by this Code including
duly adopted amendments;
b. is obligated to participate in compliance and disciplinary
proceedings, and is bound by discipline as determined by
the Professional Standards Committee or the Ethics Appeals
Committee; and
c. consents to the publication of any report of disciplinary
action taken, to the extent that publication is ordered by the
Professional Standards Committee or the Ethics Appeals
Committee, and waives any claim it may have arising out of
the disciplinary action or the publication. Publication may
include, but is not limited to, dissemination to members and
affiliates of AACM through electronic or paper newsletters
and reports and placement on the AACM website.
A Member subject to a disciplinary proceeding may be subject
to censure, suspension or termination of membership or
certification status.

If a Member resigns or fails to renew membership or certification
status while a disciplinary proceeding is pending, the Member
shall remain subject to the pending disciplinary proceeding and
to disciplinary action by the Professional Standards Committee
or Ethics Appeals Committee. The Professional Standards
Committee and Ethics Appeals Committee shall have the right
to continue the proceeding whether the Member chooses to
participate in the proceeding or not. Disciplinary action under
such circumstances may include the publication of notice (and
placement of notice on AACM’s web site) that the Member
resigned or elected not to renew membership or certification
while a disciplinary proceeding was pending. Member consents
to the continuation of such proceedings, to the disciplinary
action resulting from the proceeding, and to any publication of
the disciplinary action.
This Code supersedes and replaces all prior versions of
the Code. This Code may be amended from time to time
by of the Board of Directors of AACM or by the Professional
Standards Committee provided that the Professional Standards
Committee’s amendments become permanent only upon
ratification by the Board of Directors.

MEMBERSHIP STANDARDS
In order to promote and enhance a high level of professional conduct
among its membership, the Arizona Association of Community Managers,
Inc. (“AACM”) has adopted the following Membership Standards. In order
to become, and remain, a Member in good standing, effective January
18, 2006, amended June 18, 2008, amended May 19, 2010, amended
February 15, 2012, amended February 15, 2013 and further amended
April 16, 2015, each Member must agree to satisfy the following
requirements and standards (and any amendments to these standards
adopted by the Board of AACM).
STANDARDS
1.00
General Standards.
Code of Professional Ethics and Standards of Practice.
Members must comply with AACM’s Code of Professional Ethics
and Standards of Practice as they are amended from time to
time.
Compliance with Law. Members must comply with all applicable
laws and regulations applicable to their business and activities.
2.00
Payment of Dues.
Members must timely and accurately certify their category of
membership and pay the dues applicable to their category of
membership at the times required by the Board of Directors.

Membership Standards
3.00
Member Orientation Meeting.
Effective January 1, 2012, new Members must attend an
orientation meeting with the AACM Professional Standards
Committee within six months of joining AACM. This meeting
will introduce new Members to the responsibilities and
commitments required of an AACM Member, including legislative
efforts, CAAM Program Participation, and attendance at AACM
functions.
4.00
CAAM & CAASP Certifications.
Each Member that is a management company member shall
comply with the following requirements relating to the number
of Certified Arizona Association Managers (CAAM) employed to
manage client businesses:
• Within one year from July 1, 2008, or within one year
after first becoming a Member, whichever comes last,
at least 10% of the Member’s community association
managers, Designated Member and Designated Committee
Representative must earn and maintain CAAM certification;
• Within two years from July 1, 2008, or within two years
after first becoming a Member, whichever comes last,
at least 50% of the Member’s community association
managers, Designated Member and Designated Committee
Representative must earn and maintain CAAM certification;
• Within three years from July 1, 2008 or within three
years after first becoming a Member, whichever comes
last, 100% of the Member’s community association
managers, Designated Member and Designated Committee
Representative must earn and maintain CAAM certification;

• Persons employed as community association managers who
are new hires or promotions, or newly named as Designated
Member or Designated Representative must earn CAAM
certification within one year after the hiring, promotion
or nomination as Designated Member or Designated
Representative; and
• All persons enrolled in the CAAM certification program must
maintain their enrollment and secure CAAM certification
within a reasonable time.
• AACM Members must sign an affidavit with the annual
Membership application stating that they have the required
percentage of CAAMs to meet Membership Standards.
• Created in 2006, the Certified Arizona Association Support
Professional (CAASP) is a designation available to those
community management industry professionals who
are employed by a Management Company Member and
are employed in a support role such as administrative
assistants, accountants, compliance manager, etc. A
person who has earned the CAASP designation may apply
to AACM to convert their designation to a CAAM Certification
after directly performing the duties of a community manager
for at least six (6) months. There is no requirement for
CAASP for management company members.
5.00
Participation in AACM Programs.
Each Member shall make reasonable efforts to:
• Participate in AACM events, including trade shows and other
meetings;
• Support AACM and its objectives in a reasonable manner;

• Participate in and recognize the value of AACM affiliate
partner programs, so that affiliate partners receive
reasonable value for their support of AACM and its
programs; and
• Respond promptly to AACM requests for a legislative pledge.
Members are not required to pledge a particular (or any)
amount or support specific initiatives, but are required to
respond to requests for pledges and indicate their positions
when AACM requests support.
6.00
Criminal and Civil Proceedings and Disciplinary Actions.
• A Member, or applicant to become a Member, must disclose
to AACM in its application for Membership and in an annual
disclosure if (a) the Member or applicant, (b) any person who
owns more than 20% of the equity of, or otherwise controls,
the Member or applicant, or (c) any person who is a director,
executive officer, or supervising manager of the Member or
applicant is or was involved in any of the following events or
proceedings:
(1) A conviction, or plea of guilty or no contest, in a criminal
proceeding involving a felony if the conviction or
plea occurred within 10 years before the date of the
disclosure to AACM;
(2) A final decision (no longer subject to appeal) by a
court in a civil proceeding finding that the person was
responsible for misrepresentation, dishonesty, fraud,
violations of fiduciary duty, misappropriation of funds
or property, or other serious misconduct if the decision
became final within 5 years before the date of the
disclosure to AACM;

(3) A refusal to provide bonding, fidelity or crime insurance,
or cancelation or suspension of any such coverage
(other than for non-payment of premiums) if the
refusal occurred within 5 years before the date of the
disclosure to AACM;
(4) Suspension or revocation of any such person’s
professional license if the suspension or revocation
occurred within 5 years before the date of the disclosure
to AACM; or
(5) Disciplinary action by any licensing or regulatory agency
or any industry association that results in suspension
or revocation of professional or membership privileges
if the disciplinary action occurred within 5 years before
the date of the disclosure to AACM.
• AACM may impose any sanctions it deems necessary on
a Member or applicant who fails to disclose information
about any of the foregoing events in its application or annual
disclosure. Such sanctions may include (but are not limited
to) suspension or revocation of Membership.
• Each Member or applicant, by submitting the disclosure or
application, consents to AACM’s review of all circumstances
concerning the event or proceeding, including any
investigation or background review AACM deems necessary.
• After completion of any review AACM deems necessary,
AACM may institute proceedings before the Professional
Standards Committee with respect to any sanctions it
deems necessary as a result of the events or proceedings
disclosed, which may include restitution, probation or other
supervision, suspension or revocation of Membership,
or other sanctions deemed appropriate under the
circumstances. The decision of the Professional Standards
Committee is appealable only to the Board of Directors. The
decision of the Board of Directors is final. Each Member or
applicant, by making the application or disclosure, waives
any appeal beyond the Board of Directors.

7.00
Compliance and Sanctions.
Each Member, as a condition of AACM membership:
• agrees to be bound by and to abide by these Membership
Standards including duly adopted amendments;
• is obligated to respond to AACM on initial public inquiries;
• is obligated to participate in compliance and disciplinary
proceedings, and to be bound by discipline determined by
the Professional Standards Committee or in any permitted
appeal of PSC determinations to the Board of Directors.
If a Member is not in compliance with the CAAM certification
requirements under Section 4.00, the Member has a six-month grace
period to come into compliance.
If a Member does not come into and remain in compliance with the
requirements of these standards, then after any applicable grace period
a Member will be subject to suspension of Membership privileges
(including voting rights, rights to be listed on the AACM website,
and rights to participation in the CAAM Certification Program) and to
termination under procedures established by the Professional Standards
Committee or Board of Directors.
