UBM announces new Chief Financial Officer
UBM plc is pleased to announce that Marina Wyatt will join UBM as Chief Financial Officer and
an Executive Director on 2 September 2015. She joins from TomTom NV, a location and
navigation solutions provider, where for ten years she has been Chief Financial Officer. Robert
Gray will continue as Chief Financial Officer until this date.
Since joining UBM in 2009, Bob Gray has played a key role in helping to steer the Company
through its transformation into a focused events and marketing services company. However Bob
has expressed a wish to relocate back to the US. He will remain with the Group as an Executive
Director until the end of this year, initially to ensure an orderly transition to the new CFO and then
to support the execution of the “Events First” strategy, which he has taken an integral role in
helping to develop.

Ms Wyatt is a non-executive Director of Shanks Group PLC in the UK and a member of the
Supervisory Board of Lucas Bols NV in The Netherlands, both publicly listed companies.
Neither Ms Wyatt nor any connected person holds any interest in UBM securities.
There is no other information required to be disclosed pursuant to LR9.6.13R in respect of Ms
Wyatt.

Biographical – Marina, as Chief Financial Officer, has taken a pivotal role in recent years as
TomTom has responded to a rapidly changing competitive landscape. Marina is a graduate of the
University of Cambridge and a Chartered Accountant. She started her career at Arthur Andersen
in London and then in the US and has since held senior finance roles in Psion PLC where she
was Group Financial Controller and then Group Finance Director and in Colt Telecom PLC where
she was Chief Financial Officer. She became Chief Financial Officer of TomTom, an international
company with operations in 40 countries, in 2005. At TomTom, Marina oversaw a number of
successful acquisitions and financings, and built a highly regarded finance team, together with
offshored global shared services.
Remuneration – On appointment, Ms Wyatt will receive a basic annual salary of £450,000 with
pension and benefits in line with the Company's approved remuneration policy. In addition, and
also consistent with the remuneration policy, she will participate in UBM's annual bonus and longterm incentive plans at a maximum performance opportunity of 120% and 150% of base salary
respectively. The value of Ms Wyatt's incentive awards, which will be forfeited on leaving her
current employer, will be compensated. Full details of these arrangements will be included in the
Directors' Remuneration Report (DRR) for the year ending 31 December 2015.

in the 2014 DRR.
