HOW I DID IT LEGAL ISSUES How I Got Started BY JAMIE LIMBER As a business owner, I meet new people all the time—bankers, attorneys, potential vendors, customers and consumers—and the same questions are repeatedly asked. ‘How did you do it?’ ‘How did you start your business?’ ‘Who did you go to for help?’ I wish there was a phrase or motto that would answer all these questions in one comprehensive sentence. I think using real-life examples is the best approach in explaining the undertaking of starting your own business. I’ll share my three critical must do’s. A good business plan Go to any major software store and ask about the different business-plan software programs on the market. I used Biz Plan Software and found it was an easy interview process that walked me through subject by subject, allowing me to think about all the different categories I needed to address. The best lesson in writing a plan is its ability to expose flaws or weaknesses in your thought process. It also allows you to tune up your ideas before garnering thoughts and feedback from other people. Capital, money, financing I think it’s put best by the old adage “CASH IS KING.” The traditional capital-raising entities known as VC’s, angel investors and equity partners are all available online. But nothing is free, and I found it much easier to approach friends and family. You will be surprised how many people are willing to invest in a good plan, concept or idea. Even if they turn you down, you have just strengthened the relationship and built your network because they’re glad you thought of them. Now they know what you’re made of. People The best companies are not dependent on any one person. As Wal-Mart founder Sam Walton said and many other leaders have repeated, “It’s all about getting the right people on the bus and removing the wrong ones.” I found the best way to find high-caliber people is through your past experiences. People you have met, a sales rep that impressed you, a clerk that went above and beyond. Talented people are all around you. Out of all the steps in starting a business this is bar none the most difficult. So choose wisely, and good luck. Jamie A. Getting good legal and financial advice to do things right from the start is as important as a good business plan. Here are a few reasons why: Sarbanes-Oxley: Assuming your new business is not a public company, it will not come under the provisions of Sarbanes-Oxley (SOX). But does that mean you should ignore SOX? Think again. If you plan at some point to exit or recapture equity in your business venture, you need to be concerned about SOX. The provisions of SOX can dramatically impact the management and operations of a business that wants to capture value in the public securities market or by a sale of stock or assets to a public company. If this is in your future plans, adopt internal control procedures now. Equity: Every business owner wants to reward valuable employees. The tendency to issue equity to these individuals is understandable, but you have to consider what happens when these individuals leave the business, or are no longer valuable to the business or become disgruntled for some reason. Good legal counsel can assist you in rewarding employees and still protect the interests of the ongoing business. Protecting Intangibles: Most successful business start-ups have a substantial amount of their value wrapped up in soft assets, such as their people and intellectual capital. If you do not think about protecting these assets early on, it is often too late. You will need to demonstrate to any future investors or purchasers that current and former employees have committed—at least for a period of time—to not compete with your business using the information they learned while working for you. The enforceability of these agreements is often litigated, so having them prepared by an expert is money well spent. Your intellectual property assets should be protected by nondisclosure agreements with employees and consultants. Further protecting your assets with patents, copyrights, trademarks or service marks will impact your ultimate right to claim their value. Good advisors are never free—at least if they are worth anything. The trick for any successful startup is to balance startup costs by including something to avoid common unpleasant surprises that will cost you and your business a lot more later. Many businesses fail within the first year because the owner couldn’t get a handle on work vs. personal time. It’s important for family members to know what to expect and for you to be able to trust that they will support you during this time. There also may be financial difficulties until the business becomes profitable, which could take months or years. You may have to adjust to a lower standard of living or put family assets at risk in the short term. Get help to start Develop a support system of family and friends. Next, call and ask for an appointment with a local SCORE® chapter, Maricopa Community College Small Business Development Center, or SBA Women’s Business Center counselor. There is no cost and they can help guide you in the process. (Call the SBA for referral information.) ✍ Get knowledge Start by visiting the SBA Web site to start building a knowledge base. You’ll do a lot of research working through a business plan, but that’s just a start. You need to become an expert on your industry, products, franchises and services if you’re not already. Joining related industry or professional associations before you start is a great idea. ✍ Get professional help early This is very important. You need to get the legal and tax issues right the first time and know your responsibilities before you start the business. It’s much more difficult (and sometimes expensive) to unsnarl a mess afterward. Does your business need to be registered? If you’re planning a home-based business, local zoning ordinances will need to be reviewed. Will you need workers compensation insurance or deal with payroll taxes? How will the form of business you choose affect your income tax situation? For help on the operations side, the SBA’s resource partners or your local community college offers training classes. ✍ Write a comprehensive business plan This precisely defines a business, identifies its goals, and serves as a resume. This is very important if you plan to seek outside help with financing. A good start-up plan will help allocate resources properly, handle unforeseen complications, and help make good initial business deci- sions because it provides specific and organized information about a company and how it will repay borrowed money. (A good business plan is a crucial part of any SBA loan application.) ✍ Get the funding organized Most people start with personal resources, like savings or borrowing from family members, than borrowing money from a bank. However, if necessary, be ready to approach potential investors or lenders. Don’t expect to start a business then walk into a bank and get money. Most lenders steer away from startups and don’t like businesses without proven track records. Figure out your financial fall-back plan and know your break-even point. (The SBA can offer suggestions on which lender to approach.) ✍ Stop and take a reality check SBA research shows that 80% of new businesses fail each year. Many entrepreneurs lose their life savings, years of hard work, and the dream of being their own boss. There are two very simple steps that anyone can take to dramatically reduce the risk of start-up failure. One, know the risk and recognize that you may lose your investment. Two, volunteer by interning or working for someone else in the field you’d like to enter. ✍ Accept the possibility of failure Failure and entrepreneurship go hand-in-hand. If you’re not fully aware that your business could fail, or if you’re terrified of failure, then go work for someone else. If you’re not willing to take risks, you shouldn’t be in business for yourself. Risk means stretching, taking chances, trying new tactics, making mistakes and learning how to work through them. ✍ Embrace technology With the low cost of personal computers today and the very positive productivity impact they can have on your business, it is essential to have a personal computer. The access and use of the Internet is also a must for a growing business.
