TERMS & CONDITIONS OF SALE
l. ANNOUNCEMENTS: Any changes in information of any kind will be
announced from the auction block and such announcements shall be final. The
information in the pre sale Advertisements and the sale catalog is in no way
warranted by Teague Bucking Bulls, LLC or any of its associates or affiliates.
2. TERMS: Terms of the sale are cash, bankable check or cashiers check due
upon sale. Checks will only be accepted if they are accompanied by a “letter
of credit” from the said buyer’s financial institution.
3. PURCHASER’S RISK: Each animal becomes the risk of the buyers as
soon as animals are sold. Teague Bucking Bulls, LLC, it’s associates, and/or
it’s affiliates will not be responsible for any loses that may incur from injury,
sickness or death to animal.
4. REGISTRATION CERTIFICATES & BUYER’S PREMIUM :
Certificates of Registration will be included for each animal purchased. For
buyers that are not current breeders with ABBI, your annual dues must be
paid to ABBI prior to receiving your transferred certificates. A $50.00 (per
lot or per animal if more than one animal in a lot) buyer’s premium fee will
be added to the price of the lot sold to cover administrative cost related with
handling the sale of the lot and transfer of all paper work.
5. BREEDING GUARANTEES: Teague Bucking Bulls LLC, it’s associates,
and /or affiliates will not be responsible for any loses incurred due to injury
sickness or death of animal.
*Open Females: Are those females which have not been examined safe in
calf by a licensed veterinarian or stated to be exposed or pasture bred.

*Exposed and or Pasture Bred Females: have been exposed but are not
guaranteed to be safe in calf.
*AI’d Females: have been AI’d but are not guaranteed to be safe in calf.
*Safe in Calf: Females that have been examined by a licensed veterinarian
and found to be bred will be sold as safe in calf. The buyer will have 14
days from the day of the sale to have the cattle re-examined for pregnancy.
In the instance that the said female is not safe in calf the buyer may return
the said female to Teague Ranch for a breeding to the same sire as listed
in the catalog at the expense of the seller, or return the animal to the
seller for a full refund. This instance is providing that the animal is in the
conditions and compliance with the health requirements of the seller’s
state. The acceptance of the full purchase price shall in any case deem full
satisfaction and final settlement of the matter. The buyers failure to have
the animal re-examined by a veterinarian, notify the seller and or Teague
Bucking Bulls LLC prior to the stated 14 day, shall relieve and absolve
the seller and Teague Bucking Bulls LLC and all of it’s associates or
affiliates of any and all duty, obligation or liability to the buyer regarding
the purchase of the said female. It shall be the obligation and responsibility
of the buyer to bear any and all expense incurred for the transportation and
examination of the said female in this regard. All disputes are to be settled
between the buyer and the seller.
*Calf Sires: Calves are believed to be by the sire stated in the catalog.
However, they are not guaranteed until after DNA confirmation by the
ABBI.
6. BULL SALES AGREEMENT: All buyers must agree to sign a “Bull
Buyers Contract.” A copy will be available for all potential buyers.
7. HEALTH: All animals will have appropriate health papers for travel to the
Sale site and will, to the best of the seller’s knowledge, be eligible of interstate
shipment. Such tests and health papers will have been made by a licensed
Veterinarian. Buyers must be aware of their individual states requirements for
the shipment of cattle into their respective states.

elcome to the 2009 Teague Bucking Bulls private treaty
sale. Over the past several years I have assembled an
incredible herd of cattle. My success can be measured
by breeding a World Champion Bucking Bull, Bones, and many top
flight PBR bulls as, Chance, Red Bull, Booker T, and many more. I
feel that the secret to our success is not so much a secret. By starting
off with the best genetics available to me, I have bred only the best
to the best. With genetics from Dillon and H.D. Page, Donnie Kish,
Alex Naccarato, Jerry Nelson, Aaron Semas, Rafter 7R, Joe Berger,
Monte Samford, and others, I have put together a herd that I am very
proud of. We are very excited about the cattle that we have put into
this offering.
Charles Dickens is famous for saying “It was the best of times, it was
the worst of times.” I think that we can take advantage of the current
economic conditions by having a “Private Treaty” sale that will enable
the buyer to save money on their purchases by buying direct and allow
us sell cattle for less by not having to produce an expensive auction
sale. I’m very excited because I think that this is “Best of Times” to
put the type of genetics in your herd that you have wanted and the
“Best of Times” for us to have this private treaty sale.

commissions, no ring men, no television or internet costs, which in
turn gives us more flexibility to offer you these exceptional cattle at a

CONTRACT FOR SALE OF CATTLE
RECITALS
Whereas Teague Bucking Bulls, LLC owns bulls that it desires to sell at a
discounted price to Buyer in exchange for a 5 year option to repurchase any
bulls sold to Buyer at a price not to exceed $35,000.00, provided that Buyer
may offer Teague Bucking Bulls, LLC a fifty percent partnership for $15,000
in lieu of the option to repurchase; and Whereas Buyer desires to acquire bulls
from Teague Bucking Bulls, LLC at a discounted price with the understanding
that Teague Bucking Bulls, LLC has a 5 year option to repurchase any bulls
at a price not to exceed $35,000.00, subject to the partnership offer; Teague
Bucking Bulls, LLC and Buyer wish to memorialize their agreement in writing
as follows:
ARTICLE 1: GENERAL PROVISIONS
Nature of Contract and Names of Parties
1.01. This is a contract for sale of cattle between Teague Bucking Bulls, LLC,
whose principal place of business is located at Winston Salem, North Carolina,
referred to as Seller, and _______________ [name of buyer], whose principal
place of business is located at _______________ [address], referred to as Buyer.
Seller and Buyer collectively are referred to as the “parties.”
Governing Law
1.02. The parties acknowledge that the transaction that is the subject matter
of this Contract bears a reasonable relation to the State of North Carolina and
agree that the law of North Carolina will govern their substantive and procedural
rights and duties.
Venue in Forsyth County, North Carolina
1.03. The Buyer and Seller agree that any litigation concerning this Contract,
the cattle the subject of this Contract, or the interpretation of this Contract must
be filed in a court of competent jurisdiction in Forsyth County, North Carolina.
In the event that Buyer and/or Seller files a lawsuit, action, or legal proceeding
(collectively referred to as “lawsuit”) concerning this Contract in a county other
than Forsyth County, North Carolina, the party that filed the lawsuit expressly
agrees to transfer the lawsuit to Forsyth County, North Carolina and hereby

waives any challenge that Forsyth County is not a proper county of venue and
waives any right to claim that another county is a more convenient venue.

1.04. The terms of this contract are intended by the parties as a final, complete
and total expression of their Contract.
No Oral Modifications of Contract
1.05. The terms of this contract can only be modified if put into writing
and signed by both parties. Any alleged oral or verbal modifications to this
contract are invalid and unenforceable.

ARTICLE 3: DISCLAIMER OF WARRANTIES
No Express Warranties
3.01. SELLER MAKES NO EXPRESS WARRANTY[IES] CONCERNING
THE CATTLE THE SUBJECT OF THIS CONTRACT, INCLUDING (1) NO
AFFIRMATION OF FACT OR PROMISE RELATING TO THE CATTLE
BEING SOLD THAT HAS BECOME ANY BASIS OF THIS BARGAIN;
AND (2) NO AFFIRMATION OF FACT OR PROMISE RELATING TO
THE CATTLE BEING SOLD THAT HAS CREATED OR AMOUNTED TO
AN EXPRESS WARRANTY THAT THE CATTLE WOULD CONFORM TO
ANY SUCH AFFIRMATION OR PROMISE.
Implied Warranties
3.02. THE CATTLE DESCRIBED IN THIS CONTRACT ARE SOLD
ON AN “AS IS” OR “AS THEY STAND” BASIS, AND SELLER

DISCLAIMS ANY IMPLIED WARRANTIES WITH RESPECT TO THE
CATTLE, INCLUDING ANY IMPLIED WARRANTY OF FITNESS FOR A
PARTICULAR PURPOSE OR THE EQUIVALENT THEREOF.
ARTICLE 4: PRICE

4.01. The price for the cattle that are the subject matter of this contract is listed

ARTICLE 5: INSPECTION
Right to Inspection
5.01. Buyer has the had the right to inspect all cattle that are the subject of this
Contract. By accepting possession of the cattle, Buyer has exercised his/her
right to inspect the cattle and is satisfied with the physical condition and health
of the cattle.
ARTICLE 6: OWNERSHIP
Ownership is subject to Option to Repurchase
6.01. Upon execution of this contract and receipt of payment for the cattle,
Buyer will obtain 100% ownership in the cattle the subject of this contract
subject to SELLER’S OPTION TO REPURCHASE THE CATTLE IN
ACCORDANCE WITH ARTICLE 7 OF THIS CONTRACT.
INDEMNITY AND HOLD HARMLESS AGREEMENT
6.02. IMMEDIATELY UPON OBTAINING OWNERSHIP OR POSSESSION

OF THE CATTLE THE SUBJECT OF THIS CONTRACT, WHICHEVER
COMES FIRST, BUYER ASSUMES ALL LIABILITY FOR ANY LOSS,
DAMAGE, PROPERTY DAMAGE, PERSONAL INJURY, OR DEATH TO
THE CATTLE OR CAUSED BY THE CATTLE, WHETHER CAUSED BY
THE NEGLIGENCE OF SELLER OR BUYER, AND BUYER AGREES
TO DEFEND AND INDEMNIFY SELLER FOR ANY AND ALL COSTS,
DAMAGES, CLAIMS, LAWSUITS, ACTIONS, LEGAL PROCEEDINGS,
VET BILLS, OR ATTORNEYS FEES RESULTING OR ARISING
THEREFROM.
ARTICLE 7: OPTION TO REPURCHASE CATTLE
Option to Repurchase Cattle
7.01. For a period of five (5) years from the effective date of this Contract,
Seller expressly retains the option to repurchase 100% interest in any
animal(s) the subject of this Contract from Buyer at a mutually agreed upon
price not to exceed $35,000.00 (Thirty Five Thousand Dollars and No Cents).
Buyer Must Give Seller Notice Prior to Selling Any Cattle
7.02. Buyer shall not sell, trade, barter, give away, or in any way exchange
ownership of any animal the subject of this Contract without first notifying
Seller in writing thirty (30) days prior to doing so and allowing Seller to
exercise its option under this Contract to repurchase the animal(s). In the
event that Buyer fails to provide written notice to Seller as required in this
paragraph and either sells, trades, barters, gives away, or exchanges ownership
of an animal the subject of this Contract, Buyer must tender any and all
proceeds gained therefrom to Seller and pay Seller the fair market value of the
animal at the time of the sale.
Seller Has 30 Days To Exercise Option
7.03. At any time during the five (5) year option period or within 30 days
after receiving Buyer’s written notice as set forth in paragraph 7.02, Seller
has the absolute right to exercise its option to repurchase 100% interest in
any animal(s) the subject of this Contract for a mutually agreed upon price
not to exceed $35,000.00 (Thirty Five Thousand Dollars and No Cents).

Buyer understands that in the event that Seller exercises its option, Buyer is
contractually obligated to sell 100% interest in the animal back to Seller and
Buyer will receive a maximum of $35,000.00 (Thirty Five Thousand Dollars and
No Cents) for any such animal.
For example, if Seller desires to repurchase Bull A, Seller and Buyer can
negotiate on a price for Bull A from $1 to $35,000. If Buyer and Seller agree
upon a price of $20,000, Seller is entitled to acquire Bull A for $20,000. If
Buyer and Seller cannot agree upon a reasonable price for Bull A, Seller
nonetheless has the unconditional option to acquire Bull A for $35,000 and
Buyer must sell 100% interest in Bull A to Seller for $35,000.
Deadlines if Seller Exercises Option
7.04. In the event that Seller exercises Seller’s option to repurchase an animal,
Buyer has fourteen (14) days from the date Seller pays for the animal to transfer
possession of the animal to Seller. In the event that Buyer does not transfer
possession of any animal that Seller has exercised its option to repurchase
pursuant to this Contract, Buyer agrees to pay Seller a payment of $200 per day
for every day over the 14 day period.
Declining Option
7.05. In the event that Buyer provides proper written notice as set forth in
paragraph 7.02 this Contract and Seller advises Buyer that Seller does not intend
to exercise Seller’s option to repurchase an animal, Buyer is free to sell, trade,
barter or give away the animal as Buyer deems fit.
Seller is Not Obligated to Repurchase Any Animal
7.06. Seller is not obligated to repurchase from Buyer any animal the subject
of this Contract, but expressly reserves the option to repurchase any and all
animals. Buyer warrants and understands that Seller has made no guarantees,
promises, or representations to Buyer that Seller will repurchase any animal(s)
the subject of this Contract from Buyer.
Option to Collect any Animal
7.07 Notwithstanding any over provision in this Contract, Seller retains the

option to collect 200 units of semen from any bull that is the subject of this
Contract for in-herd use only at no charge to Seller. Seller agrees to pay the
collection costs, including reasonable transportation to and from the collection
facility.
8. PARTNERSHIP
In the event that Buyer elects the partnership option and Seller exercises
the partnership option, Teague Bucking Bulls, LLC shall have one hundred
percent possession of subject bull and shall be responsible for all costs.
ARTICLE 9: REMEDIES AND LIABILITIES
Breeding Bulls
9.01 Buyer has 14 days from the date of the Contract to have a Breeding
Bull tested for fertility and notify the Seller in writing of the results. In the
instance that Seller represented in writing that a Breeding Bull was fertile and
a licensed veterinarian determines that the Breeding Bull is infertile, the Buyer
may return the Breeding Bull to the Seller for a full refund of the purchase
price. Other than the foregoing, Buyer is not entitled to any other remedy,
expense, or damage of any kind including, but not limited to, veterinarian
expenses, travel expenses, bull care, consequential damages, economic loss,
or any other expense of any kind or type. The Buyer’s failure to have the
Breeding Bull examined by a licensed veterinarian and notify the Seller of the
results in writing (oral notification is insufficient) within 14 days of the date
of the Contract shall relieve and absolve the Seller of any duty, obligation, or
liability in this regard.
No Consequential Damages
9.02 In the event of a dispute concerning the cattle the subject of this Contract,
should Buyer prevail, Buyer is limited to recovery of the purchase price listed
herein of the specific animal in dispute. In no event shall Buyer be entitled to
recover any additional damages, costs, or expenses including, but not limited
to, veterinarian expenses, transportation expenses, lost profits, economic loss,
cattle care, attorneys’ fees, and/or consequential damages.
