50 YEARS
2014
Vasque founder William D. Sweasy
traveled to Europe in 1964 and found
our future. Outdoor recreation and
mountaineering were sweeping the
continent, and Sweasy knew it was
just a matter of time until the craze
found its way stateside. Returning
to Red Wing, Minnesota, he began
preparing high quality mountaineering
and hiking boots so he’d be ready when
the time came. After a brief run under
the brand name “Voyageur,” Sweasy
changed the name to Vasque in 1971
(for Fort Vasquez in the mountains of
Colorado). Fifty years later, the Vasque
brand continues to break new ground
with innovative, purpose-built outdoor
footwear. That’s what happens when
you keep your eyes firmly focused on
the trail ahead.

MERCHANDISE RETURN POLICY
Defective Merchandise:
Red Wing Brands of America, Inc. (“Red Wing”) representing Vasque footwear
(“Vasque”), accepts returns of defective merchandise. There is no prior authorization
required. A return merchandise memo must accompany defective merchandise returns.
The return merchandise must be shipped prepaid and via the most economical means.
Transportation credit will be issued on defective merchandise and prompt credit will be
issued on returned defective merchandise.
All Defective Merchandise Must Be Returned To:

Shipping Errors: Vasque accepts returns on merchandise that is sent in error. The
returned merchandise must be returned to Vasque (at the address provided below,
in Salt Lake City, UT) within 30 days of delivery. A return merchandise memo must
accompany the returned merchandise along with a copy of the invoice or packing slip
indicating the returned merchandise. Merchandise returned without a copy of the
invoice or packing slip will be sent back to the dealer. The returned merchandise must
be shipped prepaid and via the most economical means. Transportation credit will be
issued on returned shipping errors and prompt credit will be issued.
Special Orders: Special order merchandise may be returned within 30 days of delivery.
A return merchandise memo must accompany the returned merchandise along with a
copy of the invoice or packing slip indicating the returned special order merchandise.
Merchandise returned without a copy of the invoice or packing slip will be sent back to
the dealer. A $10 per pair re-stocking fee will be charged on all special orders returned
after 30 days.
All Other Returns: No other merchandise returns will be accepted without prior
authorization from your Vasque sales representative. After authorization is granted,
a return merchandise memo must accompany your returned merchandise along with
the original packing slip and the return authorization number from your Vasque sales
representative. Merchandise returned without the return authorization number and
the original packing slip will be sent back to the dealer. All returns must have prepaid
transportation to the address provided below, in Salt Lake City, UT. A $10 per pair
re-stocking fee will be charged on all authorized returns.

LIMITED WARRANTY RELATING TO VASQUE FOOTWEAR: Vasque products are covered
by a one-year limited warranty against defects in materials and workmanship. Damage
that is due to normal wear and tear, abuse or accidents is not covered by this warranty.
Vasque reserves the right in its sole discretion to make all determinations regarding
warranty coverage. Products with warranty claims are to be returned to any authorized
Vasque retailer for processing. The nearest authorized retailer can be found by visiting
the Vasque website at www.vasque.com or by calling 1.800.224.HIKE.
Disclaimer: The limited warranty relating to Vasque footwear is in lieu of any other
warranties, express or implied, including any warranty of merchantability or fitness for
a particular purpose. No agent, employee or representative of Red Wing/Vasque has
any authority to bind Red Wing/Vasque to any affirmation, representation or warranty
concerning Vasque branded footwear products, except as stated herein. Red Wing/
Vasque shall not be liable for any consequential or incidental damages.
This limited product warranty gives you specific legal rights, and you may also have
other rights that vary from state to state. Any implied warranties shall be effective for
a period not exceeding 12 months from the date of purchase. Some states do not allow
manufacturers to impose time limitations on certain implied warranties, so the above

to selected retailers for resale only at or from the retailer’s retail and/or online outlets
approved in writing by Red Wing Shoe Company, Inc., and only to the retailer’s end user
customers. The Retailer shall not market, advertise, offer to sell, sell and/or fulfill orders
for Vasque products from any other web site(s) or direct selling venues or locations
including, but not limited to, affiliate, co-branded, third party web sites, portal shopping,
comparison shopping and auction web sites, without Vasque’s prior written consent.
Vasque retailers are not authorized to sell to or ship to any end users outside of the
United States or Canada. This policy further prohibits resale or shipment of Vasque
products by a retailer to any other business location inside or outside of the United
States. Violation of this distribution policy may result in the immediate termination of a
retailer’s right to sell any Red Wing branded products.

MINIMUM ADVERTISED PRICE POLICY
Reasons For The Policy
The purpose of this Minimum Advertised Price Policy (this “Policy”) is to protect
Vasque’s competitive position as a recognized supplier of high quality, high performance
outdoor footwear. Certain practices used in advertising and promoting Vasque products
can be inconsistent with this goal. More specifically, Vasque has determined that print
and electronic media advertising of Vasque products at prices below Vasque’s minimum
advertised price is not consistent with this goal.
Advertised prices below certain levels can actually harm consumers’ perception of
Vasque products which, in turn, can be detrimental to Vasque’s ability to compete
against other premium outdoor footwear brands. As a result, dealers may be reluctant
to invest the money, space and resources necessary to support the Vasque brand. In
turn, consumers may also suffer either as a result of less product availability or from
incorrectly concluding that Vasque products are lower quality or less desirable than
Vasque’s competitors’ products. For these reasons, Vasque has unilaterally adopted the
following policy regarding advertising of Vasque products.
Policy The attached schedule (the “Schedule”) sets forth the Minimum Advertised
Prices (the “Minimum Advertised Prices”) that will apply during identified time periods
for the Vasque products listed on the attachment. If, after January 1, 2010, Vasque
becomes aware of any instance in which a dealer directly or indirectly advertises any
of the Vasque products listed on the Schedule at prices below the Minimum Advertised
Prices shown on the Schedule, Vasque reserves the right, in its sole discretion, to
terminate all of that dealer’s orders and may provide no further shipments to that dealer
for the remainder of the season for the product(s) in question. Vasque may also, at its
discretion, refuse to fill orders for Vasque products for any dealer that has violated this
Policy during the following season.
“Advertising” or “advertise” as used in this Policy refers to, but is not limited to, print
and electronic media: newspapers, magazines, direct mail catalogs and flyers, radio,
television, the Internet or any similar mass media. Minimum opening bids in all auctions,
including Internet auctions, must be at or above the Minimum Advertised Price set forth
in the Schedule. “Advertising” does not include in-store advertising.
Advertising is inconsistent with this Policy if it can reasonably be interpreted, in
Vasque’s sole discretion, to imply that the price of any Vasque product is below the
Minimum Advertised Price for that product as shown in the Schedule. For example,
advertising such as “15% off all products in the store,” “Buy one, get one free,” or “Call
for price,” violate this Policy when such statement includes Vasque products. Thus, to
be compliant with this Policy, if a dealer advertises a promotion providing for a discount
from all products in the store or any store department in which Vasque products are
sold, the Vasque products must be excluded from the advertisement.
This Policy applies to new styles, carryover styles and new colors in carryover styles
of Vasque products. This Policy does not apply to irregulars or discontinued Vasque
products. Discontinued colors of carryover styles of Vasque products will not have a
Minimum Advertised Price but must be identified as “discontinued” in any advertising
medium as defined above.
This Policy does not affect the prices that dealers may charge for Vasque products.
Dealers are free to sell Vasque products at any price they choose, but should be aware
that the consequence of advertising (as described above) Vasque products in violation
of this policy may result in the loss of Vasque account status.
Vasque reserves the right to choose the dealers with whom it does business and also
reserves the right to accept or reject any order in whole or in part at any time.
Vasque has adopted this Policy unilaterally. This Policy may not be construed as a
contract or agreement with any dealer. Vasque reserves the right to modify this Policy or
the Schedule or to terminate this Policy at any time.
This Policy is “non-negotiable,” that is, Vasque will not discuss any conditions or
alterations to the Policy with any dealer. In addition, Vasque will neither solicit, nor
accept, any assurances of compliance with this Policy – compliance is an individual
business decision of each dealer. The Policy will be enforced by Vasque and Vasque
alone; Vasque will not accept complaints about violations of this Policy. No Vasque
employee or sales representative is authorized to discuss, modify, interpret or
grant exceptions to this Policy with any dealer. Any action of an employee or sales
representative of Vasque purporting to obtain the agreement of any person to any or all
of the terms of this Policy is unauthorized, invalid and against Vasque policy.
All questions about the Policy should be in writing and directed to Director of
Sales, Vasque, 325 Main Street, Red Wing, MN 55066. No other employee or sales
representative of Vasque is authorized to discuss this policy and no oral communication
about this Policy will be accepted by Vasque.
