2013 BUSINESS PLAN
Mission Statement
“To serve the North Bay community by providing an extraordinary venue for cinema,
live music, performing arts, public events, education and a broad spectrum of digital
programming in downtown Novato.”
I.
Introduction—From Here to Eternity
The Novato Theater (sometimes, “Theater”) is a California, public benefit (non-profit)
corporation, qualified as a charitable organization under Section 501(c)(3) of the Internal
Revenue Code. As such, all contributions to the Theater are immediately tax deductible, subject
to limitations contained in the Code. The formerly proposed ‘LLC’ will not be activated.
Having purchased the historic Grant Street building from the City of Novato in 2012, it is
our intention to raise sufficient funds to rebuild, reopen and operate the Theater as a venue for
film, drama, music, dance and other live performances, digital programming, community and
corporate meetings, and for numerous other events and purposes discussed below (the “Project”).
As detailed herein, our progress to date includes $441,403 cash contributed and many ‘in
kind’ pledges for services and equipment. We estimate that the total amount needed to complete
the Project and begin operations is about Three Million Five Hundred Thousand Dollars
($3,500,000). We believe that this time the pieces are in place for a successful fundraising
campaign that will finally, after 20+ years, renovate and operate the Theater as a central and
critically important entertainment focal point in Novato’s historic Old Town district.
This is a community Project and we will succeed if the community believes it is worthy
of their support. We are convinced that the Theater Project is both feasible and sustainable, and
invite you read this entire Business Plan before deciding on your level of participation.

II.
A Little History—The Last Picture Show
The Theater building was constructed in 1945-46 and operated by Alfred and Clara
Bowman as a first-run movie house until 1991, when its operations ceased due to competitive
pressure from multi-screen venues. The Theatre has been dark ever since, despite several
attempts by civic minded groups to raise the funds necessary for restoration.
In 1995, the Theater was acquired by the Novato Theater Restoration Company for
$400,000, with 100% of the purchase price being financed by Bowman.
In 2004, with
insufficient progress being made toward raising the funds for renovation, and the Bowman loan
in arrears, the Theater was sold to the City of Novato. The deed conveying title to the property
imposed an ‘Exclusive Event Listing’ (see Section IV), intended to perpetuate the use of the
property as a theater.
Then, beginning in 2010, under the direction of Bernice Baeza, the guiding force behind
the Lark Theater renovation in Larkspur, the Novato Theater was incorporated, and granted
charitable designation from the I.R.S.
The current fundraising campaign was begun and
substantial progress has been made. This allowed the Theater to be acquired from the City of
Novato on February 2, 2012 for $50,000.00.
Since Bernice’s untimely death in mid-2012, management has been in the hands of a
Board of Directors and a core volunteer group of mostly Novato citizens (see Section VIII) who
are dedicated to seeing the Project brought to completion. We will build on the real progress that
has already been made and expect to see renovation begin this year or next.

The Physical Site—Field of Dreams
III.
The existing Theater is an approximately 6,000 square foot, 2 story, concrete building
located in the center of Old Town Novato, on Grant Avenue between Machin Avenue and
Redwood Boulevard -- the very ‘heart’ of Novato. The renovation will increase the interior size
of the building to well over 9,000 square feet.
Current plans for the Theater include:

A first floor main theater, with a large film screen and stage, with 234 comfortable,
modern seats, and a sloped floor (i.e., unlike all other venues available for local school
productions and events);

Backstage dressing rooms, in a rear addition;

A spacious main lobby for concessions and receptions;

A smaller 48 seat theater, and upper lobby on the mezzanine;

State of the art sound and visual systems for film and live music, along with modern
digital equipment that allows extremely broad programming options (see Section IV);

Full handicap accessibility and

Office space for Theater staff (in the rear addition and mezzanine).
Schematics of our renovation plans are attached hereto as Exhibit A and Exhibit B. The
marquee/entry canopy of the building may need to be rebuilt. If this is necessary, the marquee
will be restored to maintain the look and feel of the original.
Analyses have been done of the foundation, walls, and roof of the building, as well as the
electrical, plumbing, and HVAC systems, and the improvements or replacements that those items
require are included in the “Use of Proceeds” budget, (see Section VI).

IV.
Theater Programming—Duck Soup meets Star Wars
The primary use of the Theater will be as a movie house, showing independent, foreign,
documentary and classic films on 2 screens, but we also intend to support the performing arts
(professional, amateur and school) with either live or simulcast presentations of drama, music,
dance, comedy, and the like. There will be speaker and lecture programs. The Theater will be
rented out for meetings (community, private and corporate), school related and educational
programs, and a wide miscellany of uses.
When the Theater was transferred to the City of Novato, the Exclusive Event Listing
(attached as Exhibit C) was incorporated in the deed to assure that the property would always be
used as a theater. These ‘exclusive uses’ (some of which are quite quaint) actually afford us the
widest latitude in programming choices.
Significantly, modern ‘digital’ theater technology allows much broader and more flexible
programming than in the past. While we will have 35mm film projectors to show ‘old style’
content, we will leverage digital technology to create a true multi-use venue. Film and live
performance will remain staples, but alternative programming such as sporting events (World
Cup, Super Bowl, boxing events, etc.), simulcast performing arts (opera, dance, dramatic theater,
rock concerts, etc.) or local, niche programs shown at specific times to target audiences (e.g.,
Saturday morning programs for kids or faith-based programming on Sundays, etc.) will attract
the widest possible audience. Content can be sent to us digitally and displayed with our digital
projectors. Very soon, this will become an all-satellite delivery system, making for very rapid
programming decisions that provide access to a host of events, ideas and entertainment
opportunities for the Marin community.
This is the future of theater in America. We will be able to program the Novato Theater
like a television station with changing content to better meet the demands of a wide and young
audience that will require high choice and on-demand experiences similar to what they access
with their personal electronics. Additional technological opportunities, such as 3D, interactive
in-theater events, 2nd screen options and others, can be exploited with digital exhibition
technology -- and the Novato Theater will be ready for all of it.

Why We Can Now Succeed —The Sweet Smell of Success
V.
Downtown Novato is changing – and no part of our City better defines us – gives us a
‘there’- than Old Town, and no part of Old Town is more important than the Novato Theater. At
the same time, there is a widely held sense that as we move forward, we should preserve and
protect the special character of our City and the important parts of our heritage. Old Town
Novato is an important link to our past and will be an integral part of our future.
One need only look at what has happened or is in the works for the downtown and
surrounding areas since the Theater closed in 1991 to see this renaissance:

Under new leadership, the Theater property was purchased from the City of Novato in
2012 with funds raised in the new effort.

In 2006, the streetscape of Grant Avenue’s Old Town was transformed and beautified
with a $10.8 million facelift that included undergrounding utilities, new streets and
sidewalks, new bulk outs for dining, new streetlights, the addition of trees, slant-in
parking and public art.

The iconic City Hall was restored and reopened in the downtown one block off Grant. A
downtown plaza and green for outdoor activities were also created.

Construction was begun on the new City Office Building (scheduled for occupancy in
2013) within a block of the Theater.

The Whole Foods project, anchoring Grant Avenue a few blocks to the east, was
completed in 2008 and its 124 residential units fully occupied.

999 Grant, now the Umpqua Bank building, a beautiful 20,000+ square foot, 2 story
office, restaurant and retail center, that wraps around the southeast corner of the
Redwood and Grant intersection (just across from the Theater) was completed in 2012,
and is ready for occupancy.

Trek Winery, Marin County’s first ‘urban winery,’ opened to raves in 2012, just around
the corner from the Theater.

A new retail and restaurant center (including Pete’s Coffee and Smash Burger) was
completed around the corner from the Theater on Redwood Boulevard

On Redwood Boulevard, just to the north, a 12,000 square foot Trader Joes opened in
2006 anchoring an 18,000 square foot project at Olive Avenue.

The 115 unit high end residential development at Atherton Ranch, a few blocks north,
was completed in 2004.

Novato has become home to the rapidly growing bio-tech and solar industries that
employ hundreds of highly educated and affluent scientists, engineers, technicians and
administrators. Within 2 miles of the Theater is the world renowned Buck Institute for
Research on Aging.
Designed by I.M. Pei, this facility is the United States’ first
independent biomedical research institute devoted solely to research on aging and agerelated disease. It will soon begin construction on 130 housing units, and will employ
hundreds of scientists from all over the world, many of them living on its campus not far
from our downtown.

The City has taken the first steps toward ‘master planning’ the North Redwood Corridor,
a 13+ acre stretch of land a few blocks north of Grant on Redwood, that could be home to
a major ‘life-style’ mixed use development with shops, restaurants, residences and the
like, all within easy walking distance of the Theater.

The City has commissioned a study by the Marin Economic Forum of the potential
economic impacts of Theater on the downtown -- in order to encourage further downtown
development.

In 2013, a 300+ unit residential development was proposed for a parcel at Redwood
Boulevard and Wood Hollow, below the Buck Center.

The SMART train, ultimately connecting the Larkspur Ferry with Cloverdale in the
north, is now scheduled to be operating through Novato’s downtown by 2015.

The City has taken ownership of the old railroad depot site at the east end of Grant, to be
used for parking or future development.

Many new restaurants (including Muscio’s, Grazie, Hilltop 1892, Left Coast Depot, and
Chianti Cucina) have opened in or near the downtown and more are expected.

A survey done by Supervisor Judy Arnold’s office shows overwhelming community
support for the Theater Project. Now that the overall economy has begun to pull out of its 5 year
doldrums and the real estate market is picking up, people are beginning to be optimistic about the
future. This is coincident with the recent availability of digital technologies that will greatly
expand our appeal and audience. If we can only imagine what a spectacularly renovated Theater
can do for our City – in cultural, aesthetic, educational, financial, historical and pure enjoyment
terms – then we ought to easily reach our fundraising goals.
In sum, the community has evolved and the technology has evolved – and this confluence
translates into feasibility and sustainability for the Novato Theater.
VI.
Use of Proceeds—Silver Linings Playbook
We believe that the amount still needed to complete the Project and operate the Theater
for about 2 years is approximately $3,500,000 [see Current Financials (Exhibit D and E), future
Projections of Operations (Exhibit F), and a Construction Budget (Exhibit G)]. In addition to
the almost $400,000 that has already been contributed (for use in Stages 1 and 2 below), we have
received ‘pledges’ of cash and ‘in kind’ services and equipment.
We now have enough funds on hand to complete Stage 2 of the Project, which includes
architectural and construction drawings.

The figures for Stages 2, 3 and 4 are estimates only, and unanticipated costs as
well as a host of unforeseen conditions are always possible. Note, however, that the
estimate for Stage 2 Design contains a 20% contingency reserve, Stage 3
Construction contains a 30% contingency reserve, and Stage 4 projects a $500,000
operating reserve (see Exhibit G).
At the end of the second year of operations, we project (based on the experiences of
other theaters in Marin County) that the Novato Theater will be operating on a breakeven basis, taking into account ongoing membership, sponsorship and patronage
contributions.
B. Escrow of Funds
We will not begin Stage 3, actual construction, until, in the opinion of the Board of
Directors, there are sufficient funds on hand to justify going forward. We believe that
with at least $1,000,000.00 cash available (the “Threshold Amount”), beginning work on
Stage 3 will be justified and prudent because we anticipate that once real construction
begins the public will rally around the Project. To paraphrase Field of Dreams: “If we
are building it, they will come (and contribute).”

All new contributions will be held in escrow in a bank or other account until the
Threshold Amount is reached. Because non-profit corporations are prohibited by California
law from returning contributions to private donors, and may only distribute for other
charitable purposes, if the Board of Directors determines that we cannot go forward because
the Threshold Amount has not been raised, any funds in the escrow will be donated to
charitable art or educational purposes serving Novato. Donations received from other
charitable institutions are not subject to this private donor restriction and may be returned to
those institutions in the event we cannot go forward.
VII.
Charitable Contributions--Three Coins in a Fountain
We are taking a streamlined approach to the Theater Project: the concept of an LLC for
‘investors’ will not be employed, so all contributions are immediately tax deductible. We and
those who join us are ‘investing’ in something far more important than real estate: the special
quality of life that is available to us and future generations only in this slice of paradise that is
Marin County.
We will provide the necessary documentation for your tax returns to support your
charitable contributions. Please be aware, however, that we cannot give you tax advice, so you
are advised to consult with your own CPA or tax preparer concerning the limitations on the
deductibility, if any, of your contributions.
A list of the many people who have already contributed is attached as Exhibit H.
VIII.
Board of Directors and Management—The Godfathers
In all corporations, the Board of Directors is responsible for overseeing the management
of the operations of the organization. Unlike for-profit corporations, the Novato Theater does
not have shareholders or voting members. Therefore, sole responsibility and authority in the
Theater rests with the Board of Directors, subject only to California law. We will likely have a

group of special advisors who will meet periodically with the Board of Directors to discuss
matters of importance, but their role will be consultative.

B. Day to Day Management
The untimely death of Bernice Baeza leaves us without an operating manager or
artistic director at this juncture. We believe that until we are close to beginning theater
operations, the members of the Board of Directors can manage the overall Project, so
only later do we plan to hire a General Manager/Artistic Director for the Theater.

Post-Construction Operations—Back to the Future
A. Management
Our plans for post construction management of Theater Operations are fluid at this
point. As soon as we raise the Threshold Amount and begin construction, the Board of
Directors will focus on finding an experienced individual(s) or organization capable of
Theater management on our budget.
B. Memberships/Sponsorships/Patrons
We do not expect that revenues generated from operations will ever suffice to fully
fund the Theater operations. This is true for virtually every symphony, opera, drama and
community based theater in the country. So, we will depend upon the ongoing kindness,
support and involvement of citizens and organizations that believe in our mission and
actively support the arts and Novato’s downtown.
We intend to have ‘members’ who annually subscribe to our events, sponsors of
individual events, and patrons who donate significant sums, perhaps with customizable
naming rights (e.g., picture the upstairs theater bearing the name of your family or
company). We will also ‘sell’ seats and possibly other elements within the Theater with
donor names prominently displayed.

The 2013 Fundraising Campaign—Do the Right Thing
2013 is an important year for Novato Theater. We do not want to lose momentum
and we want construction to begin no later than 2014. We will undertake an intensive
fundraising campaign designed to get us to the Threshold Amount ($1,000,000) and
beyond, including:

Community Events: We actively participate in virtually every community
event in Novato—see Exhibit I, which contains a partial list or our prior
activities. This has both an educative and fundraising component. We
believe that every citizen of Novato is a potential donor, especially once
the Threshold Amount is reached and construction is underway.

Passive Marketing:
This includes communication by internet, print,
banners, etc. (see Exhibit I). This is primarily educative.

Patrons:
We are in communication with a significant number of
substantial individuals and entities (who cannot be listed for obvious
reasons) that have indicated a serious interest in the Theater and signaled
that they could be major contributors. The preparation of this Business
Plan is a major first step in creating a ‘marketing tool’ that can be
provided to potential patrons. Initially, we look to these sources to get us
to the Threshold Amount so we can begin construction and gain the
momentum that will allow us to raise the curtain at the Novato Theater.
