The Holman Automotive Group: Building Success by Investing in Our People, Our Customers and Our Community The Early Years: Rice & Holman Holman Automotive was founded in 1924, when Steward C. Holman signed a contract with Ford Motor Company to become the area dealer in Merchantville, New Jersey. He was financed by his partner, Charles M. Rice of Lewiston, Pennsylvania. The dealership, which sold the Model T, Model A, and the first V-­‐8 models on the market, was named Rice & Holman Ford. Today, the Holman Automotive Group consists of more than 25 different operating companies, including multiple automotive dealerships, an auto retail finance company, an auto parts distributorship, a specialized truck up-­‐fitting business, and the largest privately-­‐owned fleet management company in North America. The company continued to grow throughout the 1950s and 1960s, with new dealerships opening in both New Jersey and Florida. The company also created R&H Management during this time to help oversee the organization’s increasingly diverse operations and R&H Leasing to support the increased need for consumer financial services. Similar financial operations were opened throughout Southern Florida in the early 1960s. The 1970s & 1980s: Expanding into New Markets and New Territories In the 1970s and 1980s, the company continued to experience success and expand into new markets and new territories. RMP saw its sales and operational capacity increase through the acquisition of several remanufacturing companies. In 1972, faced with continued diversification and opportunity for growth, the company decided to pursue a corporate reorganization which resulted in R&H Management becoming Holman Enterprises. Later in that decade, the company added new dealerships in Southern Florida and completed construction on a new state-­‐of-­‐the-­‐art facility for ARI. The 1980s found the company entering a new market segment when it added Lauderdale Imports, Ltd., a Rolls Royce/Bentley dealership, to its line up in 1985. The company also continued to open new dealerships in both New Jersey and Florida throughout the rest of the decade. Both RMP and ARI also grew during this time as well, with RMP acquiring new business territories in Ohio and Michigan, and ARI diversifying its lines of business by adding a specialized custom upfitter, Fleet Body Equipment (FBE), to its family of companies. ARI also expanded outside the United States for the first time when it acquired Lend Lease Cars, Inc., a Canadian company, in 1989. Yet, throughout it all, the company remained true to the principles upon which Steward Holman founded the company in 1924 and continued to grow and thrive throughout these two decades. At the corporate level, the leasing operations had grown substantially enough that they were reorganized into two central locations for greater efficiency: Holman Leasing in Pennsauken and South Florida Leasing in Fort Lauderdale. ARI also continued to grow, becoming the third largest fleet management company by 1995, employing more than 900 employees. And, while the 1990s saw RMP exit the remanufacturing business, the company continued to successfully operate a thriving parts distribution business. The 1990s also saw the dealership side of the business prosper and thrive, with several new brands added to the Holman family of companies, including Saturn, Infiniti, and BMW, and new dealership locations for the existing family of brands – Ford and Lincoln-­‐Mercury – in both New Jersey and Florida. The new millennium brought even more growth for the Holman organization. FBE expanded its operations and opened a second location in Fort Worth, Texas in 2000. The early part of the new decade also saw growth on the dealership side of the organization with the addition of Lauderdale MINI and a Honda franchise the following year, also in Fort Lauderdale. The addition of a Volvo franchise in Margate, Florida soon followed. During the middle years of the decade, Holman aggressively expanded its footprint in both South Jersey and Florida through several strategic dealership acquisitions. In 2007, the company acquired DeSimone BMW and Cadillac in Mount Laurel, New Jersey, later changing the names to BMW of Mount Laurel and Holman Cadillac respectively. Also in 2007, the company acquired a Ford dealership in Florida and merged it with the existing Lincoln-­‐Mercury dealership in Pompano. Cherry Hill Toyota – Scion was acquired in 2008 and subsequently moved to a new facility in Mount Laurel with the new name of Holman Toyota – Scion. Also in 2008, Holman Ford in Mount Laurel and Holman Lincoln-­‐Mercury in Maple Shade merged operations at the Maple Shade location. This continued growth led the organization to rename itself Holman Enterprises in 2008 so as to better reflect all of the different companies and operations that made up the company. The end of the decade found new dealerships opening in Southern Florida and yet another new brand joining the Holman family of companies: Audi. In fact, changes were happening across the company at that time. RMP acquired Dealers Engine Sales, a similar Ford Authorized Distributor in December of Company 2009, which substantially Milestones

Turnersville (New Jersey) opens and the Lincoln-­‐Mercury dealership located in Stratford, 2010 and Beyond: Building upon Steward Holman’s Legacy in the US and Across the Globe Holman Enterprises entered the second decade of the new millennium positioned for continued success. To honor the company’s founder and acknowledge the continued growth of the company, Holman Leasing started operating under the trade name of Steward Financial Services in 2010. Additionally, in December 2010, ARI acquired the assets of Auto Truck Group, headquartered in Bartlett, Illinois. The acquisition of such a well-­‐regarded and recognized upfitting company gave ARI the resources it needed to excel in serving the complex fleet market where customized solutions are necessary. Shortly afterward, Fleet Body Equipment began operating under the Auto Truck name. December 2010 was a time of transition as well, however, as the Mercury brand was phased out and Ford Motor Company refocused its marketing and engineering efforts on the Ford and Lincoln brands. While the Holman family of brands marked this transition with a note of genuine sadness having represented the Mercury brand for many, many years, the company remained encouraged and committed to the new direction defined by Ford leadership. The following year was a banner year for the company as ARI expanded “across the pond” with its acquisition of the UK-­‐based Fleet Support Group based in Chippenham, England. Renamed ARI Fleet UK, this marked the start of New Jersey is transferred to Turnersville 1999: Construction on a new facility to house Pines Lincoln-­‐
Mercury in Pembroke Pines, Florida is completed 2000: FBE opens a second location in Fort Worth, TX 2002: Lauderdale MINI opens, sharing a facility with Lauderdale Imports, Ltd./BMW 2003: Holman opens its first Honda franchise in Fort Lauderdale, FL 2004: Lauderdale Imports, Ltd./BMW expands into a second location in Pembroke Pines, FL 2004: Holman acquires a Volvo franchise and couples it with its existing Lincoln-­‐Mercury franchise in Margate, FL 2007: Holman acquires DeSimone BMW and Cadillac in Mount Laurel, NJ ARI’s expansion into Europe. year that the Holman family of companies saw its first $1 million campaign in support of the United Way. This remarkable milestone reaffirmed the company’s commitment to the core principles upon Company which it M

In 2015, ARI was also recognized Engine Sales by Fortune magazine and The Great Places to Work 2009: Audi Pembroke Pines opens institute as one of the top places to work for millennials. 2010: Lauderdale Infiniti opens In 2015, the company positioned itself for continued 2010: Holman Leasing starts success and expansion with the announcement of the ONE operating under the trade name of Steward Financial Services Holman initiative. This allowed the company to leverage its talent, resources and knowledge across all of its lines of 2010: ARI acquires AutoTruck business, which in turn allowed it to become an even more Group flexible and dynamic organization. The company also 2011: MINI of Mount Laurel opens rebranded RMP, changing its name to Holman Parts 2011: ARI expands in the UK by Distribution and refocusing its approach to the market acquiring Fleet Support Group with an eye towards OEM parts distribution and large fleets. On the dealership side, Holman expanded its geographic foot print into Pennsylvania with the acquisition of Audi Willow Grove, and north into central New Jersey with Princeton BMW and Princeton MINI. During the past nine decades the Holman family of businesses has established a record of successful growth. 1924
