METAL FRAME MAINTENANCE:
NATURAL STONE TABLE TOPS:
OW Lee metal furniture is designed to require minimum maintenance.
Metal frames should be kept clean. Do not let dirt build up. Cleaning
with mild soap and water, and touch-up of any scratches, chips or
occasional rust seepage from crevices or hidden surfaces inherent in
some ornate wrought iron designs, is all that is required. OW Lee offers
LeeCare Touch-up Pens in matching frame colors available through your
authorized OW Lee retail dealer. Never leave furniture standing in water.
Note: Touch up colors are available for two (2) years from the date the
frame finish is discontinued, or until supplies run out.
Genuine marble and stone is a "footprint" of nature and requires special
care when used outdoors. Each piece is unique with random colour
tones and veining that cannot be identical from piece to piece. This
is due to varying mineral deposits within rock formations and is not
considered a defect. Crevices in stone are also natural. In most cases the
manufacturer uses a colour resin to fill in the crevices. Occasionally, there
may be an occurrence of hairline fractures and/or colour and pattern
variations that is all part of the natural characteristics of your natural
stone table top.
CUSHION CARE:
Stone is a porous material. All OW Lee Natural Stone Table Tops are
specially treated at the factory with an impregnating sealer and colour
enhancer that penetrates deep into the porous surface providing a long
lasting barrier that resists moisture penetration and staining. Regular
cleaning with mild soap and water with a sponge or soft scrub brush is
recommended. Overtime, natural stone tops will fade in direct sunlight.
This fading is a natural process and is more noticeable on brightly colour
stones. To rejuvenate a faded natural stone top see http://www.owlee.
com/08_support/support_techinfo.shtml for detailed instruction and
product recommendations.
OW Lee uses quality 100% solution dyed acrylics or acrylic/polyester
blended fabrics, and the finest outdoor foam, fiber fillings and/or
barriers. OW Lee Fabrics have been treated to resist stains and repel
water. Regular cleaning with mild soap and water using a sponge or soft
scrub brush is all that is required.
HAMMERED COPPER Table Tops:
Hammered Copper Tops are recommended for indoor/covered patio
use only. OW Lee does not extend/offer warranty on Hammered Copper
Tops used for outdoor applications. Keep top as dry as possible, clean
up spills immediately and use coasters and place mats. Clean with a
stainless steel appliance cleaners. Do not use a metal polish as it will
remove the original unique patina. Without recommended care and
maintenance, continuous or prolonged exposure to water will oxidize
your 100% copper top and hard water deposits will appear and are
difficult to remove.
Acidic elements found in a variety of foods, such as tomato based
products, juices, wines, soft drinks, vinegar based products and coffee, as
well as minerals found in local water supplies and acidy of rain in certain
areas, can leave permanent stains on and/or damage the natural stone.
It is recommended that spills be wiped up and/or dried quickly to avoid
any staining on and/or damage the surface. Porous natural stone retains
heat. Care should be exercised with the top is exposed to long hours in
the sun.
In extremely cold climates, it is recommended that tabletops be stored
in a dry area or covered with a breath-able outdoor furniture cover
so that moisture does not collect on the table. If moisture penetrates
into the stone and freezes, the stone may crack. Stone tops should be
periodically re-sealed and can be refinished. It is recommended that the
tabletop be re-sealed twice per season or more depending on usage. For

Terms

Conditions
1. Acceptance/Form of Orders. All orders are subject to acceptance by O.W. Lee Co, Inc. (“O.W. Lee”) at its
headquarters. Orders will not be scheduled for production or shipment unless O.W. Lee has extended payment
or credit terms to the dealer (“Dealer”) (individually and collectively, the “Payment Terms”), as such may be
modified by O.W. Lee from time to time, or payment is received in full by O.W. Lee. O.W. Lee reserves the right
to reject orders if the Dealer is in violation of these Terms & Conditions, the O.W. Lee Marketing Guidelines
applicable to Dealer, which Guidelines may be modified by O.W. Lee from time to time, or any other applicable
requirements as determined by O.W. Lee in its sole discretion (“Additional Requirements”). Each Dealer order
must be in writing and must include the following: (a) Dealer’s purchase order number and an authorized
Dealer signature; (b) Dealer’s requested ship date (which date shall not be binding on O.W. Lee), shipping
address, and requested shipping instructions (which shall not be binding on O.W. Lee unless accepted by O.W.
Lee in writing); (c) the applicable O.W. Lee style number, frame number, fabric number, and color for each piece
of merchandise ordered; (d) the quantity of each piece of merchandise ordered; and (e) if applicable, the type of
table top desired. Verbal orders must be confirmed in writing and remitted to O.W. Lee via facsimile, electronic
mail, a nationally recognized overnight courier service, or United States Mail. Facsimile confirmations shall not
be effective until O.W. Lee acknowledges receipt thereof. Absent receipt of such written order confirmation,
O.W. Lee shall not be responsible for the fulfillment of any phone order. Orders may be faxed at 909-947-6614 or
e-mailed to [email protected].
2. Payment Terms. All invoices are payable in United States dollars. All payments must be made via cash, check,
or money order. O.W. Lee reserves the right to ship merchandise on a C.O.D. basis and to require that payment
be made via certified check, cashier’s check, or money order. No discount may be taken unless such is specified
on the O.W. Lee invoice. Dealers shall comply with all payment terms set forth on the O.W. Lee Invoice. O.W.
Lee reserves the right to impose late charges at the rate of one and one-half percent (1 ½%) per month or the
maximum amount permitted by law, whichever is lower, on any and all payments not made when due. O.W.
Lee’s acceptance of late or partial payments (even if marked “paid in full”) will not be deemed to be a waiver of
O.W. Lee’s right to collect all amounts owed by the Dealer. O.W. Lee reserves the right to charge an additional fee
not to exceed the maximum fee permitted by law for any check or other negotiable instrument endorsed by
Dealer or its authorized representative that is returned unpaid by a financial institution for any reason.
3. Credit and Default. O.W. Lee may, at any time and from time to time, limit or cancel a Dealer’s credit as to
both time and amount, and may require payment in full or in part prior to the processing of such Dealer’s
order(s) or the shipment of merchandise to the Dealer. Failure to comply with the payment provisions set forth
in these Terms & Conditions shall be deemed to be a material breach hereof. If Dealer is in material breach of
these Terms & Conditions or any other Additional Requirements, which breach is not cured by Dealer within
seven (7) days of its receipt of O.W. Lee’s written notice thereof, O.W. Lee may, in addition to any and all rights
available to O.W. Lee whether at law or in equity, immediately terminate its performance hereunder in whole or
in part. Any property of Dealer, including, but not limited to, merchandise billed and held (whether or not paid
for by Dealer), which is at any time in O.W. Lee’s possession shall be deemed to be held as security for and at
O.W. Lee’s option may be set-off against, any or all of Dealer’s obligations hereunder. Dealer shall be responsible
for costs associated with O.W. Lee’s collection of sums due and owing to it pursuant to these Terms & Conditions
including, without limitation, reasonable attorneys’ fees and expenses, collection agency fees, and court costs.
4. Order Scheduling. The scheduling of orders is as follows: (a) Catalogue Merchandise. Merchandise appearing
in O.W. Lee’s catalogue is scheduled for production by O.W. Lee upon O.W. Lee’s receipt and approval of Dealer’s
written order therefore provided, however, that O.W. Lee has assigned Payment Terms to the Dealer and that
Dealer is in full compliance therewith. Orders are scheduled for production by O.W. Lee in the order of O.W. Lee’s
receipt thereof. For Dealers to whom Payment Terms have not been assigned, O.W. Lee catalogue merchandise
is scheduled for production by O.W. Lee’s upon its receipt of Dealer’s payment in full therefore; (b) Custom
Merchandise. The Acceptance of orders for custom merchandise and the production schedule therefore is
determined on a case-by-case basis by O.W. Lee in its sole discretion. Notwithstanding anything to the contrary
in this paragraph, O.W. Lee reserves the right to decline any order for custom merchandise for any lawful reason.
O.W. Lee reserves the right to ship custom orders under a unique work order number and/or to ship custom
merchandise separately from catalogue merchandise; (c) C.O.M. Orders. Customer’s Own Material (“C.O.M.”)
orders may be declined by O.W. Lee for any lawful reason. Dealer must contact O.W. Lee with respect to yardage
requirements applicable to C.O.M. orders. C.O.M. orders will not be scheduled for production until the a fully
completed C.O.M. Quote Form is completed and received by the factory as well as the C.O.M. fabric, and until
the payment requirements set forth in these Terms & Conditions have been satisfied by Dealer. O.W. Lee is not
responsible in any way for the application of C.O.M. fabric. Placement of seams and choice of face sides shall
be determined by O.W. Lee in its sole discretion unless the placement of seams/choice of face sides, if any, are
designated on the C.O.M. Quote Form.
5. Casualty and Availability of Materials. O.W. Lee shall not be responsible for any non-delivery or delay
in delivery of all or any part of the merchandise due to accidents, strikes, fires, floods, war, acts of state or
governmental action, governmental regulations, delay or inability to obtain labor, material, or services through
O.W. Lee’s usual and regular sources, casualty, accident, Act of God or any other conditions or causes of like or
unlike nature beyond the control of O.W. Lee. In any such event, O.W. Lee may, in its discretion, (a) postpone the
delivery date(s) for merchandise ordered pursuant to these Terms & Conditions for such time as is reasonable
under the circumstances, (b) make partial delivery of the merchandise, and/or (c) cancel all or a portion
of any order placed hereunder. It is expressly agreed that O.W. Lee shall not be liable for the failure of any
governmental authority to grant any export or import license legally required for the fulfillment by O.W. Lee of
its obligations hereunder.
6. Delivery of Merchandise. The acceptance of shipment by a common carrier shall constitute a delivery
of such merchandise to Dealer and all risk of loss shall pass to Dealer upon such acceptance by the carrier.
Thereupon, title shall pass to Dealer, subject to O.W. Lee’s right of stoppage in transit and right to payment in
full of the purchase price. Seller shall retain title to all merchandise sold pursuant to these Terms & Conditions
until the purchase price has been paid in full. With respect to merchandise for which payment is to be made
on or before delivery, title passes only upon O.W. Lee’s receipt of full payment. For merchandise held subject
to Dealer’s instructions, or for which Dealer has failed to supply shipping instructions, O.W. Lee shall issue an
invoice to Dealer for such merchandise and Dealer shall tender payment therefore in accordance with the
invoice terms and these Terms & Conditions. Merchandise invoiced and held at any location, for whatever
reason, shall be at Dealer’s risk and Dealer agrees to pay O.W. Lee for insurance and storage at rates designated
by O.W. Lee. All freight, express, and delivery charges shall be paid as a separate item by Dealer and shall not
be subject to discount. Unless otherwise agreed upon by O.W. Lee and Dealer, all merchandise shall be shipped

freight collect. O.W. Lee is not responsible to Dealer for any freight charge differential resulting from differences
in shipping rates negotiated by O.W. Lee vs. those which may have been negotiated by Dealer. Delivery or
tender of delivery within forty-five (45) days after the ship date acknowledged by O.W. Lee shall be deemed
to constitute timely delivery. Thereafter, shipment or tender of delivery prior to O.W. Lee’s receipt of Dealer’s
written cancellation tendered pursuant to these Terms & Conditions shall constitute good delivery. Any defect
in quality or delays in delivery shall affect only the particular portion of the delivery so defective or so delayed
and shall not affect other merchandise ordered. Any delivery not in dispute shall be paid for on the due date,
without offset, defense, or counterclaim, and regardless of any controversy(s) relating to other delivered or
undelivered merchandise. Where Dealer has declared or manifested an intention not to accept delivery in
accordance with these Terms & Conditions, no tender shall be necessary, and O.W. Lee may, at its option, give
notice in writing to Dealer that O.W. Lee is ready and willing to deliver in accordance with the provisions of
these Terms & Conditions. Such notice by O.W. Lee shall constitute a valid tender of delivery.
7. Freight Claims. All freight claims of whatever kind or nature must be made in writing by Dealer pursuant
to the terms of this paragraph. O.W. Lee shall deliver the merchandise in the correct quantity(s) to the carrier
in factory new condition. O.W. LEE IS NOT RESPONSIBLE FOR DAMAGE TO MERCHANDISE DURING SHIPMENT.
In the event that Dealer has questions regarding the filing of a freight claim, the Dealer may contact O.W. Lee’s
Customer Service Department at (800) 776-9533.
8. LIMITATION OF LIABILITY. IN NO EVENT SHALL O.W. LEE BE LIABLE FOR ANY INCIDENTAL, SPECIAL, OR
CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS OR LOSS OF BUSINESS,
WHETHER FORESEEABLE OR NOT), OCCASIONED BY ANY BREACH UNDER THESE TERMS & CONDITIONS OR ANY
OTHER CAUSE OR CLAIM WHATSOEVER, WHETHER BASED ON NEGLIGENCE OR OTHERWISE. Dealer’s failure
to notify O.W. Lee of any claim (other than a freight claim which must be made in accordance with Section 7
hereof) in writing within thirty (30) days of Dealer’s receipt of the merchandise shall be deemed to be Dealer’s
absolute and unequivocal waiver of the claim. If O.W. Lee determines, in its commercially reasonable discretion,
that a Dealer claim made pursuant to these Terms & Conditions is valid, the sole remedy to which Dealer
shall be entitled is the replacement of the merchandise with conforming merchandise within a commercially
reasonable period of time.
9. DISCLAIMER OF WARRANTIES. EXCEPT AS EXPRESSLY PROVIDED BY O.W. LEE IN WRITING (“O.W. LEE
LIMITED WARRANTIES”), O.W. LEE MAKES NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT
NOT LIMITED TO, WARRANTIES OF MERCHANTIBILITY AND FITNESS FOR A PARTICULAR PURPOSE. O.W. LEE
LIMITED WARRANTIES MAY ONLY BE PROCESSED DIRECTLY THROUGH O.W. LEE OR THROUGH THE DEALER
WHO MADE THE SALE OF THE MERCHANDISE THAT IS THE SUBJECT OF THE WARRANTY CLAIM.
10. Changes/Cancellations. THE PRODUCTION OF CUSTOM MERCHANDISE MAY NOT BE CANCELLED ONCE IT
HAS BEGUN. Without exception, changes and/or cancellations to orders for catalogue merchandise must be in
writing and must be received at O.W. Lee’s headquarters not later than ten (10) days from the date the order is
received by the factory. Changes and/or cancellations to orders must be in writing. O.W. Lee is not obligated to
honor any change or cancellation requests that do not conform with the requirements of this paragraph. In the
event that O.W. Lee, in its sole discretion, elects to accept a cancellation request that does not comply with the
requirements hereof, Dealer shall, in accordance with these Terms & Conditions, pay a restocking fee equal to
twenty-five percent (25%) of the purchase price of the merchandise.
11. Merchandise Returns. UNLESS EXPRESSLY PERMITTED PURSUANT TO THE TERMS OF ANY APPLICABLE
O.W. LEE LIMITED WARRANTY, CUSTOM MERCHANDISE MAY NOT BE RETURNED FOR ANY REASON. CATALOGUE
MERCHANDISE THAT HAS BEEN USED AND/OR DOES NOT APPEAR IN O.W. LEE’S CURRENT CATALOGUE MAY
NOT BE RETURNED FOR ANY REASON. No merchandise may be returned without O.W. Lee’s prior written
authorization. O.W. Lee will not accept any attempted return of merchandise unless the following information is
on file at its factory prior to the merchandise return: (a) the O.W. Lee invoice and/or acknowledgement number;
(b) the number of units to be returned and the carton total; (c) the reason for the requested return; and (d) the
method by which the merchandise is to be returned and the date of shipment. Dealer shall be responsible for
the risk of loss or damage to the merchandise during return shipment and shall, unless otherwise agreed by
O.W. Lee in writing, be responsible for all return shipment and associated insurance costs. O.W. Lee reserves
the right to charge a restocking fee equal to twenty-five percent (25%) of the purchase price of all returned
merchandise.
12. Assignment. Dealer may not assign its rights or obligations, whether in whole or in part, to any third party
without O.W. Lee’s prior written approval, which approval may be withheld by O.W. Lee in its sole discretion.
13. Arbitration. Any controversy, dispute, or claim of whatever nature arising out of, in connection with, or in
relation to the interpretation, performance, or breach of these Terms & Conditions (including any claim based
on contract, tort, or statute) shall be determined, at the request of O.W. Lee or Dealer, by final and binding
arbitration conducted by a sole arbitrator at a location in Azusa or Ontario, California. The sole arbitrator shall
be selected by, and, the arbitration shall be conducted and administered in accordance with, the then-existing
Commercial Arbitration Rules of the American Arbitration Association. Judgment upon any award rendered by
the arbitrator(s) may be entered by any state or federal court having jurisdiction thereof.
14. General. These Terms & Conditions shall be construed in accordance with the laws of the State of California
without regard to conflict of laws principles. These Terms & Conditions, the Marketing Guidelines, and, if
applicable, the Additional Requirements, set forth the entire agreement of the parties with respect to O.W.
Lee’s sale of merchandise to Dealer and supersede all prior terms and conditions for the sale of merchandise,
whether in writing or otherwise, between the parties. These Terms and Conditions may be not be modified by
Dealer except with the prior written consent of O.W. Lee, which consent may be withheld by O.W. Lee in its sole
discretion and which consent must be executed by an authorized O.W. Lee representative. Dealer’s submission
of orders constitutes Dealer’s acceptance of and agreement to these Terms & Conditions in their entirety.
O.W. Lee and Dealer agree that each provision of these Terms & Conditions shall be construed as separable
and divisible from every other provision and that the enforceability of any one provision shall not limit the
enforceability of any other provision(s) hereof. The section headings contained in these Terms & Conditions are
for reference purposes only and shall not affect the meaning or interpretation hereof. No waiver by O.W. Lee or
Dealer of any default of the other hereunder shall be deemed to be a waiver of any subsequent default.

Warr ant y
All warranties apply to the original owner only and begin at the date of purchase. Proof of purchase is required with all claims.
FRAME:
Your OW Lee frame comes with a twenty (20) year structural warranty
when properly maintained in ordinary home use. OW Lee will, at factory
option, repair or replace any OW Lee furniture that has failed structurally
during normal use and regular maintenance.
FINISH:
Wrought Iron: OW Lee offers a three (3) year warranty against blistering
or peeling of the frame finish under normal use and proper maintenance.
OW Lee will, at factory option, refinish or replace your OW Lee wrought
iron furniture if either of the above occurs within a three-year period from
the date of purchase. Occasional rust seepage from crevices and hidden
unfinished surfaces inherent in some ornate designs is considered a care
and maintenance function and is not considered a finish failure.
Wrought Aluminum: OW Lee offers a seven (7) year warranty against
blistering or peeling of the frame finish under normal use and proper
maintenance. O.W will, at factory option, refinish or replace your OW Lee
wrought aluminum furniture if either of the above occurs within a threeyear period from the date of purchase.
CUSHIONS:
OW Lee offers a two (2) year warranty on all cushions. This extended
warranty covers the quality of the craftsmanship and construction of
the cushion, as well as any fading or discoloration of the fabric, which
has been properly maintained as listed in our care and maintenance
instructions. OW Lee will, at factory option, repair or replace your OW
Lee cushions if determined defective as listed above within a two-year
period from the date of purchase. C.O.M. fabrics are not covered under this
warranty.
TABLE TOPS:
OW Lee offers a two (2) year warranty on all Faux Stone, Tumbled Marble,
Honed Marble, Slate and Granite tops from date of delivery. This limited
warranty covers the workmanship and structural integrity of the top.
OW Lee will, at factory option, repair or replace any tabletop found to
be defective during this warranty period. Regular maintenance must be
exercised as set forth in the care instructions. This warranty does not
apply to the use of another manufacturer's table base as support for
an OW Lee table top, and does it apply to the incorrect installation of
the base, by the retail store or customer. This warranty does not apply
to any damage caused by shipping, accidents, misuse, alterations or repairs
made by anyone other than OW Lee. No other person is authorized to assume
liability on behalf of OW Lee, and in no event shall OW Lee be liable for any
contributory or subsequent damage related to the merchandise purchased
from OW Lee.
This warranty does not apply to the use of another manufacturer's
table base as support for an OW Lee table top, nor does it apply to the
incorrect installation of the base, by the retail store or customer. This
warranty does not apply to any damage caused by shipping, accidents,
fading, staining, natural weathering, misuse, alterations or repairs. No
other person is authorized to assume liability on behalf of OW Lee, and
in no event shall OW Lee be liable for any contributory or subsequent
damage related to the merchandise purchased from OW Lee.
Component Parts:
Purchased component parts such as glides, bolts, wheels, umbrella
frames, etc. that fail due to a manufacturers defect within one (1) year from
the date of purchase, OW Lee will, at factory option, repair or replace the
part in the original color or style, or a similar color and style if the part has
been discontinued.
ITEMS NOT COVERED UNDER
WARRANTY:
• Any failure caused by unreasonable use or abuse;
• Rust seepage or bleeding from crevices or hidden, non-finished
surfaces inherent in some ornate wrought iron designs;
• Rusting and/or oxidation of frames resulting from exposed metals
that have been scratched, chipped or not maintained as outlined in
the care & maintenance instructions;
• Natural fading or discoloration of fabrics beyond warranty period;
• C.O.M. fabrics (Customer's own Material);
• Normal fading of frame finish;
• Accidental damage (including fire, wind or other acts of God);
• Permanent stains caused by lotions, oils or other substances;
• Hard-water deposits or calcium build-up due to minerals found in
regional water supplies;
• Table tops installed and/or used with other manufacturer's table
bases, or incorrect installation of the base to the table top;
• Furniture used for commercial or institutional use. (See Commercial
Warranty);
Please Note: Regular maintenance must be exercised as set forth in the care instructions.
Return of Furniture:
PRIOR AUTHORIZATION from the factory or factory representative is
required. You must be the original purchaser and be able to provide proof
of purchase when you make a claim. To submit a warranty claim, contact
our warranty department at (800) 776-9533, via fax: (909) 947-6614 and/
or via email at [email protected]; or you may contact your local factory
representative.
If the complaint is covered by warranty and the furniture returned within
24 months from the date of purchase and is within 36 months of the
manufacturer's delivery date to the dealer or installation, OW Lee will
arrange for freight pick-up and pay the surface freight to and from the
factory. The retailer is responsible for freight charges to and from the
factory if beyond the timeframe stated above. Return furniture must
be cartoned for freight pick up. Furniture must have been used only for
residential or commercial use as defined in the original purchase order.
Except as expressly provided herein, OW Lee makes no warranties, whether
express or implied including, but not limited to, warranties of merchantability
and fitness for a particular purpose. OW Lee's limited warranty claims may
only be processed directly through OW Lee by the dealer who made the sale of
the merchandise.

Since 1947, OW Lee has been dedicated to the design
and production of fine handcrafted casual furniture. From
their 100,000 square foot manufacturing facility in Ontario,
California, artisans combine centuries-old techniques with
state-of-the-art equipment to produce beautiful casual
furniture. Truly an American family tradition, OW Lee
began in Pasadena, California by Oddist W. Lee in 1947 as a
wrought-iron gate manufacturer for the luxurious estates
of Southern California. Due to increased requests from
local patio furniture store owners, Oddist began to design
and sell high-end patio furniture directly. In 1954, he
incorporated under the name OW Lee Co., Inc.
Oddist’s son, Bob, joined his father after high school and
continued in the business after Oddist retired. Throughout
the 70’s, 80’s, and early 90’s, Bob Lee and his wife Beverly,
established OW Lee as a well known and reputable
manufacturer in the ever growing casual furniture industry.
In 2008 they were awarded the Lifetime Achievement
Award by the International Casual Furnishings Association.
It is reserved for individuals who have made exemplary
contributions to the industry and to their communities.
The third generation of the Lee family maintains Oddist’s
commitment to quality more than 60 years later. Bob’s
son Brian, daughter Terri, and son-in-law Chris continue to
build OW Lee into the premier name in casual furnishings
and pledge to continue the tradition.
