Congratulations on your engagement & thank you so much for your interest in Benmiller Inn & Spa for hosting your
wedding! It is such an incredible property, and very different from what you would usually find in a hotel style facility.
We will work with you from the very beginning to ensure every detail reflects your wishes of your very Special Day –
from accommodations, catering, décor ideas and entertainment needs.
With all of the amenities of a full service Inn at your fingertips, you can relax and let myself coordinate your special
day, which can include some of the following:

Our venue rental is $1500.00 plus taxes and includes your function space (indoor or outdoor), chairs, signing table,
set-up and teardown of chairs, white linen table clothes and napkins, full place setting, printed menus, standard table
candle holders, dance floor, head table, podium, easels, gift tables and cake table. We can accommodate weddings
of 40 or less in a private space or 90-130 using all of our dining space. Weddings of 41-90 people can be arranged
with a minimum room, food and beverage requirement.
We also offer preferred guestroom rates based on availability for your guests. Guest room rates are dependent on the
date selected, availability and the number of attendees.
As we utilize our gorgeous Ivey Dining Room to host your wedding dinner, there are some minimum requirements for
accommodations.

Nestled in a wooded hollow on the banks of the Maitland River and Sharpe’s Creek, the Benmiller Inn &
Spa welcome you to a haven of historic charm, natural beauty and authentic country inn hospitality. Five
buildings offer 57 unique guest rooms, each with their own charm. Created from a group of carefully

restored mills dating back to the 19 century, the Benmiller Inn & Spa offers a charmingly historic and
romantic ambience with a naturally beautiful backdrop for small intimate weddings with just close family
and friends (40 or less) or more elaborate affairs of 90-130 guests. The ceremony can take place in a
variety of different locations including our fireside den, the Miller room overlooking Sharpe’s Creek or
outside amongst nature on our patio or lawn. Following the ceremony we can help you host an elegant
cocktail hour, after which a gourmet dinner would be served in one of the three rooms that make up the
Ivey Dining Room.

WOOLLEN MILL BUILDING
The Woollen Mill once used to manufacture wool
blankets in the early 1900’s is now home to 12 unique
guest rooms on the second and third floor. As well as
Jonathan’s Lounge and the stunning Ivey Dining
Room. While enjoying dinner, you and your guests can
enjoy the beautiful sights of Sharpe’s Creek or the
manicured gardens.

RIVERMILL BUILDING
Rivermill, a former gristmill overlooks the Maitland
River and houses 21 rooms, our indoor heated pool,
hot tub & sauna as well as our Petite Aveda spa.

GLEDHILL BUILDING
Gledhill House was at one time the home of Thomas
Gledhill and his family who owned the Woollen Mill.
With two wings added to the original house, the
reconstruction added 2 function rooms and 18 guest
rooms, many of which have balconies that overlook
Sharpe’s pond.

MILL HOUSE BUILDING
Mill House is perfect for the couple looking for a quiet,
relaxing retreat as it features just 4 rooms all with breath
taking views of the Maitland River. Two of the suites have
a wood burning fireplace and whirlpool tub.

SHARPES RETREAT
Sharpe’s Retreat located on the pond, is a two-bedroom refuge with private kitchen, formal
dining room, living room, private balcony and adjacent manicured grounds. The perfect setting
for an intimate gathering.

Benmiller Classic Room
Our standard rooms are located in the historic Woollen
Mill and thus are conveniently close to the dining room
and lounge. Each room has a queen bed. These guest
rooms have antique furnishings in elegant rustic
surroundings. Classic rooms are best suited for single or
double occupancy only.
Benmiller Country Room
These rooms provide a larger guest room than the
classic room and feature a king or queen bed. The
Country rooms have a variety of different views looking
out over various areas of the Inn. These rooms will only
allow single or double occupancy.
Benmiller Ivey Rooms
Spacious rooms featuring our signature feather-top king
bed. SOME of these rooms have a kitchenette that
supplies you with a Keurig coffee maker and bar fridge.
The Ivey Rooms have an array of views throughout the
property and would be best suited for double occupancy.
Benmiller Select Rooms
Oversized rooms featuring a king bed and a balcony with
gorgeous views of either Sharpe`s Pond or the Maitland
River. All of these rooms have a kitchenette that supplies
you with a Keurig coffee maker and bar fridge. Many of
the Select Rooms have a queen sofa bed available for
additional overnight guests. Maximum of four adults per
room.
Benmiller Spa Room
Located in the River Mill Building, these spacious rooms
each include a king bed, whirlpool bath and large window
overlooking either the Maitland River or Gledhill Pond.
These rooms are the newest addition to the inn giving
them a more modern feel and style. All of these rooms
have a Keurig coffee maker and bar fridge. The spa
rooms are only suitable for up to two guests.
Benmiller Deluxe Suite
Spacious suites featuring a king bed with your
choice of a fireplace, Jacuzzi tub or sauna (some have all
three!). All rooms have a queen sofa bed in the sitting
area, kitchenette with full size fridge, microwave, Keurig
coffee maker and a beautiful view of the Maitland River
or Gledhill Pond and make the perfect destination for a
romantic weekend away! Each room can accommodate
up to four guests when utilizing the sofa bed.

All rates quoted include a full breakfast if
staying overnight on a Sunday-Friday
night or Sunday Brunch if staying
overnight on Saturday night. Rates are
based on up to two guests per room.
Additional guests $35 per person; $10 per
child under 12.Taxes are additional;
gratuities are at your discretion.
The bride and groom would receive a
complimentary guest room on their
wedding night including breakfast (brunch
if a Saturday wedding) with a minimum 25
guest rooms reserved with the wedding
block.
GUEST ROOM CHECK IN/OUT: Guest
room check in is 3:00 pm and check out is
11:00 am
A credit card is required at time of booking
to secure the reservation and cancellation
fees may apply.
In order to have music after 11:00pm all
rooms in the Woollen Mill must be booked
with the wedding. (5 Classics, 3 Country
and 4 Ivey’s)

There is a $1500.00 venue fee which includes:

choose from (indoor ceremony space can only accommodate up to 98 chairs plus standing bridal party)
o A table and chair for the signing of the registry – with white linens (not decorated)
 The grounds for taking wedding photos
 Banquet Room Rental from 12 noon until 1:00 am on the wedding day; access to the room earlier is subject to
availability, basic set-up and clean-up of the Banquet room and adjoining patio.

DIRECTIONS
The Benmiller Inn & Spa is located between Goderich and
Clinton just off of highway #8.
A 2 ½ hour drive from both Toronto and Detroit and only a 1 hour trip
from London.
From London:

Take Highway #4 (Richmond Street) to Clinton

Left on Highway #8 west

11 km past Clinton on #8 turn right on Huron Road #1 (at
Benmiller Sign)

3 km to the Inn (entrance gates on the left hand side)
From Toronto:

Highway 401 west from Toronto to exit 278 towards
Kitchener/Waterloo

Take Highway #8 exit towards Stratford

Merge onto Highway #7 west and stay on for 45 km

This turns into Highway #8 in Stratford (Ontario Street)

Continue to follow Highway #8 towards Goderich for 72
km

Between Clinton & Goderich turn onto Huron Road #1 (at
Benmiller Sign)


Benmiller Inn & Spa Wedding Policies and Procedures (the fine print):
Venue Fee: There is a $1500.00 venue fee, which includes the basic setup of the ceremony and dinner locations as well as the following items: a location for the
ceremony, the grounds for taking wedding photos, a table and chair for the signing of the registry, white linen tablecloths and napkins, rectangle banquet tables, all
tableware's, 2 candles for each table, cake table, gift table, DJ table, wired microphone in the dining room. If you request/require items that the inn does not have
(such as high cocktail tables, wireless microphone) the rental fee would be passed along to you the client. The event coordinator would advise you of these
charges prior to confirming rental.
Minimum Requirements: To have the entire dining room exclusive for a wedding of Forty (40) or more people which occur on a Saturday in June through
October it is required that a minimum of Thirty Five (35) guest rooms to be reserved on the Saturday evening or a minimum $10,000 food and beverage
requirement (prior to tax & gratuity). No matter how large the wedding in order to have music after 11:00pm all rooms in the Woollen Mill must be booked with the
wedding. (5 Classics, 3 Country and 4 Ivey’s).
Accommodation Requirements & Rates: Benmiller Inn and Spa and you, the event organizer agree that the Guest Room Block shall be reserved at the guest
room rate agreed to by the parties in this contract subject to the terms and conditions of this contract, after the receipt of the signed contract and deposits within
the times provided in this agreement. The guest room rates are quoted in Canadian funds on a per unit, per night basis maximum two adults per guest room.
Benmiller Inn and Spa will confirm room rates six months prior to the event arrival date. All prices will be based on the Benmiller Inn and Spa rate structure in use
at time of the event. All rates are subject to applicable taxes in effect at the time of the wedding. These taxes on accommodations are currently 13% HST.
Individual Guest Room Reservations: Reservations will be made by individual attendees directly with the hotel. Please have guests identify themselves as
attending your wedding to ensure they receive the preferred guest room rate. Guests should retain their confirmation number, which will be provided by the
reservation agent and use this number when referring to their booking. Reservations MUST be made directly by calling Benmiller Inn and Spa at (519) 524-2191,
toll free at 1-800-265-1711, by fax at (519) 524-5150.
All reservations must be secured by a major credit card. Upon check in at Benmiller Inn and Spa the guests will be asked for a credit card imprint. If the
reservation is cancelled less than 24 hours before arrival date or the stay shortened the full value of the original reservations will be charged. If reservations are
cancelled with more than 24 hours’ notice a $25 per room cancelled will be charged.
Guest Room Block Release Dates: The Guest room Block will be held until 30 days before the contracted arrival date. All blocked rooms remaining unreserved
on this date will be released for general resale and guest reservations will be accepted on a first-come, first served basis at the best available Benmiller Inn and
Spa rate of the day. Note that your group rate may not be available after this due date. You will be subject to all Guest room Block Attrition conditions as
detailed in this agreement. Benmiller Inn and Spa will hold rooms for your wedding after the 30 days prior to the event provided that you agree in writing to
guarantee full payment for those rooms held at the agreed group rate for the entire booking period.
Benmiller Inn and Spa will allow certain attrition of pre-blocked rooms on the following basis: After this agreement is signed and the first deposit is received, you
may, up until a date 90 days, prior to the group arrival date set out in this agreement, reduce the number of confirmed room nights by 10%.
Function Room Requirements: Outlined on this contract is the space being held for your wedding. Wedding event space is assigned according to the number of
persons guaranteed to attend. Benmiller Inn and Spa reserves the right to assign the space listed in “Events Agenda” to accommodate your wedding and all other
groups or parties who are using the facilities during the Group's Official Booking Dates. Wedding event space is reserved only for the time indicated. Additional
set-up/tear-down time, if required, must be specified on the program and may be subject to additional charges. A detailed evening and daytime wedding function
space specifications are required by you 30 days prior to your arrival date.
Food & Beverage Guarantee: Where food and/or beverage functions have been scheduled, an estimated number of people expected to attend will be required
at the time of booking.
Prior to any organized functions the final guaranteed number of persons is required thirty (30) days in advance. If a guaranteed number is not supplied within this
time frame, we shall assume it to be the highest figure of the attendees estimate most recently supplied to us by your group and charge according to these
attendance numbers.
All food and beverage decisions should be made 3 month prior to the wedding. All menu selections must be finalized thirty days prior to the wedding date. Menu
selections less than 21 days out may be limited in availability. Any menu submitted or changed less than seven days before the function are subject to a 10%
surcharge.
You, the organizer acknowledges that Benmiller Inn and Spa is relying upon the Food & Beverage functions outlined in this agreement.
You, the organizer must initially confirm the expected number of guests at the catered functions as per this contract at the time that you return a signed copy of this
agreement. At that time, you will be considered to have committed to the functions described above and the number of attendees as notified by you to Benmiller
Inn and Spa.
You will be allowed 20% attrition from the number of confirmed attendees without payment of any fee or other charge. You agree to pay Benmiller Inn and Spa , as
liquidated damages and not as penalty, in full at the contracted rate, if settled, or otherwise, the estimated rate as set out in “Food & Beverage Attrition Charges”
below, for the full number of attendees, less the 20% allowed attrition, notwithstanding that there may be fewer actual attendees. All food & beverage attrition
charges owed by the group will be settled to the group's master account.
If the group has finalized its menus for all of its functions and settled the charges therefore, then food attrition charges will be payable at that rate together with the
following additional charges: 13 % HST and 17% gratuity.
If the group has not yet finalized its menu or the price therefore, attrition charges will be based on Benmiller Inn and Spa's minimum catering selections, on a per
person basis, in effect as of the date of the event.
The Benmiller Inn only charges Liquor based solely on consumption. Alcohol estimates will be made on the contract and event order however liquor will be
charged solely based upon consumption.
Taxes & Service Charges: 13% HST is charged on everything and a service fee (gratuity) of 17% will be applicable on all the functions that are included in the
master billing portfolio. Service charges are not applicable for any cash bar services.
Benmiller Inn and Spa's Sales & Catering Department will contact the couple to assist in the planning and actual details of the wedding. These details include
specific accommodation, food and room set-ups.
Banquet Event Orders: Once arrangements are confirmed with the Sales Manager assigned to your group, Banquet Event Orders (BEO) will be issued for your
approval and signature prior to your first function. These BEO's will supersede the function arrangements outlined on this document and will be considered the
final Schedule of Events.
Group Agreement: This Group Sales Contract along with the applicable Benmiller Inn and Spa policies and procedures contain all of the terms agreed upon by
the parties with respect to the subject matter of this Contract and supersedes all prior agreements, arrangements and communications between the parties
concerning such subject matter, whether oral or written. Any amendment to these terms must be made in writing and signed by both parties.
Notice: Any notice required or permitted under this contract should be made in writing (I) either by actual delivery of the notice or (II) by certified or registered mail,
return receipt requested, all postage prepaid and addresses to the party to whom the notice is to be given at the address set forth in the first page of this contract,
or at such other address as the parties may from time to time designate. The notice shall be deemed given in case (I) on the date of its actual receipt by the party
entitled thereto and on case (II) three days following the actual date of mailing.
Liability: Benmiller Inn and Spa cannot be responsible for loss or damages to any rentals, displays, properties or personal effects brought to Benmiller Inn and Spa for
the purpose of your function. Benmiller Inn and Spa is not liable for any injury to any participants in any activities or in any way whatsoever, with respect to their function,
etc., except those claims arising out of the sole negligence or willful misconduct of Benmiller Inn & Spa. In the event that any damage occurs to the Resort's furniture,
fixtures, building, or equipment caused by installation, presence, and/or removal of exhibits and exhibit materials, or the negligence of the group's guests, Wedding shall
reimburse Benmiller Inn and Spa for the cost of such repairs or replacement as may be necessary; whichever is of less cost.
Indemnification: To the extent permitted by law, you agree to protect, indemnify, defend and hold harmless Benmiller Inn and Spa, the Owner, and their respective
employees and agents against all claims, losses or damages to person or property, government charges or fines, and costs (including reasonable attorney's fees), arising
out of or connected with your function, except those claims arising out of the sole negligence or wilful misconduct of Benmiller Inn and Spa.
Check-In Time/Check-Out Time:
Please advise your guests that our check-in time is after 3:00 PM. While every effort is made to accommodate guests arriving early, rooms may not be
immediately available. Our check-out time is 11:00 AM. Requests to retain rooms beyond that hour may not be available and subject to late checkout fees. There
may be an additional charge of a half-day room rate.
Early Departure: Guests will be asked to verify their departure date at check in. At this time or during the course of their stay, if a delegate chooses to depart
before the original agreed upon check out date, they will be assessed all room night charges to their credit card or master account if the room charges were
guaranteed to the master account.
Audio Visual Aids:
Benmiller Inn and Spa is pleased to have basic Audio Visual Equipment on site. All audiovisual arrangements can be made directly with your Benmiller Inn and
Spa Sales Manager. Prices can be supplied upon request and billing will be arranged directly with Benmiller Inn and Spa.
Promotional Materials & Signs/Room Set-Up: Nothing shall be posted on, nailed, screwed, or otherwise attached to columns, walls, floors, or other parts of the
building or furniture.
Only pre-authorized signs etc., will be allowed in any lobby, foyer, function room or outdoor areas. Any repairs necessary through contravention of this policy will
be billed back to the Master account. All room setups must conform to existing fire code requirements i.e. Access to fire exits. Communication of the above
requirements to guests is the responsibility of the organizer and will be strictly enforced by Benmiller Inn and Spa.
External Food & Beverage: The Benmiller Inn and Spa is the sole provider of Food and Beverage in our establishment. Except for event cakes (cupcakes), no
other food items are to be brought into the Benmiller Inn & Spa. We request that any event cakes requiring refrigeration be delivered on the day of the actual
event. If outside food and/or beverages are brought in to a licensed area, a penalty fee of $25.00 per person plus service and taxes will be added to the group's
master account. Guest rooms are excluded.
The A.G.C.O. regulates the sale of alcoholic beverages. As a licensee, this property is responsible for the administration of these regulations. Therefore, no
alcoholic beverages can be brought into or taken out of our licensed establishment from any outside sources, which includes all donated alcohol products. It is the
law that all alcohol products consumed at this property must be purchased through the L.C.B.O. or Brewer's Retail by this property.
Important Hotel Procedures:
The following fee structures are applicable for the services outlined below:
Furniture Removal: $50.00 per room for removal of large pieces of furniture (beds, armoires, chairs, TV's etc)
Room Deliveries: $2.00 per room per item for delivery of pre-sorted items
Luggage Handling: $6.00 per person round trip
Clean-Up Charges: Excessive cleanup will result in additional charges based on labour required to clean up. Fees will be based on an hourly rate of
$20.00 per hour per employee.
All of the above charges are subject to applicable taxes and service charges.
Shipping & Storage of Materials: Benmiller Inn and Spa is not responsible for drayage or materials handling. Please ensure that you have made prior
arrangements for drayage or materials handling before any shipment of materials to
Benmiller Inn and Spa. Materials being delivered to Benmiller Inn and Spa must not be delivered prior to the set-up date. All materials should be clearly labeled
with the function name, function date, function room, and Sales Manager's name.
Billing & Credit Arrangements: Under the terms of this agreement the guests will be required to pay for their own Guest rooms under the conditions as outlined
in the “Policies & Procedures for this Agreement- Method of Reservations” section. All other charges including but not limited to Function Rooms, Food &
Beverage, Activities and Incidentals will be applied to the groups Master Account as indicated by you the event organizer.
Event Deposit Structure/Cancellation: Benmiller Inn and Spa requires a deposit of $1500 on signing to guarantee your group's space. This deposit is intended
as consideration for Benmiller Inn and Spa entering into this agreement and to ensure its reservation of the rooms and facilities as set out in this agreement. All
deposits are non-refundable upon receipt except for events arising as a result of the default of Benmiller Inn and Spa under the terms of this agreement. If you
fulfill all of the terms of this agreement, all deposits will be applied as credit to the final bill. In the event a credit card is not available, Personal Certified Checks will
be acceptable for the deposit.
In the event of any failure to make the deposits as required hereby within 2 business days of the date of deposit, Benmiller Inn and Spa may cancel this contract
with notice to you demanding payment and if such demand is not met promptly the deposits will be forfeited to Benmiller Inn and Spa as a genuine estimate of
liquidated damages and not as penalty.
A minimum of Twenty Five percent (25%) of the estimated fixed costs (food, venue fee) is due in at least 90 days prior to the event taking place. The
deposits for the fixed costs are non-refundable if cancellation occurs.
A minimum of Sixty percent (60%) of the estimated fixed costs (food, venue fee) is due in at least 60 days prior to the event taking place. The deposits
for the fixed costs are non-refundable if cancellation occurs.
The remainder of estimated fixed costs (food, venue fee) is due in FULL at least 30 days prior to the event taking place. The deposits for the fixed costs
are non-refundable if cancellation occurs.
Any outstanding balances (such as the non-fixed charges like alcohol) on your account are to be settled within 10 business days from the end of the event.
Interest charges calculated at 1.5% per month will be charged to all late accounts. All payments must be paid by credit card, cash, check or a bank draft. Please
indicate the name and date of your event on any checks issued to Benmiller Inn and Spa to ensure credit is placed on the correct account.
Over payment (if your bar charges are less than estimated) you will be refunded onto a credit card OR if you prefer a refund cheque can be issued (cheque issuing
can take up to 30 days to process).
If you, the organizer cancels this contract, then you, the organizer agrees that in addition to the forfeiture of deposits, Benmiller Inn and Spa will be entitled to be
paid as liquidated damages and not as penalty the following further amounts:
If the cancellation happens more than 6 months before the group arrival date as set out in this contract, Benmiller Inn and Spa will be entitled to the following
compensation: 20% of each of the contracted revenue for guest and function rooms; food and beverages or if such amount has not been settled, an estimate
amount calculated as set forth in the Food & Beverage Attrition Charges.
The performance of this agreement is subject to termination without liability upon the occurrence of any circumstances beyond the control of either party-such as
acts of God, declared war, government regulations, event of terrorism, disaster, strikes (except those involving the employees or agents of the party seeking the
protection of this clause), civil disorder, or curtailment of transportation facilities-to the extent that such circumstances makes it illegal or impossible to provide or
use the hotel facilities. The ability to terminate this agreement without liability pursuant to this paragraph is conditioned upon delivery of written notice to the other
party setting forth the basis for such termination as soon as reasonably practical-but in no event longer than ten (10) days-after learning of such basis.
Agreement Conditions: All provisions outlined are conditional on the program as stated within this agreement. If there should be any significant changes to the
program herein, all arrangements detailed will become subject to re-negotiation.
Confirmation of Agreements:
Should you have any questions or comments with regard to the text of this Agreement, please contact Benmiller Inn & Spa within 7 days from the date this contract
was printed (stated on the bottom of this contract). If we have not received your confirmation or direction by this date, we will assume the right to release all space
for resale.
