UNITED STATES BANKRUPTCY JUDGE:
U.S. Bank National Association, solely in its capacity as indenture trustee (the “Trustee”)
with respect to the 7.5% Senior Secured Notes Due 2016 (the “Senior Secured Notes”) issued by
Debtor American Airlines, Inc. (“American”), and guaranteed by Debtor AMR Corporation
(“AMR”), hereby objects to the Debtors’ Motion For An Order (I) Approving Notice Of
Disclosure Statement Hearing; (II) Approving Disclosure Statement; (III) Establishing A Record
Date; (IV) Establishing Notice And Objection Procedures For Confirmation Of The Plan;
(V) Approving Solicitation Packages And Procedures For Distribution Thereof; (VI) Approving
The Forms Of Ballots And Establishing Procedures For Voting On The Plan; And
(VII) Approving The Form Of Notice To Non-Voting Classes Under The Plan [Docket No. 7633]
(the “Motion”), by which the Debtors seek approval of the Proposed Disclosure Statement For
Debtors’ Joint Chapter 11 Plan [Docket No. 7632] (the “Disclosure Statement”) to accompany
the Debtors’ Joint Chapter 11 Plan [Docket No. 7631] (the “Plan”).2 In support of this
Objection, the Trustee respectfully represents as follows:
PRELIMINARY STATEMENT

The Trustee has claims of more than $1 billion against American and AMR on
account of the Senior Secured Notes, which the Debtors previously have acknowledged to be
oversecured and adequately protected by a substantial “equity cushion.” As a creditor with such
substantial claims, the Trustee should be able to ascertain from the Disclosure Statement, at a
minimum, the information necessary to determine the classification and treatment of the Senior
Secured Notes under the Plan.

The Debtors’ proposed Disclosure Statement, however, fails to provide that
rudimentary information. In particular, the Trustee cannot determine from information included
in the Disclosure Statement as currently drafted either (a) the class(es) of claims into which the
Debtors propose to classify the Senior Secured Notes; or (b) the specific treatment proposed to
be provided to the Senior Secured Notes. As a result, the Disclosure Statement lacks the
requisite adequate information pursuant to section 1125 of the Bankruptcy Code.

The Trustee submits that the Debtors should be required to supplement the
Disclosure Statement in at least two important respects. First, the Disclosure Statement should
be modified to include information specifically identifying the class(es) of claims into which the
Debtors have classified the Senior Secured Notes. Second, the Disclosure Statement (and Plan)
should be amended to specifically identify the proposed treatment of the Senior Secured Notes.
In particular, although the Disclosure Statement appears to contemplate that the Senior Secured
Notes will not be impaired under the Plan, the Disclosure Statement fails to explain how the
Debtors propose to “unimpair” the Senior Secured Notes, which currently are in default with
well over $150 million in unpaid interest, default interest, and fees and costs now due and
payable.

In addition, the Disclosure Statement fails to provide adequate information
regarding the mechanics and processes applicable to the Senior Secured Notes and the Trustee
with respect to balloting, distributions and notices for the beneficial holders of the Senior
Secured Notes. Although the Disclosure Statement does include information regarding such
mechanics and processes generally, those provisions appear to be inapplicable to the Senior
Secured Notes. The Debtors should be required to remedy such ambiguity. The Debtors should

also be required to confirm whether certain Plan provisions regarding “Indenture Trustees” apply
equally to the Trustee.

To date, despite several requests, the Debtors have refused to provide such
information to the Trustee or in the Disclosure Statement. Without it, the Disclosure Statement
does not and cannot provide the Trustee and holders of the Senior Secured Notes with adequate
information sufficient to make an informed determination about the proper course of action with
respect to the Plan. Accordingly, absent the requested modifications, the Disclosure Statement
fails to comply with the requirements of section 1125 of the Bankruptcy Code and the Motion
should be denied.
BACKGROUND

On March 15, 2011, American issued the $1,000,000,000 Senior Secured Notes
pursuant to an Indenture among American, AMR, the Trustee and Wilmington Trust Company,
solely in its capacity as collateral trustee with respect to the Senior Secured Notes. The Senior
Secured Notes are primary obligations of American and guaranteed unconditionally by AMR.

As set forth in the Disclosure Statement, the Senior Secured Notes are “secured
by certain route authorities, airport landing and takeoff slots, and rights to use or occupy space in
airport terminals,”3 described and defined in the Disclosure Statement as the “SGR Collateral.”4
According to the Debtors, “[t]he most recent appraisal, dated as of November 30, 2012,
appraised the SGR Collateral at $2.58 billion,”5 rendering the Senior Secured Notes substantially
oversecured. The Debtors, however, have made no payments on the Senior Secured Notes since

the Petition Date, and well over $150 million in unpaid interest, default interest, and fees and
costs are now due and payable in respect of the Senior Secured Notes.6

On April 15, 2013, the Debtors filed their proposed Disclosure Statement and
Plan, along with the Motion, which seeks, among other things, “an order . . . approving the
Disclosure Statement under section 1125 of the Bankruptcy Code.”7 Neither the Disclosure
Statement nor the Plan specify the class(es) into which claims regarding the Senior Secured
Notes (and AMR’s guarantee of the Senior Secured Notes) are classified or identify the treatment
of those claims.

As a consequence, the Trustee subsequently contacted counsel to the Debtors to
request that the Disclosure Statement be amended to include information regarding the
classification and treatment of the Senior Secured Notes and, at the Debtors’ request, the Trustee,
on April 30, 2013, provided specific proposed language to be added to the Disclosure Statement
and Plan in that regard. To date, however, the Debtors have not responded to the Trustee’s
request for the inclusion in the Disclosure Statement of additional clarifying language. Despite
its best efforts and several follow up attempts, the Trustee currently does not know the Debtors’
position with respect to the proposed language and, thus far, has been unable to resolve its
objections to the Disclosure Statement’s lack of adequate information respecting the Senior
Secured Notes.

On July 16, 2012, the Trustee filed a Proof of Claim against American on account of the
Senior Secured Notes, which claim has been identified on the official claims register in these
cases as Claim No. 11312. Also on July 16, 2012, the Trustee filed a substantially similar
claim against AMR on account of AMR’s guaranty of American’s obligations under the
Senior Secured Notes. That Proof of Claim has been identified on the official claims register
in these cases as Claim No. 10761.

“Disclosure is the ‘pivotal’ concept in [a] Chapter 11 reorganization.”8 In
particular, in the context of a proposed plan of reorganization section 1125 of the Bankruptcy
Code requires a plan proponent to provide creditors with “adequate information” with which to
make an informed decision regarding the proposed plan.9

Section 1125 defines “adequate information” as “information of a kind, and in
sufficient detail, as far as is reasonably practicable in light of the nature and history of the debtor
and the condition of the debtor’s books and records . . . that would enable such a hypothetical
investor of the relevant class to make an informed judgment about the plan.”10 At the core, and
in the most basic terms, a creditor must be able to determine “what it is going to get, when it is
going to get it, and what contingencies there are to getting its distribution.”11

In assessing the adequacy of a proposed disclosure statement, the standard is not
whether a failure to disclose certain information would harm creditors. Rather, the appropriate
measure is whether “hypothetical reasonable investors receive such information as will enable
them to evaluate for themselves what impact the information might have on their claims and on
the outcome of the case, and to decide for themselves what course of action to take.”12

The fact that, as here, certain classes of claims are alleged to be unimpaired under
a plan does not alter the nature or type of information required for disclosure statement approval.
Indeed, a statement by a debtor that a class is not impaired “does not necessarily make it so,”13
and a creditor may contend that its claim is improperly labeled as “unimpaired” given the
treatment contemplated by a plan.14 Moreover, creditors whose claims are not impaired under a
plan have standing to object to a disclosure statement15 because “all parties have an interest in
good faith, feasibility and sound administration of the voting process” regardless of their label as
impaired or unimpaired.16

As shown below, the proposed Disclosure Statement here does not contain
information about the classification or treatment of the Senior Secured Notes. As such, the
Disclosure Statement fails the basic test of adequate disclosure because it does not inform the
Trustee and holders of the Senior Secured Notes what they are going to get, when they are going
to get it, and what contingencies there are to getting it.
A.
The Disclosure Statement And Plan Fail To Specify The Classification Of The
Senior Secured Notes.

To start, it is impossible to ascertain from the Disclosure Statement the class (or
classes) into which the Debtors propose to classify Senior Secured Notes.

The classification scheme contemplated under the Plan and described in the
Disclosure Statement divides claims into three groups of debtors (which the Debtors seek to
substantively consolidate) – the AMR Debtors, the American Debtors and the Eagle Debtors.17
•
Claims against the American Debtors (which include American) are
classified into eight classes, including two classes of secured claims – American Class 1
(American Secured Aircraft Claims) and American Class 2 (American Other Secured
Claims).18 American Class 1 is limited to “Secured Aircraft Claims” against American,
which generally are claims secured by “Aircraft Equipment.”19 American Class 2 is a
“catch all” class that includes all secured claims against American other than Secured
Aircraft Claims.20

Claims against the AMR Debtors (which include AMR) are classified into
six classes, including two classes of unsecured claims – AMR Class 3 (AMR General
Unsecured Guarantee Claims) and AMR Class 4 (AMR Other General Unsecured
Claims).21 AMR Class 3 includes “AMR General Unsecured Guaranteed Claims” against
AMR in respect of obligations that also constitute general unsecured claims against
American,22 and AMR Class 4 is a “catch all” class that includes all other general
unsecured claims against AMR.23

There are two claims arising in respect of the Senior Secured Notes – a secured
claim against American respecting American’s primary obligations and an unsecured claim
against AMR respecting AMR’s unconditional guarantee of the Senior Secured Notes. The
secured claim against American is secured by collateral other than Aircraft Equipment.
Accordingly, by process of elimination, it appears that the Debtors intend for the Senior Secured
Notes to be classified as American Class 2 Claims under the Plan.

Oddly, however, neither the Disclosure Statement nor Plan actually specify this
presumed classification. Given that the Senior Secured Notes represent claims of more than
$1 billion, and that the Senior Secured Notes are specifically described elsewhere in the
Disclosure Statement in reference to “American Debt Financing and Other Obligations,”24 it is
reasonable to expect the Debtors to disclose the class into which they propose to classify such a
material obligation. Indeed, the Disclosure Statement and Plan specifically reference and
describe the classification and treatment of dozens of other smaller claims arising under various
note indentures.25 Yet there is no similar disclosure whatsoever with respect to the Senior
Secured Notes.

The Disclosure Statement is similarly opaque with respect to claims arising in
respect of AMR’s guarantee of the Senior Secured Notes. At first blush, AMR Class 3 – “AMR
General Unsecured Guaranteed Claims” – seemingly would encompass the Senior Secured
Notes. Upon closer inspection, however, this appears not to be the case because “AMR General
Unsecured Guaranteed Claims” are defined to include only unsecured claims for which

American has guaranteed AMR’s liability, whereas the Senior Secured Notes are secured claims
that are primary obligations of American and guaranteed by AMR. Accordingly, again by
process of elimination, it appears that the Debtors intend for claims arising in respect of AMR’s
guarantee of the Senior Secured Notes to be classified into the “catch all” of AMR Class 4
(AMR General Unsecured Claims). Yet, here again, there is no disclosure whatsoever of such
classification.

Absent disclosure regarding classification of the Senior Secured Notes, the
Trustee is unable to determine the proposed treatment to be afforded under the Plan. This is the
antithesis of the “adequate” information required by the Bankruptcy Code.26 Accordingly, the
Trustee requests that the Court decline approval of the Disclosure Statement unless and until the
Debtors specifically disclose the class(es) into which claims in respect of the Senior Secured
Notes are to be classified.
B.
The Disclosure Statement And Plan Fail To Specify The Treatment Of The Senior
Secured Notes.
21.
Even assuming that the primary secured claims respecting the Senior Secured
Notes in fact are classified as American Class 2 Claims, the Disclosure Statement nevertheless
lacks adequate information because it fails to specify in any meaningful way the treatment to be
afforded the claims.

In particular, the Plan does not provide, and the Disclosure Statement does not
explain, any specific treatment proposed for American Class 2 Claims. Instead, the Plan and

Disclosure Statement only outline a “menu” of five alternative treatments that may, “at the
option of the American Debtors,” be provided to holders of American Class 2 Claims:
Except to the extent that a holder of an Allowed Other Secured
Claim against any of the American Debtors agrees to a different
treatment of such Claim, each holder of an Allowed Other Secured
Claim against any of the American Debtors shall receive, at the
option of the American Debtors, and in full satisfaction of such
Claim, either (i) Cash in an amount equal to 100% of the unpaid
amount of such Allowed Other Secured Claim, (ii) the proceeds of
the sale or disposition of the Collateral securing such Allowed
Other Secured Claim, net of the costs of disposition of such
Collateral, (iii) the Collateral securing such Allowed Other
Secured Claim, (iv) such treatment that leaves unaltered the legal,
equitable, and contractual rights to which the holder of such
Allowed Other Secured Claim is entitled, or (v) such other
distribution as is necessary to satisfy the requirements of
section 1124 of the Bankruptcy Code.”27
In other words, the Debtors purport to reserve for themselves the absolute discretion to choose, at
some unspecified point in the future, among a roster of vague and nebulous treatment options
that the Debtors assert will constitute “unimpairment” within the meaning of section 1124 of the
Bankruptcy Code.

This is inadequate disclosure. Indeed, disclosure regarding the proposed
treatment to be afforded to a particular class of claims is perhaps the most central and integral
component of a plan proponent’s obligation to provide “adequate information.”28 A disclosure
statement that fails to provide such information does not contain adequate information and must
be modified.29

Disclosure regarding treatment is particularly critical for a class of claims that the
debtor proposes to leave “unimpaired.” Under section 1124 of the Bankruptcy Code, claims are
impaired by a plan of reorganization unless the plan “leaves unaltered the legal, equitable, and
contractual rights to which such claim . . . entitles the holder.”30 “If the debtor’s Chapter 11
reorganization plan does not leave the creditor’s rights entirely ‘unaltered,’ the creditor’s claim
will be labeled as impaired.”31 Simply put, putatively “unimpaired” creditors are entitled to
know what treatment the debtor proposes so that they can assess whether or not their rights truly
are “entirely unaltered” under the proposed plan.
25.
Here, the Disclosure Statement and Plan state that claims classified into American
Class 2 are not impaired. Those documents, however, fail to provide adequate information with
respect to how the Debtors intend to ensure that the rights of holders of such claims will remain
“entirely unaltered.” For example, the Plan provides the Debtors with the option of making a
cash payment “in an amount equal to 100% of the unpaid amount of such Allowed Other
Secured Claim,”32 but the Disclosure Statement does not specify what the Debtors believe to be
the “unpaid amount” of the allowed claim in respect of the Senior Secured Notes. This is
important, because there are fertile grounds for disagreement on the point. To wit, will the
Debtors pay all of the unpaid interest, default interest, compound interest and premiums as
required by the Indenture governing the Senior Secured Notes? Will they pay all of the Trustee’s
unpaid fees and expenses associated with the Senior Secured Notes as required by the Indenture?

Or will the Debtors challenge some or all of those components of the claims asserted by the
Trustee? If the latter, the Trustee would view such treatment under American Class 2 as
impairing the Senior Secured Notes.

Similarly, the Plan gives the Debtors the option to provide “such treatment that
leaves unaltered the legal, equitable, and contractual rights to which the holder of such Allowed
Other Secured Claim is entitled, or . . . such other distribution as is necessary to satisfy the
requirements of section 1124 of the Bankruptcy Code.”33 But there is no disclosure whatsoever
about what “such treatment” or “such other distribution” might be.

The Disclosure Statement must provide such information in order to enable the
Trustee to form an informed opinion with respect to the Plan. Without it, there is no basis on
which to assess the Debtors’ assertion that the Senior Secured Notes will not be impaired by the
proposed Plan, and thus no basis to determine whether or not the Plan’s treatment of the Senior
Secured Notes satisfies the Bankruptcy Code’s confirmation standards. It is not sufficient for the
Debtors to say, in essence, “trust us.”

Thus, absent disclosure of the specific treatment to be afforded the Senior
Secured Notes under the Plan, the Disclosure Statement is inadequate and does not provide the
Trustee with sufficient information with which to determine whether the Senior Secured Notes
are impaired and otherwise to assess confirmability of the Plan. Accordingly, the Trustee
requests that the Court decline approval of the Disclosure Statement unless and until the Debtors
specifically identify the treatment they propose for the Senior Secured Notes.34

The Trustee also objects specifically to the entry of the form of “Proposed Order” attached as
Exhibit F to the Motion (and accompanying notices) to the extent that such order seeks to
implement various procedures that treat prematurely the claims with respect to the Senior
Secured Notes as unimpaired. See, e.g., Motion, Ex. F at 2-3 (“Ballots need not be provided
to the holders of Claims . . . in . . . (v) American Class 2 (American Other Secured

The Trustee recognizes that the Debtors may desire to preserve some flexibility at
this point with respect to treatment of the Senior Secured Notes. At the same time, for all of the
reasons set forth above, the Trustee needs to know the Debtors’ intended treatment and processes
in respect of the Senior Secured Notes sufficiently in advance of the deadline for objecting to
confirmation of the Plan to enable it to prepare and prosecute a confirmation objection to the
extent that it believes that the Debtors’ proposed treatment in fact alters its legal, equitable or
contractual rights in respect of the Senior Secured Notes.

To balance those competing concerns, the Trustee has proposed to the Debtors
that the Plan provide for the Debtors to defer selecting a treatment for the Senior Secured Notes
until twenty-eight days before the confirmation objection deadline. Specifically, the Trustee has
proposed that Section 4.8 of the Plan be amended to provide as follows:
The Senior Secured Notes Claim shall be classified into American
Class 2. No later than twenty-eight (28) days prior to the deadline
for the filing of objections to confirmation of the Plan, the Debtors
shall file with the Bankruptcy Court and serve upon the Senior
Secured Notes Indenture Trustee a notice disclosing the specific
treatment proposed to be provided in respect of the Senior Secured
Notes Claim pursuant to this Section 4.8. That notice shall include
information sufficient to enable holders of the Senior Secured
Notes Claim to determine whether such treatment satisfies the
requirements of section 1124 of the Bankruptcy Code, including
without limitation: (a) the amount of Cash the American Debtors
propose to pay in respect of the Senior Secured Notes Claim in the
Claims) . . . because they are unimpaired and, therefore, conclusively presumed to accept the
Plan.”), 6-7 (“The Notice of Non-Voting Status – Unimpaired Classes . . . satisfies the
requirements of the Bankruptcy Code and the Bankruptcy Rules, and the Debtors therefore
are not required to distribute copies of the Plan and the Disclosure Statement to any holder of
a Claim . . . in . . . American Class 2 (American Other Secured Claims) . . . unless such party
otherwise makes a request in writing to the Debtors on or before July 26, 2013 for copies of
such documents.”), and 14-15 (“Pursuant to section 1126(f) of the Bankruptcy Code and
Bankruptcy Rule 3017(d), Notice Packages for holders of a Claim . . . in . . . (v) American
Class 2 (American Other Secured Claims) . . ., which Classes are conclusively presumed to
have accepted the Plan under section 1126(f) of the Bankruptcy Code, will not include a
Ballot.”). Any judicial determination of whether the Plan in fact does or does not impair
claims in respect of the Senior Secured Notes must await disclosure of the classification and
treatment of the Senior Secured Notes and the hearing on confirmation of the Plan.

event treatment is provided in accordance with subclause (i) of
Section 4.8; (b) a description of the payments, distributions, or
other treatment the American Debtors propose in respect of the
Senior Secured Notes Claim in the event treatment is provided in
accordance with subclause (iv) of Section 4.8; and (c) the nature
and amount of the “other distribution” the American Debtors
propose to make in respect of the Senior Secured Notes Claim in
the event treatment is provided in accordance with subclause (v) of
Section 4.8.
To date, however, the Debtors have not agreed to the addition of such language.
C.
The Near Complete Omission Of The Senior Secured Notes From The Plan and
Disclosure Statement Results In Other Practical Issues.
31.
As a result of the Debtors’ near complete omission of any reference to the Senior
Secured Notes from the Plan and Disclosure Statement – including the Plan’s failure to define
the Senior Secured Notes, address the claims arising thereunder, or even identify the Trustee in
any way – the Debtors have created practical issues and ambiguities with respect to the Senior
Secured Notes. For example, the Plan’s definition of “Indenture Trustee” does not include the
Trustee. And, the Plan defines “Servicers” broadly, but limited only to aircraft financings, which
also excludes the Trustee. Finally, the Plan uses these defined terms in a number of provisions
that address the technical, procedural and mechanical issues necessary for balloting, distributing
and providing notice to beneficial holders under corporate debt instruments, such as the Senior
Secured Notes. By and through these definitional exclusions, the Debtors have omitted the
Trustee and the holders of the Senior Secured Notes from the processes necessary to permit the
participation of the holders of the Senior Secured Notes. The Disclosure Statement contains no
information concerning the balloting and distribution and notice mechanics and processes that
the Debtors propose to apply to the $1 billion Senior Secured Notes.

As drafted, it is impossible to tell from the Disclosure Statement or the Plan
whether (a) ballots will be solicited from the beneficial holders of the Senior Secured Notes on

the bases of the unsecured guarantee claim against AMR (which, by process of elimination
appears to be classified as an AMR Class 4 General Unsecured Claim); (b) the Debtors intend to
permit the Trustee to serve as disbursing agent for any distributions contemplated under the Plan
on account of the Senior Secured Notes, as required under the terms and conditions of the
Indenture; or (c) service with respect to a notice of unimpairment will be provided to beneficial
holders of the Senior Secured Notes.35 Indeed, the information in the Disclosure Statement
regarding the role of the Disbursing Agent,36 combined with the Plan’s definitions of the terms
“Indenture Trustees”37 and “Servicers”38 would seem to preclude the Trustee from carrying out
the role required under the Indenture, despite the Indenture’s clear mandate to the contrary.
Understanding the Debtors’ intent with respect to these issues is critically important because any
failure to comply with the terms and conditions of the Indenture regarding distribution
mechanics or otherwise may constitute impairment of the Senior Secured Notes.
33.
Finally, it is unclear whether certain other provisions contained in the Plan and
Disclosure Statement that are specifically applicable to “Indenture Trustees” apply equally to the
Trustee. For example, the Plan and Disclosure Statement require the payment of fees and
expenses of, and provide releases and exculpations for, the “Indenture Trustees,” which term, by
definition, does not appear to include the Trustee. The Debtor should be required to modify the
Disclosure Statement to remove any ambiguity as to whether these or other provisions made
applicable to “Indenture Trustees” also apply to the Trustee.

The Trustee has proposed to the Debtors certain defined terms with respect to the
Senior Secured Notes, the use of which in the Plan and Disclosure Statement would enable the
Debtors to provide for and disclose the mechanics and processes that impact the Senior Secured
Notes. The Debtors, however, have not responded to the Trustee’s comments to the Plan and
Disclosure Statement to set forth and disclose the various mechanics and processes applicable to
the Senior Secured Notes and the Trustee.
RESERVATION OF RIGHTS
35.
The Trustee reserves its right to supplement and amend this Objection, seek
discovery with respect to same, and introduce evidence at any hearing relating to the Motion or
this Objection. In addition, the Trustee reserves its right to object to the Plan on any and all
grounds, including, without limitation, those set forth herein.

CONCLUSION
WHEREFORE, for the reasons discussed herein, the Disclosure Statement lacks
adequate information for purposes of Section 1125 of the Bankruptcy Code. The Trustee
therefore requests that this Court (a) deny the approval of the Motion unless the modifications to
the Disclosure Statement identified herein are adopted by the Debtors; and (b) grant such other
and further relief as this Court may deem just, proper and equitable.
