TERMS AND CONDITIONS OF SALE
WARRANTY: The goods described are pre-owned used goods and are offered “As Is” unless otherwise noted.
Fabricating Machine Technology makes no warranties of any kind whatever, expressed or implied, of merchantability and
fitness for a particular purpose. All specifications and descriptions of said goods are approximate only. It is the Buyer’s
responsibility to inspect goods and ascertain all aspects of the goods conform to the Buyer’s requirements.
MACHINE USE & SAFETY: Buyer acknowledges that the goods are pre-owned goods which were neither designed nor
manufactured by Fabricating Machine Technology, nor does Fabricating Machine Technology have any knowledge or
control over the prior use or misuse of said goods. Fabricating Machine Technology has no control or knowledge of the
future use of the goods by the Buyer. By purchasing the machinery on this proposal, the Buyer, his employees, assigns
or agents agree not to exceed the manufacturers design specifications, whether known or unknown. It is the Buyers
responsibility to provide the proper safety equipment, devices and instructions for any particular use and to take the
necessary steps to conform to all Federal, State, Local and OSHA safety standards.
TERMS: Buyer is required to submit 25% payment of the total purchase price, which is due upon agreement to purchase
machinery described in this proposal. The 75% balance in its entirety must be received by Fabricating Machine
Technology before start of decommission of said machinery and goods.
INDEMNIFICATION: Buyer agrees to indemnify and hold harmless Fabricating Machine Technology, its officers,
directors, employees, sales persons, agents and sub-consultants from and against all damage(s), liability and cost(s),
including but not limited to attorney’s fees and defense costs arising out of or in any way connected with the goods
purchased. Further, any claims or disputes between the Buyer and Fabricating Machine Technology arising out of the
goods purchased and/or services provided by Fabricating Machine Technology shall be submitted to non-binding
mediation. It is agreed and understood that all legal action/remedies associated with the purchase of the goods described
in this proposal herein shall be filed and conducted in the County of Lorain in the State of Ohio.
