An agent who represents a principal (vendor) owes that principal (vendor) the highest duty of "utmost faith", the agent must represent
the principals (vendors) best interests at all times. The agent owes his principal (vendor) a duty of confidentiality regarding
information about the principal (vendor). However, the purchaser can expect the Realtor to disclose all pertinent information about
the property, not to misrepresent any facts, and to honestly answer all questions about the property. This has been a usual form of
relationship for many years in the real estate industry.
I hereby warrant that I am not a party to a buyer agency agreement with any other registered real estate broker for the purchase or
lease of a real property, save and except if I disclosed the name of a referring or co-operating agent at the time of entering into the
Agreement of Purchase and Sale. As Purchaser, I/we confirm and acknowledge being advised that, and consent to the fact that
HOMELIFE METROPARK REALTY INC. acts as agent only for the Vendor and it will be compensated only by the Vendor.

COLOUR CHART SELECTIONS: The Vendor gives Purchasers the ability to select
colours and finishes for their home. The Purchasers acknowledge being informed that those
selections must be made in a timely fashion in order for the Vendor to accommodate those
requests. The Purchasers understand that they MUST attend at the Décor Centre when
requested and that it may be necessary for them to re-attend on one or more occasions. If the
Purchasers delay in making their selections, there is the possibility that the items selected may
not be able to be installed if the processing of the permit application or the stage of
construction of the home has progressed to a point where such installation is no longer
feasible.

CONSTRUCTION SPECIFICATIONS, THE FOLLOWING ARE STANDARD FEATURES FOR THE DWELLING TYPE BEING PURCHASED:
EXTERIOR CONSTRUCTION

All outside colours and materials are architecturally controlled and pre-selected by the Vendor.

Exterior features may include clay brick, stone, quoining, soldier coursing, arches, keystones, and other complementary details and materials, as per the
construction plans.

Certain lots including corner lots may have special exterior treatments different than those depicted on any brochures and/or at the sales office, in accordance
w ith architectural control provisions and Purchaser accepts same.

Poured concrete low er level. Low er level is unfinished except as may be show n on construction plans.

Front concrete porch, as per construction plans and subject to grading requirements.

Garage w alls to be dryw alled, taped and primed.

Front and backyard sodded except for any drivew ays, w alkw ays, patios and decks.

Paved drivew ay. The Vendor w ill provide base coat as w ell as second coat on drivew ay apron, the cost of w hich is included in the Purchase Price. The
Purchaser shall pay $450.00 + all applicable taxes as an adjustment on closing and is non-refundable for the second coat of asphalt on the lot portion of the
drivew ay. The Vendor will not be responsible for repairing any tire marks after the second coat. Purchaser acknow ledges and agrees that the second coat
may not be completed for up to, but no later than, thirty (30) months after the Closing Date.

Concrete precast slabs w alkw ays at front, side door, and at rear patio as determined by the Vendor having a regard to site conditions.

Vinyl fixed and casement w indow s throughout main and upper levels as per the construction plan. Vinyl sliders in low er level. All operable w indow s to be
screened.

All w indow s and outside door frames caulked.

Insulated metal front and if required by the construction plans a metal insulated side door.

Pre-finished aluminum soffit, fascia, eavestrough and dow npipes.


INTERIOR

Inside doors and trim painted one colour to be chosen from Vendor’s standard paint colours.

Oak stairs, railing, stringers, risers, treads and pickets, with a natural finish from main to upper level and from upper level to loft (as per plan). Landings to be
3¼” x ¾” strip flooring – natural finish.

If you must access the staircase to the low er level through a doorw ay, such stairs and handrail w ill be unfinished spruce painted in a colour selected by the
Vendor.

All main level archw ays to be trimmed save and except curved archw ays .

Standard 10 foot ceiling height on main level and 9 foot ceiling height on upper level (and loft as per plan) except w here construction plans indicate otherwise.

Gas fireplace and mantel as per plans.

Stipple ceiling throughout save and except the kitchen and bathrooms w hich w ill have smooth ceilings.

Choice of tw o paint colours for interior w alls to be chosen from Vendor’s standard samples.
FLOORING

Tiled areas on main level, including pow der room, shall have 12” x 12” ceramic tiles.

8” x 16” ceramic tiles in all bathrooms on upper level (and loft as per plan).

Any portion of the main level that is not tiled shall be 3¼” x ¾” strip flooring natural oak colour finish, upper level hallw ay to be 3¼” x ¾” strip flooring, natural
oak colour finish, all bedrooms to be 8mm natural laminate, except for any bathrooms.
KITCHEN

Standard kitchen cabinets w ith 41” uppers from Vendor’s samples.

Double undermounted stainless steel sink w ith single lever faucet.

Granite counter tops in kitchen as per plan from Vendor’s samples.

Hood fan in kitchen vented to outside.
BATHROOM S

Laminate counter tops for all bathroom vanities.

Ceramic tile on bathtub enclosures, including ceiling.


Note 1: Purchaser acknow ledges being advised that if the house contains hardw ood flooring may shrink and expand as a result of change s in temperature and
humidity in the house and accepts this as a natural characteristic of the flooring, and is advised to keep humidity level constant to reduce this tendency.
Note 2: The Purchaser acknow ledges that the w ater heating system (w hich may be a tank or tankless system) w ill be installed on a leas e or lease to ow n basis by
a supplier designated by the Vendor, and the Purchaser shall assume such contract on the Closing Date w ithout the need for fu rther documentation unless
requested by the supplier.
Note 3: All finishes herein are selected by the Vendor from its standard samples. In the event of multiple standard samples for any item herein, the Vendor’s

Delayed Closing Warranty
This Statement of Critical Dates forms part of the Addendum to which it is attached, which in turn forms part of the agreement of purchase and
sale between the Vendor and the Purchaser relating to the Property. The Vendor must complete all blanks set out below. Both the Vendor
and Purchaser must sign this page.

SAMPLE AGREEMENT
1. Critical Dates
The First Tentative Closing Date, which is the date that the Vendor anticipates the home will
be completed and ready to move in, is:
the 2nd day of June, 2016.
A Second Tentative Closing Date can subsequently be set by the Vendor by giving proper
written notice at least 90 days before the First Tentative Closing Date. The Second Tentative
Closing Date can be up to 120 days after the First Tentative Closing Date, and so could be as
late as:
the 30th day of September, 2016.*
The Vendor must set a Firm Closing Date by giving proper written notice at least 90 days
before the Second Tentative Closing Date. The Firm Closing Date can be up to 120 days after
the Second Tentative Closing Date, and so could be as late as:
the 30th day of January, 2017.*
If the Vendor cannot close by the Firm Closing Date, then the Purchaser is entitled to delayed
closing compensation (see section 7 of the Addendum) and the Vendor must set a Delayed
Closing Date.
The Vendor can set a Delayed Closing Date that is up to 365 days after the earlier of the
Second Tentative Closing Date and the Firm Closing Date: This Outside Closing Date could
be as late as:
the 2nd day of October, 2017.*
2. Notice Period for a Closing Delay
Changing a Closing date requires proper written notice. The Vendor, without the Purchaser’s
consent, may delay Closing twice by up to 120 days each time by setting a Second Tentative
Closing Date and then a Firm Closing Date in accordance with section 1 of the Addendum but
no later than the Outside Closing Date.
Notice of a delay beyond the First Tentative Closing Date must be given no later than:
(i.e., at least 90 days before the First Tentative Closing Date), or else the First Tentative
Closing Date automatically becomes the Firm Closing Date.

3. Purchaser’s Termination Period
If the purchase of the home is not completed by the Outside Closing Date, then the Purchaser
can terminate the transaction during a period of 30 days thereafter (the “Purchaser’s
Termination Period”), which period, unless extended by mutual agreement, will end on:
the 1st day of November, 2017.*
If the Purchaser terminates the transaction during the Purchaser’s Termination Period, then the
Purchaser is entitled to delayed closing compensation and to a full refund of all monies paid
plus interest (see sections 7, 10 and 11 of the Addendum).
Note: Any time a Critical Date is set or changed as permitted in the Addendum, other Critical Dates may change as well. At any given time the
parties must refer to: the most recent revised Statement of Critical Dates; or agreement or written notice that sets a Critical Date, and calculate
revised Critical Dates using the formulas contained in the Addendum. Critical Dates can also change if there are unavoidable delays (see section 5
of the Addendum).

Addendum to Agreement of Purchase and Sale
Delayed Closing Warranty
This addendum, including the accompanying Statement of Critical Dates (the “Addendum”), forms part of the agreement of
purchase and sale (the “Purchase Agreement”) between the Vendor and the Purchaser relating to the Property. This Addendum is
to be used for a transaction where the home purchase is in substance a purchase of freehold land and residential dwelling. This
Addendum contains important provisions that are part of the delayed closing warranty provided by the Vendor in accordance with
the Ontario New Home Warranties Plan Act (the “ONHWP Act”). If there are any differences between the provisions in the
Addendum and the Purchase Agreement, then the Addendum provisions shall prevail. PRIOR TO SIGNING THE PURCHASE
AGREEMENT OR ANY AMENDMENT TO IT, THE PURCHASER SHOULD SEEK ADVICE FROM A LAWYER WITH RESPECT
TO THE PURCHASE AGREEMENT OR AMENDING AGREEMENT, THE ADDENDUM AND THE DELAYED CLOSING
WARRANTY.
