OUR MESSAGE

A
s citizens and professionals, we are increasingly convinced of the urgency in fighting the climate change
causes. Science and the best scientists tell us that to keep on emitting and accumulating carbon dioxide and
other greenhouse gases (GHG) on the atmosphere is unsustainable for humanity.
Under these circumstances it is imperative that we establish a low-carbon economy associated with sustainable
management under the environmental, social and economic aspects - of human and natural resources available. In
Brazil, the challenges already presented for 2015, anchored in the low economic growth and in both electric and
water crisis, reinforce this scenario.
Energy, as an essential raw material for industries, businesses and residences, has a fundamental role in this paradigm shift. In this context, Ecometano assumes its role of transforming environmental liabilities in energetic assets
under the biomethane form. Our business vision is not the end of fossil fuels, but the transition to a low-carbon
economy. Our investment thesis is based on two pillars: energetic diversity and the reduction of greenhouse gases
emission.
The biomethane produced in our plants from municipal solid waste and organic waste presents specification and
characteristics equivalent to the ones from fossil natural gas, being a sustainable and economically viable alternative to increment and diversify the national energy matrix.
Biomethane production will allow a renewable fuel to be offered for competitive prices in Brazil’s countryside,
contributing for the development of many states and cities from the federation. The inefficient management of
municipal and agricultural waste, without applying them in energy generation, is not environmentally sustainable.
Neither it is viable to keep on expanding the agricultural frontier in the Brazilian Center-West regions, providing
fossil fuels produced mainly in refineries located in other regions.
Our projects being implemented will produce approximately 250 thousand m3 of biomethane a day. Setting the
first of them in operation, GNR Dois Arcos plant, located in “Região dos Lagos” area in Rio de Janeiro, has been
challenging. 2015 started with the news about the release of Resolution 8/2015 and Technical Regulation 1/2015
of ANP (Agência Nacional do Petróleo, Gás Natural e Biocombustíveis,- Brazilian Agency for Oil, Natural Gas and
Biofuels), which is the result from the efforts of our team and other relevant actors of this industry. These documents establish the specification of biomethane from agroforestry and commercial waste. We are still working
actively next to the regulatory bodies in the specification of biomethane from municipal solid waste decomposition.
It is important to stress that methane has an effect 25 times more harmful regarding global warming when compared to carbon dioxide. Because of this, when avoiding the emission of methane from municipal solid waste directly
into the atmosphere, and by substituting fossil fuels we contribute for the reduction of greenhouse gases emission.
Our projects under implementation have been conducted in accordance with the competent United Nations (UN)
bodies for certification of carbon credits. In this process, the public consultation mechanism promotes the communication with all the communities involved in the project, such as non-governmental organizations, environmental
institutions and civil society. These same projects, when in operation, will be responsible for reducing approximately 800 thousand tons of carbon equivalent a year, which corresponds to preserving 1,600 hectares of the Atlantic
Rainforest.

W
e believe that our existence and perpetuity
depend on the way we balance our financial, social and environmental challenges
and carry our relations with our stakeholders. The
Sustainability Report aims to establish one more
communication channel with these stakeholders,
reinforcing the importance of transparency in our
management models, decisions and daily attitudes.
This first issue is oriented by the G4 guidelines
in the option “Essential” of the Global Reporting Initiative (GRI), being a first step towards
wider, detailed future versions, certified by independent auditors. In the next years we will have a
challenging exercise of implementing the necessary
initiatives in order to make advancements in this path.
Once this is our first report, comparisons with previous
years are not applicable, but from now on the recurrent issuing will allow the register of our evolution.
The report is divided in 12 sections and the references
to each GRI guideline can be found above the paragraphs. The information in this report comprise the period
between January and December of 2014.

cometano’s objective is to transform environmental liabilities into energy assets under the form of biomethane through an innovative business model. We create a new biofuel for the Brazilian market by connecting the production of biomethane from municipal solid waste, effluents and biomass with processes
and consumer markets in an economically viable way for our stakeholders at an affordable price for society.
The search for balance was present during all 2014, when important decisions were made regarding
the company’s structuring and portfolio’s maturation while we were working on the implementation of
our first biomethane project: GNR Dois Arcos, a plant coupled with a sanitary landfill. Such a challenge
ensued many corporate demands, from the adequacy of the physical space to the review of our business
model, and the interaction with countless strategic publics. In 2015 we will increase the implementation pace and face our operation challenge, without losing sight of the future with broader perspectives.
In this context Ecometano reinforces its business commitments through the elaboration of the first
Sustainability Report.

cometano Empreendimentos Ltda was founded in 2010 and is a company 100% controlled by MDCPAR, a Brazilian group, which
members are private investors (53%) and the FI-FGTS (47%), an investment fund managed by Caixa Econômica Federal, a Brazilian federal bank.
The company headquarters is located in Rio de
Janeiro and there are two other offices in São Paulo and Salvador. Additionally, each project’s location counts on its own structure and resources.
Until the mid of 2012’s, the company directed
efforts to define the Business Plan, researching
the market, mapping available technologies in
Brazil and abroad and identifying potential partners and projects, besides forming the team and
meeting the formal demands of structuring a
company under development. Recently, we have
been imposing ourselves the challenge of balancing the demands of a new company that is
finally operational with the need of keeping on
looking forward, for a broader horizon future.
We know that, in order to support our great ambitions and transformations, we need to develop
adequate corporate tools. In this sense, Ecometano, aligned to the best corporate governance
practices, intends to alter its company type from
Limited Liability Company to an S.A. Corporation in 2015. So far,
the company has responded to MDCPAR’s
Administrative
Council, consisted of 5
members, who are
elected every year.
Currently, all projects and investments must be
directed by the Executive Board of Directors
for approval by this Council. Next, it is established the Risk Committee, consisted of at least
one representative from each of the company’s
areas. The group conducts a meeting once a
month aiming to preventively identify risks
and opportunities, monitor and consider them.
While we are still reinforcing our corporate governance’s structure, we have implemented in
2014 our Code of Conduct and all the employees received a hard copy of the manual, besides attending to a training about the Brazilian
anti-corruption legislation. The company has
also instituted the compliance officer and a
specific communication and complaint channel
for the cases of possible violations or doubts.
The Supply area is also aware of the Code of
Conduct, besides the guidelines, procedures
and ranges of competence and responsibility
defined internally. The company builds a relationship with suppliers that present strict criteria regarding the non-use of slave and/or child
labor, comply with the pertinent legislations in
their production chain and adopt procedures
related to Socio-environmental Responsibility.
During 2014 we have also made the review of
the company’s Strategic Plan, with the support
of an external consulting. We could reevaluate
our pillars and business hypothesis, defining the
primary aspects and actions to be taken. In this
process, we reinforce our commitment in building
a low-carbon environment.

A
lthough the company already acknowledged its stakeholders and interacted enough
with such public before the decision about
issuing the Sustainability Report, the elaboration
of such report brought the institutionalization
of the matter. It started with an internal group
dynamics from the area responsible for the Corporate Sustainability. Subsequently, a formal mapping and a communication process were made
among the areas, which started to relate with
one another in a clearer way. Our next challenge is to increase internal public’s participation
and formal consultation of external stakeholders.
Our identified stakeholders are our employees, shareholders, suppliers, clients, financial
institutions, project partners, local communities, associations, syndicates, regulatory
bodies, public power spheres, civil society
and educational and research institutions.
Particularly in the regulatory matter, we have
been working next to the ANP to promote biomethane in Brazil. The existence of a regulation
is indispensable to encourage the expansion of
the sector in the country, boost the renewable energy matrix more and more and, at the
same time, give more credibility to the product
for investors and, mainly, for final consumers.
In this scenario, Ecometano has been a key player
in the creation of a synergy environment between
the market agents, stimulating knowledge spread
about biomethane through laboratory tests, quality reports and its expertise about the management of the product. With this role ahead of the
sector, the company contributed, during the year,
for the advancements of the necessary activities
to the issuing of regulations about biomethane
from organic waste and municipal solid waste.
Even though this regulation is only part of the
challenges that lay ahead due to the pioneering
of this activity, it is already possible to see the
strengthening of its bond with the other institutions and companies. As an evidence of this,
other standard organizations have decided to follow the new market necessities and involve themselves into the process, as is the case of ABNT
(Associação Brasileira de Normas Técnicas,
Brazilian Technical Standards Association) that,
through the demands generated by the regulation
of biomethane, may develop a standard for the
collection and analysis of some contaminants.
This kind of involvement of the regulatory agency
and standard entities, such as ANP and ABNT,
indicate the commitment with the private sector
initiatives and the support to the development of
a market that tends to ensue benefits so that Brazil advances in its transition towards a low-carbon
economy.

OUR STAKEHOLDERS
W
e also monitor and take part in important
public initiatives created or reinforced
recently, with emphasis to “Política Estadual de Gás Natural Renovável do Rio de Janeiro”,
“Política Estadual de Incentivo às Energias Renováveis do Espírito Santo”, “Resolução do Conselho
Estadual do Meio Ambiente do Ceará sobre o Gás
Natural Renovável” and “Programa Paulista de
Biogás” (Brazilian politics, resolution and program that encourage the settlement of renewable
energy sources and regulate renewable natural
gas in the states of Rio de Janeiro, Espírito Santo, Ceará and São Paulo). The state gas companies such as CEG, CEGÁS and SULGÁS have also
been important partners in this path, reinforcing
that biomethane is an important energy alternative for all the ends of the segment and, mainly
for society. Nationally, we are aligned to Política
Nacional de Resíduos Sólidos (PNRS - Brazilian politics about solid waste)1 and Probiogás2.
Another extremely important communication channel with the biomethane sector
agents is established through the associations. In Brazil we are associated to ABIOGÁS3
and collaborators with ABEGAS4, with whom
we seek to stimulate the innovation and regulation of the national biofuels’ sector.
Abroad, we are affiliated to the RNG Coalition5,
organization associated to biomethane regulatory
matters in the United States, such as the definition of the necessary parameters for the injection
of the product in the gas distribution systems in
California, last American state in which the matter
is still under discussion. The RNG Coalition announced as one of its priorities for 2015 to support
the process in Brazil, thus bringing the expertise
of an innovative partner, which shares our business
vision and has a long and successful history next to
the international entities.

e offer waste generators and energy consumers an environmentally correct alternative in the management of waste and energy use, aligned to the global tendency of convergence between energy and sanitation while seeking for a low-carbon economy.
The biomethane produced in our projects is a clean fuel, able to substitute fossil natural gas, fuel
oil, diesel oil and liquefied petroleum gas. It can be delivered in the pipeline or through trucks,
in compliance with the project and client, which may be state companies or industrial units.
The company is able to serve the whole Brazilian territory, emphasizing the areas closer to the
waste generation, being even able to serve regions distant from the pipelines’ infrastructure, delivering renewable fuel to places which historically did not have access to this energy source.

OUR BUSINESS
Our solutions are focused on biogas recovery and biomethane production in two business units:
Organic Waste
The decomposition of organic waste generates
the raw biogas, which is fundamentally composed of methane (CH4) and carbon dioxide (CO2),
besides some other components such as oxygen (O2) and hydrogen sulfide (H2S) in a smaller concentration. In case there is not a correct
destination for the biogas, its potential impact
as a greenhouse effect agent is very high. Ecometano proposes the energy use of this gas.
The liquid effluent and organic waste of a large company or many small establishments of a
region are collected and sent to the biodigestion plant, which can receive a large variety of
waste.
Among the main ones are fruit and vegetable waste, pig breeding, poultry farming and slaughter
waste, besides dairy, sludge and stillage. These kinds of waste are received in the plant and
sent to the anaerobic biodigesters, where they
remain for some weeks, with a system aimed at
agitation and the control of the process conditions such as pH, temperature and filling level.
The decomposition process of organic matter
produces biogas and biofertilizer, which partially
or totally substitute the chemical fertilizers.
The biogas produced passes to the purification
system, where it is cleaned and specified as biomethane.
Municipal solid waste from landfill sites
The decomposition of municipal solid waste
also generates raw biogas. In order to collect it,
a system composed of drains installed through
the landfill embankment is built. The biogas
collected is sent to a set of processing and cleaning equipment, so that it can be specified as
biomethane, compatible with the quality guidelines of the regulatory body, in the same way it
is made in the case of the organic waste. After
this procedure, biomethane is apt to be delivered to the final consumer.

T
he “Usina de Valorização de Biogás GNR
Dois Arcos” (biogas recovery plant) is the
first Ecometano’s project and pioneer in
producing biomethane from municipal solid
waste in Brazil.
where it undergoes an upgrading stage, that removes carbon dioxide, H2S and other contaminants. Finally, biomethane can be provided to
the final consumer. Thus, we close a waste consuming cycle, converting it into energy output.
The enterprise provides a solution that promotes the complete recovery chain of waste that
comes daily from the cities Armação dos Búzios, Arraial do Cabo, Cabo Frio, Iguaba Grande, São Pedro da Aldeia, Casimiro de Abreu and
Silva Jardim. The biogas generated from the
decomposition of organic matter in Aterro Dois
Arcos (Dois Arcos landfill) is collected by more
than 50 collection wells, which are monitored
by our team, ensuring a continuous operation.
The plant is able to produce 15,000m 3
of biomethane a day, enough volume to
fill the tanks of more than 900 cars fueled with Compressed Natural Gas. Since its installation, it has already avoided the release of 65 thousand tons of
carbon equivalent into the atmosphere.

ENVIRONMENTAL ASPECTS

O
ur projects have an intrinsic character of sustainability. By generating renewable energy and substituting fossil
fuels, we reduce environmental liabilities and
attribute a green seal to the energy matrix. We
save finite natural resources, reducing pollution to the water bodies as we optimize waste
treatment and contribute to a significant drop
in the organic charge of effluents, besides the
aforementioned reduction of greenhouse gases.
In the MSW projects, our activities are closely connected to the ones of the landfill
and indispensable so that the sanitation service provided is properly classified as Sanitary Landfill according to Brazilian law.
In the case of organic waste, we benefit not only
the area around the projects, but also all the basic sanitation provided to the population, once
that the improper treatment of the effluent and
waste produced by the agribusiness causes severe, long-range environmental liabilities. Our process, in turn, allows full control over the waste
reception and its operation, providing reliability
regarding all the legal and quality requirements.
Besides that, we priorize adding value to the
by-products generated during the waste recovery process. The organic fertilizers have an
excellent quality and improve the soil’s health
under many aspects: they provide the recycling of nutrients, maintain the temperature and acidity levels, activate soil’s life, favor
the reproduction of microorganisms that are
beneficial to the agricultural crops, increase
cation exchange capacity and gradually and
continuously release macro and micronutrients.
In all our projects, we prioritize the storm water use and the reuse of treated wastewater. In
GNR Dois Arcos project, in the city of São Pedro da Aldeia, in six months more than 3 million liters of water have been saved with the
implementation of the treatment system.
Last, but not least at all, we strengthen how the
physical integrity of our employees and visitors is
a non-negotiable aspect for Ecometano. For this
purpose we adopt safety control and protection
to health and environment measures which aim
to provide a safe and healthy work environment
to all.

O
ur projects generate relevant socioeconomical externalities, associated to income increase and direct and indirect
jobs’ generations during its implementation and
operation. We prioritize the employment of local manpower, including in leadership positions.
In the case of the biodigestion projects, we act in
synergy with the agroindustrial vocation of the regions where the units are established and enhance
agroindustry, an important source of funds for Brazil.
The impact is particularly important when it is
taken into consideration that the expansion of
many business and chains, such as the protein
ones, is limited by the lack of solutions for the
final disposition and treatment of the waste generated by such activities. It impairs not only
the private initiative, but also the expansion
and economic viability of the cities themselves.
By providing an environmentally correct alter-
native of waste and effluent, Ecometano solves
this problem and promotes local development.
Our projects also provide social cost reduction. A biodigestion plant able to produce
35,000m 3 biomethane/day treats the same
organic charge equivalent to the sanitary sewer of a city with 1.4 million inhabitants.
The necessary investments, however, correspond to a fraction of the demanded value
for the sanitary sewer, optimizing the resource application and obtained benefits.
The understanding of such benefits must be shared with society. In 2014 we started this process
through environmental education with the visit of
Universities to GNR Dois Arcos plant. For the next
year, we have also planned educational lectures
in order to raise awareness about the environment, solid waste, besides native trees planting
in degraded Áreas de Preservação Permanente
(APP - Permanent Preservation Areas).

INNOVATION

E
cometano believes in the roles of corporations
as a transforming agent in the search for a
sustainable and balanced economy, through
its innovation and action power. We know that
this potential expands itself in a significant way
when we join our efforts with institutions dedicated to the teaching and research. Biomethane’s
field of study is particularly fertile in this sense.
Our projects are an information source for the pioneer scientific and technological researches of institutions such as universities, specialized centers
and governmental bodies about a theme that still
needs practical examples in Brazil, but reveals itself as increasingly strategic for its development.
Thus, in 2014 we established a partnership with
“Laboratório de Análises de Combustíveis Automotivos da Universidade Federal do Paraná - LACAUT”6 (a laboratory dedicated to the studies of
vehicle fuels in Universidade Federal do Paraná) ,
in order to develop a pioneer methodology, so far
unavailable in Brazil, to attest biomethane’s quality, specification and purity through contaminant
analysis. The methodology was based on information provided by GTI (Gas Technology Institute)
and RTP (Research Triangle Park) laboratory, both
located in the United States and the analyzed sam-
ples were obtained from biomethane produced by
Usina de Valorização de Biogás GNR Dois Arcos.
The partnership ensued the issuing of an article that has been used as reference by ANP and
ABNT in the development of an analysis method,
which is critical for the development of the sector.
Also in the partnership with LACAUT and RTP,
Ecometano has been developing a specific report for the characterization of the biomethane
produced by GNR Dois Arcos. The result shows
that this biomethane has its contaminant levels
extremely reduced, confirming that the purification system which removes CO2 from biogas
through a high pressure and low temperature
system also eliminates a great part of the contaminants. Thus, we achieve a biomethane with
a reliable degree of purity and specifications
complying with the international standards.
Besides that, as a way of assuring our team’s qualification, a valuable asset for the maintenance of
our innovation ability, we are constantly training
our employees through the attendance to seminaries, courses and technical visits to suppliers and
operational projects. During 2014, we have been
to United States, Canada, Germany, Sweden, Italy
and Holland.

cometano ended 2014 with 54 employees. 45 members of this group are part of the corporate team
and 9 are local professionals dedicated to projects. In the beginning of the year we were 22, which
represents a 145% increase in the team.
All employees are hired in accordance to labor and internship laws and are encompassed by the current
labor collective conventions. We offer them all healthcare and dentistry plans, food and transportation
allowance vouchers, and also a Program of Participation in the Profits and Results. In the administrative
services, there are outsourced employees only for cleaning activities.

cometano does not present seasonal variations in its personnel, but there is a tendency of growth in the number of employees
directly related to the implementation of the projects and company’s growth.
We are aware that our differential is the quality
of our team, responsible for the strategies and intelligence of our business. That is why our commitment to the development of our employees
through work, trainings and qualification linked
to the necessities of each position is essential.
In this scenario, we are constantly moving forward in the structuring of the Human Resources area. External Consultancies have been
commissioned to support the company in defining the Positions and Salaries Plan and
creating the Participation in Profits and Enterprise Results Program. We also started the
review of our macroprocesses aiming to validate our Organizational Model and Structure.

In order to improve the internal communication
and bring the employees closer to the executives, it was established the “Café da Manhã com
a Diretoria” (Breakfast with the Board). The get-together takes place every two months, creating and informal environment favorable to the
sharing of information, doubt clearing, generation of ideas and solutions for the company.
Other initiatives are already under development
for 2015, giving continuity to the management
strengthening. We intend to constitute the Personnel Committee, created to discuss matters
related to the Human Resources Area, aligning
leadership skills and best practices in the personnel management. We also intend to develop
an evaluation work with the main executives and
leaderships of the company. The diagnosis of
this work shall be used to create a Leader Development Plan, aiming to strengthen the company’s talents team.

he Statement of Income for the Year and Balance Sheet herein presented refer to the 2014
fiscal year and are in accordance to the International Financial Reporting Standards (IFRS). The
numbers are consolidated, i.e., include Ecometano, GNR Dois Arcos and other Ecometano subsidiaries, whose projects are under implementation.
The 2014 result reflects a pre-operational state condition of a company that is structuring itself and
faces the challenge of raising funding in front of a period of significant disbursements, which will return value to the company in the future. In this year, Ecometano received investments from MDCPAR
in the order of R$ 111.6 MM reaching a Net Worth of R$ 115.4 MM and a Cash Balance of R$ 87.4
MM. During the year we have invested R$ 22.9 MM in the development and implementation of our
projects.

Ecometano does not have any loans taken directly in its CNPJ (Brazilian Corporate Registration Number). Each project has its own funding structure, adequate to its reality, as it is the case of GNR
Dois Arcos, which already has R$ 11MM funded. Still on the regard of fundings, Ecometano operated committed to the Equator Principles and has its projects classified under the low risk category.
In 2014, we received the visit of partner financial institutions in our projects aiming to maintain an
opened communication channel, reinforcing that our initiatives represent an effective and economically viable pollution reduction mechanism.
