my successors as proprietors of the said Estate of Dungarthill will be entitled to close
the said private road as and when I and they require to do so for the purposes either
of repairing the said private road or for moving livestock and (Second) My said
disponee and her foresaids shall be bound to contribute to the cost of maintaining the
said private road according to user and, in the event of the parties being unable to
agree on the proportions to be paid then the matter will be referred to an arbiter to be
mutually appointed, failing which to an arbiter appointed by the President of the Royal
Institution of Chartered Surveyors in Scotland, declaring for the avoidance of doubt
that my said disponee has agreed to make an initial contribution to the recent repair
works carried out to the said private road of ten per centum of the total costs thereof
(Third) My said disponee and her foresaids shall not be entitled to call upon me or my
foresaids to upgrade the said private road or any part of it to any particular standard
and (Fourth) My said disponee and her foresaids shall be obliged to ensure that the
gate at Mill of Muckly, being the march between the said Estate of Dungarthill and the

subjects in this Title subject to our said disponee and their foresaids making good any
surface damage occasioned in connection with the exercise of such right; But Always
With and Under the following burdens, conditions and others, namely (FIRST) There is
reserved to us, the said Sturdyproud Limited and our successors in title to the subjects
in this Title a heritable and irredeemable servitude right of access over the track
shown coloured red and hatched in black on the said plan annexed and signed as
relative hereto for the purpose of gaining access to the field lying immediately to the
west of the subjects hereby disponed, we always being obliged, and that together with
our successors in ownership of the said neighbouring field to contribute, together with

good any surface damage occasioned thereby; and (THIRD) It shall not be in the
power of our said disponees or their successors in ownership of or having Power of
Sale of the subjects hereby disponed or any part thereof to sell, alienate or dispose of
the said subjects or any part thereof to any person (except under statutory authority
or compulsion) until he or they have first offered the same in writing to us or our
successors as proprietors of the remaining parts of the subjects known as Stenton
Estate, Dunkeld, Perthshire, for the time being upon such price and on such other
conditions as any other person shall have offered bona fide and at open market price
for the same and we or our foresaids shall be bound to intimate in writing acceptance
or refusal of the offer within twenty one days after the offer shall have been received.

days after written intimation has been made to us or them to intimate written
acceptance of the exercise of the right of pre-emption hereby created in our favour,
