on behalf of others to create their organizations’ futures.

SUMMIT - June 20-22, 2013
A first for IPGA, following on from the Young Governors’ Speak
plenary session at our 2010 conference, we are providing
a venue and some funding for young people interested in
governance from around the world to come together and
discuss the future with or without Policy Governance! This will
be a unique international event for young professionals and
academics to learn, network and share ideas on development
and innovation in corporate and non-profit governance. For
anyone under 35, it will be an opportunity to:
• Learn about new ideas, global perspectives, challenges
and innovations
• Create new networks and connections with others
interested in governance
• Uncover synergies and crossovers in governance research,
ideas and practices

The Conference is set to get off to a great start with our Keynote Speaker on Friday morning. Ruben
Nelson is Canada’s leading practitioner and teacher of strategic foresight.
He has spent his life exploring and seeking to understand the forces that
are now re-shaping our lives, our world and our future. The question at the
heart of Ruben’s life is this, “Just what would we do, if we knew what we were
doing?” Ruben has offered strategic advice to senior executives in every
sector and province of Canadian society – from Prime Ministers to small
grassroots organizations. He has lived in India and worked in Ottawa. His
most recent major project was an assessment for the National Research
Council of Canada on the complex strategic issues Canada and the world will face to 2020.

PRE-CONFERENCE WORKSHOP DESCRIPTIONS - THURSDAY JUNE 20, 2013
Policy Governance Orientation – Presenter Bill Charney (Catherine Raso will lead a second session subject to
demand)
This highly interactive and enlightening “Introduction to Policy Governance” workshop is targeted to board
members and management staff. This exploration of the 10 Policy Governance principles is a perfect
primer for conference attendees not very experienced with the Policy Governance framework. Attendees
will gain conceptual and practical understanding of how Policy Governance enhances role clarity,
accountability and focus on purpose.
Board Officers’ Forum – Presenter tba

Board Meeting Planning and Dynamics – Presenter Catherine Raso
In this highly practical, interactive and fun session you will learn how to plan board meetings based
on the board’s annual calendar and how to run individual board meetings to maximize board member
participation and satisfaction.
Board Monitoring And Evaluation: The Fundamentals – Presenter Susan Rogers
John Carver has said that “Self-evaluation is the handiest and most powerful tool available to maintain
and continually improve the excellence of governing. But like all tools, it must be employed carefully.”*
Fundamental to a board’s growth and development is the need for continual and honest feedback on its
collective performance and that of its individual members. The board needs to ask itself whether it is
getting its job done and whether it is behaving the way it said it would. Further, the board needs to hold
itself and its own board members accountable for performance excellence in perpetuity.
This interactive session will deliver:
increased knowledge about the purpose and ‘fit’ of monitoring and evaluation in the
context of the board’s job, its development cycle and perpetual agenda
increased knowledge of the principles and methods of board monitoring and evaluation,
and
experience reviewing a variety of tools for board monitoring and evaluation.

CEO Monitoring and Evaluation: The Fundamentals – Presenter Richard Stringham
What should the board look for in Ends and Executive Limitations monitoring reports? What does an
operational interpretation look like and how does it enable board members to assess policy compliance?
How should the board appropriately record compliance and non-compliance? How is the CEO evaluation
conducted in a manner consistent with Policy Governance? Come to this session for the answers to these
questions, plus some tools and tips for monitoring.
Ownership Linkage: The Fundamentals - Presenter Susan Mogensen
Let’s Make a Plan!
After putting ownership linkage into the overall Policy Governance context, this workshop will outline a
process participants can use to answer the question, “Who are our owners?” and engage them in an
exercise of developing key elements of an ownership linkage plan. Participants will leave this workshop
with tools for applying these processes with their boards, and with creative ideas on how to engage with
their owners for maximum effect.
Policy Development: The Fundamentals – Workshop Session Two presenter: Rose Mercier. Workshop
Session Six presenter: Bill Charney
This workshop will provide attendees with experience in and understanding of the policy development
process. While many boards develop their initial policies using “templates” from various sources,
sustained governance effectiveness relies in part on board members knowing how to create and revise
policies to reflect their organization’s values and concerns. Policy Governance principles related to policy
development will be reviewed, helping participants discern appropriate policy categories, how to articulate
expectations, and how to know when adequate specificity is achieved.
Policy Governance and the Fulfillment of the Board’s Legal Duties - Presenter Jim Hyatt
Board members recognize they have legal and fiduciary duties but rarely do they have a clear
understanding of what these responsibilities are. Such a lack of understanding in today’s highly charged
environment places greater risk on the board as a whole as well as its individual members. This
presentation will review these duties and their associated rules - Duty of Care, Duty of Loyalty, Business

This panel presentation/discussion is designed for board members and CEOs of health care service
organizations. Harvey Thomson and Paul Shay of The Kidney Foundation of Canada along with Karen
Fryday-Field of Meridian Edge, will share their Policy Governance implementation experiences including
successes, challenges, and learned “best practices.” In particular, The Kidney Foundation of Canada
will share its process for building its Ends (Public Benefit) Policy across a national, multi-branched
organization. Further, it will share the process for delegation of the implementation of board policies
within a dual-delegation structure. Lastly, the session will explore the board policy interpretation process
within this complex environment.
This health care service organization forum will offer practical experiences and lessons learned relevant
for all health care organizations, their boards and their senior leadership.
Higher Education Organizations’ Forum – Coordinators Jannice Moore with Vince Vravek
Using the experience of Grande Prairie Regional College as an example, in this session we will explore the
application of Policy Governance principles in a higher education setting. How does a college who has
a portion of the general public as owners approach ownership linkage? What about strategic thinking? Some organizations whose boards are appointed by government feel powerless to influence governance
succession. How has this college approached the issue? These are a few of the items that we will
explore. We invite other higher education organizations to share their experiences with us in this forum.

Incentive pay in the corporate world have long been common place for CEOs and other upper
management. Similar incentives, with some limitations on what can be offered, have also appeared for
CEOs in non-profit organizations. How are non-profits approaching performance rewards and how does

Speaking “Owner-Ese”: Practical Approaches to Connecting with Owners – Presenter Jannice Moore
Owners are not likely to understand the language of Policy Governance – or in some cases, even to know
that they are owners. How does the board make a meaningful connection with owners, thus enabling it
to gather the perspectives necessary to provide effective leadership? In this advanced session we will
explore various options for ownership linkage. We will consider how to design an ownership linkage plan,
what kinds of questions are most useful and the pros and cons of alternative methods of linkage. Finally,
we will look at how to use the information gathered in connection the board’s Ends work.
The Learning/Policy Development Cycle; Hands On Workshop – Facilitator Eric Craymer
Ever wonder what to do after you have adopted your policy manual following a blitz policy development
session? Have a unique or unusual need within your governance and not quite sure how to address
it in the manual? In real life boards run up against unexpected situations and need to know how to
address them while staying true to the principles they govern by. This workshop will help build your policy
development “chops”, allowing you to effectively deal with new issues in your policies.
After a brief overview of concepts and strategies, we will launch into a full blown policy development
mode. Using examples provided by you, the participants, the participants will act as a “board” using
a sample policy manual to determine how to craft a policy that is both principles consistent and that
addresses the issue.

Kathy Wilkie - Conference Chair
Kathy is the Registrar and Executive
Director of the College of Medical
Laboratory Technologists of Ontario
(CMLTO). She has more than 30
years of experience in medical
laboratory technology and health
services administration in the public, private and
professional regulatory sectors.
A graduate of Ryerson University in Toronto, Kathy
holds a Bachelor of Health Administration.
Over the last ten years, Kathy has developed a
keen interest in Policy Governance both as a Board
member and Executive Director in the not-for-profit
sector. She is a recognized speaker provincially,
nationally and internationally on the impact of
regulatory governance excellence.
Kathy currently serves on the Board of Directors
for Guelph General Hospital and the Federation of
Heath Regulatory Colleges of Ontario, where she
has held the positions of President and Treasurer.
Karl Sommers - IPGA Chair
Karl Sommers is a governance and
leadership coach specializing in
consulting and training for business
and nonprofit organizations. The
purpose of his work is to produce
thriving, growing organizations making a
positive difference in the world by improving board
governance and strategic management systems.
After a 35 year career as a teacher, actuary,
strategic planner and internal consultant, Kart
established his own consulting practice in 2009.
He has been working with Policy Governance
since completion of the Academy in 2001. In
2011 he was certified as a Strategic Management
Professional (SMP) by the Association for Strategic
Management. In 2012 Karl assumed an executive
leadership role with a church-related employer
sponsored medical risk sharing plan. Karl
presently serves as Chair of the International Policy
Governance Association Board of Directors.
Ruben Nelson
Ruben Nelson is Canada’s leading
practitioner and teacher of strategic
foresight. He has spent his life
exploring and seeking to understand
the forces that are now re-shaping our
lives, our world and our future. The
question at the heart of Ruben’s life is this, “Just
what would we do, if we knew what we were
doing?” Ruben has offered strategic advice to
senior executives in every sector and province of
Canadian society – from Prime Ministers to small
grassroots organizations. He has lived in India and
worked in Ottawa. His most recent major project
was an assessment for the National Research
Council of Canada on the complex strategic issues
Canada and the world will face to 2020.
Miriam Carver
Miriam Carver is a Policy Governance
author and consultant. She and her
husband, Dr. John Carver, have coauthored Reinventing Your Board: A
Step by Step Guide to Implementing
Policy Governance (1997, 2nd
edition 2006, Jossey-Bass) and A New Vision
of Board Leadership: Governing the Community
College (1994, Association of Community College
Trustees) as well as several booklets in the JosseyBass CarverGuide Series on Effective Board
Governance (1996-1997, Jossey-Bass). In addition,
Miriam, along with co-author Bill Charney, has
written The Board Member’s Playbook: Using Policy
Governance to Solve Problems, Make Decisions,
and Build a Stronger Board (2004, Jossey-Bass).
She is executive co-editor of the bimonthly
publication Board Leadership: Policy Governance in
Action (Jossey-Bass). Miriam was the Executive Director of Canada’s
first AIDS hospice, and also of a federation of
counselling agencies in Ontario. She opened her

Richard Biery
Richard Biery is specialty board
certified in preventive medicine, the
branch of medicine that includes
population health and management
science. He was Director of Health
for Kansas City, Missouri, from 1975
to 1998 providing policy oversight
for indigent medical care systems involving two
hospitals (including mental health services), a long
term care facility, five community clinics, and a
comprehensive EMS system as well as all public
health functions for the City.
Besides knowledge and skills accompanying his
administrative and medical specialty training,
Richard includes in his skill set: Policy Governance
(he has participated in the Policy Governance
Academy), strategic thinking (including training
in Hoshin Planning), substantial knowledge in
performance and quality improvement, health data,
measurement and analysis, effectively working with
people, an understanding of organizational and
group dynamics, broad experience facilitating interand intra-organizational relations, and has had
training in and is gaining skills in systems thinking,
dynamic modelling, and “lean” (streamlined)
process design. Richard has been a clinical
professor at the University of Missouri in Kansas

Eric Craymer has been a business
owner, manager, researcher and
consultant, and brings a wide variety of

He holds an MBA in marketing from
the Eli Broad School of Business Management
at Michigan State University and is a Certified
Managerial Accountant. Eric attended the 2002
Policy Governance Academy, and has previously
been a board member and Chief Governance Officer
of the International Policy Governance Association.
Eric has also been a leading light in the work to
develop IPGA’s Consistency Framework which is

reliable and trustworthy and an active participant in

Karen Fryday-Field
Karen is the Senior Partner of The
Meridian Edge Management and
Governance Consulting Group in
London, Ontario which provides
governance and strategic organizational
development consulting services
to Boards of Directors and Senior Management
Teams. Karen consults regularly to address
governance effectiveness and to develop new
ways to add value at the governance level. She
has been a Policy Governance consultant and
researcher since 1993 and has attended the
Carver’s Policy Governance Academy in Atlanta,
Georgia. Her client list of non-profit, public and
for-profit Boards in Canada and the United States
is extensive. Karen has made a career of helping
Boards improve their effectiveness.
Karen has a Bachelor of Science in Physical
Therapy and completed the course work for the
Masters program in Epidemiology at The University
of Western Ontario. Karen achieved the position
of Ivey Scholar while graduating from her MBA, at
the Ivey School of Business at Western University.

Athens Kolias
Athens is a Project Manager with 30
years experience and has trained
and developed many professionals,
emphasizing a balance between
customer service, product knowledge and best
practices. After completing her Masters and
attaining her PMP certification, Athens became
involved in operational leadership in the San
Francisco Chapter of the Project Management
Institute. During her tenure as VP Professional
Development, a massive organizational overhaul of
the chapter brought about culture change towards
servant leadership and Policy Governance.
Athens joined PMI-SFBAC’s Board of Directors,
helping to align the chapter’s outdated, externally
mandated ByLaws with the Policy Governance
infrastructure currently in place. Athens focuses
her Board work on instilling a culture of continuous
improvement and strategic outlook. Athens
teaches PMP® Exam Prep courses to project
managers around the country, as well as Emotional
Intelligence and Stakeholder Management skills.

Doris Lavoie
Mr. Doris Lavoie has been the Executive
Director of the National Dental Hygiene
Certification Board (NDHCB) since
January 2006 where he is responsible
for the development and administration
of approximately 1,600 tests/year to new Dental
Hygiene practitioners across Canada. NDHCB has
long experience with Policy Governance. Doris
has attended the Policy Governance Academy and
many previous IPGA conferences along with several
members of his board.
His prior experience includes working as a Project
Manager for a Federal Department, a Crisis
Counsellor at a Family Resource Centre, a Director
of adult services at a Rehabilitation Centre and as
CEO of the Canadian Counselling Association.
Rose Mercier

Susan holds a B.A.(Honours) in Political Science
from Carleton University, received the IAF Certified
Professional Facilitator designation, participated
in the Policy Governance®Academy (SM) and has
presented at corporate governance conferences in
Toronto, Ottawa, Vail, Orlando, Las Vegas, Detroit
and Chicago. Susan also served as the CEO of the
International Policy Governance Association (IPGA)
from 2004-2009 and is a partner in the Xylem Group.
Beyond her enthusiasm for good governance,
Susan is a passionate hockey fan, has a keen
interest in nutritional science, and ran her first halfmarathon in September 2011.
Jannice Moore
Jannice Moore, President of The
Governance Coach™, is an independent
consultant to governing boards and
senior management. She has over
thirty years’ experience as a manager,
planner, consultant and educator. She
has worked with the Policy Governance model
developed by John Carver for over nineteen years,
and attended the very first Policy Governance
AcademySM in 1995. Jan has coached a wide
variety of boards in the implementation of Policy
Governance, including membership and voluntary
organizations, multi-level organizations, trade
associations, regulatory bodies, health care boards,
education boards, credit unions, cooperatives,
church organizations and small corporations. Jan
holds the designation of Certified Health Executive
from the Canadian College of Health Service
Executives.
She has a Masters degree in Health Services
Administration from the University of Alberta.
Jan is author of the book Governance for
Health System Trustees, published by the CHA
Press, as well as the Policy Governance Toolkit
series. She has also authored several articles
and monographs and contributed chapters to a
number of books. She has contributed to The
Policy Governance Fieldbook, published by JosseyBass, and is a regular author in Board Leadership,
also published by Jossey-Bass. She has been
an invited speaker at conferences and seminars
in Canada, the USA and Europe, including the
Wilton Park Conference (UK) Making Corporate
Governance a Reality, 2004; Queen’s University
(Belfast) Governing the Corporation Conference,
2004; International Association of Fairs and
Exhibitions, 2004; International Policy Governance
Association Conference, 2004 through 2012;
McMaster University World Congress on
Corporate Governance, 2004; International Policy
Governance® Symposia, 1996 through 2005; and
Conference Board of Canada Western Corporate
Governance Conference., 2005. In 2007 Jannice
was qualified as an expert witness on governance
at the Court of Queen’s Bench, Alberta. She is a
past Chair of the board of the International Policy
Governance Association and Chair of the board of
Wycliffe Canada.
Catherine Raso
Catherine Raso MBA is President of
CMR Governance Consulting and is an
internationally recognized practitioner,
consultant, author and speaker on
board governance. Catherine has
more than 25 years of experience in
the non-profit sector—as a CEO, board member,
highly skilled facilitator consulting with more than
300 boards around the world and author of many
articles and books. Catherine always receives very
high ratings for informative, excellent and engaging
presentations. Catherine lives and bases her
practice in Hamilton, Ontario. She can be reached

Susan Radwan
Susan Radwan has a rich history of
experience in insurance, education,
and non-profit associations. She has
experience as a Chief Governing Officer
and a CEO in a Policy Governance
organization. She also shares the
senior consultant role with Eric Craymer in Partners
in Policy Governance which turns the theory of John
Carver’s Policy Governance Model into practice.
Susan owns Leading Edge Mentoring, a consulting
firm which specializes in governance and leadership
issues. Her work focuses on the structure
and process which impacts effective growth of
individuals and organizations.
She has a Master’s degree in Education (1977)
from the College of St. Scholastica in Duluth,

Arts (1974) from Aquinas College in Grand Rapids,
Michigan, and professional certifications in
association management and insurance. Susan
has participated in the Policy Governance Academy
and is a prior CEO and board member of IPGA.
Susan Rogers
Susan Rogers, president of ROGERS
Leadership Consulting, is a former
CEO and seasoned board Chair who
has over 20 years experience in
organization leadership in the public,
private and not-for-profit sectors.
She has worked with a wide variety of more than
500 local, provincial and national boards and is
respected for exceptional facilitation, leadership
coaching and teambuilding skills. Her diverse
mixture of current clients range from colleges,
universities and regulatory bodies to not for profit
agencies, charities and industry associations.
Susan has completed the Carver Policy Governance
Academy on 2 continents and currently serves a as
a director on the United Kingdom Policy Governance
Association (UKPGA) Board. Susan is based in
Winnipeg, Manitoba (Canada).
Paul Shay

Foundation of Canada. Paul is one of
the key facilitators of Policy Governance
implementation. He has previously

Paul has coached on Policy Governance in
countries around the world.
Richard Stringham
For 30 years, Richard has provided
development services to a range of
organizations such as co-operatives,
professional regulatory organizations,
non-profit groups, and commodity
organizations. As a member of the
management team for a non-profit educational
organization, he led leadership development
programs for youth and adults, provided
educational services, and facilitated planning for
boards, and volunteer and management groups.
He began work with the application of the Policy
Governance model in 2002 with the Alberta
Institute of Agrologists (AIA) where he was a direct
report to the CEO. In that capacity, he provided
governance services to both the CEO and the
governing Council. AIA received the benefit of
in-house Policy Governance expertise. Richard
received the benefit of practical experience with
Policy Governance.
He has participated in the Carver Academy in Policy
Governance and is a member of the International
Policy Governance Association.
Currently, he provides consulting services in
board governance and co-operative enterprise
development. Richard is Senior Associate with the
Governance Coach.
Harvey Thomson
Harvey Thomson has consulted
in organization development and
performance improvement for
over 35 years. He holds a Ph.D.
in Organizational and Industrial
Psychology from the Case Western
Reserve University, Cleveland. Harvey has a
passion for supporting organizations as they
work to achieve positive impact. Harvey believes
governance is critical to organizational success.
He has recently served as the President (Chair)
of the Ontario Branch of the Kidney Foundation
of Canada. Harvey currently serves as the Chair

Kidney Foundation of Canada. He also serves as
a Director for Cancer Care Ontario. Harvey has
served as one of the champions of implementing
Policy Governance at the Kidney Foundation of
Canada.
Ray Tooley
Ray Tooley has over 25 years
experience delivering information
system solutions to organizations
across North America. He has founded
and operated several successful hitechnology companies. He served
on the Dealer Executive Councils of Compaq and
AT&T and in an advisory capacity to IBM, Hewlett
Packard, Microsoft and other innovators in the
computer industry.
As a director on a number of for and not-for profit
corporate boards he has first-hand experience of
the need for both computer based support tools
and Policy Governance in the boardroom. Ray is a
member of the Professional Engineers of Ontario,
a Chartered Director and a Policy Governance
Academy participant. He is also a current member
of the UK Policy Governance Association (UKPGA)
board.
Vince Vravek
Vincent C. Vavrek CGA, CA, CFP, is a
partner with Fletcher Mudryk & Co.
LLP Chartered Accountants, and has
lived in the Grande Prairie-Sexsmith
area all his life. He is an alumnus of
Grande Prairie Regional College and
has been active with the College throughout his
career serving on advisory committees, as alumni
association director, past chairman of the College
Foundation and director and past president of
the Wolf Pac Booster Club, and currently as Chair
of the Grande Prairie Regional College Board of
Governors.
Kathy Wiener
Kathy Wiener is owner and
Principal Consultant of Richard
Boris Management Developers,
a management and organization
development consulting firm in
Westfield New Jersey. Since 1989, she
has worked with governments, not-for-profits and
community collaborations developing leadership,
improving performance and planning for the future.
Kathy holds a Masters of Public Administration
degree from the Robert Wagner School of Public
Service at New York University specializing in
management and organization development.
She has served as Adjunct Instructor at
Kean University’s Graduate School of Public
Administration and the Rutgers University School
of Public Affairs and Administration. Her consulting
practice focuses on the design and delivery
of organization capacity building initiatives,
collaborative community planning, leadership/
board development and social impact spanning the
fields human services, community revitalization,
child care, substance abuse prevention, HIV/AIDS
education, childhood obesity prevention and social
and economic justice for people with disabilities.
Kathy has been the coordinator of IPGA’s 2013
strategic planning exercise and is currently
spearheading the development of a IPGA’s strategic
leadership team.
Steve Winninger
Having recently retired as the CEO of
Lake Trust Credit Union in Lansing,
Michigan, Steve has formed Steve
Winninger & Associates which is a
consulting firm that works primarily but
not exclusively with boards and CEOs in
the credit union community.
His experience with Policy Governance has been
much informed by his highly positive experience
in using Policy Governance during the creation of
the Lake Trust Credit Union which was formed on
April 1, 2010 by the merging of NuUnion Credit
Union and Detroit Edison Credit Union. Steve was
President/CEO of NuUnion Credit Union for 18
years prior to the merger. Today, Lake Trust Credit
Union has assets of over $1.5 billion and serves
160,000 members from 22 offices in mid-Michigan. Steve is particularly interested in board/CEO
relations, board/CEO evaluation and systems
and strategic planning which aim to improve the
quality and effectiveness of the leadership team
while creating a higher value for the organization’s
owners. He has attended the Policy Governance

Alan Yue
Alan Yue is CEO and Chief Governance
Officer of XLUR8 Educational and
Research Foundation Inc. XLUR8 is a
not-for-profit educational and research
foundation focused on workforce
development issues, and assistance
to transitioning and retired U.S. Armed Services
members their spouses and dependents, older
unemployed workers, unemployed persons with noncurrent skills, and other beneficiaries. Alan Is also a
Past President of the Project Management Institute
Honolulu and San Francisco Bay Area chapters.
Alan has been familiarising himself as a Policy
Governance practitioner since 2007, and has
been using his extensive experience with the
advancement of professional credentialing efforts
in the project management field to advise IPGA’s
board and CEO on credentialing opportunities. Practitioners’ Group (http://www.linkedin.com/
groups/Policy-Governance-Practitioners-Group) and
has authored, co-authored, or edited three books
on Policy Governance all published by Jossey Bass.
Her second book Corporate Boards That Create
Value was co-authored with John Carver. Her latest
book Getting Started with Policy Governance was
published in 2009. Caroline has also published
numerous articles in several countries.
Caroline was instrumental in creating the
International Policy Governance Association in
1999 and the UK Policy Governance Association
(www.ukpga.org.uk) in 2006. Today she continues
to serve on the boards of both organizations.
Caroline is CEO of Good to Govern, a partner in
the international consulting organization The Xylem
Group and a member of the drafting group for the
new British Standard on Organizational Governance
BS13500.

Caroline Oliver attended the first
Policy Governance Academy in Atlanta
in September 1995 and repeated it
in England in March 2007. She lives
in Yorkshire, UK but maintains close
ties with friends and clients in Canada and the
USA. She is currently Managing Editor of Board
