PowerSki International Corp-Test Beta Board Pre-Purchase/Loan Program Overview
Attached below are PowerSki International Corp’s Beta Board Pre-Purchase Loan Agreement
Letters that were signed by all PowerSki International Corp’s Dealers and Distributors. All
PowerSki International Corp’s Dealers and Distributors (National and International) had full
disclosure of the EPA Government Challenges and Restrictions, the high cost of goods with no
profit and the undercapitalization of PowerSki Int’l Corp to go into mass production and achieve
EPA approval.
PowerSki Int’l Corp stated in the Beta letters and verbally that it did not have enough finances to
test the boards and needed help from it’s Dealers and Distributors world wide to test the
JetBoard to “shake out” the mechanical problems before the product could be delivered to the
customers. PowerSki Int’l Corp was constantly fully disclosing verbally and in writing that it was
undercapitalized and needed investment and funding to design, develop, test, manufacture,
market and sale world wide. All the International distributors, along with some Dealers invested
and purchased stock in PowerSki Int’l Corp to try to help the company to reach it’s financial
goals. Almost every Dealer and Distributor visited Powerski Int’l Corp and took a test ride prior
to coming on board, after full disclosure of the financial issues, government restriction issues,
legal issues and technical issues, knew that PowerSki Int’l Corp was a small undercapitalized
company and knew all the risk involved.
See below quote from 2002 Beta Test Pre-Paid JetBoard Loan Program Letter (Attachment 1):
“it is the understanding of each dealer that these funds paid for powerski jetboard are
payment for day to day operation and tooling cost. The delivery of these first Beta Test
Boards may me delayed for up to 6 months and the production board delivery will follow
in monthly allotments yet to be determined.....The undersigned dealer/distributor
understands and agrees to the above terms and conditions.”
First Beta Letter was initiated in 2002 and CTI, a publicly traded company at that time, was the
first limited licensed assembly manufacturer that PowerSki Int’l Corp signed with. CTI had
facilities in Rosa Rita, Mexico where they were going to assemble the JetBoard. Unfortunately
CTI had some financial problems and was forced into bankruptcy prior to even assembling one
JetBoard.
The second Beta Letter was initiated in 2003 and signed by the second limited licensed
assembly manufacturer PatX (outsourced to their plant located in Mexico)/Jim Able, the Heinz
Group/Nova X Board (a publicly traded company). This assembly plant did not assemble one
JetBoard and launched a pre-meditated (pre-planned) hostile attached to steal PowerSki
International Corp’s licensed Patented JetBoard Technology. This resulted in PowerSki Int’l Corp
counter suing for $112M against this publicly traded company and serving 122 people including
some of PSI’s employees, investors, dealers, distributors. This resulted in a 4 year legal battle
draining Powerski Int’l Corp’s limited financial resources with large attorney fees and
settlements, consuming time and energy Powerski Int’l Corp. Eventually PowerSki Int’l Corp
was not to pay for the attorney fees and defend it self, which was a part of this group’s premeditated hostile attack/plan. This group made a competing knock off motorized surfboard, the
XBoard, with the help of PowerSki Int’l Corp’s employees. This public company, Nova and the
PatX assembly plant either dissolved their companies and/or went bankrupt.This attack
followed by several other attacks, legal battles, along with Patented PowerSki JetBoard
being knock offed in China, under capitalization and down turn of the world economy
caused the insolvency and finally bankruptcy of PowerSki International Corp. Please see

and hostile attack on Powerski Int’l Corp, well documented.
In the second Beta letter as well all the PowerSki International Corp’s Dealers and Distributors
(National and International) had full disclosure verbally and in writing of the EPA Government

“PSI has received U.S. Coast Guard boating safety exemption approval on May 22, 2003. Dealer
acknowledges that certification requirements by the EPA must be met by PSI Corp
prior to shipment of production boards to the dealer. PSI is in the process of
certification and expects to be compliant in the next 40 – 60 days. Dealers has also
been told that we could have delays from the government or a vendor that could
delay shipment of the Powerski Jetboard, for which Powerski cannot be held
responsible. The tooling of the gas tanks as well as adding safety and warning stickers, both
of which have been completed. These first beta test boards will only be available to dealers and
distributors. Dealers/Distributors may have to wait up to 60 days for your first beta-test board
to be delivered.”
“These first few Jetboard parts will be purchased by PSI in low volume with “off the shelf”
pricing. Your first units will have a higher initial price because some of the parts are still hand
fabricated and machined and all the tooling has not been completed. We have asked our
distributors to pay “cost plus 10 percent” per unit for labor-that's approximately $11,000 per
unit. We will not be making a profit on these early Jetboards, and we will be happy to show you
our costs. The first IgniterTM prototypes that we built cost us approximately $50,000, so we are
very pleased to see our cost reduced. Beta-test board cost today is $4,800.
Each of our distributors/dealers can purchase in advance between 1-4 beta test boards at the
price mentioned above. PSI expects from each dealer/distributor an order with payment in
advance for the production units you would be interested in buying as your first allocation of
PowerSki JetboardsTM. This is a first come, first serve basis. It is the understanding of each
dealer that these funds paid for PowerSki Jetboards are payment for day-to-day
operations and tooling costs. Distributors/dealers are responsible for shipping costs from
our warehouse.
You are the premiere Powerski Jetboard entrepreneur, the first to bring the PowerSki
JetboardTM to the waterways of your territory. The undersigned dealer/distributor
understands and agrees to the above terms and conditions.”
The third letter is “EPA Loaner Board/Pre-Paid Loan Document”, which the rest of US Dealer
and Distributors signed, because of the EPA government restrictions PowerSki Int’l Corp could
not deliver the pre-paid JetBoards without EPA approval/certification. Please note that Andrew
Harvey middle man and his associates and associated companies such as All American
Construction, PowerSports/Advantage Industries, Steve Kearney, PowerSki Capital, Mutual
Finance Group, A&M Acquisition and Michael Brown all agreed to pay with their investment for
Orbital Fuel Injection development, Motor Science and/or Boyesen Trap Trap Valve (3 different
independent solutions and companies for EPA certification) for the PowerSki Engine to be
certified for the USA. PSI was promised in all the agreements with all the parties mentioned
above that the EPA certification process would be funded as a priority along with mass
production and financing.
As a result of the above mentioned 2 bankrupt limited licensed assembly manufacturers
PowerSki Int’l Corp continued moving forward and initiated production of the Beta Test
PowerSki JetBoards at their own facility and eventually started also assembling production
boards, after the Beta Board Program.
The forth Attachment below show the of the Test Beta PowerSki JetBoards shipped at a loss to
it’s Dealer and Distributors World Wide manufactured and assembled at PowerSki Int’l Corp’s
headquarters/assembly plant in San Clemente.
In regards to overseas distributors, once ALL American PowerSports/Advantage Industries
Andrew Harveyʼs associated companies, started manufacturing of PowerSki JetBoard at their
Moses Lake Limited Licensed Assembly Plant according to the agreement all of the international
distributors were contacted and offered a resolution for the back due pre-paid loan/debt through
financing in sales. This was offer was that all the pre-paid boards would be paid up if they
committed to a no money down financing agreement through PowerSki Capital (Andrew
Harveyʼs company) with a certain quantity of boards that they had take delivery of and sale in
order to pay the pre-paid loan boards. Russian distributor was the only one to attempt to take
the offer, but he didnʼt qualify for the EXIM Bank Financing through PowerSki Capital. PSI has
information, knowledge, witnesses and was told by this former PSIʼs Russian Distributor that
Andrew Harvey, Rob Bennet, Advantage Industries and All American Constructions dba
Powersports had knowledge of this transaction. PowerSKi International Corpʼs managements,
Board of Directors and inventor had no knowledge of this illegal cash transaction and sell of
PSIʼs Patented Product. Thus far PSI and Inventor has received no moneys due for this
transaction. PSI has informed Advantage Industries (Stuart Oʼbyrne), Mike Brown and Jamie
Webber of All American Constructions, dba PowerSports of these illegal sales along with
another sale of 16 boards to South Africa, along other potential illegal sale that might have taken
place.
The 5th Attachment below shows the remaining production boards manufactured and
assembled at PowerSki Int’l Corp’s headquarters/assembly plant in San Clemente.
The Patented PowerSki JetBoard with 60-70 Patents World Wide was knocked off and
copied the engine and board (both patented) in China. The Patented PowerSki JetBoard
is currently being manufactured by the knock off factory in China and sold through out
the world by the group of conspirators. PowerSki Int’l Corp believes, has information and
proof via witnesses, emails, websites, videos, etc that this pre-meditated conspiracy to
destroy PowerSki Int’l Corp for their own personal gain. PowerSki believes, has
information and proof that this conspiracy involves some PowerSki Int’l Corp’s some
employees, some Dealers, Distributors and investors among other people around the
world.

consumer use, it must be thoroughly tested by our team of international distributors and domestic

PowerSki International Corp. will be shipping the Igniter™ 330SS model Powerski Jetboard. The craft
is 8’5” and has an incredible patented engine design, the SuperTorqueXT. This revolutionary engine
design packs in over 40 horsepower. This new model is equipped with major changes such as an
inflatable seal, newly tooled stamped performance exhaust pipe and new motor mount system. We've
been testing these boards and the turning performance is excellent. It’s a “lean mean dream
machine.”
For our dealers and distributors, we are offering a very special and unique opportunity-you can now
order a portion of the first 100 beta-test PowerSki Jetboard™ craft. These initial boards are perfect for
presales and promotions.
This will be followed by mass production for consumers.

acknowledges PSI has a backlog of prepaid boards ordered. PSI’s goal is to first produce (approx.)
100 beta test boards, gather the data, make changes in the soft tooling (if any), then our goal is to
move into full production in the 2nd quarter of 2004. Our outsource assembly vendor, PatX, has set a
goal of 1,000 per month production rate by late June/ July. Initially 400 – 500 boards can be
produced. These quantities will get us all through the summer season.
Not only does this use of these beta test boards provide PSI with feedback on how it performs, these
boards will also serve as a valuable marketing, promotional and sales tool for your company. The
media loves the PowerSki Jetboard™. All the attention will help you stimulate sales. These Beta-test
Powerski Jetboards are loaner boards and not for resale. They are owned by Powerski for testing and
demo purposes only. They are to be ridden and demonstrated by the dealers only (not prospective

The first 200 engines cases have been sand cast from our temporary tooling. We've had some delays
due to issues with the software and CAD drawings for the CNC equipment that we used to machine

the engines. The jig tooling for production that will take us through the beta board and initial
production phases has been completed. So far (approx.) 90 engines have been machined, tapped and
drilled and made ready for assembly. Approximately 30 have already been tested. We have found
some complications in the piston's, pulleys and gears. These problems have been quickly identified

you by PowerSki, is not EPA or CARB certified for retail sale. Its only permitted use is to perform
experimental research, field-testing, or demonstrations. If the PowerSki Jetboard™ on loan to you were to be
sold in the US, you will be liable for any EPA/CARB violations that you may incur. This permit lease
restriction is also applicable for overseas distributors.
This one PowerSki Jetboard™ is still the property of PowerSki, and on loan to you from PowerSki.
This PowerSki Jetboard™ is not a part of your pre-purchased order. Once EPA-compliant production of
PowerSki Jetboards™ has begun, please return this Jetboard to PowerSki, and PowerSki will ship you one of
your prepaid, EPA approved Jetboards as its replacement. This Jetboard must be registered under PowerSki’s
name. Please keep PowerSki informed of all research and testing activities involving this PowerSki
