Local Church Reports THE STANDING RULES SECTION I ANNUAL CONFERENCE SESSIONS A. MEMBERSHIP 1. Membership of the Conference shall be as directed by Paragraphs 32 and 602 in the 2008 Discipline. Lay/Clergy Equalization Formula is in II A 1 of the Standing Rules. Full-time and Part-time* Local Pastors shall be seated with voice and vote, 180 STANDING RULES STANDING RULES 5 2. 3. 4. with restrictions (¶ 602.1d) and may be nominated, with restrictions, as clergy to serve on agencies (¶ 318.5). Part-time and student pastors shall be seated with privilege of the floor without vote (¶ 341.7). (Removed by General Conference 2004) The Chair of the Credentials Committee shall be available at the Conference site to certify late changes in the seating of lay members or alternate lay members. The Credentials Committee, with the assistance of the Conference ushers, shall monitor the admission of authorized members into the bar of the Conference. Only those members with proper identification badges, designated by the Committee, will be permitted to enter. The Credentials Committee will recommend to the Annual Conference Committee seating areas within the bar of the Conference for authorized non-voting members and guests of the Conference. B. PROCEDURES 1. The rules governing the General Conference of The United Methodist Church shall be the rules of procedure for the Northern Illinois Annual Conference, in all its sessions, so far as these rules apply. ROBERT'S RULES OF ORDER (Revised) shall be the final parliamentary authority. 2. Agenda a. The printed agenda shall be the official agenda of the session, subject to all necessary changes. b. All matters not provided for in the printed agenda of the session or included in the regular business, all special orders of the day, and all requests for permission to appear before the Conference on the part of non-members shall be referred to the Committee on Daily Procedure. c. The use of inclusive language shall be encouraged in all oral and written communications of the session, using the Language Guidelines of the 1984 General Conference. d. The term "minister" shall be used in all documents printed by the Annual Conference when referring to all the people of God (the laos), including the ordained and the laity, and the terms "clergy" and "laity" shall be used when referring to persons of these two distinct groups. e. In every Annual Conference Session, the Annual Conference Committee, in consultation with the Conference Commission on Religion and Race, shall make provision for workshops or events dealing with issues of religion and race. f. There shall be a Laity Address at the annual session. The Laity Address shall be prepared by the Conference Lay Leader in consultation with the Division of Ministry of the Laity of the Board of Discipleship. g. The primary responsibility for worship at Annual Conference is assigned to the resident bishop (¶ 630.4b). h. Addresses and sermons given during Annual Conference session shall be made available upon request to the Conference Office at least six weeks subsequent to the session of Annual Conference. C. JOURNAL AND REPORTS 1. The Conference Secretary is instructed to gather the reports that are to be made to the Annual Conference and to publish them under the title "Preliminary Reports." All Historical Reports (400 and 550 series), including all financial matters pertaining thereto, for the previous calendar/conference year, are to be in the hands 181 STANDING RULES 6 STANDING RULES 2. 3. 4. 5. of the Conference Secretary no later than a date set by the Conference Secretary each year. Petitions submitted by the Youth Annual Conference meeting after the deadline for printing in the preliminary reports are exempt from the provisions of this paragraph. Historical Reports submitted by agencies numbered 66 to 100 are to be limited to a maximum of 500 words. Resolutions regarding Standing Rules and By-Laws are to be submitted to the Secretary by a date set annually by the Conference Secretary. The proposed budget, requests for funds, Resolutions and other items for action (600 and 700 series) are to be printed in duplicate and in the hands of the Conference Secretary no later than a date set annually by the Conference Council on Finance & Administration. The Preliminary Reports are to be sent in the most economical way, thirty days prior to the opening session of the Annual Conference. All persons, boards, commissions, committees, task forces, etc., submitting legislation mandating the Conference Secretary to circularize such materials to persons, agencies and offices outside the Annual Conference structures, must submit to the Conference Secretary, in writing, a list of names and addresses to whom such materials are to be sent, doing so no later than ten days after the close of the Annual Conference session in which such legislation was supported by action of the Conference. Failure to do so within the specified time limitation will excuse the Conference Secretary from fulfilling the mandate of such legislation. The minutes of the daily sessions of the Conference, as kept by the Secretary, when properly approved, shall be the official JOURNAL of the Conference. The Secretary shall arrange for the audiotaping of the Plenary Sessions of Annual Conference. These taped records of proceedings will be used during Journal preparation and maintained in the custody of the Conference Secretary for a period of up to one year. The Conference Secretary will print policies adopted by the Annual Conference in the JOURNAL. Such policies will remain in effect unless repealed or altered by action of the Annual Conference. Conference JOURNALS shall be distributed as follows: one to each clergy member, each lay member and each charge. The Secretary is authorized to send copies of the Journal for the use of each board or institution of the Conference as needed, as well as to the General Boards and Theological Seminaries of the church and to other Conferences as he/she deems necessary. One copy of the Journal may be sent to each clergy member of the Conference who is not serving as the pastor of a church, to each spouse of a deceased Conference member and also to each Diaconal Minister who request to receive the Journal. The Journal may be stored and made available in an electronic format consistent with the recommendations of the GCFA and The Book of Discipline. The Annual Conference Secretary, in consultation with the Annual Conference Committee, may make the Journal available in the printed format for a fee. The Journal shall be made available at no cost on the website maintained by the Northern Illinois Conference. D. LEGISLATION, LEGISLATIVE PROCESS & CONSENT CALENDAR 1. All items related to finance shall be presented to the Council on Finance and Administration (CCFA); all items on program shall be presented to the Program Council. 182 STANDING RULES STANDING RULES 7 2. 3. Requests for Funds a. Proposals before the Conference involving requests for funds or budget items including staff time which have not previously been considered by the Council on Finance and Administration shall be referred to the Council before Conference action is initiated. The Annual Conference Secretary and the Chair of Daily Procedure shall transmit all items to CCFA as soon as practicable for their review and comment. The comments of CCFA and/or the Conference Treasurer shall be included in the Preliminary Reports. b. All conference agencies receiving funds from the Conference shall have provided a historical report/financial report for the Conference Secretary to include in the preliminary reports. The Nurture Ministry Team, Outreach Ministry Team, Witness Ministry Team, and Advocacy Ministry Team may make a single historical report for all the sections under their oversight except for United Methodist Women, United Methodist Men, and United Methodist Youth or their successor organizations. c. Any campaign or special offering approved by the Conference shall be for the calendar year following the one in which the authorizing legislation was passed, unless that legislation establishes other dates. Any special campaign or offering not supported by authorizing legislation at a given Conference session is automatically deleted from the Conference program for the following year. d. No Conference interest (board, agency or institution) shall make a Conference wide appeal for funds to the local churches without the approval of the Conference. In event of extreme emergency, the appeal will be considered and approval may be given by a 2/3 vote of the District Superintendents and the Council on Finance and Administration acting jointly (¶ 614.5). e. The Conference Council on Finance and Administration, in accordance with ¶ 614, shall present the budget for annual conference consideration. The CCFA shall consult with each organization as specified in the Book of Discipline in the preparation of a budget recommendation. The budget shall be prepared as specified in Section V of the Standing Rules. A preliminary budget, or preliminary budgets, is to be included in the Preliminary Reports distributed by the Conference Secretary. The preliminary budget or budgets are to be presented in a line item format for information purposes only. Document Format: The Chair of Daily Procedure and Conference Secretary, in consultation with the Annual Conference Committee, shall determine the format in which historical reports, legislation, and financial reports are to be presented to the annual conference and are received for submission. 183 STANDING RULES 8 STANDING RULES 4. Consent Procedure, Legislative Sections & Legislative Procedure a. All benevolence items (620, 630), NIC Advance Specials (640), administrative items (650), clergy support items (680) and the coordinated budget (600) are excluded from the Consent Calendar. b. All resolutions (700 series documents) seeking Declaratory Decisions of the Judicial Council are excluded from the Consent Procedure Calendar pursuant to Judicial Council Decision 1080. 1. There shall be legislative sections the number and size of which shall be determined by the Annual Conference Committee within the limitations named herein. Legislative sections shall be composed of no less than 50 persons but no more than 200 persons. 2. The members of the legislative sections shall be randomly assigned by the Committee on Credentials from among the members of the Annual Conference with equal numbers of clergy and laity in each section. 3. Legislative sections shall be assigned similar documents for consideration after the fashion of the General Conference. The 184 STANDING RULES STANDING RULES 9 Annual Conference Committee may add sections with the same assignments, or new assignments, in order to accommodate the legislative work-load. Minimally, there shall be the following legislative sections with these express assignments: i. Church and Society—This legislative section shall address all matters relating to legislation concerning the Conference Board of Church and Society, Conference Commission on Christian Unity and Inter-religious Concerns, Conference Commission of Religion and Race, Conference Commission on the Status and Role of Women, advocacy, the Social Principles, Justice and Peace issues, and related topics. ii. Discipleship—This legislative section shall address all matters relating to nurture, outreach, witness, United Methodist Women, United Methodist Youth, Conference Board of Laity, United Methodist Men, congregational development and redevelopment, children’s ministries, and related topics. iii. Global Ministries—This legislative section shall address all matters relating to the Conference Board of Global Ministries, sister relationships with other annual conferences and autonomous Methodist/Wesleyan bodies and traditions, Advance Specials, Conference Board of Higher Education and Campus Ministries, and related topics. iv. Administration—This legislative section shall address all matters relating to the Conference Board of Trustees, Conference Council on Finance and Administration, Conference Board of Pensions and Health Benefits, Conference Commission on Equitable Salaries, matters of administrative and personnel policy, and related topics. v. Order—This legislative section shall address all matters relating to the Conference Board of Ordained Ministry, Standing Rules, Episcopacy, Jurisdictional relationships, and related topics. 4. Legislative items will be addressed in only one section. Section reports shall be made in a printed format. Legislative Section leadership may report the action of the legislative section if the Chair of Daily Procedure believes a report from the leadership will help clarify the printed and distributed report. 5. Only those persons assigned to a legislative section may have voice and vote within the legislative section. The legislative 185 STANDING RULES 10 STANDING RULES section may grant the right of voice to a person who is present to provide expert testimony (i.e., a resource person) but the person providing expert testimony may only speak at the invitation of the chair, vice-chair, secretary, or when asked a question from a member of the legislative section. 6. Persons who wish to speak during a legislative section in order to provide testimony (i.e. “resource persons”) must seek and obtain the appropriate credentials from the Committee on Credentials. Members of the annual conference resourcing a document in a section other than the section to which they are assigned must notify the Chair of Daily Procedure no less than 24 hours before legislative sections are to begin. A member of the annual conference with a desire or request resourcing a document in a section to which they are not assigned may not vote or participate in debate of the section in which they are resourcing a document. If a member of annual conference is a member of the section in which they are resourcing a document, they have the same rights and responsibilities of other members of the legislative section however they must preface their comments as either “testimony” or “debate.” The Chair of Daily Procedure will provide the legislative section chair(s) a list of those persons who are the resource persons for each document. Resources persons, even members of the annual conference who are not assigned to a particular legislative section, may only speak when called upon by the legislative section chair. Resources persons may not participate in the debate unless they are members of the annual conference and assigned to the particular legislative section. 7. Resource persons are those persons designated by an author(s) of a document for the purpose of answering questions in sections, providing background information, or other information which the author(s) believe will be helpful for the section discussion. 8. Any item receiving 80% agreement or non-agreement in a legislative section shall be placed on a single consent calendar with the section 1 recommendation to the plenary to either agree or not agree to the item. a. Legislative items which are amended, whose amendment(s) receive 80% agreement, and subsequently receives 80% agreement by the legislative section shall be placed on the consent calendar with the amendment(s) noted. All amendment(s) and agreement to the section perfected item(s) must receive 80% agreement by the legislative section to be included on the consent calendar as documents to which the annual conference does agree. 186 STANDING RULES STANDING RULES 11 b. 9. Legislative items which are amended, whose final version receive 20%, or less, agreement in the legislative section on the amendment and the final version, shall be included on the consent calendar as a document to which the annual conference does not agree. Any item may be lifted from the consent calendar on a motion and supporting vote of 100 persons on the floor of the annual conference plenary session when the consent calendar is first presented. Items may not be lifted from the consent calendar at any other time without action to suspend the rules for that purpose and then may only be done before the consent calendar is perfected and adopted. 10. The consent calendar must be distributed eight (8) hours prior to consideration and adoption by the house in plenary session. 11. All items not on, or lifted from, the consent calendar shall be called for consideration by the Chair of Daily Procedure in consultation with the presiding bishop, or presiding elder, in an order which uses the allotted plenary legislative time most efficiently. 12. The Chair of Daily Procedure, in consolation with the Annual Conference Committee and cabinet, shall invite and appoint persons to serve as the chair, vice-chair, and secretary of a section giving attention to diversity. The Chair of Daily Procedure shall provide training to the persons appointed for legislative section leadership as to parliamentary procedure, reporting, and recording the action of the legislative section in conjunction with the Conference Secretary, parliamentarian, and other appropriate person (s) or body(ies). c. The Annual Conference Committee may exempt from the Consent Procedure and Legislative Sections any item or items for which it deems an alternative procedure would be more appropriate. d. Resolutions adopted by the Conference that are timely and have not been rescinded or superseded may be resubmitted in the 701 series and will be published for a period of five years following their adoption. The original submitting agency/individual has the primary responsibility of indicating in the resolution their desire that the resolution remain in effect or of requesting that designation at the following Conference. The resubmitted material would consist of the title, the year first adopted, and the text of the original “action” section. e. The Chair of Daily Procedure shall receive, assign document numbers to, and make assignment to Sections of all documents of programs, administration, policies, General or Jurisdictional Conference petitions, requests for Judicial Council decision and declarations, and resolutions. 187 STANDING RULES 12 STANDING RULES Assignment of these documents to the Legislative Sections shall be published in the Preliminary Reports. f. The Section shall register the number voting agreement to, not agreed to, and Abstaining on all documents as finally perfected and report such votes to the Chair of Daily Procedure. g. The Section chair, vice chair or secretary will report to the Chair of Daily Procedure the action of the Section on each items assigned to it, giving such minutes and information as will enable the chair to schedule the reports and keep the presiding Bishop informed of matters to be presented. The Chair of Daily Procedure shall provide the section leadership the appropriate forms for reporting the action of the legislative section. All changes in a document made by a Section shall be printed and distributed before this legislation is brought before the Conference. Section officers may be called upon to report the action of their section or introduce section members to do so. E. FINANCES 1. The expenses of the host church/institution and the Conference Treasurer/Director of Administrative Services during the sessions of the Annual Conference and all necessary entertainment expense bills for the Cabinet and program speakers shall be billed to the office of the Treasurer of the Annual Conference and shall be paid on order of the Annual Conference Committee. 2. The expenses of the Conference Secretary incurred in distributing, collecting and compiling the reports, including the necessary remuneration of clerical assistants and expenses incurred in caring for his or her office shall be paid by the Treasurer/ Director of Administrative Services. 3. All offerings received at Annual Conference shall be for benevolent purposes which shall have been determined and announced in advance by the Cabinet. 4. Per Diem and Travel Expenses. Local churches are urged to pay the expenses of their lay members and pastors to all sessions of the Annual Conference. 5. 6. Lay persons traveling to Conference, board, commission or committee meetings utilizing their own automobiles and not reimbursed by any conference body may be reimbursed for mileage in excess of 70 miles per month at the current Conference rate, for tolls in excess of $3 per month and for other expenses incurred with the approval of the Director of Connectional Ministries. Expenses will be reimbursed on a quarterly basis. Bills to be paid for Annual Conference expense shall be presented no later than thirty days after the close of the Conference. The amount of receipts and expenses of the Annual Conference Committee shall be itemized and printed annually in the Conference Journal. F. MISCELLANEOUS The Annual Conference Committee shall provide within its allotted funds child care at the site of the sessions for the children of all persons regularly seated on the floor of the Conference who so request. Attention shall be given to proximity, needs of nursing infants and activity needs of active youngsters. 188 STANDING RULES STANDING RULES 13 SECTION II ANNUAL, GENERAL AND JURISDICTIONAL CONFERENCE ELECTIONS A. ANNUAL CONFERENCE 1. The Lay Members of the Annual Conference and the Alternate Lay Members shall be elected in the fourth year of the quadrennium (a quadrennium begins the January 1st following General Conference, ¶ 720.2) for a term of four years and shall serve from the beginning of the ensuing Conference Session (¶ 251.2). Where a new church is organized or no election of members has been held or a vacancy occurs, the election of Members and Alternates to serve during the remainder of the term may be held at any charge Conference. 1. 2. To these, additional lay members (Paragraph 32, Article I of the Constitution): a. A lay member elected by each charge and alternate (¶ 251.2). (Each charge served by more than one clergy shall be entitled to as many lay members as there are clergy members.) b. The diaconal ministers c. Conference President of United Methodist Women d. Conference President of United Methodist Men e. Conference Lay Leader f. District Lay Leaders g. President or equivalent officer of the conference young adult organization h. President of the conference youth organization i. The Chair of the Annual Conference College Student organization j. One young person between the ages of twelve (12) and seventeen (17) and one young person between the ages of eighteen (18) and thirty (30) from each district, to be selected by each District Conference or District Council of Ministries if no District Conference meets The following persons, if not otherwise members of Conference, shall be added, in the order provided by this Northern Illinois Conference formula to equalize lay and clergy membership annually a. In addition twelve youth would be chosen by and representing the Conference Council on Youth Ministries. Delegates to General and Jurisdictional Conferences. A second additional member from each church with more than 1500 members as published in the current Journal. After the above have been applied against the imbalance, the number of lay members still needed annually to achieve the equalization is to be apportioned annually to the districts having the lowest proportional representation of lay members to churches and is to be assigned to churches next in size to churches with 450 members or less until all have been assigned. (1) The Credentials Committee shall calculate each year the number of lay members in each pastoral charge. Each district representative on the committee shall consult with their District Superintendent to affirm statistics to complete the equalization of lay members to clergy members of the Conference. (2) Names of lay members and their alternates shall be requested each year from each pastoral charge in the Conference. (3) The committee shall prepare each year a roster of the duly elected lay members and their respective alternates from each charge of the Conference. Copies of this roster will be submitted to the Conference Office and to the Local Arrangements Committee on or before February 15. This roster will constitute the committee's initial certification of lay members for the ensuing Conference session. (4) Any late changes in lay member representation must be made by the pastor in writing to the Credentials Committee at the site of Annual Conference. B. GENERAL AND JURISDICTIONAL CONFERENCES 1. Clergy delegates to General and Jurisdictional Conferences shall be elected by ballot without nomination from the floor (¶ 35). 2. Lay Delegates to General and Jurisdictional Conferences shall be elected by ballot at the Annual Conference session preceding the General Conference session. (¶ 36) The nominations process shall be managed as follows: 190 STANDING RULES STANDING RULES 15 a. 3. 4. 5. Nominations and the process for nominating are the responsibility of the Conference Board of Laity. b. The Conference Board of Laity shall establish and publish a process which will: 1. Secure biographical sketches and other pertinent information from those wishing to be elected. 2. Secure a commitment to the entire General/Jurisdictional process. c. Biographical sketches of nominees shall be distributed as part of the preconference distribution of materials and a calendar which supports that process shall be published at least sixty (60) day prior to the distribution of the preconference materials. d. Individuals seeking nomination after the established deadlines may be nominated from the floor of the Laity Session at the Annual Conference. e. Once a nomination has been accepted at the Laity Session biographical information in the format prescribed by the Conference Board of Laity may be distributed in the Laity Session. f. The nomination process shall remain the responsibility of the Conference Board of Laity or a related successor group. Reserve delegates a. Two clergy and two lay reserve delegates to the Jurisdictional Conference shall be elected in the same manner as the regular delegates (II B 1, 2). They shall be included in all proceedings under II B 3. b. Northern Illinois Conference shall bear the expenses for two clergy and two lay reserve delegates for the sessions of the General and Jurisdictional Conferences respectively, unless the expenses are paid by General or Jurisdictional Conference. Organization of General and Jurisdictional Conference delegations a. Beginning with the elections in 1971, the first clergy delegate to be elected to the General Conference shall have the duty of convening all General and Jurisdictional Conference delegates elected at the Annual Conference session, for the purpose of organizing and effecting assignments to legislative committees. In the ensuing quadrennial election of 1975, the first lay delegate to be elected to General Conference shall serve as convener. Thereafter, the convener, chosen in like manner, shall alternate every four years between the lay and clergy delegate first elected. b. When the delegates shall have been convened, as in II B 4 a, a vote shall be taken by written ballot, without nominations, for one of the General Conference delegates, clergy or lay, to serve as chair of the delegation. All delegates, General and Jurisdictional, shall be eligible to vote. Ballots shall be taken until there is a majority for one. The person thus elected shall serve also as chair of the Jurisdictional Conference delegation. The vice-chair shall be elected in the same manner as the chair. c. A clergy and a lay delegate who shall serve on the Jurisdictional Conference Committee on Episcopacy shall be elected by written ballot without nominations. The clergy delegates and the lay delegates shall vote by orders until a majority in each is achieved. The alternate delegates, clergy and lay, shall be selected in the same manner as the regular delegates for service on this committee. All other legislative committee assignments for both General and Jurisdictional Conferences shall be made in accordance with the Plan by the General and Jurisdictional Conferences. In elections for General and Jurisdictional Conference delegates, six sets of tellers 191 STANDING RULES 16 STANDING RULES shall be organized, three of clergy and three of lay persons who shall act alternately under the direction of one of the members of the Conference Secretary's staff. SECTION III CONFERENCE AGENCIES A. AGENCY GUIDELINES 1. The work of the Conference shall be carried forward and its various interests cared for by means of agencies as shall be deemed necessary from time to time (¶ 610.1,2). Nominations to membership of these agencies shall be made by the Committee on Nominations for the quadrennium unless tenure and process are otherwise specified. Any lay person nominated to Conference agencies shall be a member of a local church within the bounds of the Conference. When a clergy or layperson who is a district representative on an agency moves to a different district or when a member changes status (lay-clergy), the Committee on Nominations shall make every effort to maintain this person's membership, either as a representative of the district to which he or she has moved or as a member-at-large. If this is not possible because of numerical limitation, the principle of district representation shall supersede that of quadrennial election. Persons currently serving as district representatives and moving after July 1 would not leave a vacancy until after the Annual Conference Session. Nomination to membership shall be made only with the written consent of the nominee. 2. Persons shall serve no more than ten consecutive years as a member of an agency to which they have been elected or appointed. 3. A Task Force may be formed to accomplish some specific task in a limited time. Legislation which sets up such a Task Force shall be specific as to the task, the number of members and the manner of their election or appointment, and the time needed to accomplish the task. Unless so designated, a convener shall be named by the Committee on Nominations. The Task Force shall go out of existence when that task is accomplished and shall require authorization from the Annual Conference to continue into a second Conference year or beyond the termination of the date originally set. 4. Each Agency of the Annual Conference shall submit a statement of its policy and the by-laws under which it operates to the Conference Director of Connectional Ministries, who shall, in turn, distribute copies to the Bishop, members of the Cabinet, the Conference Secretary, the Treasurer/Director of Administrative Services of the Annual Conference, and the Program Staff. 5. Agency Meetings a. Agencies of the Annual Conference shall meet at locations which they determine are most convenient to the members of the agency. This determination shall consider travel time, accessibility of the proposed meeting place and any additional criteria which the agency shall determine are essential to its work. This determination of meeting site shall be reviewed yearly or when membership changes. The implementation of this policy shall be recorded in the agency's minutes. b. All meetings scheduled by Annual Conference and its Districts, Boards or Committees shall be accessible. An accessible Conference meeting is one which has overcome three barriers: physical, communication and attitudinal. 192 STANDING RULES STANDING RULES 17 PHYSICAL GUIDELINES All meeting rooms to be used (including sanctuaries) are accessible to those in wheelchairs; Ground level with no steps; Available elevator; Ramp of size and angle that wheelchairs can negotiate door openings at least 36 inches wide; Pews or chairs arranged to include space for wheelchairs; Accessible washrooms; Convenient parking for those with handicapping conditions; Curb cuts; Adequate hand rails; Adequate lighting; For overnight meetings, accessible lodging. COMMUNICATION GUIDELINES A loud-speaker system, if the group is large; Sound equipment for the more profoundly hearing impaired; Large-print program materials or tape-recordings available; Signing for the hearing impaired, if requested; Programs and directions using visuals, symbols, images and sounds. 6. Retired clergy may serve on all agencies, except where the Discipline prohibits such service. 7. Voting members of General Agencies are ex officio (voting) members of the corresponding agency or its equivalent structure in the Annual Conference (¶ 610.6, 612.2c, 710.6). 8. It is recommended that all agencies of the Annual Conference be inclusive in their membership (¶ 610.3,5). 9. No person who receives compensation for services rendered or commissions of any kind from an agency shall be eligible for voting membership on that agency. No elected member, officer or other employee shall vote on or take part in deliberations on matters directly or indirectly affecting his or her business, income or employment or the business, income or employment of a member of his/her immediate family. 10. Participation by the Presiding/Resident Bishop: Notwithstanding any other specific provision in these Standing Rules to the contrary, whenever the Presiding/Resident Bishop is ex officio or otherwise a member of or a participant on, any agency, task force, committee or other organization established by the Annual Conference, the Presiding/Resident Bishop shall have voice but not vote thereon, unless otherwise required by The Book of Discipline. B. NOMINATIONS PROCEDURE 1. The nominations process is an open process. Persons can be nominated from any source within the Conference. All nominees for membership on conference agencies shall be presented to the Annual Conference by the Committee on Nominations except members-at-large of conference agencies and those otherwise directed by The Discipline or the Standing Rules. Suggestions of persons particularly qualified for such membership may come to the Committee on Nominations from any agency. 2. The Conference Committee on Nominations shall invite clergy members and members of local churches in the Annual Conference to appear before it to submit recommendations. A suitable period of time at a meeting of the committee no later than a date set by the Nominating Committee each year shall be set aside for this hearing. The committee shall receive written and oral recommendations from any source but shall consider all nominations in closed session. The facilities of the Conference Office of Communications shall be used to notify the membership of the Conference and its local churches of this opportunity. 3. Any one or any group of the district may submit recommendations to the District 193 STANDING RULES 18 STANDING RULES Committee on Nominations. These recommendations are to be considered by the District. 4. Elections at Annual Conference will take place in the following manner: A slate containing only the names of those to be elected at the current session of Annual Conference will be presented. Those who have been serving during the past year will be designated from those most recently nominated. Any additional names offered in nomination for any position to fill a blank space or in substitution for an existing name will need the following information: a. Position for which person is being nominated b. Full name, correctly spelled c. Complete address, home and work phones, if available d. Personal data e. Local church affiliation f. Tenure in previous service to this group g. Name of person making nominations h. Consent of nominee to serve This information must be received at a location announced at the session no later than 11 p.m. of the second day of the Conference. The Committee on Nominations will determine Disciplinary and Standing Rules requirements. 5. The Conference Council on Youth Ministries will be exempt from the foregoing procedures and the policies contained herein, and instead will be selected in a manner set forth in the Conference Council on youth Ministries By-Laws. The Conference Council on Youth Ministries selection process will adhere to all applicable provisions set forth in The Discipline. 6. Except as otherwise directed by The Discipline, when a vacancy occurs in any Conference group: a. Notification of a vacancy will be made to the Conference Committee on Nominations. b. The Conference Committee on Nominations shall fill the vacancies within 60 days of notification. c. The Committee shall consider the office vacant after an attempt to notify by first class mail said member of pending action has been made by the Committee and the member has been given 10 days to appear before the Committee or to respond by letter to explain his/her inactivity. 7. Within 60 days after the Annual Conference session, current lists of names and addresses of all members of the conference bodies shall be provided to all their chairpersons or conveners by the Conference Secretary. 8. The Annual Conference shall elect a Conference Secretary, an Assistant to the Secretary for Standing Rules, and statistician at the first Annual Conference session following the General Conference or Jurisdictional Conference (¶ 603.7). The secretarial staff will be named by the Secretary. 9. All specifications by either The Discipline and the state law as to the manner of election of trustees shall be rigidly followed. In all cases where the Conference is responsible for the election of any trustees of institutions or foundations related to the Conference in any way, and where no other method of nomination is required by The Discipline or by the charter or by-laws of the institution concerned, the Committee shall nominate said trustees after considering any recommendations offered by said institution. 10. Changes in the basic by-laws which affect the election of trustees, managers, directors or governing body of any board, foundation or institution incorporated by 194 STANDING RULES STANDING RULES 19 the action and authority of Northern Illinois Conference of The United Methodist Church or whose trustees are elected by the Conference shall become effective only after they have been presented to the next regular session of the Conference and approved by Conference action. 11. Guidelines for Organizing Program and Administrative Groups: Unless provided otherwise in The Discipline or by Conference legislation, all Program and Administrative groups of the Conference shall meet to organize within thirty days of the adjournment of the Conference session. The convener shall be designated by the Bishop. a. The Annual Conference will always parallel the General Church and disciplinary requirement. b. The establishment of emphasis areas and special ministry will be recommended by the Program Council to the Annual Conference. c. Unless otherwise required by The Discipline, our Program Emphasis areas will be at least 24 persons–three per District and 6 at large. Special care is to be taken to balance the participation with adequate clergy, lay, male, female, age and ethnicity representation. d. No person may serve on more than one Program Emphasis and one Administrative area at any given time. 12. The Conference Program Staff office shall publish by October 1 the list of elected officers of all groups. There will be published a description of all Program and Administrative Areas. The Program Council will be responsible for the publication. D. DISCIPLINARY BODIES 1. Council on Finance and Administration (¶ 611) Twenty-one (21) persons with a recommended balance of 7 clergy, 7 laymen and 7 laywomen, elected quadrennially. 2. Conference Program Council. (¶ 608) a. Purpose. (1) To be in ministry with the Director of Connectional Ministries in carrying out the priorities of focusing and guiding the mission and ministry of The United Methodist Church within the Northern Illinois Annual Conference, as outlined, but not exclusively, in . ¶ 608 of The Book of Discipline 2008. (2) To relate to the Connectional Table on all connectional matters. b. Membership. (1) With voice and vote: A Chairperson *, Secretary *, the Conference Lay Leader, Four (4) Ministry Team Chairs *, Six (6) at large members * (one from each district), the Conference Ecumenical Officer, Conference Mission Secretary, any members of the Connectional Table who reside within the bounds of the conference. (2) With voice only, to act as resources when appropriate: Program Directors, Communications Consultant, a representative from the Conference Council on Finance and Administration, the conference treasurer/director of administrative services, a cabinet representative, and the Bishop. c. Ministry Teams. There shall be four (4) ministry teams that will each have a chair and secretary to guide and focus their mission, and relate to the Program Council. These four teams will primarily provide encouragement, coordination, and support for the ministries of nurture, outreach, and witness and be advocates in districts and congregations for the transformation of the world, ensure the alignment of the total resources of the annual conference to its mission. Ministry teams may call on any other resources that they deem necessary in carrying out their mission. The Council may from time to time add to, eliminate from, or re-organize the Ministry Teams to meet the missional needs of the Annual Conference and include General Conference Initiatives. (1) Nurture Ministry team – will focus on Christian formation, education, small group ministries, worship, stewardship, evangelism, membership care, age-level ministries, family ministries, and laity ministries. The members of this team, in addition to the chair and secretary, are the chairs of: Board of Discipleship, Board of Laity, Conference Council on Youth Ministry, Conference Council on Children’s Ministry, Conference Council on Older Adult Ministry, the conference UMW and UMM presidents, and the Leadership Development Committee. (3) The Witness Ministry Team – will offer and develop resources intended to promote, assist, maintain and enhance our connection within the Annual Conference to tell and live the whole gospel. The members of this team, in addition to the chair and secretary, are the chairs of Board of Outdoor and Retreat Ministry, Committee on Communications, National Plan For Hispanic Ministry. (4) Advocacy Ministry Team – will coordinate and monitor our efforts to reflect the ideal of Christian community as we seek to live out the full social implications of the gospel. The members of this team, in addition to the chair and secretary, are the chairs of: Anti-Gambling Task Force, Black Methodist for Church Renewal, Children and Poverty, Commission on Religion and Race, Commission on the Status and Role of Women, Fellowship of Asian Americans, La Junta Hispano Americana. Board of Church and Society (¶ 629) Two divisions: (1) The Ministry of God's Creation and (2) The Ministry of God's Human Community. Each member of the board shall be a member of one of the ministry areas. Membership: In addition to those listed (III B 13 a), a member of the Cabinet, District Coordinators of Church and Society, Conference and District Coordinators of Christian Social Involvement of United Methodist Women. Board of Discipleship (¶ 630) Four divisions: Christian Education and Nurture, Christian Witness and Outreach, Outdoor and Retreat Ministries and Ministry of the Laity. Each member of the board shall be a member of one of the divisions and one of the sections within that division. Board of Higher Education and Campus Ministry (¶ 634). Three divisions: Higher Education, Campus Ministry, and Interpretation and Public Education. Each member of the board shall be a member of one of the divisions. Divisions may establish sections and/or committees and determine their membership. Membership: In addition to those named (III B 13 a), 1 representative from each ethnic minority caucus, named by the caucus, 1 representative of each campus ministry and each institution of higher education related to the Annual Conference, without vote. This board sets the compensation of campus ministers and establishes and monitors housing and travel allowances. Board of Pensions (¶ 639). Twenty members, at least two members from each district, serving 8-year terms, one-half elected each quadrennium, 8. Board of Trustees (¶ 640 and 2512) Twelve persons. The recommended membership is one-third clergy, one-third laymen, and one-third laywomen elected in classes of three to serve four-year terms. Each district shall have at least one representative. Within four weeks of the close of each Annual Conference, the District Superintendent assigned to the Board shall convene a meeting to elect officers. 9. Commission on Archives and History (¶ 641) Membership with vote: One representative from each district, who shall also serve as the District Secretary on Archives and History on the District Council on Ministries, where one exists One representative from each of the following: Black Methodists for Church Renewal La Junta Hispano Americana Fellowship of Asian Americans One representative from Northern Illinois Annual Conference Historical Society Ten members chosen in consultation with the Commission on Archives and History for expertise and/or membership balance, drawn at large representing, where possible, the historical traditions of the conferences antecedent to Northern Illinois Annual Conference: Rock River Conference MEC and MC, North Illinois and Illinois Conference MPC, Northwest and Central Swedish Conferences MEC, Norwegian-Danish Conference MEC, Lexington Conference MC, Northwest and Chicago-German Conferences MEC and Illinois Conference of Evangelical United Brethren Church. Members with voice but without vote: One representative from the Program Staff, any member of the Jurisdictional Commission on Archives and History residing within the Conference boundaries, the Conference Archivist, the manager of the Cokesbury Bookstore in Aurora, one representative from Garrett-Evangelical Theological Seminary, site of the Annual Conference Archives 10. Commission on Christian Unity and Interreligious Concerns (¶ 642) Membership: Twenty-four: one clergy and one lay from each district (including the district coordinator for Ecumenical Concerns and a member of the District Council on Ministries); eleven members-at-large; and one Cabinet representative. Ex officio: United Methodists who represent Northern Illinois Conference and serve on boards of ecumenical bodies with whom the Northern Illinois Conference of The 200 STANDING RULES STANDING RULES 25 11. 12. 13. 14. 15. United Methodist Church has judicatory affiliation with voice and without vote. Responsibilities include empowerment to respond on behalf of the Conference to matters referred to the denomination by the Church Federation of Greater Chicago and/or the Illinois Conference of Churches, such as (a) ecclesiastical endorsement of nomination, (b) other matters not in the jurisdiction of denominational representatives in the governing boards and not in conflict with the Standing Rules of the Conference or The Discipline. Conference Council on Youth Ministry (¶ 649) Membership: Three youth members and three youth alternate members from each District plus seven youth at-large members nominated by the Conference Nominating Committee in consultation with CCYM. Commission on Religion and Race (¶ 643) Membership: Twenty-seven: three from each district (including the District Secretary) and nine at large, recommended by the Commission on Religion and Race and nominated by the Committee on Nominations. Commission on the Status and Role of Women (¶ 644) Membership: four clergy (two women, two men, one a member of the Board of Ministry), four laywomen and four laymen. One representative from each district to serve also on the District Council on Ministries, should one exist. One Cabinet representative (without vote); one staff representative (without vote); two women selected by the executive committee of the Conference United Methodist Women; eight persons selected by the commission itself because of their professional training in church-related vocations or special interests and competence needed for the work of the commission; one youth representative from CCYM (or its successor body), and any Conference member(s) of the General Commission on the Status and Role of Women. Commission on Equitable Compensation (¶ 625) Membership: An equal number of lay and clergy, including one person from each district and 6 members-at-large with representatives from at least 4 churches with memberships of fewer than 200 members. Purpose: Review the schedule of Equitable Compensation annually, reporting findings to the Conference Council on Finance and Administration; distribute the Equitable Compensation Fund; in consultation with the Cabinet, pass on all applications for payments from the fund and make request in writing to the office of the Conference Treasurer for any payments approved. Metropolitan Mission Commission (¶ 633.5) Purpose: Interdistrict structure to initiate, promote and strengthen a coordinated United Methodist ministry in Metropolitan Chicago and to provide means for various caucuses to engage in dialogue over uniqueness and points of commonality in their ministries. E. CONFERENCE AGENCIES 1. Conference Administrative Committee Membership: One representative each from Board of Trustees, Council on Finance and Administration and Cabinet; the Bishop; Director of Connectional Ministries and Treasurer/Director of Administrative Services with voice but not vote; also twelve at-large members elected to four-year terms. It is recommended that the at-large members include one clergy, one laywoman and one layman in each class. Responsibility: Coordination and oversight of all Administrative functions. Amenable to Conference Council on Finance and Administration. 201 STANDING RULES 26 STANDING RULES 2. Annual Conference Committee on Personnel. a. Members with Voice and Vote: 1) The Bishop 2) Eight at-large members elected to four-year terms. At-large members shall include 2 clergy, 2 laywomen, and 2 laymen b. Members with Voice but not Vote: 1) Director of Connectional Ministry 2) Treasurer/Director of Administrative Services 3) A representative of the Cabinet c. The Annual Conference Committee on Personnel may invite to their meetings any others they deem necessary for the purpose of sharing expertise. Those invited may have the right of voice but not vote. The committee shall select their own method of granting voice (i.e.: a formal vote or consensus). d. Convened for Quadrennium. Within four weeks (or thirty (30) days per Standing Rule III.B.13) of the close of the last Annual Conference of each quadrennium, the Dean of the Cabinet shall convene the Personnel Committee to elect officers and organize the work of the committee. e. Purpose. To facilitate compliance with The Book of Discipline and applicable laws relating to employment, this committee shall develop and execute all personnel policies for all persons employed by the conference in consultation with the conference agencies; particularly the Program Council, Conference Council on Finance and Administration, Conference Board of Higher Education and Campus Ministry, and the Conference Board of Outdoor and Retreat Ministries. Such personnel policies shall include, and are not limited to: employment policies; salary scales; hiring; evaluation; and termination policies and procedures. The committee shall also make recommendation concerning such employees to the Conference Council on Finance and Administration regarding salary, housing, utilities allowances, professional and business reimbursement, travel expenses, and continuing education for inclusion in the Annual Conference Budget. Persons employed by the Annual Conference, for purposes of this committee, shall include all persons employed by the conference agencies named earlier in this subparagraph, the Conference Superintendents assigned to the various districts, and the administrative assistants in the various conference, regional, and district offices. f. Resourcing Local Congregations. The committee shall resource local congregations and faith communities and other conference boards and agencies on personnel policies and procedures. 3. Committee on Nominations Membership: A District Superintendent chosen by the Cabinet; Director of Connectional Ministries; Conference Lay Leader; a representative from each of the following: United Methodist Women, United Methodist Men, Retired Clergy Association, Conference Council on Youth Ministries, Young Adult Council, Fellowship of Asian- Americans, Black Methodists for Church Renewal, and LaJunta. An additional sixteen (16) members to be nominated by the Committee on Nominations with a minimum of two from each district, and with care being given to honor diversity relative to gender, ethnicity, and clergy-lay representation, will be organized in the following terms and classes: Term: Four-year terms, limited to two full terms. Classes: Four classes with four members each. Officers: Chair is nominated by the nominating committee and elected by the Annual Conference for the Quadrennium. The committee shall elect such other 202 STANDING RULES STANDING RULES 27 4. 5. 6. 7. 8. officers as it deems necessary from its membership. When a district desires a District Committee on Nominations, it shall be established by its District Council or District Conference. Annual Conference Committee Membership: Twenty-four persons to serve terms of four years. It is recommended that 1/3 shall be clergy, 1/3 laymen, 1/3 laywomen. Ex Officio Members: The Bishop, District Superintendents, Director of Connectional Ministries, Conference Lay Leader, Conference Secretary; Chairs or their representatives of the Boards of Church and Society, Discipleship and Global Ministries, Division of Christian Witness and Outreach of the Board of Discipleship, Commission on Christian Unity and Interreligous Concerns, Committee on Ushers, Credentials Committee and Council on Finance and Administration; Presidents of ACCYM, UMM and UMW; and the host pastors for the coming session of the Annual Conference. Officers: Chair, Vice-Chair, and Secretary nominated by the Committee on Nominations and elected by the Conference for the quadrennium. The Vice-Chair shall serve as Chair of Daily Procedure. Purpose: To make arrangements for the regular Annual, Special or Adjourned Sessions of the Conference, to plan and arrange the Agenda of the Annual Conference Session in consultation with the Bishop, to budget the expense, arrange the place of holding the Conference, to provide for child care and to enlist such additional persons necessary for the carrying out of the Conference Sessions, including the person and alternate to make the Memorial Address. Credentials Committee Membership: Seven persons, one from each district and the Conference Registrar. Responsibility: Monitor provisions of the equalization formula and be responsible for matters pertaining to certification and seating of Conference members. Committee on Ushers for the Annual Conference Session Membership: Co-Chairs to serve for the quadrennium. Each shall select a staff of ushers, which shall reflect the diversity of the body. Purpose: One chair to serve as head of the ushers for the conference business sessions. One chair to serve as head of the ushers for the worship sessions. Responsibility: Both to be ex officio members of the Annual Conference Committee. Committee on Worship at Annual Conference Membership: 1 Cabinet representative, 4 representatives from the Division of Christian Witness and Outreach of the Board of Discipleship, 4 representatives from the Annual Conference Committee and 1 representative from the Northern Illinois Chapter of the Fellowship of United Methodists in Worship, Music and the Arts Purpose: Available to assist the bishop in organizing and facilitating worship at the Annual Conference Sessions. Research and Planning Committee Membership: Twenty-nine members, twenty-one of which are nominated by the Committee on Nominations. Four ex officio members - The Bishop, Council of Ministries Director (or designate), a Cabinet member and a member of the Council on Finance and Administration. Four members selected for special expertise, named by the Committee on Research and Planning. Officers: Selected by the committee. Chairperson represents committee on Conference Council of Ministries. 203 STANDING RULES 28 STANDING RULES Purpose: To provide a process and structure whereby the Annual Conference and its groups can build a common vision of the future and be a faithful and intentional community. Functions: Research, Long-Range Planning, Strategic Planning, Evaluation/Audit. Reports directly to Annual Conference with advisory relationships to Program Council and Council on Finance and Administration. 9. Committee on Concerns of Clergy Families Membership: The Bishop; one representative designated by each of the following: Conference Board of Pensions, the Cabinet, and the Commission on the Status and Role of Women; two representatives designated by the Clergy Spouses of the Annual Conference; and up to four additional members-at-large appointed by the Committee. Responsibilities: Provide guidelines for determining the designated financial assistance for extreme emergencies; request an annual sum to assist families at the time of separation, death, divorce or family stress and difficulty; update and amend the Resource Book as necessary; offer assistance to clergy spouses in maintaining support systems, identification of resources for personal assistance and maintaining spiritual and pastoral support and guidance as necessary; receive and designate financial assistance to be granted in any given request, in keeping with the designated guidelines. 10. Sexual Harassment Consultation Teams and Intervention Group Membership of the Sexual Harassment Intervention Group: Eleven persons, male and female, Lay, Diaconal and Clergy Membership of each of two Sexual Harassment Consultation Teams: five persons with two alternates, male and female, Lay, Diaconal and Clergy The Group and both Teams are to be appointed by the Commission on the Status and Role of Women in consultation with the Bishop, from a list of nominees solicited from Lay and Clergy members of the Annual Conference. 11. United Methodist Foundation of Northern Illinois Conference, Inc. Officers of the board: President, Vice President, Secretary, and Treasurer, all members of the board; Assistant Treasurer is Conference Treasurer/Director of Administrative Services. Annual meeting: The Bishop chairs and convenes the members of the Conference as members of the corporation to receive reports and proposals, to elect the Board of Directors for the current class and to vacancies in other classes. At the close of the corporation's business, the Bishop, by the vote of the Conference, adjourns the corporation meeting and resumes the Conference business. Foundation Sunday: The third Sunday of May each year or another Sunday in May or June that may be selected in the local church, not to take an offering but for the purpose of increasing the awareness of church membership of the Christian stewardship opportunities for one's family and church with a will, trust or life income plan. 12. Church Builders, a program of the Conference Board of Global Ministries Membership: Individuals who pledge $25 or more, upon call, three times a year for congregational development and redevelopment projects (land purchases, construction of new churches, parsonages, renovation and expansion of existing facilities) in the Northern Illinois Conference. Projects are selected by the Bishop and District Superintendents. Church Builders Board. Twelve members: three each named by the Division of Congregational Development of the Board of Global Ministries, Conference United 204 STANDING RULES STANDING RULES 29 13. 14. 15. 16. Methodist Men, the Division on Ministry of the Laity of the Board of Discipleship; plus the Bishop, one District Superintendent and one Conference program staff person. Functions/roles of the Board: Establish policy, decide timing of calls, manage funds received, determine amount of grants, generate and implement Church Builder recruitment plans, maintain up-to-date list of Church Builders, develop and implement promotion plans. Organization: Prior to the end of the year of General Conference, the incumbent chairperson of the board convenes the new board for organization and election of officers. Officers: Chairperson, Vice Chairperson, Secretary, Treasurer, Director and Recruiter Trustees of Illinois Church Action on Alcohol Problems (ILLCAAP) Elected on the basis of one per 50,000 members or major fraction thereof. Nominated by the Division of General Welfare of the Board of Church and Society. Des Plaines Campground Liaison Committee Seven members. Purpose: Seek to discover ways of mutual cooperation between Northern Illinois Annual Conference and Des Plaines Campground Association (known as the Des Plaines Campground). Directors (2) of the Illinois Methodist Church Ministry of Criminal Justice Elected for a term of three years Committee to Implement the Hispanic Plan Membership: Nineteen, including two Hispanic clergy, two Hispanic laity, nine non--Hispanic persons, one representative from LaJunta, one representative from the Division of Congregation Development and Redevelopment (Board of Global Ministries) and one representative each from the Board of Church and Society, Discipleship and Higher Education and Campus Ministry, plus a Cabinet representative. Officers: Chair, vice chair and secretary, elected by the committee. The chair is a member of the Conference Program Council. F. DISTRICT CONFERENCES (¶ 42, 657, 658) Call by District Superintendent shall be in writing at least three weeks prior to event and shall include agenda. Chair: Superintendent or person designated by Superintendent. Voting Membership: All pastors serving churches full-time or part-time within the district, all retired pastors residing within the district, all pastors under special appointment who are members of a Charge Conference within the district, diaconal ministers whose Charge Conference membership resides in the district, the lay members and alternate lay members of the district churches, the District Lay Leader, the District President of United Methodist Women, the District President of United Methodist Men, the District President of Youth and Young Adult Fellowships and up to five additional members representing each church on the district, chosen by the Administrative Board/Council of the various churches. Minutes: Copies to the District Office and with District Council of Ministries minutes (where a District Council exists), to the Council Program Director's office, to the Conference Secretary, who shall publish the records of the several District Conferences in the Conference Journal, creating a special section of the Historical reports Authority: To establish district apportionments on a year-to-year basis, review and 205 STANDING RULES 30 STANDING RULES respond in other appropriate ways to actions taken by Northern Illinois Annual Conference, set program priorities for the district upon recommendation of the District Council of Ministries where one exists, and set missional priorities for the district upon recommendation of the District Strategy Committee if one exists, and other matters as determined by the District Superintendent. Districts are authorized to combine district conferences to deal with regional and area missional issues. When this is contemplated, a committee made up of each superintendent and three persons from each district shall plan the combined conference. The three persons shall be named by the respective District Councils on Ministries (or District Committees on Nominations, if no District Council on Ministries exists). SECTION IV CONFERENCE RELATIONS A. CONFERENCE MEMBERSHIP 1. Probationary Membership: In addition to the Disciplinary requirements (¶ 324), psychological testing and evaluation of candidates for Conference membership by an agency selected by the Board of Ordained Ministry shall be required. 2. Full Connection: In addition to the Disciplinary requirement (¶ 330), a candidate for membership in Northern Illinois Conference may not be admitted into full connection until he/she shall have served satisfactorily for two years under episcopal appointments under the supervision of a District Superintendent subsequent to completion of all requirements for a Divinity degree from an approved theological seminary. 3. Transfer from Northern Illinois Conference: The Bishop is requested not to complete the transfer of a clergy member out of the Conference until he/she has made satisfactory adjustment of all monies owed on personal obligations to the Conference. 4. Charge Conference Relationship: The charge conference relationship of retired clergy shall be listed in the Record of Ministerial Service in the Journal. 5. Personnel Records: The complete service record for ordained and diaconal members (¶ 606.6) shall be maintained in the office of the Treasurer/Director of Administrative Services. For purposes of this Conference, Form 102 Biographical Information Form of The United Methodist Church, together with a schedule of appointments, shall constitute the "complete service record." The chair of the Conference Relations Division of the Board of Ordained Ministry shall keep descriptions of circumstances related to changes in Conference relationships, credentials surrendered to the Bishop or District Superintendent and confidential trial records as well as actions required to be maintained under the Sexual Harassment Policy of the Conference. Further, personnel records (¶ 606.9) shall continue to be maintained by the Boards of Ordained Ministry, Diaconal Ministry and Pensions, and the District Committees on Ordained Ministry, respectively, on behalf of the Annual Conference, subject to the guidelines provided by the General Council on Finance and Administration. Supervision will be provided by the Annual Conference Committee on Personnel. A computer data base is recommended for maintaining the "complete service record" (¶ 606.6). B. CLERGY PERSONNEL POLICIES - -LOCAL CHURCHES 1. Pastoral service is the responsibility of the clergy in charge. The rule of this Conference is that no clergy shall perform pastoral acts in any parish other than the one assigned to him or her, except by invitation of the clergy in charge or, in cases of 206 STANDING RULES STANDING RULES 31 2. emergency, with the knowledge of the District Superintendent. Clergy compensation a. The salary-paying unit shall not pay salary in advance but after service is rendered on duties agreed upon by pastor and the salary-paying unit. b. Equitable Compensation: Before the pastor of any charge is eligible for assistance from the Equitable Compensation Fund, the District Superintendent shall certify in writing to the Commission on Equitable Compensation that an every member canvass has been conducted that year on the charge, that the church is doing everything possible to fulfill its obligations and that there are not other funds available from which the salary can be supplemented. Any application for assistance from the Equitable Compensation Fund must have the approval of the Cabinet. The Equitable Compensation Fund shall provide pastoral support no higher than 40% of the salary scale of the pastor(s) of a local church. The Equitable Compensation Commission may make exceptions to this rule in special circumstances. c. Vacations and Related Items (1) All pastors shall have a minimum of thirty days (one month) vacation each Conference year (July 1 to June 30). (2) Time which the pastor spends in the Conference Camping program, the College of Christian Life, approved Continuing Education, Annual Conference sessions and up to two weeks in Evangelism or other Mission Outreach shall not be counted against vacation time. (3) Pastors are urged to be prudent and fair in the application of a and b above, and to work closely with the Pastor-Parish Relations Committee. d. Health Insurance, Pension, and Disability Benefits (1) Each local church/charge with a full-time appointment shall provide and pay premiums for the Conference-sponsored health insurance plan for its full-time pastor(s). Coverage shall be offered to the eligible dependents (as from time to time defined by the Northern Illinois Conference Board of Pensions) and premiums paid for by the salary-paying unit. All other clergy in the Conference under full-time appointment beyond the local church are eligible to participate in this plan. (2) Each local church/charge with one or more full-time clergy shall provide and pay for each of its clergy’s required contributions to the General Board of Pensions and Health Benefits (GBOPHB) (CRSP) on a timely basis. (3) Each local church/charge with one or more full-time clergy shall provide and pay for each of its clergy’s required contributions to the GBOPHB’s Comprehensive Protection Plan (CPP) which provides death and disability benefits for clergy. (4) Local churches shall not reduce clergy compensation to absorb the costs of health insurance, pension or CPP benefits. Effective as of January 1, 2009, if a Local Church fails to pay its clergy’s full costs for health insurance, pension, or CPP benefits within ninety (90) days of the end of the current year, the amount of such arrearage shall constitute a lien on the real and personal property of such local church until such arrearage is paid in full. The Conference Treasurer and the Cabinet shall maintain records of such 207 STANDING RULES 32 STANDING RULES 3. liens, and such liens shall be enforced upon the sale or other disposition of such Local Church’s properties upon sale or discontinuance of such Local Church Properties as part of the District Superintendent’s consent to sale required by the Discipline. e. The policy for Maternity/Paternity Leave shall be as stated in Paragraph 356 of The Book of Discipline. f. The policy for Disability Leave shall be as stated in Paragraph 357 of The Book of Discipline. g. The policy for Sabbatical Leave shall follow Paragraph 352 of The Book of Discipline. Persons wishing to take a sabbatical leave of any length must submit to the Committee on Sabbatical Leaves of the Board of Ordained Ministry, the Bishop and the District Superintendent a plan for study and travel to be done during the leave. The plan must be submitted by December 31 of the year preceding the Annual Conference at which the leave is granted. Funds to support the health insurance premiums and pension premiums on sabbatical leaves of one year in length shall be included in the Conference budget. The health insurance premiums shall be paid from funds made available by the Conference Board of Pensions. The pension payment for the church or employing institution is to be paid by funds allocated to the Board of Ordained Ministry. The amount set aside for this purpose shall be equal to three times the obligation for a person making the denominational average salary for clergy. If more than three persons are approved and appointed to sabbatical leave in any year, these funds shall be allocated by the Committee on Sabbaticals to those so appointed. Persons wishing to take sabbatical leave of less than one year in length shall not receive support from the Annual Conference. h. Sick Pay: The total clergy compensation package established for salary, benefits and housing shall be continued during a period of illness or disability of any clergy until there is a change in the appointment of such clergy by the presiding Bishop. i. Car Expense: Payment of the pastor's car expense should be based upon the actual mileage required to serve the parish. The recommended Conference rate shall be whatever is the current Internal Revenue Service standard. The local church is encouraged to pay for actual miles as submitted on a regular voucher basis, as a legitimate cost of having a pastor available for the many places ministry happens. Parsonages a. The local pastoral charge shall provide an attractive, adequate, comfortable home for its pastor. The general upkeep of the parsonage shall be the responsibility of the local church. b. The full cost of utilities at the parsonage (including heat, light, water and telephone other than personal toll calls made by pastor and/or his/her family) is the responsibility of the local church. c. The parsonage shall be inspected at least annually (¶ 2532.4) and at the time of each change of pastors to ascertain what items of routine maintenance and decorating need attention. Annual forms shall be filled out and signed, indicating various conditions and needs with a time schedule for completion. At the time of the annual inspection, the personal safety of the families residing in the parsonage, and the overall safety of the property, shall be 208 STANDING RULES STANDING RULES 33 d. e. f. g. h. discussed. If and when appropriate and feasible, a security system, and/or other measures necessary to ensure the safety of said clergy/families and property, may be implemented. The pastor is responsible for informing the proper people as to particular problems and needs in a timely manner. The parsonage family is to keep the appearance both inside and outside of the home in good order. Any repairs needed for damages done by a member of the parsonage family shall be paid for by the family, as in rental situations. Standard parsonage equipment which churches are expected to furnish: (1) Stove, gas or electric (2) Hot water heater, gas or electric (3) Electric refrigerator (4) Automatic dishwasher (5) Automatic washer and dryer (6) Carpeting in living room, dining room, family room, hall and stairways (7) Window coverings (shades/blinds/curtains/draperies) throughout the house (8) Water softener, where hardness of water indicates need (9) Kitchen with ample cabinets, counter space, good lighting, adequate electrical wiring for modern appliances, durable floor covering and place for family to eat (10) Garbage disposal desirable (except with septic systems) (11) Air conditioner/conditioning - desirable (12) Sufficient insulation/storm doors/windows to insure home warmth and efficiency from heating system (13) Lawn mower, hedge trimmers, snow blower, water hose, if needed (14) Garbage and recyclable containers appropriate for area (15) TV antenna or cable hook-up if needed (16) Smoke detectors, fire extinguisher (17) Exhaust/ventilation system for bathrooms and kitchen (18) Microwave oven and freezers should be considered (19) Properly labeled fuse box, ample electrical outlets, all connections (20) Sump pump where needed to insure a dry basement A log book shall be used to record the purchase date and place of each appliance, lists of places to call for service on all appliances and dates of repairs, improvements, upgrading done and by whom. Instructions for the operation and location of vital switches and valves and who to call in case of emergencies should be provided to the parsonage family. Parsonage space needs: (1) Garage, double desirable, with ample space for lawn and garden equipment. Automatic door opener helpful. (2) Three bedrooms and a guest room or study (3) Outdoor living space suitable for recreation and beautification with some privacy (4) A dining room/family room with seating space for eight (5) Suitably large living room and family or recreation room (6) Provision for adequate study area (7) At least two bathrooms 209 STANDING RULES 34 STANDING RULES i. 3. 4. 5. 6. (8) Area for children to play safely outside (9) Adequate closet and storage spaces (10) Most parsonages need at least 2,000 sq. ft. All of the above need to be considered in any plans for new parsonages and in all major remodeling (see the Board of Architecture's recommendations). Additionally, on plans affecting areas within existing parsonages, adequate provision shall be made to facilitate entrance and to make the facilities generally accessible to persons with handicapping conditions, including, on the main floor, one room which could be used as a bedroom by a person with a physical handicap, a fully accessible bathroom and laundry facilities. Parsonage Allowance Policy: Each charge conference, or agency served by clergy under special appointment, where rent-free use of a house is not provided and where an allowance is paid to enable clergy to obtain housing, shall designate prior to the start of each year and at the same time as the clergy compensation package is established, a portion of the total compensation as a parsonage allowance. Such amount shall be excluded from gross income for income tax purposes to the extent it is actually used for such expense. The parsonage allowance shall be established to include all anticipated principal payments, all interest on any loan or loans secured to purchase the home or to furnish, equip, maintain and repair it, all utilities, all expenditures for repairs and maintenance, all property or other taxes, and all other costs reasonably related to furnishing and equipping the home. Provided, however, that the exclusion shall not exceed the fair rental value of the home, so furnished, equipped and maintained together with utilities. Furnishings Allowance Policy: Each charge conference, or agency served by clergy under special appointment, where rent-free housing is provided, shall designate, prior to the start of each year and at the same time as the compensation is established, a portion of the total compensation package as a furnishings allowance. Such amount shall be excluded from gross income for income tax purposes to the extent that it is in fact used for the expenses of operating a home. The furnishings allowance shall be established to include all anticipated allowable expenses related to the operation of and the furnishing and equipping of a home. Housing Relocation When the pastor moves, the staff-parish committee should notify the parsonage committee at once of the expected date so that plans can be made in preparation for the new pastor/family to move into the parsonage. Both the out-going pastor and the incoming pastor should be consulted as to items concerning the parsonage home that need to be taken care of before, between and after the move. The out-going parsonage family should have a "white glove" clean-up prior to leaving the appointment. Administrative Expense items: In planning and building the budget of the local church, careful consideration shall be given to provide for the following items: a. Office expenses such as postage, paper and other items for an effective and efficient office. b. Office equipment: desk, adequate lighting, bookshelves (50-75 feet per pastor), a typewriter or computer, chairs for counseling, mimeograph and/or copy machine and two file cabinets. c. Repair of equipment owned by the pastor but used primarily for the work of the church. d. Honorarium for pulpit supply while the pastor is on vacation. 210 STANDING RULES STANDING RULES 35 e. f. g. At least $600 which the pastor may use for continuing education (¶ 351) Reimbursement for books, publications and materials used by the pastor in serving the church. An annual amount of 2% of the value of the parsonage (but not more than $2,500) for upkeep/repair/decorating and/or remodeling the parsonage, to be accumulated and spent only when approved by the parsonage committee or board of trustees. C. ADDITIONAL CLERGY PERSONNEL POLICIES 1. Excludable housing allowance for retired clergy and clergy on disability a. The practice of The United Methodist Church is to provide a parsonage or rental allowance for each of its active ordained or local clergy. b. Pensions paid to retired ordained or local pastors of The United Methodist Church are considered as deferred compensation and are paid to said retired ordained or local pastors in consideration of previous active service, and disability benefits are considered payments in lieu of compensation for active service. c. The Internal Revenue Service has recognized that the Northern Illinois Conference is the appropriate organization to designate a housing/rental allowance for retired ordained or local pastors who are members of this Conference. d. Disabled clergy have the same legal relationship to an Annual Conference as do the retired clergy and, thus, this Conference is also the appropriate organization to designate a housing/rental allowance for disabled ordained or local pastors who are members of this Conference. e. An amount equal to 100% of the pension payments received by a retired clergy, or 100% of the disability payments received by a disabled clergy, is designated as rental/housing allowance respectively for each retired or disabled ordained or local pastor of The United Methodist Church who is or was a member of the Northern Illinois Conference at the time of retirement or disability. f. The pension or disability payment in which this rental/housing allowance applies shall be the pension or disability payment resulting from all service of such retired or disabled ordained or local pastor from all employment by any local church, Annual Conference, General Agency or institution of The United Methodist Church or of any former denomination that is now a part of The United Methodist Church, or from any other employer who employed the clergy to perform services related to the ministry and who elected to make contributions to the pension or benefit funds of The United Methodist Church for such retired minister's pensions or disabled minister's benefits. g. The rental/housing allowance which may be excluded from a clergy's gross income is limited to the lesser of (1) The amount of the rental/housing allowance designated by the clergy's employer or other appropriate body (2) The amount actually expended by the clergy to provide his or her housing, or (3) The legally determined fair rental value of the parsonage or other housing provided. As specified in Rev. Rul. 71-200, 1971 C. B. 92, "the only amount that will qualify for exclusion under Section 107 (2) of the Code as a 'rental allowance' 211 STANDING RULES 36 STANDING RULES 2. is an amount equal to the fair rental value of the home, including furnishings and appurtenances such as a garage plus the cost of utilities." Conference housing a. All clergy appointed to the Cabinet, the Conference Program Staff or the Finance Office shall be provided with adequate housing as required by Standing Rules, or with an adequate housing (rental and utility) allowance. If housing is provided, it is recommended that this Conference-owned housing meet the following minimal space and equipment requirements: 1. Cooking range, gas or electric, and microwave oven 2. Hot water heater, gas or electric 3. Electric refrigerator 4. Automatic dishwasher 5. Automatic washer and dryer 6. Window shades or blinds 7. Water softener, where hardness of water indicates need 8. Kitchen with ample cabinets, counter space, good lighting, adequate electrical outlets, and durable floor covering 9. Garbage disposal (except with septic system) 10. Window air conditioning units 11. Thermal windows or storm windows and storm doors 12. Lawn mower, hedge trimmers, snow blower, water hose, as needed 13. Garbage and recycling containers appropriate to the area 14. TV antenna, cable hook-up, or satellite dish readiness, as needed 15. Smoke detectors, carbon monoxide detectors, and fire extinguisher 16. Ample electrical service 17. Alarm system when deeded necessary 18. Sump pump with emergency backup power supply where needed to ensure a dry basement 19. Garage (with automatic door opener, if possible) or designated parking space(s) 20. Three bedrooms 21. A dining room/area or family room 22. Suitably large living room or recreation room 23. Adequate study area 24. At least two bathrooms 25. Safe outside play area 26. Adequate closet and storage space Care should be taken when purchasing appliances and outdoor equipment to ensure said items are as energy-efficient and environmentally-friendly as possible, e.g. electric lawn mower, Energy Star-rated appliances (see www.energystar.gov). When considering the purchase of new construction or remodeling, adequate provision shall be made to provide accessibility to space on the main level, including a bedroom and bath, and laundry facilities for persons with handicapping conditions. b. Where Conference-owned housing is available, the appointee shall live in the housing provided c. Where Conference-owned housing is not available and the appointee elects to purchase housing but needs financial assistance, the Conference, upon request of the appointee and approval of the Cabinet, shall provide a loan, not to exceed 20% of the purchase price. This loan shall be secured by a 212 STANDING RULES STANDING RULES 37 3. 4. 5. 6. 7. second mortgage. Interest shall be at the same rate charged the Conference, if the Conference borrows funds to provide the loan, or at the prime rate then in effect at the principal bank serving the Conference. All principal and interest will be due and payable at the earliest of either the date of sale or the house or ninety days after an appointment change. When an appointment change is made and the appointee has been purchasing a house and the house has not been sold or rented and the appointee is not receiving a housing allowance from any other source, the Annual Conference shall pay the lesser of an amount equal to the interest on any outstanding loan(s) secured to purchase the property and a pro rata share of the taxes and insurance or the usual housing/rental allowance for a period not to exceed three months. When an appointment change is made and the appointee remains bound by a rental contract or lease, the Annual Conference shall pay the lesser of the amount required by the contractor lease or the usual housing/rental allowance for a period not to exceed three months. Health insurance for retired clergy, dependents and survivors The Conference shall be responsible for the payment of the costs authorized by the Annual Conference for the conference group hospital and medical expense plan for retired clergy and their eligible dependents and for eligible survivors of deceased clergy or retired clergy. Equitable Compensation (¶ 625) The Commission on Equitable Compensation, in consultation with the Cabinet, shall pass on all applications for payments from this fund and shall make request in writing to the Conference Treasurer/Director of Administrative Services for any payment approved. Housing Relocation Expenses The Conference Council on Finance and Administration is responsible for establishing, administering, interpreting, and reviewing policies and procedures in support of the relocation by clergy households serving the Northern Illinois Annual Conference local churches. The policies and procedures shall be printed and distributed annually to all clergy and lay members attending the Annual Conference session. The United Methodist Ministers Credit Union is recognized as a service to the members of Northern Illinois Conference and its policies and operation are approved as they apply to the members of the Conference, Death of Clergy Member, Spouse, or Child a. Information concerning the death of a clergy member of the Conference, or of a spouse or dependent child of a clergy, active or retired, shall be given to the appropriate District Superintendent, who shall communicate this information to the Pensions Office and the Communications Office. The Communications Office shall notify by mail or telephone the clergy members of the Conference. b. When possible, the appropriate District Superintendent shall visit personally the family and transmit pertinent information about the insurance matters. The District Superintendent shall send the family a memorial folder announcing a memorial gift to the charity of their choice in the amount of $50. c. When announcing a death other than that of a clergy or spouse or dependent 213 STANDING RULES 38 STANDING RULES 8. 9. child, the District Superintendent shall communicate words of sympathy through a newsletter or other mailing on the district. The information will also be included in the next Conference mailing. d. When word is received of the death of a clergy or spouse or dependent child of a clergy residing outside the bounds of the Conference, the Cabinet shall be notified and the secretary of the Cabinet shall send a letter of condolence on behalf of the Conference to the family. The Pensions Office will be responsible for dealing with insurance and pension matters. Sustentation Fund (¶ 626). This fund shall be administered by the Board of Pensions on request and recommendation of the Bishop and District Superintendents. Special Needs Form. Each appointable clergy in the Northern Illinois Conference shall fill out a Special Needs Form to be kept in the Conference files. This form shall include information regarding the special needs of the pastor and his/her family members living with him/her. These needs shall included items related to the church, the parsonage, and medical and educational concerns due to disabilities or special needs of the pastor and his/her family. It is the pastor’s responsibility to update this form as changes occur. When a change of a pastor’s appointment is being considered, the cabinet is urged to give consideration to the special needs listed on this form. D. FULL-TIME DEACON EMPLOYMENT STANDARDS 1. Contract. All local churches and/or agencies employing full-time deacons shall annually review their existing employment contract and/or practices for the purpose of determining what changes, if any, should be made to meet or approach conference standards. All contracts for deacons shall be negotiated according to ¶ 331.14 of The 2008 Book of Discipline. 2. Salary. Amount to be agreed upon at the time of employment plus any merit or cost of living increases. It is expected that salary will be guided by the Annual Conference standards for ordained elders and will be at a level comparable to those with similar responsibilities in the employing agency or local church, including a recommended minimum $4,500 for an accountable reimbursement fund to pay for travel, continuing education, and other costs incurred in the course of providing ministry. The deacon shall observe the usual and standard procedures in accounting for those expenses in the local church. (as outlined in Document 680-07 in the 2006 Journal) 3. Benefits a. Health Insurance. All deacons shall be offered participation in the conference health benefit and supplemental programs of his or her annual conference subject to the provisions and standards of those programs as established by the annual conference where health coverage is not provided from another source. BOD 2008 ¶ ¶ 331.14b. b. Pension. All deacons, probationary and in full connection (ordained) are mandatory participants in the Clergy Retirement Security Program (CRSP) beginning January 1, 2007 (as outlined in Document 680-07 – NIC Journal – Page 133). All other pension benefits are according to the current Standing Rules for Clergy. c. Sick Pay: The total clergy compensation package established for 214 STANDING RULES STANDING RULES 39 d. e. f. g. h. i. 4. salary, and benefits shall be continued during a period of illness or disability of any clergy until there is a change in the appointment of such clergy by the presiding Bishop. (See these Standing Rules Sec. IV.B2h. Vacation. Full-time deacons shall receive 30 days of paid vacation annually. The policy for Maternity/Paternity Leave shall be as stated in ¶ 356 of The 2008 Book of Discipline. The policy for Disability Leave shall be as stated in ¶ 357 of The 2008 Book of Discipline. Car Expense. Payment of the deacon's car expense should be based upon the actual mileage required to serve the parish in the agreed capacity. The recommended Conference rate shall be whatever is the current IRS standard. The local church is encouraged to pay for actual miles as submitted on a regular voucher basis, as a legitimate cost of having a deacon available for the many places ministry happens. (See these Standing Rules Sec. IV.B2i). Continuing Education. Compensation to provide for the opportunity to participate in continuing education events shall be guided by the conference standard for ordained clergy. Housing. Provision for housing or a housing allowance shall be negotiable, such negotiation to be based upon the specific needs of the deacon. Termination. Since deacons are not guaranteed a place of employment in the Church special attention shall be given to termination procedures that allow time for seeking another service appointment. Notification of dismissal shall provide a ninety-day period to final termination of employment unless the contract specifies otherwise or except for causes as listed in The Book of Discipline2008, ¶ 2702. SECTION V FINANCES AND REPORTS A. CALENDAR YEAR 1. The Fiscal Year of the Conference and constituent local churches shall commence on January 1 and conclude on December 31. 2. All claims and bills against the Conference budget incurred as expenditures, whether by committees, boards or individuals, must be submitted to the Conference Treasurer by January 20 of the following year or by a later date the Conference Council on Finance and Administration determines and announces. The Conference Treasurer or CCFA may refuse payment on claims by Conference bodies not submitted by the determined date. Apportionments received after the determined date will be credited to the next fiscal year. B. ACCOUNTING POLICY AND AUDIT 1. The Annual Conference finances shall be recorded in keeping with Generally Accepted Accounting Principles (GAAP) as determined by the Financial Accounting Standards Board (FASB) for non-profit religious organizations. An independent audit shall be conducted annually and printed in the Conference Journal. The 215 STANDING RULES 40 STANDING RULES 2. 3. auditor shall identify deviations from FASB standards, and such shall be published in the Conference Journal. A letter of response to the auditor’s findings will be prepared by the CCFA and published in the Conference Journal. Every Local Church shall undertake an “audit” in accordance with the Local Church Audit Guide published by the General Council on Finance and Administration. Volunteer auditors or local church Finance committee members are encouraged to “audit” different local churches in a no-cost exchange program. (see Book of Discipline paragraph 258.4.d) The Annual Conference establishes the conference treasury, amenable to the Conference Council on Finance and Administration, as the central treasury for conference agencies participating in conference funds (from Book of Discipline paragraph 613.11). C. BUDGETS 1. All entities requesting Conference funds must submit the request to the Conference Council on Finance and Administration by the timeline determined and announced by the Council. The CCFA shall coordinate requests for Conference funds and shall review special appeals in the manner detailed in Book of Discipline paragraphs 614 and 612.7. Program boards and agencies with a seat on the Conference Council of Ministries shall first submit funding requests to the Program Council. D. ACCOUNTING POLICIES 1. The Council on Finance and Administration, shall establish the several funds necessary for the mission and ministry of the annual conference and will interpret the restrictions and designations placed on the funds by Annual Conference action. 2. The Conference Council on Finance and Administration determines the policies for conference investments (except Board of Pension funds), as specified in Book of Discipline paragraph 613.5. The details of all changes in such policies, including any change in depository institution, shall be reported to the Conference. 3. The CCFA shall assure the annual conference that funds are used according to restrictions. The Conference Council on Finance and Administration shall have ultimate fiduciary responsibilities for all annual conference funds and investments. This provision shall not be construed as to assign to the CCFA with authorities reserved to the Board of Trustees for oversight of properties and assets controlled by Book of Discipline 2512.3, nor to assign to CCFA authority reserved for the Board of Pensions and Health Benefits for management of assets restricted to benefit programs of the annual conference (Book of Discipline 1507). 4. Bequests or donations for the benefit of the annual conference not restricted by the donor for any specific purpose shall support the general operating fund and/or a general endowment fund of the Annual Conference. 5. The Northern Illinois Annual Conference, United Methodist Foundation, Chicago Home Missionary Society and Church Extension, and United Methodist Clergy Fund shall monitor their own investment portfolios on a periodic basis. The monitoring shall include evaluation of the performance of invested funds as well as the accomplishment of objectives within guidelines and established social and moral goals. 6. Interest earned on capital funds and held by the office of the Conference Treasurer for an indefinite period of time, or a period of time longer than the normal monthly turnover, shall be added to the principal of the fund so accumulated, or held and disbursed only for the designated purpose for which the funds were accumulated. 216 STANDING RULES STANDING RULES 41 Returns on investment of undesignated conference funds shall be credited to the general operating reserve of the conference. 7. If the CCFA elects to create an audit review committee as permitted in Book of Discipline paragraph 617.4, such a committee membership shall be supplemented with at least one designee of the Conference Program Council, and other members selected by the CCFA for their expertise. In the event that an organization, institution, or agency can not provide an audit to the CCFA as required in Book of Discipline paragraph 617.2, the CCFA or Audit Review Committee may request other financial details as it may direct. 8. Investments shall reflect the religious, social, ethical and moral positions of The United Methodist Church as they shall be reflected by the Policies Relative to Socially Responsible Investments (Book of Discipline paragraph 716). 9. The CCFA is responsible, after consultation with agencies receiving budgeted funds, for establishing budget modifications or payment schedules in the event receipts are “inadequate to meet missional needs or unforeseen circumstances.”(Book of Discipline paragraph 613.8). 10. When local church buildings become the property of the Annual Conference and the properties are to be sold in accordance with Disciplinary procedures, the disposition of all net assets of the local church shall be deposited in the Closed Church Fund (formerly known as the Congregational Development Fund). The assets of the Closed Church Fund shall be directed by the Cabinet in consultation with the Director of Congregational Development and Redevelopment for actual expenditures on starting, developing, and redeveloping local churches in the Annual Conference. Upon recommendation of the Board of Trustees, the Annual Conference, by majority vote, may direct the proceeds to another use. Annually, the Conference Treasurer shall report to the Annual Conference the actual expenditures from the fund in the previous fiscal year. E. BONDING AND BORROWING 1. The Council on Finance and Administration shall obtain a primary commercial blanket fidelity bond in an amount adequate to cover all officers, treasurers, etc., of the Conference and local churches. Any related institution or agency desiring to be included shall make proper application to the Council. The Council shall determine the amount of the blanket bond. Any related institution or agency participating shall be charged a proportionate share of the premium, as determined by the Council. (see Book of Discipline paragraph 618) 2. The Conference Council on Finance and Administration shall be authorized to establish a line of credit not to exceed 12.5%, in aggregate, of the adopted annual operating budget to care for Conference obligations. The Board of Trustees in consultation with the Cabinet, following requirements of the Book of Discipline, is authorized and directed to pledge as many of the district superintendent parsonages as necessary to secure the line of credit. 3. The Division of Congregational Development must recommend, and the CCFA must approve, any NIC guarantee of a local church mortgage before it can be executed. F. LOCAL CHURCH FINANCIAL RESPONSIBILITIES 1. Local church treasurers shall remit monthly to the office of the Conference Treasurer, utilizing procedures and forms provided by that office, all moneys contributed in each local church for General, Jurisdictional, Annual Conference, District Conference, and Special causes. All checks for all purposes shall be made 217 STANDING RULES 42 STANDING RULES 2. out to Northern Illinois Conference. Each Local Church Budget shall include no less than 100% of Annual Conference and District Apportionments as a budget expense in the local church budget. G. FINANCIAL REPORTING 1. The Conference Treasurer report itemizing financial support made to each local church shall be published in the Conference Journal. 2. The annual audit shall include the net expenditures of each program item funded by the Conference during the previous fiscal year. H. STATISTICAL REPORTING 1. The Senior Pastor is responsible for submitting Statistical reports on time. Lay people may play a significant role in completing the reports. 2. The work of the Conference Statistician shall be done through the office of the Conference Treasurer/Director of Administrative Services. 3. Federated and United Churches whose membership includes members of other denominations shall report only United Methodist members, and the share of expenditures proportionate to the United Methodist membership in Annual Statistical Forms. 4. Results of Statistical Reports shall be published in the Conference Journal. I. CLERGY COMPENSATION REPORTING 1. The Secretary of the Conference is directed to publish each year in the Journal a separate listing titled "(Current year) Compensation" as prepared by the Episcopal Office. It will list the total of the base salary and additional salary benefits paid by the charge (such as pastor's contribution to Personal Pension Account, Social Security allowance, tax deferred annuity, pastor's portion of Life Insurance, travel, continuing education, or other allowances) of pastors and associates (whenever the charge's reported salaries include salaries of more than one pastor). a. One column of this report shall be headed "Dwelling," and will employ the following code: "P" to indicate a dwelling furnished by the charge, "HA" for housing allowance amount if no dwelling is provided by the charge; and "None" to indicate nothing is provided by the local church. b. One column of this report shall be headed "Expenses." in which will be listed dollar amounts budgeted for travel, business professional expenses, and/or continuing education, etc. c. The report shall also include the compensation, housing and expenses of Conference members whose names appear on the list of "Special Appointments." d. One column of this report shall be headed “Housing Allowance” in which will be the listed dollar amount budgeted for housing allowance provided to the appointed person. J. CONFERENCE-WIDE INSURANCE PROGRAM (CWIP) 1. The Northern Illinois Conference Board of Trustees shall oversee a voluntary conference-wide property/liability insurance program. Local Churches, campus ministry sites, and institutions may be eligible for the program. 2. Effective as of January 1, 2011, if a Local Church, that has chosen to participate in the CWIP, fails to pay its full premiums for the CWIP within ninety (90) days of the end of the current year, the amount of such arrearage shall constitute a lien on the real and 218 STANDING RULES STANDING RULES 43 personal property of such local church until such arrearage is paid in full. The Conference Treasurer and the Cabinet shall maintain records of such liens, and such liens shall be enforced upon the sale or other disposition of such Local Church’s properties upon sale or discontinuance of such Local Church Properties as part of the District Superintendent’s consent to sale required by the Discipline. 3. While Local Churches, campus ministry sites, and institutions may participate in the CWIP or not, the following minimum coverage is required to be maintained: a. General Liability $1,000,000 per occurrence b. Professional Liability $1,000,000 per occurrence c. Sexual & Physical Abuse or Molestation $1,000,000 per occurrence d. Directors & Officers Liability $1,000,000 per occurrence e. Employment Practices Liability $1,000,000 per occurrence f. Auto Liability/Uninsured/Underinsured $1,000,000 each accident 4. It is required that all Local Churches, campus ministry sites, and institutions maintain Replacement Cost / Blanket limit per location / Agreed Value or 90% Coinsurance Clause, unless granted exception by the District Superintendent or Conference Board of Trustees. SECTION VI GENERAL PROVISIONS A. HEALTH AND WELFARE MINISTRIES 1. The churches of Northern Illinois Conference are encouraged to observe Golden Cross Sunday on the first Sunday in May. An offering for health/welfare purposes shall be received, the specific use determined annually by the Older Adult Ministries focus area. The Older Adult Ministries focus area will prepare and distribute promotional materials. 2. Those persons or groups who are interested in developing new hospitals and/or homes within the bounds of Northern Illinois Conference and who seek affiliation with Northern Illinois Conference of The United Methodist Church shall consult with the Board of Global Ministries. No such new institution shall receive any official recognition by the Conference until considered by and reported on from the Board of Global Ministries. B. CONFERENCE SECRETARY -- SPECIAL RESPONSIBILITIES 1. The Secretary shall be the custodian of any burial lots belonging to the Conference. 2. The Secretary shall be authorized to discover and secure bound copies of all Rock River and Illinois Conference Journals and to search for and secure all other documents of importance to the Conference and to care for them properly. The official records of the Conference shall be in the custody of the Conference Secretary. Official records both of the Uniting Conference and of local congregations which are of historic value and which are not essential to the current work of the Conference Secretary are to be kept in the Conference vault or archives. 3. The Secretary, with the assistance of the Communications Office, shall be directed to request from Conference boards, commissions and Committees their stated meeting dates and publish and circularize them to avoid undue duplication of dates; this shall be done as near to September 10 as possible. All special or occasional meetings may also be cleared through this service. Meetings shall be coordinated so as to eliminate unnecessary time, travel and expense, taking into account the 219 STANDING RULES 44 STANDING RULES 4. C. advisability of central locations. There shall be an Assistant to the Secretary for Standing Rules who will: Assist the Secretary in ensuring that the By-Laws and Standing Rules are consistent with themselves and The Book of Discipline; make recommendations to Boards, Committees and Commissions for changes as well as receive recommendations from them; edit or prepare changes for presentation to the Annual Conference for approval; and prepare the By-Laws and Standing Rules for publication in the Journal. To carry out these duties, the Assistant to the Secretary for Standing Rules will consult with the Secretary, the Chancellor, the Cabinet, and such other sources as the Assistant Secretary for Standing Rules deems necessary. Other duties may be assigned from time to time by the Annual Conference and/or the Conference Secretary. SAFE SANCTUARIES FOR CHILDREN 1. Principal Office: The principal office of the corporation in the State of Illinois shall be located in the City of Chicago, County of Cook. The corporation may have such other offices, either within or without the State of Illinois, as the Board of Trustees may determine or as the affairs of the corporation may require from time to time. Section 2. Registered Office and Registered Agent: The corporation shall have and continuously maintain in the State of Illinois a registered office and a registered agent, whose office is identical with each registered office, as required by the Illinois General Not-for-Profit Corporation Act. The registered office may be, but need not be, identical with the principal office in the State of Illinois, and the address of the registered office may be changed from time to time by the Board of Trustees. Article II Members Section 1. Class of Members: The corporation shall have one class of members consisting of those persons designated as Clergy Members (as defined by the Constitution and Discipline of The United Methodist Church) who are on appointment to Charges within the boundaries of Northern Illinois Annual Conference or who are serving elsewhere by appointment of the presiding Bishop and those persons designated as Lay Members who, from time to time, are elected to Northern Illinois Conference by the Charges of the conference and those additional Lay Members as provided by Paragraph 32, Article I of the Constitution of The United Methodist 221 204 BY-LAWS BY-LAWS Church by virtue of office or for purposes of equalizing lay and clergy membership as shall from time to time be provided for by the Standing Rules of the Conference. The qualifications and rights of members shall be as, from time to time, designated in the Discipline of The United Methodist Church. Section 2. Voting Rights: Each member shall be entitled to one vote on each matter submitted to a vote of the membership; provided, however, only Clergy Members may vote on measures concerning the granting or validation of local pastor's license, ordination, reception into full conference clergy membership or any question concerning the character and official conduct of ordained clergy; and, provided further, that Clergy and Lay Members shall vote separately in elections of delegates to General and Jurisdictional Conferences and in other matters, if so provided by the Discipline of The United Methodist Church. Voting shall be in person only by members at membership sessions. Section 3. Terms of Membership: (a) Lay Members elected by the Charge Conferences of this Conference shall be elected for a term of four (4) years or until a successor is duly elected and qualified as a member. Vacancies occurring, from time to time, by reason of death or resignation of a member shall be filled at any Charge Conference of the Charge wherein such vacancy occurs. (b) Except as otherwise provided in the Discipline of The United Methodist Church, a Clergy Member shall serve as a member of the corporation. Article III Sessions of Members Section 1. Annual Session: The annual session of the members shall be held at such time as the Bishop having residential and presidential supervision over the Northern Illinois Annual Conference shall designate for the purpose of electing trustees and for the transaction of such other business as may come before the session. The place of the session shall be designated by the Annual Conference but may be changed when necessary by a majority of the district superintendents, with the consent of the Bishop. The order of business shall be, from time to time, as prescribed in the Discipline and Standing Rules of the conference. Section 2. Special Sessions of the Annual Conference: Special sessions of the Annual Conference may be set at any annual session of the corporation or may be called by the Bishop with a concurrence of three-quarters (3/4) of the district superintendents of the conference. A special session of the Annual Conference shall have only such powers as are stated in the call for such special session. Section 3. Notice of Sessions: Written or printed notice stating the place, day and hour of any session of members shall be delivered, either personally or in an efficient and economical way, to each member entitled to vote at such session, not less than five (5) days before the date of such session, by or at the direction of the Bishop or other persons involved in calling the session. In case of a special session, or when required by statute or by these by-laws, the purpose or purposes for which the session is called shall be stated in the notice. If mailed, the notice of a session shall be deemed to be delivered when deposited in the United States mail addressed to the member at his/her address as it appears on the records of the corporation, with postage thereon prepaid. Section 4. Quorum: The members of the Northern Illinois Annual Conference present and voting at any duly announced session shall constitute a quorum. Article IV Officers 222 BY-LAWS BY-LAWS 205 Section 1. Officers: The officers of the corporation shall be a president, a vice president, an assistant vice president, a secretary, a treasurer/director of administrative services, a statistician and such other officers as may be elected in accordance with the provisions of this Article. The Annual Conference may elect or appoint such other officers, including one or more assistant secretaries and one or more assistant treasurers, as it shall deem desirable. The officers are to have the authority and perform the duties usually pertaining to their offices, and such other duties prescribed, from time to time, by the Annual Conference. No individual shall hold more than one office except the treasurer/director of administrative services may also serve as statistician, if so elected, and shall also serve as an assistant secretary with duties limited to matters related to the Board of Trustees, but only as authorized and directed by the secretary. Section 2. President: The president of the corporation shall be the Bishop having residential and presidential supervision over the Northern Illinois Annual Conference. The president shall be the principal executive officer of the corporation and shall in general supervise all of the business and affairs of the corporation. The president may sign, with the secretary, assistant secretary or any other proper officer of the corporation authorized by the Board of Trustees, any deeds, mortgages, bonds, contracts, or other instruments which the Board of Trustees has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Trustees, by these by-laws, by statute or by the Discipline of The United Methodist Church, to some other officer or agent of the corporation; and in general shall perform all duties incident to the office of president. Section 3. Vice Presidents: (a) The President of the Conference Board of Trustees shall serve ex officio as vice president of the Conference Corporation. In the absence of the president or in event of the president's inability or refusal to act, the vice president shall perform the duties of the president and, when so acting, shall have all the powers of and be subject to all the restrictions upon the president; provided, however, the vice president shall perform no duties of an Episcopal nature, which under the Discipline, are performable only by the Bishop. The vice president shall perform such other duties as from time to time may be assigned by the president or by the Annual Conference. (b) The Vice President of the Conference Board of Trustees shall serve as assistant vice president of the Conference Corporation. The assistant vice president shall perform the duties as outlined in article IV, Section 3 (a) in the absence of the vice president. Section 4. Treasurer/Director of Administrative Services. The position of Treasurer/Director of Administrative Services shall be as detailed in the Discipline and as may from time to time be defined and established by this Conference and the Conference Council on Finance and Administration. The functions of this position shall include, but not be limited to, the following: Conference Treasurer functions (which include cash management, financial reporting, record keeping, central treasury functions, internal control, oversight of accounting functions, interpretation of the conference budget and finances, administrator of the policies of the Conference Council on Finance and Administration, pension and insurance matters related to the Conference Board of Pensions, support of the office of Statistician). Administrative Services functions (which include serving as the office manager and personnel director, purchasing agent, information systems, property and liability insurance under the direction of and in consultation with the Conference Board of Trustees, and as the administrator 223 BY-LAWS 206 BY-LAWS of the policies of the Conference Board of Trustees, the Conference Board of Pensions, the Conference Committee on Personnel and the Conference Administrative Committee). The Treasurer/Director of Administrative Services shall give bond for the faithful discharge of official duties in such sum and with such surety or sureties as the Annual Conference shall determine. The Treasurer/Director of Administrative Services shall have charge and custody of and be responsible for all funds and securities of the corporation; receive and give receipts for moneys due and payable to the corporation in such banks, trust companies or other depositories as shall be selected in accordance with the provisions of Article VIII of these by-laws; and in general perform all the duties incident to the office of treasurer. Section 5. Secretary: The secretary shall keep the minutes of the sessions of the members and the Board of Trustees in one or more books provided for that purpose; see that all notices are duly given in accordance with the provisions of these by-laws or as required by law; be custodian of the corporate records and of the seal of the corporation and see that the seal of the corporation is affixed to all documents, the execution of which on behalf of the corporation under its seal is duly authorized in accordance with the provisions of these by-laws; keep a register of the post office address of each member which shall be furnished to the secretary by such member, and in general perform all duties incident to the office of secretary and such other duties as from time to time may be assigned by the president or by the Annual Conference. Section 6. Statistician: The statistician shall compile all data pertaining to membership, finances and other information concerning the local Charges and prepare reports on such data for the Conference Journal. The statistician shall also compile such other information as the Annual Conference shall, from time to time, assign. Section 7. Assistant Treasurers and Assistant Secretaries: If required by the Annual Conference, the assistant treasurer shall give bonds for the faithful discharge of their duties in such sums and with such sureties as the Annual Conference shall determine. The assistant treasurers and assistant secretaries, in general, shall perform such duties as shall be assigned to them by the treasurer/director of administrative services or the secretary or by the Annual Conference. Section 8. Election and Term of Office: The vice president and assistant vice president shall be elected annually by the Board of Trustees. The secretary, treasurer/director of administrative services and statistician shall be elected by the Annual Conference for a term of four years or until their successors in office are duly elected and qualified. The terms of any additional officers elected by the Annual Conference shall be set by the Annual Conference at the time of their election. New offices may be created and filled at any regular or duly called special session of the Annual Conference. Section 9. Vacancies and Removal: In the event a vacancy shall occur in the interim of the annual sessions, the office shall be filled as follows: (1) The Board of Trustees shall elect a new vice president (president of the Trustees) or assistant vice president (vice president of the Trustees). (2) The Bishop, after consultation with the district superintendents, shall appoint a person as secretary or statistician to serve until the next session of the Conference. (3) If a vacancy shall occur in the office of treasurer/director of administrative services, the Council on Finance and Administration, in consultation with the Bishop, shall fill the vacancy until the next session of the Conference. Vacancies filled at the session of the Conference shall be for the unexpired term of the Conference officers. 224 BY-LAWS BY-LAWS 207 Article V Board of Trustees Section 1. General Powers: The business and affairs of the corporation shall be managed by its Board of Trustees in the interim period between sessions of the members. Trustees need not be members of the corporation. Section 2. Number, Tenure and Qualifications: The number of trustees shall be twelve (12), and it is recommended that one third be clergy, one third lay men and one third lay women, provided that each district shall have at least one representative, with care being taken to ensure representative inclusiveness (Paragraphs 2512 and 610.5). Trustees shall be elected in classes at the annual session of the conference for a term of four (4) years (or until their successors are elected). Section 3. Ex-Officio Members: The secretary and the treasurer/director of Administrative services of the Annual Conference shall serve ex officio, without a right to vote, as secretary and treasurer of the Board of Trustees; provided, however, nothing herein shall preclude the election of these officers as voting members of the Board of Trustees, pursuant to Section 2 of this Article. The Director of Connectional Ministries shall likewise serve ex officio on the Board of Trustees without the right to vote. Section 4. Regular Meetings: Within four weeks of the close of each Annual Conference, the Board shall hold its regular annual meeting to elect officers. The District Superintendent assigned to the Board of Trustees shall convene the meeting. Section 5. Special Meetings: Special meetings of the Board of Trustees may be called by or at the request of the Bishop, the president of the Board of Trustees or any three trustees. The person or persons authorized to call special meetings of the board may fix any place as the place for holding any special meeting of the board called by them. Section 6. Notice: Notice of any special meeting of the Board of Trustees shall be given at least five (5) days previous thereto by written notice delivered personally or sent by mail or telegram to each trustee at the address of such trustee as shown by the records of the corporation. If mailed, such notice shall be deemed to be delivered when deposited in the United States mail in a sealed envelope as addressed, with postage thereon prepaid. If notice be given by telegram, such notice shall be deemed to be delivered when the telegram is delivered to the telegraph company. Any trustee may waive notice of any meeting. The attendance of a trustee at any meeting shall constitute a waiver of notice of such meeting, except where a trustee attends a meeting for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Neither the business to be transacted at, nor the purpose of, any regular or duly called special meeting of the board need be specified in the notice or waiver of notice of such meeting, unless specifically required by law or by these by-laws. Section 7. Quorum: The members of the Northern Illinois Annual Conference Board of Trustees present and voting at any duly announced meeting shall constitute a quorum, providing that at least 5 trustees be present as a quorum at a trustee meeting. Section 8. Manner of Acting: The act of a majority of the trustees present at a meeting at which a quorum is present shall be the act of the Board of Trustees, unless that act of a greater number 225 BY-LAWS 208 BY-LAWS is required by law or by these by-laws. Section 9. Vacancies: Vacancies occurring between sessions of an annual conference shall be filled as follows: Upon nomination by the conference committee on nominations, the district superintendents shall, by majority vote, elect a trustee to serve until the next annual meeting of the trustees. Vacancies shall be filled by the annual conference for the unexpired term. (Paragraph 2512.2) Section 10. Informal Action by Trustees: Any action required by law to be taken at a meeting of trustees, or any action which may be taken at a meeting of trustees, may be taken without a meeting if a consent in writing, setting forth the action so taken, shall be signed by all of the trustees. Section 11. Officers of the Board of Trustees: (a) At the annual meeting, the Board of Trustees shall elect a president and a vice president, whose duties shall be those normally associated with such positions and with such additional duties as, from time to time, are assigned by the trustees. These officers shall serve until their successors are duly elected and qualified. The president shall preside at all meetings of the Board of Trustees, and the vice president shall preside in the absence of the president. Any vacancies occurring in these offices shall be filled by the Board of Trustees at a duly called special meeting or annual meeting. (b) The secretary and the treasurer/director of administrative services of the corporation shall serve ex officio as secretary and treasurer of the Board of Trustees as provided in Article B, Section 3, provided, however, should either of these persons be serving as elected members of the Board of Trustees, they shall be ineligible for the office of president or vice president. Article VI Governmental Landmarking of Church-Owned Property Section 1. The Annual Conference Board of Trustees is the official body that must be notified by any designating agency of intent to designate as an historical landmark any property of entities for which the Northern Illinois Conference is the successor in interest. Section 2. The Annual Conference Board of Trustees shall assist other Boards of Trustees, and if necessary intervene, in opposing any governmental effort to involuntarily designate any churchowned property as a Cultural, Historical or Architectural Landmark. Section 3. The Annual Conference Board of Trustees, or the Board of Trustees of any agency, organization or local church which voluntarily wishes to cooperate with a governmental body in having any property landmarked which said Board of Trustees holds in trust for The United Methodist Church, must do the following: (a) Comply with the provisions of The Discipline in regard to the encumbrance of church property; and either (1) Obtain the consent of the Conference Board of Trustees, the presiding bishop and of a majority of the cabinet; or (2) Obtain the consent of the Annual Conference. Article VII Discontinued or Abandoned Church Re-Incorporation 226 BY-LAWS BY-LAWS 209 Section 1. When in accordance with the then current Book of Discipline of The United Methodist Church (the “Discipline”), a local church is discontinued or abandoned and the property of said local church becomes the property of the Annual Conference, such local church shall be incorporated under the provisions of Sections 46a to 46k of the Illinois Religious Corporation Act [805 ILCS 110/46a-46k] with the Annual Conference Board of Trustees as the trustees of the newly formed corporation. Section 2. Said newly formed corporation shall exist for the sole purposes of being the legal entity to dispose of its existing property, and any other property to which its predecessor religious corporation may become entitled, as the rightful successor to any gift and/or bequest or other transfer made to such discontinued church. Section 3. All proceeds of property sales and all gifts and/or bequests received by a corporation established under the provisions of this Article shall remain the property of the Annual Conference in accordance with the Discipline. Article VIII Contracts, Checks, Deposits and Funds Section 1. Contracts: The Board of Trustees may authorize any officer or officers, agent or agents of the corporation, in addition to the officers so authorized by these by-laws, to enter into any contract or execute and deliver any instrument in the name of and on behalf of the corporation, and such authority may be general or confined to specific instances. Section 2. Checks, Drafts, etc.: All checks, drafts or orders for the payment of money, notes or other evidences of indebtedness issued in the name of the corporation, shall be signed by such officer or officers, agent or agents of the corporation and in such manner as shall from time to time be determined by resolution of the Annual Conference in session or acting through its Council on Finance and Administration. Section 3. Deposits: All funds of the corporation shall be deposited from time to time to the credit of the corporation in such banks, trust companies or other depositories as the Annual Conference in session or its Council on Finance and Administration may select. Section 4. Gifts: The Board of Trustees may accept on behalf of the corporation any contribution, gift, bequest, trust or devise for the general purposes or for any special purpose of the corporation. Article IX Books and Records The corporation shall keep correct and complete books and records of account and shall also keep minutes of the proceedings of its meetings, those of the Board of Trustees and agencies having any of the authority of the Board of Trustees and shall keep at the registered or principal office a record giving the names and addresses of the members entitled to vote. All books and records of the corporation may be inspected by any member or the member's agent or attorney for any proper purpose at any reasonable time. Article X Fiscal Year 227 BY-LAWS 210 BY-LAWS The fiscal year of the corporation shall begin on the first day of January and end on the last day of December in each year. Article XI Seal The Conference shall provide a corporate seal, which shall be in the form of a circle and shall have inscribed thereon the name of the corporation and the words "Corporate Seal." Article XII Waiver of Notice Whenever any notice is required to be given under the provisions of the Illinois General Not-forProfit Corporation Act or under the provisions of the articles of incorporation or the by-laws of the corporation, a waiver thereof in writing, signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice. Article XIII Amendments to By-Laws These by-laws may be altered, amended or repealed and new by-laws may be adopted by a majority of the members present at any regular or duly called special session of the Annual Conference. Article XIV Compliance with Constitution and Discipline Section 1. Corporate Term: The term "Annual Conference" as used in these by-laws and in the Constitution and Discipline of The United Methodist Church and the term "corporation" as used in these by-laws shall be synonymous and understood to refer to the Northern Illinois Annual Conference, a general not-for-profit corporation of the State of Illinois. Section 2. Limitation on By-Laws: In the event any provision of these by-laws shall not be in compliance with the Constitution and Discipline of The United Methodist Church, the provisions of the Discipline shall prevail, to the extent consistent with the law of Illinois, and this document shall be considered as amended from time to time where necessary for compliance with the Discipline. Article XV Corporate Limitations This corporation shall be responsible for the authorized acts of the corporate officers and agents and the authorized activities of conference agencies shall be deemed to be the acts of the corporation. Nothing herein shall be construed to permit any local Charge, or any board, committee, council or agency affiliated with a local Charge, or any separate related religious or non-profit institution, or any trustee, officer or agent thereof, to contract for or in any way bind the corporation or render it liable for any act or omission of such Charge, board, committee, council, agency or institution Article XVI Incorporated Conference-Related and Affiliated Institutions A number of religious, educational and non-profit incorporated institutions participate directly or indirectly in the work and service of The United Methodist Church within the boundaries of the Annual Conference and are related in varying degrees to the Annual Conference, some being under the control thereof and others being autonomous while in close consultative and connectional relation. Their respective relationships to the Northern Illinois Annual Conference 228 BY-LAWS BY-LAWS 211 shall be as set forth in their articles of incorporation, by-laws and applicable provisions of the Discipline. All such incorporated institutions shall be solely responsible for their own acts, omissions, contracts and undertakings. The nomination and election of the directors or trustees of said incorporated related and affiliated institutions shall be as provided in their respective articles of incorporation and by-laws as well as by the Discipline. Article XVII Standing Rules The Standing Rules of the Northern Illinois Annual Conference, as from time to time amended, shall have the status and constitute a part of the by-laws of the conference; provided, however, such standing Rules shall be consistent with the Constitution and Discipline of The United Methodist Church and the laws of Illinois. Article XVIII Indemnification of Officers, Directors, Trustees and Key Staff The corporation shall indemnify any and all persons who may serve or who have served at any time as officers, directors, trustees or staff (excluding general office, clerical or stenographic employees) of (1) the Corporation, Northern Illinois Annual Conference of The United Methodist Church; (2) the District Superintendents of said Conference; (3) The Methodist Ministers' Pension Fund; (4) the United Methodist Foundation; (5) the Chicago Home Missionary and Church Extension Society; (6) the Board of Global Ministries; (7) the Council on Finance and Administration; and the respective heirs, executors and administrators of such indemnified persons against any and all expenses (including attorney's fees) incurred by them in connection with the defense or settlement of any action, suit or proceeding in which they, or any of them, are made parties, or a party, by reason of being or having been directors, officers, trustees or staff members of the corporation or the other associated entities described above. The corporation also shall indemnify any of the foregoing for damages, fines, judgments, and amounts paid in settlement in connection with such action, suit, or proceeding, and appeals therefrom, except in relation to matters as to which any such officer, director, trustee or key staff member shall be adjudged in any action, suit or proceeding to be liable for willful misconduct in the performance of duties, such officer, director, trustee or staff member shall reimburse the corporation for all attorney's fees and costs expended by it, or which it has been obligated to spend, as a part of the defense of such officer, director, trustee, or key staff member. Any indemnification hereunder shall be made only as authorized in the specific case upon a determination that the person has met the applicable standard of conduct and that indemnification is otherwise lawful and proper.
