just 0.27%6 (2.7 per 1000) and significantly
less when applied by experienced clinicians,
a figure supported by the successful
application of over 12 million pairs of Clips
worldwide.

The Royal College of Obstetricians and
Gynaecologists recommend laparoscopic
mechanical occlusion with Filshie Clips as
the preferred method of choice for female
sterilisation.8
2. Reduced Risk of Ectopic Failure
Failure of mechanical methods of
sterilisation typically result in a 4%7/9 risk
of ectopic pregnancy, compared to a
50-60% 9 risk for bipolar and a 50%9 risk
for other long-term methods of birth
control such as some of the newer IUD’s.
3. Higher Reversal Rates
Because the Filshie Clip damages just
4mm of the Fallopian tube, reversal by
reanastomosis is simplified and success
rates enviably high. In a study of 130
reversals carried out, a 90% uterine
pregnancy rate was recorded.2
4. Effectiveness
The Filshie Clip is extremely effective for
large tubes (post partum). The Filshie
Clip is M.R.I compatible10 as the titanium
contained within the Filshie Clip is nonmagnetic, unlike stainless steel.

All Classic Filshie Clip Applicators have an
expected life span of 7 years. During this
period Femcare-Nikomed will service and
repair all instrumentation, but Applicators
older than 7 years will be deemed obsolete,
and will not be accepted for service or repair.

The Femcare-Nikomed Single
Patient Use Trocar and Cannula
Range is available in Shielded,
Bladeless, Optical Bladeless,
Blunt and Thoracic technology.
The range is suitable for routine
use in all minimally invasive
surgery and has been designed
with the surgeon and patient in
mind combining performance
with safety.
The Trocar and Cannula range has
comprehensive features giving
confidence and consistency every
time.
1. Shielded Trocar and Cannula Range:
Consists of a flat linear blade and a springloaded blade shield. The shield is designed
to cover the flat linear blade once abdominal
access has been gained in order to safeguard
against damage to the underlying viscera.
2. Blunt Trocar and Cannula Range:
Allows access to the abdomen once a cut-down
or Hasson technique has taken place. The blunt
trocar is used to gain access to the abdominal
cavity whilst the spring-loaded threaded collar
is used to keep the cannula firmly in place.
3. Bladeless Trocar & Cannula Range:
Encompasses performance and safety. With
constant downward pressure and a slight
twisting motion the bladeless trocar tip
separates tissue layers rather than cuts them.
This results in a smaller fascial defect causing
less trauma to the abdominal wall.
4. Optical Bladeless Trocar and Cannula Range:
Allows access to the abdomen using bladeless
technology. The trocar enables new levels of
control via direct vision of the abdominal layers
during insertion. The bladeless tip decreases
the soft tissue defect and speeds up recovery.
5. “Dual Pack” Unshielded Trocar and Cannula:
The perfect secondary port including a leak
free seal which maintains pneumoperitoneum
throughout surgery.
6. Thoracic Trocar and Cannula Range:
Thoracic Trocar and Cannula enables simple,
safe and stable entry. To use the trocar an
adequate incision has to be made into the
thoracic cavity. The cannula can then be
threaded into the chest wall. The atraumatic
thread allows depth adjustment and decreased
migration during procedures.

4. DELIVERY
INTERNATIONAL TERMS AND CONDITIONS
These conditions apply to the sale of the Company’s Products, unless otherwise agreed in writing. In these conditions,
the words and phrases listed below will have the following meanings:
“Company” Femcare-Nikomed Limited, Stuart Court, Spursholt Place, Salisbury Road, Romsey, Hampshire, England,
UK. SO51 6DJ.
“Contract” means the contract between the Company and Customer for the sale and purchase of the Products
including these conditions;
“Customer” means the purchaser of the Company’s Products;
“Products” means the Products to be supplied by the Company under this Contract.
1. FORMATION OF CONTRACT
1.1 All quotations, offers and tenders are made and all orders are accepted subject to the following conditions. Except
as otherwise provided in these conditions, all other terms, conditions or warranties are excluded from any Contract
between the Company and the Customer unless expressly accepted in writing by the Company.
1.2 If there is a conflict between these conditions and any other terms of the Company’s quotation, offer, tender or
acknowledgement of order, such other terms shall prevail (to the extent of the conflict only).
1.3 The Customer shall, in respect of each order for the Products to be supplied hereunder, be responsible for:
1.3.1 ensuring the accuracy of the order;
1.3.2 providing the Company with any information which is necessary in order to enable the Company to fulfil the
order and to comply with all labelling, marketing and other applicable legal requirements in the territory in which the
Products may be sold; and
1.3.3 obtaining any necessary import licences, certificates of origin or other requisite documents, and paying all
applicable customs, duties and taxes in respect of the importation of the Products into the territory and their resale in
the territory.
1.4 Prices are quoted by the Company on the basis of the limitations of liability set out in these conditions. The
Customer shall be entitled to request the Company to agree a higher limit of liability and the Company may then
quote a revised price taking account of any increased risk to be borne by the Company, provided that the Company
shall not be obliged to agree to any higher limitation of liability.
2. PRICES
2.1 Unless otherwise agreed in writing, all prices are quoted net ex-works exclusive of VAT. If the Company agrees to
deliver the Products otherwise than at its premises the Customer shall pay all packaging, transportation and insurance
costs, duties, taxes and all other charges incurred by the Company in making or arranging such delivery.
2.2 The Company shall have the right at any time to revise non-contract prices to take account of increases in costs
including (without limitation) costs of labour, materials, carriage or overheads. Any such increase in costs will be
added to the quoted price.
3. PAYMENT
3.1 Payment shall be due and payable by the Customer without any set off, counterclaim or deduction whatsoever
within thirty days after the invoice date.
3.2 Where Products are delivered by instalments, the Company reserves the right to invoice the Customer separately
for Products delivered by instalments after such instalment has been delivered and the provisions of these conditions
shall apply in full to such invoices as if such instalment was a separate Contract.
3.3 If the Customer fails to pay the Company any sum due pursuant to the Contract within the period specified in 3.1
above the Customer shall be liable to pay interest to the Company on such sum at a compounding interest rate of
2% per month on any overdue account. The Company reserves the right to claim interest under the Late Payment of
Commercial Debts (Interest) Act 1998.

4.1 Delivery of the Products shall be given and taken at the Company’s premises unless the Customer has specifically
agreed in writing to arrange transport for the Products in which case delivery shall occur when the Products arrive at
the designated place of delivery.
4.2 The Company will use reasonable efforts to deliver the Products in accordance with estimated delivery times
specified by the Company in response to the Customer’s order, but delivery shall not be of the essence.
4.3 The Customer shall have no right to damages or to cancel the Contract for failure for any cause to meet any
delivery time stated nor shall the Customer be entitled to make, or to purport to make, time for delivery of the essence
of the Contract.
4.4 Upon delivery of the Products, the Customer is responsible for insuring the Products for their full replacement
value until title passes to the Customer.
5. RISK AND TITLE
5.1 Risk of loss or of damage to any consignment of the Products shall pass to the Customer from the time the
Company notifies the Customer that the Products are available for collection or from the time of delivery to the carrier
at the Company’s premises, whichever is earlier.
5.2 Notwithstanding delivery to the Customer, title of the Products shall remain with the Company until the Customer
has paid to the Company all sums (including any default interest) due from it to the Company.
6. NOTIFICATION OF LOSS OR DAMAGE
6.1 Any claim that the Products are damaged or have been short delivered must be communicated in writing to the
Company within 3 days of arrival at the Customer’s premises. Non-delivery must be reported to the Company within 7
days of the expected date of receipt.
6.2 If the Customer fails to give notice in accordance with this clause, the Customer shall be bound to pay for, and shall
lose any right to make a claim, in respect of such non-delivery, short delivery or loss or damage covered by this clause.
7. RETURN PRODUCTS
7.1 Products which will be accepted for return are as follows:- Products damaged in transit; Products alleged to be
defective; Incorrectly delivered Products.
7.2 Exclusions:- Products with less than 50% of shelf life remaining; Products shipped more than 3 months prior to the
return request.
7.3 Return Authorisation Procedure:- Contact Customer Services to obtain authorisation, such authorisation to be given at the Company’s sole discretion.
- All returns must be accompanied with a note stating product, quantity and full reason for return.
- All returned shipments must be prepaid except in certain circumstances when the Company will arrange collection.
Cash On Delivery packages will not be accepted.
- Only Products originally purchased from the Company will be accepted for return.
- Products returned with authorisation will attract a re-stocking/administration charge of 15%.
- Products returned without authorisation from the Company will not be accepted.
7.4 All Products returned for repair or as a complaint must be decontaminated if the product has been used or
exposed to body fluids. A decontamination certificate to comply with Health and Safety Legislation and Department
of Health requirements must accompany the product.
8. REFUSED DELIVERIES
8.1 The Company reserves the right to charge the Customer for any transport, storage or other costs reasonably
incurred if for any reason the Customer is not able promptly to accept Products tendered for delivery.
9. FORCE MAJEURE
9.1 The Company shall be under no liability for any delay or failure to perform the Contract in the event that the
manufacture, supply or delivery of the Products is prevented or delayed by any act or circumstances beyond the
Company’s reasonable control including, but not limited to, an Act of God, legislation, war, fire, drought, failure of
power supply, lock-out, strike or other action taken by employees in contemplation or furtherance of a trade dispute
or owing to any inability to procure materials required for their performance on the Contract.
9.2 The Company shall notify the Customer of any circumstance arising under this force majeure condition and if such
circumstance prevails for more than 3 months then either party shall have the option by giving notice in writing to
cancel any contracts or outstanding orders.

10. WARRANTY
10.1 The Company’s warranty obligations in respect of the Products are detailed within the product literature
published in respect of specific Products. The Customer should refer to this documentation or contact the Company
for further details regarding the warranty period and the Company’s instructions that must be adhered to in order to
rely on such warranty.
10.2 The Company shall not be liable for any loss or damage sustained by the Customer resulting from defects in the
Products caused by fair wear and tear, fire or accident or from the Customers wilful damage to, misuse or neglect of
Products, or from unauthorised installation, alterations to or repairs of the Products carried out by the Customer or
any third party, or from the Customer’s failure to use the Products in accordance with their intended purpose or the
Company’s instructions.
11. LIMITATION OF LIABILITY
11.1 The Company does not exclude liability for death or personal injury caused by its negligence or for fraudulent
misrepresentation.
11.2 Notwithstanding condition 11.1 above, the Company shall have no liability to the Customer (whether for breach
of Contract, tort (including, but not limited to negligence), or for any breach of statutory duty) for any of the following
losses or damages suffered or incurred by the Buyer:i) any loss of profit;
ii) any loss or damage to goodwill;
iii) any increased costs;
iv) any loss of revenue; and
v) any special, indirect or consequential losses or damages.
11.3 Without prejudice to conditions 11.1 and 11.2 above, the Company’s total aggregate liability for all claims made
by the Customer in relation to the Contract (whether arising through a breach of Contract, tort (including, but not
limited to, negligence) or any statutory duty) shall not exceed the price payable by the Customer for the Products
giving rise to the claim.

12. THIRD PARTIES
12.1 A person who is not a party to the Contract (a “third party”) shall have no rights pursuant to the Contracts (Rights
of Third Parties) Act 1999 (the “Act”) to enforce any of these conditions. Any right or remedy of a third party which
exists or is available apart from the Act shall not be affected.
13. DATA PROTECTION
13.1 The processing of personal data is governed by the Data Protection Act 1998, under which the Company is
registered as a data controller. Any personal data provided will be held securely and in accordance with the Data
Protection Act 1998. Personal data will be used for the purpose(s) in relation to which you have provided it. We may
however need to disclose personal data to a third party. We may additionally need to disclose information where
there is a legitimate reason for disclosure (such as a court order) but we will ensure that we always comply with the
Data Protection Act 1998. As a data subject you have the right to ask for a copy of personal data about you and to ask
for inaccuracies to be corrected. Queries about compliance with the Data Protection Act should be addressed to the
Company.

14. GOVERNING LAW
14.1 The parties agree that any disputes arising or in any way connected with the subject matter of these conditions
shall be subject to the Laws of England and in the case of proceedings issued by the Customer shall be subject to the
jurisdiction of the English Courts only.
