No specific level of income is guaranteed. Any reference to specific levels of earning on this web site are for the purpose of explaining the compensation plan only and are

To qualify for cash awards compensation you must have a Premium Business Center subscription (Silver, Gold, or Diamond level) and you must have made at least a
minimum 10 VIP bidpack purchase. You must also place a qualifying advertisement daily for Zeekler.com and submit it as proof to the company to qualify for Retail Profit
Pool awards for that day. Commissions that would have been earned on purchases made by your personally referred affiliates are forfeited if they make their purchases prior
to your becoming commission qualified.
VIP ProfitPoints are paid by the company based on your Personal Volume (VIP Bid sales and purchases). From time to time the company may add Bonus Points to your
totals during special incentive offers. Bonus Points are also provided to new affiliates so that they can experience the process without the necessity of making a sale or
purchase. Bonus Points are tracked separately from VIP ProfitPoints. Bonus Point awards cannot be withdrawn as cash. Once you have received additional Bonus Points
equaling the number you were given then the original amount drops off and the remainder becomes VIP ProfitPoints. You may then begin withdrawing cash commissions on
the future daily VIP ProfitPoints if you choose.
The company does not offer any guarantee of income to any Affiliate. Income is earned through the dedicated efforts of Affiliates making sales and good old fashioned hard
work. Rex Venture Group, LLC guarantees to deliver any and all products or services sold to each purchaser in a timely manner. Cash Reward projections are based on
expected revenues. Affiliates are strongly advised to only make purchases that they can afford without creating a financial hardship for themselves or their families.
IMPORTANT: The following paragraph MUST BE READ ALOUD whenever the ZeekRewards compensation plan is presented verbally or by telephone, or included in it's
entirety when communicating in writing:

Here's How it Works:
The company has created a Retail Profit Pool (RPP) and shares up to 50% of the daily net profits
with its Qualified Affiliates*. You can access your Retail Profit Pool report in your ZeekRewards
back-office.
When you sell Retail Bids or give away VIP Bids from ZeekRewards you
can earn VIP Cash Awards every day for 90 days on the VIP Points you
received just for placing ONE FREE AD for Zeekler.com daily and
submitting the link to your ad through your ZeekRewards Ad Center in
your back office.
Every time you sell Retail Bids or give away VIP Bids as samples to retail
customers through your ZeekRewards back office - those bids earn you
points in your ZeekRewards VIP ProfitPoint balance. At the end of each
day (7 days a week) the company determines its daily overall revenues and shares up to 50% of
it's net profits with its Quaified Affiliates* based on each individuals VIP ProfitPoint Balance.
Here's An Example
Step 1: Let's say you already own an active Premium Business Center (Silver, Gold, or Diamond)
for ZeekRewards
Step 2: You then purchased 1000 VIP Bids and gave them away
as samples to your own retail customers or to customers that were
signed up for you by the Customer Co-op, if you prefer. Or,
perhaps you SOLD $1,000 worth of Retail Bids to a Zeekler.com
customer. Either would give you 1000 points in your VIP
ProfitPoints Balance. Or, if you choose to give the bids to one of
your personally sponsored ZeekRewards affiliates you would
receive 500 Points in your VIP ProfitPoints balance ( .5 points per
bid given to your Affiliates)
Step 3: You then (that day and every day) would simply log-in to
your ZeekRewards Back Office, go to the Ad Center and place and submit your free ad for
Zeekler.com for that day (This takes approximately 3-5 minutes of your time.)

Step 4: The company (today and at the end of each day) tallies the days net profits and
determines the day's VIP Profit Share Award. Let's say, for the sake of this example - the
company determines that today's revenue allows for a 1.5% award and posts it to the Retail Profit
Pool which reflects in yours and every other Qualified Affiliate's Profit Pool account. Assuming a
1,000 point balance, in this example, it would give you a $15.00 award.
In our example, let's assume that you have set your preference to use 100% of your daily award
to purchase more bids to give away as samples to grow your business (and your VIP balance!).
When you go check your Retail Profit Pool Report the next day, you will see that your account
balance will now be 1015 VIP ProfitPoints because the bids were given away to your retail
customers!

The 2 x 5 Forced Matrix
All subscribers, free and paid, are placed in a 2 x 5 "forced matrix" pay
structure when they initially subscribe.
Please Note: Free and inactive subscribers are compressed out during commission
runs.

2 x 5 means that each affiliate has two positions
directly connected to him or her, one to the left
and one to the right directly below their own.
Each of these positions, likewise has two
connecting positions below them, and so forth.
There are 5 rows, or LEVELS. This means that,
numerically each row or level has twice as many
positions as the row above. It's called a "forced"
matrix because, since each position only has two
direct downline positions, additional invitees are
"forced" below existing positions.
For example, if you sponsor Joe and Mary then
Joe would be placed in your first position (your
left downline position) and Mary would be placed
in your second position (your right downline
position). If you were to then sponsor Andrew, he
would be placed under Joe, filling Joe's first, or
left, downline position, since your only two direct connected positions are full.
Affiliates that are forced under other affiliates are called "spillover" affiliates.
Again, although Free Subscribers are placed in this structure, they can not earn
from it until they have upgraded to one of our Premium subscriptions or have
earned qualifying rank and personally sponsored a minimum of 2 Preferred
Customers.
IMPORTANT: Commissions are paid on a COMPRESSED 5 levels or rows. In
other words, free affiliates are skipped and not counted when 5 levels are
calculated for commission payments.

No specific level of income is guaranteed. Any reference to specific levels of earning on this web
site are for the purpose of explaining the compensation plan only and are not projections. Your
actual income will depend upon the success of your marketing efforts and of those you introduce

VIP ProfitPoints are paid by the company based on your Personal Volume (VIP Bid sales and
purchases). From time to time the company may add Bonus Points to your totals during special
incentive offers. Bonus Points are also provided to new affiliates so that they can experience the
process without the necessity of making a sale or purchase. Bonus Points are tracked separately
from VIP ProfitPoints. Bonus Point awards cannot be withdrawn as cash. Once you have received
additional Bonus Points equaling the number you were given then the original amount drops off
and the remainder becomes VIP ProfitPoints. You may then begin withdrawing cash commissions
on the future daily VIP ProfitPoints if you choose.
The company does not offer any guarantee of income to any Affiliate. Income is earned through
the dedicated efforts of Affiliates making sales and good old fashioned hard work. Rex Venture
Group, LLC guarantees to deliver any and all products or services sold to each purchaser in a
timely manner. Cash Reward projections are based on expected revenues. Affiliates are strongly
advised to only make purchases that they can afford without creating a financial hardship for
themselves or their families.

USE OF ZEEKREWARDS IS CONTINGENT UPON ACCEPTANCE OF THE TERMS OF SERVICE, PRIVACY POLICY AND
PURCHASE/SUBSCRIPTION AGREEMENT.
USERNAME, PASSWORD AND SECURITY
You will create a username and password upon completing the registration process. You are responsible for maintaining the
confidentiality of the password, and are fully responsible for all activities that occur under your username and password. You agree to
immediately notify ZeekRewards of any unauthorized use of your username or password or any other breach of security. You agree
that ZeekRewards cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.
ADDITIONAL TERMS
Recognizing the global nature of the Internet, you agree to comply with all rules for your local areas regarding online conduct and
acceptable Content. You further agree to comply with all applicable laws regarding the transmission of technical data exported from
the country in which you reside.
MATERIALS PROVIDED TO ZEEKREWARDS OR POSTED ON ANY ZEEKREWARDS SERVICE.
ZeekRewards does not claim ownership of the materials, in any format including, but not limited to, text, images, photographs, audio,
or video, that you provide to ZeekRewards (including feedback and suggestions) or post, upload, input or submit to any Services or
its associated services for review by the general public, or by the members of any public or private community, (each a "Submission"
and collectively "Submissions").
However, by posting, uploading, inputting, providing or submitting ("Posting") your Submission you are, subject to the privacy
provisions provided herein, granting ZeekRewards, its affiliated companies and sub-licensees permission to use your Submission in
connection with the operation of their businesses (including, without limitation, all ZeekRewards Services), including, without
limitation, the transferable, non-exclusive, world-wide, royalty-free, perpetual, irrevocable, fully sub-licensable right and license to:
copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; to publish your
name in connection with your Submission; and the right to sublicense such rights to any supplier of the Services.
You additionally warrant that each person depicted or recorded in such Submissions, if any, has provided consent to the use of the

No compensation will be paid with respect to the use of your Submission, as provided herein. ZeekRewards is under no obligation to

described in these Terms of Service including, without limitation, all the rights necessary for you to provide, post, upload, input or

No Stacking
We have a firm "no stacking" policy at Zeekler/ZeekRewards.
Definition: Stacking occurs when multiple members of a household sponsor each other and purchase product from the "bottom" of

the "stack" in order to earn multiple levels of commissions on their own purchases and prevent their upline sponsor from earning on
the referral of said affiliate/family into the program. Stacking is strictly prohibited and anyone caught doing so will be immediately
removed from ZeekRewards permanently and will forfeit all commissions, bids and awarded points. A reward of 10 VIP Sample bids
will be awarded to anyone who reports a valid and provable violation of this policy.
If multiple family members within the same household (husband, wife, daughter, son, parent and/or business entity where said
affiliate(s) are principle) wish to become active ZeekRewards representatives, they must do so under the original sponsor who
introduced the first household member to ZeekRewards.
This stacking policy is effective March 15, 2011 and any previous violations must be corrected before April 15, 2011. If you have
positions in the company that are in violation of this policy please report them through the Contact Affiliate Services link in your back
office. We will correct the sponsorship with no penalty prior to the April 15, 2011 cutoff date.
INDEMNITY
You agree to indemnify and hold ZeekRewards, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and
employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out
of Content you make available, submit, post to or transmit through the Service, your use of the Service, your connection to the
Service, your violation of the TOS, or your violation of any rights of another.
NO RESALE RIGHTS
You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any use of or access to the
ZeekRewards Service.
ANTI-SPAM POLICY AND ACCEPTABLE USE
While we encourage you to refer friends, family, colleagues, and others to use the Service, you may do so only through methods that
are consistent with the terms and conditions of your own Internet service provider as well as prevailing standards of acceptable

Buyer warrants that he or she (referred to for the remainder of this document as he for convenience only) is over 18 years of
age, of legal age to enter into contractual agreements in the state in which he is present when he makes this purchase, and is the
true and authorized owner of the credit card used to make this purchase, OR is making the purchase with the full consent of his
parent(s) or legal guardian(s) who have read and accepted this agreement. Any Buyer who violates any of these requirements may
be liable for civil or criminal prosecution and agrees to pay liquidated damages of an amount the equivalent of US$10,000 per
fraudulent transaction, plus actual damages, and agrees that all information collected by this website may be used for prosecution
and may be turned over to law enforcement agencies or to credit card companies and merchant service providers.
If the true and/or authorized owner of the credit card attempts to commit fraud upon the Seller, he authorizes each and every credit

Any Buyer who attempts to perpetrate a fraud upon Seller involving the use of a credit card herewith gives authorization for the Seller
to access all credit information about the Buyer from credit reporting agencies and also authorizes the Seller to discover all relevant
information from any source about the fraudulent practices of the Buyer and to reveal such information to credit reporting agencies,
credit card companies, merchant service providers, and law enforcement agencies.
Buyer agrees that if he uses trickery to receive a refund, or if he causes a fraudulent dispute claim that results in a chargeback
against the Seller's account, that the Seller is authorized to re-charge the Buyer's credit card that was used for the original purchase
to the extent that will make the Seller whole. Buyer agrees to, in addition to actual damages, pay to the Seller liquidated damages of
an amount equivalent to US$10,000 for every separate fraudulent action Buyer commits.

PROMOTIONAL MATERIALS OR PRODUCT
If claims about results from using this product or if claims about income or earnings resulting from the use of this product or the
business opportunity associated with it are made, such claims are true for the persons who made the claims, including claims made
by the Seller about its own experience with the product.
However, Buyer cannot simply rely on these statements as being duplicable by Buyer because many factors affect results, including
just dumb luck. Some people enroll to make money and, in fact, make no money. Some people buy this product and never use it or
attempt to implement any of the moneymaking ideas. Some folks seemingly take to it like a duck to water and can't stop making
money. Nothing promoted on this website should be construed as a 'Get rich quick' scheme. The opportunity presented is based on

proven money-making systems. The income and earnings statements, if any, tend to reflect the more successful cases and Buyer
should not construe this as being the 'average' or usual success story. As is true in much of life, real success usually requires real
work. Learning about the internet is not terrible work and it can produce very livable income if Buyer is willing to learn his or her craft
and work at it steadily. Even part-time efforts may bring in some extra money each month. But it requires learning skills that Buyer
may not have a background to easily learn and will certainly require constant education and, perhaps, even psychological motivation
to keep Buyer directed toward his or her goals.
If the product Buyer is purchasing is a subscription that involves a recurring fee, the Buyer has a right to terminate the subscription or
‘plan’ upon notice to the Seller. Any unused part of a monthly or yearly fee is not refundable.
Where this disclaimer and claims made in sales and promotional materials or the product are in conflict, this Purchase Agreement
shall be controlling except, and unless, the Seller deliberately misled the Buyer or if such construction would cause material inequity.
The sole burden is on the Buyer to substantiate any deliberate deception. Buyer accepts the obligation to reimburse the Seller for all
court costs, investigation costs, attorney fees, and all litigation-related costs in the event Buyer brings suit against the Seller and
does not prevail in court or at arbitration.
No warranties are made whatsoever about the amount of money, if any, that Buyer will earn from this income opportunity.
Buyer, again, warrants an understanding that in any event, for any reason, no matter the amount of damages claimed, as a material
part of the consideration for purchase of this product, the maximum amount of liability shall be the purchase price of the product.
PRIVACY POLICY ACCEPTED
Buyer expressly accepts the terms of the Privacy Policy of Seller's website.
TERMS OF SERVICE ACCEPTED
Buyer expressly accepts the Terms of Service of the Seller's website.
RIGHT TO PUBLISH SUBMISSIONS
Buyer agrees that Seller may publish any and all publicly accessible content that is presented and/or provided at the Seller's sole
discretion.
RIGHT TO STOP SELLING OR SERVICING PRODUCT OR SUBSCRIPTION
Buyer agrees that Seller has the right to discontinue the product, the service, the subscription at any time.
Buyer understands that the Seller may discontinue affiliate programs under the terms of the affiliate program.
Buyer understands that the Seller may discontinue customer service on a product or service at any time without notice.
ASSIGNMENT
I understand that this agreement may not be transferred or assigned without prior written consent of REX Venture Group, LLC a/k/a/
ZeekRewards.com, which consent shall not be unreasonably denied.
ARBITRATION
As part of the consideration that the Sellers requires, Buyer agrees to use binding arbitration for any claim, dispute, or controversy
("CLAIM") of any kind (whether in contract, tort or otherwise) arising out of or relating to this purchase, this product, including
solicitation issues, privacy issues, and terms of use issues.
Arbitration shall be conducted pursuant to the rules of the American Arbitration Association which are in effect on the date a dispute
is submitted to the American Arbitration Association. Information about the American Arbitration Association, its rules, and its forms
are available from the American Arbitration Association, 335 Madison Avenue, Floor 10, New York, New York, 10017-4605. hearing
will take place in the city or county designated by Seller.
In no case shall the Buyer have the right to go to court or have a jury trial. Buyer will not have the right to engage in pre-trial
discovery except as provided in the rules; you will not have the right to participate as a representative or member of any class of
claimants pertaining to any claim subject to arbitration; the arbitrator's decision will be final and binding with limited rights of appeal.
MEETINGS
ZeekRewards is designed to be an online-based business. As such, we have a firm policy that prohibits affiliates from conducting
public meetings to promote the business opportunity UNLESS the meeting is conducted by an authorized member of corporate staff.
This policy includes meetings that are advertised publicly or meetings that are by "invitation only". It includes meetings in hotels,
public meeting halls, restaurants or other venues. The only permitted meetings are in an affiliate's home.

COPYRIGHTS and TRADEMARKS
Affiliates are not permitted to use the Zeekler or ZeekRewards trademarks or copyrighted materials in their personally created
advertising or promotional materials without requesting and receiving permission from the company. In all cases where affiliates are
using materials of their own design, whether online or in printed media, business cards, display advertising, etc., the words
"Independent Affiliate" must appear beside or below their name to clearly indicate that it is not a corporate document.
JURISDICTION AND VENUE
If any matter concerning this purchase shall be brought before a court of law, pre- or post-arbitration, Buyer agrees to that the sole
and proper jurisdiction to be the state and city declared in the contact information of the web owner. In the event that litigation is in a
federal court, the proper court shall be the closest federal court to the Seller's address in Lexington, North Carolina USA.
APPLICABLE LAW
Buyer agrees that the applicable law to be applied shall, in all cases, be that of the state of the Seller, North Carolina.
NOTICE
Buyer herewith agrees to receive Notice of Changes, Litigation, Service of Process, Cancellation, Termination, and Modification of
service or product at the email address provided to Seller on the ordering page. Further, Buyer agrees that the right to contact
Buyer concerning legal notice shall not be terminated by previously submitted 'unsubscribed' notices and specifically agrees that any
notification to cease contact shall not be binding upon the Seller in regards to Notice of Change, Litigation, Service of Process,
Cancellation of Product or Service or Membership or Subscription, Termination of a program, product or website, or Modification of
the terms of service or product. Additionally, the Buyer grants Seller irrevocable right to contact him or her via mail or telephone
concerning any of these issues irrespective of other rights the Buyer has to sever contact with Seller.
COSTS
The prevailing party to any arbitration or litigation will be entitled to collect attorney fees and all other costs of the arbitration or
litigation, including filing fees, investigation fees, collection fees, and travel expenses from the other party.
MODIFICATION
This Purchase Agreement cannot be modified in any manner between the Seller and this Buyer unless modifications are made in
writing signed by both parties. However, the Seller may modify this Purchase Agreement at any time for other Buyers without notice
to the instant Buyer.
ENFORCEABILITY OF PROVISIONS
In the event that some provisions, terms, conditions of the Purchase Agreement are held to be invalid or unenforceable, the
remainder of the provisions that are enforceable shall control. Additionally, Buyer and Seller agree that, if any provision is found to
be invalid or unenforceable, the arbitrating panel will construe such provision to the maximum extent that it might be found to be valid
or enforceable.
WAIVER OF BREACH
The Seller's waiver (failure to enforce) any term of this agreement shall not be construed as a modification or an amendment to this
agreement or constitute a waiver of other breaches.

FINAL ACCEPTANCE
By taking the affirmative step of purchasing of a product, service, or subscription, you, the Buyer, attest that you have fully read,
understand, and accept the terms of this Purchase Agreement contract, and warrant to the Seller that said affirmative digital
acceptance shall be deemed to be the same as if you had affixed your signature to this Purchase Agreement contract.

defined as an affiliate who has at least 2 personal sponsorships of Preferred Affiliate Customer or Retail Customers. The average annual income for all Affiliates
