Joining Businesses...Creating Community communicator the July 2016 JULY MEANS MUSIC FEST! It is July and summer is in full swing. There are many HOF activities this month throughout Stark County. On July 29th and 30th, your Jackson Belden Chamber will once again be putting on the best show on earth – the Annual Jackson-Belden Music Festival and Fireworks Celebration, held in conjunction with the Pro Football Hall of Fame Enshrinement Festival Balloon Classic. We will feature exciting entertainment and great food and beverages for everyone. As of this writing, we are pleased to have Hey Monea, Mark Leach and La Flavour on Friday night sponsored by MIX 94.1/WHBC. On Saturday night, you are in for a treat as we go a little bit country with Shooter Sharp & The Shootouts, Ashley Martin & Chris Higbee. Also on Saturday night, the skies will be glowing with fireworks by American Fireworks out of Hudson, Ohio and sponsored by Synchrony Financial. If you would like to entertain your clients or reward your staff, you can purchase special VIP tables by contacting the Jackson-Belden Chamber. Make sure to mark your calendars. MERGER FAQs MERGER FAQs Question How does a proxy differ from an absentee vote? Answer A proxy requires the person designated by the voting member to be present at the meeting in order to vote on behalf of the member. Absentee voting does not require the voter to be physically present at the meeting in order to vote. Question Why not permit absentee votes? Answer Article XIII of the Jackson-Belden Chamber of Commerce Bylaws only permits votes by members who are present at the special meeting in person or represented by proxy. The Bylaws do not permit absentee voting. Question To whom can a voting member give a proxy? Answer A voting member may give a proxy to: (1) another person in that voting member's workforce; (2) another voting member; or (3) Mike Gallina, who is the Secretary of the Jackson-Belden Chamber, who will attend the meeting and vote in favor of the merger on behalf of the member whose proxy he holds. Question Must the holder of the proxy attend the special meeting at which the vote on the merger will be taken? Answer Yes, proxy holders must attend the special meeting and present a valid, signed proxy in order to vote on behalf of the voting member. Question What will happen at registration? Answer Registration will occur prior to the special meeting. At that time, verification of voting members and persons holding and submitting written proxies will occur. Persons determined to be eligible to vote on the merger will be given written ballots. Question What constitutes a quorum for purposes of voting on the merger at the special meeting? Answer According to the Bylaws, a quorum consists of voting members in good standing who are present in person or by proxy at the special meeting. MERGER FAQs Question What is the agenda for the special meeting? Answer We are working on the agenda, which has not yet been finalized. Generally speaking, the meeting will commence with a brief presentation about the proposed merger and a description of the Agreement of Merger between the Jackson-Belden Chamber of Commerce and the Canton Regional Chamber of Commerce. The proposed motion will be read, and the chair will seek a motion for approval and a second of that motion. Discussion may occur prior to the vote. We will update you when the final agenda is set Question How will the motion read? Answer We are working on the motion and will update voting members when it is finalized in advance of the meeting. Question What is the form of the ballot? Answer While we are working to finalize the ballot, we believe it will simply state: D D For the Merger Against the Merger Question Why a secret ballot? Answer We believe that secret ballot best serves the needs of voting members by allowing them to vote their conscience, without being influenced by others, feeling peer pressure, or fear of reprisal. Question Who will accept the proxies, distribute the ballots, and count the ballots? Answer We will retain an independent accounting or law firm that is not located in Stark County to oversee the integrity of the process. Question What does it take to approve the merger? Answer Approval of the merger requires a majority of voting members present in person or by proxy at the special meeting in which there is a quorum. CT2:736146_vl Notice of Special Meeting of the Voting Members Of the Jackson-Belden Chamber of Commerce to vote on the Proposed Merger of the Jackson-Belden Chamber of Commerce and the Canton Regional Chamber of Commerce Notice Date: June 3, 2016 Special Meeting Date: August 9, 2016 Registration and Presentation of Proxies: 5:30 p.m. Meeting Begins 6:00 p.m. The Board of Directors of the Jackson-Belden Chamber of Commerce, following Article 13 of the Bylaws, gives 60 days written Notice to all full Members in good standing and entitled to vote of a Special Meeting that will be held on August 9, 2016, at 6 p.m., at Stark State College Business and Entrepreneurial Center, 6200 Frank Ave., N.W., North Canton, OH 44720. The sole purpose and business conducted at the Special Meeting is to vote on the motion for the proposed merger between the Jackson-Belden Chamber of Commerce and the Canton Regional Chamber of Commerce. Each full Member in good standing and entitled to vote will have one (1) vote, which may be exercised by the person registered as the voting representative of the Member, who must either be present in person at the Special Meeting or appoint a person by Proxy, who must attend, present the Proxy, and vote on behalf of the Member. Dr. Kim did not follow a traditional path to business success, nor did he know what he wanted to do with his life when he finished school. However after several jobs and several degrees Dr. Kim is teaching students that every new beginning is a chance at a clean slate and that we are not products of our past decisions unless we chose to be. Philip Kim dropped out of high school at age 18. Now, Kim shares the lessons he has learned with his students and in his new book “Chase One Rabbit: 10 Habits that Move You from Failure to Success.” Doors will open for this event on July 20 at 11 a.m., and the luncheon will begin at 11:30. Cost is $18 for Chamber members and $23 for non-members who RSVP by July 18 at noon. TERRI BECKWITH has been with Uniontown Vet Clinic almost nine years. She ab-solutely loves her job and embraces the opportunity to work with people. Terri lives in Akron. Ribbon Cutting Westfield Bank June 23 View photos from past events in our online photo gallery: www.jbcc.org/events-galleries MEMBER NEWS Stark State College Akron site announced (North Canton, Ohio– May 12, 2016) – Stark State College – along with the City of Akron, County of Summit, State of Ohio and Greater Akron Chamber – announced plans today for Stark State College Akron, a new education and workforce training center to be constructed on 11 acres of property along Route 8 at the Perkins Street exit, with access from East Market Street. The 50,000-square-foot, state-of-the-art facility will take approximately two years to complete and provides plentiful, proximate parking; a convenient downtown location right off of Route 8 for students from anywhere in Summit and the region; and Metro public transportation access. New Philadelphia resident Abram Klaserner was named Aultman Hospital’s Employee of the Year at the annual Employee Recognition Dinner. The annual event was held May 12 at the Canton Memorial Civic Center, with more than 800 employees in attendance, celebrating milestones ranging from five years to 50 years of service at the organization. The Ohio Small Business Development Center at Kent State University at Stark* will present Accommodating Everyone’s Disability with Elizabeth Crosby, partner at Buckley King in Cleveland, Ohio, on Tuesday, July 12, 2016. This seminar will cover ways to efficiently and effectively keep everyone legal. A continental breakfast will be offered at 7:30 a.m. and the seminar will take place from 8 – 9:30 a.m. at the Kent State Stark Conference Center, 6000 Frank Avenue NW in Jackson Township. From serious medical conditions to work related injuries, organizations are responsible for meeting the challenge of accommodating workers with disabilities. These situations present both opportunities and risks for the organization.
