BACKGROUND
The John Labatt Centre operates as a public private partnership and is designated as a
municipal capital facility under the Municipal Act. The Centre completed its seventh year
of operation in June 2009. The London Civic Centre (LP) is the City's partner on this
project having provided $9.5 million in private sector funding. The City's contribution to
the project is $32 million, plus the land valued at $10 million of which approximately one
third serves as a municipally operated public parking lot.
The Financial Deal
The City's original contribution to the John Labatt Centre was based upon an anticipated
conservative pro forma produced by London Civic Centre (LP). The pro forma
anticipated that paid attendance would average between 350,000 and 400,000, the
gross revenue from the Centre would average $5.4 million over the first seven years and
that net proceeds to the City would average $126,773. Global Spectrum has been able
to produce higher gross revenues in the facility than anticipated and generally higher net
incomes than budgeted. The net proceeds to the City averaged $232,832 for the first
seven years, exclusive of ticket surcharge revenue. London Civic Centre (LP)'s financial
statements and the distribution of available cash flows are both audited by an external
accounting firm.
It should be noted that the net proceeds are after the Centre's debt servicing costs,
taxes and contributions to the capital reserve fund.
The City's share of the net proceeds varies over the life of the lease. In years one to
five, the City's share is 20%, years six to ten 45% and years eleven to fifty 70%.

The private sector return on investment in the pro formas was anticipated to be about
12%. This return recognizes that the private sector assumes all operating losses and
capital repair risk. The City's return on investment was estimated to be between 1% and
2% over the fifty years, plus the economic spin-offs and a contribution to the downtown
revitalization from the Centre. The City compared this rate of return with other centres in
Ontario at the time of developing the agreements and found that compared to Guelph,
Brampton and Sarnia, three other public private partnerships at the time, the City's rate
of return was higher. Brampton and Guelph have both defaulted and are effectively now
public facilities. All municipally operated centres operate at a loss (when capital costs
are included), meaning there is no return on investment other than the economic spinoffs.
Agreements
There are dozens of agreements associated with this project, all of which were fully
vetted through Council, with input from legal counsel and consultants. The main
agreements which govern the operations of the JLC are the Ground Lease and the
Participatory Occupancy Lease.
A Trust Indenture agreement was established to setup the City of London Arena Trust.
The City of London Arena Trust has entered into a fifty year Ground Lease for the land
owned by the City of London. The City acts as landlord over the land and the Trust is
the tenant.
The London Civic Centre (LP) has entered into a fifty year Participatory Occupancy
Lease for the building with the City of London Arena Trust, who is the landlord and owns
the building for the term of the ground lease, subject to the provisions of the agreement.
The London Civic Centre (LP) is subject to detailed agreements on performance and
maintaining the building at a high quality level. The London Civic Centre (LP) is
responsible for capital improvements to the building and has put in place a facility fee on
tickets which partially funds capital improvements which began to accumulate in a
capital reserve account after year three of the agreement.
The London Civic Centre (LP) has entered into a confidential agreement for the
management of the facility. This agreement was reviewed by Arthur Anderson and
deemed to be market competitive.
So How Are We Doing?
The John Labatt Centre continues to outperform pre-build expectations. Almost 600,000
people attended events last year at the John Labatt Centre, more than 50% higher than
pre-build expectations. The John Labatt Centre has ascended to world ranking amongst
event centres. The Centre is consistently ranked in the top ten in the world by Venues
Today in their annual ranking of venues of similar size. Pollstar, the industry leader in
entertainment news, rated the John Labatt Centre 58th in their top 100 facilities in the
world regardless of size.
The John Labatt Centre has hosted a wide range of shows and events since it opened,
living up to the multi-purpose function that the City invested in when it built the facility
including:
Both National Hockey League and NBA exhibition games;
World class entertainers such as Shania Twain, Rod Stewart, Bob Dylan,
David Bowie, Bryan Adams, Elton John, Bon Jovi, II Divo and Neil Young
performed sold out concerts;
Broadway plays such as Fame, Cats, Grease, and Saturday Night Fever have
performed at the Centre;
Family shows have been abundant, including Lord of the Dance, David
Copperfield, Disney on Ice and the Harlem Globetrotters;
The London Knights hockey team continues to play to sell out crowds;

The Centre has hosted the Canadian Figure Skating Championships, the
Memorial Cup, Canadian Women's Curling Championship Brier and coming in
201 1, the Tim Horton's Curling Brier for Canadian Men's Curling Championship.
On the finance side, the John Labatt Centre received a national gold medal award for
financing on the business deal between the City and the London Civic Centre (LP) from
the Canadian Centre for Public Private Partnerships. Gross revenues last year topped
$5,477,187. Total net profit in 2009 for the Centre was $300,226, almost 3 times the
budget. The City's total proceeds from the Centre in 2009 was $432,554, including
ticket surcharges.
All of the 38 suites in the Centre are leased and there is a considerable waiting list for
the 1,100 club seats. The naming rights for the facility have been sold for ten years to
Labatt Brewing Company and the small theatre seating naming rights have been sold to
RBC Dominion.
The Centre continues to attract interest from other municipalities and countries trying to
duplicate the success of the John Labatt Centre. The cities of Oshawa, Wndsor,
Kingston and Niagara Falls all visited the Centre on several occasions. Visitors from a
project in Florida and another in Lithuania have also come to the Centre.
The Management and Operation of the Centre
The Centre is managed by Global Spectrum on behalf of the partnership London Civic
Centre (LP). Global is responsible for the sale of naming rights, advertising, attractions,
sale of suites and club seats, and the operation of the Centre. Global receives a
management fee for its services, which in 2009 amounted to $508,162.
A large part of the success of the John Labatt Centre has to be credited to the
management services provided by Global Spectrum. They continue to bring in world
class entertainment, create the cash flow necessary to support the facility and maintain
the facility at a high quality. They also participate in the community through fund raising
and last year raised over $100,000 to support local charities and non-profit
organizations.
In March 2010, the Centre was named Canada's 2009 Major Facility of the Year during
ceremonies of the Canada's Music Festival. The Centre topped the Bell Centre in
Montreal; GM Place in Vancouver; MTS Centre in Winnipeg; Northlands Rexall Place in
Edmonton; Pengrowth Saddledome in Calgary: ScotiaBank Place in Ottawa: and the
Molson Amphitheatre in Toronto.
In April 2009 the Centre received the Don Harrison Energy Champion Award for its
diligence and attention to reducing energy consumption in the building
Performance Summary
Appendix A (attached) provides a performance summary for the John Labatt Centre for
the first seven years, events, paid attendance, incomes, expenses, net income and the
City's net proceeds.
The City retained KPMG to undertake certain procedures and report its findings in
connection with certain practices and processes of Global Spectrum in managing the
John Labatt Centre to determine compliance with the agreements between the City and
the London Civic Centre (LP). The agreements between the parties contemplate the
City undertaking reviews periodically to determine compliance with agreements. KPMG
completed its work in February 2005 and determined London Civic Centre (LP) has
comprehensive accounting procedures in place, that the available cash is calculated in
accordance with the agreements, that partnership related expenses were consistent with
the agreements, the management fee paid is in accordance with the agreements and the
concession commissions earned were found to be in accordance with the license
agreement. There were no areas of concern raised by KPMG with respect to
compliance with the agreements and accounting practices.

Appendix B (attached) is the John Labatt Centre 2009 Annual Report
Working Committee
A Working Committee has been established as part of the Participatory Occupancy
Lease. There are representatives from the Arena Trust, the London Civic Centre (LP),
the City and the Manager of the facility. Mike Turner has replaced Vic Cote on the
Working Committee upon Vic's retirement.
The Working Committee reviews capital repairs and plans and monitors the balances in
the capital repair fund. They also review operating budgets, audited financial statements
and the available cash flow calculations. They may approve certain contractual
procedural elements if required.
In addition, the City's representative reviews and authorizes agreements of non-arms
length contracts. They also must approve expenditures coming from the capital repair
fund, ensuring long term viability of the capital repair fund.
Agreements Between Global Spectrum and Related Companies
The agreements with the London Civic Centre (LP), the City of London and Global
Spectrum require City concurrence of agreements between the London Civic Centre
(LP) and non-arms length related businesses. The City's concurrence is based on
whether the agreement is competitive and represents good value. The City's
concurrence cannot be withheld unreasonably. Global Spectrum has entered into an
agreement with Ovation Foods, a related company. The City has reviewed that
agreement based on competitive market data and found the agreement for food services
to be competitive. Global Spectrum has also entered into an agreement with Front Row
Marketing to assist in the sale of suites, club seats, advertising and naming rights. While
owned independently and separate from London Civic Centre (LP) and Global Spectrum
initially, that company was subsequently purchased by Global Spectrum. The Civic
Administration retained an independent consultant to assist in the evaluation of this
contract which concluded the contract was market competitive. Global held an open bid
process for ticketing services and the service was awarded to New Era Tickets, a full
service ticketing and marketing product for public assembly facilities, which is an
affiliated company. All contracts meet the terms of the agreement with the City and have
been concurred in, as per our agreements with London Civic Centre (LP).
Ticket Surcharge
The JLC and Centennial Hall are the only facilities with user charges. There is a facility
fee for the JLC, which has been set at $1.75. The facility fee has been set up to provide
portions of the contribution to a capital maintenance fund beginning in year four of the
building. In the first three years of the building, the user fee was applied to general
revenues. The 2009 revenue from the facility user fee at the JLC was $248,149.
This surcharge at the JLC applies to all events except London Knights hockey games.
These games are excluded by an agreement with the London Knights which was
negotiated at the time the Knights entered into a lease as the prime tenant. This
exclusion is normal for hockey teams in most facilities.
In 2005, Council approved a convenience fee that was amended for 2006 to $.50
through internet, telephone and outlet sales on tickets over $20 and a $50 facility fee on
all tickets over $20 except for select family shows, non-profit events and London Knights
hockey games. This facility fee forms part of the $1.75 total facility fee charged. The
City received $186,816 in 2009 from these fees.

How Much Does the City Contribute Annually to Capital Repairs?
The City's 2010 capital budget contributed $250,000 to Centennial Hall repairs and
$500,000 to the London Convention Centre Reserve Fund for capital repairs. Both
facilities will require similar contributions in future years to maintain the building
adequately. For the Wolf Performance Hall at the Central Library, the City includes their
capital maintenance along with the Library budget of $50,000. The City makes no
contribution to capital repairs at the JLC as this is funded from the existing ticket facility
fees and operating revenue and is the responsibility of the London Civic Centre (LP).

perform a significant role in meeting the needs of the community in its overall programming.
The John Labatt Centre shall also be a landmark of city civic pride and community accessibility,

On behalf of the City of London, it is a pleasure to extend warm congratulations to Global Spectrum
and its entire team, as we celebrate the 7th anniversary of the John Labatt Centre. The JLC continues
to generate energy, enthusiasm and excitement and has proven to be a tremendous investment for
our community.
Thanks to this unique partnership, involving the City of London, the community and business, the
John Labatt Centre is succeeding as a great venue for entertainment across Southwestern Ontario
and beyond. This year we welcomed many musical icons, including KISS, Neil Young, Leonard Cohen,
Bryan Adams and Diana Krall, and proudly hosted the 2009 Euro Can Cup featuring an amazing
exhibition of world hockey.
Demonstrating its strong corporate social responsibility, the JLC earned the Don Harrison Energy
Champion Award for diligence in reducing energy consumption in a variety of ways throughout the
vast building. The Centre also remains committed to several other community initiatives, including
the United Way and Ronald McDonald House.
As Mayor, I commend Global Spectrum for its enterprising approach to enhancing London's quality
of life and economic development, and look forward to many more exciting endeavours a t the
JLC in years ahead!

The 2008-2009 season has proven to be another highly successful year for Global Spectrum Facility
Management at the John Labatt Centre and I wanted to highlight a number of the successes that we
have experienced. Throughout the past fiscal year, the John Labatt Centre was proud to host 129 events
and welcomed 233.712 people through the doors.
As in years past, the 2008-2009 season at the John Labatt Centre was punctuated by a number of
significant shows, including a diverse concert series and a wide variety of events that showcased the
versatility of this terrific building. Performers such as The Blue Man Group, Oasis and Leonard Cohen
were part of the roster of events, while Carrie Underwood, Alan Jackson. Brad Paisley and Neil Young

performed before sell out crowds last season.

Over its 7 year history, the John Labatt Centre has often been home to world-class Broadway shows
and this season was no different. Audiences were treated to performances of Annie and The Drowsy
Chaperone. The highlight of the Broadway in London season featured three farewelt performances of
the original international phenomenon, Riverdance, which saw close to 6,000 patrons attend these
high-energy shows.
Global Spectrum Facility Management was also proud to host its "hometown" Philadelphia Flyers to the
John Labatt Centre again this season as they took on the New York Islanders. Fans were treated to
a hard-nosedteam effort by the Flyers, featuring London's own Jeff Carter.
As the John Labatt Centre begins the 2009-2010 season, the management and staff of Global Spectrum
Facility Management are delighted to open the doors and welcome the residents of London and
Southwestern Ontario to another great season at the John Labatt Centre.

The John Labatt Centre is the premiere entertainment and sports facility for London and Southwestern
Ontario. The facility, considered one of the key catalysts in the redevelopment of London's downtown
core, hosts numerous shows each year spanning all genres from rock to country, hockey to family shows.
The facility seats 9,090 for hockey and ice events and up to 10,500 for concerts, family shows and other
events. The facility has 1,100 premium club seats, 38 private luxury suites and five Group Sales Suites.
The John Labatt Centre incorporates modern and traditional architecture, combining a replica of the
facade of the old Talbot Inn, a 19th century inn which stood on the spot of the current facility, along with
state-of-the-artarchitecture for the best of both worlds.

In addition to having the ability to accommodate both End and Centre-Stage concerts and shows, the
facility was also designed with the arts patron in mind, thanks to the 3,199-guest RBC Theatre, which
was designed to accommodate touring Broadway shows and smaller concerts. The RBC Theatre is also
complete with a 30-line fly grid which allows for ease in movement for stage productions, setting the
theatre apart from other venues.

The John Labatt Centre is also the home to the Ontario Hockey League's London Knights, the 2005
Memorial Cup National Hockey Champions and primary tenant in the facility.

Our people are what make us great. This is certainly true of the staff of Global Spectrum Facility
Management at the John Labatt Centre. Global Spectrum Facility Management has continued to exceed
expectationsand our people are the reason why.
Whether it was cleaning up the block with our colleagues, participating in our annual Christmas toy
drive, or simply smiling with a "How you Doin'?" to our loyal customers, our management and staff are
proud to give back to the community and know what the facility means to the people of London and
Southwestern Ontario.
The Global Spectrum Facility Management staff has also contributed to the community of London
through various charity and environmental initiatives, becoming valuable members of the community
and not just the staff of an entertainment and sports facility. These efforts by our dedicated staff only
underline the success that we are proud to enjoy.

plan which provides a full-time operator to the John Labatt Centre.

functions associated with the arrival, performance and departure of

Such skilled labour includes the movement and set up of lighting and sound equipment, set up of props,
sets, wardrobe, and rigging of all show-related rnateriaVequipment. Labour force requirements are
governed by the size and/or specifications associated with the event.

The cost of this service is dependent on the staffing requirements for each event and the number of
hours employed. Global Spectrum Facility Management is extremely pleased with the relationship, effort

BUILDING MAINTENANCE
JanitorialServices throughout the John Labatt Centre are provided by Bee Clean Janitorial Services.
Bee Clean provides four major components which comprise the cleaning requirements for the facility.
Non-Event Cleaning is comprised of two full-time weekday cleaners who address the day-to-day and
preparatory cleaning requirements of the venue.
Event Cleaning involves an event cleaning crew which, number dependent on the size, type and
demographic of the event, addresses all ongoing cleaning requirements during an event to ensure a clean
and safe event environment.
Post-Event Cleaning involves a crew which, number dependent on the size, type and demographic of the
event, cleans the venue in its entirety upon the completion of an event.
The final component is Periodic Cleaning which, number dependent on tasks at hand, will clean specific
item(s) in need of attention due to ongoing use and/or as a result of an event (i.e. cup holders in
premium seating; bowl seats after a dirt event).
SECURITY
Innovative Security Management (1 998) Inc. provides licensed uniformed
contracted security for the venue and its events. Security needs will vary
depending on the nature of the event and may include a presence in the
following positions; barricade, wings, dressing roomsback of house, parking
lot, moat, mix, roamer, gates for pat down, smoking areas, and/or other static
positions in the venue.

The John Labatt Centre hosted a total of 129 events in the past year.
The London Knights appeared in 44 event dates accounting for 34.1 % of the results.
Concerts were second with 28 dates or 22%
Family shows held 21 dates during the fiscal year or 16.3% Family shows typically occupy the facility for
multiple days with anywhere from one to eight shows during that time. If there were three performances
of the same show in one day, then this figure is counted as three events.
Broadway shows also comprised 9 % with 12 performances in the past fiscal year.
Other events accounting for 16.3% of the total events at the John h b a t t Centre included Guts on Ice,
Pasta Fest, French Stock and the Thames Valley District School Board “Variety Is” Concert and Wrapped
Around the Clock.
Miscellaneous Sporting Events accounted for 2.3% of total events reported in the last fiscal year including
the NHL Preseason Game, The U.W.0 Jack frost Cup and the NHL Old timers Hockey Game.
Events not included in the total number of events included over 120 ice rentals. Also not included in this
figure are a number of charitable, community and press events.

Global Spectrum Brought the World‘s Best to the John Labatt Centre in 2008-09
Global Spectrum Facility Management brought a spectacular line up of entertainment in
2008-09. Artists such as Oasis, Lenny Kravitz. No Doubt and New Kids on the Block graced
our stage. We also were able to feature many Canadian musical icons with Neil Young,
Leonard Cohen, Diana Krall and Bryan Adams to name a few.

Industry leader Pollstar Magazine once again rated the John Labatt Centre among
the top-100 arenas for worldwide ticket sales, placing the facility a t number 58
in the world. This ranking saw the John Labatt Centre finish ahead of such major
facilities as the Van Andel Arena in Grand Rapids, Michigan and the Pepsi Center
in Denver.

published in the fall of 2008 during this past fiscal year.
The John Labatt Centre was ranked as 5th for Cirque du Soliel's Saltimbanco
This spring Cirque returned to the John Labatt Centre, selecting the venue

In April 2009 John Labatt Centre received the Don Harrison Energy Champion Award for its diligence and
attention to reducing the energy consumption in the building by reducing the number of hours that our
refrigeration plant runs
The John Labatt Centre started these conserving measures in September 2007 and realized a 26% reduction
in the first month alone. Moving forward the John Labatt Centre was sure they would be able to accomplish
more and in the 2nd month realized a 40% reduction, Inspired by the results they strive to continually meet
or exceed the reduction percentages in the run hours.

Premium Seating continues to be in high demand at the John Labatt Centre. The renewal rate in the last fiscal
year was 95%. The remaining seats were sold very fast to a waiting list that is over 930 people long.

There were also 13 Luxury Suites up for renewal this year with all but one renewing for a seven year term.
The open suite sold quickly to Rogers Cable from a waiting list of over 118.

The Staff of Global Spectrum Facility Management Supports the Community
Global Spectrum Facility Management and the John Labatt Centre donated over $100,000 worth of
donations, goods and services to a large number or local charities and community campaigns. This amount
had a tremendous impact in the London community as in many cases premium tickets to events including
luxury suite donations were able to generate significantly more dollars in donations than the actual value.

Our charitable focus and community involvement in 2008-09 included thousands of ticket donations,
over $30,000 paid out by Ovations to local not-for-profit orqanizations
who worked concession stands,
and gift certificates.

We were also proud to continue our tradition of fundraising at our NHL
preseason game in the fall of 2008 raising a significant amount of money
for Ronald McDonald House.
Many charitable events returned to the John Labatt Centre including
"Wrapped Around the Clock", which raises money for needy families in the
London area, "Pasta Fest", which raises money for the Kidney Association of
Canada and our annual toy drive for the Salvation Army.

John Labatt Centre and Scotiabank donate over $17,000 to local Ronald McDonald House
Global Spectrum Facility Management, operators of the John Labatt Centre, and Scotiabank proudly presented
a cheque for $1 7,848 to the London, Ontario Ronald McDonald House on October 31 st, 2008. This money was
raised during the annual NHL preseason game featuring the Philadelphia Flyers a t the John Labatt Centre on
September 25th. 2008, marking Scotiabank's 6th year of sponsorship for the event. Ronald McDonald House

the 50/50 draw, Battle of the Sections and the Scotiabank

John Labatt Centre "Fill the Zamboni" campaign which collects toys,
clothes and other gifts to help out needy childern during the holidays
was the most successful to date. It included a Raffle for a Suite for a
London Knights Hockey game. An "open house" skate that brought in
over 200 London residents to the building. Donations from those two
events as well as our Premium Skate party raised over $ 1 5,000 worth of
toys for the Salvation Army.

The John Labatt Centre Group Sales Department worked closely with non profit, charitable and youth
groups to help raise much needed funds for their organizations. Fundraising tickets were offered for a
variety of family shows including Disney on Ice and Harlem Globetrotters, these programs raised over
$7000 for local groups. The Group Sales Department also worked with local children's groups and donated
over $1000 worth of tickets.

The John Labatt Centre starts t h e next fiscal year off BIG!
A f t e r 65 million years they’re back...
Dinosaurs return to the earth in a live theatrical arena show, WALKING WITH DINOSAURS -The Arena
Spectacular, based on the award-winning BBC Television Series. In WALKING WITH DINOSAURS, fifteen
roaring, snarling “live” dinosaurs mesmerize the audience -and are as awe-inspiring as when they first
walked on earth.
The show is now on an ongoing North American arena tour and will perform 8 performances a t the
John Labatt Centre in London, Ontario -AUGUST 12th to 16th. 2009. This show will be a huge success
a t the John Labatt Centre and we are very excited to bring a show of this magnitude to London

Club Cambria a t the John Labatt Centre
Cambria, the only producer of natural quartz surfaces in the United States, first contacted was the
Corporate Sales Team at the John Labatt Centre in April 2008. Over the course of one calendar
year, representatives from Cambria Canada were educated on the building, the city and of course
the sponsorship/partnership opportunities a t the John Labatt Centre.

A strong relationship was formed and soon afterwards a verbal commitment to proceed with a
renovation project of the Sports Bar was made. When completed in August 2009 this former Sports
Bar area will be the first Club Cambria in Canada. The John Labatt Centre, The London Knights
and Ovations Food Services are excited to showcase this renovation on August 24th. 2009 at
the grand opening

More qreat events on the way
Some of the tremendous acts coming to London this fall include the legendary KISS, up and coming
bands like KINGS OF LEON, rap sensation JAY Z among other great acts. We also anticipate a sold
out crowd as our home town Philadelphia Flyers face off against the Toronto Maple Leafs and the
NBA returns to London for the second time since 2004 as the 76ers face the Toronto Raptors.
As we move into a new fiscal year, Global Spectrum Facility Management anticipates that it will
fill even more seats, produce more revenue and continue to be an important force driving tourism
to London, Ontario. We also look forward to working with many more charitable and community
organizations and sustaining our important place in London's community.
