Elizabeth A. Smith
Elizabeth A Smith is the Manager of Long Range Planning at the
Southeastern Pennsylvania Transportation Authority (SEPTA). In that
role she is responsible for oversight of the long range planning activities
that SEPTA is involved in, including expansion project planning,
SEPTA input into the region's Connections 2040 long range plan, as
well as several station area and trail planning activities
Ms. Smith holds a B.S. in Civil Engineering from The Pennsylvania
State University, and a M.S. in Civil Engineering from Villanova University. She is a registered
Professional Engineer as well as a Certified Project Management Professional. She began her
career working as a traffic Engineer at McMahon Associates, a Philadelphia area transportation
consulting firm. In that role, she found her passion for working on public sector projects, and
decided to commit fully to government focused work by joining the Delaware Valley Regional
Planning Commission in 2006 as a project manager. There she managed federally funded trail,
bike lane, streetscape and other multimodal projects through the design review and approvals
process. In 2013, she shifted her focus again, this time to transit when she accepted her current
role with SEPTA.
While working at both DVRPC as well as SEPTA, Ms. Smith has proven that one of her most
valuable skill sets is Project Management. While the scale of the projects that she managed at
DVRPC were on the smaller side, their completion greatly impacted the surrounding community.
She successfully managed the $3.8 million El Centro de Oro project, which transformed 3 blocks
and created a strong sense of community in a North Philadelphia neighborhood. She was an
integral part of the $3.7 million Manayunk Bridge Trail Project, a complex and multijurisdictional trail connection over the Schuylkill River which will provide one of only a few
trail connections between the City of Philadelphia and Montgomery County.
One of the key activities in her current role at SEPTA is oversight of the King of Prussia Rail
Project. This project is currently SEPTA's primary focus in terms of rail expansion for the
region, and will be a significant investment at a total capital cost of over $1 billion. Over the
past 2 years, she has stepped into the role of Project Manager for the Planning Phase of the
project-, comprised of a complex set of $5 million in consultant contracts. She serves as the day
to day manager for the project, responsible for all oversight of technical activities and public
outreach. Her efforts on this project were recently recognized as she was named ·one of the
Greater Valley Forge Transportation Management Association's Top Travel Demand
Management Professionals under 40 in 2015.

chapter of the Women's Transportation Seminar. She was elected in 2015 as the Chapter's
Recoraing Secretary, after previously serving as the Chapter's Transportation YOU Committee

ever Transportation YOU Circle of Excellence award due to the high caliber of their program.

military apparel on fixed price contracts, with a $37 Million annual operating budget and a workforce in excess of 1,200
employees. Resolved design issues, materials availability, work methods quality control, pricing and delivery for an
operation with 9 production lines.
Major Achievement
• Reduced office manpower by 80% after analyzing and implementing a real-time show floor control and payroll
system. The system provided minute-by-minute production data that improved efficiencies.
• Achieved production rates of 1000 uniforms/day after 15 work days after ramping up production with the start
of the Gulf War. This result occurred 60 days before nearest competitor and we doubled production 90 days later.
• Reduced unit overhead by 30% after implementing a self-directed work group that managed product work
flow, work assignments, quality control and shipping. Implemented the first quick response apparel
manufacturing relationship in DoD.
• Saved over $500K by matching an inventory of specialized m.aterials at a closed manufacturing facility
with current contracts and offered this material to contractors at cost.
• Oversaw the sound fiscal management of the enterprise. This included approval of pay standards, productivity
improvements, and inventory management.

improved physical plant for a growing student body. I led the board in entering the public bond market and secured a

Financing & Restructuring
I.
Represent a hard money lender located in the Philadelphia area in the negotiation, documentation, and closing of over 35 loans in
Philadelphia and Wilmington, DE totaling over $25,000,000 in the last twenty-four months .
2.
Directed the restructuring of a $9,800,000 loan for a Philadelphia-area national lender to a borrower from Milwaukee, Wisconsin,
for which the collateral was a 400 unit apartment complex in Raleigh, North Carolina. Duties included taking the matter from
commitment letter through closing. Drafted the restructuring agreement and modified all related loan documentation, addressed
title policy and lien issues, and coordinated the loan closing.

Represented a regional bank on its $16,500,000 loan to a national auto retailer. Following retailer's default and while property
was held by court-appointed receiver, negotiated a short-term lease for real property on behalf of receiver and a purchase and sale
agreement with a succeeding auto retailer for all personal and real property, to be effective upon the completion of the foreclosure
proceedings.

Represented a Cleveland-based national bank in its role as agent in a $93 ,200,000.00 construction loan for the development of a
residential tower in the South Loop area of Chicago. Duties included the drafting of various loan documents, title and survey
review, the coordination of all closing activities for the four co-lenders, and certification of all construction draws for all parties
involved in the loan.

Represented a New York-based global investment bank's private wealth management group in real estate and asset-based loan

1.
Represented a national real estate development company on a 12,500 square foot ground floor lease to a medical specialty
practice in a landmark Center City, Philadelphia building.
2.
Represented a socially conscious, local, non-profit food-distribution business that had recently been awarded a $1 ,100,000 grant
to lease and build out a new distribution warehouse facility in Philadelphia.
3.
Represented a Boston-based, publicly traded REIT containing a national portfolio of over 100 shopping centers in its capacity as
owner and manager of properties throughout the Midwest. Services included the negotiation ofretail leases, amendments,
extensions and terminations.
4.
Represented a Chicago-based, national jewelry chain with over 300 stores during a review of its active store leases. Services
included the restructuring, amendment and termination of dozens of leases for the client's retail stores.
Acquisitions and Dispositions
1.
Represented a group of nine local business owners who had formed a limited liability company to purchase and manage a hotel
and conference center property and an adjacent parcel in suburban New Jersey. This short-sale was created as part of a loan
workout on a $6,500,000 loan with a national lender. Duties included the drafting of two purchase and sale agreements,
negotiating a payoff release with the lender, coordinating the payoff and release of tax liens and judgments against the borrowers,
and guiding the transaction through closing.

Represented a privately-owned Philadelphia area auto repair chain in the sale of its corporate as ~ ets to a leading national auto
repair companY:-Transaction included the review and termination of numerous leases and the negotiation and drafting of thirteen
leases with the purchaser for certain properties which seller chose to retain.

Assisted a team of corporate attorneys in the representation of a national transportation and heavy equipment industrial
manufacturer in the sale of its manufacturing business to an industry competitor. Was solely responsible for the coordination and
closing of the sale of the Chicago Heights, Illinois manufacturing facility as part of the overall business transfer.

4. Represented an individual developer/investor in the review and management of several city blocks of property located just off of
__ the Las Vegas~strip . The property was previously owned by Nevada Power and was purchased by the developer/investor at
absolute auction in Las Vegas, Nevada. Services included the extensive audit of tax, easement agreement, and common area
maintenance matters associated with numerous ground and retail leases.
Corporate Transactions
1.
Represented a privately held Philadelphia-area company as general counsel in the development of a $1,200,000,000 data center
and natural gas "co-generation" power plant in Newark, Delaware. Management and development of the project included
negotiation of dozens of varied corporate and real estate documents, including intellectual property, finance, engineering and
employment agreements. Duties also included the negotiation and drafting of a seventy-five year ground lease.
2.
Represent a Canadian company in its $35,000,000 investment in the drilling of twelve oil wells in Uinta Basin in northeastern
Utah. Duties include the negotiation of a project development agreement, twelve joint operating agreements, and the due
diligence and title review of each drilling location.
3.
Represent a Pennsylvania-based manufacturer of hydraulic drilling rigs used in the mining, energy, geothermal and water sectors
worldwide. Specific tasks have included the drafting and negotiation of marketing and distributor agreements in South America,
the negotiation and sale of drilling rigs totaling $30,000,000 to a company in Uzbekistan, and the negotiation and drafting of a
master service agreement with an international parts supplier to handle all aftermarket service and parts distribution for client's
customers.

A little more about me I have been a resident of Abington Township since 1987, raised 3 children here, and recently retired
from the EPA at the end of December 2015. I thoroughly enjoyed a career in public service and one
of my retirement goals is to become more active in the Township.

Courtesy of Township Manager Michael LeFevre, here are descriptions of the volunteer boards/ commissions that currently
have openings for Township residents who want to get involved in the very interesting (at least to me!) workings of our community:
•Vacant Property Review Board (a brand-new committee!): This is a newly created committee that shall establish rules and
regulations consistent with the Urban Redevelopment ACT for certification of blighted properties within the Township. The
Vacant Property Review Board will advise the Township in matters relating to the requisition, disposition, and
redevelopment of properties acquired through the certification process. The board meeting schedule/location has yet to be
determined.
• Economic Development Committee: The overall mission of the EDC is to work to facilitate economic development by
promoting idea sharing and collaboration between Abington Township and existing and future businesses with the
Township. The EDC meets the first Tuesday of each month at 7:30AM in the second-floor boardroom of the Township
Building .
• Planning Commission: The Planning Commission acts in an advisory capacity to the Board of Commissioners on all
subdivision and land development applications, as well as any proposed changes to the Township zoning or subdivision
codes. The Planning Commission meets on the fourth Tuesday of every month at 7:30PMin the second-floor boardroom of
the Township Building.
• Industrial Development Authority: The Industrial Development Authority serves as a conduit of low-interest loans from
the Pennsylvania Industrial Development Authority (PIDA) for eligible businesses for land and building acquisition,
construction, and/or maintenance resulting in the creation and retention of jobs. The Industrial Development Authority
schedules meetings on an as-needed basis.

I am interested in serving on the Planning Commission. I am excited by the growth, progress and development of
Abington and believe that by being part of the Planning Commission I will have the opportunity to work hard and give
back to a community that is rich with potential and forward-thinking leadership.
I am the principal of Phase 2 Architecture and Interiors located at 748 Rodman Ave, a property that I purchased and
moved my practice into in 2000. Phase 2 was begun 28 years ago.
I received my degree in architecture in the 5 year Baccalaureate program at Syracuse University School of Architecture. I
am registered in Pennsylvania, New Jersey, New York and Florida and NCARB certified. My staff of 5 people includes
architects as well as interior designers.
We recently designed DJS Associates' office building on Old York Rd. We were responsible for the architectural design,
interior design and site plan . We determined a way to position the new building so that the business could move into
the new facility prior to tearing down the old to create new parking area and landscaping. Business was uninterrupted. I
am currently involved in the design and 'vision' for the corner of Susquehanna and Old York Road and am working with
Michael Narcowich from the Montgomery County Planning Commission on this project.
Larry Matteo, Ron Rosen and Jim Marshall are all leaders in the township who know me and have worked with me and
are supportive of my request for this position.
