Get to know the Board of Directors

The Pelican Bay Foundation
is governed by seven Directors, elected at-large, by all
property owners within Pelican Bay. Each Director serves
three years, and the Director
terms are staggered in a 2-3-2
pattern resulting in elections
every year. For the 2009 year,
two positions were open,
however, elections were not
held as there were only two
candidates to fill them.
Rejoining the Board for
another three-year term is
Robert O. Naegele, Jr., and
embarking on her first Foundation Board experience is
Ronnie Bellone. The Board
of Directors for 2009-2010
(with term expirations in
parentheses) are shown to
the right and below.
Ronnie Bellone
As a Pelican Bay resident
since 2001, Ronnie has been
President and past 2nd VP
of the Pelican Bay Women’s
League, as well as chair and
co-chair of various committees. Ronnie has also served
on the Foundation’s Strategic Planning Committee
and Information Technology
Task Force.
Graduating from Hunter
College in NY with a degree in Mathematics, Ronnie
worked for IBM in technical positions, management and ultimately retired
after helping start IBM’s
Management Consultant
Practice (MCP). Ronnie also
worked for Computer Sciences Corporation and Perot
Systems, helping start an
MCP for both firms.
Robert O. Naegele, Jr.
Bob and his wife, Ellis, have
been Pelican Bay residents
since 1994. Bob was first
elected to The Pelican Bay
Foundation Board of Directors in 2006, serving as
Chairman the past two years.
Bob has served as a member
and chairman of the Vizcaya
Neighborhood Committee, was a member of the
Bay Colony Community
Association (BCCA) Board
of Governors from 1997-2000
and a member of the Bay
Colony Transition Committee, 2000-2002. Bob was
elected the first President of
the BCCA under homeowner
control, a position he held

elected President Emeritus
in 2005 by the Bay Colony
Board of Governors.
Bob co-founded the “Battle
of the Bays” tennis competition and is honorary
captain of the Bay Colony
Team. After graduating from
Dartmouth College, Bob’s
professional background
included advertising, real
estate development and
consumer products, with a
special interest in small developing companies. He was
a planning commissioner for
three years and a councilman
for seven years in the Minneapolis suburb of Shorewood.
In 1997, Bob led a group of
investors who successfully
applied for an NHL Expansion Franchise, and in 2000
the Minnesota Wild began
play in St. Paul, Minnesota.
Bob has served on the NHL’s
Board of Governors and was
recently awarded the Lester
Patrick Trophy for outstanding service to hockey in the
United States.
William R. Carpenter
Bill and his wife, Dr. Joan
Sehdev, have lived in Pelican
Bay since 1998. A graduate of
Yale University and Harvard
Law School, Bill served 30
years as a Judge of a Kansas
District Court, 12 years as its
Chief Judge. Bill has served
as President of the Kansas
District Judges Association,
Executive Committee member of the National Conference of State Trial Judges,
and President of the Alternative Dispute Resolution
Section of the Kansas Bar
Association. Locally, Bill has
served on the Foundation’s
Legal Committee, and was
instrumental in revising the
Foundation’s Bylaws, as well
as attempting to amend the
Foundation’s Declaration.
Bill is also a Trustee of the
local Yale Club.
Robert W. Uek
Bob and his wife, Mary, have
been in Pelican Bay since
2000. Bob earned his undergraduate degree at Boston
College, and his graduate
degree at the University of
Massachusetts. A CPA, Bob
joined Coopers & Lybrand,
specializing in domestic and
international financial services, served as Chairman
of that firm’s Global Investment Company Industry
Practice, and when he retired
from what had then become
PricewaterhouseCoopers,
he was Senior Partner. Bob
is a Trustee/Treasurer of
Anatolia College (Greece),
Board of Overseers of the
New England Aquarium,
Trustee of the Cape Cod
Center for the Arts, Board
of Governors of the Investment Company Institute,
Chairman of the Independent Directors Council, and
Board of Trustees of the MFS
Family of Mutual Funds.
Bob is the Foundation’s
Treasurer, and Chairs the
Foundation’s Audit & Budget and Strategic Planning
Committees.
Mike T. Coyne
Mike and his wife, Rosemary, have been Pelican Bay
residents since 1989. After
service in the United States
Marine Corps and graduation from Georgetown
University Law School, Mike
entered into the practice of
law, becoming Managing
Partner of his firm. Remaining active in the Marine Corps
Reserves, Mike achieved the
rank of Major General, and
returned to active duty in
1994 when he was appointed
the Principal Deputy Assistant Secretary of Defense
for Reserve Affairs, where
he served until he retired
in 1998. Mike has served
as President of the Tierra
Mar Homeowners Association for three years and the
PBPOA Board for six years,
two as president. He also
served on the board of the
Greater Naples Leadership organization and as
a member of the Collier
County Sheriff’s Innovation
Group. He is on the Board
of Regents of Ave Maria
University, is a director of
Ave Maria Law School and
an Advisor to Hodges University’s American Veterans
Fund. From these experiences, and his formative experiences as a Marine Corps
Officer and a lawyer, Mike
believes that he can make
a difference on the Foundation Board.
Doug Esson
Doug Esson has been a yearround Naples resident for
10 years. Two years after
graduating from Princeton
University in with an A.B.
in Economics, he began his
career at Seitz Foods, Inc., a
manufacturer of processed
luncheon meats. He became
its president, and eventually purchased the company.
Doug sold Seitz to the Sara
Lee Corporation, but remained with them and assumed the position of president of Armor Swift Eckrich,
a ConAgra company. Doug
has served on the Board of
Directors of the Windsor,
and as its Treasurer. In 2003,
he was appointed to serve on
the Bay Colony Community
Association Board of Governors. He was a Director of
The Phil from 1999 until 2006
and was the Chairman of the
Finance Committee in 2006.
Robert A. Pendergrass
Robert has lived in Pelican
Bay since 2002. He’s captained seven Pelican Bay
Foundation tennis teams.
In 2007 he married Bea
O’Brien, who he met here in
Pelican Bay. Robert grew up
in Cincinnati and attended
Cornell University, obtaining
a Chemical Engineering degree. Robert spent two years
in Vietnam as a U.S. Navy
Destroyer Officer. After several years of private sector experience, he returned
to Cornell to earn both a
Masters in Engineering and
an MBA. Robert moved to
Belgium to attend Louvain
University, and subsequently worked in marketing and
general management positions throughout Europe. His
last position was as Group
Sales and Marketing Director
for a British firm.

The Foundation wishes
to extend its heartfelt gratitude and appreciation for
the contributions, leadership and commitment Henry
Price has made to the community of Pelican Bay during his tenure on the Board.
Henry has served on the
Foundation’s Board of Directors since 2004 and has
chaired the Legal Committee, Member Policies and
Relations Committee and the
Communications Committee. Henry has also served as
Board liaison for the Tennis
Advisory Committee.
In addition to running his
Indianapolis legal practice
full time, Henry has devoted
countless, invaluable hours to
critical issues that confronted
the Pelican Bay community, including beach access,
Cap d’Antibes, annexation,
incorporation, professional
consultant’s shortcoming on
the Community Center project, revision of the Bylaws,
restructuring the capture
mechanism for resale capital fees, and several other
matters. Henry’s work on
the Cap d’Antibes issue was
particularly powerful, as not
only was he instrumental in
crafting the community’s
successful legal strategy,
he also helped architect the
mutually beneficial settlement agreement.

University, University of
Michigan Law School, and
Georgetown University Law
School, Henry has been a trial
attorney for over 40 years. He
has been involved in numerous high-profile cases, and
has taken leadership roles
with many professional and

more flexible assessment
payment schedule. Responding to those requests at their
regularly scheduled February 27, 2009 meeting, the
Foundation Board of Directors unanimously voted to
approve a new additional
assessment payment option
arrangement, effective for
fiscal years beginning with
2010 — i.e., commencing
October 1, 2009.
The new assessment payment option will allow those
individual homeowners,
commercial interests and
Associations, who so choose,
to elect a schedule whereby
four approximately-even
assessment payments can be
made — on October 1, January 1; April 1; and July 1.

Clam Bay Estuary facts
It is important to stay engaged in this crucial area’s future
beach renourishment; the
Conservancy of Southwest
Florida, for obvious reasons;
FL Dept. of Environmental
Protection and the Army
Corps of Engineers, which
are the permitting agencies
for the last 10 years of the
Clam Bay Restoration and
Management Plan; Turrell,
Hall & Associates and Humiston & Moore, the environmental and engineering
firms who have dedicated
countless hours to the health
and well-being of the area;
beach-goers, paddlers, fishermen/women, etc., — and
the list could go on.
The point is, various stakeholders have different perspectives, viewpoints, passions and priorities when it
comes to the Clam Bay estuary, Add the fact that these
perspectives, viewpoints,
passions and priorities are
on topics like beach access,
mangrove or seagrass health,
channel marking, dredging, power-boating, water
quality, tidal flushing and
new assessment option approved...continued from page 4
once a year — on January 1
— as they have been doing
in the past, will be able to
continue to do so. And those
individual homeowners who
would like to spread their
assessment payments over
four dates — Oct. 1, Jan. 1,
April 1, and July 1 — may
also do so.
To implement this policy,
the Foundation will send to
each individual homeowner,
commercial interest and Association President, a letter
asking each of those parties
to choose, in writing, and
return to the Foundation, a
form setting forth which payment option they want for
fiscal 2010. (Note: Resident
members who reside in Associations will not have the
ability to choose which option they wish individually.
Rather, each Association will
select the option which will
be binding on all members of
that Association).

Once a choice is made for
fiscal 2010, those responding
will not be able to reverse
their choice for that yearly
assessment cycle. Individual
homeowners, Associations
and commercial interests
who do not return the request form by the required
receipt date, will continue
to be assessed under the
historical once-a-year, due
October 1/payable January
1, payment option.
Given the difficult economic environment in the
country at present, the Foundation Board believes the
community may welcome
this new option.
The Foundation Board
requests all who receive a
“choose an option” form
to please respond by filling
in your option choice and
returning the completed
form to the Foundation by
the requested due date.
Natural Resource Protection Area (NRPA), and it’s
no surprise that debate, discourse and outright hostility
have surfaced.
The purpose of this article
is to try and put aside the
rhetoric and discussion and
focus on some of the chronological facts.
In 1977, the Planned Unit
Development (PUD), and
in Section II — Project Development, item 2.03, recognized “the importance
of Gulf-front land for the
use of those persons residing within the Pelican Bay
development and for use by
the general population of
Collier County.” To that end,
the PUD specifies, “land use
for the residents of Pelican
Bay and the general Collier
County population in the
following ways:
a. The residents of Pelican
Bay: …approximately 530
acres of uplands, wetlands,
and open water areas, which
are environmentally sensitive…will be restricted by

conservation and limited
recreational use and this area
is identified on the project
development map as the area
labeled “Conservation”.
b. General Collier County
population: …approximately
36 acres …will contain a covenant restricting its use for
a public beach with related

There are many stakeholders in the Clam Bay estuary:
Collier County owns the
land; the residents of Pelican
Bay, Seagate, and Naples
Cay own land that abuts the
system, and all derive property value from it; likewise,
the City of Naples, Naples
Grande and the Ritz-Carlton; the Pelican Bay Services
Division, which has been
integrally involved with the
management, maintenance,
and restoration of the area for
the last 10 years; the Pelican
Bay Foundation, which has
been assigned certain stewardship rights and obligations; the Mangrove Action
Group, a grass-roots group of
concerned citizens focused
on the health and well-being
of the mangrove forest; the
Clam Bay Advisory Group,
formed by the County primarily because the interests of some of the various
stakeholders have clashed;
the Coastal Advisory Committee, which is concerned
with inlet management and

clam bay estuary facts...continued from page 5
the Park Site, and the Conservation Area to Collier
County (as described in the
PUD) did in fact stipulate
the “Park Site may be used
for the operation of a public
beach with related passive
recreational activities” and
the “Conservation Area may
only be used for conservation purposes, to include
but not limited to such purposes as conservation and
protection of the natural
resources, wildlife diversity,
scenic beauty, and aesthetic
value of the area.”
Geographically, the Park
Site is defined as the south
side of Clam Pass inlet, moving east and south along the
western edge of Outer Clam
Bay, to such point that it hits
the City of Naples, at which
point it turns west toward
the Gulf of Mexico, and from
there, turning north along
the mean high tide level,
until it intersects with the
starting point. The Conservation Area is the area north
of Clam Pass inlet to Bay
Colony, and east, to the berm
and County parking lot,
generally regarded as the
mangrove forest. The entire
combined area constitutes
Collier County’s first designated NRPA.
Within this area, the Deed
Restrictions also require
“Owner (Collier County)
shall, prior to the commencement of any construction in
Park Site and Conservation
Area, submit in sequence to
Declarant (duties assigned to
the Pelican Bay Foundation)
the following materials: (i) a
“preliminary concept” plan
which shall include schematic site plans, floor plans,
and exterior elevations; (ii)
“design proposals” which
shall included more detailed
building and site design
documents sufficient and
definitive in detail so that
there can be determined the
character, exterior appearance, exterior materials and
colors, and the quality and
kind of building and landscape material proposed;
and (iii) “construction plans
and specifications” which
shall be a true extension

of the preliminary concept and plan proposals.
Declarant shall, in writing,
after receipt of each required
submittal, approve, approve
subject to required changes,
or reject such plans, proposals, and specifications as are
submitted to it as required
above.” And,
“Owner (Collier County)
shall not apply for dredge
or fill permits in Park Site or
Conservation Area from any
governmental bodies, regardless of any future amendments
to the statutes or regulations
of the United States or the
State of Florida or as a result
of decisions of the courts of
the United States or the State
of Florida, without the prior
written consent of the Declarant (duties assigned to the
Foundation), which consent may be withheld in the
sole and absolute discretion
of Declarant.”
To date, the County has
complied with the requirements of the Declaration of
Protective Covenants and
Restrictions attached to the
Deed for its plans for Clam
Pass Park, where the plans
are at the “preliminary concept” stage.
A n y a n d a l l p re v i o u s
dredging within the Park
Site or Conservation area
has all been done in compliance with the 1998 Clam Bay
Restoration and Management Plan (Plan) (available
on www.pelicanbay.org).
The Plan speaks specifically
about “conditions required
to foster mangrove growth
in addition to improving
and maintaining water
quality within Clam Bay.”
This requires dredging “to
improve the total tidal flushing capacity of the system”,
and the need “that the in
terior tidal creeks be selectively reopened and in some
cases enlarged”.
The Plan also states “the
use of motorized watercraft
is not prohibited, and evidence of periodic use of such
is evident from observation”,
“the contemplated widening
and deepening of Clam Pass

At the February meeting,
the Tennis Advisory Group
devoted most of the agenda
to deal with the surge in court
requests this season, which
included a conference call
with Chelsea. Management
presented data that offered
insight into the unexpected
rise in tennis play. Analysis
of court usage in January
was revealing: The waitlist
had almost doubled from
the same month the year before. Of the waitlisted courts,
50% would not play at 11am
and 25% would not play at
8am. Overall use was actually 4% lower, which was
attributed to cold weather,
yet total court requests satisfied was 94%. Court use
is up throughout the many
Chelsea accounts and golf is
down, which links directly
with the economy. In addition, Chelsea actually has
clubs that have greater demand for courts than Pelican
Bay. One important comment from Les Margolin of
Chelsea is that if a club were
to tweak the court placement
methodology it may result in
a redistribution of courts but
will not reduce the waitlist.
TAG is reviewing a number
of areas that affect morning
court availability, including
use of guest in a request, multiple substitutes at check-in,
leagues, and social events
on peak days — Monday,
Wednesday and Friday. A
result from a review of statistics and comments from
TAG members at the meeting concluded that the most
effective and immediate way
to improve court acquisition
is to broaden the time parameter in a request.

The weather has been beyond glorious! We hope that
you have taken the opportunity to go down to the beach
for a wonderful beachside
sunset dinner. My guests
have been amazed at the
sunsets lately, and one night
we even saw the legendary
“green flash!” The food was
wonderful, the wine chilled,
the service well paced, the
sunset just incredible — my
guests were quite wowed by
the whole scene!
Sandpiper
Breakfast Buffet is being
s e r v e d M o n . - F r i . , f ro m
8-10:30am, for $9.95; and
Sat. and Sun., 8-11am, for
$13.95, with coffee included
for both. Guests seem to especially enjoy the Grand Buffet on weekends, particularly
the Champagne or Mimosas
at $3 each. The weekday
breakfast buffet will end
after Easter. Breakfast will
then be available from the a
la carte menu. The weekend
Grand Buffet will remain
until the end of April. It’s a
great deal and the comments
are very favorable. If you
haven’t gone down, why not
try it out this weekend?
Members Lunch BBQ
— April 7, available from
11:30am-4pm. We will serve
BBQ-meats; mac and cheese;
salads, and apple pie for
dessert; $12.95 for adults
and $6.95 for children, not
including beverages. An
18% gratuity will be added
to the bill.
Easter — April 12, serving
the Grand Buffet from 8:3011am. Then, from 11:30am
to 8:30pm, we will serve a
special Table d’Hote menu
of traditional Easter foods.
This will be all inclusive, except for beverages. Cost will
be $29 for adults and $12.95
for children under 12. There
will also be a limited lunch
and dinner menu available
of simple, light fare: sandwiches, burgers, fish sandwich, etc. Reservations are
strongly encouraged.
Desserts
Back by popular demand
is the one pound chocolate
cake for two at $12, and the
key lime pie at $6. Members
seem very happy to see the
return of these favorites.
Both restaurants also have
new dessert menus. (As you
can imagine, your Beach
Gourmet is over the moon
about this!) Presenting my
favorite hot, new item: Pattisserie Tasting Trio: a wonderful trio of mini desserts
for $8. It is all so exciting! I
can have three desserts at one
time! Selection changes, so
ask your server for the latest
and greatest. But it is always
so very good.
Desserts are no longer
printed on the main menus,
but on their own menus for
your convenience. Also now
available will be specialty
coffees and cordials for dessert, as well as ice cream
sundaes and an assortment

a dessert, for an all inclusive, reduced price. Watch
for these menus soon. They
are incredibly popular with
our members!
Beach Café (bar) at Sandpiper is still offering great
drink specials each day:
Coconut Kiss Martini at $6;
Tequila Sunrise at $6; and

The new menus are being
quite well received. The
grilled cheese, now offered
on toasted 7-grain bread,
seems to be extremely popular, as is the new grilled turkey, ham and Swiss on white
bread, or 7-grain, at $10.

Sandbar
Caribbean Buffet Night —
April 2, 5-8:30pm. This will
be an all-inclusive buffet
featuring: conch chowder;
red beans and rice; fried
plantains; curried chicken;
Jamaican jerk roasted pig,
and Port Royal seafood paella. Dessert will be vanillascented coconut cake. Cost
will be $25 for adults and will
be all-inclusive, except for
beverages. An 18% gratuity
will be added to the bill.
Easter Dinner — April 12.
Lunch will be served from
11:30am to 4pm, with some
traditional favorites. Dinner
will be a regular menu, plus
specials: Rosemary roasted Colorado leg of lamb at
$25; honey glazed Berkshire
glazed ham at $25; and citrus
seared triple tail with lobster
risotto at $28. Reservations
are strongly encouraged.
Kyle’s food is being very
well received, as he continues to focus on using fresh
local ingredients and local
seafood. Daily drink specials with Ryan are also very
popular. He is making wonderful “Island Drinks” with
fruit juices and vodka at
$5. The wines of the month
and the specials seem to
be going strong. And there
is music there every Thursday night.
Pajama Party — April
25, 5-8:30pm. This will be a
very special night of good
food and drink, live entertainment, and fun, fun, fun,
held right before we close the
Sandbar for the season! This
is a huge Member favorite.
Beef carpaccio at $14; Prince
Edward Island steamed
mussels at $14; slow-roasted
sirloin at $25; pan-seared red
snapper with lobster risotto
at $27. And to top it all off —
red velvet cake with white
chocolate blanket for dessert
at $5. Yummy! There will be
dancing and prizes — and
lots of fun! So put those p.j’s
on, and come on down!
April 26th is our last fully
operational day at the Sandbar. However, we are offering Members a very special
opportunity. We are not formally closing the restaurant
until Friday, May 1, which is
five days later. If you would
like to book a private party
there during those five days,
we will waive the site fee.
This is a savings of several
thousands dollars. But — it
is only for these five days!
There will be simple Table
d’ Hote menus offered. The
parties will be booked on a
first- come, first- served basis
(with a minimum number
of 50 people for the parties)
— and as we mentioned, for
five days only. So that means
only five lucky people will
get to book a party! There
will be no extensions, no
special menus. We have to
keep it simple, and hope
you understand. So if you
would like to book a party
for your association or build-
ing, or host a private party
there, please call Polly at 5966180 x247 at his office at the
Foundation. Call today. It’s a
great opportunity to have a
wonderful party — at a really
reduced rate — and have the
beach and the restaurant all
to yourselves!
Desserts at the Sandbar
The new dessert menus will
feature a key lime tart at $5;
fresh berries a Sabayon at
$7; Kona chocolate mousse
at $7.50, and chocolate lava
cake at $8.50. There will also
be build-your-own ice cream
sandwiches at $6; a threecookie-sampler, and the
ever popular Royal Scoop
ice cream selection. There
will also be specialty coffees and dessert cordials for
your pleasure.
Beach store and
Ice Cream Parlor
Hours of operation are
11:30am-6pm and this is
going great. We have 12 flavors of homemade ice cream
from the famous Naples ice
cream shop — Royal Scoop.
In the month of February, we
served 1,757 cones. We also
have chips, sodas, cold water, candy bars, etc. We had
revenue of over $6,000! So it
is going great and member
feedback is super!
Sunset Cafe
Sunset Café has a lot going on also. There are drink
specials, and food specials.
On Saturday through Tuesday, we offer great priced
dinner specials at $9-$12.
On Fridays, it’s the Margaritaville specials: All drafts
$3; Margaritas $4; Fajitas $9;
Soft tacos $4; Acapulco Salad
special at $8; House wines
$3 a glass, and a cool and
fun daily drink special at $4.
Plus we offer a lighter fare
menu, featuring healthier
alternatives. Stop on by! The
blenders are going full tilt,
and the beers are chilled
to perfection!

Recycling 101
Recycling has come a long
way. For most of us, it’s second nature to separate our
trash and logistics make it
easy for those of us lucky
enough to have a curbside
recycling program. All you
need is the right bin in the
right place, and anyone can
recycle; just place all paper
products (newspapers, paper bags, office paper, junk
mail, phone books, catalogs, magazines, cereal/food
boxes and cardboard) into
the recycling bin. Also place
plastics labeled #1 through
#7, glass, cans made of steel
or aluminum, plastic grocery
bags, food trays and egg
cartons. Send used print cartridges back in their labeled
recycle envelopes and for all
other materials (like paint,
batteries and electronics) call
252-2380 or drop off at the
County’s recycling center
on Enterprise Avenue. Also
check out www.freecycle.
org, a website that finds
homes for larger, unwanted
but still useful, items like
bikes and TV’s.
Then congratulate yourself
rightly. Not only do you pay
for the service, but you took
the time and effort to use it.
The State of Florida hopes to
achieve a 75% recycling rate
by 2020 and the Department
of Environmental Protection
is working out how to make
that happen; rates for 2006
were 33%. One option is ‘pay

but the concept has not
been popular in Florida
where rates, which we
pay now through our
property taxes, are low.
They say an ounce of
prevention is worth a

recycling is good, zero
waste is better. Our recyclables are taken to
Waste Management’s facility in Naples, trucked
across I-75 to Pembroke
Pines, sorted, baled and
trucked or shipped again.
Market globalization means
materials travel all over the
world to the best price. The
cardboard box your new TV
comes in from China may
well have left your house
in Pelican Bay, in an earlier
incarnation in your recycle
bin. Lifecycle and energy
assessments complicate the
success story that is recycling, although the cost of
raw material extraction still
outweighs reuse. In terms of
greenhouse gas emissions; it
is the upstream, manufacturing related impacts that can
be 10 times greater than the
impacts from landfilling. If
we can’t prevent, we should
still reuse and recycle wherever possible.

selecting reusable containers
like water bottles, urging
restaurants to do the same
to minimize the mountain of
styrofoam and plastic a takeout lunch entails, buying
non-perishables in bulk, just
as much food as you need at
a time, and using cloth shopping bags. It’s easier! Two
large sturdy bags can hold
as many groceries as 10 or 12
flimsy plastic ones.

Florida's 2009 Legislative
Session commenced March
2009. The media has devoted
considerable ink to the budget concerns facing our legislators. However, there are
also a number of community
association bills that will be
debated and voted upon
that have the potential to
drastically alter the way you
operate your communities.
We will be discussing each of
these bills in detail throughout the 60-day Session but
there is one bill, in particular,
that I want to focus on today.
If you live in a condominium,
cooperative, time share, mobile home park or homeowners' association, you need to
know about Senate Bill 2302
sponsored by Senator Rudy
Garcia (R-Hialeah) as that
bill has far-ranging impact
on all types of community associations. The House counterpart of this bill is being
sponsored by Representative
Julio Robaina.
The 175-page bill contains
a plethora of changes but we
will outline the most drastic
in a series of alerts starting
with the following:
1. All employees authorized by the Division of Florida Condominiums, Timshares and Mobile Homes
shall have access to and the
right to examine and inspect
the premises, books and records of any condominium,
cooperative, timeshare, or
mobile home park regulated
by the Division. Such employees shall also have the
right to examine and inspect
the books and records of any
community association manager or management firm;
2. The Division now has
the ability to employ its own
law enforcement force. These
Division law enforcement
officers shall have the same
general authority as other
law enforcement officers
in the State including the
authority to make arrests,
carry firearms, serve court
process and seize contraband
and the proceeds of illegal
activities. In other words, if
your community held an illegal gaming activity in your
clubhouse, the Division's
own police force could stop
the activity, arrest the person
or persons in charge of the
activity and seize the "loot";
3. The primary responsibility of the Division's new police
force is to investigate, enforce
and prosecute, throughout
the State, violations and violators of Chapters 468 (Community Association Management), 718 (Condominium
Act), 719 (Cooperative Act),
721 (Timeshare Act) and
723 (Mobile Home Park Act)
of the Florida Statutes, as
well as all administrative
rules adopted pursuant to
such statutes;
4. The secondary responsibility of this new Division

police force is to enforce all
other state laws provided
that such enforcement is
incidental to exercising the
officer's primary responsibilities set forth above and
after consultation with the
appropriate local sheriff's
office or municipal police
department. The far-ranging
impact of this unprecedented
authority goes well beyond
the scope of this alert, but
could encompass the Division's police force enforcing,
in your private community,
traffic laws, property tax
laws and possibly a host of
antiquated Florida laws that
are still on the books;
5. A condominium unit
owner's or cooperative
shareholder's individual
insurance policies issued
or renewed on or after July
1, 2009, must include loss
assessment coverage of at
least $2,000;
6. SB 2032 removes the
ability of a homeowners'
association, condominium,
cooperative, or mobile
home association to charge
any sort of fee in connection
with the sale or other transfer of property including a
screening fee or charges to
prepare estoppel letters or
approval certificates regardless if such fees are provided for in your governing
documents or not;
7. If a condominium association's Bylaws provide for
no more than two-year staggered terms, those staggered
terms shall be assigned, by
random lot, at the first annual
meeting after July 1, 2009, at
which time the newly elected
directors shall determine
amongst themselves which
directors shall serve a full
two-year term and which
shall serve a one-year term;
8. The candidate certification form has been clarified
to require that board members must read the following:
Parts I and III of Chapter 718,
Sections 718.501, 617.0202,

provided in state statutes. If
that were to happen, it would
be even more difficult, if not
impossible, for associations
to pursue deliquent assessments owed and thus, further squeeze the remaining
owners who are paying.

to assert their lien priority
and assessment authority in
their communities.

On a separate but related
note, Congress is scheduled
to vote on H.R. 1106: Helping Families Save Their
Home Act of 2009. We discussed this bill in a previous
CAN alert. While the bill is
primarily designed to allow
courts to rewrite private
mortages in an attempt to
assist those owners who
owe more than their property is currently worth, other

and the association's declaration of condominium,
articles of incorporation,
bylaws and current written
policies. The director shall
further certify that he or she
will work to uphold such
documents and policies to
the best of his or her ability
and that he or she will faithfully discharge his or her
fiduciary responsibility to
the association's members.
If the Division finds that a
director has falsely certified
that he or she has read the
required statutes and documents, the Division shall
order the director removed
from the board and shall order the director to reimburse
the Division for the cost of
prosecution and hearing. If
you thought you had trouble
getting people to serve on
the board before, wait until
you show them the required
reading list above and then
advise them the Division's
new police force can remove
them if they haven't read
every single page and that
they must pay for the costs
of being removed; and
9. If a community's bylaws
provide that those bylaws
may be amended by board
vote alone, such vote may
only take place if it is heard
and noticed at two consecutive meetings of the board
that are at least one week
apart. If a community's bylaws can only be amended
by a membership vote, the
membership meeting at
which the vote is to be taken
must be held between the
hours of 6pm and 10pm local
time and at no other time!!

PBPOA reviews the past and looks to the future

At its Annual Meeting
in March, the Pelican Bay
Property Owners Association (PBPOA) discussed activities of the past year and
looked ahead to the remainder of 2009.
In 2008, the PBPOA was
the prime mover in the successful fight to defeat the
fishing pier and played a
central role in forming the
North Naples Community
Alliance (NNCA), a neighborhood coalition created to
address community issues of
common interest.
Outgoing PBPOA directors are Allan Grossman, Ed Rossini,
John D’Aquanno, Marvin Peterson and Jim Hobin
The PBPOA joined
the Foundation, the Pelican Bay Services Division
and the Mangrove Action
Group in the battle to retain management responsibility for the Clam
Bay estuary.

tradition of protecting property values and providing
community service to the

Creativity Matters! This
was the title of a panel discussion that opened the Art
Festival on Monday, March 2.
The panelists, Janina Birtolo,
Julie Gilman, Jean McNamara, Ginamarie Pugliese,
Rennie Spanier and Tammra
Sigler talked about the role of
art in their lives and tried to
define creativity as it influences all aspects of our daily
existence. There was a lively
debate between the panelists
and the audience, but ultimately the best definition of
what creativity does for us
was given on Friday when
the Art Show opened.
One-hundred-nine artists showed their work in
a newly designed setting.
The quality of the work was
amazing and the paintings,
photographs and sculptures
filled the room with beauty,
energy and joy.

the opening speech and graciously complimented us
on the Community Center,
which she saw for the first
time, and on the quality of

art created by WWI prisoners
of war in Russia. Marian Steen,
artist and owner, with her husband, of this unique collection
shared about 40 of the over 250
pieces in her collection. The
little drawings and sketches,
most of them only four or five
inches wide, showed amazing
artistic skill and were moving

witnesses to the horror of war
and imprisonment.
In a lighter vein we will end
the Think Tank season with a
play reading. The play “Celebration” was written Julie
Gilman and it will be read/
performed by local talent, another example of the amazing
vitality of our community.
Last but not least, I want to

Clerk of Courts vs. Board
of County Commissioners
A personal perspective

Recent commentaries featured in the local press have
taken the Board of County
Commissioners roundly to
task for pursuing legal disagreements with the Clerk of
Courts. This public flogging
resulted in some inquiries
to me regarding the background and nature of the
disputes. While discussing
the issue with constituents, I
realized that very few people
understood the background
or the true nature of the conflicts from the Board’s perspective — not surprising
given the local editorial positions on the issue. Editors
have opined that the Board
is attempting to interfere
with the Clerk’s right to safeguard public funds. Several
opinions have characterized
the Board’s position in the
dispute as “silliness”.
This issue is far from silly
— it centers on constitutional limits of authority
and the appropriate balance
of power between the Board
of County Commissioners and one of our county’s
Constitutional Officers. All
good government requires
this balance. The Board and
the Clerk clearly have different understandings of
the nature of this balance.
The Florida Constitution
and Statutes provide little guidance to resolve our
core disagreements. Case
law is conflicting. Since no
resolution otherwise has
been reached, the answer has
been sought in the courts,
initially by the Clerk and
eventually by the Board of
Commissioners.
This dispute is not simply
a local disagreement. It is
playing out across the State
of Florida. My prediction is
that the conflicts eventually
will force the legislature to
step in and beef up or clarify
the statutes. The language
was drafted for a simpler
time. It does not address
the complexities of contemporary government financing, restricted or earmarked
revenue, and investment
market concerns.
I am a firm believer in people having both sides of an
issue to consider before arriving at conclusions. So here
is the “other side of the story”
regarding this dispute.
Between 1997 and 2004, the
Clerk filed five cases against
the County or its agents or
employees. Not one case was
decided in favor of the Clerk.
The Board filed none.
After 2004, five suits were
filed. The Clerk filed two
suits. The Board filed two
suits — one in response to
the suit filed by the Clerk and
one in response to the Clerk’s
announcement of a seizure of

Board interest and his failure to amend his budget as
required by law. A fire chief
filed one suit in response to
a suit filed by the Clerk. The
Clerk lost four of the suits
(one of these is pending an
appeal) and won one as the
result of appeal. That latter
appeal is awaiting a ruling
on a rehearing request by
the Board.
These facts do not support
the perception that the Board
is harassing the Clerk.
To put things simply, at
question is this: Who has
primary responsibility and
control of tax revenue collected and/or expended
at the county level? Who
can authorize its use? Who
ultimately is accountable to
the public for its use? The
Board believes that the laws
of Florida vest this authority
with the Board of County
Commissioners. The Clerk
appears to believe it lies with
him.
First, let me be clear about
two things. No one is contesting the statutory authority
given to the Clerk to act as
custodian of county revenue, nor challenging his
obligation with the Board’s
authorization to invest the
county’s surplus funds (e.g.,
tax dollars and impact fees
that are collected when due
and held to cover future expenses). No one is disputing
the Clerk’s right to pre-audit
county expenditures and
insure that they are accurate
and authorized before disbursing funds. In fact, there
is general agreement that he
is obligated to do so and to
account for all such investments and expenditures. In
addition, I firmly believe that
he is obligated to provide this
accounting in a timely, transparent and useful manner.
If there is agreement generally, where is the dispute?
The dispute lies internal to
the two core issues:

• Investment of surplus
funds and use of the interest
income generated by those
funds.
• The availability of postaudit powers to the Clerk.
These two issues need to be
considered separately.
Investment and use
of surplus funds
and interest
Historically in Collier County (as in most non-Charter
counties), the Clerk was designated a “budget officer”.
(For reference, this is the
same designation carried
by the Sheriff and the Supervisor of Elections, two
other constitutional officers).
Under this designation, the
Clerk submitted an annual
budget to the Board for approval and then paid his office expenses in keeping with
that budget. Surplus revenue collected by the Clerk
was allocated back to the
county’s overall budget. This
method worked well until a
dispute arose between the
Clerk and the Board when
the Clerk applied additional
county revenue, not derived
from court fees but from the
Board-controlled funds, to
line items in amounts beyond his approved budget.
Despite the fact that the
Clerk is merely the custodian, not the owner, of the
general funds, the Clerk
held that he was entitled
to use the interest on all invested County revenue to
balance his budget without
any oversight by the Board.
Also, as budget officers do
not have the right to amend
their budgets without oversight, he declared himself
a “Fee Officer”. Under this
designation, he could set his
own budget.
The Board disagreed that
he had the right to spend
interest from county general
revenue without oversight
or approval of the Board,
which has the statutory authority and responsibility to
authorize the use of those
funds for public purposes.
We also believe, in keeping with other Florida case
law, that interest from earmarked funds must be spent
for the same purposes as

the funds. We requested a
full and detailed accounting
of the excess expenditures
using standard accounting
principles. We didn’t get it.
Ultimately, the Board filed a
lawsuit. The Board prevailed
at the lower court level. The
Clerk appealed and prevailed in the higher court.
The Board subsequently
filed a motion for a rehearing based on facts we believe
were not taken into consideration in the first ruling and to
“Certify a Question of Great
Public Importance to the Supreme Court of Florida”. The
Florida Association of Counties and the Florida Association of County Attorneys
have asked to appear as
Amici Curiae in support of
our motion.
Florida Clerks of the
Court in 2007 generated
$1,466,721,863 on county
investment portfolios. That’s
your tax dollars destined to
be spent for your needs. I
believe it is too much money
to be seen as “discretionary”
income for the 67 Clerks to
spend without oversight.
How much is at stake in
Collier County? In FY-200708, the Clerk earned and kept
over $31.5 million of interest income on the Board’s
investment portfolio. On
October 31, 2008, the Clerk
returned just under $24.4
million to the Board’s General Fund. The Clerk spent
$7.2 million plus of the General Fund interest income. Of
this, about $3.9 million was
used for the Court-required
registry deposit. However, $3,912,600 was used to
fund other elements of the
Clerk’s operations without
the Board’s permission.
Should this matter be pursued? We are awaiting a
response from the court on
our rehearing request. In the
meantime, everything remains status quo. While we
all are waiting their decision,
ask yourself this: Do you
want the interest on your tax
dollars spent at the option of

of those funds — at his sole
discretion — for the use of his
office? Or, do you want such
expenditures authorized as
a part of a formal budget
process — in consideration
of the needs of the county as
a whole — in the sunshine?
Post-audit powers
A post-audit is an examination of a transaction after its occurrence. We use
post-audits to determine if
the county’s policies and
procedures were followed
in the financial transaction.
I can hear you say, “Well,
why shouldn’t the Clerk be
able to do this?” Here is the
reason. The Clerk has the
obligation to pre-audit. He is
one who is supposed to make
sure that transactions follow
the rules beforehand. By
policy and in keeping with
formal accounting practice,
the Board hires an outside
firm to come in and conduct
an annual, certified audit of
all the county’s books. This
system provides a solid and
orderly check and balance
system to our financial record keeping.
There is an additional check
and balance. If the Board has
reason to believe something
is amiss based on information provided by the auditor,
the Clerk or any other person
who has reason to believe an
error has occurred, the Board
can ask the Clerk to conduct
a post-audit of any transaction. Prior to 2004 when the
Clerk sued the Board over
this matter, the Board had
never denied a request for a
post-audit.
The Clerk sued for the right
to conduct post-audits on his
own initiative. He lost. He
has appealed.
Although random postaudits may occasionally uncover errors or wrong-doing,
history shows us that such activities, when conducted on a
single individual’s initiative,
can lead to abuse of power
for political gain. They also
increase overall auditing expenses, waste staff time, and

disrupt systems designed to
prevent political interference
in contracting. It disturbs the
balance of power, our system of checks and balances,
and appropriate division of
authority. Frankly, we don’t
need this. The Clerk can ask
for and receive permission
for a post-audit anytime he
presents a reasonable suspicion of malfeasance.
Where does
all this leave us?
As you are aware, the county
is sharing the national financial crisis. We are struggling to meet obligations on
greatly reduced revenue.
Every nickel matters. Every
financial decision requires
careful scrutiny. We cannot
get the information that we
need from the Clerk to do
our job. We asked the Clerk
to meet with the Board and
provide us with information about interest revenue
projections. He refused, directing us instead to visit his
website for the information.
I looked. The information is
not there. In this crisis environment, a summary budget
with no line item detail, no
fund balances, and no projections of interest income, simply doesn’t cut it. Go to the
website. See for yourself.
This dispute isn’t about
the Board tilting at windmills or trying to knock the
White Knight off his horse.
It is about getting the information needed to run the
government in the public
interest. It is also about efficiency, accountability, transparency in the use of public
funds, and achieving balance
of power.
I hope this gives you a
clearer understanding of this
serious issue.

tax collector. It doesn’t work.
He knows who you are, and
he never forgets a foo1er.
For four weeks before April
15 and four weeks after he
sits on his rollaway chair,
the ever present coffee pot
boiling on a hot plate; sweating profusely because the
air conditioner rarely works
that far below the last floor
of the building. This makes
him more grumpy than usual. And makes him more
unforgiving in his don’t-foolme mode.
So if you think you’re audit-proof, you’re just fooling
yourself. Mr. Head of the Try
to Fool Me Department has

Wouldn’t it be more appropriate to make April 15 April

That’s the day a fool and his
money are soon parted. (The

The IRS doesn’t fool
around. No way. They want
your money. Not on April
16, but April 15. Now there
are some citizens that try to
fool the government. Sure
they list legitimate deductions, but how about the not
so legitimate deductions
in the hope that an audit
is not forthcoming (Your
third cousin in Peoria is not
a legitimate dependent.)
The IRS sees through this,
so they play a waiting game:
Fool me once and — it’s their
fault. Fool me twice and do
not pass go, just go straight
to the hoosegow. (Only
fooling kids. Only fooling.)
Well maybe.
The reality is that there is
a department in the IRS set
up to handle these very situations. It’s called Try to Fool
Me Department. Even most
IRS personnel do not know
of its existence. It’s a oneman department, housed
in a one-room office deep
in the bowels of the Treasury building.
The one man in charge is a
40-year veteran of Treasury,
who lives and breathes the
1040. He sits behind an old
rolltop desk in a windowless
room, with an army cot in the
corner. A 40-watt bulb lamp
his only source of light. A
huge rolodex sits on the desk.
And his only connection to
the outside world is a rotary
telephone.
