General Session Minutes of the North Carolina Medical Board
Meeting held November 13-16, 2012.
The North Carolina Medical Board met November 13-16, 2012, at its office located at 1203
Front Street, Raleigh, NC. William A. Walker, MD, President, called the meeting to order.
Board members in attendance were: Paul S. Camnitz, MD, President-Elect; Cheryl L. WalkerMcGill, MD, Secretary/Treasurer; Janice E. Huff, MD; Thomas R. Hill, MD; Ms. Pamela Blizzard;
Ms. Thelma Lennon; John B. Lewis, Jr., LLB; Eleanor E. Greene, MD; Subhash C. Gumber,
MD; and Pascal O. Udekwu, MD. Absent was Ms. H. Diane Meelheim, FNP-BC.
Presidential Remarks
Dr. Walker commenced the meeting by reminding the Board members of their duty to avoid
conflicts of interest with respect to any matters coming before the board as required by the State
Government Ethics Act. No conflicts were reported.
Minutes Approval
Motion: A motion passed to approve the September 21, 2012 Board Minutes and the October
19, 2012 Hearing Minutes.
Instillation Ceremony and New Officers Oath
Dr. Huff administered the Oath of Office for President of the NC Medical Board to Dr. William A.
Walker.
Dr. Walker administered the Oath of Office for President-Elect to Dr. Paul S. Camnitz and
Secretary/Treasurer to Dr. Cheryl L. Walker-McGill. He also administered the Oath of Office to
Dr. Subhash C. Gumber and Dr. Pascal O. Udekwu as members of the NC Medical Board.
Announcements
1. Judge Lewis gave a report on the FSMB Tri-Regulator Symposium he attended.
2. Dr. Walker and Dr. Walker-McGill gave a report on the IAMRA meeting they attended.
3. Mr. Hari Gupta, Director, Operations Department, recognized Janice Fowler on her
twenty-year anniversary at the NCMB.
4. Mr. David Henderson, Executive Director, recognized Mr. Marcus Jimison and Mr. Bruce
Jarvis for their exceptional work helping the citizens of Watauga County retrieve their
abandoned medical records.
5. Thomas C. Ricketts, PhD. of the Cecil G. Sheps Center for Health Services Research
gave a report to the Board.
6. Mr. Thom Mansfield, Director, Legal Department, gave a Legislative report to the Board.

Board Discussion: Personnel Matter
A motion passed to close the session pursuant to Section 143-318.11(a) of the North Carolina
General Statutes to prevent the disclosure of information that is confidential and not considered
a public record within the meaning of Chapter 132 of the General Statutes and/or to preserve
attorney/client privilege.
The full Board discussed a personnel matter. The details of this discussion are not

EXECUTIVE COMMITTEE REPORT
The Executive Committee of the North Carolina Medical Board met on Thursday November 15,
2012, beginning at 1:30 p.m., at the offices of the Board. Members present were: William A.
Walker, MD, Chair; Paul S. Camnitz, MD, Cheryl Walker-McGill, MD, Eleanor E. Greene, MD,
and Ms. Thelma C. Lennon.
1) Financial Reports
a) Monthly Accounting August and September 2012
The Committee reviewed the August and September 2012 compiled financial
statements. September is the eleventh month of fiscal year 2012.
Committee Recommendation: Accept the financial statements as reported.
Board Action: The Board accepted the Committee recommendation.
b) Investment Account Statements
The Committee reviewed the September and October 2012 investment account
statements from Fifth Third Bank.
Committee Recommendation: Accept the investment account statements as reported.
Board Action: The Board accepted the Committee recommendation.
2) Old Business – there was no old business to discuss.
3) New Business
a) Resolutions – Retirement Funds
The NC Medical Board offers two deferred compensation plans to its employees: a
401(k) retirement plan and a 457(b) retirement plan. The Committee reviewed

resolutions which would substitute a new co-trustee, permit employees to direct bonuses
to the retirement plans, and allow changes to their deferral amount throughout the year.
Committee Recommendation: Approve proposed changes to the retirement account
documents.
Board Action: The Board accepted the Committee recommendation.
b) Resolutions – Investment Funds
Fifth Third Bank is the investment advisor for the Medical Board. The Committee
reviewed resolutions that would remove the former comptroller as a person authorized to
act on behalf of the Medical Board in connection with investments managed by Fifth
Third Bank.
Committee Recommendation: Approve proposed changes to the investment account.
Board Action: The Board accepted the Committee recommendation.
c) AIMAP Update
The Committee received an update on the progress of the AIMAP-NC assessment
goals. Regarding Recommendation #1 (Board governance documents), the Committee
would like to start the retreat Friday afternoon after the May Board meeting and at noon
the next day. Regarding Recommendation #4a (standardize committee reports), the
Committee would like for Dr. Walker to serve on the workgroup assigned this matter.
Regarding Recommendation #15 (expedited licenses), the Committee would like staff to
add validations throughout the expedited license application to alert applicants if they
enter information on the application that indicates they are ineligible for an expedited
license.
Committee Recommendation: Accept the Committee recommendations.
Board Action: The Board accepted the Committee recommendation except the retreat
(Recommendation #1) will be held following the January 2013 Board meeting.
d) Employment Contract
Members of the Executive Committee met with the Executive Director in a closed
session pursuant to NC General Statute §143-318.11(a)(6) to review the Board’s
employment agreement with the Executive Director.
e) Interim Performance Review
Members of the Executive Committee met with the Executive Director in a closed
session pursuant to NC General Statute §143-318.11(a)(6) to complete an interim
performance review.

POLICY COMMITTEE REPORT
Policy Committee Meeting, Wednesday, November 14, 2012

1. Old Business
a. Position Statement Review – Request from Board (APPENDIX A)
Issue: NCGS Chapter 90; Article 27, entitled “Referral Fees and Payment for Certain
Solicitations Prohibited” states, in part, “A health care provider shall not financially compensate
in any manner a person, firm, or corporation for recommending or securing the health care
provider's employment by a patient”. MD pays a fee to Groupon for pre-paid vouchers issued
by Groupon to Groupon subscribers who purchase the vouchers. Groupon “‘facilitates” the
purchase of MD’s pre-paid vouchers which offer promotional discounts for MD’s services. A
patient purchasing a voucher from Groupon pays for the price of MD’s discounted service plus
additional promotional, advertising, administrative, and “offer facilitation” fees to Groupon.
Board Action: Request Policy Committee to amend Referral fees and fee splitting position
statement as it relates to social networking offers.
07/2012 Committee discussion: The Committee decided to delegate revisions to the position
statement to Mr. Brosius in consultation with Mr. Jimison. Proposed changes will be presented
to the Committee at the September meeting.
07/2012 Committee Recommendation: Tabled until September.
07/2012 Board Action: Accept committee recommendation.
09/2012 Committee Discussion: The Committee discussed the advertising voucher business
model. Questions were raised about the requirement that the licensee be responsible for the
purchase price in the event the advertising company will not provide a refund.
09/2012 Committee Recommendation: Table discussion until November. Mr. Brosius will
research the advertising voucher reimbursement process and report back to the Committee.
09/2012 Board Action: Accept Committee Recommendation.
11/2012 Committee Discussion: The Committee received a brief update from Mr. Brosius and
discussed the implications of the section addressing advertising vouchers. Mr. Brosius
indicated that he would report back with additional information at the January meeting.

1/2010 Committee Recommendation: (Loomis/Camnitz) Adopt a 4 year review schedule
as presented. All reviews will be offered to the full Board for input. Additionally all
reviews will be documented and will be reported to the full Board, even if no changes are
made.
1/2010 Board Action: Adopt the recommendation of the Policy Committee.

11/2012 Committee Discussion: The Committee discussed changing the first paragraph
of the Position Statement and changing “physician” to “licensee.”

ii. End-of-Life Responsibilities and Palliative Care (APPENDIX D)
11/2012 Committee Discussion: The Committee discussed the distinction between
palliative care and hospice. The Board also reviewed the Position Statement. There was also
discussion about the need for relief of symptoms other than pain associated with palliative care.
11/2012 Committee Recommendation: Accept changes to Position Statement.
11/2012 Board Action: Table until January 2013 meeting. Mr. Brosius to edit the first
sentence of the Palliative Care section.
2. New Business:
b. Social Media
11/2012 Committee Discussion: The Committee discussed the potential need for
guidance regarding licensee use of social media and other organizations that have commented
on the benefits and pitfalls of this phenomenon.
11/2012 Committee Recommendation: The Committee recommended drafting a Position
Statement addressing this issue based on Dr. Kirby’s Forum article.

CONTINUED COMPETENCE COMMITTEE REPORT

Old Business
a. The committee reviewed the Diversity of North Carolina’s Health Care Workforce
handout. A discussion was held regarding the lack of diversity among NC health
care professionals and the differences in racial/ethnic group representation among
NC health professions.
2.
New Business
a. Dr. Sheppa gave an update to the Committee regarding his participation in the
Federation of State Medical Board’s workgroup on ‘Model Policies on Pain and
Addiction treatment’. A discussion about what medications could be given for pain
that will still allow the physician to work and function properly.
b. Dr. Sheppa also updated the Committee about his involvement in the Federation
of State Medical Board’s special committee of ‘Reentry of Formerly Impaired
physicians’. A discussion followed regarding the differences between having your
medical license restricted vs having your medical license and practice restricted.

1. FCVS Language on Website
Issue: Staff was requested to draft language for the website with regard to using/not using
FCVS for a license application. The main goal is to make applicants aware that if they do not
have a completed FCVS profile it is not recommended that they start an application for an FCVS
profile for their NC license.

1. Notary Section of Applicant’s Oath
Issue: NCGS 10B-23(b) does not allow a notary to certify, notarize, nor authenticate a
photograph.
Committee Recommendation: Amend the applicant’s oath by eliminating the notary portion of
the oath as it concerns (1) having the notary seal over the photograph and (2) attesting to
photograph certification.
The new notary portion would read: I certify that on the date set forth above the individual
named above did appear personally before me and that I did witness this applicant complete
this form including the handwritten statement above.

2. Physician Education Update
Issue: The Board previously approved staff to move forward with developing an education tool
for applicants as part of the application process. Ms. Hemphill will provide an update on what
has been accomplished.

3. Request to amend the malpractice section on the application form
Issue: The Legal Department has requested #3 of the malpractice section of the application be
amended by adding the underlined wording:

In the table below, list all relevant information for any of the three scenarios below that apply to
you.
1. You were named in a malpractice lawsuit.
2. A malpractice lawsuit filed against you was resolved with a judgment (regardless of
appeal), award, payment or settlement regardless of whether the payment or
settlement was in your name.
3. A malpractice settlement or payment was made, affecting or involving you, where no
lawsuit was filed or where you were not individually named.

21 NCAC 32S .0209 NON APPLICABILITY EXEMPTION FROM LICENSE
This Subchapter does not apply to: Nothing in this Subchapter shall be construed to
require licensure for:
(1) a student enrolled in a Physician Assistant Educational Program accredited by the
Commission on Accreditation of Allied Health Education Programs or its
successor organizations;
(2) a physician assistant employed by the federal government while performing duties
incident to that employment; or
(3) an agent or employee of a physician who performs delegated tasks in the office of a
physician but who is not rendering services as a physician assistant and
identifying him/herself as a physician assistant.

The Midwifery Committee was called to order at 11:14 am November 14, 2012 at the office of
the NC Board of Nursing. Members present were: Maureen Darcey,RN, CNM (Chair); Beth
Korb, RN, CNM; Nancy Bruton-Maree, RN (NCBON); Bobby Lowery, NP (NCBON); Dan
Hudgins (NCBON); Paul Camnitz, MD (NCMB); and Cheryl Walker-McGill (NCMB). Keith

a. The audit report was reviewed by the Committee. They discussed
Segregation of Duties (addressed in the report).

4. Mail Referendum
a. The Committee reviewed the information in the mail referendum. They noted
corrections needed on line 23 and that the midwife shown on line 2 is no
longer a practicing midwife.

Motion: Accept the mail referendum with corrections on line 23.
5. Proposed Budget for 2013
a. The proposed budget was reviewed. There was discussion regarding how
the amount paid to the Board of Nursing was set. Ms. George indicated that
the amount was based on the labor required by BON staff and that the
amount may change as the process becomes more automated.

Motion: Approve the proposed budget.
6. Bylaws
a. At the May 16 meeting, the Committee reviewed the proposed bylaws and
decided to table the discussion until the November meeting. They gave the
attorneys the task of reviewing the bylaws and adding suggestions submitted
to them by Committee members. The changes have been implemented and
presented for the Committee’s review.
i.
Motion: Make the language consistent with the language in the statute.

ii. Motion: Show three and five year terms for the OBGYNs.
(Article IV, Section 2b)
iii. Motion: Remove the language that limits the Chair and Vice Chair
position to the four “additional members”

a. The Committee has assigned Mr. Hudgins, Dr. Walker-McGill, and Dr.
Harrison to make up the nominating committee. The nominating committee

officers by mail ballot.

The Review Committee (Complaints/Malpractice) of the North Carolina Medical Board was
called to order at 3:30 p.m. on November 15, 2012 at the office of the Medical Board. Board
Members present were: Janice Huff, MD (chair), Eleanor Greene, MD, and John Lewis.
Absent: Diane Meelheim, NP. Staff present: Judie Clark, Scott Kirby, MD, Michael Sheppa, MD,

MEDICAL SCHOOL EDUCATIONAL OUTREACH PROJECT
The Medical Education Outreach Workgroup was called to order at 10:30 am on
Wednesday, November 14 at the offices of the NCMB. Members present were: Janice Huff,
MD and Ms. Pamela Blizzard. Absent: Ms. Peggy Robinson, PA-C. Also attending were
William Walker, MD, and two resident physicians in training with STRAHEC in Fayetteville,
NC: Dr. Verk and Dr. Ahmed.

a. Review of materials from Savvan Associates:
i. Staff relayed to committee members the challenge of working with
instructional designer Linda Savvanauskas. We think the final product
will be good, but the process has been challenging.
ii. The workgroup reviewed both the draft module and the storyboard, and
noted corrections that need to be made. One of the suggestions was to
include more hyperlinks to specific authority, like a Position Statement or
rule, in the slide in which an issue is discussed. There should be an area
for “deeper content” to which a particularly interested learner could go for
more information.
iii. Savvan Associates will have the narrating actors tape the script soon, so
the module should be ready soon.
b. Next steps:
i. Staff should contact Wake Forest University Medical School to see if they
can help test it.
c. Additional modules:
i. The NCMB has purchased the software used to create the first
professionalism module, and staff feels capable of producing additional
ones.
ii. More case examples will be included, particularly ones dealing with
physicians and social media.

Referral fees and fee splitting
Payment by or to a physician solely for the referral of a patient is unethical. A physician may not
accept payment of any kind, in any form, from any source, such as a pharmaceutical company
or pharmacist, an optical company, or the manufacturer of medical appliances and devices, for
prescribing or referring a patient to said source. In each case, the payment violates the
requirement to deal honestly with patients and colleagues. The patient relies upon the advice of
the physician on matters of referral. All referrals and prescriptions must be based on the skill
and quality of the physician to whom the patient has been referred or the quality and efficacy of
the drug or product prescribed.
It is unethical for physicians to offer financial incentives or other valuable considerations to
patients in exchange for recruitment of other patients. Such incentives can distort the
information that patients provide to potential patients, thus distorting the expectations of
potential patients and compromising the trust that is the foundation of the patient-physician
relationship.
Furthermore, referral fees are prohibited by state law pursuant to N.C. Gen. Stat. Section 90401. Violation of this law may result in disciplinary action by the Board.
Except in instances permitted by law (NC Gen Stat §55B-14(c)), it is the position of the Board
that a physician cannot share revenue on a percentage basis with a non-physician. To do so is
fee splitting and is grounds for disciplinary action.

Voucher Advertising
It is the Board’s position that, so long as certain conditions are followed, advertising involving
the utilization of vouchers (e.g. Groupon) does not constitute unethical fee-splitting or a
prohibited solicitation or referral fee under North Carolina law. Those conditions include: (1)
ensuring that the negotiated fee between the voucher advertising company and the licensee
represents reasonable compensation for the cost of advertising; and (2) incorporating the
following terms and conditions in a clear and conspicuous manner in all advertisements:
(a) A description of the discounted price in comparison to the actual cost of services;
(b) A disclosure that all patients may not be eligible for the advertised medical service
and that decisions about medical care should not be made in haste. Determinations
regarding the medical indications for individual patients will be made on an individual
basis by applying accepted and prevailing standards of medical practice; and

(c) A disclosure to prospective patients that, if it is later decided that the patient is not a
candidate for the previously purchased medical service, the patient’s purchase price
will be refunded in its entirety. If the patient does not claim the service, then the
patient’s purchase price must still be refunded in its entirety. In the event that the
voucher advertising company does not refund the purchase price in its entirety, it will
be the sole obligation of the licensee to refund the entire purchase price.

CURRENT POSITION STATEMENT:
Advance directives and patient autonomy
Advances in medical technology have given physicians the ability to prolong the mechanics of life almost
indefinitely. Because of this, physicians Licensees must be aware that North Carolina law specifically
recognizes the individual's right to a peaceful and natural death. NC Gen Stat § 90-320 (a) (2007) reads:
The General Assembly recognizes as a matter of public policy that an individual's rights include the
right to a peaceful and natural death and that a patient or his the patient’s representative has the
fundamental right to control the decisions relating to the rendering of his the patient’s own medical
care, including the decision to have extraordinary means life-prolonging measures withheld or
withdrawn in instances of a terminal condition.
Physicians Licensees must also be aware that North Carolina law empowers any adult individual with
capacity to make a Health Care Power of Attorney (N.C. Gen. Stat. § 32A-17 (2007)) and stipulates that,
when a patient lacks understanding or capacity to make or communicate health care decisions, the
instructions of a duly appointed health care agent are to be taken as those of the patient unless evidence to
the contrary is available (N.C. Gen. Stat. § 32A- 24(b)(2007)).
It is the position of the North Carolina Medical Board that it is in the best interest of the patient and of the
physician licensee/patient relationship to encourage patients to complete or authorize documents that
express their wishes for the kind of care they desire at the end of their lives. Physicians Licensees should
encourage their patients to appoint a health care agent to act through the execution of a Health Care
Power of Attorney and to provide documentation of the appointment to the responsible physician
licensee(s). Further, physicians licensees should provide full information to their patients in order to
enable those patients to make informed and intelligent decisions preferably prior to a terminal illness.
The Board also encourages the use of portable physician licensee orders to improve the communication of
the patient’s wishes for treatment at the end of life from one care setting to another.
It is also the position of the Board that physicians licensees are ethically obligated to follow the wishes of
the terminally ill or incurable patient as expressed by and properly documented in a declaration of a
desire for a natural death; however, when the wishes of a patient are contrary to what a physician licensee
believes in good conscience to be appropriate care, the physician licensee may withdraw from the case
once continuity of care is assured.

It is also the position of the Board that withholding or withdrawal of life-prolonging measures is in no
manner to be construed as permitting diminution of nursing care, relief of pain, or any other care that
may provide comfort for the patient.

End-of-life responsibilities and palliative care
Assuring Patients
Death is part of life. When appropriate processes have determined that the use of life prolonging
measurers or invasive interventions will only prolong the dying process, it is incumbent on physicians
licensees to accept death "not as a failure, but the natural culmination of our lives."*
It is the position of the North Carolina Medical Board that patients and their families should be assured of
competent, comprehensive palliative care at the end of their lives. Physicians Licensees should be
knowledgeable regarding effective and compassionate pain relief, and patients and their families should
be assured such relief will be provided.
Palliative Care
Palliative care is an approach that improves the quality of life of patients and their families facing the
problems associated with life-threatening illness, through the prevention and relief of suffering by means
of early identification an impeccable assessment and treatment of pain and other physical, psychosocial
and spiritual problems. Palliative care:
•
provides relief from pain and other distressing symptoms;
•
affirms life and regards dying as a normal process;
•
intends neither to hasten nor postpone death;
•
integrates the psychological and spiritual aspects of patient care;
•
offers a support system to help patients live as actively as possible until death;
•
offers a support system to help the family cope during the patient’s illness and in their own
bereavement;
•
uses a team approach to address the needs of patients and their families, including bereavement
counseling, if indicated;
•
will enhance quality of life, and may also positively influence the course of illness;
•
[may be] applicable early in the course of illness, in conjunction with other therapies that are
intended to prolong life, such as chemotherapy or radiation therapy, and includes those
investigations needed to better understand and manage distressing clinical complications.**

Opioid Use
The Board will assume opioid use in such patients is appropriate if the responsible physician licensee is
familiar with and abides by acceptable medical guidelines regarding such use, is knowledgeable about
effective and compassionate pain relief, and maintains an appropriate medical record that details a pain
management plan. (See the Board's position statement on the Policy for the Use of Controlled Substances
for the Treatment of Pain for an outline of what the Board expects of physicians licensees in the
management of pain.) Because the Board is aware of the inherent risks associated with effective pain
symptom relief in such situations, it will not interpret their occurrence as subject to discipline by the
Board.

ARTICLE I
OFFICES
Section 1.
Principal Office. The North Carolina Joint Midwifery Committee
(hereinafter, “COMMITTEE”) shall have a principal office in North Carolina.
Section 2.
Other Offices. The COMMITTEE may have other offices.
ARTICLE II
COMMITTEE POWERS, SUB-COMMITTEES, AND COMPENSATION
Section 1.
General Powers. The COMMITTEE itself has all its general powers.
Section 2.
Committees. The COMMITTEE may designate one or more sub-
committees. The Chair shall appoint sub-committee members. Sub-committees have no
powers other than: (a) to review matters and recommend actions to the COMMITTEE, (b) to
initiate or continue investigations or inquiries,(c) to empower staff, either generally or in a
specific instance, to initiate or continue investigations or inquiries, including, in the subcommittees’ sole discretion, the use of COMMITTEE orders to produce documents or things, (d)

Section 3.
Notice of Meetings. Notices of meetings shall be given as required by
Section 4.
Quorum. A quorum of the COMMITTEE is a majority of the members.
Section 5.
Manner of Acting. Except as otherwise provided herein, the
law.
COMMITTEE acts by simple majority vote of the members present at a meeting at which there
is a quorum.
Section 6.
Participation by Conference Telephone. The COMMITTEE may meet by
electronic means to the maximum extent permitted by law.
ARTICLE IV
COMMITTEE MEMBERS
Section 1. Members. The composition and the term of office of the
COMMITTEE members shall be pursuant to N.C. Gen. Stat. §90-8.2. Unless otherwise
specified by N.C. Gen. Stat. §90-8.2, the Board of Nursing shall designate three currently
serving Nursing Board members to the Committee and the Medical Board shall designate three
currently serving Medical Board members to the Committee.
Section 2. Additional Members. The four additional members referenced
in N.C. Gen. Stat. §90-178.4 shall be chosen as follows:
a. The N.C. Board of Nursing shall appoint and fill vacancies of the two
certified nurse midwives.
b. The N.C. Medical Board shall appoint and fill vacancies of the two
physicians who are actively engaged in the practice of obstetrics and who
have had working experience with midwives.
Beginning on December 1, 2012, the N.C. Board of Nursing and the N.C. Medical Board
shall make the initial appointments of the four additional members defined in N.C. Gen. Stat.
§90-178.4 from those members currently serving on the Committee. The N.C. Board of Nursing
shall appoint two certified nurse midwives with one nurse midwife serving a term of three (3)
years and the other nurse midwife serving a term of five (5) years. The North Carolina Medical
Board shall appoint the two physicians who are actively engaged in the practice of obstetrics
and who have had working experience with midwives with one physician serving a term of three

(3) years and the other physician serving a term of five (5) years. The members appointed
under this section shall not be eligible for reappointment.
At the expiration of the initial appointments described above, all additional members shall be
appointed for a term not to exceed three years. No additional member shall serve more than
two complete consecutive three-year terms.
Any vacancy with regard to the additional members defined in N.C. Gen. Stat. §90-178.4
shall be filled by the board originally filling that position. Appointees to fill vacancies shall serve
the remainder of the unexpired term. Members shall serve until their successors have been
duly appointed and qualified.
ARTICLE V
OFFICERS
Section 1.
Officers of the COMMITTEE. The officers of the COMMITTEE shall
consist of a Chair, Vice Chair, and any other officers the COMMITTEE deems necessary.
Section 2.
Election and Term. The officers of the COMMITTEE shall be elected bi-
annually by the COMMITTEE. Term of office is January 1st to December 31st. The terms of
the initial Chair and Vice Chair shall begin on the succeeding January 1 after adoption of these
Bylaws.
Section 3. Vacancies.
In the event an officer fails to serve out his or her term as provided
in this Article for whatever reason, the vacancy shall be filled by a vote of a majority of the
total membership of the COMMITTEE.
Section 4.
Removal. Any officer may be removed from office by a two-third vote of
the total membership of the COMMITTEE at any time.
Section 5.
Chair. The Chair shall be the principal executive officer of the
COMMITTEE. The Chair shall, when present, preside at all meetings of the COMMITTEE. The
Chair shall sign documents for the COMMITTEE.
Section 6.
Vice Chair.
The Vice Chair shall, in the absence or disability of the
Chair, have all the authority and perform the duties of the Chair.
ARTICLE VI
PROFESSIONAL STAFF AND EXPENDITURE OF FUNDS

Section 1.
Professional Staff. The COMMITTEE may enter into agreements with
either the North Carolina Board of Nursing or the North Carolina Medical Board to avail itself of
the Professional Staff of either Board to assist it, in whatever lawful way it may prescribe, in the
discharge of its duties under and to enforce the laws regulating the practice of midwifery.
Section 2.
Expenditure of Funds. Other than expenditure of funds to employ experts
to evaluate evidence in matters under investigation or inquiry pursuant to Article II, Section 2 of
these Bylaws, expenditure of funds in excess of five hundred dollars ($500.00) for any
Committee purpose must be authorized by majority vote of the Committee. The Chair, or ViceChair in the absence of the Chair, may authorize the expenditure of funds for Committee
purposes without approval of a majority of the Committee.
ARTICLE VII
GENERAL PROVISIONS
Section 1.
Fiscal Year. The fiscal year of the COMMITTEE shall be fixed by
resolution of the COMMITTEE.
Section 2.
Amendments. Except as otherwise provided herein or by applicable law,
these Bylaws may be amended or repealed and new bylaws may be adopted after a thirty (30)
day notice by a vote of two-thirds (2/3) of the total membership of the COMMITTEE.
Section 3.
Rules of Order. To the extent that matters of procedure are not
addressed in these Bylaws or in applicable sections of the North Carolina General Statutes or
North Carolina Administrative Code, the COMMITTEE shall follow parliamentary procedure as
set forth in Robert's Rules of Order Newly Revised, 10th ed. (Cambridge, Mass.: Perseus
Publishing, 2000).
ARTICLE VIII
EFFECTIVE DATE OF BYLAW
These Bylaws shall take effect immediately upon adoption by the Committee.
