Judicial Administration 13, Defendants Chesapeake Energy Corporation,
Chesapeake Operating, L.L.C., Chesapeake Exploration, L.L.C. (“CELLC”), and
Chesapeake
Energy
Marketing,
L.L.C.
(collectively
the
“Chesapeake
Defendants”), TOTAL E&P, USA, INC. (“TEPUSA”), and Access MLP
Operating, L.L.C. and Texas Midstream Gas Services, L.L.C. (collectively
“Access”) move for transfer of related actions by landowners alleging royalty
underpayments to a pretrial court for consolidated and coordinated pretrial
proceedings.
INTRODUCTION AND FACTUAL BACKGROUND
More than 3,200 landowners have filed 97 separate suits in Johnson, Tarrant,
and Dallas Counties, alleging that the Chesapeake Defendants and TEPUSA have
underpaid Barnett Shale royalty payments by, among other things, charging
excessive post-production costs and expenses (hereinafter, the “Chesapeake
Barnett Royalty Litigation”). CELLC and TEPUSA are working interest owners in

the Barnett Shale, and Access owns the gathering system that services the majority
of those working interests. At a January 23, 2015 administrative conference with
Judge David Evans, Presiding Judge of the 8th Administrative Region, one of the
plaintiffs’ lawyers, Dan McDonald, stated that his firm would be representing more
than 40,000 plaintiffs in 400 separate lawsuits by the end of 2015. Mr. McDonald
and his affiliated counsel currently represent over 3,100 plaintiffs in 73 existing
Texas state cases. Significantly, Dan McDonald has agreed that his cases in the
Chesapeake Barnett Royalty Litigation should be transferred to an MDL for
coordination.
The McDonald Law Firm is actively seeking more plaintiffs through
advertisements on billboards and newspapers in Johnson and Tarrant Counties, and
by town hall meetings and direct mail solicitation. The ads assert that Chesapeake
has “ripped off” royalty owners and urge potential plaintiffs to contact the firm
through their website http://royaltyripoff.com/. While the McDonald Law Firm is
plaintiffs’ counsel of record in the vast majority of the pending cases, there are 24
other royalty-related cases currently pending with different counsel of record, who
do not agree to an MDL proceeding.
Scope of the Requested MDL:
Specifically, Defendants request MDL
consolidation for the cases listed in Appendix A (as well as anticipated future tagalong actions), which share the following characteristics:
a. claims of royalty underpayment,
b. for production from properties in the Barnett Shale, 1
c. which are directed against the Chesapeake Defendants 2 (and may include
as Defendants TEPUSA, Access, and others).
While the ultimate result in any case will depend on a plaintiff’s individual
lease and circumstances, the Chesapeake Barnett Royalty Litigation is appropriate
for MDL consolidation because the cases share common issues of fact, including
whether royalty payments by CELLC and TEPUSA were underpaid to landowners
in the Barnett Shale, and whether the post-production costs allocated to those
royalties were proper, or for the proper amount. These cases also share common
issues of fact related to gas measurement, hedging practices, gas pricing, and
allegations of fraud and sham transactions, tortious interference with contracts,
antitrust violations, estoppel claims, and conspiracy.
History of the Litigation: Beginning in April 2014, the McDonald Law
Firm and other counsel began a coordinated effort to file a large volume of cases
against the Chesapeake Defendants, TEPUSA, and Access. The McDonald Law

The undersigned defense counsel for the Chesapeake Defendants collectively represent those
defendants in the Chesapeake Barnett Royalty Litigation listed in Appendix A. However, some
of the undersigned defense counsel have appeared for the Chesapeake Defendants in some, but
not all, of the cases listed in Appendix A.
Firm filed the bulk of the cases, almost all of which were filed in Johnson County.
District Judges Neill and Bridewell had previously recused themselves from all
Chesapeake matters because they held mineral interests subject to CELLC leases.
As a result, Judge Bosworth of the 413th District Court of Johnson County agreed
to consolidate all cases involving Chesapeake in his court.
On January 14, 2015, however, Judge Bosworth voluntarily recused himself,
leaving no sitting judge left in Johnson County to hear these cases. 3 In his letter to
Judge Evans, Judge Bosworth wrote that his “review of the latest group of filings
has revealed that a number of political subdivisions, such as Johnson County and
several school districts, elected officials . . . , close friends, and relatives have an
interest, have joined in lawsuits against Chesapeake.” These circumstances gave
rise to what Judge Bosworth described as “an intractable web of conflict around
me from which I am obligated to recuse myself.” 4
Judge Bosworth’s letter makes the same arguments that Defendants make
for an MDL here: “As these cases share many common questions of fact and law,
consolidating these cases also provided uniformity and consistency in trial court
rulings on common questions and worked to provide a more efficient and fair
administration of these disputes.” Judge Bosworth reiterated “the necessity to

administer these cases uniformly” and attached a list of cases that needed to be
reassigned.
Status of Royalty Cases:
Judge Evans has done an excellent job of
addressing the need for new assigned judges after Judge Bosworth’s recusal. He
scheduled a status conference with the numerous parties in person on January 23,
2015 to get input on case allocation and administration, and to advise that he would
immediately address the process of appointing judges. He held further status
update conferences on January 30, February 2 and 3, 2015. On February 9, Judge
Evans advised all parties by letter that he was assigning 76 Johnson County cases
to ten different Tarrant County courts. 5
Defense counsel and counsel associated with the McDonald Law Firm have
worked together in the past weeks to reschedule immediate pending depositions.
They are attempting to work together to narrow the scope of the 240 separate
topics on which plaintiffs have sought corporate representative testimony in
multiple cases.
They are also working toward narrowing document disputes.
However, there is no agreement to coordinate discovery so that identical discovery
requests are only answered once, documents are only produced once, and witnesses
are only deposed once. And there is no agreement on deposition and discovery

requests, which continue to be served almost daily by plaintiffs’ counsel in other
cases.
Some depositions have been taken and many documents have been provided,
but many more depositions are scheduled for the upcoming months. Additionally,
comprehensive special exceptions, and motions to compel, to quash, and for
protection were filed and set for hearing earlier this year in Johnson County and
need to be heard. A large number of cases have only recently been filed, so no
significant discovery has yet taken place in those cases. In light of the above, all
cases are ripe for MDL pretrial coordination.
Given the common issues of fact involved, and the complications associated
with case management thus far, transfer of all Chesapeake Barnett Royalty
Litigation (and any future Texas state court suits) to a single pretrial court for
consolidated and coordinated pretrial proceedings is warranted. Consolidation will
eliminate potential judicial recusals and duplicative discovery, avoid conflicting
trial settings, avoid conflicting legal rulings, conserve judicial resources, be more
convenient for the parties and witnesses, and otherwise promote the just and
efficient conduct of all of the Chesapeake Barnett Royalty Litigation.
ARGUMENTS AND AUTHORITIES
The Judicial Panel on Multidistrict Litigation may transfer actions involving
one or more common questions of fact pending in Texas state courts to any district
court for coordinated or consolidated pretrial proceedings when the transfer is (1)
“for the convenience of the parties and witnesses” and will (2) “promote the just
and efficient conduct of the actions.” See TEX. GOV’T CODE § 74.162; TEX. R. JUD.
ADMIN. 13.3(l). These prerequisites are met here.
A.
All Cases in the Chesapeake Barnett Royalty Litigation Involve
Common Questions of Fact.
Each case filed against the Chesapeake Defendants (including some naming
TEPUSA and Access as Defendants) alleges that they improperly calculated
royalty payments to landowners by, among other things, deducting various postproduction costs from the royalty payments. Plaintiffs further allege those various
post-production costs are not reasonable.
Many petitions describe the crux of the allegation as follows: “The royaltyaccounting system employed by Chesapeake…results in the underpayment of
royalties to every royalty owner in every well operated by Chesapeake in Johnson
County.” 6 Such an allegation alone satisfies the elements required under the MDL
statute. See In re State Farm Lloyds Hidalgo Cnty. Hail Storm Litig., 434 S.W.3d

350, 353 (Tex. M.D.L. Panel 2014) (noting that an allegation that claims were
handled via similar business practices demonstrates common fact questions). In
addition, some or all of the plaintiffs’ claims in each case involve allegations that
the Chesapeake Defendants and TEPUSA acted improperly by:
• “deducting costs from royalties paid the [plaintiff];
• imposing directly or indirectly upon royalties paid the [plaintiff] costs
of gathering, production, transportation, treating, compression,
dehydration, processing, marketing, trucking or other expenses;
• failing to pay the [plaintiff] a royalty based upon the higher of (a) the
proceeds from the bona fide arms length sale of oil, gas, casinghead
gas and any other liquid or gaseous hydrocarbons, or (b) the market
value thereof;
• failing to pay the [plaintiff] royalties on products based upon the
gross market value or proceeds of a bona fide or arms length sale
thereof, whichever is higher;
• failing to pay the [plaintiff] royalties on residue gas or gas remaining
after separation, extraction or processing operations, based upon the
proceeds of a bona fide or arms length sale or the market value
thereof, whichever is higher;
• purporting to enter into a contract for the sale, delivery, transportation
or processing of gas produced from the leased premises without the
prior written approval of the [plaintiff];
• selling oil, gas or products produced from the leased lands to a
subsidiary or affiliate without the [plaintiff’s] prior written
permission.” 7

Moreover, Chesapeake’s gathering agreements and sales contracts are
generally uniform across the Barnett Shale field and common to many of the
leases. The contractual obligations in these agreements will be overlaid on each
landowner’s individual lease to determine whether there is a breach of the lease
obligations.
As in In re Ocwen Loan Servicing, LLC Mortgage Servicing
Litigation, 286 S.W.3d 669, 672 (Tex. M.D.L. Panel 2007) “discovery will be
aimed at disclosing the nature of these common practices and procedures,” and
“similar legal issues will arise as to whether those standard practices and
procedures give rise to liability under the commonly alleged theories.”
There are a large number of separate leases at issue in the Chesapeake
Barnett Royalty Litigation, each with its own royalty obligations.
While the
ultimate determinations in these lawsuits are dependent on the particular plaintiff’s
lease and circumstances, there are common facts that run throughout the cases.
This Panel has previously consolidated cases with common facts despite an
argument that some plaintiffs’ agreements were not identical. See In re Nationstar
Mortgage, LLC Texas Home Equity Loan Modif. Litig., MDL No. 13-0427 (Tex.
M.D.L. Panel Aug. 16, 2013) (citing In re Ocwen Loan Servicing, LLC, 286
S.W.3d at 672). Defendants request that the Panel do the same here.
Indeed, the plaintiffs themselves have recognized that these cases involve
common questions of fact. In the cases filed by the McDonald Law Firm, the
petitions include a heading that reads “Facts Common to All Barnett Shale Royalty
Underpayment Plaintiff[s],” followed by 28 paragraphs alleging facts common to
all Barnett Shale royalty underpayment plaintiffs, and only two paragraphs with
factual allegations that are specific to the plaintiffs in the particular case. 8 This
again supports pretrial MDL consolidation.
Additionally, a number of the cases on file include from 250 to 475 plaintiffs
joined in one case, further suggesting a high degree of factual relatedness. 9 See In
re Cano Petroleum, Inc., 283 S.W.3d 179, 181 & n.4 (Tex. M.D.L. Panel 2008)
(“The fact that ninety-one plaintiffs have been joined in seven cases (seventy-eight
property-damage plaintiffs in five cases) suggests a certain degree of
relatedness.”); see also TEX. R. CIV. P. 40. 10

Of course, this does not mean that all plaintiffs’ claims could or should be tried at the same
time, however. See In re Ethyl Corp., 975 S.W.2d 606, 614 (Tex. 1998); In re Bristol-Myers

In sum, the Chesapeake Barnett Royalty Litigation is precisely the situation
for which the MDL rules were designed. The key issues in these cases involve
common questions of fact and should therefore be transferred to a pretrial court for
consolidation and coordination.
B.
Transfer of Related Cases Will Serve the Convenience of the
Parties and Witnesses and Promote the Just and Efficient
Conduct of the Cases.
Transfer of the Chesapeake Barnett Royalty Litigation to an MDL will
achieve the mandated objectives of convenience and efficiency. See TEX. GOV’T
CODE § 74.162. First, it is more convenient for both the parties and the witnesses
if all the cases are transferred to a pretrial court. The liability issues in each case
will involve testimony from common expert witnesses and the same fact witnesses.
As the Panel has noted, “it is undeniable that it is more convenient for witnesses
and parties who find themselves involved in several related cases to litigate in one
pretrial court instead of several.” In re Silica Prods. Liab. Litig., 166 S.W.3d 3, 5
(Tex. M.D.L. Panel 2004).
This case is no different.
By consolidating or
coordinating all pretrial matters, the parties will avoid duplicative discovery, the
witnesses will avoid sitting for multiple depositions, and consistent legal rulings
will be issued.
Thus far, plaintiffs have sought massive discovery in many of the individual
cases and will likely request the same extensive discovery in each of the other
cases. Current requests in many of the lawsuits comprise over 300 requests for
production, including requests for: (a) nearly every contract that the Chesapeake
Defendants have ever entered into, including drafts and correspondence concerning
such agreements, regardless of whether those agreements impact the plaintiffs in a
particular case; 11 (b) documents concerning other Chesapeake royalty owners in
Johnson County; 12 and (c) pleadings and deposition transcripts from unrelated

cases. 13 Additionally, in a number of these cases, plaintiffs have sought corporate
representative depositions on 240 topics, including many topics that Chesapeake
believes are objectionable. 14
If transfer is not ordered and discovery not
coordinated, then thousands of hours of time will be spent responding to those
requests and taking depositions, and this process will be repeated with each newly
filed case. 15 Since it is highly likely every plaintiff will request the same or similar
information, transfer is needed to prevent defendants from having to respond to the
same requests, produce voluminous documents multiple times, and produce the
same witnesses for repeated depositions.
Once the cases are transferred, however, the pretrial court can establish a
comprehensive discovery plan — including master discovery requests, a document

depository, uniform deposition guidelines — enter a single protective order,
determine whether certain experts should be permitted to testify or should be
stricken, and implement other procedures to ensure that pretrial matters are
coordinated and consistent among all Chesapeake Barnett Royalty Litigation Texas
state court cases.
Second, transfer of all cases in the Chesapeake Barnett Royalty Litigation
will promote the just and efficient handling of each case.
The voluminous
discovery anticipated in each action places additional burdens on the trial courts
and lessens the attention those trial courts can give to both the case at issue and the
other cases on the court’s docket. A transfer to a pretrial court helps mitigate
against these problems and saves judicial resources by preventing duplicative
discovery. Additionally, transfer of all Chesapeake Barnett Royalty Litigation to
one pretrial court will ensure that the pretrial court can devote substantially more
time to the cases, as the litigation “will not be just one of many cases on a crowded
docket competing for [the judge’s] attention.” In re Silica Prods. Liab. Litig., 166
S.W.3d at 6 (noting that trial judges are often inclined to set cases for trial before
they are ready in order to promote settlement, whereas pretrial courts are more
inclined to give cases more attention and not return them to the trial courts until
they are truly ready for trial).
Third, transfer to one pretrial court ensures that all pretrial issues will be
decided consistently, which ensures the just handling of each case. This includes
legal rulings that may be common to all cases, including special exceptions,
dispositive motions, and Daubert motions. An MDL would put the parties on
equal footing and prevent the inequitable result of the parties obtaining inconsistent
rulings simply because a variety of judges handled the pretrial matters. Id. As the
Panel previously noted, “[a] consistent and steady judicial hand at the helm should
in fact promote agreements because lawyers will know where the court stands on
recurring issues.” Id.
Finally, transferring all Chesapeake Barnett Royalty Litigation to a pretrial
court will provide coordinated efforts to achieve a just and efficient handling of the
Texas state court cases.
For all these reasons, the Panel should transfer the
Chesapeake Barnett Royalty Litigation to a pretrial court for coordination.
REQUEST FOR STAY
Defendants request that this Panel issue an order staying all trial court
proceedings and discovery in the cases shown in Appendix A, and any tag-along
cases, 16 pending consideration of, and a ruling on, this motion for transfer by the
Panel. See TEX. R. JUD. ADMIN. 13.4(b).

New cases are being filed weekly, often with hundreds of individual plaintiffs. Since the
beginning of January 2015, there have been over 30 new filings served on Chesapeake with over
1,800 plaintiffs.
With respect to the current status of discovery in the Chesapeake Barnett
Royalty Litigation, an agreement has been reached between the Chesapeake
Defendants and the McDonald Law Firm (but not other plaintiffs’ counsel) on
immediate pending depositions, rescheduling them for May and June, 2015. 17 The
Chesapeake Defendants intend to comply with that agreement. 18 The agreement
contemplates that the Chesapeake Defendants may argue to an MDL judge, if
MDL transfer is granted, that these depositions should be the only depositions
taken of these witnesses for all cases; and that plaintiffs may oppose such a
request. A stay is warranted because it would be inconsistent for these witnesses to
be deposed in other cases while the MDL request is pending.
A stay is also warranted given the large volume of written discovery
requests that are being served almost daily on the Defendants. Many plaintiffs are
undertaking duplicative discovery.
There are pending motions to compel by
plaintiffs that seek additional documents. Likewise, the Chesapeake Defendants

That agreement states that depositions of certain current and former Chesapeake employees
that are the subject of the agreement will go forward on specific dates in May and June,
2015. The Chesapeake Defendants are not seeking a stay of the time and date of those
depositions. The agreement contemplates that unresolved issues of scope, or the issue of
whether these are the only depositions allowable of those witnesses, will be resolved by the
MDL judge, if an MDL is granted. In addition, the Access defendants are in discussions on
alternative deposition dates for Access representatives, and Access is not seeking a stay of any
deposition that is rescheduled pursuant to any such agreement that may be reached. Finally,
TOTAL is not seeking to stay the previously scheduled deposition of Dawn Lannin.
have pending motions for protection and special exceptions, which will narrow the
issues for discovery.
As previously discussed, in some cases the corporate
representative notice for Chesapeake requests testimony on 240 separate topics.
Although the Chesapeake Defendants and the McDonald Law Firm have agreed to
work together to tailor requested discovery and work on a list of search terms for
electronic data, there is no agreement with other counsel.
And there is no
agreement at all to coordinate discovery so that identical discovery requests are
only answered once, documents are only produced once, and witnesses are only
deposed once.
In short, trial proceedings and discovery should be stayed pending
consideration of this motion for transfer because conducting discovery now in
individual cases undermines the coordinated discovery that an MDL would
achieve.
CONCLUSION
Defendants respectfully request that the Panel grant their motion and transfer
the cases in the related Chesapeake Barnett Royalty Litigation referenced in
Appendix A, along with any tag-along cases, to a pretrial court for consolidated
and coordinated pretrial proceedings. A transfer will promote the convenience of
the parties and witnesses and will provide for the just and efficient handing of the
cases. Defendants also seek an order from this Panel immediately staying each
case in the Chesapeake Barnett Royalty Litigation pending a ruling by this Panel.
Additionally, Defendants request any further relief to which they may be entitled.
