Omega Navigation Enterprises, Inc. (“Omega”) et al., the above-captioned debtors and
debtors in possession (together, the “Debtors”), by and through their undersigned attorneys,
hereby file this Objection to Proofs of Claim Filed by Saacke GMBH (the “Objection”). In
support of this Objection, the Debtors respectfully represent as follows:

I. JURISDICTION AND VENUE

This Court has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and
1334. Venue of these cases in this district is proper pursuant to 28 U.S.C. § 1408. This is a core
proceeding pursuant to 28 U.S.C. § 157(b).
II. RELEVANT BACKGROUND

The Debtors are, collectively, an international provider of marine transportation
services focusing on seaborne transportation of refined petroleum products via an integrated
fleet. The Debtor Omega is the parent company and wholly owns the subsidiary Debtors, each
of which, with the exception of Omega Navigation (USA) LLC, owns one of the eight high
specification product tankers (the “Vessels”) used by the Debtors to provide their marine
transportation services. The Debtors generate revenues by employing their Vessels on time
charters as well as in the spot market. For all of the Vessels, the commercial management is
provided through a wholly-owned non-debtor subsidiary, Omega Management, Inc.
This
management includes obtaining employment for the Vessels, negotiating charters, and managing
relationships.

Prior to filing for bankruptcy protection, the Debtors contracted with Saacke
GMBH (“Saacke”) for certain modifications and improvements to the boilers aboard their
Vessels, as evidenced by the price quotations and order confirmations attached hereto as Exhibit
A. The payment terms provided that 50% of the costs of materials would be payable upon order
confirmation, and the remaining 50% would be payable 30 days after delivery of the materials to
the Vessel in question. (See Exhibit A). The only Vessels to which materials were actually
delivered are the Omega Emmanuel and the Omega Theodore. These deliveries took place in
Panama and Chile. No materials were delivered or services rendered to any of the Debtors’ other

Vessels. Saacke’s price quotes and order confirmations do not contain a choice of law provision.
(See Exhibit A).

On July 8, 2011 (the “Petition Date”), the Debtors filed voluntary petitions for
relief under chapter 11 of the Bankruptcy Code in the United States Bankruptcy Court for the
Southern District of Texas, Houston Division (the “Court”). Pursuant to sections 1107(a) and
1108 of the Bankruptcy Code, the Debtors are operating their businesses and managing their
property as debtors in possession. Joint administration of the cases was granted by Court order
on July 18, 2011. No trustees or examiners have been appointed in these cases.

On August 18, 2011, Saacke filed a secured proof of claim against Omega
Navigation Enterprises Inc. (Claim No. 1 in Case No. 11-35927) and a secured proof of claim
against Baytown Navigation Inc. (Claim No. 1 in Case No. 11-35926), each in the amount of
$172,147.00 (together, the “Saacke Claims”). True and correct copies of the Saacke Claims are
attached hereto as Exhibit B. Each of the Saacke Claims is for the amount of €119,546.50, or
$172,147.00 (using an exchange rate of $1.44/€1). According to the supporting documentation
attached to the Saacke Claims, this amount is comprised of invoices for equipment and material
delivered to the Omega Emmanuel and Omega Theodore in Panama and Chile, invoices for the
50% advance payment on behalf of the Omega Lady Miriam, the Omega Lady Sarah, the Omega
Queen, and the 50% payment after delivery for the non-debtor vessel Omega Duke.
III. OBJECTION AND BASIS THEREFOR

The Debtors have examined the Schedules of Assets and Liabilities (the
“Schedules”) and the proofs of claim filed in each of the Debtors’ cases, along with the Saacke
Claims and their supporting documentation. In addition, the Debtors have inspected their books
and records in order to determine whether the various proofs of claim filed in these cases are
accurate and represent bona fide liabilities.

As a result of this detailed review process, the Debtors have determined that the
Saacke Claims are subject to objection.

First, the amount of the Saacke Claims does not match the amount the Debtors’
books and records show as owed to Saacke. As stated above, Saacke’s price quotations provide
for payment of 50% of the invoiced price upon order confirmation, and 50% after delivery. With
respect to the Omega Emmanuel and the Omega Theodore, the 50% advance was paid and the
equipment delivered onboard. Accordingly, the 50% balance remains outstanding for the Omega
Emmanuel and Omega Theodore, as well as for the costs of some additional material sent on
board the vessels. With regard to the Omega Queen, Omega Lady Miriam and Omega Lady
Sarah, the 50% advance was invoiced. After these invoices were sent, the project went “cold”—
i.e., Saacke became occupied with projects for other clients, and the Debtors decided not to
pursue the modifications to boilers aboard the rest of their Vessels at that time. As no materials
were delivered on board and no other consideration was given for the Debtors’ payment of the
50% advance amounts, the Debtors object to amounts invoiced for the Omega Queen, Omega
Lady Miriam and Omega Lady Sarah. The Debtors further object to inclusion of amounts
invoiced to the Omega Duke, as that vessel is not owned by the Debtors. Accordingly, Saacke’s
claim consists of the 50% balance on the Omega Emmanuel and Omega Theodore. Also
outstanding are the costs of some additional materials sent to the Vessels. This amount is
€48,072.00, or, using an exchange rate of $1.43/€1,2 $68,742.96.

Second, the Saacke Claims are not secured claims. Saacke alleges that its claims
are secured by maritime liens; however, Saacke is not entitled to lienor status under United
States law. Saacke cannot claim a maritime lien under United States law because the agreement

between Saacke and the Debtors bears no relation to the United States. To determine which
country’s law applies, the following factors are relevant: (a) the place of contracting; (b) the
place of negotiation; (c) the place of performance; (d) the location of the subject matter of the
contract; and (e) the domicile of the parties. See Gulf Trading & Transport Co. v. The Vessel
Hoegh Shield, 658 F.2d 363, 366-368 (5th Cir. 1981) (Unit A). None of these factors point to
the application of the law of the United States.
The Debtors and Saacke contracted and
negotiated in Greece, performance took place in Panama and Chile, the subject matter of the
contract (the Omega Emmanuel and the Omega Theodore) was located in Panama and Chile, and
Saacke is a German company, while Omega is a Marshall Islands company headquartered in
Greece. Saacke has as not provided any goods or services to the Debtors or their Vessels in the
United States. Accordingly, United States law is not applicable and no federal maritime lien
under United States law arises in Saacke’s favor. Upon information and belief, no maritime lien
in favor of Saacke arises under German, Greek, Panamanian, or Chilean law either. Because the
Saacke Claims are not secured, Saacke does not have a claim against Baytown Navigation Inc. or
its Vessel, the Omega Theodore. Saacke’s claim is against Omega Navigation Enterprises Inc.,
the party with whom Saacke contracted.

Third, the Debtors object to the Saacke Claims because the two claims were filed
for the same underlying liability and are therefore duplicates. The Debtors ask that the Saacke
Claim against Baytown Navigation Inc. (claim no. 1 in case no. 11-35926) be disallowed in its
entirety. The Saacke Claim against Omega should be reclassified as a general unsecured claim
and reduced to $68,742.96.

Under § 502 of the Bankruptcy Code, a claim is “deemed allowed unless a party-
in-interest . . . objects.” 11 U.S.C. § 502. The Debtors hereby object to the Saacke Claims

because they are filed for an incorrect amount, because Saacke is not entitled to secured claimant
status, and because two proofs of claim have been filed for the same underlying liability.
Accordingly, the Debtors ask that the Saacke Claim against Baytown Navigation Inc. (Claim No.
1 in Case No. 11-35926) be disallowed in its entirety, and that the Saacke Claim against the
estate of Omega Navigation Enterprises Inc. (Case No. 11-35927) be allowed as a general
unsecured claim in the amount of $68,742.96.

To the extent that no defense is raised to this Objection, the Debtors request that,
pursuant to Local Bankruptcy Rule (“Local Rule”) 3007(e), the Court adjudicate the Saacke
Claims at the initial hearing on this Objection. The Debtors have filed an affidavit supporting
this Objection, pursuant to Local Rule 3007-1(e). The affidavit is attached hereto as Exhibit C
and fully incorporated herein.

The Debtors reserve the right to object to the Saacke Claims on further and
different grounds.
IV. CONCLUSION
WHEREFORE, the Debtors request that the Court disallow the Saacke Claim against
Baytown Navigation Inc. (Claim No. 1 in Case No. 11-35926) in its entirety, grant Saacke a
single, unsecured, non-priority claim in the amount of $68,742.96 against the estate of Omega
Navigation Enterprises Inc. (Case No. 11-35927), and grant such other and further relief as the
Court deems just.

Proposal basis
The enclosed proposal is made based on the data and documents submitted together with the inquiry.
It therefore resembles a quite close match of the equipment scope finally required to perform the
upgrade installation.
Final scope of supply and services can however only determined during a pre-inspection of the vessel.
Pre-Inspection
For a final quote including a good estimate of the service hours required for performing the installation
and/or commissioning, a pre-inspection of each series vessel is required. Without such pre-inspection,
only the equipment supplies can be quoted.
As the boiler system has to be able to run in fully automatic mode in order for the upgrade to be
applicable, possible defects can be identified already during such pre-inspection. Then the rectification
can be arranged in time and performed together with the upgrade works, creating some synergy
benefits and reducing overall costs.
We therefore recommend to have a pre-inspection on each single vessel which should be converted.
Inspection conditions
We charge a flat rate of EUR 1.065,- for an on-board vessel boiler system inspection required prior to
or in progress of a conversion project. For travel and waiting time, a flat rate of EUR 620,-/day is
charged. Daily rates do not include air tickets, accomodation and living expenses which would have to
be covered by the customer or charged additionally according to our service terms and conditions.
Documentation
Our conversion system scope includes operating instructions/components documentation in 4fold.
Standard documentation language is English.
For classification approval purpose, we will provide principle diagrams together with a functional
description showing and explaining the modifications in the boiler system piping and controls layout.
These documents are for customer use in the class approval application process.
Documentation will be provided as soon as possible after a supply contract has been agreed on and
fixed.
Commissioning
Commissioning services are not included in the scope of quotation but are available internationally
according to the rates of our various service stations and service partners. The amount of days for final
supervision, connection and commissioning of the MGO system including the full load range
combustion adjustment on both HFO and MGO is estimated to be approx 6-7 days for a single boiler
installation and approx. 8-10 days for a double boiler installation.
Please kindly note that not all of our international service stations and licensed service partners are
able to provide this kind of service. Therefore please kindly contact Bremen head office for advice.
Classification
The conversion system is designed to comply with the known requirements of all major marine
classification societies.
All components delivered within the package are standard marine approved equipment and material.
Therefore the final classification approval can be easily obtained during the system test run and safety
devices test which is done after installation and commissioning.
After installation, the system has to be presented to the classification surveyor for a functional test,
safety device check and system approval.
SAACKE MARINE SYSTEMS will apply for classification pre-approval (design assessment) with all
necessary documentation, engineering services and technical advice. Application for approval is

undertaken as soon as order has been received and vessel pre-inspection has been conducted. All
charges for design assessment are covered by SAACKE, however any additional charges connected
with the final on-board classification approval process are to be covered by the customer.
In case that the classification society should demand any major modifications to the existing HFO
combustion system within the process of the MGO upgrade approval but not directly connected with
the herein offered upgrade, these modifications can be provided by SAACKE MARINE SYSTEMS
against additional charges.
If due to a change or amendment of rules during the project, modifications to the equipment design
have to be undertaken, any cost arising thereof shall be additionally invoiced.
Classification expenses
If SAACKE MARINE SYSTEMS applies for classification approval, the resulting plan approval cost will
be charged to the customer according to classification invoice plus a 10% handling charge.
All other arrangements with classification regarding final inspection/approval of the on-board
installation is to be arranged and financially covered directly by the customer.
Preconditions to be met in order to maintain estimated time frame
- Boiler system is fully operational in automatic mode prior to conversion job start
- Purchaser has provided all relevant documentation in due time before delivery
- Conversion proposal is based on original delivery/design.
- MGO viscosity not to be below 1.5 cSt @ 40°C
- Power available is 440V/60Hz or 400V/50Hz
- Sufficient instrument air is available
- System condition is in accordance with relevant mechanical and electrical regulations
Additional services
In case the above given service estimate or any service package quoted herein can not be met or the
calculated time frame is exceeded due to occurrence of travel time, waiting time or the necessity to
correct already existing troubles in the boiler automation before starting with the actual conversion /
upgrade installation, such additional days shall be invoiced as per final service sheet signed by the
customer’s representatives on board of the vessel.
Such additional services shall be charged with the project related daily flat rates of EUR 1.065,- per
man per day.

Prices and conditions of this offer are valid for 2 months after issue.

Before the undersigned notary public appeared Gregory McGrath, who after being sworn
testified as follows in support of the Debtors' Objection to Proofs of Claim Filed by Saacke
GMBH (the "Objection"):

"My name is Gregory McGrath. I am the Chief Financial Officer of Omega
Navigation Enterprises, Inc., a corporation formed under the laws of the Republic of the
Marshall Islands ("Omega"). Omega is the parent company for the affiliated debtors in the
above-captioned chapter 11 cases (together, the "Debtors"). I am familiar with the Debtors' dayto-day operations, business affairs, books and records.

All of the facts set forth in this Affidavit are based on my personal knowledge,
upon information supplied to me in the course of carrying out my duties as the CFO for the
Debtors, upon my review of relevant documents, and upon my experience and knowledge of the
Decatur Navigation Inc.; Elgin Navigation Inc.; Fulton Navigation Inc.;. Orange Navigation Inc.; and

Debtors' operations. If called upon to testify, I could and would testify competently to the facts
set forth herein.

The Debtors are, collectively, an international provider of marine transportation
services focusing on seaborne transportation of refined petroleum products via an integrated
fleet. The Debtor Omega is the parent company and wholly owns the subsidiary Debtors, each
of which, with the exception of Omega Navigation (USA) LLC, owns one of the eight high
specification product tankers (the "Vessels") used by the Debtors to provide their marine
transportation services. The Debtors generate revenues by employing their Vessels on time
charters as well as in the spot market. For all of the Vessels, the commercial management is
provided through a wholly-owned non-debtor subsidiary, Omega Management, Inc. This
management includes obtaining employment for the Vessels, negotiating charters, and managing
relationships.

Prior to filing for bankruptcy protection, the Debtors contracted with Saacke
GMBH ("Saacke") for certain modifications and improvements to the boilers aboard their
Vessels, as evidenced by the price quotations and order confirmations attached to the Objection
as Exhibit A. The payment terms provided that 50% of the costs of materials would be payable
upon order confirmation, and the remaining 50% would be payable 30 days after delivery of the
materials to the Vessel in question. (See Exhibit A to Objection). The only Vessels to which
materials were actually delivered are the Omega Emmanuel and the Omega Theodore. These
deliveries took place in Panama and Chile. No materials were delivered or services rendered to
any of the Debtors' other Vessels. Saacke's price quotes and order confirmations do not contain
a choice of law provision. (See Exhibit A to Objection).

On July 8, 2011 (the "Petition Date"), the Debtors filed voluntary petitions for
relief under chapter 11 of the Bankruptcy Code in the United States Bankruptcy Court for the
Southern District of Texas, Houston Division (the "Court"). Pursuant to sections 1107(a) and
1108 of the Bankruptcy Code, the Debtors are operating their businesses and managing their
property as debtors in possession. Joint administration of the cases was granted by Court order
on July 18, 2011. No trustees or examiners have been appointed in these cases.

On August 11, 2011, an Official Committee of Unsecured Creditors (the
"Committee") was appointed by the United States Trustee.

On August 18, 2011, Saacke filed a secured proof of claim against Omega
Navigation Enterprises Inc. (Claim No. 1 in Case No. 11-35927) and a secured proof of claim
against Baytown Navigation Inc. (Claim No. 1 in Case No. 11-35926), each in the amount of
$172,147.00 (together, the "Saacke Claims"). True and correct copies of the Saacke Claims are
attached to the Objection as Exhibit B. Each of the Saacke Claims is for the amount of
€119,546.50, or $172,147.00 (using an exchange rate of $1.441€1). According to the supporting
documentation attached to the Saacke Claims, this amount is comprised of invoices for
equipment and material delivered to the Omega Emmanuel and Omega Theodore in Panama and
Chile, invoices for the 50% advance payment on behalf of the Omega Lady Miriam, the Omega
Lady Sarah, the Omega Queen, and the 50% payment after delivery for the non-debtor vessel
Omega Duke.

I have examined the Schedules and the proofs of claim filed in each of the
Debtors ! cases, along with the supporting documentation (if any) submitted with each proof of
claim. In addition, I have inspected the Debtors' books and records in order to determine
whether the various proofs of claim filed in these cases are accurate and represent bona fide

liabilities. I have also consulted with the Debtors' counsel regarding legal basis for objection to
proofs of claim.

As a result of this detailed review process, I have determined that the Saaeke
Claims are subject to objection.
10.
First, the amount of the Saacke Claims does not match the amount the Debtors'
books and records show as owed to Saacke. As stated above, Saacke's price quotations provide
for payment of 50% of the invoiced price upon order confirmation, and 50% after delivery. With
respect to the Omega Emmanuel and the Omega Theodore, the 50% advance was paid and the
equipment delivered onboard. Accordingly, the 50% balance remains outstanding for the Omega
Emmanuel and Omega Theodore, as is some additional material sent on board the vessels. With
regard to the Omega Queen, Omega Lady Miriam and Omega Lady Sarah, the 50% advance was
invoiced. After these invoices were sent, the project went "cold"—i.e., Saacke became occupied
with projects for other clients, and the Debtors decided not to pursue the modifications to boilers
aboard the rest of their Vessels at that time. As no materials were delivered on board and no
other consideration was given for the Debtors' payment of the 50% advance amounts, the
Debtors object to amounts invoiced for the Omega Queen, Omega Lady Miriam and Omega
Lady Sarah. The Debtors further object to inclusion of amounts invoiced to the Omega Duke, as
that vessel is not owned by the Debtors. Accordingly, Saacke's claim consists of the 50%
balance on the Omega Emmanuel and Omega Theodore. Also outstanding are the costs of some
additional materials sent to the Vessels. This amount is €48,072.00, or, using an exchange rate
of $1.43/€l, $68,742.96.

Second, the Saacke Claims are not secured claims. Saacke alleges that its claims
are secured by maritime liens; however, Saacke is not entitled to lienor status under United

States law. Saacke cannot claim a maritime lien under United States law because the agreement
between Saacke and the Debtors bears no relation to the United States. The Debtors and Saacke
contracted and negotiated in Greece, performance took place in Panama and Chile, the subject
matter of the contract (the Omega Emmanuel and the Omega Theodore) was located in Panama
and Chile, and Saacke is a German company, while Omega is a Marshall Islands company
headquartered in Greece. Saacke has as not provided any goods or services to the Debtors or
their Vessels in the United States. Upon information and belief, no maritime lien in favor of
Saacke arises under United States, German, Greek, Panamanian, or Chilean law. Because the

its Vessel, the Omega Theodore. Saacke's claim is against Omega Navigation Enterprises Inc.,
the party with whom Saacke contracted.

for the same underlying liability and are therefore duplicates.

On behalf of the Debtors, I hereby object to the Saacke Claims because they are
flied for an incorrect amount,. because Saacke is not entitled to secured claimant status, and
because two proofs of claim have been filed for the same underlymg liability. I ask that the
Saacke Claim against Baytown Navigation Inc (Claim No 1 in Case No 11-35926) be
disallowed in its entirety that the Saacke Claim against Omega be reduced to an unsecured, nonpriority claim in the amount of $68,742,96, and that the Court grant the Debtors such other and
further relief as the Court deems just"
